by mere delivery of possession of the certificate Explicación: Pity, again, that gundisalvus doesn't post ideas as a separate entry. Will save me repeating my own - often similar - spin on the term. Delivery IMO isn't enough, as that could imply to the company's treasury for regsitration and not the prospective transferee, notwithstansing the Board of Directors' right to refuse the transfer 'without assigning any reason therefor'. The shares, surely, must be bearer/al portador if transferred by delivery. A regd. share/nominativa cannot usually in the US/UK etc. Ejemplos de uso:

by mere transfer/delivery of the certificate Explicación: agree with Tom Thumb's interpretation, however the translation as "mere delivery of possession of the certificate" seems to say more than what is required or what the Spanish says in "tradición". Just got back from working out. Tom West. Spanish-English Dictionary of Law and Business.
