9. LIMITATION OF LIABILITY
COMPANY’S POTENTIAL LIABILITY TO LICENSEE, FOR ANY AND ALL CLAIMS IN ANYWAY ARISING FROM THE SUBJECT MATTER OF THIS AGREEMENT, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR OTHER THEORY OF LIABILITY IS LIMITED AS FOLLOWS:
• ALL LEGAL ACTIONS AGAINST COMPANY MUST BE FILED WITH THE APPROPRIATE JUDICIAL JURISDICTION WITHIN TWO (2) YEARS AFTER THE CAUSE OF ACTION HAS ARISEN.
• COMPANY’S LIABILITY FOR DIRECT DAMAGES SHALL NOT EXCEED THE GREATER OF THIRTY THOUSAND DOLLARS (US$ 30,000) OR THE AMOUNT OF THE PLC OR YLC, AS THE CASE MAY BE, PAID BY LICENSEE FOR THE LICENSED PROGRAM WHICH CAUSED THE DAMAGES.
LICENSEE EXPRESSLY AND IRREVOCABLY WAIVES ANY AND ALL CLAIMS FOR INDIRECT, INCIDENTAL AND CONSEQUENTIAL DAMAGES, INCLUDING CLAIMS FOR LOST PROFITS, BUSINESS INTERRUPTION AND LOSS OF DATA, THAT IN ANYWAY RELATES TO THIS AGREEMENT, LICENSED SOFTWARE OR DOCUMENTATION, WHETHER OR NOT COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY REMEDY.
LICENSEE WAIVES ANY AND ALL CLAIMS FOR ANY DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, FOR ANY REASON AND ON ANY BASIS, AGAINST ANY COMPANY’S PROVIDERS OR SUBCONTRACTORS.
10. EXPORT AND REEXPORT LAWS AND REGULATIONS
Export to Licensee of Licensed Programs and Documentation is subject to all applicable French, European Community, United States of America and other originating country's export and reexport laws and regulations and, in particular, French regulations concerning the Verification of Final Destinations. Licensee shall provide Company with all reasonably necessary assistance related to applications for such authorizations, licenses and other approvals, or other documentation related to the export or reexport of Licensed Programs. Company shall have no liability whatsoever towards Licensee if such authorizations, licenses or approvals are not obtained. Licensee shall not export or reexport, either directly or indirectly, Licensed Programs or Documentation to any individual or entity which requires an export license or other governmental approval without first obtaining such license or approval.
11. TERM AND TERMINATION
a) Either party may terminate this Agreement at any time upon a one (1) month prior written notice to the other party provided that all licenses granted hereunder have been terminated and each Party has duly fulfilled all its obligations under this Agreement. Neither party shall be entitled to compensation in case of such termination.
b) Either Party is entitled to terminate this Agreement and any licenses issued under this Agreement, if the other Party is in material breach of any of its obligations and has failed to remedy such breach within one (1) month of receipt of the other Party's written notice. The termination will not prejudice the rights and remedies of the non-breaching party. Including but not limited to, the followings shall be deemed to be a material breach of the Agreement: non compliance of Licensee with sections 2 (Grant of Right and License), 6 (Intellectual Property Rights and Confidentiality) and 10 (Export)
In case of termination of the Agreement for whatever reasons, Licensee shall provide promptly to Company a written certificate that all copies, in whole or in part of the Licensed Programs and associated Documentation, have been destroyed or returned to Company.
Licensee may terminate its use of any specific Licensed Program licensed under the YLC structure, by providing Company with written notice of its decision one month prior to the anniversary date of the YLC license. Licensee may also terminate its use of any specific Licensed Program licensed under the PLC/ALC structure with written notice of its decision one month prior to the anniversary date of the PLC/ALC license. Within one month after expiration or termination, for any reason, of such a license, Licensee shall certify in writing that all copies, in whole or in part of the terminated or expired Licensed Programs and associated Documentation, have been destroyed or returned to Company.
12. MISCELLANEOUS
Purchase Orders. Licensee’s purchase orders are for administrative purposes only and, notwithstanding any terms and conditions contained therein, shall not in any way modify or supplement the terms of this Agreement.
Notices. All notices required hereunder shall be communicated in English and shall be personally delivered or sent by registered mail, addressed to the parties at their addresses first mentioned above, or at such other address as either party may designate to the other by notice served as hereby required.
Force majeure. Neither party shall be liable for failure to perform its obligations hereunder, if such failure results from causes beyond its reasonable control such as acts of God, acts of terrorism, fire, explosion, strikes or labor disputes, delays by vendors or manufacturers, governmental acts, staff unavailability due to illness or airline flight delay or similar causes.
Severability. In the event any part of this Agreement (other than the provision obliging Licensee to make payment) are found to be invalid, illegal or unenforceable in any respect, the remaining provisions shall nevertheless be binding with the same effect as if the invalid, illegal or unenforceable part was originally deleted.
No Transfer. Licensee shall not assign, delegate or otherwise transfer all or part of its rights, duties, benefits or obligations under this Agreement, or sublicense Licensed Programs to any third party.
Waiver. Waiver by either party of a breach of any provision shall not constitute a waiver of either the provision itself or any subsequent breach.
Audit-Piracy. During the term of this Agreement and for a period of two (2) years thereafter, Licensee shall maintain accurate information records relating to the use and destruction of the Licensed Programs. During the term of this Agreement and for a period of three (3) years thereafter, the Company shall have the right, at its own expense and under reasonable conditions of time and place, from time-to-time to audit and copy these records. Licensee also allows the Company to verify its compliance with the terms of the Agreement. If it does so, the Company will conduct any review on Licensee’s premises during normal business hours, in a manner that minimizes disruption to its business. The Company may require Licensee to provide it or any third party the Company engages to conduct such verification, with machine access, copies of system tools outputs, or other electronic or hard copy system information as appropriate. In a joint effort to prevent piracy of software, Licensee will comply with any changes in the Licensed Programs licensing security mechanism that aims at preventing fraud.
Entire Agreement. This Agreement including any Company authorized quoted agreed upon, is the complete agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous proposals, agreements, understandings, representations, purchase orders and communications, whether oral or written. This Agreement may be modified only by written amendment signed by the parties and no other act, document, usage or custom shall be deemed to amend or modify this Agreement, including but not limited to Licensee’s terms and conditions.
Subcontracting. The Company may subcontract to any DS Subsidiary any of its obligations related to the procurement of the Licensed Programs, as well as the support services, the ordering, the invoicing and payment.
Governing law. This Agreement shall be governed by and construed, and the legal relations between the parties shall be determined in accordance with the laws of the State of New York, United States of America, without regard to any conflict of laws principles and excluding application of the United Nations Convention for the International Sale of Goods. The parties irrevocably waive all rights to trial by jury for any such litigation between them. All actions and proceedings arising out of or relating to this Agreement shall be exclusively heard and determined in any state or federal court of competent jurisdiction located within (i) the local judicial district of the defendant’s principal place of business if it is in the United States otherwise (ii) in the local judicial district of Company.

EL LICENCIATARIO RENUNCIA A TODOS Y CADA UNO DE LOS RECLAMOS POR DAÑOS INDIRECTOS, INCIDENTALES O MEDIATOS, POR CUALQUIER RAZÓN O DE CUALQUIER FORMA, CONTRA TODO PROVEEDOR O SUBCONTRATISTA DE LA COMPAÑÍA.
10. LEYES Y REGLAMENTACIONES SOBRE EXPORTACIÓN Y REEXPORTACIÓN.
La exportación al Licenciatario de Programas bajo Licencia y Documentación está sujeta a todas las leyes y reglamentaciones aplicables de exportación y reexportación de Francia, la Comunidad Europea, los Estados Unidos de América y otros países de origen, y, en particular, a las reglamentaciones francesas acerca de la Verificación de Destinos Finales. El Licenciatario proveerá a la Compañía toda la asistencia necesaria razonable relacionada con las aplicaciones de dichas autorizaciones, licencias y otras aprobaciones, u otra documentación relacionada con la exportación o reexportación de Programas bajo Licencia. La Compañía no tendrá responsabilidad alguna respecto del Licenciatario si no se han obtenido dichas autorizaciones, licencias o aprobaciones. El Licenciatario no exportará ni reexportará, ya sea directa o indirectamente, los Programas bajo Licencia o Documentación a ningún particular o entidad que requiera una licencia de exportación u otra aprobación gubernamental sin que se hayan obtenido primero dicha licencia o aprobación.
11. PLAZO Y RESCISIÓN
a) Cualquiera de las partes podrá rescindir el presente Contrato en cualquier momento mediante previa notificación por escrito de un (1) mes de antelación cursada a la otra parte, siempre que todas las licencias otorgadas en virtud del presente se hayan rescindido y que cada Parte haya cumplido debidamente todas sus obligaciones en virtud del presente Contrato Ninguna parte tendrá derecho a remuneración en caso de la rescisión mencionada.
b) Cualquier parte tiene derecho a rescindir el presente Contrato y las licencias otorgadas en virtud del presente, en caso del incumplimiento sustancial de cualquiera de las obligaciones de la otra Parte, y de que ésta última no haya subsanado dicho incumplimiento dentro del plazo de un (1) mes posterior a la recepción de una notificación por escrito cursada por la otra Parte. La rescisión no perjudicará los derechos y recursos de la parte cumplidora. Los siguientes casos, sin carácter taxativo, se considerarán incumplimiento sustancial del Contrato: Incumplimiento por parte del Licenciatario de los artículos 2 (Otorgamiento de derechos y licencia), 6 (Derechos de propiedad intelectual y confidencialidad) y 10 (Exportación).
En caso de rescisión del Contrato por cualquier causa, el Licenciatario inmediatamente suministrará a la Compañía un certificado por escrito que declare que todas las copias, en todo o en parte, de los Programas bajo Licencia y la Documentación relacionada se han destruido o devuelto a la Compañía.
El Licenciatario podrá rescindir el uso de cualquier Programa bajo Licencia específico autorizado en virtud de la estructura del CLA, cursando a la Compañía una notificación por escrito de su decisión un mes antes del cumplirse la fecha de la licencia del CLA. El Licenciatario también podrá rescindir el uso de cualquier Programa bajo Licencia autorizado en virtud de la estructura del CAL/CLP, cursando a la Compañía una notificación por escrito de su decisión un mes antes de cumplirse la fecha de la licencia del CAL/CLP. Dentro de un mes posterior al vencimiento o a la rescisión, por cualquier causa, de dicha licencia, el Licenciatario certificará por escrito que todas las copias, en todo o en parte, de los Programas bajo Licencia y de la Documentación relacionada rescindidos o vencidos se han destruido o devuelto a la Compañía.
12. MISCELÁNEA
Órdenes de compra. Las órdenes de compra del Licenciatario tienen fines administrativos solamente y, sin perjuicio de los términos y condiciones contenidos en las mismas, de ninguna manera modificarán ni complementarán los términos del presente Contrato.
Notificaciones. Todas las notificaciones requeridas en virtud del presente se comunicarán en inglés y se entregarán personalmente o se enviarán por correo certificado, siendo dirigidas a la otra parte al domicilio indicado más arriba, o al domicilio que la parte indique a la otra parte mediante notificación cursada como se requiere en el presente.
Fuerza mayor. Ninguna parte será responsable por incumplimiento de las obligaciones en virtud del presente, si dicho incumplimiento se debiera a causas fuera del control razonable tales como caso fortuito, terrorismo, incendio, explosión, huelgas o conflictos laborales, demoras por parte de los proveedores o fabricantes, actos de organismos gubernamentales, falta de personal debido a enfermedad o a demora en vuelos aéreos o causas similares.
Divisibilidad. En el caso de que una parte del presente Contrato (excepto la disposición que obliga al Licenciatario a realizar pagos) resultara inválida, ilícita o inaplicable en el aspecto que fuere, las restantes disposiciones serán no obstante obligatorias y tendrán el mismo efecto como si la parte inválida, ilícita o inaplicable estuviera originalmente eliminada.
No se permite la transferencia El Licenciatario no cederá, delegará ni por otra parte transferirá ni todos ni parte de sus derechos, deberes, beneficios u obligaciones en virtud del presente Contrato, ni sublicenciará los Programas bajo Licencia a terceros.
Renuncia. La renuncia de cualquiera de las partes respecto del incumplimiento de una disposición no constituirá renuncia a la disposición en sí misma o a un incumplimiento futuro.
Control de piratería. Durante la vigencia del presente Contrato y por un período de dos (2) años con posterioridad a su vencimiento, el Licenciatario mantendrá registros de información precisos relacionados con el uso y la destrucción de los Programas bajo Licencia. Durante la vigencia del presente Contrato y por un período de tres (3) años con posterioridad a su vencimiento, la Compañía tendrá derecho, exclusivamente a su cargo y bajo razones considerables de tiempo y lugar, de controlar y copiar dichos registros de vez en cuando. El Licenciatario también le permitirá a la Compañía verificar el cumplimiento por su parte, de los términos del Contrato. De ser así, la Compañía llevará a cabo una inspección de las instalaciones del Licenciatario en horarios habituales de trabajo, tomando recaudos para minimizar la interrupción de las actividades. La Compañía podrá requerirle al Licenciatario que le suministre a la misma, o a terceros contratados por la Compañía para llevar a cabo dicha verificación, acceso a las máquinas, copias de producción de las herramientas del sistema, u otra información electrónica o impresa del sistema, según corresponda. En un esfuerzo conjunto por prevenir la piratería del software, el Licenciatario cumplirá con los cambios en los mecanismos de seguridad de autorización de los Programas bajo Licencia que tienen como objetivo evitar el fraude.
Contrato indivisible. El presente Contrato, con inclusión de toda cotización autorizada de la Compañía que se hubiera acordado, constituye el contrato completo entre las partes relacionado con el objeto del mismo y reemplaza todas las propuestas, acuerdos, entendimientos, declaraciones, órdenes de compra y comunicaciones anteriores imperantes, ya sean orales o escritas. El presente Contrato podrá modificarse únicamente mediante un escrito de modificación firmado por las partes y ningún acto, documento, uso o costumbre se considerará enmienda o modificación del presente Contrato, incluso sin carácter taxativo, de los términos y condiciones del Licenciatario.
Subcontratación. La Compañía podrá subcontratar a cualquier Subsidiaria de DS cualquiera de sus obligaciones relacionadas con la obtención de los Programas bajo Licencia, así como también los servicios de soporte, el procesamiento de órdenes de compra, la facturación y el pago.
Ley aplicable. El presente Contrato se regirá e interpretará, y las relaciones legales entre las partes se determinarán, de acuerdo con las leyes del Estado de Nueva York, Estados Unidos de América, sin considerar ningún conflicto de leyes y excluyendo la aplicación de la Convención de las Naciones Unidas sobre los Contratos de Compraventa Internacional de Mercaderías. Las partes renuncian en forma irrevocable a todos los derechos a juicio por jurado por todo litigio entre ellas. Todas las acciones y procedimientos que surjan del presente Contrato o estén relacionadas con el mismo se someterán y se determinarán en los tribunales estatales y federales de jurisdicción competente ubicados dentro de (i) el distrito judicial local del domicilio social del demandado si está en los Estados Unidos de América, de lo contrario (ii) en el distrito local judicial de la Compañía.
