The subject of this letter is the transfer of the shared property on the ... patent (in my own words). The allocation of the financial outcome on this development has been a topic for a long time. Therefore, we have drawn up a complete allocation scheme, elaborated in the drafts of several agreements. These agreements have been discussed several times during the meetings you and I had with ... in recent years. In my opinion, in the final analysis, the only issue that should be discussed with ... was the allocation of certain costs.
The basic structure, I believe, was no longer an issue to be discussed. Therefore, it surprises me very much that ..., in this letter, mentions patent rights already registered by and exclusively for him in September 2000 (!!!) on the same ... product in countries which –apparently- are not covered by the patent purchased by joint property. In my presence, ... has never (and therefore not even during the meeting of May 23rd 2005) mentioned those patent rights.
Additionally, none of the documents and financial drafts drawn up until that moment (neither those written by you, nor those written by me, nor those written by ...) mentions or discusses these patent rights. Thus, it is surprising that now, at this moment, the discussion of this information is important for him.
B: Reaction to the letter
In my reaction I shall discuss the following issues:
1. The offer addressed to me, with the letter addressed to you as an annex.
2. The previous letter in which ... described his ideas on the patent value.
3. Reaction to the letter dated June 15th June 2005 addressed to you.
1: The offer addressed to me, with the letter addressed to you as an annex.
A copy of this offer will be annexed to this letter (I am not sure whether you have received this letter as well or not):
• ... writes that he has no restrictions regarding registration of his own patents. I don’t have the same opinion here. You are already dealing with attorneys on this issue, and therefore, I shall not discuss this matter further.
• ... writes that his offer of May 3rd 2005 is still valid. He omits here the contents of the meeting of May 23rd 2005, in which, during the discussion, he changed his offer and made a new one. I shall discuss this matter further in section 3 of this letter.
2: The previous letter in which ... described his ideas on the patent value.
..., as part of his payment proposal for the 2000 to 2004 period (with only a part of year 2004), has made an estimate of the value of the patent rights as well. He presents two scenarios:
• You participate in the registration costs (€ 2,000,000) and the patent maintenance (€ 400,000); your profit share will vary between € 159,199.38 and € 454,855.38 (situation 1)
• You do not participate in the registration costs, but you do participate in the patent maintenance costs. Your profit share will vary between € 129,284.87 and € 646,424.33 (situation 2).
In ...’s estimate, trademark value is not considered.
...’s calculations are based on the following assumptions:
Scenario # 1:
• He bases his estimate on the average sales and costs figures during the period between 2000 and 2004.
He uses the average profit over that period to the period between 2005 and 2013.
• The gross value of your share is 30% of the total profit amount made during this period.
This amounts to € 1,803,034.71. He calculates this amount on December 31st 2013, and then he calculates a cash figure for this nine-year period using a 5% discount rate; this results in
€ 1,174,855.38.
• Then he subtracts 30% from the registration and patent maintenance costs, for the total amount of
€ 720,000. The new figure is € 454,855.38.
• Then he calculates an ownership risk % (market loss by increased competition, patent problems) between 0% and 65% of the estimated value.
Scenario #2
• He bases his estimate on the average sales and costs figures from 2000 to 2004.
He uses the average profit over that period to the period between 2005 and 2009.
• The gross value of your share is 30% of the total amount of the profit made in this period.
This amounts to € 1,001,685.95. He calculates this amount on December 31st 2009, and then he calculates a cash figure for this five-year period using a 5% discount rate; this results in
€ 766,424.33.
• Then he subtracts 30% from the patent maintenance costs, for the total amount of
€ 120,000. The new figure is € 646,424.33.
• Then he calculates an ownership risk % (market loss by increased competition, requests from clients for other products, because clients know that ... is not registered) between 0% and 80% of the estimated value.
The following observations can be made on ...’s estimate:
• The annual sales volume of ... has increased in the period between 2000 and 2004. In 2005 a high volume increase has already taken place. You expect an even higher growth in the following period. ... fully omits this volume growth and the related profit growth.
• ... does not take into account the fact that expenses made in the period from 2000 to 2004 should be considered as an investment for the following period. In this particular situation, the costs related to the creation of distribution channels must be considered.
• ... does not take into account the value of the finished product and raw material stock on December 31st 2004; their value is significant and represents an increase of the result over the period between 2000 and 2004.
• ... uses a 5% discount rate; a more adequate discount rate (considering both interest and inflation) should be in the 1.5% - 2% range.
• ... makes a cash value according to the final moment of the period (9 and 5 years); this is not correct: he should make his calculations based on a moment in the middle of that period.
• ...’s calculations are based on the gross costs amount. He forgets to consider the costs already incurred in the period between 2000 and 2004, as well as the fact that the remaining costs are yet to be made in the coming years; and so obtain an adequate cash value.
• ... does not take into account the value of the patent right at the end of the period: it is due precisely to the incurred costs of registration and patent maintenance that the patent right has a value for the following years.
• The range of the ownership risk % calculated by ... is too wide; when calculating that risk, it should be considered that we are dealing with a product with patent protection, and for which there are already both distribution channels and an organization! Therefore the ownership risk % range should be reduced.
Due to the abovementioned omissions in ...’s estimate, we have made an estimate based on precise expectations for the future during the period between 2005 and 2013.

Het onderwerp van de brief is de overdracht van de gedeelde eigendom op het ... patent (in mijn eigen woorden). De verdeling van het financiële resultaat op deze exploitatie is al lang onderwerp van gesprek. Wij hebben daartoe een compleet verdeelschema gemaakt, uitgewerkt in conceptteksten van overeenkomsten. Deze overeenkomsten zijn diverse keren in de afgelopen jaren gespreksonderwerp geweest in besprekingen die jij en ik met ... hebben gevoerd. Naar mijn mening was daarbij in laatste instantie nog slechts de verdeling van bepaalde kosten onderwerp van overleg met ....
De basisstructuur stond in mijn beleving niet meer ter discussie. Het verrast mij dan ook enorm dat ... in de brief melding maakt van door hem reeds in september 2000 (!!!) voor hem alleen geregistreerde patentrechten op hetzelfde ... product in landen die – blijkbaar – niet door het in gezamenlijke eigendom aangekochte patent bestreken worden. ... heeft nooit in mijn aanwezigheid (en dus ook niet tijdens de bespreking van 23 mei 2005) melding van die patentrechten gemaakt.
Ook in de tot dan toe opgemaakte documenten en financiële opstellingen (noch die van jou hand, noch die van mijn hand, noch die van ...s hand) zijn deze patentrechten niet genoemd of betrokken in de financiële opstellingen. Het is dan ook bizar dat hij nu in dit stadium deze informatie op tafel legt.
B: Reactie op de brief
In mijn reactie ga ik in op de volgende onderwerpen:
1: De aan mij gerichte aanbiedingsbrief waarin de aan jou gerichte brief wordt toegezonden.
2: De brief waarin ... eerder zijn gedachten over de patentwaarde beschrijft.
3: Reactie op de aan jou gerichte brief van 15 juni 2005.
1: De aan mij gerichte aanbiedingsbrief waarin de aan jou gerichte brief wordt toegezonden.
Een kopie van deze brief gaat als bijlage bij deze brief (ik weet niet zeker of jij die brief ook hebt ontvangen):
• ... schrijft dat hij geen beperkingen heeft in het laten registreren van eigen patenten. Ik denk daar anders over. Jij bent reeds met juristen bezig over dit onderwerp, zodat ik daar niet verder op in ga.
• ... schrijft dat zijn aanbod van 3 mei 2005 nog steeds geldt. Hij gaat daarbij voorbij aan de inhoud van de bespreking van 23 mei 2005, waarin hij zijn aanbod gedurende het gesprek heeft vervangen door een nieuw aanbod. Ik ga daar verder op in in onderdeel 3 van deze brief.
2: De brief waarin ... eerder zijn gedachten over de patentwaarde beschrijft.
... heeft, als onderdeel van zijn afrekeningsvoorstel van het exploitatieresultaat over de periode 2000 tot en met 2004 (2004 nog incompleet), ook een berekening van de waarde van het patentrecht gemaakt. Hij geeft daarin uitkomsten in twee situaties:
• Jij doet mee in de kosten van registratie (€ 2.000.000) en onderhoud patent (€ 400.000); de waarde van jouw aandeel beweegt dan tussen € 159.199,38 en € 454.855,38 (situatie 1)
• Jij doet niet mee in de kosten van registratie; wel in de kosten van patentonderhoud. De waarde van jouw aandeel beweegt tussen € 129.284,87 en € 646.424,33 (situatie 2).
In de waardebenadering van ... blijft de waarde van het merkenrecht buiten beschouwing.
De berekeningen van ... zijn gebaseerd op de volgende uitgangspunten:
Situatie 1:
• Hij gaat uit van de gemiddelde omzet- en kostencijfers over de jaren 2000 tot en met 2004. De gemiddelde winst over die periode trekt hij door naar de jaren 2005 tot en met 2013.
• De brutowaarde van jouw aandeel is 30% van de som van de over die periode te maken winsten. Dat komt uit op € 1.803.034,71. Hij fixeert dit getal op 31 december 2013, en maakt dit getal vervolgens over de periode van 9 jaar contant tegen 5% rente; uitkomst € 1.174.855,38.
• Vervolgens trekt hij 30% af van de kosten van registratie en patentonderhoud; totaal € 720.000. Resteert € 454.855,38.
• Vervolgens markeert hij het ondernemersrisico (marktverlies door toenemende concurrentie, patentproblemen) op een marge tussen 0% en 65% van de berekende waarde.
Situatie 2:
• Hij gaat uit van de gemiddelde omzet- en kostencijfers over de jaren 2000 tot en met 2004. De gemiddelde winst over die periode trekt hij door naar de jaren 2005 tot en met 2009.
• De brutowaarde van jouw aandeel is 30% van de som van de over die periode te maken winsten. Dat komt uit op € 1.001.685,95. Hij fixeert dit getal op 31 december 2009, en maakt dit getal vervolgens over de periode van 5 jaar contant tegen 5% rente; uitkomst € 766.424,33.
• Vervolgens trekt hij 30% af van de kosten van patentonderhoud; totaal € 120.000. Resteert € 646.424,33.
• Vervolgens markeert hij het ondernemersrisico (marktverlies door toenemende concurrentie, vraag van klanten naar andere producten, omdat klanten weten dat ... niet wordt geregistreerd) op een marge tussen 0% en 80% van de berekende waarde.
Op deze waardebenadering van ... zijn de volgende opmerkingen te maken:
• Het verkoopvolume van ... is in de jaren 2000 tot en met 2004 jaarlijks toegenomen. In 2005 is reeds een hoge volumestijging gerealiseerd. Jullie voorzien een verdere doorgroei in de jaren daarna. ... gaat aan deze volumegroei en daarmee samenhangende winstgroei volledig voorbij.
• ... houdt geen rekening met het feit dat in de periode 2000 tot en met 2004 kosten zijn gemaakt die als investering voor de periode daarna beschouwd moeten worden. Daarbij is met name te denken aan de kosten voor het creëren van verkoopkanalen.
• ... negeert de waarde van de voorraad gereed product en grondstof op 31 december 2004; deze waarde is aanzienlijk en verhoogt het resultaat over de periode 2000 tot en met 2004.
• ... maakt contant tegen 5%; de reële rente (als saldo van rente en inflatie) is niet meer dan 1,5 % tot 2%.
• ... maakt de waarde contant naar het eindmoment van de periode (9 resp. 5 jaar); dat is niet juist: hij moet uitgaan van het middenmoment in die periode.
• ... gaat van het bruto bedrag aan kosten uit. Daarbij vergeet hij rekening te houden met de kosten die in de periode 2000 tot en met 2004 reeds zijn gemaakt, alsmede met het feit dat de overige kosten nog in de komende jaren gemaakt moeten worden; derhalve het saldo contant maken.
• ... houdt geen rekening met de waarde van het recht op het einde van de periode: juist vanwege de gemaakte kosten van registratie en patentonderhoud heeft het recht alsdan een waarde voor de jaren daarna.
• De risicobenadering van ... geeft een te grote waarderingsvariatie; bij die risicobenadering moet in het oog worden gehouden dat we spreken over een met patent beschermd product waarbij de verkoopkanalen reeds zijn gelegd en de organisatie is gebouwd! Dus een beperking van het ondernemersrisico uit dien hoofde.
Vanwege bovenstaande omissies in de berekening van ... hebben wij een berekening gemaakt die is gebaseerd op concreet gemaakte toekomstverwachtingen over de periode 2005 tot en met 2013.
