THIS AGREEMENT is made and entered into this 30 day of June, 2003, by and between Hillside Investors Inc., hereinafter referred to as the "Owner", and Inmobiliaria Riverón SRL, hereinafter referred to as the "Agent".
WITNESSETH:
WHEREAS, the Agent holds all licenses required to perform the services herein agreed to be performed and maintains an office, properly equipped and staffed by employees suitable to render the services contracted for herein; and
WHEREAS, the Owner desires to employ the Agent to sell the property of the Owner, hereinafter referred to as the "Property", as described in Exhibit "A" which is attached hereto and made a part hereof by reference; and
WHEREAS, the Agent desires to accept such employment and to use his best efforts to find purchasers for the Owner's property;
NOW, THEREFORE, in consideration of the covenants and agreements contained herein, the Owner and Agent agree as follows:
1. All "WHEREAS" clauses set out hereinabove are hereinafter incorporated by reference.

ESTE CONTRATO se celebra el día 30 de junio de 2003 entre, por una parte Hiliside Investorsc Inc, en adelante referida como el “Propietario”, y por otra parte Inmobiliaria Riverón SRL, en adelante referid como el “Agente”.
SE HACE CONSTAR QUE:
POR CUANTO, el Agente cuenta con todos las permisos requeridas para desempeñar los servicios contenidos en el presente, y cuenta con una oficina debidamente equipada con empleados capacitados para prestar los servicios contratados en el presente; y
POR CUANTO, el Propietario tiene la voluntad de emplear al Agente para venderle su propiedad, en adelante referida como la “Propiedad”, la cual se describe en el Anexo “A” y forma parte del mismo como referencia;
POR CUANTO, el Agente tiene la voluntad de aceptar dicho empleo y de realizar sus mejores esfuerzos para encontrar compradores para la propiedad del Propietario;
EN CONSECUENCIA, en virtud de los convenios y acuerdos contenidos en el presente, el Propietario y el Agente acuerdan lo siguiente:
1. Todas las cláusulas “POR CUANTO” establecidas anteriormente en el presente, serán en adelante incorporadas por vía de referencia.
