SUBSCRIPTION OF SHARES
2.01 Purpose of this Agreement.
The purpose of this Agreement is to capitalize the Company through the inclusion of XXXXXX as a new Shareholder of the Company in order to develop, enhance and implement an efficient and successful operation in the Argentine annuity, insurance and pension fund businesses conducted by the Subsidiaries. The Parties intend that XXXXXX´s experience in the insurance, annuity, and asset management businesses and the Argentine Group´s expertise in the local market and annuity and pension fund businesses will provide for the successful development of the Company and the Subsidiaries.
To achieve that purpose, the Parties have agreed to develop and approve jointly a 5 (five) year strategic and tactical business plan (“Business Plan”) as a condition precedent to the Closing Date. In providing this further time for development and agreement on such Business Plan, the Parties’ purpose is to provide for the development of and agreement on prospective business strategies which will enhance the returns to the Shareholders from those under consideration in the projections as of October 30, 2XXX. The new Business Plan will include specific planning for the investment, allocation and returns from new funds provided as Capital Contribution by XXXXXX. The Parties agree that the exact timing, implementation and usage of such contributions, beyond that portion payable at the Closing Date, will be subject to agreement of the appropriate Board on a Supermajority Voting Requirement basis, as defined under Article 3.04 and Article 4.05 of Exhibit 1.26.
2.02 Subscription of the Shares.
On November 10,xxxx , and prior to the execution hereof, a Shareholders’ Meeting of XXXXXX has been held to approve a capital increase in the Company’s corporate capital to $xxxx (Pesos xxxx). Such capital increase shall be subscribed and instrumented by means of the capital contribution to be made by XXXXXX subject to the terms and conditions hereof, and to be entirely applied to the subscription of 100% (one hundred percent) of xxxx (xxxx) New Shares. Each New Share shall bear a subscription premium of $xxxx (pursuant to the convertibility rule US$1=$1, provided no devaluation occurs which alters the economic relation of the obligations hereunder), thus totaling $xxxx (xxxx) of subscription premium for the Class “B” Shares.
XXXXXX shall subscribe 100% (one hundred percent) of the Class "B" Shares on the Closing Date in exchange for the Capital Contribution which will be effectively paid-in to the Company in the following manner: (i) 50% (fifty percent) thereof, that is the amount of $xxxx (Pesos xxxx), in cash shall be deposited in the account of XXXXXX, on the Closing Date; and (ii) the balance thereof shall be paid-in on the dates and in the installments as determined by the Board.
The Argentine Group agrees not to subscribe to any of the Class "B" Shares, and to expressly waive in the pertinent Shareholders’ Meeting their respective Rights.
After the Class “B” Shares are issued and delivered to XXXXXX, XXXXXX will hold 35% (thirty five percent) of the outstanding Shares and votes of XXXXXX as expressed in Article 2.04 below.
The Shareholders’ Meeting will delegate to the Board the allocation of the Capital contribution among the Subsidiaries, and the opportunity thereof, in accordance and in full compliance with the Business Plan to be approved by the Parties and attached on the Closing Date as Annex 1.08 of Exhibit 1.26, or the then current Annual Business Plan.
2.03 Effects of any Change in the Convertibility Rule.
If there is any change in the Argentine Convertibility Law Nbr. 23,928 in a manner that the current convertibility rule of $1=US$1 varies after the Closing Date but before the effective contribution made by XXXXXX of the full amount of the Capital Contribution or before the date of the put option described in Article 9.03 of the Exhibit 1.26, the Parties will agree how to reflect the change in the value of the business and how to adjust the remaining payments.
2.04 Corporate Capital and Votes of the Company.
Subject to the full completion of the acts and the execution of the documents to occur or to be exchanged on the Closing Date as provided for in Article 3.02 hereof, the corporate capital of the Company shall be represented by xxxx (xxxx) Class "A" Shares of nominal value $1 (Pesos One) per Share, and 1 (one) vote each, which will represent 65% (sixty five percent) of the corporate capital and votes of the Company; and xxxx (xxxx) Class "B" Shares of nominal value $1 (Pesos One) per Share, and 1 (one) vote each, which will represent 35% (thirty five percent) of the corporate capital and votes of the Company.
Each New Share shall carry the same Rights and obligations as any other Share, except only as otherwise provided for herein and in the Shareholders’ Agreement (e.g., with respect to the election of principal and alternate Directors, where holders of Class "A" Shares and Class "B" Shares will vote separately).
2.05 Additional Share Subscription and Call Option.
Subject to what is established herein and for the term indicated in each case, XXXXXX shall have the right to increase its participation in XXXXXX up to 50% (fifty percent) of the corporate capital and votes of the Company.
To this effect, and notwithstanding what the Parties have established under the Shareholders’ Agreement, the Argentine Group and XXXXXX hereby grant to XXXXXX: (i) during the first 5 (five) years as from the Closing Date an option to increase at any time XXXXXX’s participation in XXXXXX through one or more additional capital contributions in cash payable as described below and concomitant subscription/s of additional Class “B” Shares in XXXXXX; and (ii) after 1 (one) year of the Closing Date of the Shareholders’ Agreement and for 5 (five) years thereafter, call options to purchase from the Argentine Group in one or more occasions any of their respective Shares, as established under Article 7.02 of the Shareholders’ Agreement.

SUSCRIPCIÓN DE ACCIONES
2.01 Propósito de este Acuerdo.
El propósito de este Acuerdo es capitalizar la Compañía a través de la inclusión de XXXXXX como un nuevo Accionista de la Compañía para desarrollar, ampliar e implementar un funcionamiento eficaz y exitoso en las transacciones comerciales en Argentina de renta vitalicia, seguros y de fondos de pensiones llevados a cabo por las Subsidiarias. Las Partes entienden que la experiencia de XXXXXX en la gestión de transacciones comerciales de seguros, renta vitalicia y administración de activos; y la especialización de Grupo Argentino en el mercado local y en renta vitalicia y de fondos de pensiones resultará en un desarrollo exitoso de la Compañía y las Subsidiarias.
Para lograr ese propósito, las Partes han acordado desarrollar y aprobar conjuntamente un plan comercial estratégico y táctico “el Plan Comercial” de 5 (cinco) años de duración como condición precedente a la Fecha de Cierre. Al estipular esta extensión de tiempo para el desarrollo y acuerdo en dicho Plan Comercial, el propósito de las Partes es apoyar el desarrollo de un acuerdo de posibles estrategias comerciales que incrementarán los ingresos de los Accionistas más allá de aquellos considerados en las proyecciones a partir del 30 de octubre de 2XXX. El nuevo Plan Comercial incluirá la planificación específica para la inversión, la asignación y el ingreso de nuevos fondos proporcionados como Contribución de Capital por XXXXXX. Las Partes acuerdan que el momento, la aplicación y la utilización de tales contribuciones, más allá de esa porción pagadera a la Fecha de Cierre, estarán sujetos al acuerdo del Directorio apropiado en una Votación que requerirá Mayoría Absoluta como se definió según el Artículo 3.04 y el Artículo 4.05 del Anexo 1.26.
2.02 Suscripción de las Acciones.
El 10 de noviembre de xxxx, y previo a la ejecución del presente, se llevó a cabo una Asamblea de Accionistas de XXXXXX para aprobar un aumento de capital en el Capital societario de $xxxx (Pesos xxxx). Dicho aumento de capital se subscribirá y se instrumentará por medio de la Contribución de Capital a ser realizada por XXXXXX sujeto a los términos y condiciones del presente, y para ser aplicado en su totalidad a la suscripción del 100% (cien por ciento) de xxxx (xxxx) Nuevas Acciones. Cada Nueva Acción llevará un prima de suscripción de $xxxx (según la norma de convertibilidad U$S1=$1, siempre y cuando ninguna devaluación ocurra que altere la relación económica de las obligaciones de acuerdo al presente), totalizando así $xxxx (Pesos xxxx) de prima de suscripción para las Acciones Clase “B”.
XXXXXX subscribirá 100% (cien por ciento) de las Acciones Clase "B" a la Fecha de Cierre a cambio de la Contribución de Capital que será eficazmente pagada a la Compañía de la siguiente manera: (i) 50% (cincuenta por ciento) en la misma, o sea la cantidad de $xxxx (Pesos xxxx), en dinero en efectivo que se depositará en la cuenta de XXXXXX, a la Fecha de Cierre; y (ii) el saldo será pagado en las fechas y en la cantidad de pagos determinados por el Directorio.
El Grupo Argentino acuerda no subscribirse a ninguna de las Acciones Clase "B", y renunciar expresamente en la Asamblea de Accionistas pertinente sus Derechos a este respecto.
Después de que se emitan las Acciones Clase “B” y se entreguen a XXXXXX, XXXXXX poseerá 35% (treinta cinco por ciento) de las Acciones en circulación y de los votos de XXXXXX como se expresa en el Artículo 2.04 más adelante.
La Asamblea de Accionistas delegará al Directorio la asignación de la Contribución del entre las Subsidiarias, y en su oportunidad, en completa concordancia con el Plan Comercial a ser aprobado por las Partes y adjunto a la Fecha de Cierre como Anexo 1.08 del Anexo 1.26, o al entonces Plan Anual de Transacciones Comerciales.
2.03 Efectos de cualquier Cambio en la Norma de Convertibilidad.
Si hubiera algún cambio en la Ley de Convertibilidad Argentina Número 23.928 de manera tal que la norma de convertibilidad actual de $1= U$S varíe después de la Fecha de Cierre pero antes de que la contribución efectiva por parte de XXXXXX del valor total de la Contribución de Capital se hiciera efectiva o antes de la fecha de la opción de venta descripta en el Artículo 9.03 del Anexo 1.26, las Partes acordarán cómo reflejar el cambio en el valor del negocio y cómo ajustar los pagos restantes.
2.04 Capital corporativo y Votos de la Compañía.
Sujeto a la plena realización de los actos y la celebración de los documentos que sean llevados a cabo o sean intercambiados a la Fecha de Cierre como se expresa en el Artículo 3.02 del presente, el capital corporativo de la Compañía será representado por xxxx (xxxx) Acciones Clase “A” de valor $1 nominal (Pesos Uno) por Acción, y 1 (un) voto cada uno que representará el 65% (sesenta cinco por ciento) del y de los votos de la Compañía; y xxxx (xxxx) Acciones Clase "B" de valor nominal $1 (Pesos Uno) por Acción, y 1 (un) voto cada uno que representará el 35% (treinta cinco por ciento) del capital corporativo y de los votos de la Compañía.
Cada Nueva Acción llevará los mismos Derechos y obligaciones que cualquier otra Acción, con la sola excepción que se acuerde de otro modo en el presente y en la Asamblea de Accionistas (Ej., con respecto de la elección de los Miembros del Directorio titulares y los suplentes, donde los poseedores de las Acciones Clase “A” y Clase "B" votarán separadamente).
2.05 Suscripción Adicional de Acciones y Opción de Compra.
Sujeto a lo que se establece en el presente y para el término indicado en cada caso, XXXXXX tendrá el derecho de aumentar su participación en XXXXXX hasta un 50% (cincuenta por ciento) del capital corporativo y de los votos de la Compañía.
A este efecto, y no obstante lo que las Partes han establecido por el presente según la Asamblea de Accionistas, el Grupo Argentino y XXXXXX por el presente otorgan a XXXXXX: (i) durante los primero 5 (cinco) años desde la Fecha de Cierre una opción de aumentar la participación de XXXXXX en XXXXXX en cualquier momento a través de una o más contribuciones de capital adicionales en dinero en efectivo pagadero como se describe más adelante y de suscripción/es concomitantes de Acciones Adicionales Clase “B” en XXXXXX; y (ii) después de 1 (uno) año de la Fecha de Cierre de la Asamblea de Accionistas y por 5 (cinco) años de allí en adelante, las opciones de compra para comprar del Grupo Argentino en una o más ocasiones cualquiera de sus Acciones respectivas, como se establece según el Artículo 7.02 de la Asamblea de Accionistas.
