Prior to any Transfer by a Party (a "Transferor") of all or part of its Securities (the "Transferred Securities") to a Party or a Third Party (the "Transferee"), the Transferor shall notify the proposed Transfer of such Transferred Securities (the "Proposed Transfer") to the other Parties (the "Other Parties", including the Transferee if it is a Party) and to the Company specifying the identity and the quality of the Transferee (Party or Third Party), the identity of the person controlling the Third Party (as the case may be), the number of Securities comprised in the Proposed Transfer, the price offered by the Transferee (or, in thecircumstances provided for in paragraph (b)(ii) of article 7.2 below, by the Transferor), and a description of the transaction by which the Transfer is to be effected.
