La forma jurídica más comúnmente adoptada en Brasil en el sector inmobiliario, por los inversores extranjeros, es la de Sociedad de Propósito Específico (SPE), que tiene como principal ventaja para el inversor, la separación de los riesgos asociados a cada negocio.
En el ramo inmobiliario se constituye para el desarrollo y/o gestión de una promoción inmobiliaria especifica.
La SPE puede ser constituida en la modalidad de una sociedad por acciones o limitada, siendo esta última la forma más habitual.
Para el inversor, le permite tres ventajas esenciales: compartir know how, utilizarse de la marca y nombre del socio local, dando mayor credibilidad a la promoción y utilizarse del rating bancario del socio local, para poder acceder a financiación ante la Banca brasileña.
La creación de la SPE para el desarrollo de una promoción inmobiliaria aporta una mayor claridad y seguridad a los compradores de las unidades en las plantas, y a agentes financiadores de estas promociones, debido a que se distingue los patrimonios de las sociedades, cada socio tiene su patrimonio, no mezclando otros ingresos y/o gastos.
Como es una empresa creada para atender a un solo proyecto, tiene duración determinada, extinguiéndose con la entrega de las llaves, o después de recibir la totalidad de los pagos de los clientes. En esta sociedad se aísla el riesgo financiero y no hay la contaminación de cualquier otro problema de otra promoción o negocio de los socios.

Most foreign investors investing in the Brazilian property market do so through a Special Purpose Entity (SPE). The main advantage this legal entity affords the investor is that the risks involved in each business remain separate.
When applied to the property sector an entity of this type is set up to develop and/or manage a specific property development.
A SPE can be established as a society with shares or as a limited company, the latter being the most common of the two.
For the investor, it has three essential benefits: the entity will benefit from the sharing of ‘know-how’, the entity can use the local partner’s brand and business name which will boost the development’s credibility and the entity will benefit from the local partner’s bank rating in order to be able to apply for funding from Brazilian banks.
By creating a SPE for the development of a property project the company can provide more clarity and security for the unit buyers, as well as for the development’s financial agents. This is due to the fact that all assets are isolated, each partner has his/her assets, they are not mixed with other income and/or costs.
As this entity is created to attend to a specific project, it has a set duration and comes to an end once the keys have been given to the new property owners, or after receiving the full amount in payment from the customers. The financial risk within this limited company is isolated and it will not be affected by any other development or any of the partners’ other businesses.
