This Contract is made by and between the Buyers and the Sellers; whereby the Buyers agree to buy and the Sellers agree to sell the undermentioned commodity according to the terms and Conditions stipulated below:
1.Commodity and Specifications:

Total FOB Buenos Aires port, Argentina: US dollars Forty three thousand one hundred and nine.
2. COUNTRY OF ORIGIN AND MANUFACTURERS:
ARGENTINA
3. PACKING:
To be packed in container(s) and/or flat racks, suitable for long distance ocean transportation and to change of climate, well protected against moisture and shocks.
4. SHIPPING MARK: The Sellers shall mark on each package with a sticker showing bag number ID and shipping mark , according to buyer´s instructions to be informed in due time.
5. TIME OF SHIPMENT: Within three weeks after the contract be signed by the Buyer and Seller.
Buyer to nominate a vessel with 10 days preadvise.
6. PORT OF SHIPMENT: Buenos Aires, Argentina
7. PORT OF DESTINATION: Dalian Seaport, China
8. INSURANCE: To be covered by the Buyer.
9. PAYMENT:
Cash against documents within 30 days after bill of lading date.
10. DOCUMENTS:
(1) A full set of Clean On Board Bill of Lading marked “Freight Prepaid” and made out blank endorsed with notification to the buyer at the port of destination. House B/Ls acceptable.
(2) Commercial invoice in 3 sets covering 100% of the contract value indicating contract number and shipping mark.
(3) Packing List in 3 copies issued by Manufacturer or Seller at Seller’s option indicating quantity, dimension and weight of shipped goods.
(4) A original statement issued by the Manufacturer or Seller at Seller’s option that the IPPC marks was marked on the wooden cases or a declaration of No-wood packing material, if there’s any non-wood packaging.
(5) 2 copies of Certificate of quality and quantity issued by the Manufacturers or Seller at Seller’s option.
(6) 1 Original Certificate of Origin issued by Manufacturers or Seller at Seller’s option
11. SHIPMENT
The Sellers shall, immediately after dispatch of the goods, advise the Buyers by fax / E-mail of the Contract No, commodity, invoiced value and date of dispatch for the Buyer to arrange insurance in time.
12. SHIPPING ADVICE:
The Seller shall, after completion of the loading of the goods, send by Fax or Email one copy set of the aforesaid documents and advise the Buyer the Contract No., commodity, quantity, invoice value, gross weight and date of sailing etc.
13. GUARANTEE OF QUALITY
As per Annex 1 “Guarantee terms”.
14. CLAIMS:
Within 60 days after the arrival of the goods at destination, should the quality, specification, or quantity be found not in conformity with the stipulations of the Contract except those claims for which the insurance company or the owners of the vessel are liable, joint survey will be performed by Supplier/Seller/Buyer/End user and SGS at the same time of the start up of the operation. Supplier will provide Buyers with technical assistance for the start up operational process. If upon the joint survey, the quality, specification, or quantity be found not in conformity with the stipulations of the Contract,the Buyers shall, on the strength of the Inspection Certificate issued by the SGS, have the right to claim for replacement with new goods, or for compensation, and all the expenses ( such as inspection charges, freight for returning the goods and for sending the replacement , insurance premium, storage and loading and unloading charges etc.) shall be borne by the Sellers.
Buyers will notify Sellers the date of the joint survey with a pre-advise of 30 days.
All tests, appraisals or examinations made in order to define if the machines are in conformity with the stipulations of this contract shall be performed before any machinery start up.
15. FORCE MAJEURE:
1)The Sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, such as war, serious fire, flood, typhoon and earthquake, or other events agreed upon between both parties, which might occur during the process of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers shall send by airmail or courier to the Buyer for their acceptance a certificate of the accident issued by the Competent Government Authorities or local chamber of commerce where the accident occurs as evidence there of.
2) Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyers shall have the right to cancel the Contract.
3)The Buyer shall not be held responsible for failure or delay to perform all or any part of this contract due to Force Majeure.
16. LATE DELIVERY
Should the Sellers fail to make delivery on time as stipulated in the Contract and fail to make delivery four weeks later than the time of shipment stipulated in the Contract,, with exception of Force Majeure causes specified in Clause 15 of this Contract, the Buyers shall have the right to cancel the contract.
17. ARBITRATION
All disputes in connection with this Contract or the execution thereof shall be settled friendly through negotiations. In case no settlement can be reached, the case may then be submitted for arbitration for settlement according to the rights and obligations stipulated in the Contract. The Arbitration shall take place in the Arbitration Institute of the Stockholm Chamber of Commerce in accordance with the Statutes of the Arbitration Institute, Stockholm, Sweden and the decision of the Arbitration Committee shall be final and binding upon both parties; neither party shall seek recourse to a law court nor other authorities to appeal for revision of the decision. Arbitration fee shall be borne by the losing party. This contract is governed by the law of Sweden.
18. TAXES AND DUTIES
1) All taxes in connection with the execution of this Contract Levied by the Chinese Government on the Buyer in accordance with the tax laws in effect shall be borne by the Buyer.
2)All taxes arising outside of China in connection with the execution of this Contract shall be borne by the Seller.
3) Unless otherwise stipulated in the Contract, the terms and conditions of the Contract shall be interpreted in accordance with Incoterms 2000 ICC Uniform Customs and Practice for Documentary Credits 500 and Uniform Rules for Collections (Publication No.522).
19.SPECIAL PROVISIONS: All the banking charges incurred in China for the execution of the present contract shall be borne by the Buyer and those incurred outside China shall be borne by the Seller.
This Contract is made in English and signed by both parties in three original copies, the seller holds one copy, the buyer holds one copy, and end-user holds one copy. The attachment of this contract shall be an integral part of the contract and have the same force as the contract.

3. EMPAQUE
A realizarse en contenedor(es) y/o Flat Racks, adecuados para transporte oceánico de larga distancia y cambios climáticos, debidamente protegido contra la humedad y los golpes.
4. MARCA DE ENVÍO: El vendedor deberá marcar con un estiquer eL número e identificación del bulto, de acuerdo a las instrucciones del comprador, enviadas a su debido tiempo.
5. TIEMPO DE ENVÍO: Dentro de las tres semanas a partir del momento en que se firma el contrato.
El comprador nombrará un buque con 10 días de preaviso.
6. PUERTO DE ENVÍO: Buenos Aires, Argentina.
7. PUERTO DE DESTINO: Puerto Dalian, China.
8. SEGURO: Estará a crago del comprador.
9. CONDICIONES DE PAGO
Pago contra entrega de documentos dentro de los 30 días de la fecha de emisión del B/L.
10. DOCUMENTOS
1) Un juego completo del Conocimiento de Embarque limpio a bordo marcado como “flete pagadero en origen” y endosado en blanco con notificación al comprador en el puerto de destino. Se aceptará el Conocimiento de embarque de la compañia.
2) Factura comercial por triplicado que cubra el 100% del valor del contrato y que indique el número de contrato y marca de envío.
3) Lista de empaque por triplicado emitida por el fabricante o vendedor que indique la cantidad, dimensión y peso bruto/neto de la mercadería enviada.
4) Un documento original emitido por el vendedor, enunciando que las marcas de prevención y control de contaminación integrada (IPPC) han sido impresas en las cajas de madera o una declaración que exprese que el material de empaque no contiene madera, en caso de que no haya embalaje de madera.
5) Dos copias del certificado de calidad y cantidad emitido por el fabricante.
6) Certificado de Origen Original emitido por el fabricante.
11. ENVÍO
Tan pronto se realice el despacho de la mercadería, el vendedor deberá informar al comprador por fax/ E-mail el número de contrato, mercadería, valor de la factura, y fecha de despacho para que el comprador pueda tramitar el seguro a tiempo.
12. INFORMACIÓN DE ENVÍO:
Luego de que se complete la carga de la mercadería, el vendedor deberá enviar por Fax un juego de los documentos mencionados anteriormente e informar al comprador el no. de contrato, la mercadería, cantidad, valor de la factura, peso bruto, y la fecha de envío, etc.
13. GARANTÍA DE CALIDAD
De acuerdo al anexo 1 "Condiciones de la garantía”
14. RECLAMOS
Si dentro de los 60 días luego de que la mercadería llegua a destino, la cantidad, especificación o la calidad de la mercadería no se encuentra de acuerdo con las estipulaciones de este contrato a excepción de aquellos reclamos que son responsabilidad de la compañía de seguros o los dueños del buque, se realizará una inspección conjunta entre el distribuidor/vendedor/comprador/usuario final y SGS al momento de puesta en marcha de la mercadería. El proveedor brindará al comprador asistencia técnica para el proceso de puesta en marcha. En caso de que al momento de la inspección conjunta, se determine que la calidad, especificación o cantidad no se encuentra conforme a las estipulaciones del contrato, el comprador, en base a la validez del Certificado de Inspección emitido por SGS, tendrá derecho a reclamar el cambio de la mercadería o compensación. Todos los gastos incurridos (como gastos de inspección, flete para retornar la mercadería y enviar el reemplazo, prima, gastos de almacenaje, carga y descarga etc.) estarán a cargo del vendedor
El comprador notificará al comprador la fecha de la inspección con un pre aviso de 30 días.
Todos los testeos o examinaciones realizados para definir si las máquinas se encuentran conforme a las estipulaciones del presente contrato deberán realizarse previo a la puesta en marcha de las máquinas.
15. FUERZA MAYOR
1) El vendedor no será responsable por retrasos en el envío o por no entregar la mercadería debido a casos de fuerza mayor, como guerra, incendios graves, inundaciones y terremotos, u otros eventos pactados entre ambas partes, que podrían ocurrir durante el proceso de fabricación o en el proceso de carga o en tránsito. El vendedor deberá informar al comprador inmediatamente al producirse los eventos mencionados anteriormente y, dentro de los catorce días desde ese momento en adelante, el vendedor deberá enviar vía correo aéreo al comprador para que éste lo acepte, un documento que certifique el accidente emitido por Autoridades Gubernamentales competentes del lugar donde ocurriese el accidente como evidencia del mismo.
2) Sin embargo, bajo esas circunstancias, el vendedor todavía tiene la obligación de tomar todas las medidas necesarias para adelantar la entrega de la mercadería. En caso de que el accidente dure más de 10 semanas, el comprador tendrá el derecho de cancelar el contrato.
3) El comprador no será responsable por fallas o retrasos para realizar toda o alguna de las partes de este contrato debido a problemas de causa mayor.
16. RETRASO EN LA ENTRGA
Si el vendedor no entregara la mercadería a tiempo según lo estipulado en el contrato y no realizara la entrega cuatro semanas luego de la fecha de envío estipulada en el Contrato, a excepción de los casos de Fuerza Mayor especificados en la cláusula 15 de este contrato, el comprador tendrá derecho a cancelar el contrato.
17. ARBITRAJE
Todos los conflictos relacionados a este contrato o a la ejecución del mismo deberán ser solucionados a través de negociaciones amigables. En caso de que no se llegara a ningún acuerdo, el caso debería ser sometido al arbitraje de acuerdo con los derechos y obligaciones detallados en el Contrato. El arbitraje deberá realizarse en el Comité de Arbitraje de la Cámara de Comercio de Estocolmo de acuerdo a los estatutos del Instituto de Arbitraje de Estocolmo, Suecia según la Ley de Suecia. La decisión del Arbitraje deberá ser decisiva y vinculante para ambas partes; ninguna de las partes deberá recurrir a un tribunal o alguna otra autoridad para apelar la revisión de la decisión. La tarifa de arbitraje estará a cargo de la parte que no salga beneficiada.
18. IMPUESTOS Y OBLIGACIONES:
1) Todos los impuestos que El Gobierno de China cobre al comprador en relación al presente contrato, de acuerdo a las leyes de impuestos vigentes, estarán a cargo del comprador
2) Los impuestos relacionados a la ejecución de este contrato que surjan fuera de China estarán a cargo del vendedor.
3) A menos que se especifique lo contrario en el contrato, las cláusulas y condiciones del contrato deberán ser interpretadas de acuerdo a los Incoterms 2000 ICC de las Normas y usos uniformes de los créditos documentarios 500 y las Normas Uniformes de Recaudación (Publicación 522)
19. DISPOSICIONES ESPECIALES: Todos los gastos bancarios incurridos en China para la ejecución del presente contrato estarán a cargo del comprador y aquellos adquiridos fuera de China estarán a cargo del vendedor.
Este contrato está confeccionado en inglés y está firmado por ambas partes en tres copias originales; el vendedor posee una copia, el comprador posee otra copia y el usuario final posee la tercera. Los adjuntos de este contrato deberán ser considerados parte integral del mismo y tienen la misma validez que el contrato.
