A. THE SELLER
1. CAPACITY
1.1 The Seller is a company duly organised and validly existing under the laws of the jurisdiction of England and Wales.
1.2 The Seller has the full right and title of the Shares (defined in the Share Purchase Agreement as the shares of the Company A), free from any Security Interest (defined in SPA).
1.3 The Seller has the requisite power and authority to execute this Agreement and perform its obligations under and the transactions contemplated in this Agreement.
1.4 The execution of, and the performance by the Seller of its obligations under this Agreement will not:
1.4.1 result in a breach of any provision of its articles of association; or
1.4.2 result in a breach of any order, judgement or decree of any Competent Authority to which it is a party or by which it is bound and which is material in the context of the transactions contemplated by this Agreement.
1.5 Other than as referred to this Agreement, no consents, approvals, authorisation or permits are required to be obtained by the Seller in connection with the execution and performance of this Agreement.
1.6 To the best of the Seller's knowledge, no insolvency proceedings have been commenced against the Seller and the Companies for its winding up or dissolution, nor has an insolvency administrator, liquidator or similar officer been appointed with respect to any or all of the Seller’s assets which would prevent the Seller and the Companies from fulfilling its obligations under this Agreement.

1.5 Además de los que se contemplan en este Acuerdo, el Vendedor no necesitará obtener ningún otro consentimiento, autorización o permiso, en relación con la ejecución y el perfeccionamiento de este Acuerdo.
1.6 Según el leal saber y entender del Vendedor, no se ha comenzado ningún procedimiento de insolvencia contra el Vendedor ni las sociedades por su liquidación o disolución, ni se ha nombrado a un administrador judicial, a un liquidador ni a nungún funcionario similar con respecto a cualquiera o a todos los bienes del Vendedor que le impedirían a este y a las Sociedades cumplir sus obligaciones tal y como se recogen en este Acuerdo.

PART 1: DEFINITIONS AND INTERPRETATION
Defined terms
(1) The special meanings given to certain words and phrases in the articles are set out in the
index of defined terms.
PART 2: DIRECTORS
DIRECTORS’ POWERS AND RESPONSIBILITIES
Directors’ general authority
Subject to the Companies Act and the articles, the directors:
(a) shall manage the company’s business; and
(b) may exercise all the powers of the company for any purpose
connected with the company’s business.
Members’ reserve power
(1) The members may, by special resolution, order the directors to act, or refrain from acting, in a
particular way
(2) No such special resolution shall invalidate anything which the directors have already done.
DECISION-MAKING BY DIRECTORS
Directors to take decisions collectively
(1) This article applies to any matter in respect of which the directors have not delegated their
powers and responsibilities to a single director.
(2) Subject to the articles, the directors must not act in relation to any such matter unless they
have taken a decision about it:
(a) at a directors’ meeting, or
(b) in the form of a directors’ written resolution, in
accordance with the articles.
Calling directors’ meetings
(1) Any director may call a directors’ meeting.
(2) The company secretary shall call a directors’ meeting if a director so requests.
(3) A meeting is not called unless reasonable notice of it has been given, indicating its proposed
date, time, place and subject matter.
(4) Notice must be given to all the directors, except those:
(a) to whom it is not possible to give reasonable notice; or
(b) who waive their entitlement to notice, prospectively or retrospectively.
(5) Notice of a directors’ meeting need not be given in writing.
(6) The reasonableness of any notice period shall be determined by reference to:
(a) the urgency and importance of the meeting’s subject matter; and
(b) individual directors’ ability to receive notice of or participate in the meeting.
Quorum for directors’ meetings
(1) At a directors’ meeting, unless a quorum is participating, no proposal shall be voted on, except
a proposal to call another meeting.
(2) The quorum for directors’ meetings may be fixed from time to time by:
(a) a decision of the directors, or
(b) an ordinary resolution,
but it shall never be less than two, and unless otherwise fixed it shall be two.
(3) Subject to the articles, a director who is interested in an actual or proposed transaction or
arrangement with the company shall not be counted as participating in any directors’
meeting, or part of a directors’ meeting, relating to that transaction or arrangement.

(b) que renuncien a su derecho de ser avisados, tanto en el futuro como en el pasado.
(5)No será necesario avisar por escrito de la celabración de la reunión.
(6)La razonabilidad de cualquier periodo de aviso, se verá determinada con repecto a:
(a)la urgencia y la importancia del tema de discusión de la reunión y
(b)la habilidad individual de los consejeros para recibir el aviso o para participar en la reunión.
Quórum en las reuniones de los consejeros
(1)Durante una reunión, a menos que participe un quórum, no se votará ninguna propuesta con excepción de la propuesta para convocar otra reunión.
(2)El quórum se fijará en su momento mediante:
(a)la decisión de los consejeros o
(b)un acuerdo ordinario
pero nunca será menos de dos y a menos que se especifique de otro modo, serán dos.
(3) De conformidad con los estatutos, un consejero interesado en una transacción o acuerdo real o propuesta con la sociedad, no se contará como participante en cualquier reunión de los consejeros o como parte de la reunión de los estos, en relación a tal transacción o disposición.
