بموجب اتفاقية الصيانة الموقعة بينكم وبين موكلتنا بتاريخ 21/3/2022 والتى تم الاتفاق بموجبها على ان تقوم شركتكم بانجاز اعمال الصيانة لبناء اس كي بي بلازا بمنطقة ام السيف وفق البنود الواردة بالاتفاقية والمحددة وذلك خلال مدة زمنية 60 يوم من تاريخ استلام الدفعة المقدمة .
وحيث ان وفق الثابت فقد تم استلام الدفعة المقدمة من طرفكم بتاريخ 4/4/2022 وحتى تاريخه لم يتم انجاز الاعمال المتفق عليها من طرفكم . بالاضافة الى وجود ملاحظات بالاعمال التى تم البدء فيها وكذلك التسبب بالاضرار بالمستاجرين القاطنين بالمبنى . والى تاخر انتفاع موكلتنا بالعقار لعدم انجاز الاعمال حتى تاريخه .

- فإن المنذرة تنذر المنذر إليها بضرورة انجاز الاعمال خلال عشرة ايام من تاريخ استلامكم للاخطار تحت طائلت فسخ الاتفاق واللجوء الى القضاء ومطالبة موكلتنا بالمبلغ المسدد لكم مع الضرر الحاصل من تقاعسكم عن اتمام وانجاز الاعمال الموكلة لكم . وكذلك الكسب الفائت من عدم الاتفاع بالعقار لعدم اتمام الصيانة مع تحميلكم الرسوم و المصروفات و مقابل أتعاب المحاماة .

Subject: Legal Notice with Completion of Contracted Works under Penalty of Termination and Compensation
Under the maintenance agreement signed between you and our Principal, on 31/03/2022, under which it is agreed that your Company shall complete maintenance works for SBK Place- at Umm Al Saif, as per the clauses mentioned and set out in the Agreement, during period of time for 60 days as of the date of receiving the advance payment.
Whereas as established, the advance payment was received by you on 04/04/2022. However, to date, the agreed works were not completed by you. In addition, we have comments regarding the works commenced as well as causing damages to the tenants residing in the building; resulting in delay of our Principal to benefit from the premises due to failure to complete the works to date.
Therefore
- The Notified hereby notified the Notified Party with the requirement to complete the works within ten days as of the date of receiving this Notice under penalty of agreement termination, referring to courts, and our Principal claim for the amount paid to you along with the damage caused by delay in completion of the works assigned to you. This is in addition to the lost profit due to failure to benefit from the premises due to failure to complete the maintenance. Furthermore, you shall bear fees, expenses and against attorney’s fees.

In respect of the third item of the agenda, the Chairman recommended to appoint an authorized signatory on behalf of ....., and after deliberations, it was decided to appoint Mr. .... Ahmed and Mr. ...., "jointly and severally" as the authorized signatory of the Company in all respects, including administrative and technical aspects, and he was given the following powers:
• Managing, supervising and signing all papers, applications, documents and transactions of the Company, submitting and receiving them with governmental and non-governmental bodies, and the right to attend and sign representing the Company in an absolute manner before all official and unofficial bodies inside and outside the state and abroad, including, but not limited to (the Department of Economy and Tourism, Ministry of Human Resources and Emiratisation, the Federal Authority for Identity and Citizenship, Customs, Ports Security, the Department of Municipality and Planning, Commercial Register, chambers of commerce and industry, airports, ports, civil defense, police stations, traffic, notary public, courts of all levels, the Federal Electricity and Water Authority, Ministry of Health, medical departments and regions, telecommunications, dispute resolution committees, Free Zone, Real Estate Registration Office, Roads and Transport Authority, Planning and Survey Department, Ministry of Economy, Ministry of Industry and Emirates Post Authority)
• The right to change the legal form and the place of work, activity and trade name. He shall also have the right to sign business partnership contracts, service agent contract, memor and a of association, sale and assignment contracts for himself or third party. He has the right to attend ordinary and extraordinary partners’ general assemblies, boards of directors and vote on behalf of the Company
• He shall be entitled to enter in the name of the Company in partnership with others in existing companies of any kind, to purchase shares and stock in such companies in the name of the Company at the price he deems appropriate, to sign and conclude contracts for the purchase or sale of shares and stock in the name of the Company, and to sign the Company/ companies regulations, amendments and appendices.He has been granted all the required powers to do any work of any kind with regard to the above.
• The authorized signatory shall have the right to conclude, sign, amend and terminate contracts before the competent authorities and renew them. He shall have the right to open and close bank accounts in the name of the Company, manage them by withdrawing and depositing, sign and endorse cheques , disburse their value, request banking facilities and loans, open credits and bank letters, sign their contracts, request account statements, issue an ATM card and finance vehicles at banks, sign contracts in this respect, and conclude contracts and agreements within the purpose of the Company with persons, individuals, institutions, authorities and governmental, non-governmental and semi-official departments.
• He shall have the right to file reports and complaints with the police stations and Public Prosecution, and waive them and cases amicably or by courts. He shall have the right to collect debts, prosecute debtors and pay dues on behalf of the Company without referring to the management.He shall refer to all government departments and civil status. He shall have the right to pay fees and securities, and recover them, including,
• He shall have the right to appoint workers and employees, determine their salaries and dismiss them, and has all authorizing powers. He shall have the right to open workers' escape reports, pay their fees, recover securities, receive bank guarantees for workers and employees, disburse them and receive them from banks. He shall also have the right to absolutely dispose vehicles registered with the Traffic Department and license vehicles by sale, accept sale for third parties, assignment, or accept assignment and transfer them to himself or to third parties.
• He shall have the right to file and follow up cases, and to take all actions required for the case, procedures, requests, acknowledgment, collection, reconciliation, discharge, waiver, or denial, submit excuses, warnings, notices, submit requests for detention and waive the same, and requests for travel ban, take any action deemed appropriate thereby, and to open reports of all kinds. He shall open reports regarding bouncedؤcheques and all cases and/ or any other entity.He shall refer to all governmental, non-governmental, official and semi-official departments, and sign on my behalf all papers, requests and forms related to the work entrusted thereto. • الحق في تغيير الشكل القانوني وتغيير موقع العمل والنشاط والاسم التجاري كما له الحق في التوقيع علي عقد عقود شراكة اعمال وعقد وكيل الخدمات وعقود التاسيس وعقود البيع والتنازل لنفسه او للغير كما له الحق في حضور جمعيات الشركاء العمومية العادية وغير العادية ومجالس الادارة والتصويت عن الشركة
• الحق في الدخول باسم الشركة في شراكة مع آخرين في الشركات القائمة من أي نوع كان وشراء الحصص والأسهم في هذه الشركات باسم الشركة وذلك بالثمن الذي يراه مناسباً وتوقيع وإبرام عقــود شـــراء أو بيع الحصص والأسهم باسم الشركة والتوقيـع على أنظمة الشركة/ الشركات وتعديلاتها وملاحقـها وقد منحته كافة الصلاحيـات اللازمة للقيام بأي عمل من أي نوع بخصوص ما ذكر أعلاه
