Texto de origen - español INFORME JURÍDICO RELACIONADO SOBRE EL PROCESO DE LIQUIDACIÓN DE LA SOCIEDAD CONYUGAL, DESDE LA PERSPECTIVA DE LA LEGISLACIÓN ECUATORIANA.
I. Consideraciones Preliminares.-
El presente informe tiene por objeto identificar varios aspectos de Derecho Positivo y Adjetivo relacionados con el régimen de la Sociedad Conyugal, principalmente el proceso de liquidación de acuerdo a la legislación ecuatoriana.
La razón de la investigación, obedece a que por referencias del cliente, existe la posibilidad de que cierta masa de sociedad de bienes sea disuelta adscribiéndose a la legislación vigente en el Ecuador, aunque dichos bienes se encuentren en el exterior.
A decir de la información referida inicialmente, la base de este fundamento se circunscribe a la legislación de familia del estado de ONTARIO en el cual se celebró el matrimonio, puesto que ésta permite que todos los derechos de propiedad de los cónyuges que se deriven de la relación matrimonial se regiría por la ley interna en que ambos cónyuges hayan tenido su última residencia habitual común, RSO 1990, c. F.3, s. 15.
II. Del Régimen de la Sociedad Conyugal.-
El régimen de la Sociedad Conyugal se regula en su parte sustantiva, por las normas del primer libro del Código Civil, y si bien no contempla un concepto, su artículo 139 constituye la base para su reconocimiento legal. Así dicha norma señala:
"Art. 139.- Por el hecho del matrimonio celebrado conforme a las leyes ecuatorianas, se contrae sociedad de bienes entre los cónyuges.
Los que se hayan casado en nación extranjera y pasaren a domiciliarse en el Ecuador, se mirarán como separados de bienes siempre que, en conformidad a las leyes bajo cuyo imperio se casaron, no haya habido entre ellos sociedad de bienes".
La sociedad conyugal o sistema comunitario de bienes hace alusión a un patrimonio social integrado por los aportes iniciales de bienes muebles, que se enriquece con inmuebles o muebles adquiridos a título oneroso; pero, que en todo caso tienen que ser obtenidos dentro del matrimonio.
Esta sociedad es una asociación sui-generis; toda vez que, es un complejo peculiar de relaciones de índole patrimonial cuya unidad permanece en el matrimonio y cuya pluralidad se aprecia de manera especial al momento de su disolución y liquidación.
A este respecto, la jurisprudencia ecuatoriana, se ratifica, tal como consta del texto que a continuación se transcribe:
"...La sociedad conyugal existente en el Ecuador, se puede pues, calificar de un sistema comunitario de bienes por el cual se forma un patrimonio social mediante los aportes iniciales de bienes muebles y las adquisiciones que posteriormente al matrimonio se hagan a título oneroso ... El artículo 1897 por ejemplo, prohíbe toda sociedad de ganancias a título universal, 'excepto entre cónyuges', de donde podría deducirse que la sociedad universal de bienes entre cónyuges es equiparable a una sociedad civil ordinaria; pero las diferencias entre la sociedad conyugal y las demás sociedades son muy profundas y no permiten esa asimilación"
Como un agregado referencial, me permito añadir que nuestra sociedad de bienes se forma a partir del matrimonio y a falta de pacto contrario, es decir a falta de capitulaciones matrimoniales previas, tal como lo prescribe la siguiente norma.
"Art. 153.- A falta de pacto escrito, se entenderá, por el mero hecho del matrimonio, contraída la sociedad conyugal con arreglo a las disposiciones de este Título." (Código Civil Ecuatoriano)
III. Del Haber de la Sociedad Conyugal.-
Una vez que ya se han establecido las pautas de entendimiento, en lo que al Régimen de la Sociedad Conyugal se refiere, me permito señalar los puntos más relevantes de los haberes de esta sociedad.
La doctrina determina la existencia de un activo absoluto y de un activo relativo como parte de la sociedad de bienes. El activo absoluto se encuentra formado por los bienes que pasan a formar parte de la sociedad y que deben ser divididos a favor de los cónyuges, una vez que se demande su liquidación. El relativo por su parte, hace alusión a los bienes que durante el matrimonio se confunden dentro de la sociedad, pero que deben ser restituidos al cónyuge aportante en especie o al menos dan lugar a una recompensa a favor de ese cónyuge.
Por ejemplo, los bienes muebles adquiridos, de forma onerosa, antes del matrimonio, se consideran activos relativos y se han de restituir por completo al cónyuge al liquidar la sociedad; mientras que los bienes muebles o inmuebles, adquiridos dentro del matrimonio, se han de considerar activos absolutos y han de ser devueltos por igual a cada cónyuge. En cambio, los bienes muebles adquiridos durante el matrimonio de forma gratuita (herencia, donación o legado), serán activos relativos y por tanto han de ser devueltos al cónyuge respectivo.
El Código Sustantivo Civil señala los bienes que forman parte del haber conyugal, así tenemos:
"Art. 157.- El haber de la sociedad conyugal se compone:
1o.- De los salarios y emolumentos de todo género de empleos y oficios, devengados durante el matrimonio;
2o.- De todos los frutos, réditos, pensiones, intereses y lucro de cualquiera naturaleza, que provengan, sea de los bienes sociales, sea de los bienes propios de cada uno de los cónyuges, y que se devenguen durante el matrimonio;
3o.- Del dinero que cualquiera de los cónyuges aportare a la sociedad, o durante ella adquiriere; obligándose la sociedad a la restitución de igual suma;
4o.- De las cosas fungibles y especies muebles que cualquiera de los cónyuges aportare al matrimonio, o durante él adquiriere; quedando obligada la sociedad a restituir su valor, según el que tuvieron al tiempo del aporte o de la adquisición; y,
5o.- De todos los bienes que cualquiera de los cónyuges adquiera durante el matrimonio, a título oneroso...."
En concordancia con lo expuesto anteriormente, la legislación también contempla la posibilidad de la existencia de un activo relativo, así la norma sustantiva civil, dice:
"Art. 158.- Las adquisiciones hechas por cualquiera de los cónyuges, a título de donación, herencia o legado, se agregarán a los bienes del cónyuge donatario, heredero o legatario; y las adquisiciones hechas por ambos cónyuges simultáneamente, a cualquiera de estos títulos, no aumentarán el haber social, sino el de cada cónyuge."
Un aspecto interesante es el relacionado a los bienes que son de difícil concreción, en el sentido de que no constituyen bienes temporalmente tangibles, sino que los mismos son producto del azar. La doctrina ecuatoriana a este respecto señala:
"Otro acrecimiento de bienes, de difícil clasificación, es el producido por el azar, cuando se ganan loterías, apuestas o juegos. Considero que es preciso también aquí establecer algunas distinciones: a) Si se trata de especulaciones de bolsa, negocios aleatorios, en los que tiene su parte importante el azar, pero que en definitiva son un trabajo o profesión, lo que se gane evidentemente ingresa a la sociedad, como un sueldo, salario, emolumento, etc.; b) Cosa semejante debe decirse de los juegos -deportivos o no- en los que hay un cierto trabajo personal, al que se suma en menor medida la suerte; y, c) En cambio sí se trate de apuestas o loterías en las que únicamente el azar determina la pérdida o ganancia, hay que distinguir si se han arriesgado capitales de la sociedad o no, y solamente, en el primer caso deberían ingresar las ganancias a la sociedad."
Dentro del haber conyugal habrá de considerarse dos variables, el patrimonio inicial y el final. El primero de éstos hace referencia a los bienes con los que se inició el régimen, indistintos de los contraídos por cada cónyuge como efecto de alguna herencia, donación o legado. El segundo se refiere a los bienes y derechos contenidos en la masa de sociedad de bienes al finalizar el régimen de sociedad conyugal, con la deducción de las obligaciones aún insatisfechas.
IV. De Disolución de la Sociedad Conyugal.-
La disolución de la sociedad conyugal implica deshacerse del vínculo patrimonial que une a los cónyuges. La terminación y liquidación de esta sociedad puede ser solicitada en cualquier tiempo y por cualquiera de éstos, tal como lo prescribe el art. 217 del Código Civil. Sin embargo, la terminación del matrimonio conlleva una finalización automática de la sociedad de bienes.
"Art. 217.- Cualquiera de los cónyuges, en todo tiempo, podrá demandar la disolución de la sociedad conyugal y la liquidación de la misma.
Asimismo de consuno, podrán demandar ante el juez, o solicitarla al notario de conformidad con el Art. 18 de la Ley Notarial."
De lo citado se rescata que la disolución de la sociedad conyugal puede ser solicitada ante el Juez o ante un Notario al existir común acuerdo entre los peticionarios. En su defecto, de existir controversia, ésta debe ser demandada ante el Juez de lo Civil quien dictará sentencia como un efecto netamente declarativo.
Las causales por los que se disuelve dicha sociedad, se hallan previstos en el art. 189 del Código Civil.
"Art. 189.- La sociedad conyugal se disuelve:
1o.- Por la terminación del matrimonio;
2o.- Por sentencia que concede la posesión definitiva de los bienes del desaparecido;
3o.- Por sentencia judicial, a pedido de cualquiera de los cónyuges; y,
4o.- Por la declaración de nulidad del matrimonio.
En los casos de separación parcial de bienes continuará la sociedad en los bienes no comprendidos en aquella."
Los efectos de la terminación de la sociedad conyugal se recogen de forma puntual, por el tratadista Juan Larrea Holguín, en el Manual Elemental de Derecho Civil del Ecuador. Los que para el caso me permito citar:
"1. Se crea una comunidad entre los cónyuges, o con los herederos, la cual sigue las reglas generales de la comunidad de hecho, hasta su liquidación, es por tanto administrada por los copartícipes;
2. En adelante ya no hay gananciales partibles por mitades, sino que si hay utilidades corresponderán a los comuneros en proporción a sus cuotas;
3. Los frutos acrecen al patrimonio de cada uno, y no corresponden necesariamente a sino de los cónyuges o sus herederos;...
5. El activo y el pasivo de la sociedad queda fijado a la fecha de su terminación, para todos los efectos de liquidación y de responsabilidades frente a terceros;..” (El énfasis nos pertenece).
Es importante conocer previa y brevemente el proceso de disolución y posterior liquidación de la sociedad conyugal de mutuo acuerdo o extrajudicial, la que puede practicarse ante Notario Público, y debido a la anuencia de las partes, el procedimiento será el previsto en el art. 816 del Código de Procedimiento Civil, el mismo que en su parte esencial se reduce a:
1. Petitorio de los cónyuges firmado por un Abogado Patrocinador, al que se le adjuntarán los documentos habilitantes de cada compareciente.
2. El Notario levantará un Acta de reconocimiento de firma de los peticionarios y los convocará a una Audiencia de Conciliación, ha desarrollase después de diez días hábiles, en la que se han de ratificar en su deseo de disolución.
3. En dicha Audiencia de ratificarse en su deseo, el notario levantará un Acta de esta diligencia y dará fe pública de la voluntad de los comparecientes.
4. Los documentos presentados por los peticionarios y las actas levantadas por el notario se han de protocolizar, para su posterior inscripción en el Registro Civil.
Al ser una disolución de mutuo acuerdo, los comparecientes habrán de decidir de forma consensuada, la forma de división de los gananciales. Todo lo cual también constará en el Acta levantada por el Notario.
En el caso de que solo uno de los cónyuges quisiese disolver dicha sociedad, se procederá como lo señala la Sección Vigésimo Primera del Libro Segundo del Código de Procedimiento Civil del Ecuador.
1. Presentación de demanda acompañada del documento que pruebe la existencia de la sociedad.
2. Calificada la demanda se cita a la otra parte y ésta puede proponer excepciones, solo en cuanto a la inexistencia de sociedad conyugal, la incompetencia del juez o la falta de personería del actor de la demanda.
3. De existir alguna de estas excepciones, se abrirá un término de prueba de cinco días y se dictará sentencia en el término de tres días. De no haber excepciones, el juez dictará sentencia en el mismo término de tres días.
4. De la sentencia dictada no es posible interponer recurso alguno.
5. La sentencia deberá ser inscrita en el Registro Civil a fin de que margine al costado del archivo en el que se da fe de la existencia del matrimonio.
Además, la adjudicación que se hace de los bienes a cada copartícipe no genera tributos cual si fuese una enajenación o transmisión del dominio.
Por último es necesario señalar que la comunidad de hecho que se forma con los bienes de la sociedad conyugal proindiviso no forman un patrimonio especial y pueden ser perseguidos por los acreedores de forma indistinta al copartícipe deudor.
V. Del Procedimiento de Liquidación de la Sociedad Conyugal
Se debe recalcar que la disolución de la sociedad mantiene en un estado latente pro indiviso a los bienes habidos en matrimonio, hasta que se produzca la liquidación y la repartición de gananciales
La siguiente sentencia colombiana reproduce claramente en qué consiste la liquidación de la sociedad conyugal:
"Disuelta la sociedad conyugal es preciso liquidarla, haciendo inventario y tasación de todos los bienes que ella usufructuaba o de que era responsable; y es entonces cuando cada cónyuge por sí mismo o por sus herederos, pueden sacar de la masa de bienes las especies que le pertenezcan y los precios y saldos o recompensas que le deba la sociedad conyugal, haciendo la mujer antes que el marido las correspondientes deducciones..."
5.1. Del Juicio de Inventario.-
Luego de haber señalado varios aspectos relacionados con los aspectos generales de la Sociedad Conyugal, en este momento resulta importante conocer, lo que de alguna forma nos interesa en este informe, el proceso judicial o controversial de la liquidación de la Sociedad Conyugal, el cual debe practicarse ante un Juez de lo Civil, y como se ha señalado tendrá como objetivo hacer constar el estado económico de la sociedad conyugal, por medio de una descripción y enlistamiento del conjunto de bienes, derechos y obligaciones que forman parte del patrimonio de dicha sociedad. Tal como consta del texto de la siguiente norma:
"Art. 191.- Disuelta la sociedad, se procederá inmediatamente a la formación de un inventario y tasación de todos los bienes que usufructuaba o de que era responsable, en el término y forma prescritos para la sucesión por causa de muerte." (El énfasis nos pertenece).
La legislación ecuatoriana no prevé términos ni plazos para el inicio del Inventario, posterior a la disolución de la sociedad conyugal, por lo tanto el plazo para el inventario es imprescriptible.
Dentro del proceso de inventario se podrán realizar las observaciones pertinentes a fin de que se excluyan de los bienes mancomunados, aquellos que pertenezcan al activo relativo del patrimonio conyugal. Aseveraciones que deberán ser probadas.
Nuestra legislación indica el procedimiento a seguirse dentro del Código Adjetivo Civil en su Libro Segundo, Sección Séptima. El mismo que en resumen establece:
1. Presentación de demanda ante el Juez de lo Civil, validada por el documento que pruebe la disolución de la sociedad conyugal y con la especificación del lugar en el que ha de citarse al ex cónyuge.
2. Una vez citado el ex cónyuge, el Juez debe señalar fecha día y hora para que se lleve a cabo el inventario y tasación de los bienes. Para esta diligencia el juez nombrará el perito o los peritos que creyere necesarios, tal como lo prescribe el parágrafo 6 del título I del Libro Segundo del Código de Procedimiento Civil. El siguiente artículo, cita el procedimiento de esta diligencia:
" Art. 635.- Además de observarse los requisitos expresados en los artículos 406 y 407 del Código Civil, se hará lo siguiente:
1.- Se mencionará el nombre y domicilio de la persona que hubiese pedido la formación del inventario, de los interesados que hubiesen comparecido, de los que, citados, no hayan concurrido, de los ausentes, si fueren conocidos, y del perito o peritos;
2.- Se designará el lugar o lugares en donde se haga el inventario;
3.- Se describirán los objetos que se inventaríen, con designación del precio que fijen el perito o peritos;
4.- Se describirán los papeles, libros de negocios y demás documentos que se encuentren, numerándolos y rubricándolos la jueza o el juez, secretario o testigos, en su caso;
5.- Se enumerarán y describirán, asimismo, los títulos de crédito, activo o pasivo, y los recibos;
6.- Se mencionará el juramento que prestaren los que han estado en posesión o tenencia de los objetos, sobre no haber visto ni oído que otros hayan tomado alguna de las cosas correspondientes a la herencia, o que se hallaban en la casa o casas del difunto;
7.- Se expresará la entrega de los bienes y papeles al depositario, o al heredero o albacea, en su caso, observando, en cuanto a éstos, lo dispuesto en el Art. 614; y,
8.- Se firmará el inventario, día por día, por las personas que hubiesen estado presentes." (El énfasis nos pertenece).
3. El avalúo de los bienes se hace al mismo tiempo que el inventario. En el caso de que transcurrieren dos meses de haberse hecho el avalúo, sin que se llegue a la partición, este avalúo deberá ser actualizado.
4. Una vez concluido el inventario, el Juez dispone que se escuche a las partes e interesados, para que en el término de quince días formularen sus observaciones; en el caso de que no existiese ninguna, el Juez aprobará el inventario.
5. En el caso de que existiese alguna observación, el juez convocará a una junta de Conciliación. De no existir acuerdo, el Juez concederá el término de 10 días para que el objetante pruebe sus observaciones.
6. Concluido el término probatorio, éste dictará sentencia, declarando con ello aprobado el inventario.
Si alguna de las partes considerare, la sentencia del juez, atentatoria a sus derechos, podrá presentar en el término de tres días Recurso de Apelación, luego de lo cual el Juez superior dictará una resolución en mérito de los autos.
Es importante señalar que en este proceso, no se discute la propiedad de los bienes, o algún aspectos sustancial, tampoco versa sobre la asignación de bienes a favor de los cónyuges, pues no se trata de un proceso de conocimiento, simplemente de un procedimiento cuya finalidad es la de determinar la existencia de los bienes que conforman el haber de la sociedad conyugal, y su valoración; y sobre este último particular se debe señalar que nuestra legislación civil no contemple ninguna fórmula o método para el efecto, simplemente se limita a exigir que dicha valoración sea realizada por un perito designado por el juez, siendo éste quien además de ser acreditado por los organismos rectores de la Función Judicial, el que según su experiencia otorgará el valor a cada uno de los bienes.
Para la asignación de bienes sociales a favor de cada uno de los cónyuges, será resuelta a través de un proceso, ahora sí de conocimiento, el denominado Juicio de Partición.
Finalmente debemos señalar que, por las fallas de nuestros sistema jurisdiccional, este tipo de procesos suelen concluirse en un período de al menos dos años, tomando en cuenta que a la hora de enlistarse y valorarse los bienes, suelen existir observaciones por las partes, lo cual si será objeto de resolución por parte del Juez, siguiendo el procedimiento previsto en los numerales 5 y 6.
5.2. Del Juicio de Partición.-
El Juicio de Partición es la conclusión de la división de la comunidad de bienes, tal como lo expresa el siguiente texto:
"Se llama partición al procedimiento - privado o judicial - por el que se da término a un estado de comunidad de bienes. Se produce la partición en cualquier caso en que exista condominio, indivisión o comunidad de bienes, como sucede en los caso de herencia, cuando hay más de un heredero, o de terminación de la sociedad en general y más específicamente de la sociedad conyugal"
Este juicio procede una vez que se haya aprobado el inventario judicial o extrajudicial de los bienes de la extinta sociedad conyugal.
El procedimiento para el juicio de partición se encuentra establecido en el Código de Procedimiento Civil, en su Sección Octava, Libro Segundo, que se resume en lo siguiente:
1. La presentación de la demanda incluirá las copias de la sentencia que aprueba el inventario y el avalúo practicado de los bienes que se han de partir.
2. Una vez calificada la demanda, el juez otorgará un término de quince días para que se presenten ante sí, todas las cuestiones que requieran resolución previa. Las denominadas cuestiones previas, tiene como finalidad excluir bienes que no deban ser parte del proceso de partición, por ejemplo, cuando en el inventario se hubiere incluido un bien perteneciente a un tercero, o un bien propio de cualquiera de los cónyuges, esto es, parte del denominado activo relativo.
3. Con todas la cuestiones previas acumuladas por el juez, éste correrá traslado a las partes por el término de diez días.
4. Vencido el término de traslado, el juez convocará a una audiencia de conciliación, en la que de haber acuerdo se dictará sentencia. De existir disenso, se concederá el término probatorio de diez días.
5. Previo a señalar las adjudicaciones de los bienes a cada ex cónyuge, el Juez convocará a una Junta en la que se expondrá el esquema de adjudicación. En el caso de que las partes estuviesen de acuerdo, se dictará sentencia con las adjudicaciones respectivas.
6. En el caso de no existiese acuerdo, el juez señalará un nuevo día y hora para una nueva junta en la que se dictaminarán las adjudicaciones en mérito del inventario realizado por el perito. En forma equitativa, el Juez asignará los bienes, a cada una de las partes, es decir, en un equivalente al cincuenta por ciento de los haberes conyugales a cada copartícipe de la extinta sociedad conyugal.
5.3. Distribución de los Bienes.-
Partiendo de la posibilidad de que todas las instancias descritas, esto es, (Juicio de Inventario y Proceso de Partición), consideramos apropiado citar la normativa que el Juez ecuatoriano aplicaría, para efectos de la asignación de bienes a favor de cada uno de los cónyuges.
El artículo 194 del Código Civil ecuatoriano, señala.
“Art. 194.- Se acumulará imaginariamente al haber social todo aquello de que los cónyuges sean respectivamente deudores a la sociedad, por vía de recompensa o indemnización, según las reglas arriba dadas”.
Más adelante, el artículo 195 del mismo cuerpo legal señala:
“Art. 195.- Cada cónyuge, por sí o por sus herederos, tendrá derecho a sacar de la masa las especies o cuerpos ciertos que le pertenezcan, y los precios, saldos y recompensas que constituyan el resto de su haber.
La restitución de las especies o cuerpos ciertos deberá hacerse tan pronto como fuere posible, después de la terminación del inventario y avalúo, y el pago del resto del haber deberá hacerse dentro de un año, contado desde dicha terminación. Podrá el juez, sin embargo, ampliar o restringir el plazo, a petición de los interesados, previo conocimiento de causa”.
A este respecto, podemos señalar que las normas antes descritas, tiene como finalidad que el Juez al momento de proceder con la asignación, deberá permitir que cada cónyuge reciba los bienes que forman parte del activo relativo de la Sociedad Conyugal, así como las deudas y obligaciones que dicha sociedad deba asumir, también tomará en cuenta las pérdidas que hayan sufrido los bienes que la conforman, y la determinación de los frutos pendientes de tales bienes, de tal forma que aquellas ganancias que se generen serán de cada cónyuge.
Finalmente, y luego de haberse calculado el verdadero patrimonio de la Sociedad Conyugal, el artículo 198 del citado Código Civil, prevé que el residuo se divida en partes iguales para cada cónyuge; para mayor referencia me permito citar dicha disposición:
“Art. 198.- Hechas las antedichas deducciones, el residuo se dividirá por mitades entre los dos cónyuges”. (El énfasis nos pertenece).
Por supuesto, esta norma será de mejor aplicación, siempre que el residuo se conforme por bienes o especies que puedan entregarse en dicha forma, sin embargo, pueden existir casos de mayor dificultad, y para tal efecto habrá que tomar en consideración las normas relacionadas con la Partición de Bienes hereditarios, por ser éstas las referentes para este tipo de procedimientos.
Así el artículo 1353 señala que el juez liquidará lo que a cada uno de los coa signatarios corresponda, debiendo para este caso entender el término coasignatarios a los cónyuges.
La regla 1era de dicho artículo, establece que si la especie objeto de reparto, fuera indivisible, cualquiera de los cónyuges podrá ejercer el derecho de ofrecer por ella un determinada cantidad, y de no haber tal ofrecimiento se procederá con una licitación o venta en pública subasta, para que terceros rematen el bien, y el fruto de dicha venta será repartido a prorrata, y en este caso en partes iguales por tratarse de una sociedad bipartita.
Si luego de estas apreciaciones, continuaren alguna divergencia entre las partes, el juez deberá, de conformidad con lo previsto en la regla 7ma del citado artículo 1353 procurar un reparto no solo equivalente sino también de semejanza, por ejemplo si parte del haber repartible fueran varios bienes, la asignación será con cosas o bienes de la misma naturaleza; en este caso, las opciones que tengan de alguna forma condiciones económicas similares, si ésta fueran diferentes en sus beneficios económicos. Para perfeccionar este reparto, el Juez formará los lotes (unidades) que contengan las calidades de naturaleza y equivalencia señaladas, y procederá a sortearlos a favor de los partícipes, en este caso los cónyuges, sorteo y asignación que se denomina por nuestra legislación como “Acta de Adjudicación” la que contiene, la forma de reparto. Hecha la cual, se entregará a los cónyuges los respectivos títulos, es decir de aquellos bienes muebles e inmuebles que le fueron adjudicados.
Por último, este tipo de procesos en el Ecuador, suelen tramitarse en plazos sumamente amplios, que en varios casos han llegado a cuatro o cinco años.
5.4. Competencia de los Jueces Ecuatorianos.-
Si bien es cierto que la legislación de ONTARIO permite que los derechos económicos de los cónyuges, se realicen de conformidad a la legislación del último domicilio de los cónyuges, tal situación no implicaría en principio una subrogación de competencia a favor de los organismos jurisdiccionales del Ecuador, por las siguientes razones:
1. Los bienes que conforman la mayor parte de los bienes, no se encuentran legalmente radicados en el Ecuador, y sus efectos tampoco se producirían en el país; situación que será interpretada por parte de los jueces, quienes podrían abstenerse de conocer estos procesos.
2. Al momento no ha sido posible ubicar en nuestras Cortes precedentes, sobre estos temas. Han existido casos relacionados con la sucesión por causa de muerte, que según nuestra legislación contempla una norma de extraterritorialidad de la Ley similar, pero en los que se han esgrimido las consideraciones sobre efectos de los bienes, conforme mencionamos en el numeral precedente.
3. Consideramos que la norma de ONTARIO, permitiría aplicar varios reglas de la legislación ecuatoriana, pero ante los propios jueces de Ontario; puesto que, no es posible sustraer a la contraparte de su juez natural (domicilio actual para efectos procesales), es decir, lo que otorga la norma de derecho de familia de Ontario es una extraterritorialidad legislativa, mas no judicial, es decir aplicable por los jueces de dicho Estado.
VI. Conclusiones y Comentario Profesional Final.
6.1. El patrimonio que conforma la Sociedad Conyugal, depende de dos clases de activos, el absoluto conformado por todos los bienes que deben conformarla, según lo previsto en el artículo 157 del Código Civil, y el relativo por los frutos y rendimientos que generen aquellos bienes denominados como “propios” esto es, los adquiridos antes del matrimonio o por causa de donación o hereditarios.
6.2. La legislación ecuatoriana comprende dos formas de liquidar la sociedad conyugal, la primera de mutuo acuerdo, pero sujeta a una aprobación judicial en la que los cónyuges deciden la forma de asignarse mutuamente los bienes y gananciales; y, la controversial que pende a su vez de dos instancias la del Juicio de Inventario y la de Partición de Bienes propiamente dicha. En igual forma, es menester indicar que si la Sociedad Conyugal llegare a efectuarse con anuencia de las partes, no se requeriría de aprobación judicial, si esta se realiza luego de disolverse dicha sociedad, pero manteniendo el estado de matrimonio.
6.3. Previamente a proceder con el proceso de inventario y consecuentemente la liquidación, es indispensable que la Sociedad Conyugal se encuentre disuelta, ya sea por mutuo acuerdo según el procedimiento descrito en la parte inicial del apartado V de este informe, o por causa del divorcio.
6.4. La valoración de los bienes que conforman el haber de la sociedad conyugal, se practica dentro del proceso de inventario, y se efectúa a través de un perito designado por el Juez, el cual valorará cada bien, según su experiencia, y atendiendo el caso concreto deberá ser un profesional con pleno conocimiento en derivados financieros.
6.5. El proceso de partición, tiene como finalidad asignar a cada cónyuge los gananciales de la Sociedad Conyugal, y para este efecto el Juez luego de contar con su valoración, realizará las deducciones a que se hace mención en los artículos 194 a 197 del Código Civil, hecho lo cual repartirá a la sociedad en partes iguales (50% / 50%). Las deducciones implican, la restitución de los bienes propios de los cónyuges, los deteriores, recompensas que habría que cancelarse por cuenta de la Sociedad Conyugal, las obligaciones que mantengan pendientes, luego de ello procederá a adjudicar a cada uno el residuo, entregando los títulos que al efecto corresponda.
6.6. Procesalmente, la legislación ecuatoriana no contempla un proceso propio de liquidación de Sociedad Conyugal, simplemente se limita a reenviar dicho proceso a las reglas de la partición sucesión por causa de muerte, prevista en el Libro III del Código Civil ecuatoriano, que recoge las fases expuestas en este informe.
Comentario Final.- Considerando el antecedente del caso concreto, y desde la perspectiva civil, es nuestro criterio que el enlistamiento y valoración de los bienes, que realizaría un perito en la materia, sería tomando como referencia la valoración que los bienes tuvieron al momento de su adquisición y el valor que éstos tuvieron a la fecha de haberse producido la disolución formal de la sociedad conyugal, nos referimos a disolución formal, al momento en que ésta se haya dado por mutuo acuerdo o por ocasión del divorcio.
De acuerdo a nuestra legislación, ninguno de los cónyuges estaría obligado en el proceso de liquidación a pagar por alguna diferencia de los bienes sociales, salvo deudas o deteriores que les hayan afectado; por el contrario, únicamente se otorgaría el derecho para que los cónyuges puedan intentar una especie de recompra, es decir, ofrezcan pagar un valor de complemente para tales bienes, y de esta forma adjudicárselos a su favor, y consignar un valor que pueda ser susceptible de reparto.
Es todo cuanto podemos indicar al momento, dejando a salvo errores u omisiones involuntarios, y reservándonos el derecho de realizar aclaraciones o ampliaciones al presente informe.

Traducción - inglés LEGAL REPORT ON THE PROCESS OF SETTLEMENT OF THE MARITAL PARTNERSHIP FROM THE PERSPECTIVE OF ECUADORIAN LAW.
I. Preliminary Considerations.-
This report aims to identify several aspects of positive law and procedural law related to the marital partnership regime, mainly the settlement process in accordance with Ecuadorian law.
The reason for this research is that according to client references, there is a possibility that a certain portion of community property will be dissolved ascribing to the legislation in force in Ecuador, although these assets are abroad.
Based on the information referred initially, the grounds of this principle is limited to family law of the State of ONTARIO, where the marriage took place, since it allows all property rights of the spouses arising from the marriage to be governed by domestic law of the place where both spouses had their last common residence, RSO 1990, c. F.3, s.15.
II. Of the Marital Partnership Regime.-
The Marital partnership Regime is regulated in its substantive part, by the standards of the first book of the Civil Code, and while it does not provide a concept, its Article 139 is the basis for legal recognition. So that rule reads:
"Article 139.- For the fact that the marriage was celebrated under Ecuadorian law, the spouses engage in asset association (community property).
Those who were married in a foreign country and then settle in Ecuador, will be deemed as having separate property, provided that - in accordance with the laws under whose rule they were married - there has been no asset association between them".
The marital partnership or community property system refers to a patrimony comprised of initial contributions of property, which is enhanced with real or personal property acquired for consideration, but that in any case has to be obtained within the marriage.
This partnership is a sui generis association, since it is a peculiar set of relationships of monetary nature where the unit remains in the marriage and whose plurality can be particularly noticeable at the time of dissolution and liquidation.
In this regard, the Ecuadorian law is ratified, as stated in the text that reads as follows:
"... The existing marital partnership in Ecuador may be qualified as a community property system which is formed from social equity through initial contributions of property and the acquisitions made subsequent to marriage for consideration… Article 1897 for example, prohibits any general title business partnership, 'except between spouses'. From this it would appear that the universal partnership of assets between spouses is comparable to ordinary civil society, but the differences between the marital partnership and other partnerships are very deep and do not allow such assimilation"
As an added reference, I would add that our asset association is formed from the marriage and in the absence of a contrary agreement - i.e. the absence of previous marriage agreements - as prescribed by the following standard.
"Article 153.- In the absence of written agreement, for the mere fact of marriage, the marital partnership shall be deemed entered into in accordance with the provisions of this Title." (Ecuadorian Civil Code)
III. The assets of the Marital partnership.-
Once the standard of understanding has been set, in regards to the Marital Partnership Regime I will point out the highlights of that partnership’s assets.
The doctrine establishes the existence of an absolute asset and a relative asset as part of the assets association. The absolute asset is comprised of all assets that become part of the marital partnership and must be divided among the spouses, upon a settlement claim. The relative asset, on the other hand, refers to the property that during the marriage are mixed within the partnership, but that should be returned to the contributor spouse in kind or at least lead to a reward for the spouse.
For example, any property acquired for value, before the marriage, are considered relative assets and shall be reimbursed in full at to the spouse upon liquidation of the partnership, while the real or personal property acquired within the marriage, must be considered absolute assets and must be returned in equal shares to each spouse. In contrast, property acquired during the marriage for free (inheritance, gift or bequest) will be relative assets and therefore must be returned to the respective spouse.
The Substantive Civil Code states the property that is part of the community property, as follows:
"Article 157 .- The assets of the marital partnership comprise:
1.- The salaries and additional pay of all kinds of occupations and trades, earned during the marriage;
2.- All the fruits, revenues, pensions, interest and profit of any nature, arising, whether of the partnership’s assets, of the separate property of each of the spouses and that accrues during the marriage;
3.- The money that either of the spouses provides to the partnership, or acquires during it, obliging the marital partnership to refund the same amount;
4.- The fungibles and in-kind goods than any of the spouses provides to the marriage or acquires during it; being the marital partnership obliged to restore it, according to the value it had at the time of the contribution or acquisition; and,
5.- All the property that any of the spouses acquired during the marriage, for a consideration ....”
In accordance with the above, the law also envisages the possibility of the existence of a relative asset so the civil substantive rule says:
"Article 158 .- The acquisitions made by any of the spouses, by way of gift, inheritance or legacy, will be added to the assets of donator spouse, heir or legatee; and the acquisitions made by both spouses simultaneously, under any of these titles will not increase the community property, but that of each spouse."
An interesting aspect is the one related to goods that are difficult to specify, in the sense that these are not temporarily tangible assets, but that they are the product of chance. The Ecuadorian doctrine in this regard states:
"Another increase of assets difficult to categorize is produced by chance, when lotteries, sweepstakes or games are won. I think it is also necessary to establish some distinctions here: a) If it is stock speculation, random business where chance has a role, but that really are a job or profession, the earnings obviously enter the marital partnership as a salary, allowance, additional pay, etc.; b) Something similar is true for games - sports or not- in which there is some personal work, to which a little luck is added; and, c) Instead, in the case of gambling or lotteries in which only chance determines the gain or loss one must distinguish whether community property were risked or not, and only in the first case should the gains go to the marital partnership."
Within the community property two variables shall be considered, the initial and final capital. The first of these refers to assets with which the regime started, indistinctly from those made by each spouse as a result of any inheritance, gift or bequest. The second relates to property and rights contained within the portion of community property at the end of the marital partnership regime with the deduction of liabilities still unmet.
IV. Of the Dissolution of the Marital partnership.-
The dissolution of the marital partnership involves disposing of the equity bond that brings the spouses together. The termination and settlement of this partnership can be requested at any time and for any of these, as required by Article 217 of the Civil Code. However, termination of the marriage leads to automatic termination of the assets association.
" Article 217 .- Any of the spouses, at any time, may seek the dissolution of the marital partnership and settlement thereof.
Also, by mutual agreement they may sue in court, or request it from the notary in accordance with Article 18 of the Notary Law.”
From the above, one gathers that the dissolution of the marital partnership can be requested before the judge or before a notary if there is mutual agreement among the petitioners. Failing that, in case of dispute, a claim shall be filed before the Civil Judge who will issue a ruling with a merely declaratory effect.
The grounds for the dissolution of the marital partnership, are referred to in Article 189 of the Civil Code.
"Article 189 .- The marital partnership is dissolved:
1.- For the termination of the marriage;
2.- Through a ruling granting the final possession of the assets of the disappeared (desaparecido) spouse;
3.- By court order, at the request of any of the spouses; and,
4.- For the declaration of nullity of the marriage.
In cases of partial separation of assets, the partnership will continue regarding the property not included in said separation."
The effects of the termination of the marital partnership are reviewed in detail, by Juan Larrea Holguín in his treatise Basic Handbook of Ecuadorian Civil Law. Bellow I quote:
"1. A community is created among spouses, or with the heirs, which follows the general rules of the de facto community, until its liquidation it is administered by the co-participants;
2. Henceforth there are no earnings divisible in half, but if there are profits these correspond to the community members in proportion to their quotas;
3. The fruits increase each of their patrimony, and are not necessarily (…) but the spouses or their heirs, ... TRANSLATION NOTE: Something seems to be missing in the original text.
5. The assets and liabilities of the marital partnership shall be defined on the date of termination, for all purposes of settlement and liability to third parties; …” (The emphasis is ours).
It is important to previously and briefly know the dissolution process and subsequent liquidation of the marital partnership by mutual agreement or outside of court, which can be administered by a Notary Public, and because of the consent of the parties, the procedure is covered under Article 816 of the Civil Procedure Code, which in its essential part is reduced to:
1. The spouses’ petition signed by a sponsoring attorney, accompanied by enabling documents of each respondent.
2. The Notary will draft a Record for the legalization of signatures of the petitioners and convene a conciliation hearing, to be held after ten business days, in which they must ratify it in their desire to dissolve the marital partnership.
3. At that hearing, upon ratification of their wish, the notary will make a Record of this hearing and publicly give faith of the will of those appearing.
4. The documents submitted by the petitioners and the records prepared by the notary must notarized for subsequent recording at the Civil Registry.
This being dissolution by mutual agreement, the parties appearing must decide by consensus, the form of division of marital property. All of which will also be recorded in the Record issued by the Notary.
In the event that only one of the spouses wants to dissolve the partnership, the provisions of the Twenty-First Section of the Second Book of the Civil Procedure Code of Ecuador shall be observed.
1. Filing of the claim accompanied by documentary proof of the existence of the marital partnership.
2. Once the claim has been accepted, the other party is summoned and he/she may file exceptions, only in regards to the existence of the marital partnership, the lack of competency of the judge or the lack of legal standing of the plaintiff.
3. If any of these exceptions exist, a five-day evidentiary period shall be opened and a verdict will be issued within three days. If there are no exceptions, the judge will rule in the same three-day period.
4. The ruling may not be appealed.
5. The verdict must be recorded in the Civil Registry in order to marginalize the side of the file which attests to the existence of the marriage.
In addition, the award of the assets to each partner does not generate taxes as if it were a sale or transfer of ownership.
Finally, it should be noted that the de facto community formed with the assets of the marital partnership ‘proindiviso’ (without division) does not form a special patrimony and can be pursued by creditors without distinction to the debtor partner.
V. Of the Settlement Procedure of the Marital Partnership
It should be emphasized that the dissolution of the partnership maintains the property acquired within the marriage in a dormant state without division, until the settlement occurs and the distribution of gains.
The following Colombian ruling clearly shows the basis of the settlement of a marital partnership:
" Upon dissolution of the marital partnership it must be settled, taking inventory and appraisal of all property it usufruct or that it was responsible for; and only then each spouse by himself or his heirs, can be drawn from the set of assets their share and the price or reward balances owed by the marital partnership, and the wife, before her husband, shall make the corresponding deduction..."
5.1. Of the Inventory Judgment.-
After having pointed out several aspects related to general aspects of the marital partnership, at this point it is important to review our subject of interest in this report, the judicial or controversial process of the settlement of the marital partnership, which must performed before a Civil Judge, and as stated will aim to include the economic status of the marital partnership, through a description and listing of all assets, rights and obligations that are part of the partnership’s assets. As stated in the text of the following standard:
"Article 191.- Upon dissolution of the partnership, we shall immediately carry out the preparation of an inventory and appraisal of all assets the partnership usufruct or it was responsible for, under the term and manner prescribed for succession because of death." (The emphasis is ours).
Ecuadorian law does not provide terms and deadlines for the start of inventory subsequent to the dissolution of the marital partnership; hence the term for the inventory is imprescriptible.
Within the inventory process the relevant comments may be made in order to exclude community property, those belonging to the relative asset of the marital property. These assertions must be proven.
Our legislation provides the procedure to be followed within the Civil Procedural Code in its Book Two, Section Seven, which in summary states:
1. Submission of the claim before a Civil Judge, validated by the document evidencing the dissolution of the marital partnership and the specification of the place where the former spouse shall be summoned.
2. Once the former spouse is summoned, the Judge must assign a date and time to perform the inventory and appraisal of the property. For this procedure the judge shall appoint the expert or experts he/she may deem necessary, as prescribed in paragraph 6 of Title I of Book II of the Civil Procedure Code. The following article quotes the proceedings of this process:
"Article 635 .- In addition to observing the requirements set forth in Articles 406 and 407 of the Civil Code, the following shall be done:
1.- It shall list the name and address of the person who had requested the inventory, of the parties who had appeared, of those who were summoned but did not attended, of those absent, if known, and the expert or experts;
2.- A place or places where to have the inventory shall be designated;
3.- The items inventoried will be described, designating the price set by the expert or experts;
4.- The documents, business books and other documents located, will be listed, numbered and initialed by the judge, registrar or witnesses, if any;
5.- The also credit titles, asset or liability, and receipts shall be listed and described;
6.- There will be a mention of the oath rendered by those who have been in possession or holding of goods, about not having seen or heard that others have taken any of the things related to the inheritance, or that were in the residence or residences of the deceased;
7.- The delivery of goods and documents to the depositary, or the heir or executor, as appropriate, shall be recorded, noting, with regard to these, the provisions of Article 614; and,
8.- The inventory, day by day, shall be signed by the people who had been present." (The emphasis is ours).
3. The appraisal of assets is made at the same time as the inventory. In the event that two months elapse since the appraisal, without leading to a division, this appraisal should be updated.
4. Once the inventory is conducted, the Judge arranges for the interested parties to be heard, so that in a fifteen-day period they make any comment, in the event that none exists, the Judge will approve the inventory.
5. In the event that there is any observation, the judge shall convene a conciliation meeting. In the absence of agreement, the Judge will grant a 10-day period for the complainant to prove his/her observations.
6. Upon expiration of the evidentiary period, the Judge will issue verdict, stating thus approved the inventory.
If either party considered the judge's ruling, a menace to their rights, they may file, within three days, appeal recourse, after which the superior judge shall issue a decision on merits of the proceedings.
It is important to note that in this process, ownership of the property is not disputed, or any material respect, it does not cover either the allocation of assets to the spouses, as this is not a is a process to decide a legal issue, it is simply a procedure aimed to determine the existence of the assets that comprise the community property of the marital partnership, and its valuation. On this last point it should be noted that our civil law does not provide any formula or method for that effect, just merely requires that such appraisal is made by an expert appointed by the court, and he/she -besides being accredited by the governing bodies of the judiciary – based on his experience will give the value to each property.
The allocation of community property for each of the spouses, shall be resolved through a process, now to decide on the matter, the so-called Partition Trial.
Finally, we note that, for the flaws of our judicial system, these processes are often completed within a period of at least two years, taking into account that at the time of listing and appraising the property, there are often comments by the parties, which will be subject to resolution by the judge, following the procedure set out in paragraphs 5 and 6.
5.2. Of the Partition Trial.-
The partition trial is the conclusion of the division of community property, as expressed by the following text:
"The procedure - private or judicial – by which community property is terminated is called partition. Partition occurs in any case where there is a co-domain, undivided assets or community property, as in the case of inheritance, when there is more than one heir, or termination of a partnership in general and more specifically of the marital partnership"
This lawsuit comes after the judicial or extra judicial inventory of the assets of the former marital partnership is approved.
The procedure for the partition trial is established in the Civil Procedure Code, Section Eight, Book Two, which is summarized as follows:
1. The filing of the claim will include copies of the ruling approving the inventory and appraisal made of the property to be divided.
2. Once the claim is accepted, the judge shall grant a fifteen-day period to submit before the court, all issues requiring prior resolution. The so-called preliminary issues aim to exclude assets that should not be part of the partition, for example, if the inventory has included property belonging to a third party, or an asset belonging to any of the spouses, i.e. part of the so-called relative assets.
3. With all the previous inquiries accumulated by the judge, he shall notify the parties of the ten-day period.
4. Upon expiration of the notice, the judge shall convene a conciliation hearing, at which - upon reaching an agreement – a ruling will be issued. If there is dissent, a ten-day evidentiary period shall be granted.
5. Prior to awarding property to each former spouse, the judge shall convene a meeting to present the award plan. In the event that the parties were in agreement, a ruling will be issued with the respective awards.
6. In the case of absence of an agreement, the judge shall set a new date and time for a new meeting to define the awards based on the inventory made by the expert. Fairly, the judge will assign the property, to each of the parties, i.e. equivalent to fifty percent of marital assets to each party of the former marital partnership.
5.3. Distribution of Assets.-
Based on the possibility that all instances described, i.e. (Inventory Trial and Partition Process), (…) we deem it appropriate to cite the standards that an Ecuadorian judge would apply, for purposes of asset allocation to each of the spouses. TRANSLATION NOTE: Something seems to be missing in the original text.
Article 194 of the Ecuadorian Civil Code reads.
“Article194 .- It will imaginarily accumulate onto the community property anything that the spouses respectively owe to the partnership by way of reward or compensation, according to the rules above”.
Further, Article 195 of the same Code states:
“Article 195 .- Each spouse, by himself or his heirs shall be entitled to draw from the portion the in-kind goods or assets belonging to him, and the prices, balances and rewards that are the rest of his patrimony.
The restitution of in-kind goods or assets should be done as soon as practicable after the completion of the inventory and appraisal, and the payment of the remaining of the community property must be made within one year from such termination. However, the judge may expand or restrict the term at the request of the parties, after hearing the case”.
In this regard, we note that the standards described above, are intended so that the judge at the time of proceeding with the allocation, shall allow each spouse to receive the assets that are part of the relative asset of the marital partnership, as well as debt and obligations that the partnership must undertake; the judge shall also take into account the losses incurred on the assets that comprise the community property, and the pending determination of the fruits of that property, so that those gains will be generated for each spouse.
Finally, after having calculated the real assets of the Marital Partnership, Article 198 of the cited Civil Code provides that the residue be divided equally for each spouse, for further reference I quote this provision:
“Article198 .- Having made the above deductions, the residue is divided equally between the two spouses”. (The emphasis is ours).
Of course, this standard is the best applied, provided that the residue is comprised of assets or in-kind goods that can be delivered in that form. However, there may be more difficult cases, and for this purpose standards related to Partition of Inheritance Assets should be taken into consideration, since these are the references for these kinds of procedures.
Thus, Article 1353 states that the judge shall settle what corresponds to each one of the co-signatories, understanding that in this case co-signatories means the spouses.
The 1st rule of that article provides that if the item object of distribution, were indivisible, any of the spouses shall have the right to offer for it a certain amount, and in the absence of such offer, the next step would be a sale by public tender or auction for third parties to auction the asset, and the proceeds of such sale shall be distributed pro rata, and in this case equally for being a bipartisan partnership.
If after these findings, there was still some divergence between the parties, the judge shall, in accordance with the provisions of the 7th rule of Article 1353, seek not only equivalent distribution but also similar in nature. For example if part of the property for partition were several assets, the allocation will be things or items of the same nature. In this case, the options are somewhat have similar economic conditions, if it were different in their economic benefits. To fulfill all legal requirements of this division, the judge will form lots (units) that contain the qualities of nature and equivalence mentioned, and shall draw them between the parties, in this case the spouses, draw and allocation known under our law as “Allotment Act "which contains, the manner of partition. After completing this procedure, the spouses will be given their respective titles of ownership of deeds, i.e. of those real estate property and other assets which were awarded to them.
Finally, this type of process in Ecuador, are often handled over very long periods of time, which in several cases have reached four or five years.
5.4. Competency of Ecuadorian Courts.-
While it is true that Ontario law allows spouses’ economic rights to be handled in accordance with the laws of the last domicile of the spouses, such situation would not imply, in principle, a subrogation of jurisdiction in favor of the courts of Ecuador for the following reasons:
1. The assets that comprise the bulk of the assets are not legally located in Ecuador, and its effects would not take effect in the country; a situation that will be interpreted by judges, who could refuse to hear these processes.
2. At the time it has not been possible to find in our Courts any precedents on these issues. There have been cases related to succession because of death, which according to our law provides a standard of extraterritorial application of the similar law, but in which considerations on the effects of the property have been raised, as mentioned in the preceding paragraph.
3. We believe that the Ontario standard, would allow application of several standards of Ecuadorian law, but before the Ontario judges, since it is not possible to remove the counterpart of his natural jurisdiction (current address for legal proceedings), i.e. what the family law standard in Ontario provides is an legislative extraterritoriality, not a judicial one, that is enforceable by the courts of that State.
VI. Conclusions and Final Professional Review.
6.1. The community property that makes up the marital partnership depends on two classes of assets: the absolute, comprised of all property that shall conform it, as foreseen in Article 157 of the Civil Code, and the relative assets, by the fruits and income generated by those assets denominated as "personal" that is, those acquired before marriage or by reason of gift or inheritance.
6.2. Ecuadorian legislation includes two ways to settle the marital partnership. The first one by mutual agreement, but subject to judicial approval in which the spouses decide how to assign each other property and gains; and the controversial way, which in turn has two instances: the Inventory Judgment and the Distribution of Assets in itself. In the same way, it is necessary to note that if the marital partnership (Sociedad Conyugal) were to be dissolved with the consent of the parties, it would not require judicial approval, if this is done after the partnership dissolved, but within the marriage.
6.3. Before proceeding with the inventory process and consequently the settlement, it is essential that the marital partnership is dissolved, either by mutual agreement according to the procedure described in the initial part of section V of this report, or through divorce.
6.4. The appraisal of the assets that comprise the community property of the marital partnership, is done within the inventory process, and is done through an expert appointed by the judge; he/she will assess each property, according to his experience, and considering the specific case it must be a professional with full knowledge of financial derivatives.
6.5. The partition process, aims to assign each of the spouses the gains of the marital partnership, and for this purpose the judge - after having their appraisal - will make the deductions referred to in Articles 194 to 197 of the Civil Code. Afterwards, he will divide the community property equally (50% / 50%). Deductions involve the restitution of personal property owned by the spouses, wear-and-tear, rewards to be undertaken by the marital partnership, the obligations that remain outstanding; then the judge shall allocate to each party the residue, giving them the pertinent titles of ownership of deeds.
6.6. Procedurally, Ecuadorian law does not provide a specific process for the settlement of marital partnership; it simply refers that process to the rules of succession partition due to death, as provided in Book III of the Ecuadorian Civil Code, which includes the steps outlined above in this report.
Final Remark.- Considering the history of the case at hand, and from the civil law perspective, it is our view that the inventory and appraisal of assets, to be conducted by an expert in the field, would be done by referring to the appraisal of the property at the time of acquisition and its value had at the time of the formal dissolution of the marital partnership - we mean the formal dissolution - when it occurs by mutual agreement or divorce.
Under our law, neither of the spouses would be required in the settlement process to pay for any difference in community property, except debts or damage that may have affected them. On the contrary, the spouses would only be given the right to try a repurchase, that is, offer to pay a supplement value for such assets, and thus have them awarded to them, and record a value that will be subject of partition.
That is all we can say at this time, deferring to involuntary errors or omissions, and reserving the right to make clarifications or extensions to this report.

LOAN AGREEMENT
(i) Banco SampleBank S.A., a financial institution of Ecuador domiciled at ADDRESS, Quito, Ecuador, represented by its representative, with sufficient powers to execute these types of acts and agreements pursuant to a power of attorney granted in his/her favor as agent of the above-mentioned financial institution (hereinafter, the “Borrower”); and
(ii) The INVESTMENT CORPORATION, an international
organization headquartered at ADDRESS, Washington, D.C., 20577, United
States of America, (hereinafter, “IC”); (jointly, the “Parties”), agree as follows:
ARTICLE I
DEFINITIONS
Section 1.01 General Definitions. The following terms shall have the meanings indicated
below, wherever they appear in this Agreement or in the exhibits hereto, except as the context
otherwise requires:
“A Loan” means the portion of the Loan funded by the IC in the amount of up to five million
Dollars (US$5,000,000), as specified in Section 2.01(i)(a) or, as the context may require, the
principal amount thereof from time to time outstanding.
“Accounting Principles” has the meaning set forth in Section 8.06.
“Annual Environmental Performance Report” means a written report to be prepared by the
Borrower describing how the Environmental Management System has been integrated into its
transaction approval process.
“B Loan” means the portion of the Loan to be funded by the Participant(s) for an amount of up to
fifteen million Dollars (US$15,000,000), as specified in Section 2.01(i)(b) or, as the context may
require, the principal amount thereof from time to time outstanding.
“B Loan Supplement” means the agreement to be entered into between the IC and the
Borrower in substantially the form of EXHIBIT VII hereto.
“Business Day” means any day other than (i) a Saturday; (ii) a Sunday; (iii) any day on which
commercial banks operating in New York, New York, United States of America, are authorized
or required by law to be closed for business; and (iv) for the purpose of the definition of “Interest
Determination Date,” any day on which commercial banks operating in the Eurodollar Interbank
market in London, England, are authorized or required by law to be closed for business.
“Commitment Fee” has the meaning set forth in Section 2.07(i).
“Commitment Fee Payment Date” means, prior to the Loan disbursement, the quarterly dates
of payment to be made each year on: (i) January 15, April 15, July 15, and October 15; or (ii)
February 15, May 15, August 15, and November 15; or (iii) March 15, June 15, September 15,
and December 15, as determined by the IC based on which of such dates occurs closest prior to
the date on which the Commitment Fee began to accrue. For example, if the Effective Date is
June 25, then the applicable set of dates would be those referenced in subsection (iii) above. Once
the first disbursement of the Loan has been made, it means the payments to be made on the
pertinent Interest Payment Date, continuing until the Loan has been disbursed in full or has been
declared due and payable.

“Corporate Documents” means the Borrower’s current articles of incorporation, by-laws,
authorizations, and powers of attorney granted by the Borrower, as well as the shareholders’
agreements and any and all agreements executed and resolutions adopted by the Borrower in
relation to the IC Loan and this Agreement.
“Corrective Action Plan” means a corrective or mitigation action plan, including a cost
breakdown and an implementation schedule which, once initiated, will enable the Borrower to
ensure each EE carries out its operations in accordance with the National and Local Requirements
and the IC’s Environmental and Labor Review Procedure.
“Disbursement Request” has the meaning set forth in Section 3.01.
“Dollars” and the sign “US$” mean the lawful currency of the United States of America.
“Economic Group” means, collectively, any group of two or more Persons (which shall include
at least one EE) that are interrelated on account of any of such Persons (i) having a direct or
indirect interest exceeding fifty percent (50%) of the share capital of one or more other such
Persons; and/or (ii) having the majority voting control in any such Person.
“Effective Date” means the date on which this Agreement shall have been duly signed by the
Borrower and the IC. In the event that such parties sign this Agreement on different dates, the
Effective Date shall be the last of such dates.
“Eligible Enterprise” or “EE” shall mean an enterprise that meets all of the following criteria:
(i) It is organized and validly exists under the laws of Ecuador and has its principal assets
and business in that country.
(ii) It is owned or controlled by private shareholders.
(iii) Neither the Borrower nor any Subsidiary or Related Entity of the Borrower or any of
their respective shareholders, directors or employees has, individually, a direct or indirect
participation in the EE’s share capital exceeding five percent (5%); nor do the
aforementioned Persons collectively have a direct or indirect participation in the EE’s
share capital exceeding twenty percent (20%).
(iv) Its voting capital is neither directly nor indirectly controlled by the Borrower, by a
Subsidiary of the Borrower or by any shareholder thereof.
(v) It does not carry out any of the activities described in EXHIBIT I.
(vi) As of the end of the latest Fiscal Year, the EE had total assets or net sales of less than five
million Dollars (US$5,000,000), and its total assets or net sales consolidated with those
of its Economic Group and/or Subsidiaries was less than ten million Dollars
(US$10,000,000).
(vii) It complies with National and Local Requirements and the IC’s Environmental and
Labor Review Procedure.
(viii) It is not in default on any obligation owed to the Borrower or the IC.
“Eligible Project” or “EP” is a project presented by an EE that, upon technical, financial and
operating evaluation by the Borrower, is viable under the Borrower’s credit policies and, in
addition, meets all of the following criteria:
(i) In the judgment of the IC it fosters: (a) foreign exchange earnings and/or savings in the
country; (b) job creation; or (c) savings and use of capital for productive investments;
provided, that it does not involve any of the activities specified in EXHIBIT I of this
Agreement.

(ii) It will use the financing for the acquisition of fixed assets or machinery originating from
member countries of the IC or working capital.
(iii) The goods acquired for the project shall be located in Ecuador.
(iv) The Loans to Eligible Enterprises: (a) may not exceed the amount of three hundred
thousand Dollars (US$300,000) per EE; (b) may not exceed the amount of five hundred
thousand Dollars (US$500,000) per Economic Group; and (c) shall have a repayment
term of not less than four (4) months.
(v) It complies with National and Local Requirements and the IC’s Environmental and
Labor Review Procedure.
“Environmental Management System” or “EMS” is a set of management processes and
procedures that will allow the Borrower to analyze, control, and reduce the environmental impact
of its activities, products and services. The core elements of the EMS are set forth in detail in
EXHIBIT III.
“Equivalent in Local Currency” means, on any date, the amount of local currency required to
purchase a specific amount of Dollars at the applicable buying or selling exchange rate (weighted
average selling rate) as published by the Central Bank of Ecuador or, in the absence of an official
exchange rate, the average of the rates offered by three (3) major commercial banks operating in
the exchange market in Ecuador.
“Event of Acceleration” has the meaning set forth in Section 7.01.
“Front-End Fee” has the meaning set forth in Section 2.07(ii).
“Governmental Authority” means any government or national, regional, local, municipal or
other subdivision thereof, as well as any municipal, local and/or federal or official entity with
executive, legislative or governmental authority in Ecuador.
“IC´s Environmental and Labor Review Procedure” refers to policy CII/GP-5-6
(http://www.IC.int/Policies/042799_projectreview.ASP) for identification, assessment, and
mitigation of potential environmental impacts and labor issues related to the development of the
Project and the implementation of actions or investments required to ensure compliance with
Local and National Requirements and with other international standards adopted and required by
the IC.
“Interest Determination Date” means, with respect to each Interest period, the second Business
Day immediately prior to the first day of that Interest Period.
“Interest Payment Date” means the dates for the quarterly payments to be made each year on:
(i) January 15, April 15, July 15, and October 15; or (ii) February 15, May 15, August 15, and
November 15; or (iii) March 15, June 15, September 15, and December 15, as determined by the
IC based on which of such dates occurs closest prior to the first disbursement date for the Loan.
For example, if the first disbursement date for the Loan is June 25, then the applicable dates
would be those referenced in subsection (iii) above.
“Interest Period” means each three (3) month period commencing on an Interest Payment Date
and ending on the day immediately prior to the following Interest Payment Date; provided, that
the first Interest Period applicable to each disbursement shall commence on the date of such
disbursement and end on the day immediately prior to the next Interest Payment Date.
“Investment Period” means, with respect to each disbursement of the Loan, the period of time
commencing on the date on which the IC makes such disbursement and ending one hundred
twenty (120) days thereafter.

“Lien” means, albeit not exclusively, any mortgage, pledge, charge, security interest, entitlement,
or obligation of any kind or, in general, any preferential arrangement that has the practical effect
of constituting a security interest with respect to any assets, revenues, assets, or the proceeds from
the sale thereof, and/or restricting the marketability thereof.
“Loan” means, collectively, the A Loan and the B Loan, or such amounts that are outstanding
under the A Loan and the B Loan from time to time.
“Loan Agreement” or “Agreement” means this document and its exhibits, executed among the
Parties.
“Loans to Eligible Enterprises” means the loans denominated in or indexed to the Dollar that
the Borrower grants to the EEs to finance Eligible Projects pursuant to the terms and conditions
hereof.
“Material Adverse Change” means, with respect to the Borrower, any fact, event or
circumstance that materially affects or may reasonably be expected to have a significant adverse
impact on (a) the business, activities, property, or situation (financial or otherwise) of the
Borrower; and/or (b) the ability of the Borrower to meet its obligations under this Agreement, any
of the other Principal Documents or the laws of Ecuador; and/or (c) the Eligible Enterprises.
“Maturity Date” means the Principal Payment Date that occurs immediately prior to the fifth
(5th) anniversary of the date of first disbursement of the Loan, when the Borrower must pay the
IC the last installment of the Loan principal.
“National and Local Requirements” means the environmental, labor, and occupational health
and safety laws, regulations and requirements in effect in Ecuador.
“Obstructive Practices” means (i) deliberately destroying, falsifying, altering or concealing
evidence material to the investigation or making false statements to investigators in order to
materially impede an IC investigation into allegations of Prohibited Practices; and threatening,
harassing or intimidating any party to prevent it from disclosing its knowledge of matters relevant
to the investigation or from pursuing the investigation, and (ii) acts intended to materially impede
the exercise of the IC's inspection and audit rights provided for under this Agreement.
“Participant” means the financial institution satisfactory to the IC that executes a Participation
Agreement with the IC for the funding of the B Loan.
“Participation” means a Participant’s portion in the B Loan according to the relevant
Participation Agreement.
“Participation Agreement” means the agreement between the IC and the Participant providing
for such institution’s participation in the B Loan.
“Person” means any individual or any legal entity of a public or private nature.
“Prepayment Fee” has the meaning set forth in Section 2.09.
“Principal Documents” means this Agreement, the Corporate Documents, and the Promissory
Notes.
“Principal Payment Date” means each Interest Payment Date, beginning with the first Interest
Payment Date to occur immediately after the first disbursement date of the A Loan and
continuing through the Maturity Date.
“Prohibited Practices” means: (i) a corrupt practice, that is the offering, giving, receiving, or
soliciting of, directly or indirectly, anything of value to influence improperly the actions of
another party; (ii) a fraudulent practice, that is any act or omission, including a misrepresentation,
that knowingly or recklessly misleads, or attempts to mislead, a party to obtain a financial or

other benefit or to avoid an obligation; (iii) a coercive practice, that is impairing or harming, or
threatening to impair or harm, directly or indirectly, any party or the property of the party to
influence improperly the actions of a party; or (iv) a collusive practice, that is an arrangement
between two or more parties designed to achieve an improper purpose, including influencing
improperly the actions of another party.
“Project” means the financing granted to the Borrower in order for the Borrower to provide
financing for Eligible Projects through Loans to Eligible Enterprises.
“Promissory Note” has the meaning set forth in Section 2.14.
“Receipt” has the meaning set forth in Section 6.01(xvii).
“Regulatory Authority” means any public or private entity that currently is, or could become in
the future, in charge of supervising and/or monitoring the activities undertaken by the Borrower,
pursuant to the laws of Ecuador.
“Reinvestment Commencement Date” means, in respect to any Reinvestment Period, the date
the Borrower receives from an EE any amount of principal of a Loan to Eligible Enterprises by
way of repayment or prepayment (as the case may be) for all or part of such loan.
“Reinvestment Period” means, with respect to any part of the Loan(s) to Eligible Enterprises,
the period starting on a Reinvestment Commencement Date and finishing one hundred twenty
(120) days thereafter.
“Related Entity” means, with respect to the Borrower, any Person (i) holding more than ten
percent (10%) of the share capital of the Borrower, or vice-versa, or (ii) directly or indirectly
controlled by any of the shareholders of the Borrower.
“Subsidiary” means, with respect to any Person, any other Person that (i) is over fifty percent
(50%) owned, directly or indirectly, by such Person; and/or (ii) whose accounts would be
consolidated with those of such Person in such Person’s financial statements if such financial
statements were presented on a consolidated basis; and/or (iii) in respect of which such Person
may exercise more than half of the voting rights in shareholders’ meetings; and/or (iv) in respect
of which such Person has the right to appoint and remove a majority of its directors; and/or (v) in
respect of which such Person effectively exercises management control according to the laws of
Ecuador.
“Taxes” means any taxes, assessments, charges, levies, services, obligations, withholdings or
other deductions, stamp and documentary taxes, fees, duties, and payments of any nature imposed
by any governmental agency or Governmental Authority, in effect as of the Effective Date or
entering into effect thereafter.
Section 1.02 Financial Definitions. The following terms have the meanings indicated below,
wherever they appear in this Agreement or in the exhibits to this Agreement, except as the
context otherwise requires:
“Capital Adequacy Ratio” means, as of any date, the ratio obtained by dividing the Borrower’s
Technical Net Worth on that date by its Risk-Weighted Assets on the same date.
“C, D and E Portfolio” means the portfolio classified as C, D and E according to the rules and
regulations of the Superintendence of Banks of Ecuador.
“C, D and E Portfolio Ratio” means, as of any date, the ratio obtained by dividing the
Borrower´s C, D and E Portfolio (before C, D and E Provisions) on that date by its Total
Portfolio.

“Equity Exposure Ratio” means, as of any date, the ratio obtained by dividing the sum of the
Borrower’s C, D and E Portfolio, less Provisions, plus Payments in Kind, on such date, by its Net
Worth.
“Fiscal Year” means the period commencing each year on January 1st, and ending on the
following December 31st.
“Lending Operations” means all banking and loan transactions involving placement of funds
with the general public, including (i) offering discounts; (ii) granting loans; (iii) issuing credit
cards; (iv) undertaking obligations on behalf of third parties based on loans or acceptances
granted or loan instruments endorsed; or (v) granting all kinds of guarantees, such as issuing
stand-by letters of credit.
“London Interbank Offered Rate” or “LIBOR” means the British Bankers Association
(“BBA”) Interbank offered rate for deposits in dollars that appears on the Bloomberg Financial
Markets Service (currently, the BBAMI page) at 11:00 a.m. London, England time, or any other
service that displays the BBA rates (the “Service Provider”) on an Interest Determination Date for
one (1) week, one (1) month, two (2) months, three (3) months or six (6) months, whichever
period is closest to the duration of the relevant Interest Period (or, if two (2) periods are equally
close to the duration of the relevant Interest Period, the longer one). The offered rate shall be
rounded upward, if necessary, to one sixteenth (1/16th) of one percent (1%) or the decimal
equivalent thereof. If for any reason LIBOR is not provided by BBA and published by a Service
Provider on any Interest Determination Date, the IC shall notify the Borrower and shall instead
determine LIBOR as of an Interest Determination Date: (i) by calculating the arithmetic mean
(rounded upward, if necessary, to one sixteenth (1/16th) of one percent (1%) or the decimal
equivalent thereof) of such offered rates quoted by four (4) major commercial banks active in the
London Eurodollar Interbank market selected by the IC; (ii) if fewer than four (4) quotations are
received, the IC may rely on the quotations so received if not fewer than two (2); (iii) or if fewer
than two (2) quotations are received from the banks in London, the IC may rely on the offered
rates advised to IC on or around 11:00 a.m., New York time, for loans in Dollars by a major
bank or banks in New York, New York, United States of America, selected by the IC. Subject to
IC’s funding requirements and prior written notice by the IC to the Borrower, all calculations of
arithmetic means by IC may be rounded upward to the nearest three (3) decimal points. All
determinations of LIBOR by the IC shall be conclusive in the absence of manifest error.
“Net Worth” means the part of the Borrower’s assets belonging to the shareholders or to holders
of subordinated bonds (subject to applicable regulations regarding subordinated liabilities),
including paid-in capital, share premium, accumulated profits, profit for the year, reserves of any
kind, asset valuations and revaluations, inflation adjustments and subordinated liabilities.
“Payments in Kind” means the sum of all movable and immovable assets received by a financial
institution as payment for a loan or as a consequence of legal proceedings for recovery.
“Provisioning Coverage Ratio” means, as of any date, the ratio obtained by dividing the
Borrower’s Provisions on such date by its C, D and E Portfolio on the same date.
“Provisions” means the charges or amounts reflected in the Borrower’s balance sheet to account
for potential portfolio losses that the Borrower anticipates.
“Risk-Weighted Assets” means the product of the Borrower’s assets (including its
contingencies) and the risk ratio approved by the appropriate Governmental Authority.
“Technical Net Worth” means the sum of all the accounts that comprise Net Worth, after
adjustment by the ratios established by the local banking regulations.
“Total Portfolio” means the sum of all Lending Operations, less Provisions.

ARTICLE II
TERMS AND CONDITIONS OF THE LOAN
Section 2.01 Amount, Term, and Currency.
(i) The total amount of the Loan shall be up to twenty million Dollars (US$20,000,000),
comprised of:
(a) an A Loan of up to five million Dollars (US$5,000,000) for a maximum term of
up to five (5) years from the first disbursement date of the A Loan, without grace
period; and
(b) a B Loan for an amount not to exceed fifteen million Dollars (US$15,000,000)
pursuant to the terms and conditions to be specified in the B Loan Supplement.
The IC shall raise the B Loan funds on a best commercial efforts basis, and
makes no commitment to fund all or any part of the B Loan.
(ii) The Borrower and the IC agree that any and all disbursements and payments to be made
under this Agreement and the other Principal Documents shall be made in Dollars.
Section 2.02 Place of Payment. The Loan, plus the applicable interest, fees, charges and any
other sums due shall be paid in cash and in Dollars, with immediately available funds, no later
than 11:00 a.m. (New York, New York, U.S.A. time) of the pertinent due date, to IC account
number 323 373844, Ref. OPR# EC3099A-04 at JP MORGAN CHASE BANK, New York, New
York, United States of America, or at such other bank or banks, and in such other place or places,
as the IC shall from time to time designate at its sole discretion, with at least five (5) Business
Days prior notice to the Borrower.
Section 2.03 Payments on Business Days. If the due date for any payment under this
Agreement shall not be a Business Day, then such payment shall be made on the next succeeding
Business Day, and interest shall continue to accrue thereon for the period from such due date to
said Business Day.
Section 2.04 Repayment. The A Loan shall be repaid in up to twenty (20) consecutive,
substantially equal quarterly installments starting on the Interest Payment Date immediately after
the first disbursement date of the A Loan, unless the IC declares such principal to be due and
payable in advance in accordance with the terms of this Agreement. In case additional
disbursements occur after the date in which amortization of principal starts, the amount of the
remaining installments shall be recalculated pursuant to the outstanding balance of the Loan. The
B Loan shall be repaid as set forth in the B Loan Supplement. In any event, the Loan shall be
fully repaid by the Maturity Date.
Section 2.05 Application of Payments. All payments received by the IC in connection with
the Loan shall be applied according to the following priority order: (i) outstanding professional
fees, other fees, charges, and expenses; (ii) accrued interest; and (iii) outstanding Loan principal.
Section 2.06 Interest Rate. The Loan shall accrue interest on the outstanding balance as
follows:
(i) The A Loan shall accrue interest during each Interest Period on the outstanding balance,
at an annual rate equivalent to (a) the sum of LIBOR plus four point twenty-five percent
(4.25%) (the “Variable Rate”); or (b) the fixed rate equivalent to the sum of LIBOR plus
four point twenty-five percent (4.25%) fixed as of two (2) days prior to the relevant
disbursement (the “Fixed Rate”).The Borrower shall state irrevocably in the first
Disbursement Request of the A Loan whether the A Loan shall bear interest at the
Variable Rate or the Fixed Rate during the entire term of the A Loan.

(ii) The B Loan shall accrue interest as set forth in the B Loan Supplement. The interest rate
applicable to the B Loan shall never exceed the interest rate applicable to the A Loan.
Interest shall be calculated on the basis of a three hundred sixty (360) day year based on the
actual number of days elapsed. Interests on the A Loan shall be payable on each Interest Payment
Date.
Section 2.07 Fees.
(i) Commitment Fee. The Borrower shall pay a commitment fee equivalent to zero point five
percent (0.5%) per annum on the undisbursed balance of the Loan (the “Commitment
Fee”) (a) for the A Loan, accruing thirty (30) days from the Effective Date; and (b) for
the B Loan, accruing thirty (30) days from the Participation Agreement effective date.
Such Commitment Fee shall continue to accrue in each case until the Loan is fully
disbursed or disbursements have been cancelled. The Commitment Fee shall be payable
on the Commitment Fee Payment Date.
(ii) Front-End Fee. The Borrower shall pay a front-end fee for the Loan equivalent to one
percent (1%) of the principal amount of the Loan (the “Front-End Fee”), to be paid (a) for
the A Loan, from the earlier to occur of (A) thirty (30) days after the Effective Date, or
(B) the date of the first disbursement of the Loan; (b) for the B Loan, from the earlier to
occur of (A) thirty (30) days after the effective date of the Participation Agreement, or
(B) the date of the first disbursement of the B Loan.
(iii) Syndication Fee. The Borrower shall pay to the IC a syndication fee equivalent to zero
point three percent (0.3%) of the B Loan amount placed, payable before disbursement of
each draw-down of the B Loan principal.
(iv) Supervision Fee. The Borrower shall pay an annual supervision fee of one thousand eight
hundred Dollars (US$1,800), payable on the first Interest Payment Date each year
commencing on the Effective Date and until full repayment of the Loan.
(v) Administration Fee. The Borrower shall pay an annual administration fee of seven
hundred Dollars (US$700), payable on the first Interest Payment Date each year
commencing on the effective date of the first Participation Agreement and until full
repayment of the B Loan; provided, that the B Loan is funded by three (3) or more
Participants.
Section 2.08 Charge for Delay in Providing Information. Should the Borrower fail to
comply with the reporting and/or notice obligations under this Agreement and/or the other
Principal Documents, then, without prejudice to the provisions of Section 7.01(ii) or any other
rights set forth herein, the Borrower shall pay to the IC as liquidated damages, to the extent
permitted by applicable law, five thousand Dollars (US$5,000) for each period of thirty (30) days
of continued noncompliance in this respect. Such charge shall accrue from the noncompliance
notice date, if the Borrower does not remedy the noncompliance within fifteen (15) days of such
notice, and shall be paid on the next Interest Payment Date, unless the IC considers that the
reasons given by the Borrower for such noncompliance are justified.
Section 2.09 Voluntary Prepayment. The Loan may be totally or partially prepaid, provided
that the IC is given irrevocable written notice forty-five (45) days in advance. Any such
prepayment shall be made on an Interest Payment Date or on any other date acceptable to the IC
and shall be subject to a surcharge equal to two percent (2%) of the prepaid amount, prorated on
the basis of the number of months remaining to the Maturity Date (the “Prepayment Fee”).
Additionally, in the event the Borrower chooses a fixed rate, the Prepayment Fee in respect of the
Loan shall also include the cost of unwinding the derivative used for fixing the fixed rate;

therefore the Borrower shall pay the amount equivalent to the usual or reasonable losses and/or
expenses incurred by the IC, including the margin losses incurred after the prepayment, resulting
from, among others, the execution, amendment or termination of a swap agreement or any other
agreement arising thereof and in each case, all such amounts as calculated by the IC and notified
to the Borrower. Any such prepayment shall not be less than one million Dollars (US$1,000,000).
All prepayments shall be applied pro rata between the A Loan and the B Loan towards the
outstanding Loan principal installments in reverse chronological order.
Section 2.10 Mandatory Prepayment.
(i) On any Interest Payment Date or on any other date upon IC’s request, the Borrower shall
prepay to the IC:
(a) the amounts disbursed under the Loan that have not been used within the
applicable Investment Period to finance Loans to Eligible Enterprises; and
(b) the portion of the principal of the Loan pertaining to repayments or prepayments
made on Loans to Eligible Enterprises that have not been reinvested as new
Loans to Eligible Enterprises within the applicable Reinvestment Period;
(ii) The Borrower shall provide written notice to the IC indicating the portion of principal
amount of the Loan to which the mandatory prepayment pertains in accordance with the
provisions of subsection (i) above. Once notice of mandatory prepayment has been
delivered, the Borrower shall be obliged to make such prepayment, which shall be
applied towards the outstanding Loan principal installments in reverse chronological
order. Additionally, the Prepayment Fee provided in Section 2.09 will be applied.
Section 2.11 Late Payment Fee. Without prejudice to the interest payments set forth in
Section 2.06 and the provisions of applicable law, if the Borrower fails to meet its payment
obligations hereunder, the Borrower shall pay to the IC a fee equivalent to 100% of the interest
rate established under Section 2.06 on the amounts of any payment due and unpaid; this fee shall
accrue on a daily basis from the date of default, and shall be paid on the next Interest Payment
Date, unless a prepayment is made or requested. The late payment fee is calculated on the amount
past due, on a three hundred sixty (360) day basis for the actual number of days the amounts are
past due.
Section 2.12 Reinvestment. Upon receiving a principal payment on a Loan to Eligible
Enterprises, the Borrower may grant additional Loans to Eligible Enterprises provided that the
following conditions have been met to the full satisfaction of the IC:
(i) The Loan to Eligible Enterprises shall be made within the applicable Reinvestment
Period.
(ii) The Borrower shall be in compliance with all of the obligations hereof and of the other
Principal Documents.
Section 2.13 Use of Idle Funds. During each of the Investment and Reinvestment Periods,
the Borrower will be allowed to invest any Loan funds not disbursed to Eligible Enterprises in
Dollar-denominated or Dollar-indexed (at a rate reflecting the market) short-term marketable
securities or investment-grade negotiable credit instruments acquired solely to give temporary
employment to such idle resources.
Section 2.14 Promissory Notes. Upon the IC making each Loan disbursement hereunder,
the Borrower shall issue and deliver a Promissory Note in favor of the IC (the “Promissory
Note”). The Promissory Note shall accrue interest at a rate equal to that of the Loan and shall be
substantially in the form of EXHIBIT IV.

During the term of the Loan, the Borrower shall ensure that the Promissory Note is valid, binding
and enforceable, and it shall confer to the IC the right to implement executory proceedings under
applicable local legislation.
The issuance and delivery to the IC of any Promissory Note shall not constitute a novation or a
payment under the Loan. The Borrower’s payment of any Promissory Note to the IC or of any
amount on account of a Promissory Note shall release the Borrower from having to pay hereunder
the amount so paid in respect of such Promissory Note.
Section 2.15 Assignment of the Loans to Eligible Enterprises. If the Borrower’s financial
position deteriorates, or if an Event of Acceleration occurs or is imminent, the Borrower
undertakes to assign without restrictions to the IC, at the IC’s request, all the receivables,
documentation, or instruments derived from Loans to Eligible Enterprises, as well as all personal
and real guarantees and any other ancillary rights or instruments established in relation with said
loans. Such assignment shall not cause the Borrower’s payment obligations to cease, and it shall
constitute an alternative payment source thereof. Should the IC receive any payment under the
assigned Loans to Eligible Enterprises, the amount shall be applied towards the outstanding
balance of the Borrower’s Loan, in accordance with the provisions of Section 2.09.
The Borrower shall perform the assignment within ten (10) days of the IC’s request. The
Borrower undertakes to identify all Loans to Eligible Enterprises, as well as the appertaining
personal and real guarantees and ancillary rights, and to keep them within its Net Worth.
If the IC chooses to exercise this right, such exercise shall not impair the IC’s entitlement to
exercise any other right appertaining to the IC under this Agreement, including the right to
declare an Event of Acceleration as provided in Section 7.01.
ARTICLE III
DISBURSEMENTS
Section 3.01 Disbursement Timing and Availability.
(i) Subject to compliance with the conditions precedent for disbursement set out in Article
IV, the IC shall make disbursements of the A Loan in accordance with the relevant
Disbursement Request submitted in substantially the form attached as EXHIBIT V (the
“Disbursement Request”). The Disbursement Request shall be submitted to the IC no
less than five (5) Business Days before the proposed disbursement date. Each
disbursement shall be made by bank transfer to the Borrower’s account in the United
States of America designated in the relevant Disbursement Request. The Borrower may
change such account, provided it notifies the IC accordingly five (5) Business Days in
advance of a disbursement and it provides the IC with the confirmation of the new bank
to which the proceeds of the relevant Loan disbursement shall be remitted.
(ii) Unless otherwise indicated in writing by the IC:
(a) the A Loan shall be made in one (1) or more disbursements of not less than one
million Dollars (US$1,000,000) each, except for the final disbursement;
(b) the IC’s obligation to make the first A Loan disbursement for any reason shall
expire two (2) months after the Effective Date, without the need for any notice or
action by the IC; and
(c) the IC’s obligation to make the last A Loan disbursement for any reason shall
expire three (3) months after the Effective Date, without the need for any notice
or action by the IC.

Section 3.02 Disbursement Timing and Availability of the B Loan.
(i) After execution of the B Loan Supplement, and subject to compliance with the conditions
precedent for disbursement set out in Article IV of this Agreement, the IC shall make a
disbursement of the B Loan in accordance with the relevant Disbursement Request. The
Disbursement Request shall be submitted to the IC no less than five (5) Business Days
before the proposed disbursement date. Each disbursement shall be made by bank
transfer to the Borrower's account in the United States of America designated in the
relevant Disbursement Request. The Borrower may change such account, provided it
notifies the IC accordingly ten (10) Business Days in advance of a disbursement and it
provides the IC with the confirmation of the new bank to which the proceeds of the
relevant Loan disbursement shall be remitted..
(ii) Unless otherwise indicated in writing by the IC:
(a) the B Loan shall be made in one (1) or more disbursements of not less than one
million Dollars (US$1,000,000) each, except for the final disbursement;
(b) the IC’s obligation to make the first B Loan disbursement for any reason shall
expire two (2) months after the Participation Agreement effective date, without
the need for any notice or action by the IC; and
(c) the IC’s obligation to make the last B Loan disbursement for any reason shall
expire three (3) months after the Participation Agreement effective date, without
the need for any notice or action by the IC.
(iii) Notwithstanding anything to the contrary provided in this Agreement, the IC shall not be
obligated to make any disbursements of the B Loan except to the extent that immediately
available funds shall have been received by the IC from the Participant(s) under the
Participation Agreement(s).
Section 3.03 Cancellation of Disbursements by the IC. The IC’s obligation to make Loan
disbursements shall cease, by means of a written notice by the IC to the Borrower, in any of the
following instances:
(i) if the IC declares an Event of Acceleration;
(ii) if Ecuador ceases to be a member in good standing of the IC; or
(iii) as to the B Loan, if the IC does not receive funds from the respective Participant.
Upon service of written notice, the undisbursed balance of the Loan shall be cancelled
immediately, and the Commitment Fee will cease to accrue as of the date of said notice.
Section 3.04 Cancellation of Disbursements at the Request of the Borrower. The
Borrower may request the cancellation of Loan disbursements by giving the IC at least forty-five
(45) days’ written notice; the Commitment Fee shall cease to accrue on the effective date of the
cancellation of disbursements.
Section 3.05 Participant(s) Failure to Fund. In the event that any Participant fails to fund all
or a portion of its Participation in the B Loan, the IC may, upon written notice to the Borrower,
cancel the undisbursed portion of the B Loan allocable to the respective Participation. In such
event, the Borrower shall not be obligated to pay the portion of the Commitment Fee accrued on
the portion of the B Loan that was not disbursed; provided, that the IC shall have no obligation
to fund any portion of the shortfall of the B Loan.
Section 3.06 Illegality. Notwithstanding anything in this Agreement, if any change made in
any applicable law or regulation, or the interpretation or application thereof by any Governmental

Authority charged with the administration thereof, shall make it unlawful for any Participant to
continue to maintain or to fund its Participation, the Borrower shall, upon request by the IC, and
subject to legal and regulatory provisions, immediately prepay in full that part of the principal
amount outstanding of the B Loan allocable to such Participant, as the Borrower shall be so
advised by the IC, together with all accrued interest and fees thereon. The right of the Borrower
to request disbursements shall terminate immediately with respect to the undisbursed portion of
the B Loan allocable to such Participant’s Participation, and such undisbursed portion of the B
Loan shall be deemed canceled. In the event an undisbursed portion of the B Loan is deemed
canceled pursuant to this Section, the Borrower will not be obligated to pay any accrued
Commitment Fee on such portion.
ARTICLE IV
LOAN DISBURSEMENT CONDITIONS
Section 4.01 Disbursement Period. In accordance with Section 3.01, the IC will make the
requested Loan disbursement within ten (10) Business Days of compliance with all the conditions
set forth in this Article IV, to the total satisfaction of the IC.
Section 4.02 Disbursement Requirements. The IC’s obligation to make any disbursement
under the Loan shall be subject to compliance with each of the following conditions, to the total
satisfaction of the IC:
(i) The Borrower shall have honored all the obligations, conditions, and covenants set forth
herein and in the other Principal Documents.
(ii) No Material Adverse Change shall have occurred.
(iii) No Event of Acceleration and no event which, with lapse of time, notice, or lapse of time
and notice would become an Event of Acceleration shall have happened, be continuing or
happen as a result of the disbursement.
(iv) The Borrower shall have provided the IC with the following documentation, to the total
satisfaction of the IC:
(a) the Disbursement Request;
(b) the Promissory Note issued as provided in Section 2.14;
(c) the most recent audited and unaudited financial statements of the Borrower;
(d) except for the first Loan disbursement, the Receipt for the previous disbursement
in substantially the form attached as EXHIBIT II;
(e) true and faithful copies of the Corporate Documents of the Borrower, with regard
to the Loan and the Principal Documents, and any modifications made to them;
and
(f) any change to the information in the certification from the bank to which the
proceeds of the disbursement shall be sent, as required in Section 4.03(ii), issued
for any previous disbursement.
(v) With respect to the B Loan disbursement, in addition to the satisfaction of conditions (i)
to (iv) above, the IC shall have:
(a) executed the relevant Participation Agreement, which shall be in full force and
effect; and
(b) received the respective B Loan funds for such disbursement.

Section 4.03 Specific Requirements for the First Disbursement. The IC’s obligation to
make the first disbursement under the Loan shall be subject to the Borrower’s compliance with
the applicable conditions set forth in Section 4.02 and the delivery of the following
documentation to the IC, to its the total satisfaction:
(i) This Agreement duly subscribed and perfected by the Parties in such a way that it is
binding and enforceable under the applicable legislation;
(ii) A certificate issued by the bank to which the disbursement is to be remitted, certifying
that the Borrower is the holder of the account indicated in the Disbursement Request; this
certificate shall be sent directly by the bank to the IC;
(iii) The legal opinion of the external counsel of the IC with regard to this Agreement, the
other Principal Documents, the transactions provided for therein, the Project, and any
other aspects requested by the IC, at the IC’s satisfaction; and
(iv) Proof of compliance to the IC´s satisfaction of Process Agent appointment as provided
in Section 8.16(iii).
Section 4.04 Supporting Documentation. The Borrower shall provide any documents or
additional information requested by the IC to substantiate any disbursement, regardless of
whether such request is made before or after disbursement.
ARTICLE V
REPRESENTATIONS AND WARRANTIES
Section 5.01 Corporate Existence; Legal Powers; Binding Effect. The Borrower represents
and warrants that:
(i) It is a duly incorporated and validly existing banking institution in Ecuador; and its
Corporate Documents are in full force and effect as of the date of execution of this
Agreement.
(ii) It holds the licenses, authorizations, consents, and registrations required by the laws of
Ecuador, and that it has the power and authority to own its assets and to conduct its
banking business as presently conducted, and that the amount of the Loan requested is
within the Borrower’s available borrowing power.
(iii) This Agreement and all the other Principal Documents are valid and binding on the
Borrower and are enforceable pursuant to the terms hereof and thereof.
Section 5.02 Authorization; No Contravention. The Borrower represents and warrants that:
(i) The execution, delivery and formalization of this Agreement and all the other Principal
Documents have been duly authorized and, if necessary, shall be recorded with the
relevant Governmental Authority and do not require any consent from third parties under
any agreement, judgment, injunction, mandate, decree or order or any statute, rule or
regulation applicable to the Borrower.
(ii) The execution of this Agreement has not breached nor will it breach any of the provisions
or terms of the Corporate Documents or of any other agreement entered into by the
Borrower with third parties.

Section 5.03 Financial Information. The Borrower represents and warrants that its most
recent audited and unaudited financial statements present fairly, in conformity with the generally
accepted Accounting Principles as provided in Section 8.06 or as otherwise required by the
applicable rules and laws in Ecuador, its financial position as of the latest Fiscal Year or
applicable period.
Section 5.04 Litigation and Disputes. The Borrower represents and warrants that there is no
suit, action or procedure pending before any court or arbitrator or any governmental body, agency
or official affecting the Borrower, nor does the Borrower know of any threat of suit, action or
procedure before any court or arbitrator or any governmental body, agency or official, that might
materially and adversely affect the Borrower’s financial position, the results of its operations, or
its ability to perform any of its obligations under this Agreement, or that may affect in any way
the validity and effectiveness of this Agreement.
Section 5.05 Full Disclosure. The Borrower represents and warrants that for the purposes
hereof and of the other Principal Documents:
(i) All information that it has furnished to the IC and any Participant is true, accurate and
complete and that there are no material omissions that could render the disclosure
misleading.
(ii) It has disclosed to the IC and any Participant in writing any and all facts that may
materially and adversely affect its financial position or its ability to perform its
obligations hereunder and under the other Principal Documents.
(iii) It will hold the IC and any Participant harmless from any and all liabilities (in tort,
contract, or otherwise) relating to any information provided to the IC and any
Participant.
Section 5.06 Reliability of Representations and Warranties. The Borrower acknowledges
that the representations and warranties herein were made with the purpose of inducing the IC to
enter into this Agreement and any Participant to enter into the respective Participation
Agreement, and that the IC and the Participants have agreed to enter into this Agreement and the
Participation Agreement, respectively, on the basis of, and in full reliance on, each of such
representations and warranties.
Section 5.07 Survival of Representations and Warranties. The representations and
warranties in this Agreement shall survive the execution of this Agreement and shall remain in
full force until termination of the transactions contemplated hereunder, except for any
amendments in respect of such representations and warranties that are timely provided to the IC
by the Borrower and expressly consented by the IC.
ARTICLE VI
OBLIGATIONS OF THE BORROWER
Section 6.01 Affirmative Covenants. Unless previously authorized in writing by the IC, and
notwithstanding all other obligations established under this Agreement, the Borrower shall
comply with the obligations set forth below:
(i) Due Diligence and Use of Loan Proceeds. Use all of the disbursed Loan funds to finance
Eligible Projects of Eligible Enterprises and shall manage the Loans to Eligible
Enterprises diligently and efficiently and in accordance with safe and sound financial
practices.
(ii) Compliance with Eligibility Criteria. Ensure that, during the term of the Loan, the
Eligible Enterprises and the Eligible Projects comply, and remain in compliance with, the

eligibility requirements and conditions established in this Agreement, and that each of the
Eligible Enterprises use the funds under the relevant Loan to Eligible Enterprises
exclusively for the Eligible Projects approved by the IC.
(iii) Accounting, Financial, and Operating Information. Provide the IC with the following
accounting, financial, and operating information, which shall be true, accurate, and
complete:
(a) within one hundred twenty (120) days of the close of each Fiscal Year, the
Borrower’s complete and audited annual unconsolidated and consolidated
financial statements as of the end of the applicable Fiscal Year;
(b) within forty-five (45) days of the close of each quarter in each Fiscal Year, the
Borrower’s unaudited quarterly financial statements;
(c) on the fourth Interest Payment Date of each year, an annual transaction report
(the “Annual Transaction Report”) substantially in the form of EXHIBIT VI;
(d) within sixty (60) days of the close of each Fiscal Year, the Annual Environmental
Performance Report as provided in subsection (xi) below;
(e) immediately, a report on any fact or circumstance that, in the Borrower’s
reasonable opinion, affects or may affect its operations and its financial situation
on an adverse and material basis; and
(f) as soon as possible upon the request of the IC, any reasonable additional
information (including, for example, the auditors’ report and a report by the
Regulatory Authority) on the activities, assets, operational aspects, financial
position, operating results or prospects of the Borrower, the Eligible Enterprises
or the Project.
(iv) Monitoring and Inspection Visits. Allow the IC or the person the IC designates to visit
and inspect the Borrower’s offices and premises; examine the applicable business
records, accounting books, and tax returns; and request from the Borrower’s officials
information about the Borrower’s activities, portfolios, operations, financial position,
operating results and outlook, at times and with frequency as determined by the IC.
Additionally, if requested by the IC, the Borrower shall obtain permission for IC
representatives to visit and inspect any Eligible Enterprise and hold meetings with the
latter’s managers and auditors and have access to its financial information. To this end,
the Borrower shall keep a separate record of the subloans granted with IC funds (and
shall be able to identify them in its own records).
(v) Loans to Eligible Enterprises. Ensure that:
(a) Loans to Eligible Enterprises are approved in accordance with the Borrower’s
internal credit policies and procedures, which will at all times include, without
limitation, the requirement that each EE be financially sound and well-managed
and have appropriate insurance, when applicable;
(b) the interest rate, maturity and other terms and conditions of the Loans to Eligible
Enterprises are on arm’s length terms;
(c) each Loan to Eligible Enterprises is evidenced by documents conferring upon the
Borrower valid and enforceable rights and imposing upon the relevant EE valid
and enforceable obligations;
(d) each Loan to Eligible Enterprises is denominated in Dollars or in its Equivalent
in Local Currency; and

(e) each Loan to Eligible Enterprises is duly backed by security according to the
Borrower’s credit policies.
(vi) Auditors. Appoint and maintain independent auditors of recognized standing in Ecuador.
Any change in such appointment shall be notified to the IC in writing, within fifteen (15)
days from the date of such appointment.
(vii) Licenses, Approvals or Permits. Maintain in full force and effect all licenses, approvals,
and permits necessary for the execution of the Loan and the carrying out of the
Borrower’s business and operations, as well as comply with and observe all the
conditions and restrictions contained in or imposed by any such licenses, approvals, or
permits.
(viii) Laws, Rules, and Regulations. Comply with all applicable laws, rules and regulations of
Ecuador, particularly any such laws relating to capitalization, transactions and banking
soundness, and any such rules enforced by any Governmental Authority that regulates the
Borrower’s activities.
(ix) Legal Costs, Duties, Fees, and other Charges. The Borrower hereby agrees to pay the IC
all legal fees and expenses incurred in connection with the execution and enforcement of
this Agreement and the Principal Documents, including but not limited to: (a) the
preparation and review of the documents necessary for the formalization of this
Agreement and the Principal Documents; (b) the drafting of the legal opinions required
by the IC; (c) any disbursement of the Loan; (d) any amendment, modification,
restructuring, renewal and/or ratification of the Agreement, Principal Documents and the
Promissory Note, and the exercise of IC’s rights; and (e) all expenses, costs or fees
incurred for the enforcement of the Loan and applicable court fees. The Borrower shall
pay such legal fees and expenses within five (5) Business Days following receipt of the
relevant invoice, whether or not any disbursement of the Loan has been made. At the
Borrower’s request, the IC may consider making direct payment of such invoices. If the
IC decides to advance payment of any such charges, the Borrower shall promptly
reimburse the IC for any such amounts paid by the IC.
(x) Ratios. Maintain the following financial ratios during the term of the Agreement:
(a) C, D and E Portfolio Ratio equal to or less than five percent (5%);
(b) Provisioning Coverage Ratio equal to or greater than one hundred twenty percent
(120%);
(c) Equity Exposure Ratio equal to or less than ten percent (10%); and
(d) Capital Adequacy Ratio equal to or greater than eleven percent (11%).
(xi) Environmental Covenants. Comply with the following covenants:
(a) As promptly as possible:
(A) Ensure at all times that at least one (1) of its employees has attended
the IC-sponsored or approved environmental training seminar;
(B) designate at least one (1) of the employees who attended the training
seminar to implement and supervise the EMS, and/or to act as an
environmental and labor coordinator to conduct reviews of Eligible
Enterprises with respect to National and Local Requirements and the
IC’s Environmental and Labor Review Procedure, or hire consultants
to perform such reviews; provided, that if the persons set forth above
no longer perform such duties the Borrower shall promptly notify the

IC, appoint a new person to perform the duties, and ensure that such
new person attends the next scheduled IC-sponsored or approved
environmental and labor training seminar;
(C) refrain from amending, modifying, or rescinding the EMS without the
approval of IC. All costs associated with attending the environmental
and labor training seminars shall be borne by the Borrower; and
(D) deliver to the IC the Annual Environmental Performance Report
within sixty (60) days of the close of each Fiscal Year.
(b) Corrective Action Plan. Make every reasonable effort to ensure that each Eligible
Enterprise continues to comply with all applicable National and Local
Requirements as well as with the IC’s Environmental and Labor Review
Procedure. As promptly as possible after becoming aware of any EE activity that
does not comply with the applicable National and Local Requirements or the
IC’s Environmental and Labor Review Procedure, the Borrower shall (A) take
reasonable steps to cause such Eligible Enterprise to implement a Corrective
Action Plan; and (B) shall take reasonable steps to replace the Eligible Project at
said Eligible Enterprise on reasonable financial terms, taking into consideration
liquidity, market limitations, and fiduciary responsibilities in the event the
Eligible Enterprise does not implement a Corrective Action Plan.
(xii) Taxes. Pay all Taxes pursuant to applicable law as well as those in connection with the
execution, recordation, and notarization of this Agreement, the other Principal
Documents, and any other document related thereto and to the Project now in effect or
that may be established in the future, with regard to any of the payments to be made
hereunder. All payments due hereunder shall be made without any deduction for, or on
account of, any taxes, fees or other charges; provided, however, that if the Borrower is
required by operation of applicable law or other provisions to withhold such Taxes,
duties, fees, or other charges, then the principal, the interest or any other amounts that
remain due under this Agreement shall be increased by the amount necessary to enable
the IC to receive the full amount it would have received had such payments been made
without deducting the applicable taxes, duties, fees or other charges. In any such case, the
Borrower shall deliver to the IC, within thirty (30) days following the relevant period, an
official receipt or other official document evidencing payment of the deduction or the
withholding in question.
(xiii) Additional Costs, IC Expenses or Losses. Should the IC or any Participant incur any
costs, expenses or losses on account of: (i) any modifications to the applicable laws or
regulations, or in the interpretation thereof by any Governmental Authority, that may
affect the Loan; (ii) compliance with any request or requirement established by the
Regulatory Authority or any other monetary or other authority; or (iii) the failure of the
Borrower to comply with any obligation under this Agreement or the other Principal
Documents, then the Borrower shall pay to the IC, on the Interest Payment Date
immediately following receipt from the IC of a notice concerning the occurrence of any
of the above-mentioned costs, expenses or losses, the total amount of any such costs,
expenses and losses.
(xiv) Change of Circumstances. Promptly notify the IC of any significant fact or circumstance
relating to the Project, business or operations of the Borrower that constitutes or may
constitute an Event of Acceleration and/or a Material Adverse Change.

(xv) Indemnification. Indemnify and hold the IC or any Participant, as the case may be, and
its executives, directors, agents, and employees harmless from and against any claims,
damages, liabilities, costs or expenses (including, without limitation, fees and other legal
or professional service expenses) incurred by or imposed on the IC or any Participant
with relation to or as a result of any claim, investigation, litigation, or legal procedure
undertaken in connection with the Project, this Agreement or any of the other Principal
Documents, the negotiation thereof, the preparation of the relevant documentation or the
enforcement by the IC of any right or recourse conferred to it thereunder, regardless of
whether or not the IC is one of the parties involved in such claim, investigation,
litigation or legal procedure, unless such claim or cost is the result of gross negligence or
willful misconduct on the part of the IC or its authorized representative.
(xvi) Explanations to the IC Management in Washington, D.C. At the request of the IC, if an
Event of Acceleration has occurred or is imminent, provide in person and for the account
of the Borrower, appropriate explanations and information and set forth the steps taken to
remedy the situation. This presentation shall take place at IC headquarters in
Washington, D.C., United States of America or at such other venue as the IC may
indicate. Such explanations and/or information shall in no way limit or condition the
IC’s rights under this Agreement.
(xvii) Receipts. Submit to the IC a receipt (the “Receipt”) substantially in the form attached as
EXHIBIT II, as an acknowledgement of receipt of the disbursed funds, within five (5)
days of receipt.
(xviii) Effectiveness of Agreements with Third Parties. Ensure that the making of any
disbursement will not have the effect of violating any agreement, contract, or other type
of document to which the Borrower is a party, or any statute, ruling, or court or
administrative order to which it is subject.
(xix) Disclosure. The Borrower recognizes and agrees that the IC has the right to disclose, by
any means, information on the Borrower´s situation with regard to this Agreement.
Likewise, the Borrower recognizes and agrees that the IC has the right to disclose, by
any means, information about any complaints, claims, and procedures initiated by the IC
through judicial or administrative means, arbitration, litigation or any other similar
avenues to exercise or enforce its rights hereunder, and with regard to any compliance or
noncompliance with the obligations hereunder by the Borrower, within the limits of the
national law of the Borrower. The Borrower also allows the IC to disclose to any
Participant any documents, records or information in the possession of the IC about the
assets, business or affairs of the Borrower, any Subsidiary or any Related Entity, which
are material to any Participant in the administration of its Participation.
(xx) Prevention of Money Laundering and Other Illicit Activities. Implement and maintain
internal procedures and control systems as required, in accordance with local law and
generally accepted international guidelines, to facilitate adequate knowledge of its clients
and operations in order to keep the Borrower from being used by third parties as
instrument for money laundering, financing terrorist activities, and committing fraud or
other forms of corruption or illicit activity.
Section 6.02 Negative Covenants. Unless previously authorized in writing by the IC, the
Borrower shall not:
(i) Corporate Structure and Asset Disposal. Substantially modify its share capital structure or
the nature of its current banking operations, or dispose of, surrender, sell or lease a
significant portion of its assets, or embark on a process of merger, division,

consolidation, transfer of a significant portion of their assets, spin-off, transformation,
change of corporate name, or any other significant modification of its legal status or
structure.
(ii) Benefits, Exemptions, and Immunities. Take any action that may affect the benefits,
exemptions or immunities conferred upon the IC by Ecuador.
(iii) Liens and Pari Passu Conditions. (a) Create, or allow the existence of, a Lien on more
than 10% of its assets, other than the usual Liens in connection with the business;
provided, that they do not exceed the limit established in the applicable laws; and (b) take
or allow any action which would cause the Loan to rank less than pari passu with other
unsecured debts of the Borrower.
(iv) Prohibited and Obstructive Practices. Carry out any Prohibited Practice or engage in any
Obstructive Practice or authorize or allow any Prohibited Practice or any Obstructive
Practice to be carried out by any Subsidiary, Related Entity or other Person. In addition,
the Borrower and each of the Co-Borrowers agree that if the IC notifies any of them of
the IC's concern as to a possible violation of this Section, the Borrower and the Co-
Borrowers shall cooperate in good faith with the IC and its representatives to determine
whether said violation has occurred. The Borrower and the Co-Borrower shall respond in
reasonable detail to any notice from the IC, and shall provide -at the IC's request- any
documentation in support of that response.
(v) Dividends. Declare, approve or pay any dividend, or distribute any type of retribution to
its shareholders, whether provisional or final, direct or indirect, unless each one of the
following conditions is met:
(a) the net income for the Fiscal Year in which dividends are declared is positive (no
accrued and retained earnings shall be considered to this effect), and such
dividends are paid out of such Fiscal Year’s earnings; and
(b) the Borrower is in compliance with its obligations hereunder and under the other
Principal Documents, both before and after the distribution.
ARTICLE VII
EVENTS OF LOAN ACCELERATION
Section 7.01 Events of Acceleration If any of the events or circumstances indicated in this
Section (each an “Event of Acceleration”) occurs, such occurrence shall trigger the acceleration
of the Loan’s payment terms and the principal balance of the Loan (together with interest, any
other amounts accrued or payable thereon and any other charges relating thereto) then
outstanding shall thereupon become immediately due and payable, without any presentation,
demand, protest or notice requirements, all of which requirements are hereby unconditionally and
irrevocably waived by the Borrower. An Event of Acceleration shall occur if:
(i) The Borrower shall have failed to pay when due any principal of, interest or other amount
owed under the Loan or the Principal Documents.
(ii) The Borrower shall have failed to perform any of its covenants or obligations under the
terms and conditions set forth in this Agreement or any of the other Principal Documents
other than those indicated in subsection (i) above, and such failure to perform shall not
have been remedied within thirty (30) days following written notice thereof from the IC
to the Borrower.
(iii) The IC indicates in writing that it has credible information that one or more of the
statements made or part of the information provided by the Borrower in this Agreement,

any of the other Principal Documents, or any certificate, financial statement or other
document submitted to the IC in connection therewith, was false and/or incorrect when
made.
(iv) The IC indicates in writing that it has credible information of a fact or circumstance that
may result in the acceleration of any debt incurred by the Borrower, or which could allow
the applicable creditor to declare such debt to be due.
(v) The IC indicates in writing that it has credible information of the existence of a
procedure, suit or action against the Borrower or any of the Eligible Enterprises that may
endanger and/or substantially af

(i) Banco Samplebank S.A., una institución financiera del Ecuador domiciliada en DIRECCIÓN, Quito, Ecuador, representada por su representante, con los poderes necesarios para ejecutar este tipo de actos y contratos, portador de un poder notarial otorgado a su favor como representante de la institución financiera antes mencionada (en adelante denominada “El Prestatario”); y
(ii) La CORPORACIÓN DE INVERSIÓN, una organización internacional con sus oficinas localizadas en DIRECCIÓN, Washington D.C., 20577, Estados Unidos de América (en adelante denominada “CII”); (juntas denominadas en adelante “Las partes”), acuerdan lo siguiente:
ARTÍCULO 1
DEFINICIONES
Sección 1.01 Definiciones generales. Los siguientes términos tendrán el significado que aparece a continuación, cada vez que se los utilice a lo largo del presente contrato, los anexos adjuntos, excepto si el contexto lo requiere de otra manera:
“Un préstamo” significa la porción del préstamo entregada por la CI por un monto de hasta cinco millones de dólares (US$ 5'000.000), como se especifica en la Sección 2.01 (i) (a), o según el contexto lo requiera el monto del capital pendiente, en diferentes momentos.
“Principios de Contabilidad” tiene su significado definido en la Sección 8.06.
“Informe anual de desempeño ambiental” es un informe escrito que debe ser preparado por el prestatario describiendo cómo el sistema de manejo ambiental ha sido integrado en el proceso de aprobación de la transacción.
“Préstamo B” es la porción del préstamo financiada por el Participante(s) por un monto de hasta quince millones de dólares (US$15’000.000), como se especifica en la Sección 2.01 (i) (b), o según el contexto lo requiera, el monto del capital pendiente, en diferentes momentos.
“Suplemento del Préstamo B” significa el contrato entre CI y el Prestatario sustancialmente en la forma del ANEXO VII adjunto al presente.
“Día laborable” es cualquier día diferente a (i) sábado, (ii) domingo, (iii) cualquier día en el que los bancos comerciales con operaciones en New York, New York, Estados Unidos de América, estén autorizados u obligados por ley a cerrar a la atención al público; y (iv) en cumplimiento con la definición de “Fecha de determinación de interés”, cualquier día en el que los bancos comerciales que operen en el mercado interbancario del Eurodólar, en Londres, Inglaterra, estén autorizados u obligados a cerrar a la atención al público.
“Comisión de apertura de crédito” tiene el significado determinado en la Sección 2.07 (i).
“Fecha de pago de la Comisión de apertura de crédito” significa que con anterioridad al desembolso del préstamo, las fechas trimestrales del pago que debe hacerse cada año en: (i) enero 15, abril 15, julio 15 y octubre 15; o (ii) febrero 15, mayo 15, agosto 15 y noviembre 15; o (iii) marzo 15, junio 15, septiembre 15, diciembre 15, según como lo determine la CI, basándose en la mayor proximidad que tenga cualquiera de estas fechas a la fecha en la cual se empiece a acumular la Comisión de apertura de crédito. Por ejemplo, si la Fecha de vigencia es el 25 de junio, el conjunto de fechas aplicables serían aquellas a las que se hace referencia en la subsección (iii) arriba mencionada. Una vez que se haya hecho el primer desembolso del préstamo, significa que los pagos que deben hacerse en la Fecha de pago de interés pertinente, continúan hasta que el Préstamo haya sido desembolsado en su totalidad, o haya sido declarado vencido al pago.
“Documentos corporativos” significa la escritura de constitución de la compañía del prestatario, de acuerdo con la ley, autorizaciones y poderes notariales otorgados por el Prestatario, así como los contratos de los accionistas y todos y cada uno de los contratos ejecutados y las resoluciones adoptadas por el Prestatario en relación con el préstamo de la CI y este Contrato.
“Plan de acciones correctivas” significa un plan de acciones correctivas o de mitigación, incluyendo un desglose de los costos y un calendario de implementación, el cual una vez iniciado permitirá al Prestatario garantizar que cada EE cumpla con sus operaciones de acuerdo con los Requerimientos Nacionales y Locales y el Procedimiento de revisión ambiental y de mano de obra de la CI.
“Solicitud de desembolso” tiene el significado determinado en la Sección 3.01.
“Dólares” y el signo “US$” corresponde a la divisa legal dentro de los Estados Unidos de América.
“Grupo económico” corresponde de manera colectiva a cualquier grupo de dos o más Personas (y que deberá incluir por lo menos una EE) y que estén interrelacionadas con cualquiera de estas Personas (i) teniendo un interés directo o indirecto que exceda el cincuenta por ciento (50%) del capital accionario de una o más de estas Personas; y/o (ii) que esta Persona tenga la mayor parte del control del voto.
“Fecha de vigencia” significa la fecha en la cual este Contrato deberá estar debidamente firmado por el Prestatario y la CI. En caso de que las Partes firmen este Contrato en fechas diferentes, la Fecha de vigencia será la última de estas fechas.
“Empresas elegibles” o “EE” se refiere a una empresa que cumple con los siguientes criterios:
(i) Está organizada y su existencia es válida bajo las leyes del Ecuador y tiene sus activos y negocios principales en este país.
(ii) Los propietarios y quienes la controlan son accionistas privados.
(iii) Ni el Prestatario, ni ninguna Subsidiaria, ni Entidad Relacionada al Prestatario, ni a ninguno de sus accionistas, directores o empleados, tiene, de manera individual, una participación directa o indirecta en el capital accionario de la EE, que exceda el cinco por ciento (5%); así mismo, ninguna de las personas antes mencionadas, en grupo, tienen una participación en el capital accionario que exceda el veinte por ciento (20%).
(iv) La votación en proporción al capital no está controlada ni directa ni indirectamente por el Prestatario, por una Subsidiaria del Prestatario, o por ningún accionista del mismo.
(v) No se desempeña en ninguna de las actividades incluidas en el ANEXO 1.
(vi) Al finalizar el último Año fiscal, la EE tenía activos totales o ventas netas menores a cinco millones de dólares (US$5’000.000), y sus activos totales o ventas netas consolidadas con las de su Grupo Económico y/o Subsidiarias era menor a diez millones de dólares (US$10’000.000).
(vii) Cumple con los Requerimientos Nacionales y Locales y el Procedimiento de revisión ambiental y de mano de obra de CI.
(viii) No está en incumplimiento con ninguna obligación con el Prestatario o con la CI.
“Proyecto Elegible” o “PE” se refiere a un proyecto presentado por una EE que después de la evaluación técnica, financiera y operativa hecha por el Prestatario, es viable bajo las políticas crediticias del Prestatario y además, cumple con los siguientes criterios:
(i) A criterio de la CI fomenta (a) intercambio extranjero de ingresos y/o ahorros en el país; (b) creación de empleos; o (c) ahorros y uso de capital para inversiones productivas; siempre y cuando no esté relacionado con ninguna de las actividades especificadas en el ANEXO I de este Contrato.
(ii) Utilizará el financiamiento para la adquisición de activos fijos o maquinaria originaria de países miembros de la CI o capital de trabajo.
(iii) Los bienes adquiridos para el proyecto deben estar localizados en el Ecuador.
(iv) Los Préstamos a las Empresas Elegibles: (a) no excederán un monto de trescientos mil dólares (US$300.000) por EE; (b) no podrá exceder un monto de quinientos mil dólares (US$500.000) por Grupo Económico; y (c) tendrá un plazo de pago no menor a cuatro (4) meses.
(v) Cumple con los Requerimientos Nacionales y Locales y el Procedimiento de revisión ambiental y de mano de obra de CI.
“Sistema de manejo ambiental” o “SMA” es un conjunto de procesos administrativos y procedimientos que permitirán al Prestatario analizar, controlar y reducir el impacto ambiental de sus actividades, productos y servicios. Los elementos principales del SMA han sido determinados detalladamente en el ANEXO III.
“Equivalencia en divisa local” quiere decir que en cualquier fecha, el monto de divisa local requerido para comprar un monto específico de dólares a la tasa de cambio aplicable para compra y venta (tasa promedio de venta) publicada por el Banco Central del Ecuador, o en ausencia de una tasa de cambio oficial, el promedio de las tasas ofrecidas por los tres (3) mayores bancos comerciales en operaciones en el mercado de divisas del Ecuador.
“Evento de aceleración” tiene su significado determinado en la Sección 7.01.
“Comisión inicial” tiene su significado definido en la Sección 7.01 (ii).
“Autoridad Gubernamental” se refiere a cualquier gobierno o subdivisión nacional, regional, local, municipal, o cualquier otra subdivisión del mismo, así como cualquier entidad oficial municipal, local y/o federal, con autoridad ejecutiva, legislativa o gubernamental en el Ecuador.
“Procedimiento de Revisión ambiental y de mano de obra de la CI” se refiere a la política CI/GP-5-6 (http://www.IC.int/Policies/042799_projectreview.ASP) para identificación, evaluación y mitigación de impactos ambientales potenciales y asuntos relacionados con la mano de obra en el desarrollo del Proyecto y la implementación de acciones o inversiones requeridas para garantizar el cumplimiento con los Requerimientos Nacionales y Locales y con otros estándares internacionales adoptados y requeridos por la CI.
“Fecha de determinación del interés”, significa, con respecto a cada período de interés, el segundo día laborable inmediatamente anterior al primer día de ese período de interés.
“Fecha de pago de intereses” se refiere a las fechas para los pagos trimestrales que deben hacerse cada año en (i) enero 15, abril 15, julio 15 y octubre 15; o (ii) febrero 15, mayo 15, agosto 15 y noviembre 15; o (iii) marzo 15, junio 15, septiembre 15, diciembre 15, según lo determine la CI, basándose en la mayor proximidad que tenga cualquiera de estas fechas a la fecha del primer desembolso del Préstamo. Por ejemplo, si la fecha del primer desembolso del Préstamo es el 25 de junio, las fechas aplicables serían aquellas a las que se hace referencia en la subsección (iii).
“Período de interés” se refiere a cada período de tres (3) meses que comienza a partir de la Fecha de pago de intereses, siempre y cuando, el primer Período de interés aplicable a cada desembolso empiece a la fecha de tal desembolso y termine el día inmediatamente anterior a la siguiente Fecha de pago de intereses.
“Período de inversión” significa que con respecto a cada desembolso del Préstamo, el período de tiempo que comienza a la fecha en la que la CI hace este desembolso y termina ciento veinte (120) días después.
“Embargo preventivo” significa, aunque no exclusivamente, cualquier hipoteca, compromiso, comisión, garantía prendaria, derecho u obligación de cualquier tipo, o en general cualquier arreglo preferencial que tiene el efecto práctico de constituir una garantía prendaria, con respecto a cualquier activo, ingreso, o ganancias de ventas que se deriven, y/o restrinjan su comerciabilidad.
“Préstamo” en conjunto se refiere al Préstamo A y el Préstamo B o los montos pendientes del Préstamo A y el Préstamo B en diferentes momentos.
“Contrato de préstamo” o “Contrato” significa este documento y sus ANEXOS, ejecutado entre las Partes.
“Préstamos a empresas elegibles” se refiere a los préstamos denominados o catalogados al dinero que el Prestatario concede a la EE para los Proyectos elegibles que cumplan con los términos y condiciones aquí definidos.
“Cambio material adverso” significa que con respecto al Prestatario, cualquier hecho, evento o circunstancia que afecte materialmente o pueda esperarse de manera razonable que tenga un impacto adverso significativo en (a) el negocio, las actividades, la propiedad o situación (financiera u otra) del Prestatario y/o (b) la habilidad del Prestatario para cumplir con las obligaciones contraídas en este Contrato, cualquiera de los otros Documentos Principales o las leyes ecuatorianas y/o (c) Empresas Elegibles.
“Fecha de vencimiento” es la Fecha de Pago del Capital que ocurre inmediatamente antes del quinto (5to) aniversario de la fecha del primer desembolso del Préstamo, cuando el Prestatario debe pagar a la CI el último dividendo del capital del Préstamo.
“Requerimientos nacionales y locales” se refiere a las leyes ambientales, laborales, de salud ocupacional y de seguridad, regulaciones y requerimientos vigentes en el Ecuador.
“Prácticas obstructivas” significa (i) deliberadamente destruir, falsificar, alterar u ocultar evidencia material para la investigación, o dar declaraciones falsas a los investigadores para materialmente impedir una investigación de la CI alegando Prácticas Prohibidas; y amenazar, acosar o intimidar a cualquiera de las partes para evitar que revele lo que conozca con respecto a temas relevantes a la investigación o para continuar con la investigación, y (ii) actos que busquen impedir materialmente el ejercicio de inspección de la CI y los derechos de auditoría previstos en este Contrato.
“Participante” es la institución financiera que a satisfacción de la CI ejecuta un Contrato de Participación con la CI para financiar el Préstamo B.
“Participación” es la porción del Participante en el Préstamo B de acuerdo con el Contrato de Participación pertinente.
“Contrato de Participación” es el Contrato entre la CI y el Participante dando a esta institución participación en el Préstamo B.
“Persona” es cualquier individuo o entidad legal de naturaleza pública o privada.
“Comisión de pago anticipado” tiene el significado determinado en la Sección 2.09.
“Documentos principales” son este Contrato, los Documentos Corporativos y los Pagarés.
“Fecha de pago del capital” es cada Fecha de pago de intereses, empezando con la primera Fecha de pago de intereses que ocurra inmediatamente después de la fecha del primer desembolso del Préstamo A y que continúe hasta la Fecha de vencimiento.
“Prácticas prohibidas” son (i) prácticas de corrupción, esto es ofrecer, entregar, recibir o solicitar directa o indirectamente, cualquier valor para influir de manera inadecuada en las acciones de la otra parte; (ii) una práctica fraudulenta, esto es cualquier acto u omisión, incluyendo una mala representación que con conocimiento o de manera imprudente induzca a un error, o pretenda inducir de esta manera a una de las partes para obtener un beneficio financiero o de cualquier otro tipo, o para evitar una obligación; (iii) una práctica coercitiva que afecta o perjudica, directa o indirectamente, a cualquier parte o a la propiedad de cualquier de las partes para influir de manera impropia en las acciones de cualquiera de las partes; o (iv) una práctica colusoria, esto es un acuerdo entre dos o más partes designadas para lograr un objetivo inadecuado, incluyendo influir de manera impropia en las acciones de otra parte.
“Proyecto” es el financiamiento otorgado al Prestatario para que éste pueda proporcionar financiamiento a los Proyectos Elegibles a través de Préstamos a las Empresas Elegibles.
“Pagaré” tiene el significado definido en la Sección 2.14.
“Recibo” tiene el significado determinado en la Sección 6.01 (xvii).
“Autoridad Regulatoria” cualquier autoridad pública o privada que en un momento dado sea, o pueda convertirse en el futuro, en la encargada de supervisar y/o monitorear las actividades asumidas por el Prestatario, en cumplimiento con las leyes ecuatorianas.
“Fecha de inicio de la reinversión” se refiere con respecto a cualquier Período de reinversión, la fecha en la que el Prestatario recibe de una EE cualquier monto de capital de un Préstamo para las Empresas Elegibles en la forma de un repago o pago anticipado (según sea el caso) para la totalidad o para una parte del Préstamo.
“Período de reinversión” es con respecto a cualquier parte del (los) Préstamo(s) para Empresas Elegibles el Período que empieza en una Fecha de inicio de la reinversión y concluye ciento veinte (120) días después.
“Entidad relacionada” es con respecto al Prestatario cualquier Persona que (i) tenga más del diez por ciento (10%) del capital accionario del Prestatario, o viceversa, o (ii) sea controlado directa o indirectamente por cualquiera de los accionistas del Prestatario.
“Subsidiaria” se refiere a cualquier Persona que no (i) tenga propiedad sobre más del cincuenta por ciento (50%) directa o indirectamente, de tal Persona; y/o (ii) cuyas cuentas sean consolidadas con las de tal Persona, en los estados financieros de esta Persona, si estos estados financieros fueron presentados fueron presentados de manera consolidada; y/o (iii) con respecto a la cual esta Persona pueda ejercer más de la mitad de su derecho al voto en las reuniones de accionistas; y/o (iv) con respecto a la cual esta Persona tenga derecho a nombrar o remover una mayoría de directores; y/o (v) con respecto a la cual esta Persona pueda efectivamente ejercer el control de la administración, de acuerdo con las leyes del Ecuador.
“Impuestos” se entiende cualquier impuesto, valoración, cargo, gravamen, servicio, obligación, retención, u otras deducciones, sellos fiscales, impuestos documentales, Comisiones, aranceles y pagos de cualquier naturaleza fijados por cualquier entidad gubernamental o Autoridad Gubernamental, que estén vigentes a la Fecha de vigencia o que entren en vigencia a partir de esta fecha.
Sección 1.02 Definiciones financieras. Los siguientes términos tienen los significados indicados a continuación, cada vez que aparezcan en cualquier parte del presente Contrato o en los Anexos del mismo, a menos que el contexto lo requiera de otra manera:
“Coeficiente de garantía” es la relación que se obtiene en un momento dado al dividir el Capital Neto técnico del Prestatario a esa fecha para los Activos ponderados por riesgo en la misma fecha.
“Cartera C, D y E” es la cartera clasificada en categorías C, D y E de acuerdo con las leyes y regulaciones de la Superintendencia de Bancos del Ecuador.
“Coeficiente de cartera C, D y E” se obtiene al dividir en cualquier fecha, la cartera categoría C, D y E del Prestatario (antes de las Provisiones C, D y E) en esa fecha, para la Cartera total.
“Coeficiente de riesgo del patrimonio” es el resultado que se obtiene al dividir, en cualquier momento dado, el monto de la cartera C, D y E del Prestatario, menos Provisiones, más pagos en especie, en una fecha dada, para el Activo neto.
“Año fiscal” es el período que comienza cada año el 1ro. de enero y termina el 31 de diciembre.
“Operaciones crediticias” son todas las transacciones bancarias y de préstamos que se relacionan con la colocación de fondos en el mercado, incluyendo (i) oferta de descuentos; (ii) concesión de préstamos; (iii) emisión de cartas de crédito; (iv) asumir obligaciones en representación de terceros, a partir de créditos o aceptaciones otorgadas o instrumentos de crédito endosados; o (v) conceder todo tipo de garantías como la emisión de cartas de crédito con garantía.
“Tasa Interbancaria Ofertada de Londres” o “Tasa LIBOR” es la tasa interbancaria ofertada por la Asociación de Bancos Británicos (BBA) para depósitos en dólares que aparece en el Servicio de Mercados Financieros de Bloomberg (actualmente la página BBAMI) a las 11:00 a.m. hora de Inglaterra en Londres, o cualquier otro servicio que presente los índices BBA (el “Proveedor del Servicio”), en una Fecha de determinación de intereses, para una (1) semana, un (1) mes, dos (2) meses, tres (3) meses, o seis (6) meses, cualquiera que sea el período más cercano a la duración del Período de interés pertinente (o si hay dos (2) períodos que están igualmente cerca a la duración del Período de interés pertinente, se considerará el más largo). La tasa ofrecida se redondeará hacia arriba, si es necesario a un dieciseisavo (1/16) del uno por ciento (1%) o el equivalente decimal del mismo. Si por alguna razón la tasa LIBOR no es proporcionada por la BBA y publicada por un Proveedor del Servicio, en alguna Fecha de determinación de intereses, la CI deberá notificar al Prestatario y determinar la tasa LIBOR para una Fecha de determinación de intereses de una de las siguientes maneras: (i) calculando la media aritmética (redondeada hacia arriba si es necesario a un dieciseisavo (1/16) del uno por ciento (1%) o al decimal equivalente) de las cotizaciones ofrecidas por los cuatro (4) mayores bancos comerciales activos en el mercado Interbancario del Eurodólar de Londres, seleccionados por la CI; (ii) si se reciben menos de cuatro (4) cotizaciones, la CI considerará las cotizaciones recibidas, siempre y cuando sean por lo menos dos (2); (iii) si se reciben menos de dos (2) cotizaciones, de los bancos en Londres, la CI puede confiar en las tasas ofertadas a la CI hasta las 11:00 a.m., hora de New York, para préstamos en dólares por un(os) banco(s) principal(es) en New York, New York, Estados Unidos de América, seleccionados por la CI. Dependiendo de los requisitos de financiación definidos por la CI, y previa una notificación por escrito de la CI al Prestatario, todos los cálculos de medias aritméticas de la CI pueden redondearse a los tres (3) puntos decimales superiores más cercanos. Todas las determinaciones de la tasa LIBOR hechas por la CI serán definitivas, en ausencia de un error manifiesto.
“Activo neto” es la parte de los activos del Prestatario que pertenecen a los accionistas o a los tenedores de bonos subordinados (sujetos a regulaciones aplicables con respecto a pasivos subordinados), incluyendo capital pagado, prima de emisión, utilidades acumuladas, utilidades anuales, reservas de cualquier tipo, valoraciones de activos y revalorizaciones, ajustes por inflación y pasivos subordinados.
“Pago en especie” es la suma de todos los activos muebles e inmuebles recibidos por una institución financiera como pago de un préstamo o como consecuencia de trámites legales de recuperación de cartera.
“Provisión de tasa de cobertura” es, en una fecha dada, la tasa obtenida al dividir las Provisiones del Prestatario a esa fecha para su Cartera C, D y E en esa misma fecha.
“Provisiones” son los cargos o montos reflejados en el balance general del Prestatario para cubrir potenciales pérdidas por deudas impagas que el Prestatario las anticipa.
“Activos ponderados por riesgo” son el producto de los activos del Prestatario (incluyendo sus contingencias) y la tasa de riesgo aprobada por la Autoridad Gubernamental pertinente.
“Activo neto técnico” es la suma de todas las cuentas que forman el activo neto, después de hacer los ajustes con las tasas de provisiones establecidas por las regulaciones bancarias locales.
“Cartera total” es la suma de todas las Operaciones crediticias menos las Provisiones.
ARTÍCULO II
TÉRMINOS Y CONDICIONES DEL CRÉDITO
Sección 2.01 Monto, término y divisa.
(i) El monto total del Préstamo será de hasta veinte millones de dólares (US$20'000.000), estructurado de la siguiente manera:
(a) Un Préstamo A de hasta cinco millones de dólares (US$5'000.000) por un plazo máximo de hasta cinco (5) años, desde la fecha del primer desembolso del Préstamo A, sin período de gracia; y
(b) Un Préstamo B por un monto que no exceda los quince millones de dólares (US$15'000.000), conforme a los términos y condiciones especificados en el Suplemento del Préstamo B. La CI hará sus mejores esfuerzos comerciales para obtener los fondos del Préstamo B, pero no se compromete a financiar ni la totalidad ni una parte del Préstamo B.
(ii) El Prestatario y la CI acuerdan que todos y cada uno de los desembolsos y pagos que deban hacerse amparados por este Contrato y los demás Documentos Principales serán hechos en dólares.
Sección 2.02 Lugar de pago. El Préstamo más el interés aplicable, Comisiones, cargos y cualquier otra suma de dinero adeudada deberá pagarse en dólares en efectivo, con fondos inmediatamente disponibles, no después de las 11:00 a.m. (New York, New York, hora de los EEUU) en la fecha determinada, en la cuenta de la CI número 323 373844, Ref. OPR# EC3099A-04 en JP MORGAN CHASE BANK, New York, New York, Estados Unidos de América, o en cualquier otro banco o bancos, o en cualquier otro lugar o lugares que la CI designe en cualquier momento, a su sola discreción, con una notificación previa de por lo menos cinco (5) Días laborables hecha al Prestatario.
Sección 2.03 Pagos en Días Laborables. Si la fecha de vencimiento de cualquier pago dentro de este Contrato, no cae en Día laborable, dicho pago deberá hacerse en el siguiente Día laborable y el interés seguirá acumulándose desde este día hasta el Día laborable antes mencionado.
Sección 2.04 Repago. El Préstamo A deberá ser reembolsado hasta en veinte (20) dividendos trimestrales consecutivos, sustancialmente a partir de la Fecha de pago de intereses, inmediatamente después de la primera fecha de desembolso del Préstamo A, a menos que la CI declare que este capital está vencido y pagadero con anticipación, de acuerdo con los términos de este Contrato. En caso de presentarse desembolsos adicionales después de la fecha en la cual empieza la amortización del capital, el monto de los dividendos restantes deberá calcularse nuevamente, de acuerdo con el saldo pendiente del Préstamo. El Préstamo B deberá reembolsarse según lo definido en el Suplemento del Préstamo B. En cualquier caso, el Préstamo deberá estar totalmente pagado a la Fecha de Vencimiento.
Sección 2.05 Aplicación de Pagos. Todos los pagos recibidos por la CI en conexión con el Préstamo, deberán aplicarse de acuerdo con el siguiente orden de prioridad: (i) Comisiones profesionales pendientes, otros Comisiones, cargos y gastos; (ii) interés acumulado y (iii) capital del Préstamo pendiente.
Sección 2.06 Tasa de Interés. El Préstamo acumulará intereses sobre el saldo pendiente de la siguiente manera:
(i) El Préstamo A acumulará intereses durante cada Período de interés, sobre el saldo pendiente a una tasa anual equivalente a (a) el importe de la tasa LIBOR más cuatro punto veinticinco por ciento (4,25%) (la “Tasa Variable”); o (b) la tasa fija equivalente al importe de la tasa LIBOR más el cuatro punto veinticinco por ciento (4,25%) fijo, dos (2) días antes del desembolso aplicable (la “Tasa Fija”). El Prestatario presentará irrevocablemente a la primera Solicitud de Desembolso del Préstamo A, sin importar si los intereses del Préstamo A están pactados a una Tasa Variable o a una Tasa Fija durante la totalidad del plazo del Préstamo A.
(ii) El Préstamo B acumulará intereses como se estipula en el Suplemento del Préstamo B. La tasa de interés aplicable no excederá la tasa de interés aplicable al Préstamo A.
El interés deberá calcularse sobre la base de un año de 360 días, basándose en el número real de días transcurridos. Los intereses sobre el Préstamo A serán pagables en cada Fecha de pago de intereses.
Sección 2.07 Comisiones.
(i) Comisión de apertura de crédito El Prestatario pagará una Comisión de apertura de crédito equivalente al cero punto cinco por ciento (0,5%) anual, sobre el saldo impago del Préstamo (“la Comisión de apertura de crédito”) (a) para el Préstamo A acumulando treinta (30) días a partir de la Fecha de vigencia; y (b) para el Préstamo B acumulando treinta (30) días a partir de la Fecha de vigencia del Contrato de participación. Esta Comisión de apertura de crédito continuará acumulándose en cada caso hasta que el Préstamo esté completamente desembolsado o los desembolsos hayan sido cancelados. La Comisión de apertura de crédito será pagadera a la Fecha de pago de la Comisión de apertura de crédito.
(ii) Comisión inicial. El Prestatario pagará una Comisión inicial por el Préstamo equivalente al uno por ciento (1%) del capital del Préstamo (la “Comisión inicial”), a pagarse (a) por el Préstamo A, según lo primero que ocurra, (A) treinta (30) días después de la Fecha de Vigencia, o (B) la fecha del primer desembolso del Préstamo; (b) para el Préstamo B, lo que primero ocurra, (A) treinta (30) días después de la Fecha de Vigencia, del Contrato de Participación, o (B) la fecha del primer desembolso del Préstamo B.
(iii) Comisión de préstamo sindicado. El Prestatario pagará a la CI una Comisión de préstamo sindicado equivalente al cero punto tres por ciento (0,3%) del monto del Préstamo B colocado, pagadero antes del desembolso de cada reducción del capital del Préstamo B.
(iv) Comisión de control. El Prestatario pagará una Comisión de control anual de un mil ochocientos dólares (US$1.800), pagaderos a la primera Fecha de pago de intereses de cada año, empezando a partir de la Fecha de vigencia y hasta el pago total del Préstamo.
(v) Comisión de administración. El Prestatario pagará una Comisión de administración anual de setecientos dólares (US$700) pagaderos a la primera Fecha de pago de intereses de cada año, empezando a partir de la Fecha de vigencia del primer Contrato de participación y hasta concluir el pago total del Préstamo B, siempre y cuando el Préstamo B se encuentre financiado por tres (3) o más Participantes.
Sección 2.08 Cargos por demora en la entrega de información. Si el Prestatario incumple al informar y/o notificar obligaciones derivadas de este Contrato, y/o de los otros Documentos Principales, sin perjuicio de las previsiones de la Sección 7.01 (ii) o de cualquier otro derecho aquí estipulado, el Prestatario pagará a la CI por liquidación de daños, hasta el límite permitido por la ley aplicable, hasta cinco mil dólares (US$5.000) para cada período de treinta (30) días de incumplimiento continuo a este respecto. Este cargo se acumulará a partir de la fecha de notificación de incumplimiento; si el Prestatario no soluciona el incumplimiento, dentro de los quince (15) días posteriores a la notificación, y deberá pagarse en la siguiente Fecha de pago de intereses, a menos que la CI considere que las razones para el incumplimiento dadas por el Prestatario son justificadas.
Sección 2.09 Pago anticipado voluntario. El Préstamo puede pagarse de manera anticipada total o parcialmente, siempre y cuando la CI reciba una notificación escrita irrevocable con cuarenta y cinco (45) días de anticipación. Este pago anticipado debe hacerse en una Fecha de pago de intereses o en cualquier otra fecha aceptable por la CI y estará sujeta a un recargo igual al dos por ciento (2%) del monto pagado anticipadamente, prorrateado sobre la base del número de meses restantes hasta la Fecha de vencimiento (la “Comisión de pago anticipado”). Adicionalmente, en caso de que el Prestatario opte por una tasa fija de interés, la Comisión de pago anticipado con respecto al Préstamo deberá incluir también el costo de liberar la derivada utilizada para fijar la tasa fija; por tanto, el Prestatario pagará el monto equivalente a las pérdidas usuales y razonables y/o los gastos incurridos por la CI, incluyendo el margen de pérdidas después del pago anticipado, y que resulte de entre otros, de la ejecución, enmienda o terminación de un contrato de canje, o cualquier otro contrato relacionado, y en cada caso, los montos son calculados por la CI y notificados al Prestatario. Ningún pago anticipado podrá ser menor a un millón de dólares (US$1’000.000). Todos los pagos anticipados serán proporcionales entre el Préstamo A y el Préstamo B, en relación con los dividendo del capital restante del Préstamo, en orden cronológico invertido.
Sección 2.10 Pago anticipado obligatorio.
(i) En cualquier Fecha de pago de intereses, o en cualquier otra fecha a pedido de la CI, el Prestatario deberá pagar anticipadamente a la CI:
(a) Los montos desembolsados en el Préstamo, que no han sido utilizados dentro del Período de inversión aplicable para financiar Préstamos a Empresas elegibles; y
(b) La porción del capital del Préstamo correspondiente a los reembolsos o pagos anticipados hechos a los Préstamos de Empresas elegibles que no han sido reinvertidos como nuevos Préstamos para Empresas elegibles dentro del Período de reinversión correspondiente;
(ii) El Prestatario entregará una notificación escrita a la CI indicando la porción del monto del capital del Préstamo a la que corresponde el pago anticipado obligatorio, de acuerdo con las previsiones de la subsección anterior (i). Una vez entregada la notificación de pago anticipado obligatorio, el Prestatario estará obligado a efectuar este pago anticipado, que se aplicará a los dividendos restantes del capital del Préstamo, en orden cronológico invertido. Adicionalmente, se aplicará la Comisión de pago anticipado prevista en la Sección 2.09.
Sección 2.11 Comisión por retraso en el pago. Sin perjuicio del pago de intereses determinado en la Sección 2.06, y de las previsiones legales aplicables, si el Prestatario incumple sus obligaciones de pago, el Prestatario deberá pagar a la CI una comisión equivalente al 100% de la tasa de interés establecida en la Sección 2.06 sobre los montos de cualquier pago vencido e impago; esta comisión se acumulará diariamente, a partir de la fecha de incumplimiento, y deberá pagarse en la siguiente Fecha de pago de intereses, a menos que se solicite un pago anticipado. La Comisión por retraso en el pago se calcula sobre el monto vencido, sobre una base de trescientos sesenta (360) días por el número real de días en que los montos están vencidos.
Sección 2.12 Reinversión. Al recibir el pago del capital de un Préstamo a una Empresa elegible, el Prestatario puede otorgar Préstamos adicionales a las Empresas elegibles, en caso de que se reúnan en su totalidad las siguientes condiciones definidas por la CI:
(i) El Préstamo a Empresas elegibles deberá hacerse dentro del Período de reinversión aplicable.
(ii) El Prestatario deberá cumplir con todas las obligaciones de este Contrato y de los otros Documentos principales.
Sección 2.13 Uso de fondos inactivos. Durante cada uno de los Períodos de Inversión y de Reinversión, el Prestatario podrá invertir los fondos de cualquier Préstamo no desembolsados a Empresas elegibles, en títulos valores en denominación de dólar o indexados al dólar (a una tasa de interés que refleje la situación del mercado), negociables a corto plazo, o instrumentos crediticios de inversión, negociables, adquiridos exclusivamente para emplear temporalmente estos recursos inactivos.
Sección 2.14 Pagarés. Desde el momento en que la CI efectúe cada desembolso del Préstamo definido en este Contrato, el Prestatario deberá emitir y entregar un Pagaré a favor de la CI (el “Pagaré”). El Pagaré acumulará intereses a una tasa igual a la del Préstamo y su forma deberá ser similar a la del ANEXO IV.
Durante el plazo del Préstamo, el Prestatario garantizará que el Pagaré es válido, vinculante y ejecutable y conferirá a la CI el derecho a implementar procedimientos ejecutorios amparados por la legislación local aplicable.
La emisión y entrega de cualquier Pagaré a la CI, no constituye una cesión de deudas, o un pago del Préstamo. El pago del Prestatario de cualquier Pagaré a la CI o de cualquier monto de dinero a cuenta de un Pagaré, liberará al Prestatario de tener que pagar esta cantidad por concepto del Pagaré.
Sección 2.15 Asignación del Préstamo a Empresas Elegibles. Si la situación financiera del Prestatario se deteriora, o si ocurre un Evento de aceleración, o es inminente, el Prestatario se compromete a asignar sin restricciones a la CI, a solicitud de la misma, todas las cuentas por cobrar, documentos o instrumentos derivados de los Préstamos a Empresas elegibles, así como todas las garantías personales y reales y cualquier otro derecho adicional o los instrumentos establecidos con dichos Préstamos. Dicha asignación no provocará que las obligaciones de pago del Prestatario cesen, y constituirá una fuente alternativa de pago. Si la CI recibe cualquier pago por los Préstamos asignados a Empresas elegibles, el monto deberá aplicarse al saldo pendiente del Préstamo del Prestatario, de acuerdo con lo previsto en la Sección 2.09.
El Prestatario realizará la asignación dentro de los diez (10) días a partir de la solicitud de la CI. El Prestatario se comprometerá a identificar todos los Préstamos a Empresas elegibles, así como las garantías personales pertinentes reales y los derechos adicionales, y a mantenerlos como parte de su Activo neto.
Si la CI decide ejercer este derecho, tal ejercicio no impedirá a la CI ejercer cualquier otro derecho de la CI contemplado en este Contrato, incluyendo el derecho a declarar un Evento de aceleración previsto en la Sección 7.01.
ARTÍCULO III
DESEMBOLSOS
Sección 3.01 Oportunidad y disponibilidad de desembolsos.
(i) Sujeto al cumplimiento con las condiciones previas para desembolsos, determinadas en el Artículo IV de este Contrato, la CI deberá hacer desembolsos del Préstamo A de acuerdo con la Solicitud de desembolsos pertinente, presentada en el formato ADJUNTO del ANEXO V (la “Solicitud de desembolso”). La Solicitud de desembolso debe presentarse a la CI no menos de cinco (5) Días laborables antes de la fecha de desembolso propuesta. Cada desembolso deberá hacerse por transferencia bancaria a la cuenta designada por el Prestatario en la Solicitud de desembolso pertinente, en los Estados Unidos de América. El Prestatario puede cambiar esta cuenta, siempre y cuando notifique a la CI con cinco (5) Días laborables de anticipación al desembolso y le proporcione a la CI la confirmación del nuevo banco al cual se deberán remitir los fondos del Desembolso del préstamo en cuestión.
(ii) A menos que la CI notifique por escrito de otra manera:
(a) El Préstamo A se entregará en uno (1) o más desembolsos de no menos de un millón de dólares (US$1’000.000) cada uno, con excepción del desembolso final.
(b) La obligación de la CI de efectuar el primer desembolso del Préstamo A, cualquiera sea el motivo, expirará dos (2) meses después de la Fecha de Vigencia sin necesidad de notificación o acción alguna por parte de la CI; y
(c) La obligación de la CI de hacer el último desembolso del Préstamo A, cualquiera sea el motivo, expirará tres (3) meses después de la Fecha de vigencia, sin necesidad de notificación o acción alguna por parte de la CI.
Sección 3.02 Oportunidad y disponibilidad de desembolsos del préstamo B
(i) Después de ejecutar el Suplemento del Préstamo B y con sujeción al cumplimiento de las condiciones previas para desembolsos determinadas en el Artículo IV de este Contrato, la CI hará el desembolso del Préstamo B de acuerdo con la Solicitud de desembolso pertinente. La Solicitud de desembolso se deberá presentar a la CI no menos de cinco (5) Días hábiles antes de la Fecha de desembolso propuesta. Cada desembolso deberá hacerse por transferencia bancaria a la cuenta designada por el Prestatario en la Solicitud de desembolso pertinente, en los Estados Unidos de América. El Prestatario puede cambiar esta cuenta, siempre y cuando notifique a la CI con diez (10) Días laborables de anticipación al desembolso y le proporcione a la CI la confirmación del nuevo banco al cual se deberán remitir los fondos del Desembolso del préstamo en cuestión.
(ii) A menos que la CI notifique por escrito de otra manera:
(a) El Préstamo B se entregará en uno (1) o más desembolsos de no menos de un millón de dólares (US$1’000.000) cada uno, con excepción del desembolso final.
(b) La obligación de la CI de efectuar el primer desembolso del Préstamo B, cualquiera sea el motivo, expirará dos (2) meses después de la Fecha de Vigencia de Participación en el Contrato, sin necesidad de notificación o acción alguna por parte de la CI; y
(c) La obligación de la CI de hacer el último desembolso del Préstamo B, cualquiera sea el motivo, expirará tres (3) meses después de la Fecha de Vigencia de Participación en el Contrato, sin necesidad de notificación o acción alguna por parte de la CI.
(iii) No obstante de cualquier condición contraria planteada en este Contrato, la CI no estará obligada a efectuar desembolsos del Préstamo B, excepto en la medida en que los fondos recibidos por la CI de parte de los Participantes estén disponibles, bajo las condiciones del Contrato de Participación.
Sección 3.03 Cancelación de desembolsos por parte de la CI La obligación de la CI de efectuar los desembolsos del Préstamo cesará por medio de una notificación escrita de la CI al Prestatario, dada cualquiera de las siguientes circunstancias:
(i) Si CI declara un Evento de Aceleración;
(ii) Si el Ecuador deja de ser un miembro con buena reputación de la CI; o
(iii) En el caso del Préstamo B, si la CI no recibe los fondos del Participante respectivo.
Hasta la recepción de una notificación escrita, el saldo no desembolsado del Préstamo deberá cancelarse inmediatamente, y la Comisión de apertura de crédito dejará de acumularse a la fecha de dicha notificación.
Sección 3.04 Cancelación de desembolsos a pedido del Prestatario. El Prestatario puede solicitar la cancelación de desembolsos del Préstamo entregando a la CI una notificación escrita con por lo menos cuarenta y cinco (45) días de anticipación; la Comisión de apertura de crédito dejará de acumularse en la fecha efectiva de la cancelación de los desembolsos.
Sección 3.05 Incumplimiento del (de los) Participante(s) para entregar los fondos. En caso de que cualquier Participante incumpla al financiar la totalidad o una porción de su Participación en el Préstamo B, la CI podrá, previa notificación escrita al Prestatario, cancelar la porción no desembolsada del Préstamo B asignable a la Participación respectiva. En este caso, el Prestatario no estará obligado a pagar la porción de la Comisión de apertura de crédito acumulada sobre la Porción del Préstamo B que no fue desembolsada; sin embargo, la CI no estará obligada a financiar ninguna porción del déficit del Préstamo B.
Sección 3.06 Ilegalidad. Sin perjuicio de las condiciones determinadas en este Contrato, en caso de cambios hechos a la legislación o a regulaciones aplicables, o la interpretación o aplicación de las mismas por parte de cualquier Autoridad gubernamental a cargo de la administración, que deje fuera de la ley a cualquiera de los Participantes para continuar con la financiación de su Participación, el Prestatario deberá, a pedido de la CI y sujetándose a previsiones legales y regulatorias, pagar inmediatamente la totalidad y por anticipado la parte del monto del capital pendiente del Préstamo B que corresponda a este Participante, junto con todos los intereses y comisiones acumuladas, dado que el Prestatario estará advertido por la CI de esta circunstancia. El derecho del Prestatario a solicitar desembolsos terminará inmediatamente con respecto a la porción no desembolsada del Préstamo B asignable a la Participación de este Participante, y tal parte no desembolsada del Préstamo B será considerada cancelada. En caso de que una porción no desembolsada del Préstamo B sea considerada cancelada, de acuerdo con lo estipulado en esta Sección, el Prestatario no estará obligado a pagar nada por concepto de Comisión de apertura de crédito sobre esta parte del Préstamo.
ARTÍCULO IV
CONDICIONES PARA EL DESEMBOLSO DE LOS PRÉSTAMOS
Sección 4.01 Período de desembolso. De acuerdo con la Sección 3.01 la CI hará el Desembolso de Préstamo solicitado dentro de diez (10) Días laborables en cumplimiento con todas las condiciones determinadas en este Artículo IV, a total satisfacción de la CI.
Sección 4.02 Requisitos para el desembolso. La obligación de la CI de hacer cualquier desembolso del Préstamo estará sujeta al cumplimiento con cada una de las siguientes condiciones, a total satisfacción de la CI:
(i) El Prestatario habrá cumplido con todas las obligaciones, condiciones y cláusulas determinadas en este Contrato y en los Documentos principales.
(ii) No deberá haber ocurrido ningún Cambio material adverso.
(iii) No podrá haberse dado ningún Evento de Aceleración, o ningún evento que en un lapso de tiempo notificación, o lapso de tiempo y notificación, se convierta en un Evento de Aceleración, continúe como tal u ocurra como resultado del desembolso.
(iv) El Prestatario deberá haber entregado a la CI la siguiente documentación, a satisfacción total de la CI:
(a) La Solicitud de desembolso;
(b) El Pagaré emitido de acuerdo con las condiciones determinadas en la Sección 2.14;
(c) Los estados financieros del Prestatario más recientes, auditados y no auditados;
(d) Con excepción del primer desembolso del Préstamo, el Recibo de los desembolsos previos, según el formato adjunto en el ANEXO II;
(e) Copias verdaderas y fieles de los Documentos corporativos del Prestatario, con respecto al Préstamo y los Documentos principales, y cualquier modificación hecha a los mismos; y
(f) Cualquier cambio a la información en la certificación hecha al banco, emitida para cualquier desembolso previo, a la cual se deba remitir los fondos del desembolso, según lo definido en la Sección 4.03 (ii).
(v) Con respecto al desembolso del Préstamo B, además de cumplir con las condiciones (i) a la (iv) anteriores, la CI deberá:
(a) Ejecutar el Contrato de participación pertinente, que deberá estar en vigencia; y
(b) Recibir los fondos correspondientes al Préstamo B para su desembolso.
Sección 4.03 Requisitos específicos para el desembolso inicial. La obligación de la CI de hacer el primer desembolso del Préstamo quedará sujeta a que el Prestatario cumpla con las condiciones aplicables determinadas en la Sección 4.02 y a la entrega de los siguientes documentos a total satisfacción de la CI:
(i) Este Contrato debidamente suscrito y perfeccionado por las Partes de manera que sea vinculante y ejecutable de acuerdo con la legislación en vigencia;
(ii) Un certificado emitido por el banco al cual se debe remitir el desembolso certificando que el Prestatario es el portador de la cuenta indicada en la Solicitud de desembolso; este certificado deberá enviarlo directamente el Banco a la CI;
(iii) La opinión del asesor legal externo de la CI con respecto a este Contrato, los otros Documentos Principales, las transacciones aquí previstas, el Proyecto, y cualquier otro aspecto solicitado por la CI a satisfacción de la CI; y
(iv) Prueba de cumplimiento a satisfacción de la CI del nombramiento del Procurador, como lo dispone la Sección 8.16 (iii).
Sección 4.04 Documentación de respaldo. El Prestatario proporcionará cualquier documento o información adicional solicitada por la CI para sustentar cualquier desembolso, sin importar si tal solicitud es hecha antes o después del desembolso.
ARTÍCULO V
REPRESENTACIONES Y GARANTÍAS
Sección 5.01 Existencia corporativa; poderes legales; efecto vinculante. El Prestatario representa y garantiza lo siguiente:
(i) Se trata de una institución bancaria debidamente constituida y su existencia está validada en el Ecuador; y sus Documentos corporativos están en vigencia a la fecha de ejecución de este Contrato.
(ii) Tiene todas las licencias, autorizaciones, consentimientos, y registros requeridos por las leyes del Ecuador y que tiene el poder y la autoridad sobre la propiedad de sus activos y para conducir su negocio bancario, tal y como al momento lo hace, y que el monto del Préstamo solicitado está dentro de la capacidad de endeudamiento del Prestatario.
(iii) Este Contrato y todos los otros Documentos principales son válidos y vinculantes para el Prestatario y ejecutables bajo los términos definidos en este Contrato y en los ya mencionados Documentos principales.
Sección 5.02 Autorización; No contravención. El Prestatario representa y garantiza lo siguiente:
(i) La ejecución, entrega y formalización de este Contrato y de todos los otros Documentos principales han sido debidamente autorizados, y de ser necesario serán registrados ante la Autoridad Gubernamental pertinente y no requieren ningún consentimiento de terceras personas, bajo ningún contrato, juicio, orden judicial, mandato, decreto, ni ningún otro estatuto, reglamento o regulación aplicable al Prestatario.
(ii) La ejecución de este Contrato no ha infringido, ni lo hará, ninguna de las previsiones o términos de los Documentos corporativos o de ningún otro contrato del que sea parte el Prestatario con otras terceras personas.
Sección 5.03 Información financiera. El Prestatario representa y garantiza que sus estados financieros más recientes, auditados y no auditados presentados imparcialmente y en conformidad con los Principios de Contabilidad generalmente aceptados, según lo previsto en la Sección 8.06, o según lo dispongan las leyes y reglamentos del Ecuador, su posición financiera del último Año fiscal o del período aplicable.
Sección 5.04 Litigación y disputas. El Prestatario representa y garantiza que no existe ninguna disputa, acción o proceso legal pendiente, ante ninguna corte o árbitro o ningún cuerpo gubernamental, agencia o funcionario que afecte al Prestatario; y que él tampoco conoce de ninguna amenaza de disputa, acción o proceso legal, ante ninguna corte o árbitro o ningún cuerpo gubernamental, agencia o funcionario que pudiera material y adversamente afectar a la posición financiera del Prestatario, los resultados de sus operaciones o su capacidad de cumplir con las obligaciones contraídas en este Contrato, o que puedan afectar de alguna manera la validez y efectividad de este Contrato.
Sección 5.05 Transparencia. El Prestatario representa y garantiza que para los fines del presente Contrato y de los otros Documentos principales,
(i) Que toda la información proporcionada a la CI y a cualquier Participante es verdadera, adecuada y completa y que no existen omisiones materiales que puedan afectar la transparencia haciéndola engañosa.
(ii) Que ha revelado por escrito a la CI y a todos los Participantes todos y cada uno de los hechos que pudieran afectar material y adversamente su posición financiera o su capacidad de cumplir con las obligaciones que se derivan de este Contrato y de los otros Documentos principales.
(iii) Que mantendrá a la CI y a los Participantes libres de todas las formas de pasivos (por agravio, contrato o de cualquier otra manera) que tenga relación con cualquier información proporcionada por la CI o a cualquier Participante.
Sección 5.06 Confiabilidad de representaciones y garantías. El Prestatario acuerda que las representaciones y garantías de este Contrato se hicieron con el propósito de inducir a la CI a participar en este Contrato y a que cualquier Participante sea parte de su respectivo Contrato de participación, sobre la base y con total confianza en estas representaciones y garantías.
Sección 5.07 Subsistencia de representaciones y garantías. Las representaciones y garantías de este Contrato perdurarán a la ejecución de este Contrato y se mantendrán en vigencia hasta la terminación de las transacciones aquí contempladas, exceptuándose cualquier enmienda a estas representaciones y garantías que sean oportunamente entregadas a la CI por parte del Prestatario, y expresamente consentidas por la CI.
ARTÍCULO VI
OBLIGACIONES DEL PRESTATARIO
Sección 6.01 Cláusulas positivas. A menos que la CI haya autorizado previamente por escrito, y no obstante de todas las otras obligaciones establecidas en este Contrato, el Prestatario deberá cumplir con todas las obligaciones que aparecen a continuación:
(i) Diligencia debida y uso de los fondos del Préstamo. Uso de todos los Fondos desembolsados del Préstamo para financiar los Proyectos elegibles de las Empresas elegibles y deberá administrar los Préstamos hechos a las Empresas elegibles de manera diligente y eficiente y en concordancia con prácticas financieras sanas y salvas.
(ii) Cumplimiento con el criterio de elegibilidad. Asegurarse que durante el plazo del Préstamo, la Empresas elegibles y los Proyectos elegibles cumplan y mantengan su cumplimiento con los requisitos y condiciones de elegibilidad establecidos en este Contrato, y que cada Empresa elegible utilice los fondos de la Empresa elegible exclusivamente en los Proyectos elegibles aprobados por la CI.
(iii) Información contable, financiera y operativa. Proporcionar a la CI la siguiente información contable, financiera y operativa, la cual debe ser verdadera, precisa y completa:
(a) Los estados financieros anuales completos, auditados, consolidados y no consolidados del Prestatario al final del Año fiscal, dentro de los ciento veinte (120) días posteriores al cierre del Año fiscal.
(b) Los estados financieros trimestrales no auditados del Prestatario, dentro de los cuarenta y cinco (45) días posteriores al cierre de cada trimestre del Año fiscal.
(c) Un informe de transacciones anuales (el “Informe de Transacciones Anuales”) en el formato del ANEXO VI, en la cuarta Fecha de Pago de intereses de cada año.
(d) El Informe de desempeño ambiental anual previsto en la subsección (xi) a continuación, dentro de los sesenta (60) días posteriores al cierre del Año fiscal.
(e) Un informe inmediato sobre cualquier hecho o circunstancia que a criterio del Prestatario afecte o pueda afectar materialmente, de una manera adversa, sus operaciones y su situación financiera; y
(f) Tan pronto como sea posible, a pedido de la CI, cualquier información adicional razonable (incluyendo por ejemplo el informe de auditoría y un informe de la Autoridad de control) sobre las actividades, activos, aspectos operativos, posición financiera, resultados operativos y prospectos del Prestatario, Empresas elegibles o el Proyecto.
(iv) Monitoreo y visitas de inspección. Permitir a la CI o a la persona por ella designada la visita e inspección de las oficinas e instalaciones del Prestatario; examinar los archivos comerciales aplicables, libros de contabilidad y declaraciones de impuesto a la renta; y solicitar a los funcionarios del Prestatario información sobre las actividades del Prestatario, carteras, operaciones, posición financiera, resultados operativos, y perspectivas en los tiempos y frecuencias determinados por la CI. Adicionalmente, si la CI lo solicita, el Prestatario deberá obtener permiso de los representantes de la CI para visitar e inspeccionar cualquiera de las Empresas elegibles, y mantener reuniones con los gerentes y auditores de las mismas, y tener acceso a su información financiera. Con este fin, el Prestatario deberá mantener un registro separado de los préstamos secundarios entregados con fondos de la CI (y deberá identificarlos dentro de sus archivos).
(v) Préstamos y Empresas elegibles. Garantizar que:
(a) Los Préstamos a Empresas elegibles sean aprobados de acuerdo con las políticas y procedimientos internos de crédito del Prestatario, los cuales en todo momento incluirán pero sin limitarse sólo a esto, el requisito de que cada EE debe ser sólida en el ámbito financiero, bien administrada, y debe tener un seguro apropiado cuando sea aplicable.;
(b) La tasa de interés, el vencimiento y otros términos y condiciones de los Préstamos a las Empresas elegibles estén en términos alcanzables;
(c) Cada Préstamo a Empresas elegibles esté evidenciado por documentos conferidos ante los derechos válidos y ejecutables del Prestatario, e impongan ante la EE pertinente obligaciones válidas y ejecutables.
(d) Cada Préstamo a Empresas elegibles es pactado en dólares, o en su equivalencia en divisa local; y
(e) Cada Préstamos a Empresas elegibles está debidamente respaldo y asegurado de acuerdo con las políticas crediticias del Prestatario.
(vi) Auditores. Nombrar y mantener auditores independientes de prestigio reconocido en el Ecuador. Cualquier cambio a este nombramiento deberá ser notificado por escrito a la CI en los quince (15) días posteriores a dicho nombramiento.
(vii) Licencias, aprobaciones o permisos. Mantener en vigencia todas las licencias, aprobaciones y permisos necesarios para la ejecución del Préstamo y el desempeño de las operaciones y negocios del Prestatario, así como cumplir y observar todas las condiciones y restricciones contenidas o impuestas en cualquiera de estas licencias, operaciones y permisos.
(viii) Leyes, reglamentos y regulaciones. Cumplir con todas las leyes, reglamentos y regulaciones ecuatorianas pertinentes, especialmente aquéllas relacionadas con la capitalización, transacciones y solidez bancaria, y cualquier otra ley impuesta por cualquier Autoridad gubernamental que regule las actividades del Prestatario.
(ix) Costos legales, obligaciones, comisiones y otros cargos. El Prestatario acuerda pagar a la CI todas las comisiones legales y gastos incurridos en conexión con la ejecución y cumplimiento de este Contrato y los Documentos principales incluyendo, pero sin limitarse a: (a) La preparación y revisión de los documentos necesarios para formalizar este Contrato y los Documentos principales; (b) El borrador de las opiniones legales requeridas por la CI; (c) Cualquier desembolso del Préstamo; (d) Cualquier enmienda, modificación, reestructuración, renovación y/o ratificación del Contrato, de Documentos principales y el Pagaré, y el ejercicio de los derechos de la CI; y (e) todos los gastos, costos o comisiones incurridos en la ejecución del Préstamo y las comisiones aplicables por ley. El Prestatario pagará estas comisiones legales y gastos dentro de los cinco (5) Días laborables posteriores a la recepción de la factura correspondiente, se hayan hecho o no desembolsos del Préstamo. A pedido del Prestatario, la CI puede considerar hacer pagos directos de estas facturas. Si la CI decide anticipar el pago de cualquiera de estos cargos, el Prestatario deberá reembolsar prontamente a la CI por cualquiera de estos montos pagados por la CI.
(x) Índices Mantener los siguientes índices financieros durante el período del Contrato:
(a) El coeficiente de cartera C, D y E igual o menor al cinco por ciento (5%).
(b) El coeficiente de provisión de cartera igual o mayor al ciento veinte por ciento (120%).
(c) El coeficiente de riesgo del patrimonio igual o menor al diez por ciento (10%).
(d) El coeficiente de garantía igual o mayor al once por ciento (11%).
(xi) Cláusulas ambientales. Cumplir con las siguientes cláusulas:
(a) Tan pronto como sea posible:
(A) Garantizar en todo momento que por lo menos uno (1) de sus empleados ha asistido a los seminarios de entrenamiento ambiental patrocinados o aprobados por la CI.
(B) Designar a por lo menos uno (1) de los empleados que han asistido a los seminarios de entrenamiento para que implementen y supervisen el SMA y/o para actuar como un coordinador ambiental y laboral que lidere las revisiones de las Empresas elegibles, en relación con las Requerimientos nacionales y locales y el Procedimiento de Revisión ambiental y laboral de la CI, o para contratar consultores que lleven a cabo estas revisiones; dado el caso que las personas antes mencionadas ya no cumplan con estas actividades, el Prestatario deberá notificar oportunamente a la CI, nombrar una nueva persona para cumplir con estas tareas y asegurarse que esta nueva persona asista al siguiente seminario de entrenamiento ambiental o laboral patrocinado o aprobado por la CI que esté planificado;
(C) Abstenerse de enmendar, modificar o rescindir el SMA sin la aprobación de la CI. Todos los costos asociados con la asistencia a los seminarios de entrenamiento ambiental y laboral deberán ser cubiertos por el Prestatario; y
(D) Entregar a la CI el Informe anual de desempeño ambiental dentro de los sesenta (60) días al cierre de cada Año fiscal.
(b) Plan de acción correctiva. Hacer todo esfuerzo razonable para garantizar que cada Empresa elegible cumpla con todos los requerimientos nacionales y locales, así como con el Procedimiento de revisión ambiental y laboral de la CI. Tan pronto como tenga conocimiento de que cualquier actividad de una EE no cumpla con los Requerimientos nacionales y locales o con el Procedimiento de revisión ambiental y laboral de la CI, el Prestatario deberá (A) tomar acciones razonables para que la Empresa Elegible implemente un Plan de acción correctiva; y (B) dar los pasos razonables para reemplazar el Proyecto Elegible de la Empresa Elegible mencionada, en los términos financieros razonables, considerando liquidez, limitaciones del mercado y responsabilidades fiduciarias, en caso de que la Empresa Elegible no implemente un Plan de acción correctiva.
(xii) Impuestos. Pagar todos los impuestos en cumplimiento con las leyes aplicables, así como aquellos relacionados con la ejecución, inscripción y certificación notarial de este Contrato y de los Documentos Principales, y cualquier otro documento relacionado con éstos o con el Proyecto que esté en vigencia o que pueda establecerse en el futuro, considerando cualquiera de los pagos aquí determinados que deban efectuarse. Todos los pagos que se deriven de este Contrato deberán hacerse sin ninguna deducción, o a cuenta de impuestos, comisiones u otros cargos; no obstante, si al Prestatario le es solicitado por operación de las leyes aplicables u otras previsiones legales a retener estos Impuestos, obligaciones, comisiones y otros cargos, el capital, el interés o cualquier otro monto adeudado de acuerdo con este Contrato, se incrementará en la suma necesaria para permitir que la CI reciba el monto total que habría recibido si los pagos se hubiesen hecho sin las deducciones de impuestos, obligaciones, comisiones y otros cargos aplicables. En cualquier caso el Prestatario entregará a la CI dentro de los treinta (30) días siguientes al período en cuestión, un recibo oficial, o cualquier otro documento oficial que evidencie el pago de la deducción o de la retención en cuestión.
(xiii) Costos adicionales, gastos de la CI o Pérdidas. Si la CI o cualquier Participante incurre en costos, gastos o pérdidas a cuenta de: (i) cualquier modificación de las leyes o regulaciones aplicables o en la interpretación de éstas por parte de cualquier Autoridad gubernamental que pueda afectar al Préstamo; (ii) cumplimiento con cualquier solicitud o requerimiento establecido por la Autoridad regulatoria, o cualquier otro dinero o autoridad; o (iii) el incumplimiento del Prestatario con cualquier obligación de este Contrato o de los Documentos principales, el Prestatario deberá pagar a la CI a la Fecha de pago de intereses inmediatamente después de recibir de parte de la CI una notificación concerniente a la incidencia de cualquiera de los costos, gastos o pérdidas arriba mencionados, el monto total de estos costos, gastos o pérdidas.
(xiv) Cambio de circunstancias. Notificar oportunamente a la CI de cualquier hecho o circunstancia significativa relacionada con el Proyecto, el negocio o las operaciones del Prestatario que constituyan o puedan constituir un Evento de aceleración y/o un Cambio material adverso.
(xv) Indemnización. Indemnizar a la CI o a cualquier Participante, según sea el caso, y a sus ejecutivos, directores, agentes y empleados y dejarlos exentos de responsabilidad frente a cualquier demandas, perjuicios, obligaciones, costos o gastos (comisiones y otros gastos por servicios legales y profesionales, inclusive) incurridos o impuestos a la CI o al cualquier Participante, en relación con o como resultado de una demanda, investigación, litigio o proceso legal en el que se hayan involucrado como consecuencia del Proyecto, este Contrato o cualquiera de los Documentos principales, la negociación de los mismos, la preparación de la documentación relevante o la ejecución por parte de la CI de cualquier recurso o derecho aquí conferido, independientemente de si la CI es una de las partes involucradas en la demanda, investigación, litigio o proceso legal, a menos que la demanda o el costo sea el resultado de negligencia evidente o conducta dolosa por parte de la CI o de su representante autorizado.
(xvi) Explicaciones a la Administración de la CI en Washington, D.C. A pedido de la CI, si un Evento de Aceleración ha ocurrido o es inminente, se deberá entregar en persona y por cuenta del Prestatario, información y explicaciones adecuadas
