Now entering its fifth year, the Darfur crisis continues to be one of the world’s largest concentrations of human suffering. The sheer enormity of the crisis is almost unimaginable. 2.5 million people have been forced to flee their homes and are living in vast, crowded camps in both Darfur and across the border in Chad. More than 4.5 million people are now affected by the conflict and depend on humanitarian assistance. The violence goes on and the numbers continue to rise, with thousands more fleeing every month. Meanwhile, aid workers in the region are facing daily violent attacks, providing enormous challenges to our work.
XXXXX is there
Despite the daily dangers, XXXXX staff are currently providing vital assistance to around 500,000 people affected by the crisis, both in Darfur and eastern Chad. We provide essential access to clean, safe water and sanitation, as well as basic necessities such as blankets, soap and jerry cans for carrying water. We carry out public health education programs to try and prevent the spread of disease; and, as the crisis continues with no sign of abating, we are implementing projects to provide livelihood opportunities to help people find some alternative to the reliance on external aid.

Whereas
A.- The Insurer has issued an insurance policy (“the Original Policy”) to the Policyholder(s) which is effective for a term of one year from ________. The Policyholder(s) enter(s) into this Agreement on behalf of all those assured under the Original Policy (the Policyholder(s) and all such assureds being referred to herein together as “the Assured”);
B.- The Reinsurer has issued a reinsurance policy (“the Reinsurance Policy”) to the Insurer whereby the Reinsurer has agreed to reinsure «Reinsurance_Percentage»% of the Insurer’s liability under the Original Policy;
C.- The Assured acknowledge that the Insurer has issued the Original Policy on the basis that the Reinsurer would ultimately reinsure «Hold_Harmless»% of any claim made by the Assured in accordance with the Original Policy.
It is hereby agreed as follows:
1.- The Reinsurer may, instead of indemnifying the Insurer pursuant to the Reinsurance Policy, make payment directly to the Assured of the reinsured portion of any claim to which the Original Policy applies, but only at the same time and in the same manner as the Insurer would be obliged to make payment pursuant to the terms of the Original Policy.
Such payment shall, to the extent of such reinsured portion:
a) discharge the Insurer from any and all liability to the relevant Assured under the Original Policy;
b) discharge the Reinsurer from any and all liability to the Insurer under the Reinsurance Policy; and
c) constitute payment by the Insurer pursuant to the Original Policy for the purpose of triggering rights of subrogation thereunder in favour of the Insurer (to be exercised by the Insurer subject to the provisions of the Reinsurance Policy and paragraph 9 of this Agreement).
2.- The Assured accept that if any claim by the Insurer pursuant to the Reinsurance Policy is not paid by the Reinsurer in whole or in part, or such payment is delayed, for any reason, and in particular if such claim is not paid in full by reason of Article 9 (Aggregation and Proration of Claims) of the Reinsurance Policy, then the Assured will not seek to enforce payment of such claim or part thereof against the Insurer until payment in relation to such claim has been made by the Reinsurer to the Insurer.

a) liberará al Asegurador de toda y cualquier responsabilidad frente al Asegurado bajo la Póliza Original;
b) liberará al Reasegurador de toda y cualquier responsabilidad frente al Asegurador bajo la Póliza de Reaseguro, y
c) constituirá el pago por parte del Asegurador bajo la Póliza Original para efectos de establecer los correspondientes derechos de subrogación en favor del Asegurador (para ser ejercitados por el Asegurador con sujeción a lo dispuesto en la Póliza de Reaseguro y el párrafo 9 de este Convenio).
