7.1 The relationship of the Consultant Company (and the Consultant and any substitute appointed pursuant to clause 3.5) to the Company will be that of independent contractor and nothing in this agreement shall render it (or the Consultant and any substitute appointed pursuant to clause 3.5) an employee, worker, agent or partner of the Company and the Consultant Company shall not hold itself out as such and shall procure that the Consultant shall not hold himself out as such.
7.2 This agreement constitutes a contract for services and not a contract of employment and accordingly the Consultant Company shall be fully responsible for and shall indemnify the Company for and in respect of:
(a) any income tax, National Insurance and Social Security contributions and any other liability, deduction, contribution, assessment or claim arising from or made in connection with either the performance of the Services or any payment or benefit received by the Consultant in respect of the Services, where such recovery is not prohibited by law. The Consultant Company shall further indemnify the Company against all reasonable costs, expenses and any penalty, fine or interest incurred or payable by the Company in connection with or in consequence of any such liability, deduction, contribution, assessment or claim other than where the latter arise out of the Company's negligence or wilful default;
(b) any liability for any employment-related claim or any claim based on worker status (including reasonable costs and expenses) brought by the Consultant (or any substitute appointed pursuant to clause 3.5) against the Company arising out of or in connection with the provision of the Services.
Traducción - español 7. NATURALEZA DE LA RELACIÓN
7.1 La relación de la Empresa Consultora (y del Consultor, así como de cualquier sustituto del mismo nombrado conforme a lo establecido en la cláusula 3.5) con la Empresa será la de contratista independiente, y nada de lo contenido en este acuerdo implicará que dicha Empresa Consultora (y el Consultor o cualquier sustituto del mismo nombrado conforme a lo establecido en la cláusula 3.5) pueda ser considerado como empleado, trabajador, agente o socio de la Empresa. La Empresa Consultora no se considerará como tal y procurará que tampoco lo haga el Consultor.
7.2 El presente acuerdo constituye un contrato de servicios y no un contrato de trabajo y, por consiguiente, la Empresa Consultora será el único responsable, y deberá exonerar a la Empresa de toda responsabilidad respecto de los siguientes conceptos:
(a) Cualesquiera impuestos sobre la Renta, contribuciones a la Seguridad Social y cualquier otra responsabilidad tributaria, retención, contribución, gravamen o reclamación que surja o tenga relación con la prestación del Servicio, o cualquier pago o beneficio recibido por el Consultor por la prestación del mismo cuando dicho cobro no esté prohibido por ley. Además, la Empresa Consultora libera a la Empresa de toda responsabilidad por los costes, gastos, penalizaciones, multas o intereses en que esta última pueda incurrir por razón de cualesquiera de dichas responsabilidades tributarias, retenciones, contribuciones, gravámenes o reclamaciones siempre que los mismos no se deriven de la negligencia o el incumplimiento intencionado de la Empresa.
(b) Cualquier reclamación de tipo laboral o basada en la condición de trabajador del Consultor (incluidos los costes y gastos derivados de la misma), interpuestas por éste (o por cualquier sustituto del mismo nombrado conforme a lo establecido en la cláusula 3.5) frente a la Empresa en relación a la prestación del Servicio.

Within the legal field, I have translated powers of attorney, legal actions, arbitration proceedings, anti-trust proceedings, judgments and court orders, last will and testaments, etc. Within the business field, I have translated purchase and sale contracts, investment agreements, indentures, lease agreements, bank guarantees, certificates of incorporation and corporate bylaws, loan agreements, financial statements, insurance policies, patent applications and patent claims, patent license agreements, and expert’s reports, etc.
