D E C L A R A C I O N E S
I.- DECLARA LA “PARTE OTORGANTE”, POR CONDUCTO DE SU REPRESENTANTE LEGAL:
I.1.- Ser una sociedad mercantil legalmente constituidas, lo que acreditan respectivamente con la escritura pública número 1818 otorgada ante la fe del Titular de la Notaría Pública Número 195, con ejercicio en México, Distrito Federal, Licenciado Erick S. Pulliam Aburto, inscrita en el Registro Público de la Propiedad y del Comercio de la Ciudad de México, Distrito Federal, bajo el folio mercantil 140006.
I.2.- Estar debidamente representada para celebrar el presente convenio por el Ingeniero Eduardo Morales Mega, como se acredita con la escritura pública número 25777, otorgada ante la fe del Notario Público Números 105, Licenciado Jesús Ubaldo Garate Bravo, con ejercicio en Monterrey, Nuevo León, y que a la fecha de la firma de este convenio dichas facultades no les ha sido revocadas, ni limitadas en forma alguna a su apoderado:
I.3.- Que tienen su domicilio en Humberto Lobo número 660, Colonia del Valle, San Pedro Garza García Nuevo León, C. P. 66220.
II.- DECLARA LA “PARTE RECEPTORA”, POR CONDUCTO DE SU REPRESENTANTE LEGAL:
II.1.- Ser una empresa incorpora y legalmente constituida en __________, lo que acreditan respectivamente con el acta de incorporación de fecha_______________.
II.2.- Estar debidamente representada para celebrar el presente convenio, por el señor ________________, como se acredita con el poder _________________, y que a la fecha de la firma de este convenio dichas facultades no les ha sido revocadas, ni limitadas en forma alguna a su apoderado:
II.3.- Que tiene su domicilio en ___________________________.
III.- LAS PARTES:
Manifiestan que para todo efecto legal e interpretación y cumplimiento del presente convenio, se entenderá:
III.1.- PARTE OTORGANTE: La que entrega la información confidencial.
III.2.- PARTE RECEPTORA: La que recibe la información confidencial.
III.3.- LAS PARTES: Significa las personas que intervienen y sujetas a este convenio.
III.4.- INFORMACIÓN CONFIDENCIAL, sin limitar la generalidad del término, cualquiera relacionada con la empresa denominada CONSORCIO AVIAXSA, S. A. DE C. V., que opera bajo el nombre comercial “AVIACSA”, como concesionaria mexicana para la prestación del servicio de transporte público aéreo regular, nacional e internacional; no regular internacional, de pasajeros, correo y carga; y no regular de taxi aéreo, información que podrán consistir en forma enunciativa más no limitativa, en:
III.4.1.- Información financiera, contable, fiscal, administrativa, operativa, técnica, científica, comercial, financiera o de mercado, lista de clientes, estrategias comerciales, o intercambio, “know-how” o secretos de comercio o intercambio;
III.4.2.- Datos concernientes a relaciones de negocios, muestras, dispositivos, demostraciones, procesos, máquinas o maquinaria, equipos, aeronaves, motores, partes;
III.4.3.- Contratos de compra venta o arrendamiento de aeronaves, motores, partes, equipo, activos, contratos colectivos de trabajo, contratos de crédito o financiamientos, permisos, concesiones, autorizaciones, proyectos futuros, diseños, dibujos, mapas y especificaciones técnicas, y
III.4.4.- Cualquier otra información entregada, esté o no sujeta a protección por las leyes comunes o normas relacionadas con el derecho de autor, patentes, marcas comerciales, a la celebración de contratos o convenios, aún y cuando no estén registradas conforme a las leyes administrativas.
III.5.- PARTE AUTORIZADA: Toda persona que sin estar bajo la subdirección o dependencia de la PARTE RECEPTORA, ha sido, mediante escrito, autorizada por ésta, para tener acceso a la información confidencial recibida, por ser su socio, accionista, inversionista, consultor o asesor, etc.
IV.- LAS PARTES: Manifiestan que han estado en pláticas sobre la posibilidad de celebrar diversas negociaciones con respecto a las actividades mercantiles en las que tienen interés la PARTE RECEPTORA, en la empresa denominada CONSORCIO AVIAXSA, S. A. DE C. V., y por tanto, se requiere el intercambio de cierta información de naturaleza confidencial, especialmente la documentación e información a entregar por parte de la OTORGANTE, y es por ello, que han acordado en celebrar el presente convenio de confidencialidad, mismo que sujetan de común acuerdo a las siguientes:
C L Á U S U L A S
PRIMERA: Queda convenido a no revelar, por ningún motivo o razón, a terceras personas, toda aquella información que la PARTE OTORGANTE haya entregado a la PARTE RECEPTORA, y que acuerdan tiene el carácter de confidencial e incluso la información que ésta última pudiese entregar a la PARTE OTORGANTE.
SEGUNDA: Para los efectos de la cláusula anterior, el uso de la INFORMACIÓN a proporcionarse por las partes y que siempre tendrá el carácter de CONFIDENCIAL aún cuando no se especifique así en dicha información, debe imponerse al menor número de empleados, consultores profesionales o asesores, comisionistas y corredores de LAS PARTES, pues el conocimiento de la INFORMACIÓN CONFIDENCIAL, debe constreñirse al número indispensable de personas que deban de imponerse de ellas para determinar la posibilidad o no del futuro negocio, entregando una lista con los nombres de las personas que tendrán acceso a la INFORMACIÓN CONFIDENCIAL proporcionada.
TERCERA: La PARTE RECEPTORA se asegurará de que sus empleados, consultores profesionales, expertos, comisionistas, corredores o PARTES AUTORIZADAS que lleguen a tener acceso a cualquier INFORMACIÓN DE CARÁCTER CONFIDENCIAL, están enterados y obligados a su vez, a estar sujetos por los términos y condiciones establecidas en este instrumento.
CUARTA: La PARTE RECEPTORA se obliga a que ni antes ni después de haber tomado la determinación de celebrar o no el negocio futuro, se abstendrá de utilizar, emplear, explotar o hacer uso de la INFORMACIÓN CONFIDENCIAL a un fin distinto por el que se entrega en los términos del presente contrato.
QUINTA: La PARTE RECEPTORA se obliga a proteger la INFORMACIÓN CONFIDENCIAL que le ha sido proporcionada conforme a las reglas de cuidado que el sentido común aconseja, empleando en ello la misma diligencia para conservar en secreto la información contenida en documentos propios, siendo responsable frente a la OTORGANTE de los daños y perjuicios originados por negligencia en el resguardo de la INFORMACIÓN CONFIDENCIAL.
SEXTA: Tanto la documentación como la INFORMACIÓN CONFIDENCIAL contenida en ellos, es considerada para todo efecto legal, propiedad de la PARTE OTORGANTE, y no confiere a la PARTE RECEPTORA ningún derecho sobre la misma, pues la posesión de ella resulta precaria y temporal y con el único objeto de conocer los datos que resulten necesarios para poder determinar sobre la positiva o negativa realización de un negocio futuro.
SÉPTIMA: La PARTE OTORGANTE, en cualquier momento podrá solicitar de la PARTE RECEPTORA la devolución de todo o parte de cualquier INFORMACIÓN que como CONFIDENCIAL se la haya proporcionado, bastando para ello la petición a través de cualquier medio de comunicación, teniendo la PARTE OTORGANTE obligación de expedir el recibo que acredite la devolución efectuada. Lo anterior sin perjuicio de la obligación de que todos los materiales impresos que materialicen el contenido de la INFORMACIÓN CONFIDENCIAL que por algún motivo no sean devueltos a la PARTE OTORGANTE, deberán ser destruido en cualquier forma que no permitan su restauración.
OCTAVA: Los pactos contenidos en este instrumento, producirán efecto entre LAS PARTES y personas dependientes de ellas, ya sea que estén bajo la subordinación o dependencia, o por ser socios, accionistas, inversionistas, asesores, consultores, consejeros y comisionistas, en la misma forma como si hubiesen intervenido en forma directa.
NOVENA: La duración del presente contrato de confidencialidad, será de 30 días, contado a partir de la suscripción del mismo. Sin embargo, su conclusión no significa que concluyan los pactos de confidencialidad contenidos en él, pues éstos perdurarán en todo tiempo, aún y cuando haya concluido el convenio y la INFORMACIÓN CONFIDENCIAL haya sido reintegrada o destruida, a no ser que esta sea declarada del dominio público o constituya fama pública.
DÉCIMA: LAS PARTES se obligan a resarcirse respectivamente de los daños y perjuicios que pudieran ocasionarse, con motivo de la divulgación de la INFORMACIÓN CONFIDENCIAL. Lo anterior sin perjuicio de que han sido prevenidas de las sanciones previstas en la Legislación vigente, para aquellos que sin consentimiento del que pueda resultar perjudicado, revele por cualquier forma, el contenido de la INFORMACIÓN CONFIDENCIAL, como de cualquier comunicación reservada y que se le ha dado este carácter.
DÉCIMA PRIMERA: Queda convenido que la confidencialidad materia del presente convenio se extiende no solo a la INFORMACIÓN CONFIDENCIAL, sino también a las partes que intervienen en el presente convenio, como de sus respectivos accionistas, funcionarios, administradores, asesores, comisionistas, corredores y demás persona que tenga contacto con la INFORMACIÓN CONFIDENCIAL o en las negociaciones a concluir el negocio propuesto, guardando en secreto la existencia de las negociaciones, aún y cuando el negocio no llegue a realizarse, salvo que, se requiera proporcionar la información a las autoridades competentes para efecto de tramitación de autorizaciones, licencias o permisos propios de los trámites a realizar.
DÉCIMA SEGUNDA: Para todos los efectos derivados del presente instrumento, LAS PARTES señalan como domicilios para oír y recibir notificaciones y documentación respectiva, los señalados por cada uno de ellos en el capítulo de DECLARACIONES de este instrumento.
DÉCIMA TERCERA: Para la interpretación y cumplimiento del presente contrato, las partes se someten a las Leyes y Tribunales Competentes de la Ciudad de _____________, a elección del OTORGANTE, renunciando desde ahora las partes que intervienen en el presente convenio al fuero que por razón de su domicilio pudiera corresponderles.

V., KNOWN COMMERCIALLY AS “AVIACSA”, (HEREINAFTER THE GRANTING PARTY), REPRESENTED BY THE ENGINEER EDUARDO MORALES MEGA, AND THE COMPANY CALLED __________________, KNOWN COMMERCIALLY KNOWN AS “__________”, (HEREINAFTER THE RECEIVING PARTY), REPRESENTED HEREIN BY THE ATTORNEY _______________. BOTH PARTIES POSSESSING THE LEGAL CAPACITY TO ASSUME OBLIGATIONS IN ACCORDANCE WITH THE FOLLOWING:
R E C I T A L S
I.- WHEREAS, “THE GRANTING PARTY” DECLARES, THROUGH ITS LEGAL REPRESENTATIVE:
I.1.- That it is a legally established mercantile corporation, which it verifies by means of public deed number 1818, granted before the holder of Public Notarial office number 195, exercising in Mexico City, Federal District, the attorney Erick S. Pulliam Aburto, recorded in the Public Register for Property and Commerce of the City of Mexico, Federal District, under mercantile folio 140006.
I.2.- That it is duly represented for the formalization of the present agreement by the engineer Eduardo Morales Mega, as accredited by public deed number 25777, granted before Notary Public Number 105, Attorney Jesús Ubaldo Garate Bravo, exercising in Monterrey, Nuevo León, and that at the signature date of this agreement its attorney-in-fact has not had said faculties revoked or limited in any way whatsoever:
I.3.- That it has its domicile at number 660 Humberto Lobo, Colonia del Valle, San Pedro Garza García, Nuevo León, C. P. 66220.
II.- WHEREAS, “THE RECEIVING PARTY” DECLARES, THROUGH ITS LEGAL REPRESENTATIVE:
II.1.- That it is a company incorporated and legally established in __________, which it accredits respectively with the articles of incorporation dated_______________.
II.2.- That it is duly represented to formalize the present agreement by Mr. ________________, as accredited by power _________________, and that at the signature date of this agreement its attorney-in-fact has not had said faculties revoked or limited in any way whatsoever:
II.3.- That it has its domicile at ___________________________.
III.- NOW, THEREFORE, THE PARTIES:
Declare that for all legal purposes and the interpretation of, and compliance with, the present agreement, the following shall be understood as:
III.1.- GRANTING PARTY: That delivering the confidential information.
III.2.- RECEIVING PARTY: That receiving the confidential information.
III.3.- THE PARTIES: Signifies the persons intervening in, and subject to, the present agreement.
III.4.- CONFIDENTIAL INFORMATION, without limiting the generality of the term, signifies any information in connection with the company called CONSORCIO AVIAXSA, S. A. DE C. V., which operates under the trade name “AVIACSA”, as Mexican concessionaire for rendering the service of regular public air transport, national and international; unscheduled international passenger, mail and freight services: and unscheduled air taxi services. This information could consist of, but not be limited, to:
III.4.1.- Financial, accounting, tax, administrative, operative, technical, scientific, commercial, financial or market information, customer listings, trade strategies or exchange, or “know-how” or trade or exchange secrets;
III.4.2.- Data in connection with business relations, samples, devices, demonstrations, processes, machines or machinery, equipment, aircraft, engines, parts;
III.4.3.- Purchase and sale contracts or leases for aircraft, engines, parts, equipment, assets, collective bargaining agreements, loan or financing contracts, permits, concessions, authorizations, future projects, designs, drawings, maps and technical specifications, and
III.4.4.- Any other information delivered, whether or not subject to protection by civil law or norms in connection with copyrights, patents, trade names, the formalization of contracts and agreements, even and when not registered in accordance with administrative law.
III.5.- AUTORIZED PARTY: Anyone who, without being under the sub-management or dependency of the RECEIVING PARTY, has been authorized by the latter in writing to have access to the confidential information received, due to being its partner, stockholder, investor, consultant or advisor, etc.
IV.- THE PARTIES: Declare that they have had talks on the possibility of formalizing different transactions with respect to the mercantile activities in the company called CONSORCIO AVIAXSA, S. A. DE C. V., in which the RECEIVING PARTY is interested, and, therefore, the exchange of certain information of a confidential nature is necessary, in particular the documentation and information to be delivered by the GRANTING PARTY, and it is for this reason that they have agreed to formalize the present secrecy agreement which they subject, by common consent, to the following:
C L A U S E S
FIRST: It is agreed not to reveal to third parties, for any motive or reason, all that information which the GRANTING PARTY has delivered to the RECEIVING PARTY, which they agree has the nature of confidential, and even the information which the latter may deliver to the GRANTING PARTY.
SECOND: For the effects of the preceding clause, the use of the INFORMATION to be provided by the parties and which will always be of a CONFIDENTIAL nature even when this is not specified in said documentation, should be imposed on the smallest possible number of employees, professional consultants or advisors, commission agents and brokers of THE PARTIES, since knowledge of the CONFIDENTIAL INFORMATION should be restricted to the essential number of persons required to determine the possibility or otherwise of the future business, delivering a list with the names of those who will have access to the CONFIDENTIAL INFORMATION supplied.
THIRD: The RECEIVING PARTY will ensure that its employees, professional consultants, experts, commission agents, brokers or AUTHORIZED PARTIES who may come to have access to any INFORMATION OF A CONFIDENTIAL NATURE, are aware of and bound in turn by the terms and conditions established in this instrument.
FOURTH: The RECEIVING PARTY undertakes that neither before nor after having made the decision to formalize the future business or otherwise, it will refrain from utilizing, employing, exploiting or making use of the CONFIDENTIAL INFORMATION for any purpose other than that for which it is delivered in the terms of the present contract.
FIFTH: The RECEIVING PARTY undertakes to protect the CONFIDENTIAL INFORMATION provided thereto in accordance with the rules of care advised by common sense, utilizing for this purpose the same diligence to keep secret the information contained in its own documents, being responsible to the GRANTING PARTY for any damages or losses occasioned by negligence in the safe keeping of the CONFIDENTIAL INFORMATION.
SIXTH: Both the documentation and the CONFIDENTIAL INFORMATION therein contained is considered, for all legal purposes, to belong to the GRANTING PARTY, and confers no right over same to the RECEIVING PARTY, since its possession is precarious and temporary and for the sole purpose of knowing such information as may be necessary to be able to decide on the positive or negative implementation of a future business.
SEVENTH: The GRANTING PARTY can, at any time, ask the RECEIVING PARTY to return all or part of any INFORMATION provided thereto as CONFIDENTIAL, a request by any means of communication sufficing for this purpose, the GRANTING PARTY being obliged to issue a receipt verifying the return effected. The foregoing is without prejudice to the obligation that all the printed matter forming the content of the CONFIDENTIAL INFORMATION which is not returned to the GRANTING PARTY for any reason, should be destroyed in any manner which does not permit its restoration.
EIGHTH: The agreements contained in this instrument will have effect between THE PARTIES and those depending therefrom, whether subordinates or dependents, or due to being partners, stockholders, investors, advisors, consultants, board members and commission agents, in the same form as if they had intervened directly.
NINTH: The duration of the present contract of confidentiality will be 30 days, counted as from the signature of same. However, its conclusion does not signify termination of the agreements of confidentiality contained therein, since these will endure for all time, even when the agreement has concluded and the CONFIDENTIAL INFORMATION has been returned or destroyed, unless it is declared of public dominion or represents public knowledge.
TENTH: THE PARTES undertake to compensate one another respectively for any damages or losses which could arise due to the divulging of the CONFIDENTIAL INFORMATION. The foregoing is without prejudice to the fact that they have been warned of the fines provided for in current Legislation for those who, without the consent of whomsoever could be affected, reveal the contents of CONFIDENTIAL INFORMATION in any form, or that of any private communication to which this nature has been given.
ELEVENTH: It is agreed that the confidentiality forming the subject matter of the present agreement extends not only to the CONFIDENTIAL INFORMATION, but also to the parties intervening in the present agreement, together with their respective stockholders, executives, administrators, advisors, commission agents, brokers and other persons who are in contact with the CONFIDENTIAL INFORMATION or in the negotiations to concluded the proposed business, keeping secret the existence of the negotiations even when the business does not materialize, unless it is necessary to provide the information to the competent authorities for the purpose of processing authorizations, licenses or permits in connection with the procedures to be undertaken.
TWELFTH: For all purposes deriving from the present instrument, THE PARTIES give as domiciles to hear and receive notifications, those indicated by each in the RECITALS chapter of this instrument.
THIRTEENTH: For the interpretation of and compliance with the present contract, the parties submit themselves to the Laws and Competent Courts of the City of _______________, at the election of the GRANTING PARTY, the parties intervening in the present agreement renouncing as of now any jurisdiction which might correspond to them by reason of their domiciles.
THE PARTIES BEING AWARE OF THE CONTENTS AND SCOPE OF THE PRESENT CONTRACT, THEY SIGN SAME IN CONFORMITY AND FOR VERIFICATION ON THE ____DAY OF THE MONTH OF _____ IN THE YEAR TWO THOUSAND AND EIGHT.

español al inglés: The Effects of the Devaluation
Texto de origen - español SECCIÓN C: EFECTOS DE LA DEVALUACIÓN EN LOS AÑOS 1994 Y 1995.
La devaluación.
Una devaluación es el aumento del precio del dólar (y otras monedas en su caso) con relación al peso mexicano. Es decir, después de una devaluación tenemos que dar más pesos por un dólar. En términos comunes, es como pagar más pesos para comprar papas, cebollas, café o una moneda, como es el caso concreto el dólar americano.
Una devaluación tiene efectos económicos, políticos y sociales. Por ejemplo, en la medida en que la devaluación “arrastre” al alza los precios de bienes y servicios, se reduce el nivel de vida de la mayoría de los mexicanos. Ante un pueblo, una devaluación refleja el fracaso del modelo económico seguido por el gobierno.
Toda devaluación tiene su origen en errores y desequilibrios económicos, por ejemplo déficit en las finanzas públicas ( se gasta más de lo que se ingresa), déficit en la balanza comercial (se importa más de lo que se exporta) . La devaluación de 1994, se da entre otros factores, por un desequilibrio acumulado en la balanza comercial de 29 419 millones de dólares. En el gobierno del ex presidente Salinas, se pensó que éste déficit se corregiría con los ingresos derivados de la venta de empresas (privatizaciones) propiedad del gobierno y con el flujo que se tendría con la firma de NAFTA. No ocurrió así.
El 20 de diciembre de 1994 a las 9 de la mañana, la Secretaria de Hacienda y Crédito Público (el ministerio del Tesoro) comunicó:
“... las partes que integran el pacto acordaron modificar la regla cambiaria vigente determinándose elevar en 53 centavos de nuevos pesos el límite superior de la banda cambiaria y mantener el futuro en desliz actual.”
Con esto el gobierno pretendía provocar una devaluación del 15 %, es decir controlarla, sin embargo a las 11 de la noche del mismo día, la propia Secretaria anunciaba lo siguiente:
“Las autoridades financieras han decidido que la oferta y la demanda de divisas determinen libremente el tipo de cambio hasta que el mercado cambiario muestre signos de estabilidad”
En otras palabras, se dejaba la determinación de la paridad cambiaria a las fuerzas de mercado, el tipo de cambio se fue entonces de 3.4606 pesos por dólar del 19 de diciembre de 1994 a 4.9400 pesos por dólar al 31 de diciembre de 1994 es decir el peso se devaluó en 12 días el 42.75 %. Para el 13 de Marzo de 1995 la paridad alcanzó 7.5875 pesos por dólar lo que representó una devaluación ya del 119.25 %. El 13 de noviembre de 1995 el peso mexicano alcanzó el máximo de su devaluación al cotizarse en 8.1383 pesos por dólar americano, es decir un inimaginable 135.17 % de devaluación acumulada.
En su informe anual por el ejercicio 1995, el Banco de México (Banco Central), señala que la devaluación del peso mexicano provocó la crisis más severa desde los años 30’s. Señala, en ese mismo informe que, como una de las causas fundamentales que violentó la crisis fue la interrupción y la salida estrepitosa de los flujos de capital externo (ref. 1). Tan solo entre el 20 y 23 de diciembre, más de 10 742 millones de dólares se fugaron. Para el primer día de 1995, el panorama era verdaderamente negro: el déficit esperado en cuenta corriente para el año era de 15 mil millones de dólares, los bonos del tesoro (obligaciones gubernamentales indexadas al dólar) por redimirse en ese lapso era de 30 mil millones de dólares y las reservas monetarias del Estado solo eran a esa fecha de 5 mil millones de dólares (ref. 2).
En enero de 1995 el gobierno mexicano desesperadamente consiguió el apoyo de la comunidad internacional a través de un préstamo, por supuesto coordinado por los Estados Unidos, que ascendió a 50 mil millones de dólares.
Estos 50 mil millones de dólares representan aproximadamente 3 077 millones de barriles de petróleo, es decir ocho años y tres meses de exportación de crudo o el 83.3 % de la inversión extranjera recibida entre 1989 y 1994 (ref. 3).
El valor de este escandaloso préstamo es importante pues significa un buen indicador de la gravedad de los daños sufridos y acumulados por un modelo económico destinado al fracaso.
Efectos de la devaluación en las tasas de interés e inflación.
Señala el Banco Central en su informe anual de 1995 (ref. 1) “La devaluación causó de inmediato un significativo repunte de la inflación y de las expectativas inflacionarias, lo que, aunada a la disminución de los flujos de capital, dio lugar a tasas de interés muy elevadas, tanto reales como nominales”.
A su vez, el alza de las tasas de interés fue factor adicional que contribuyó a la severa contracción de la demanda agregada. No sólo se vio afectada a la inversión de nuevos proyectos, sino también la capacidad de gasto de numerosas personas físicas y empresas que se encontraban endeudadas. En estas circunstancias, el nivel de capacidad económica se contrajo, el desempleo se elevó, el sistema financiero se encontró sujeto a múltiples tensiones, e innumerables empresas y hogares se vieron agobiados por la carga de sus deudas y la caída estrepitosa de su ingreso real.
El siguiente cuadro muestra el denominado “costo porcentual promedio de captación (CPP), que es la tasa de referencia fijada por el Banco Central que promedia las distintas tasas bancarias vigentes durante el mes por depósitos captados. Debo señalar que para tener una aproximación de a qué tasa un banco prestaba dinero a un cliente, es necesario incorporar a las siguientes tasas, un diferencial financiero entre 15 a 20 puntos adicionales.

De no haberse conseguido los apoyos internacionales que se obtuvieron, la depreciación de la moneda nacional hubiese sido aún mayor, las tasas de interés y la inflación hubieran sido más elevadas y el deterioro del ingreso de las familias hubiese resultado de una severidad inimaginable.
Desde luego que los niveles de tasas de interés alcanzados posterior a la devaluación, produjeron un desajuste sin precedentes en el sistema bancario, el sobre- endeudamiento sufrido por las empresas y familias en un contexto de contracción económica, trajo un aumento sustancial en la cartera vencida para los bancos.
Era común ver en esa época, situaciones como la de muchas familias que solicitaron créditos bancarios hipotecarios para adquirir una casa, y al cabo de unos meses después de la devaluación, debido a las altas tasas de interés prevalecientes, que el valor de la deuda (crédito) era muy superior al valor de la casa(colateral), a veces hasta mas de un 100 %. Por ridículo e increíble que pudiera parecer, así era.
A este respecto señala el Banco Central en su informe anual de 1995, ( ref. 1 ) “ Un factor que contribuyó a la fuerte caída de la actividad económica en 1995, y que diferenció a esta recesión de otras ocurridas en el pasado, fue la elevada posición deudora neta tanto de las empresas como de las familias.
El incremento sustancial en las tasas de interés reales y nominales, la contracción sin precedente de la actividad económica y el ajuste cambiario de finales de 1994 e inicios de 1995, produjeron un gran aumento en la carga de la deuda del sector privado medida con relación a su ingreso”.
Efectos en el desempleo.
En diciembre de 1994 la tasa de desempleo abierta era de 3.2, para agosto de 1995 la tasa era del 7.6, es decir en ocho meses se incrementó la tasa de desempleo en un 137.50 %, como consecuencia del despido masivo de empleados y el cierre de empresas (ver anexo A).
CONCLUSIONES.
Como lo muestran los indicadores económicos antes descritos, la situación económica que vivió México, como consecuencia de la devaluación, propicio un escenario difícil para el desarrollo de las empresas, de las familias y de la economía en su conjunto. Durante 1995 hasta 1997, el gobierno introdujo muchos planes de ajuste tendientes a evitar nuevas recaídas de la economía, tales como dejar la paridad cambiaria a las fuerzas del mercado, programas de reestructura para deudores de la banca (créditos al consumo, hipotecarios, tarjetas de crédito) y del fisco federal (deudores de impuestos), en general abatir los costos sociales de la crisis.
Bajo este contexto, algunas empresas se habían endeudado en dólares buscando entre otras cosas la reconversión de sus plantas productivas, el mejoramiento de su tecnología, las inversiones conjuntas con otras empresas, etcétera, con el objetivo de afrontar las exigencias de la apertura global y en específico de NAFTA. Ha sido y es muy difícil realizar estos planes en un contexto económico tan débil y en una inestabilidad económica que induce a decisiones equivocadas.
En estas condiciones, hipotecados los recursos petroleros, destruida una gran parte de la planta productiva nacional y reducido aún más el poder adquisitivo de la población mexicana, solo resta repetir una frase, cuyo nombre del autor no daremos: “La historia se repite dos veces; la primera como drama, la segunda como farsa”.

IN THE YEARS 1994 AND 1995
1. The Devaluation.
A devaluation is an increase in the price of the dollar (and other currencies, as applicable) against the Mexican peso. That is, after a devaluation we have to give more pesos for a dollar. Generally speaking, it is like paying more pesos to buy potatoes, onions, coffee or a currency as, in this specific case, the U. S. dollar.
A devaluation has economic, political and social aftermaths. For example, to the extent that the devaluation “pulls” the prices of goods and services upwards, so is the standard of living of the majority of Mexicans reduced. To a people, a devaluation reflects the failure of the economic model followed by the Government.
All devaluations have their origin in economic errors and lack of equilibrium, for example a deficit in public finances (more is spent than is earned), a deficit in the trade balance (more is imported than exported). The 1994 devaluation arose, among other factors, because of an accumulated lack of equilibrium in the trade balance of 29 419 million dollars. In the Government of ex-President Salinas, it was believed that this deficit would be corrected by the income obtained from the sale of companies (privatization) belonging to the Government, and with the flow to be obtained from signature of the NAFTA. This was not the case.
On December 20, 1994, at 9 a.m., the Ministry of Finance and Public Credit (the Ministry of the Treasury) issued the following communique:
“... the parties signing the pact agreed to amend the exchange rule in force, by raising the higher limit of the exchange band by 53 New Peso centavos, and maintaining the present slide in the future”.
In this way the Government intended to give rise to a devaluation of 15%, i.e., controlled; however, by 11 p.m. on the same day, the same Ministry made the following announcement:
“The financial authorities have decided that the offer and demand for foreign currency should freely determine the exchange rate until the exchange market shows signs of stability”. In other words, the determination of exchange parity was left up to the forces of the market, and the exchange rate thus rose from 3.4606 pesos per dollar on December 19 1994, to 4.9400 pesos per dollar on December 31, 1994, i.e., in 12 days the pesos suffered a devaluation of 42.75%. By March 13, 1995, the parity achieved 7.5875 pesos per dollar, already representing a devaluation of 119.25%. On November 13, 1995, the Mexican peso reached its lowest ebb on being quoted at 8.1383 per U.S. dollar, i.e. an unimaginable 135.17% of accrued devaluation.
In its annual report for the 1995 fiscal year, the Banco de Mexico (Central Bank), mentions that the devaluation of the peso resulted in the worst crisis since the 30s. This same report mentions that one of the basic reasons leading to the crisis was the interruption and ostentatious exit of the flow of outside capital (ref. 1). Only between December 20 and 23, over 10 742 millions of dollars were lost. By the first day of 1995, the outlook was truly black; the anticipated deficit in current account for the year was 15 thousand million dollars, the “tesobonos” (Government bonds indexed against the dollar) for redemption in this period amounted to 30 thousand million dollars, and the monetary reserves of the State at that date were only 5 thousand million dollars (ref. 2).
In January 1995, the Mexican Government, in desperation, managed to obtain the help of the international community through a loan, naturally coordinated by the United States, which amounted to 50 thousand million dollars.
Those 50 thousand million dollars represent approximately 3 077 million barrels of crude oil, i.e. eight years and three months of crude exports or 83.3% of the foreign investment received between 1989 and 1994 (ref. 3).
The value of this scandalous loan is important, since it is a good indicator of the gravity of the damage suffered and accumulated under an economic model doomed to disaster.
2.- Effects of the Devaluation on Interest Rates and Inflation.
The Central Bank, in its 1995 Annual Report (ref. 1), states: The devaluation led immediately to a significant rise in inflation and in inflation forecasts which, taken in conjunction with the decrease in the flow of capital, gave rise to extremely high interest rates, both real and nominal”.
The rise in interest rates, in turn, acted as an additional factor which contributed to the serious recess in aggregate demand. This affected not only the investment in new projects, but also the spending capacity of many individuals and corporate entities finding themselves heavily in debt. Under these circumstances, the economic capacity level contracted, unemployment rose, the financial system became subject to numerous tensions, and companies and homes without number were overwhelmed by the weight of their debts and the tremendous fall in their real income.
The following table gives the so-called “average funding cost (CPP), which is the rate of reference fixed by the Central Bank to average out the different bank rates in force during the month for deposits made. I should mentioned that in order to obtain an approximation of at what rate a bank lent money to a customer, a financial differentiation of between 15 to 20 additional points should be added to the following rates:

If the international support provided had not been obtained, depreciation of the domestic currency would have been even greater, the interest rates and the inflation would have been higher and the deterioration in family income would have reached unimaginable heights.
The interest rate levels that were reached following the devaluation, naturally gave rise to a breakdown without precedent in the banking system, and the over-indebtedness suffered by companies and families within the context of an economic recess, gave rise to a substantial increase of overdue portfolio for the banks.
It was common at this time to see situations such as that of many families which had applied for mortgages from the banks to purchase a house, only to find some months after the devaluation that, due to the prevailing high interest rates, the value of the debt (credit) was considerably higher than the value of the house (collateral), sometimes over 100%. For ridiculous and incredible that it may seem, this was the situation.
In this connection the Central Bank mentions in its 1995 annual report (ref. 1), “One factor which contributed to the tremendous fall in economic activity in 1995, and which made this recession different from others occurring in the past, was the high net indebtedness of both companies and families.
The substantial increase in real and nominal interest rates, the contraction without precedent in economic activities and the adjustment in the exchange rate at the end of 1994 and beginning of 1995, led to a huge increase in the debt load of the private sector as measured in relation to its revenue”.
3.- Effect on Unemployment.
In December, 1994, the open unemployment rate was 3.2. By August 1995, the rate was 7.6, that is, in eight months the unemployment rate rose by 137.50% as a result of the massive dismissal of employees and the closing of companies (see exhibit A).
SUMMARY.
As the economic indicators given above show, the economic situation experienced in Mexico as a result of the devaluation, resulted in a setting in which it was difficult for companies, families, and the economy as a whole to progress. From 1995 to 1997, the government introduced many plans for adjustment aimed toward avoiding further falls in the economy, such as leaving the exchange rate at the whim of the market, restructuring programs for those owing money to the banks (consumer and mortgage credits and credit cards) and to the National Treasury (those owing taxes), and, generally speaking, to lower the social costs of the crisis.
Within this context, some companies had incurred debts in dollars in an attempt, among other things, to reconvert their production plants, improve their technology, enter into joint investments with other companies, etc., for the purpose of meeting the challenges of the global opening and, specifically, of NAFTA. It has been and is very difficult to carry out these plans within such a weak economic context, and under conditions of such economic instability as to lead one to make the wrong decisions.
Under these conditions, with the oil resources committed, a large part of the domestic productive plant destroyed and the acquisitive power of the Mexican population reduced even further, one can only repeat a phrase whose author’s name we will not give: “History repeats itself twice; firstly as a drama, and secondly as a farce”.

Corre por cuenta del arrendatario la limpieza general del mismo, incluyendo desagües, canoas, tanque séptico y ceniceros. Debe responder el arrendatario por sus faltas. Los daños causados al inmueble o bien al incumplimiento de cualquiera de las obligaciones pactadas o de las disposiciones de la Ley de Arrendamientos Urbanos, dará derecho a la arrendante para resolver y desahuciar al arrendatario y hará incurrir al arrendatario en las responsabilidades de ley.- NOVENA: No puede el arrendatario modificar la estructura del inmueble; sin embargo puede introducir mejoras a la propiedad arrendada siempre y cuando cuente con el permiso escrito de la arrendante.- Toda mejora, sea necesaria, útil o de lujo que se efectúe sobre la propiedad quedará en beneficio del arrendante sin que pueda retirarse cuando desocupe el inmueble, salvo pacto en contrario.- DECIMA: Al finalizar este convenio por cualquier causa, las llaves de las puertas y cerraduras del inmueble deberán ser devueltas a la arrendante y mientras esa devolución no se lleve a cabo, el contrato se considerará vigente únicamente para el pago del precio del arrendamiento pactado y el arrendatario quedará obligado al pago de los alquileres posteriores.- DECIMA PRIMERA: Es obligación del arrendatario pagar los servicios de electricidad y teléfonos. El no pago de dichos servicios se considerará como un incumplimiento contractual. Al término del contrato el arrendatario deberá entregar todos los servicios al día.- DECIMA SEGUNDA: El arrendatario deberá pagar a la arrendante el equivalente a una mensualidad, es decir, dos mil cuatrocientos cincuenta dólares moneda de curso legal de los Estados Unidos de América ($ 2.450,00) por concepto de depósito de garantía, para responder por el pago de los servicios que quedaren pendientes una vez terminado o resuelto el contrato y/o por daños ocasionados en la propiedad. Este depósito le será devuelto al arrendatario un mes después de hacer entrega del inmueble, hasta que las cuentas por servicios pendientes se encuentren canceladas y se haya realizado la entrega del inmueble en buenas condiciones, sin daño alguno.- El día de hoy el arrendatario cancela la suma correspondiente al depósito.- El depósito de garantía no podrá aplicarse al pago de alquileres y si el arrendatario desocupa el inmueble antes del vencimiento del primer año, pierde el derecho para solicitar su reintegro.- En caso de realizar el reintegro del depósito de garantía, el arrendatario deberá presentar a la arrendante todos los recibos de los servicios que haya cancelado durante el tiempo que arrendó el inmueble mencionado.- DECIMA TERCERA: En el caso de que el arrendatario deseara desocupar el inmueble antes del vencimiento de este contrato, deberá pagar adicionalmente una mensualidad de indemnización a razón de daños y perjuicios anticipados o cláusula penal.- DECIMA CUARTA: Queda entendido que este contrato no limita en modo alguno el derecho de la arrendante para gravar o enajenar en cualquier forma el inmueble arrendado.- DECIMA CUARTA: Quedan incorporadas al presente contrato todas las normas jurídicas de la Ley relativa al arriendo de bienes inmuebles vigente.- DECIMA QUINTA: La arrendante señala para oír y ver notificaciones y comunicaciones judiciales y administrativas, el Fax ..................................- El arrendatario señala a su vez para los mismos efectos como domicilio contractual el inmueble aquí arrendado. DECIMA SEXTA: El arrendatario tiene el deber de permitir a la arrendante la inspección de la vivienda arrendada, conforme a las siguientes reglas: a) La arrendante podrá visitar el bien, una vez por mes ó cuando las circunstancias lo ameriten, en horas del día y lo inspeccionará si es del caso en presencia del arrendatario, ó en su defecto, ante cualquier otra persona que haya sido designada por el arrendatario para tal efecto; b) La Arrendante podrá hacerse acompañar por un ingeniero civil ó un arquitecto y por cualquier otro técnico, durante la inspección podrán trazarse planos, tomarse fotografías y anotarse los daños y los deterioros existentes; c) Si el arrendatario no permitiera inspeccionar el bien después de ser requerido en dos ocasiones mediante notificación de la arrendante, esta podrá si así lo desea invocar la resolución del contrato.- DECIMA SETIMA: Solución eventual de conflictos.- Con el afán de resolver en forma expedita y en forma voluntaria todos los diferendos, controversias ó diferencias que pudieran eventualmente derivarse y que en un período de quince días naturales no pudieran resolverse mediante negociación, serán sometidas al siguiente procedimiento: a)- En primera instancia a una mediación que en ningún caso podrá exceder los treinta días naturales y b)- En el evento de que el conflicto persista, ya sea total o parcialmente, las partes acuerdan someterlo a un proceso arbitral de equidad que no podrá tardar más de sesenta días calendario.- Dichos procesos se llevarán a cabo en el Centro de Conciliación y Arbitraje de la Cámara de Comercio de la República de Costa Rica y de conformidad con la Ley de resolución alterna de conflictos y promoción de la paz social, número siete mil setecientos veintisiete de la República de Cosía Rica, así como con el reglamento y procedimiento vigente en dicho Centro al momento en que surja la disputa.- El Centro de Conciliación y Arbitraje será quien designe el mediador así como la composición de los tres miembros del Tribunal Arbitral.- En caso de mediación, las costas del proceso serán cubiertas por ambas partes en porcentajes iguales, independientemente de llegar o no a un acuerdo.- En el caso del arbitraje, cada parte cubrirá sus costas durante el proceso y será la parte perdedora quien restituya las mismas a la parte vencedora en el plazo que el arbitro determinará.- DECIMA OCTAVA: Este documento constituye el acuerdo total entre ambas partes y ningún cambio o modificación podrá ser efectuado en éste, a menos que sea por escrito y debidamente aprobado por la Arrendante.- DECIMA NOVENA: La declaratoria de nulidad o ilegalidad de cualquier estipulación o cláusula de este Contrato no afectará la fuerza, legalidad y posibilidad de exigir el cumplimiento de las restantes cláusulas o estipulaciones del presente Contrato.- VIGESIMA: Ambas partes se autorizan a elevar a escritura pública el presente contrato, sin que sea necesario que la otra parte comparezca ante notario.- Aprobamos y ratificamos las anteriores cláusulas y firmamos en dos tantos en la ciudad de San José a las doce horas del día veintitrés de setiembre del año dos mil seis.-

Between ourselves, on the one hand Mr. Frank Handerhan, of legal age, married, a United States citizen, holder of his country´s passport number ....................................................................., acting as Manager with the faculties of a general agent without limitation of the corporation ........................................................................, an entity with corporate credential number: ................................................................................................, as recorded in the Corporate Entities´ Register of the Public Register in Tome: one thousand two hundred and fifty four, Folio: one hundred and sixty six, Entry: one hundred and seventy-seven; and, on the other hand, Mr. Rachid Chihani, of legal age, single, of Swedish nationality, holder of his country´s passport five seven three four nine two, acting as President with the faculties of general agent without limitation of the corporation VISTAS DEL CERRO ALICANTE VEINTICUATRO, SOCIEDAD ANONIMA, an entity holding corporate credential number: three: one hundred and one –three hundred and twenty seven thousand eight hundred and thirty four, our having agreed to formalize the following lease, to be governed by the following clauses: FIRST: The principal of Mr. Frank Handerhan, henceforth and for the purposes of this lease, will be called the LESSOR, and the principal of Mr. Rachid Chihani, henceforth and for the purposes of this lease, will be called the LESSEE.- SECOND: The lessor is the owner of a property intended for dwelling purposes and recorded in the Property Register, (San José) District, Folio Number F-thirty five thousand seven hundred and seventy-one, which is described as follows: Nature: subsidiary property twenty-four on two floors intended for dwelling purposes. Location: Third district San Rafael, second Canton Escazú, Province of San José. Boundaries: North: Rainfall easement in the middle, Ramona Chávez Ramirez; South: Communal area for vehicle and pedestrian access; West: Communal area of passageways in the middle of subsidiary property twenty three. Measurements: One hundred and fifty six square meters with seventeen decimeters.- THIRD: The lessor gives the property mentioned on lease to the lessee, who hereby receives same to his entire satisfaction as regards the conditions, the lessee undertaking to return the property in the same conditions. .- FOURTH: The price of the rental is the sum of two thousand four hundred and fifty dollars, currency of legal tender in the United States of America, ($ 2.450,00), an annual increase of five percent existing over the last monthly payment made, payable monthly in advance, the first three monthly payments falling due on the ………day of……..this year, which sum should be paid by the lessee at the rented property forming the subject matter of this lease.- The form of payment will be as follows: in cash, by means of a check drawn against the national banking system, the validity of this lease being subject to the possible checks with which the rent is paid possessing funds, or to a bank account of the Lessor..- FIFTH: The term of the lease for the property described will be one year, counted as from the ……………day in the year two thousand and six, on finalizing which the parties will agree on a new lease with a new leasing price.- Should the lessee desire to vacate the property prior to the termination of this lease, he should so notify the lessor in writing with one month´s advance notice, or should otherwise pay the amount due for said month to the lessor.- SIXTH: The property leased will be used exclusively for dwelling purposes, any other use which it is attempted to give the property being forbidden.- SEVENTH: The lessee cannot sub-lease, assign this lease in whole or in part or the property rented to third parties, either physical or juridical.- EIGHTH: The lessor is obliged to exercise maximum care in the property leased and its inventory, and must effect repairs caused by damage to the property except in the cases of force majeure or an act of God. The general clearing of same is for the account of the lessee, including drains, roof gutters, septic tank and ashpits. The lessee must respond for his defects. Damages caused to the property or a default on any of the obligations agreed or to the provisions of the Urban Leasing Law, will entitle the lessor to resolve and evict the lessee and the lessee will incur in the corresponding legal liabilities.-
NINTH: The lessee cannot modify the structure of the property but can, however, introduce improvements to the leased property, always providing he has the written permission of the lessor.- All improvements made to the property whether necessary, useful or luxury, will remain to the benefit of the lessor, without it being possible to withdraw same when the property is vacated unless otherwise agreed.- TENTH: Upon the termination of this agreement for any reason, the keys to the doors and locks of the property should be returned to the lessor and, until this is done, the lease will be considered to remain in effect solely for payment of the rental price agreed, and the lessee will be obliged to pay subsequent rents..- ELEVENTH: The lessee is obliged to pay for the electricity and telephone services. Failure to pay for these services will be considered a contractual default. Upon termination of the lease all services must be returned up to date..- TWELFTH: The lessee must pay the lessor the equivalent to one month´s rent, i.e., two thousand four hundred and fifty dollars, currency of legal tender in the United States of America, ($ 2.450,00) as a guaranty deposit, to cover any services left pending once the lease has come to an end or been resolved, and/or for damages caused to the property. This deposit will be returned to the lessee one month after the property is handed over, when the accounts for services pending have been settled and the property has been delivered in good condition, without any damage whatsoever.- The lessee pays the amount corresponding to the deposit on today´s date. The guaranty deposit cannot be applied to the payment of rent, and should the lessee vacate the property prior to termination of the first year, he loses the right to request its reimbursement.- In the event the guaranty deposit is reimbursed, the lessee should present to the lessor the receipts for all services paid during the time he leased said property.- THIRTEENTH: In the event the lessee should desire to vacate the property prior to the maturity of this lease, he should pay an additional month as indemnity for anticipated damages and losses or as a penalty clause. FOURTEENTH: It is understood that this lease in no way limits the right of the lessor to encumber or transfer the leased property in any way.- FOURTEENTH (sic): All current legal rules contained in the Law on the leasing of property are incorporated to the present lease.- FIFTEENTH: The lessor gives Fax ..................................for the hearing and receipt of legal and administrative notices and communications, the lessee in turn indicates for the same purposes as contractual domicile the property leased hereunder. SIXTEENTH: The lessee is obliged to allow the lessor to inspect the leased property in accordance with the following rules: a) The lessor may visit the property once a month or when justified by the circumstances, during the day, and will inspect same as applicable in the presence of the lessee or, in his absence, in the presence of any other person appointed by the lessee for this purpose; b) The Lessor can be accompanied by a civil engineer or an architect and by any other technician; during the inspection plans can be drawn, photographs taken and existing damages or deterioration noted; c) Should the lessee refuse to allow the property to be inspected after having been required by the lessor on two occasions, the latter can invoke resolution of the lease should he so desire.- SEVENTEENTH: Eventual solution of conflicts.- For the purpose of resolving quickly and voluntarily any postponements, controversies or differences which may eventually arise and which cannot be resolved by negotiation within a period of fifteen calendar days, these will be submitted to the following procedure: a)- Firstly, to a mediation which can under no circumstances exceed thirty calendar days, and b)- Should the conflict persist, either in whole or in part, the parties agree to submit same to an arbitral process of equity which cannot last for more than sixty calendar days.- These processes will take place at the Conciliation and Arbitration Center of the Chamber of Commerce for the Republic of Costa Rica, in accordance with the Law for the Alternate Resolution of Conflicts and Promotion of Social Peace, number seven thousand seven hundred and twenty seven of the Republic of Costa Rica, and with the current regulations and procedures of said Center at the moment the dispute arises. The Conciliation and Arbitration Center Hill appoint the mediator as well as the composition of the three members of the Arbitral Tribunal. In the event of mediation, the costs of the process will be covered by both parties in equal portions, whether or not an agreement is reached.- In the case of arbitration, each party will cover its costs during the process and the loser will reimburse these to the winner in the term indicated by the arbiter.- EIGHTEENTH: This document represents the entire agreement between the parties and cannot be changed or modified in any way, unless this is in writing and duly approved by the Lessor..- NINETEENTH: A declaration of nullity or illegality of any provision or clause of this Lease will not affect the force, legality and possibility of demanding compliance with the remaining clauses or provisions of this Lease.-.- TWENTIETH: Both parties authorize the present lease being elevated to a public deed, without it being necessary for the other party to appear before a Notary Public.- We approve and ratify the preceding clauses and sign two copies thereof in the city of San José at twelve noon on the twenty third day of September in the year two thousand and six.-

DE LA COMISIÓN NACIONAL DE SEGUROS Y FIANZAS
CAPÍTULO PRIMERO
DE SUS FACULTADES Y ORGANIZACIÓN
SECCIÓN I
DE LA COMISIÓN
ARTÍCULO 366.- La Comisión es un órgano desconcentrado de la Secretaría, con autonomía técnica y facultades ejecutivas en los términos de esta Ley.
La Comisión tendrá las facultades siguientes:
I. Realizar la inspección y vigilancia de las Instituciones y Sociedades Mutualistas, así como de las demás personas y entidades reguladas por esta Ley, conforme a lo previsto en ésta y otras leyes relativas al sistema financiero;
II. Emitir las disposiciones de carácter general necesarias para el ejercicio de las facultades que esta Ley y demás leyes y reglamentos le otorgan, y para el eficaz cumplimiento de las mismas y de las disposiciones que con base en ellas se expidan;
III. Emitir, en el ámbito de su competencia, las disposiciones y normas prudenciales de carácter general orientadas a preservar la solvencia, liquidez y estabilidad financiera de las Instituciones y Sociedades Mutualistas;
IV. Establecer los criterios de aplicación general en los sectores asegurador y afianzador acerca de los actos y operaciones que se consideren contrarios a los usos mercantiles, aseguradores y afianzadores, o sanas prácticas de dichos mercados financieros, y dictar las medidas necesarias para que las Instituciones, Sociedades Mutualistas y demás personas y entidades sujetas a su inspección y vigilancia ajusten sus actividades y operaciones a las leyes y reglamentos que les sean aplicables, a las disposiciones de carácter general que de ellos deriven y a los referidos usos y sanas prácticas;
V. Coadyuvar, mediante la expedición de disposiciones de carácter general a las Instituciones y Sociedades Mutualistas, y a las demás personas y entidades sujetas a su inspección y vigilancia, con las políticas que en materia de seguros y fianzas competen a la Secretaría;
VI. Participar, en los términos y condiciones que ésta y otras leyes señalen, en la elaboración de los reglamentos, disposiciones y disposiciones de carácter general a que las mismas se refieren;
VII. Dictar normas de registro de las operaciones de las Instituciones y Sociedades Mutualistas, así como, en su caso, de otras personas y entidades reguladas por esta Ley;
VIII. Otorgar, modificar o revocar las autorizaciones para organizarse, operar y funcionar como Institución o Sociedad Mutualista, en términos de lo previsto en esta Ley;
IX. Determinar el capital mínimo pagado que deberán cubrir las Instituciones y Sociedades Mutualistas, de conformidad con lo previsto en esta Ley;
X. Llevar el Registro General de Reaseguradoras Extranjeras, en términos de lo previsto en este ordenamiento;
XI. Llevar el registro de ajustadores de seguros, de conformidad con lo establecido en esta Ley;
XII. Llevar el registro de los auditores externos que dictaminen los estados financieros, así como el de los actuarios independientes que dictaminen sobre la situación y suficiencia de las reservas técnicas de las Instituciones y Sociedades Mutualistas, conforme a lo señalado por este ordenamiento;
XIII. Llevar el registro de productos de seguros, así como el registro de notas técnicas y documentación contractual de fianzas, en los términos previstos en esta Ley;
XIV. Autorizar las solicitudes para la cesión de la cartera de las Instituciones de Seguros y Sociedades Mutualistas, o bien para la cesión de las obligaciones y derechos correspondientes al otorgamiento de fianzas de las Instituciones, en términos de lo previsto por esta Ley;
XV. Autorizar las solicitudes para la fusión de Instituciones y de Sociedades Mutualistas, de conformidad con lo establecido en este ordenamiento;
XVI. Autorizar las solicitudes para la escisión de Instituciones, conforme a lo establecido por esta Ley;
XVII. Determinar los días en que las Instituciones y Sociedades Mutualistas deberán cerrar sus puertas y suspender sus operaciones;
XVIII. Ordenar la adopción de las medidas preventivas y correctivas, previstas en esta Ley;
XIX. Imponer sanciones administrativas por infracciones a ésta y a las demás leyes y reglamentos que regulan las actividades, instituciones, entidades y personas sujetas a su inspección y vigilancia, así como a las disposiciones que de ellos emanen;
XX. Conocer y resolver sobre los recursos de revocación que se interpongan en contra de las sanciones administrativas aplicadas, así como sobre las solicitudes de condonación total o parcial de las multas impuestas;
XXI. Amonestar, suspender, remover e inhabilitar, según corresponda, a los miembros del consejo de administración, comité de auditoría, directores generales, comisarios, directores, gerentes, delegados fiduciarios y funcionarios que puedan obligar con su firma a las Instituciones y Sociedades Mutualistas, así como a los auditores externos que dictaminen los estados financieros y a los actuarios independientes que dictaminen sobre la situación y suficiencia de las reservas técnicas de las Instituciones y Sociedades Mutualistas, en términos de lo previsto en esta Ley, así como conocer y resolver sobre los recursos que se presenten en contra de tales determinaciones;
XXII. Remover, suspender, destituir e inhabilitar a los servidores públicos que puedan obligar con su firma a una institución nacional de seguros o a una institución nacional de fianzas, y remover a los miembros de su comité de auditoría, conforme a lo previsto en esta Ley;
XXIII. Recomendar al Ejecutivo Federal, a través de la Secretaría, la remoción del director general de una institución nacional de seguros o de una institución nacional de fianzas, en términos de lo previsto en este ordenamiento;
XXIV. Declarar y levantar la intervención con carácter de gerencia de las Instituciones o Sociedades Mutualistas, en los términos previstos en esta Ley;
XXV. Emitir opinión a la Secretaría en materia de los delitos previstos en este ordenamiento;
XXVI. Intervenir en los procedimientos de liquidación, así como en las solicitudes de concurso mercantil, de las Instituciones y Sociedades Mutualistas, en los términos previstos en esta Ley;
XXVII. Otorgar, modificar o revocar las autorizaciones a que se refiere esta Ley, a las personas y entidades reguladas por la misma, distintas a las requeridas para organizarse y operar como Instituciones y Sociedades Mutualistas;
XXVIII. Vetar u ordenar que se dejen sin efecto, las normas de autorregulación que expidan las organizaciones aseguradoras y afianzadoras, de conformidad con lo señalado en esta Ley, así como conocer y resolver sobre los recursos que se presenten en contra de estas determinaciones;
XXIX. Ordenar la suspensión, remoción, destitución o veto de los consejeros y directivos de las organizaciones aseguradoras y afianzadoras, de acuerdo con lo establecido por esta Ley, así como conocer y resolver sobre los recursos que se presenten en contra de estas determinaciones;
XXX. Investigar aquellos actos de personas físicas y de personas morales que no siendo Instituciones o Sociedades Mutualistas, hagan suponer la realización de operaciones violatorias de esta Ley, pudiendo al efecto, en términos de lo previsto en este ordenamiento, ordenar visitas de inspección a los presuntos responsables;
XXXI. Ordenar la suspensión de operaciones o la intervención administrativa, según se prevea en este ordenamiento, de negociaciones, empresas o establecimientos de personas físicas o a las personas morales que, sin la autorización correspondiente, realicen actividades que la requieran en términos de esta Ley, o bien proceder a la clausura de sus oficinas, en términos de lo previsto en el artículo 495, último párrafo, de esta Ley;
XXXII. Fungir como órgano de consulta de la Secretaría tratándose de los regímenes asegurador y afianzador, así como en los demás casos que las leyes determinen;
XXXIII. Formular los presupuestos anuales de ingresos y egresos de la Comisión que se someterán a la autorización de la Secretaría;
XXXIV. Elaborar y publicar estadísticas y documentos relacionados con los sistemas asegurador y afianzador;
XXXV. Celebrar acuerdos de intercambio de información y convenios con organismos nacionales e internacionales con funciones de supervisión y regulación similares a las de la Comisión, así como participar en foros de consulta y organismos de supervisión y regulación financieras a nivel nacional e internacional;
XXXVI. Celebrar convenios de colaboración con la Comisión Nacional para la Protección y Defensa de los Usuarios de Servicios Financieros, que tengan por objeto establecer los mecanismos y canales a través de los cuales esta última hará del conocimiento de la Comisión, las observaciones que deriven del ejercicio de las facultades en materia de contratos de adhesión, publicidad y estados de cuenta previstas en esta Ley y en la Ley de Protección y Defensa al Usuario de Servicios Financieros;
XXXVII. Proporcionar a las autoridades financieras del exterior toda clase de información necesaria para atender los requerimientos que le formulen en el ámbito de su competencia, tales como documentos, constancias, registros, declaraciones y demás evidencias que la Comisión tenga en su poder, o que pueda obtener en ejercicio de sus facultades o actuando en coordinación con otras entidades, personas o autoridades.
Tratándose de intercambios de información protegida por disposiciones de confidencialidad, se deberá tener suscrito un acuerdo de intercambio de información con las autoridades financieras de que se trate, en el que se contemple el principio de reciprocidad. La Comisión podrá abstenerse de proporcionar la información solicitada o requerir la devolución de la información que haya entregado, cuando el uso que se le pretenda dar a la misma sea distinto a aquél para el cual haya sido solicitada, sea contrario al orden público, a la seguridad nacional o a los términos convenidos en el acuerdo de intercambio de información respectivo;
XXXVIII. Rendir un informe anual de sus labores a la Secretaría, y
XXXIX. Las demás facultades que le están atribuidas por esta Ley y otros ordenamientos legales, reglamentarios y administrativos.
ARTÍCULO 367.- La Comisión, para el ejercicio de sus facultades, contará con:
I. Junta de Gobierno;
II. Presidencia;
III. Vicepresidencias;
IV. Direcciones Generales;
V. Direcciones;
VI. Delegaciones Regionales, y
VII. Demás servidores públicos necesarios.
Las Delegaciones Regionales de la Comisión podrán realizar, dentro del área de su jurisdicción geográfica, las funciones que se determinen en su reglamento interior.
SECCIÓN II
DE LA JUNTA DE GOBIERNO
ARTÍCULO 368.- La Junta de Gobierno de la Comisión estará integrada por el Presidente de la Comisión, quien lo será también de la Junta de Gobierno, tres vicepresidentes nombrados por éste, y nueve vocales conforme a lo siguiente:
I. Cuatro vocales designados por la Secretaría;
II. Un vocal designado por la Comisión Nacional Bancaria y de Valores;
III. Un vocal designado por la Comisión Nacional del Sistema de Ahorro para el Retiro;
IV. Un vocal designado por el Banco de México, y
V. Dos vocales independientes.
Por cada vocal propietario se nombrará un suplente, quien en todo caso deberá ser un funcionario con el rango inmediato inferior al del miembro propietario. Los vocales a que se refieren las fracciones I a IV de este artículo, deberán ocupar, cuando menos, el cargo de director general de la Administración Pública Federal o su equivalente. Los vocales independientes a que se refiere la fracción V de este precepto, así como sus suplentes, serán designados por la Secretaría y no podrán ser servidores públicos.
Sin perjuicio de lo señalado en el último párrafo del artículo 371 de la presente Ley, no podrán fungir como vocales, propietarios o suplentes, de la Junta de Gobierno de la Comisión: las personas que ostenten un cargo, mandato, comisión o cualquier otro título jurídico otorgado por alguna Institución de Seguros, por una Institución de Fianzas o por una Sociedad Mutualista, así como por cualquiera otra de las personas o entidades sujetas a la inspección y vigilancia de la Comisión; o las personas que funjan como auditores externos o actuarios independientes que dictaminen sobre la situación y suficiencia de las reservas técnicas de alguna Institución o Sociedad Mutualista, o quienes actúen como expertos independientes que opinen sobre los modelos internos de una Institución.
La Junta de Gobierno de la Comisión podrá constituir comités con fines específicos, los cuales se integrarán y funcionarán de conformidad con las normas que, en su caso, determine la propia Junta de Gobierno.
La Junta de Gobierno de la Comisión, a propuesta del Presidente, nombrará un secretario y un prosecretario de actas, quienes deberán ser servidores públicos de la Comisión.
ARTÍCULO 369.- Corresponderá a la Junta de Gobierno:
I. Aprobar la emisión de las disposiciones de carácter general que conforme a esta Ley requieren de su acuerdo, en los términos que la propia Ley señale;
II. Otorgar, modificar o revocar las autorizaciones para organizarse, operar y funcionar como Institución o Sociedad Mutualista, en términos de lo previsto en esta Ley;
III. Determinar el capital mínimo pagado que deberán cubrir las Instituciones y Sociedades Mutualistas, de conformidad con lo previsto en esta Ley;
IV. Autorizar las solicitudes para la cesión de la cartera de las Instituciones de Seguros y Sociedades Mutualistas, o bien para la cesión de las obligaciones y derechos correspondientes al otorgamiento de fianzas de las Instituciones, en términos de lo previsto por esta Ley;
V. Autorizar las solicitudes para la fusión de Instituciones y de Sociedades Mutualistas, de conformidad con lo establecido en este ordenamiento;
VI. Autorizar las solicitudes para la escisión de Instituciones, conforme a lo establecido por esta Ley;
VII. Imponer sanciones administrativas por infracciones a ésta y a las demás leyes y reglamentos que regulan las actividades, instituciones, entidades y personas sujetas a la inspección y vigilancia de la Comisión, así como a las disposiciones de carácter general que emanen de ellas. Dicha facultad podrá delegarse en el Presidente, así como en otros servidores públicos de la Comisión, considerando la naturaleza de la infracción o el monto de las multas;
VIII. Resolver sobre los recursos de revocación que se interpongan en contra de las sanciones administrativas aplicadas por la Junta de Gobierno o por el Presidente de la Comisión, así como sobre las solicitudes de condonación total o parcial de las multas impuestas;
IX. Amonestar, suspender, remover e inhabilitar, según corresponda, a los miembros del consejo de administración, comité de auditoría, directores generales, comisarios, directores, gerentes, delegados fiduciarios y funcionarios que puedan obligar con su firma a las Instituciones y Sociedades Mutualistas, así como a los auditores externos que dictaminen los estados financieros y a los actuarios independientes que dictaminen sobre la situación y suficiencia de las reservas técnicas de las Instituciones y Sociedades Mutualistas, en términos de lo previsto en esta Ley, así como resolver sobre los recursos que se presenten en contra de tales determinaciones;
X. Remover, suspender, destituir e inhabilitar a los servidores públicos que puedan obligar con su firma a una institución nacional de seguros o a una institución nacional de fianzas, y remover a los miembros de su comité de auditoría, conforme a lo previsto en esta Ley;
XI. Recomendar al Ejecutivo Federal, a través de la Secretaría, la remoción del director general de una institución nacional de seguros o de una institución nacional de fianzas, en términos de lo previsto en este ordenamiento;
XII. Declarar y levantar la intervención con carácter de gerencia de las Instituciones o Sociedades Mutualistas, en los términos previstos en esta Ley;
XIII. Autorizar, a propuesta del Presidente de la Comisión, el nombramiento de los liquidadores administrativos de las Instituciones y Sociedades Mutualistas;
XIV. Otorgar, modificar o revocar las autorizaciones para organizarse y operar como consorcio de seguros y de fianzas, en términos de lo previsto en este ordenamiento;
XV. Otorgar o revocar el reconocimiento de las organizaciones aseguradoras y afianzadoras, en términos de lo previsto en esta Ley;
XVI. Vetar u ordenar que se dejen sin efecto, las normas de autorregulación que expidan las organizaciones aseguradoras y afianzadoras, de conformidad con lo señalado en esta Ley, así como resolver sobre los recursos que se presenten en contra de estas determinaciones;
XVII. Ordenar la suspensión, remoción, destitución o veto de los consejeros y directivos de las organizaciones aseguradoras y afianzadoras, de acuerdo con lo establecido por esta Ley, así como resolver sobre los recursos que se presenten en contra de estas determinaciones;
XVIII. Aprobar los presupuestos anuales de ingresos y egresos de la Comisión, que se someterán a la autorización de la Secretaría;
XIX. Aprobar los informes sobre el ejercicio del presupuesto de egresos de la Comisión, de conformidad con las disposiciones legales aplicables;
XX. Aprobar las disposiciones relacionadas con la organización de la Comisión y con las atribuciones de sus unidades administrativas;
XXI. Aprobar el nombramiento y remoción de los vicepresidentes de la Comisión, a propuesta del Presidente;
XXII. Nombrar y remover, a propuesta del Presidente de la Comisión, a su secretario y prosecretario de actas;
XXIII. Aprobar las condiciones generales de trabajo que, a propuesta del Presidente, deban observarse entre la Comisión y su personal;
XXIV. Conocer y tomar en consideración el informe anual de labores desarrolladas por la Comisión, que le sea presentado por el Presidente de la misma;
XXV. Resolver sobre otros asuntos que el Presidente de la Comisión someta a su consideración;
XXVI. Constituir comités con fines específicos, y
XXVII. Las demás facultades que le confieren esta Ley y otros ordenamientos legales, reglamentarios y administrativos.
ARTÍCULO 370.- La Junta de Gobierno de la Comisión celebrará sesiones siempre que sea convocada por su Presidente y se reunirá por lo menos bimestralmente.
Habrá quórum con la presencia de por lo menos ocho de sus integrantes. Las resoluciones se tomarán por mayoría de votos de los presentes, y el Presidente, quien dirigirá los debates y dará cuenta de los asuntos en cartera, tendrá voto de calidad en los casos de empate.
Las resoluciones y recomendaciones que apruebe la Junta de Gobierno se harán constar en acta firmada por el Presidente y el secretario de actas, y serán comunicadas a la Secretaría después de cada sesión.
Los acuerdos de la Junta de Gobierno de la Comisión serán ejecutivos en los términos expresados anteriormente, y corresponderá al Presidente, en ejercicio de sus atribuciones, darles oportuno cumplimiento.
SECCIÓN III
DE LA PRESIDENCIA
ARTÍCULO 371.- El titular de la Secretaría nombrará al Presidente de la Comisión. El Presidente deberá reunir los requisitos siguientes:
I. Ser ciudadano mexicano por nacimiento que no adquiera otra nacionalidad y estar en pleno goce de sus derechos civiles y políticos;
II. Haber ocupado, por lo menos durante cinco años, cargos de alto nivel en el sistema financiero mexicano o en las dependencias, organismos o instituciones que ejerzan funciones de autoridad en materia financiera;
III. No ser accionista, ni desempeñar el cargo de consejero, comisario, auditor externo, actuario independiente que dictamine sobre la situación y suficiencia de las reservas técnicas, apoderado, funcionario, empleado o agente de cualquiera de las Instituciones y Sociedades Mutualistas, así como de las demás personas y entidades sujetas a la inspección y vigilancia de la Comisión.
No se incumplirá este requisito cuando se tengan inversiones en términos de lo dispuesto por el artículo 372 de la Ley del Mercado de Valores;
IV. No tener nexos patrimoniales con los accionistas que formen el grupo de Control de alguna Institución, así como de cualquiera de las demás personas y entidades sujetas a la inspección y vigilancia de la Comisión, ni con los funcionarios de primer y segundo nivel de las mismas, así como no ser cónyuge ni tener relación de parentesco consanguíneo dentro del segundo grado con dichas personas;
V. No desempeñar cargos de elección popular;
VI. No haber sido inhabilitado para ejercer el comercio o para desempeñar un empleo, cargo o comisión en el servicio público o en el sistema financiero mexicano y gozar de reconocida solvencia moral;
VII. No haber sido condenado por sentencia irrevocable por delito intencional que le imponga más de un año de prisión, y si se tratare de delito patrimonial, cometido intencionalmente cualquiera que haya sido la pena, y
VIII. No tener litigio pendiente con la Comisión.
Los vocales, propietarios y suplentes, de la Junta de Gobierno, vicepresidentes y directores generales de la Comisión deberán gozar de reconocida experiencia en materia económica, financiera, jurídica o de seguros y fianzas, y les será aplicable lo establecido en las fracciones III a VIII de este artículo. Se exceptuará de lo señalado en la fracción III de este precepto a los vocales que sean servidores públicos, en lo relativo a su función como consejeros de las instituciones nacionales de seguros o de las instituciones nacionales de fianzas.
ARTÍCULO 372.- Serán facultades y obligaciones del Presidente de la Comisión:
I. Tener a su cargo la representación legal de la Comisión y el ejercicio de sus facultades, sin perjuicio de las atribuidas por esta Ley a la Junta de Gobierno;
II. Proveer en los términos de esta Ley y demás relativas, el eficaz cumplimiento de sus preceptos;
III. Realizar las funciones de inspección y vigilancia de las Instituciones y Sociedades Mutualistas, así como de las demás personas y entidades sujetas a la inspección y vigilancia de la Comisión, en términos de lo previsto por esta Ley;
IV. Presentar a la Junta de Gobierno un informe trimestral sobre la situación que guardan los sistemas asegurador y afianzador y las Instituciones y Sociedades Mutualistas que los conforman, así como las medidas pertinentes cuando a su juicio se presenten hechos o situaciones que afecten el buen funcionamiento de los mismos;
V. Proponer a la Junta de Gobierno los proyectos de las disposiciones de carácter general que compete expedir a la Comisión con acuerdo de ese órgano de gobierno;
VI. Emitir las disposiciones de carácter general necesarias para el ejercicio de las facultades que esta Ley y demás leyes y reglamentos le otorgan, y para el eficaz cumplimiento de las mismas y de las disposiciones que con base en ellas se expidan;
VII. Emitir, en el ámbito de su competencia, las disposiciones y normas prudenciales de carácter general orientadas a preservar la solvencia, liquidez y estabilidad financiera de las Instituciones y Sociedades Mutualistas;
VIII. Dictar normas de registro de las operaciones de las Instituciones y Sociedades Mutualistas, así como, en su caso, de otras personas y entidades reguladas por esta Ley;
IX. Llevar el Registro General de Reaseguradoras Extranjeras, en términos de lo previsto en este ordenamiento;
X. Llevar el registro de ajustadores de seguros, de conformidad con lo establecido en esta Ley;
XI. Llevar el registro de los auditores externos que dictaminen los estados financieros, así como el de los actuarios independientes que dictaminen sobre la situación y suficiencia de las reservas técnicas de las Instituciones y Sociedades Mutualistas, conforme a lo señalado por este ordenamiento;
XII. Llevar el registro de productos de seguros, así como el registro de notas técnicas y documentación contractual de fianzas, en los términos previstos en esta Ley;
XIII. Determinar los días en que las Instituciones y Sociedades Mutualistas deberán cerrar sus puertas y suspender sus operaciones;
XIV. Ordenar la adopción de las medidas preventivas y correctivas, previstas en esta Ley;
XV. Imponer, de acuerdo a las facultades que le delegue la Junta de Gobierno, las sanciones que correspondan en los términos de ésta y las demás leyes y reglamentos aplicables, y de las disposiciones que de ellos emanen, así como proponer a la Junta de Gobierno la condonación total o parcial de las multas, y aplicar las medidas de apremio a que se refiere esta Ley;
XVI. Conocer y resolver sobre los recursos de revocación que se interpongan en contra de las sanciones administrativas aplicadas por los servidores públicos de la Comisión;
XVII. Declarar, con el acuerdo de la Junta de Gobierno, la intervención con carácter de gerencia de las Instituciones y Sociedades Mutualistas, en los términos previstos por esta Ley;
XVIII. Designar interventor gerente en los casos previstos en este ordenamiento;
XIX. Emitir opinión a la Secretaría en materia de los delitos previstos en este ordenamiento;
XX. Intervenir en los procedimientos de liquidación, así como en las solicitudes de concurso mercantil, de las Instituciones y Sociedades Mutualistas, en los términos previstos en esta Ley;
XXI. Designar, con acuerdo de la Junta de Gobierno, a los liquidadores administrativos de las Instituciones y Sociedades Mutualistas;
XXII. Otorgar, modificar o revocar las autorizaciones a que se refiere esta Ley, a las personas y entidades reguladas por la misma, distintas a las requeridas para organizarse y operar como Instituciones y Sociedades Mutualistas;
XXIII. Investigar aquellos actos de personas físicas y de personas morales que no siendo Instituciones o Sociedades Mutualistas, hagan suponer la realización de operaciones violatorias de este ordenamiento, pudiendo al efecto, en términos de lo previsto en esta Ley, ordenar visitas de inspección a los presuntos responsables;
XXIV. Ordenar la suspensión de operaciones o la intervención administrativa, según se prevea en este ordenamiento, de negociaciones, empresas o establecimientos de personas físicas o a las personas morales que, sin la autorización correspondiente, realicen actividades que la requieran en términos de esta Ley, o bien proceder a la clausura de sus oficinas;
XXV. Formular y presentar para la aprobación de la Junta de Gobierno los presupuestos de ingresos y egresos de la Comisión, en los términos de las disposiciones aplicables;
XXVI. Formular y publicar estadísticas y documentos relativos al comportamiento, organización y funcionamiento de los sistemas asegurador y afianzador;
XXVII. Celebrar acuerdos de intercambio de información y convenios con organismos nacionales e internacionales con funciones de supervisión y regulación similares a las de la Comisión, así como participar en foros de consulta y organismos de supervisión y regulación financieras a nivel nacional e internacional;
XXVIII. Celebrar convenios de colaboración con la Comisión Nacional para la Protección y Defensa de los Usuarios de Servicios Financieros, que tengan por objeto establecer los mecanismos y canales a través de los cuales esta última hará del conocimiento de la Comisión, las observaciones que deriven del ejercicio de las facultades en materia de contratos de adhesión, publicidad y estados de cuenta previstas en esta Ley y en la Ley de Protección y Defensa al Usuario de Servicios Financieros;
XXIX. Proporcionar información a las autoridades financieras del exterior, en términos de lo previsto en la fracción XXXVII del artículo 366 de esta Ley;
XXX. Informar, a la Junta de Gobierno, anualmente y cuando ésta se lo solicite, sobre las labores desarrolladas por la Comisión y sobre casos concretos que la misma requiera;
XXXI. Dirigir administrativamente a la Comisión;
XXXII. Presentar para la aprobación de la Junta de Gobierno los proyectos de disposiciones relacionadas con la organización de la Comisión y con las atribuciones de sus unidades administrativas;
XXXIII. Proponer a la Junta de Gobierno las condiciones generales de trabajo que deban observarse entre la Comisión y su personal;
XXXIV. Proponer a la Junta de Gobierno el nombramiento y remoción de los vicepresidentes de la Comisión, así como nombrar y remover a los directores generales, directores y delegados regionales de la misma;
XXXV. Proponer a la Junta de Gobierno el nombramiento y remoción del secretario y prosecretario de actas de la misma;
XXXVI. Proveer lo necesario para el cumplimiento de los programas y el correcto ejercicio del presupuesto de egresos;
XXXVII. Informar a la Junta de Gobierno sobre el ejercicio del presupuesto de egresos;
XXXVIII. Informar y opinar a la Secretaría respecto de los casos concretos que ésta le solicite;
XXXIX. Desempeñar las funciones que le encomiende o le delegue la Junta de Gobierno;
XL. Informar a la Junta de Gobierno sobre el estado y ejercicio de las facultades que le hayan sido delegadas por ésta;
XLI. Ejecutar los acuerdos de la Junta de Gobierno;
XLII. Ordenar la publicación de las disposiciones de carácter general que emita la Comisión en el Diario Oficial de la Federación, y
XLIII. Las demás que le sean atribuidas por esta Ley y otros ordenamientos legales, reglamentarios y administrativos.
ARTÍCULO 373.- El Presidente ejercerá las facultades que le otorga esta Ley y las que le delegue la Junta de Gobierno, directamente o a través de los servidores públicos de la Comisión, en los términos del reglamento interior de ésta, o mediante acuerdos delegatorios que deberán ser publicados en el Diario Oficial de la Federación.
En las ausencias temporales del Presidente de la Comisión, será sustituido en los términos que establezca el reglamento interior de la Comisión.
Serán facultades indelegables del Presidente de la Comisión las señaladas en las fracciones V a VIII, XIII, XV a XVIII, XXI, XXIV, XXV, XXVII, XXVIII, XXX, XXXII a XXXVII y XLII del artículo 372 de este ordenamiento.
ARTÍCULO 374.- En los procedimientos judiciales, administrativos o laborales en los que la Comisión sea parte o pueda resultar afectada, el Presidente directamente o por medio de los vicepresidentes o directores generales de la Comisión que al efecto designe en los acuerdos delegatorios, ejercitará las acciones, excepciones y defensas, producirá alegatos, ofrecerá pruebas, interpondrá los recursos que procedan, podrá presentar desistimientos, y en general realizará todos los actos procesales que correspondan a la Comisión o a sus órganos, incluyendo en los juicios de amparo la presentación de los informes de ley.
El Presidente, los vicepresidentes y los directores generales sólo estarán obligados a absolver posiciones o rendir declaración en juicio, en representación de la Comisión o en virtud de sus funciones, cuando las posiciones y preguntas se formulen por medio de oficio expedido por autoridad competente, mismo que contestarán por escrito dentro del término establecido por dicha autoridad.
SECCIÓN IV
DE LAS DISPOSICIONES GENERALES
ARTÍCULO 375.- Los servidores públicos de la Comisión deberán cumplir con los requisitos del perfil del puesto que determine la propia Comisión y, según corresponda, conforme a lo dispuesto por la Ley del Servicio Profesional de Carrera en la Administración Pública Federal.
ARTÍCULO 376.- Los servidores públicos de la Comisión tendrán prohibido realizar operaciones con las Instituciones y Sociedades Mutualistas, así como con las demás personas y entidades sujetas a la inspección y vigilancia de la propia Comisión, en condiciones preferentes a las ofrecidas al público en general.
ARTÍCULO 377.- La Secretaría y la Comisión prestarán los servicios de asistencia y defensa legal a las personas que hayan fungido como titulares, integrantes de sus órganos de gobierno, funcionarios y servidores públicos, con respecto a los actos que las personas antes referidas hayan llevado a cabo en el ejercicio de las funciones que por ley les hayan sido encomendadas.
Los interventores gerentes y liquidadores administrativos, así como el personal auxiliar al que aquéllos le otorguen poderes porque sea necesario para el desempeño de sus funciones, también serán sujetos de asistencia y defensa legal por los actos que desempeñen en el ejercicio de las facultades que las leyes les encomienden con motivo de sus funciones.
La asistencia y defensa legal se proporcionará con cargo a los recursos con los que para estos fines cuenten la Secretaría y la Comisión, de acuerdo con los lineamientos de carácter general que apruebe, en el primer caso, el titular de la Secretaría, o bien, la Junta de Gobierno de la Comisión, en los cuales deberá preverse el supuesto de que si la autoridad competente le dicta al sujeto de la asistencia legal resolución definitiva que cause ejecutoria en su contra, dicho sujeto deberá rembolsar a la Secretaría o a la Comisión, según se trate, los gastos y cualquier otra erogación en que se hubiere incurrido con motivo de la asistencia y defensa legal.
Para efectos de lo dispuesto en este artículo, la Secretaría y la Comisión, en el ámbito de sus respectivas competencias, establecerán los mecanismos necesarios para cubrir los gastos y cualquier otra erogación que deriven de la asistencia y defensa legal previstos en este artículo.
Lo dispuesto en este artículo se aplicará sin perjuicio de la obligación que tienen los sujetos de asistencia y defensa legal, de rendir los informes que les sean requeridos en términos de las disposiciones legales aplicables como parte del desempeño de sus funciones.
ARTÍCULO 378.- La Secretaría y la Comisión, los integrantes de su Junta de Gobierno, los funcionarios y servidores públicos que laboren en la Secretaría y en la Comisión, no serán responsables por las pérdidas que sufran las Instituciones y Sociedades Mutualistas derivadas de su insolvencia, deterioro financiero o por la pérdida del valor de sus activos durante los procesos de liquidación o concurso mercantil; o bien, por cualquier daño patrimonial, cuando para la toma de las decisiones correspondientes hayan actuado en el ejercicio lícito de las funciones que por ley les estén encomendadas.
Si se determinara la responsabilidad a que se refiere el artículo 379 de la presente Ley, únicamente se podrá repetir a los servidores públicos el pago de la indemnización que, en su caso, hubiere sido cubierta a los particulares, cuando, previa substanciación del procedimiento administrativo disciplinario previsto en la Ley Federal de Responsabilidades Administrativas de los Servidores Públicos, se hubiere determinado su responsabilidad por falta administrativa que haya tenido el carácter de infracción grave, conforme a los criterios establecidos en esa misma Ley y tomando en cuenta lo dispuesto por el presente artículo.
Los interventores gerentes o liquidadores administrativos de las Instituciones o Sociedades Mutualistas designados por la Comisión en términos de lo dispuesto en esta Ley, así como el personal auxiliar al cual los propios interventores gerentes o liquidadores administrativos les otorguen poderes porque sea necesario para el desempeño de sus funciones conforme a lo previsto en este ordenamiento, no serán responsables por las pérdidas que sufran las Instituciones o Sociedades Mutualistas que deriven de su insolvencia o deterioro financiero, cuando para la toma de las decisiones correspondientes hayan actuado en el ejercicio lícito de sus funciones. Tampoco serán responsables cuando dichas pérdidas o deterioro financiero de la Institución de Seguros, la Institución de Fianzas o la Sociedad Mutualista de que se trate, se origine por cualquiera de las siguientes causas:
I. Falta de aumentos de capital que deban llevar a cabo los accionistas de la Institución, o falta de aportaciones al fondo social en el caso de Sociedades Mutualistas;
II. Falta de pago de los deudores de la Institución o la Sociedad Mutualista;
III. Deterioro en el valor de los activos de la Institución o la Sociedad Mutualista durante el proceso de intervención con carácter de gerencia o de liquidación administrativa;
IV. Deficiencias en el registro de los activos o de las reservas técnicas u otros pasivos de la Institución o la Sociedad Mutualista, o
V. Aumento del costo de pago de siniestros de la Institución de Seguros o Sociedad Mutualista derivado de desviaciones en la siniestralidad; por aumento del costo de pago de reclamaciones de fianzas de la Institución derivado del cambio de patrón de reclamaciones, o bien por la ausencia o deterioro de las garantías de recuperación; o por retención de riesgos o responsabilidades por encima de la capacidad financiera de la Institución o Sociedad Mutualista.
Para efectos de lo dispuesto en este artículo, se entenderá que las personas físicas en él referidas actuaron en el ejercicio lícito de sus funciones y no se considerarán responsables por daños y perjuicios, salvo cuando los actos que los causen hayan sido realizados con dolo, para obtener algún lucro indebido para sí mismas o para terceros.
ARTÍCULO 379.- Los actos que lleven a cabo la Secretaría y la Comisión, no se considerarán actividad administrativa irregular, y por lo tanto no serán objeto de responsabilidad patrimonial del Estado, cuando se efectúen en cumplimento a lo dispuesto en la presente Ley.
Únicamente podrá reclamarse el pago de alguna indemnización en términos de la Ley Federal de Responsabilidad Patrimonial del Estado, en el evento de que se acredite fehacientemente que al adoptarse la determinación a que se refiere el artículo 447 de la presente Ley, no se actualizaba el supuesto de extinción de capital previsto en el propio artículo, así como que dicha determinación causó el daño patrimonial que el interesado reclame le sea indemnizado. Se exceptúa de la obligación de indemnizar, además de los supuestos de excepción expresamente previstos en la Ley Federal de Responsabilidad Patrimonial del Estado, cuando la información disponible en el momento de la determinación correspondiente, que se haya tomado como base para ésta, no haya permitido adoptar razonablemente una resolución distinta. La información mencionada comprenderá aquélla que las Instituciones y Sociedades Mutualistas deben clasificar y mantener en sus sistemas automatizados de procesamiento y conservación de datos conforme a lo dispuesto en los artículos 301 y 302 de esta Ley.
ARTÍCULO 380.- La Comisión podrá proporcionar a la Secretaría, al Banco de México, a la Comisión Nacional Bancaria y de Valores, a la Comisión Nacional del Sistema de Ahorro para el Retiro y a la Comisión Nacional para la Protección y Defensa de los Usuarios de Servicios Financieros, la asistencia que le soliciten en el ejercicio de sus funciones, para lo cual podrá proporcionarles información y documentación que obre en su poder respecto de las Instituciones y Sociedades Mutualistas, así como las demás personas y empresas sujetas a la inspección y vigilancia de la Comisión, sin que ello implique la violación a la confidencialidad que deba observar conforme a las disposiciones legales aplicables.
Los requerimientos de información previstos en el artículo 117 de la Ley de Instituciones de Crédito, respecto de las operaciones a que se refieren los artículos 118, fracciones XXI a XXIII, y 144, fracción XVII, de este ordenamiento, así como los relativos a lo previsto por el artículo 190 de esta Ley, se formularán, en su caso, a través de la Comisión.
ARTÍCULO 381.- La Comisión publicará en el Diario Oficial de la Federación las disposiciones de carácter general que emita en ejercicio de las facultades que esta u otras leyes le otorgan, así como los actos administrativos que, en cumplimiento de las leyes, deban publicarse en el mismo medio.
CAPÍTULO SEGUNDO
DE LA INSPECCIÓN Y VIGILANCIA
ARTÍCULO 382.- La inspección y vigilancia de las Instituciones y Sociedades Mutualistas, así como de las demás personas y entidades reguladas por la presente Ley y los reglamentos respectivos, estará a cargo de la Comisión, quien la llevará a cabo sujetándose a lo previsto en esta Ley, en el reglamento respectivo y en las demás disposiciones que resulten aplicables.
La Comisión podrá efectuar visitas y solicitar información a las Instituciones y Sociedades Mutualistas, así como a las demás personas y entidades a que se refiere esta Ley, con el propósito de revisar, verificar, comprobar y evaluar, según corresponda, las operaciones, organización, funcionamiento, los procesos, los sistemas de control interno, de administración de riesgos y de información, operaciones de reaseguro, de reafianzamiento y de diversificación de riesgos y responsabilidades, así como el patrimonio, la adecuación del capital a los riesgos, la calidad de los activos, la estimación de los pasivos y, en general, todo lo que pudiendo afectar la posición financiera y legal, conste o deba constar en los registros, a fin de que dichas personas se ajusten al cumplimiento de las disposiciones que las rigen y a las sanas prácticas de la materia.
Asimismo, la Comisión en el ejercicio de sus facultades podrá investigar hechos, actos u omisiones de los cuales pueda presumirse la violación a esta Ley, reglamentos y demás disposiciones que de ella deriven.
ARTÍCULO 383.- La Comisión, como resultado de sus facultades de inspección y vigilancia, podrá formular observaciones y ordenar la adopción de medidas tendientes a corregir los hechos, actos, omisiones o irregularidades que haya detectado con motivo de dichas funciones, en términos de esta Ley.
ARTÍCULO 384.- Las Instituciones de Seguros autorizadas para operar el ramo de salud a que se refiere el artículo 25, fracción II, inciso c), de esta Ley, también estarán sujetas a la inspección y vigilancia de la Secretaría de Salud, exclusivamente sobre los servicios y productos de salud que sean materia de los contratos de seguro que celebren. Cuando la citada Secretaría con motivo del ejercicio de las anteriores funciones detecte alguna irregularidad relacionada con dichos servicios y productos, la comunicará a la Comisión para que proceda a la imposición de sanciones conforme a lo establecido en esta Ley.
ARTÍCULO 385.- Las visitas de inspección que la Comisión efectúe en términos de lo previsto en el artículo 382 de la presente Ley, podrán ser ordinarias, especiales o de investigación:
I. Las visitas ordinarias, se llevarán a cabo a las Instituciones y Sociedades Mutualistas de conformidad con el programa anual que la Comisión establezca al efecto;
II. Las visitas especiales, serán aquellas que sin estar incluidas en el programa anual referido en la fracción I de este artículo, se practiquen a las Instituciones y Sociedades Mutualistas, así como a las demás personas y entidades sujetas a la inspección y vigilancia de la Comisión, en cualquiera de los supuestos siguientes:
a) Para examinar y, en su caso, corregir situaciones operativas;
b) Para dar seguimiento a los resultados obtenidos en una visita de inspección;
c) Cuando se presenten cambios o modificaciones en la situación contable, jurídica, económica, financiera, técnica o administrativa de una Institución o una Sociedad Mutualista;
d) Cuando una Institución o una Sociedad Mutualista inicie operaciones después de la elaboración del programa anual a que se refiere la fracción I de este artículo;
e) Para verificar el cumplimiento de los requisitos para el inicio de operaciones de las Instituciones, Sociedades Mutualistas e Intermediarios de Reaseguro;
f) Cuando se presenten actos, hechos u omisiones en una Institución de Seguros, una Institución de Fianzas o una Sociedad Mutualista que no hayan sido originalmente contempladas en el programa anual a que se refiere la fracción I de este artículo, que motiven la realización de la visita, o
g) Cuando deriven de la cooperación internacional, y
III. Las visitas de investigación, se efectuarán siempre que la Comisión tenga indicios de los cuales pueda desprenderse la realización de alguna conducta que presuntamente contravenga lo previsto en esta Ley, los reglamentos respectivos y demás disposiciones de carácter general que emanen de este ordenamiento.
En todo caso, las visitas de inspección a que se refiere este artículo se sujetarán a lo dispuesto en esta Ley, en el reglamento a que se refiere el artículo 382 de este ordenamiento, así como a las demás disposiciones que resulten aplicables.
ARTÍCULO 386.- Las Instituciones y Sociedades Mutualistas, así como las demás personas y entidades sujetas a la inspección y vigilancia de la Comisión, estarán obligadas a prestar a los inspectores todo el apoyo que se les requiera, proporcionando los datos, informes, registros, libros de actas, auxiliares, documentos, correspondencia y, en general, la documentación, discos, cintas o cualquier otro medio procesable de almacenamiento de datos que tengan, y que los inspectores estimen necesarios para el cumplimiento de su cometido, pudiendo tener acceso a sus oficinas, locales y demás instalaciones.
ARTÍCULO 387.- Cuando en el ejercicio de la función de inspección prevista en los artículos 385 y 386 de esta Ley, la Comisión así lo requiera, podrá contratar los servicios de auditores y de otros profesionistas que le auxilien en dicha función.
ARTÍCULO 388.- La vigilancia que efectúe la Comisión se llevará a cabo a través del análisis de la información contable, legal, económica, financiera, técnica, de reaseguro, de reafianzamiento, administrativa, de procesos y de procedimientos que obtenga la Comisión con base en las disposiciones que resulten aplicables, con la finalidad de evaluar el apego a la normativa que rige a las Instituciones y Sociedades Mutualistas, así como la estabilidad, solvencia, liquidez y correcto funcionamiento de éstas.
ARTÍCULO 389.- Las Instituciones y Sociedades Mutualistas, así como las demás personas y entidades que en los términos de esta Ley estén sujetas a la inspección y vigilancia de la Comisión, deberán rendirle, en la forma y términos que al efecto establezca mediante disposiciones de carácter general, los informes y pruebas que sobre su organización, operaciones,contabilidad, inversiones o patrimonio les solicite para fines de regulación, supervisión, control, inspección, vigilancia, estadística y demás funciones que conforme a esta Ley u otras disposiciones legales, reglamentarias y administrativas le corresponda ejercer.
La Comisión, en las disposiciones de carácter general a que se refiere este artículo, determinará la información que sobre sus operaciones deberán proporcionarle las Instituciones y Sociedades Mutualistas, a fin de realizar funciones de vigilancia prospectiva que permitan identificar problemas que requieran la adopción de medidas de carácter preventivo.
Las disposiciones de carácter general previstas en este artículo podrán establecer el uso de equipos, medios electrónicos, ópticos o de cualquier otra tecnología, sistemas automatizados de procesamiento de datos y redes de telecomunicaciones, ya sean privados o públicos, señalando las bases para determinar los medios de identificación del usuario y las responsabilidades correspondientes a su uso.
El uso de los medios de identificación que se establezcan conforme a lo previsto por este artículo, en sustitución de la firma autógrafa, producirá los mismos efectos que las Leyes otorgan a los documentos correspondientes y, en consecuencia, tendrán el mismo valor probatorio.
Sin perjuicio de la información y documentación que las Instituciones y Sociedades Mutualistas, así como las demás personas y entidades que en los términos de esta Ley estén sujetas a la inspección y vigilancia de la Comisión, deban proporcionarle periódicamente, la Comisión podrá, dentro del ámbito de las disposiciones aplicables, solicitarles cualquier otra información o documentación que requiera para poder cumplir con su función de vigilancia.
ARTÍCULO 390.- En el ejercicio de sus funciones de inspección y vigilancia, la Comisión dará a conocer, en la forma y términos que la propia Comisión señale mediante disposiciones de carácter general, información relativa: a la situación contable, técnica y financiera de las Instituciones y Sociedades Mutualistas; y al cumplimiento por parte de las mismas de los requerimientos sobre reservas técnicas, cobertura de la Base de Inversión, requerimiento de capital de solvencia y Fondos Propios Admisibles requeridos para respaldarlo, así como respecto del capital mínimo pagado que deban mantener.
La propia Comisión dará a conocer, en la forma y términos que la misma señale mediante disposiciones de carácter general, información relativa a la operación de las demás personas y entidades que en los términos de esta Ley estén sujetas a su inspección y vigilancia.
ARTÍCULO 391.- Las Instituciones y Sociedades Mutualistas deberán justificar y comprobar, en cualquier momento, la existencia de los activos en que se encuentren invertidos sus recursos, en la forma, términos y con los documentos que determine la Comisión.
La Comisión, en cualquier momento, podrá solicitar certificados respecto de los bienes o créditos de las Instituciones o Sociedades Mutualistas al Registro Público que corresponda.
ARTÍCULO 392.- Las Instituciones y Sociedades Mutualistas, así como las demás personas y entidades sujetas conforme a esta Ley a la inspección y vigilancia de la Comisión, deberán cubrir las cuotas correspondientes a esos servicios en los términos de las disposiciones legales aplicables. Las cuotas correspondientes a los servicios de inspección y vigilancia a que se refiere este artículo, se destinarán a cubrir el presupuesto de la Comisión.
TÍTULO DÉCIMO SEGUNDO
DE LA LIQUIDACIÓN Y EL CONCURSO MERCANTIL
CAPÍTULO PRIMERO
DE LA LIQUIDACIÓN ADMINISTRATIVA
SECCIÓN I
DE LAS DISPOSICIONES COMUNES
ARTÍCULO 393.- Los procedimientos de liquidación administrativa son de orden público y, en protección de los intereses de los acreedores por contratos de seguros o por fianzas de las Instituciones y Sociedades Mutualistas, se sujetarán a lo dispuesto por el presente Capítulo, con la finalidad de hacer el pago de las cuotas de liquidación correspondientes a éstos y demás acreedores en el menor tiempo posible, y obtener el máximo valor de recuperación de los activos de esas sociedades.
ARTÍCULO 394.- La Institución o Sociedad Mutualista que hubiere iniciado operaciones, entrará en estado de liquidación administrativa cuando la Comisión declare la revocación de la autorización, salvo en el caso previsto en el artículo 443 de esta Ley.
ARTÍCULO 395.- El liquidador administrativo designado entrará en funciones a partir de que se notifique a la Institución o Sociedad Mutualista el oficio que declare la revocación de la autorización, sin perjuicio de que con posterioridad se realice la inscripción correspondiente en el Registro Público de Comercio, sin más requisitos que su presentación ante dicho Registro.
Para el adecuado cumplimiento de sus funciones, el liquidador administrativo podrá solicitar el auxilio de la fuerza pública, por lo que las autoridades competentes estarán obligadas a prestar tal auxilio, con la amplitud y por todo el tiempo que sea necesario.
ARTÍCULO 396.- La liquidación administrativa estará a cargo de un liquidador designado por el Presidente de la Comisión, con acuerdo de su Junta de Gobierno. Podrán ser liquidadores, las instituciones de crédito o las personas físicas o morales que cuenten con experiencia en liquidación de sociedades.
Cuando se trate de personas físicas, el nombramiento de liquidador administrativo deberá recaer en aquellas que cuenten con calidad técnica, honorabilidad e historial crediticio satisfactorio y que reúnan los requisitos siguientes:
I. Ser residente en territorio nacional en términos de lo dispuesto por el Código Fiscal de la Federación;
II. Estar inscrito en el registro que lleva el Instituto Federal de Especialistas de Concursos Mercantiles;
III. Presentar un reporte de crédito especial, conforme a la Ley para Regular las Sociedades de Información Crediticia, proporcionado por sociedades de información crediticia, que contenga sus antecedentes de por lo menos los cinco años anteriores a la fecha en que se pretende iniciar el cargo;
IV. No tener litigio pendiente en contra de la Institución o Sociedad Mutualista de que se trate;
V. No haber sido sentenciado por delitos patrimoniales, ni inhabilitado para ejercer el comercio o para desempeñar un empleo, cargo o comisión en el servicio público o en el sistema financiero mexicano;
VI. No estar declarado quebrado ni concursado sin haber sido rehabilitado;
VII. No haber desempeñado el cargo de auditor externo que dictamine los estados financieros o actuario independiente que dictamine la suficiencia de las reservas técnicas de la Institución o Sociedad Mutualista, o de alguna de las empresas que integran al Grupo Empresarial al que ésta pertenezca, durante los doce meses inmediatos anteriores a la fecha del nombramiento, y
VIII. No estar impedido para actuar como visitador, conciliador o síndico, ni tener conflicto de interés, en términos de la Ley de Concursos Mercantiles.
En los casos en que se designen a personas morales como liquidadores, las personas físicas designadas para desempeñar las actividades vinculadas a esta función deberán cumplir con los requisitos a que hace referencia este artículo.
Las personas que no cumplan con alguno de los requisitos previstos en este artículo, deberán abstenerse de aceptar el cargo y manifestarán tal circunstancia por escrito.
Tratándose de instituciones nacionales de seguros e instituciones nacionales de fianzas, la designación de liquidador administrativo se apegará a lo señalado en el párrafo final del artículo 4 de esta Ley.
ARTÍCULO 397.- Las faltas temporales de los liquidadores administrativos, serán cubiertas por designación inmediata hecha por el Presidente de la Comisión. Las faltas definitivas serán cubiertas por designación del Presidente de la Comisión, con acuerdo de su Junta de Gobierno.
La designación de los liquidadores administrativos podrá ser revocada. Los liquidadores sustituidos permanecerán en el desempeño de su encargo hasta que hagan entrega a la persona designada para sustituirlos.
Salvo el caso de instituciones de crédito, los liquidadores deberán garantizar su correcto desempeño en cada liquidación administrativa para la que sean designados, en los términos y por los montos aplicables a los visitadores, conciliadores o síndicos, conforme al artículo 327 de la Ley de Concursos Mercantiles.
La garantía a que se refiere el párrafo anterior no se cancelará sino hasta que hayan sido aprobadas las cuentas del liquidador, en su caso.
ARTÍCULO 398.- El proyecto que el liquidador administrativo elabore para atender los gastos y honorarios necesarios para llevar a cabo la liquidación de la sociedad, así como el proyecto de calendario respectivo, deberán ser aprobados por la Comisión, conforme a los lineamientos que al efecto expida la propia Comisión con aprobación de su Junta de Gobierno.
Los honorarios del liquidador administrativo serán fijados en el momento de su designación conforme a los lineamientos a que se refiere este artículo.
Los conceptos de gasto a que se refiere el presente artículo se pagarán con cargo a la Institución o Sociedad Mutualista en liquidación.
ARTÍCULO 399.- Los liquidadores administrativos que se designen de acuerdo con los preceptos de este Capítulo, serán representantes legales de la Institución o Sociedad Mutualista de que se trate, y contarán con las más amplias facultades de dominio que en derecho procedan, las que se le confieren en esta Ley y las que se deriven de la naturaleza de su función. Por tanto, gozarán de plenos poderes generales para actos de dominio, de administración y de pleitos y cobranzas, con facultades que requieran cláusula especial conforme a la ley, así como para suscribir títulos de crédito, presentar denuncias, querellas, desistirse de estas últimas, y otorgar el perdón.
Desde la fecha en que se notifique a la Institución o Sociedad Mutualista la revocación de la autorización para operar como tal, cesarán en sus funciones su asamblea de accionistas o mutualizados, su consejo de administración, sus comisarios, su director general o equivalente, y demás funcionarios y empleados, así como sus apoderados, salvo aquellos funcionarios y empleados que el liquidador administrativo determine que continúen en sus funciones.
El liquidador administrativo, bajo su responsabilidad, podrá otorgar los poderes que juzgue convenientes, así como revocar los que otorgue. Asimismo, podrá nombrar y revocar delegados fiduciarios.
Los liquidadores administrativos responderán como mandatarios por los actos que ejecuten excediéndose de los límites de su encargo.
ARTÍCULO 400.- Una vez que la Institución o Sociedad Mutualista entre en estado de liquidación, el liquidador administrativo o el apoderado que éste designe, recibirá la administración de la sociedad.
La recepción a que se refiere este artículo comprenderá todos los bienes, libros y documentos de la Institución o Sociedad Mutualista en liquidación, para lo cual las personas a que se refiere el párrafo anterior deberán elaborar un inventario detallado, identificando aquellos bienes que la sociedad mantenga por cuenta de terceros. Sin perjuicio de lo anterior, la recepción por parte del liquidador administrativo se efectuará con las reservas de ley.
Se presumirá que toda la correspondencia que llegue al domicilio de la sociedad en liquidación es relativa a las operaciones de la misma, por lo que el liquidador administrativo, una vez que esté a cargo de la administración, podrá recibirla y abrirla sin que para ello se requiera la presencia o autorización de persona alguna.
ARTÍCULO 401.- A partir de la fecha en que una Institución o Sociedad Mutualista entre en estado de liquidación administrativa, el liquidador designado tendrá las obligaciones siguientes:
I. Cobrar lo que se deba a la sociedad;
II. Enajenar los activos de la sociedad;
III. Efectuar las diligencias para:
a) Ceder las carteras de contratos de seguro, reaseguro o reafianzamiento de la Institución de Seguros o Sociedad Mutualista y pagar los pasivos derivados de esos contratos, o
b) Auxiliar a los beneficiarios de fianzas en la procura de la sustitución de sus garantías o en la gestión de su cesión a otra Institución, y pagar los pasivos derivados de esos contratos;
IV. Pagar los demás pasivos a cargo de la sociedad;
V. En su caso, liquidar a los accionistas o mutualizados su haber social, y
VI. Realizar los demás actos tendientes a la conclusión de la liquidación.
Lo anterior, conforme a las operaciones de liquidación y el orden de pago previstos en el presente Capítulo.
El liquidador deberá realizar el balance inicial de la liquidación a fin de que el valor de los activos de la Institución o Sociedad Mutualista se determine conforme a las normas de registro contable aplicables. Dicho balance deberá ser dictaminado por un tercero especializado de reconocida experiencia que el liquidador contrate para tal efecto.
ARTÍCULO 402.- El liquidador administrativo establecerá los términos y condiciones en los que las oficinas y sucursales de la Institución o Sociedad Mutualista en liquidación permanecerán abiertas para la atención de la clientela por las operaciones que determine el propio liquidador. El liquidador deberá hacer del conocimiento del público en general, mediante un aviso publicado en el Diario Oficial de la Federación y en un periódico de amplia circulación nacional, dichos términos y condiciones.
ARTÍCULO 403.- Deberán compensarse y serán exigibles en los términos pactados o, según se señale en esta Ley, en la fecha en que la Institución de Seguros entre en estado de liquidación, las deudas y créditos cuando se haya convenido que éstas se transfieran en propiedad al acreedor, resultantes de convenios marco, normativos o específicos, celebrados respecto de Operaciones Financieras Derivadas u otras equivalentes, en los que la Institución de Seguros en liquidación pueda resultar deudora y, al mismo tiempo, acreedora de una misma contraparte, que puedan ser determinadas en numerario, aun cuando las deudas o créditos no sean líquidos y exigibles en la referida fecha pero que, en los términos de dichos convenios o de esta Ley, puedan hacerse líquidos y exigibles.
En el evento de que la Institución de Seguros no resulte deudora y, al mismo tiempo acreedora de una misma contraparte en los convenios a que se refiere el párrafo que antecede, las operaciones correspondientes se darán por terminadas anticipadamente en la fecha señalada en el párrafo mencionado y se liquidarán mediante el pago de las diferencias que correspondan.
El valor de los bienes u obligaciones subyacentes de las Operaciones Financieras Derivadas u otras operaciones equivalentes, se determinará conforme a su valor de mercado en la fecha mencionada en el primer párrafo de este artículo. A falta de precio de mercado disponible y demostrable, el liquidador administrativo podrá encargar a un tercero experimentado en la materia, la valuación de los títulos y obligaciones subyacentes.
El saldo deudor que, en su caso, resulte de la compensación o de la determinación de diferencias permitidas por este artículo, a cargo de la sociedad en liquidación, deberá pagarse conforme al orden establecido en los artículos 436 y 442 de esta Ley. De resultar un saldo acreedor a favor de la sociedad en liquidación, la contraparte estará obligada a entregarlo al liquidador en un plazo no mayor a treinta días contados a partir de la fecha en que se efectúe la publicación en el Diario Oficial de la Federación relativa a la revocación, o de conformidad con los contratos correspondientes cuando el plazo sea menor.
ARTÍCULO 404.- Los bienes que se encuentren en poder de la Institución o Sociedad Mutualista en liquidación, en virtud de contratos de fideicomiso, mandato, comisión o administración, a que se refieren los artículos 118, fracciones XXI a XXIII, 144, fracción XVII, y 341, fracción XII, de esta Ley, no se considerarán parte de los activos de la sociedad.
En las operaciones a que se refiere el párrafo precedente, el liquidador administrativo deberá proceder a la sustitución de los deberes fiduciarios, de mandato, comisión o administración, la cual deberá convenirse con una institución de crédito que cumpla con los requerimientos de capitalización a que se refiere el artículo 50 de la Ley de Instituciones de Crédito, o, según corresponda, con una Institución que pueda realizar esas operaciones conforme a esta Ley y que no se encuentre sujeta a un plan de regularización a los que se refiere el artículo 320 de este ordenamiento. La institución fiduciaria que asuma los deberes mencionados, deberá informar a los titulares de las operaciones correspondientes sobre la substitución efectuada en términos de este artículo, dentro de los treinta días siguientes a que ésta se celebre.
En los casos en que el liquidador administrativo no consiga la substitución de los deberes mencionados, procederá a notificar a los titulares de las operaciones respectivas para que retiren sus bienes dentro del plazo de trescientos sesenta días contados desde la fecha de la notificación. Vencido este plazo, los bienes, documentos y demás papeles que no hubieren sido retirados, serán inventariados y guardados por el liquidador durante el proceso de liquidación y, en su caso, durante el plazo establecido en el artículo 428 de esta Ley, vencido el cual prescribirán a favor del patrimonio de la beneficencia pública.
El liquidador administrativo podrá entregar información relacionada con las operaciones antes mencionadas a las personas con las que se negocie la substitución antes referida, sin que resulte aplicable lo previsto por el artículo 117 de la Ley de Instituciones de Crédito. Durante los procesos de negociación para dicha substitución, los participantes deberán guardar la debida confidencialidad sobre la información a que tengan acceso con motivo de la misma.
ARTÍCULO 405.- Los pagos o cesiones de cartera que se realicen de conformidad con lo previsto en el presente Capítulo, se efectuarán con base en la información que la Institución o Sociedad Mutualista en liquidación, mantenga de acuerdo a lo establecido en los artículos 301 y 302 de esta Ley.
ARTÍCULO 406.- El liquidador administrativo no será responsable por los errores u omisiones en la información a que se refiere el artículo 405 de esta Ley, relativa a los acr

CHAPTER ONE
FACULTIES AND ORGANIZATION
SECTION I
THE COMMISSION
ARTICLE 366.- The Commission is a federal regulatory agency of the Ministry, with technical autonomy and executive faculties in the terms of this Law.
The Commission will have the following faculties:
I. To effect the inspection and surveillance of Institutions and Mutual Insurance Corporations and of the other entities and persons governed by this Law, as provided herein and in other laws related to the financial system;
II. To issue the provisions of a general nature necessary in order to exercise the faculties granted thereto by this Law and other laws and regulations, and for the efficient compliance of same and of any provisions issued based thereon;
III. To issue, within its field of competence, the prudential provisions and rules of a general nature aimed to preserving the solvency, liquidity and financial stability of Institutions and Mutual Insurance Corporations;
IV. To establish the criteria for general application in the insurance and bonding sectors for the acts and operations considered contrary to commercial, insurance and bonding usage, or the healthy practice of said financial markets, and to dictate the necessary measures in order for the Institutions, Mutual Insurance Corporations and other persons and entities subject to its inspection and surveillance to adjust their activities and operations to the laws and regulations applicable thereto, to the provisions of a general nature deriving therefrom and to said usage and healthy practices;
V. To contribute, by the issue of provisions of a general nature to the Institutions and Mutual Insurance Corporations, and other persons and entities subject to its inspection and surveillance, to the insurance and bonding policies coming within the competence of the Ministry;
VI. To participate, under the terms and conditions indicated by this and other laws, in preparation of the regulations, provisions and provisions of a general nature to which these refer;
VII. To dictate rules for recording the operations of Institutions amd Mutual Insurance Corporations, as well as, when applicable, those of other persons and entities governed by this Law;
VIII. To grant, amend or revoke authorizations for organization, operation and working as an Institution or Mutual Insurance Corporation, in the terms of the provisions of this Law;
IX. To decide on the minimum paid-in capital to be covered by Institutions and Mutual Insurance Corporations, in accordance with the provisions of this Law,
X. To carry the General Register of Foreign Reinsurance Companies, in the terms of the provisions hereof;
XI. To carry the register of insurance adjustors, in accordance with the provisions of this Law;
XII. To carry the register of external auditors issuing opinions on the financial statements, and on the independent actuaries returning opinions on the situation and sufficiency of the technical reserves on Institutions and Mutual Insurance Corporations, as indicated by this statute;
XIII. To carry the registration of insurance products, together with the recording of technical notes and contractual bonding documentation, in the terms provided by this Law;
XIV. To authorize applications for the assignment of portfolio of the Insurance Intitutions and Mutual Insurance Corporations, or for assignment of the corresponding rights and obligations on the granting of bonds by Institutions, in the terms provided by this Law;
XV. To authorize applications for the merger of Institutions and Mutual Insurance Corporations, in accordance with the provisions of this statute;
XVI. To authorize applications for the spin-off of institutions, as established by this Law;
XVII. To decide on the days on which the Institutions and Mutual Insurance Corporations should close their doors and suspend operations;
XVIII. To order adoption of the preventive and corrective measures provided for in this Law;
XIX. To impose administrative fines for infringements of this and the other laws and regulations governing the activities, institutions, entities and persons subject to its inspection and surveillance, and of the provisions emanating therefrom;
XX. To be cognizant of and resolve the appeals for revocation filed against penalties applied, and over the applications for full or partial remission of the fines imposed;
XXI. To caution, remove and invalidate, as applicable, members of the board of directors, audit committee, directors general, statutory auditors, directors, managers, trust delegates and executives able to bind the Institutions and Mutual Insufrance Corporations with their signature, together with the external auditors examining the financial statements and independent actuaries reporting on the situation and sufficiency of the technical reserves of Institutions and Mutual Insurance Corporations, in the terms of this Law, and be cognizant of, and resolve on, the appeals filed against these decisions;
XXII. To remove, suspend, discharge and disqualify public servants able to bind a national insurance institution or a national bonding institution with their signatures, and remove the members of their auditing committee, in accordance with the provisions of this Law;
XXIII. To recommend to the Federal Executive, through the Ministry, removal of the director general of a national insurance institution or national bonding institution, in the terms of the provisions hereto;
XXIV. To declare and raise an intervention as management in the Institutions or Mutual Insurance Corporations, in the terms provided in this Law;
XXV. To provide an opinion to the Ministry on the matter of the felonies mentioned herein;
XXVI. To intervene in the processes of liquidation, and in the applications for bankruptcy, of the institutions and Mutual Insurance Corporations, in the terms provided herein;
XXVII. To grant, amend or revoke the authorizations to which this Law refers, provided to the persons and entities governed thereby, other than those required for their organization and operation as Institutions and Mutual Insurance Corporations;
XXVIII. To reject or order the nullification of the self-regulating rules issued by the insurance and bonding institutions in accordance with the contents of this Law, and to recognize and resolve on the appeals filed against these decisions;
XXIX. To order the suspension, removal, dismissal or veto of the directors and executives of the insurance and bonding institutions, in accordance with the provisons of this Law, and to be cognizant of and resolve on the appeals filed against these decisions;
XXX. To investigate those acts of individuals and corporate entities which, not being Institutions or Mutual Insurance Corporations, lead one to suppose the occurrence of operations violating this Law, being able for this purpose to order visits of inspection, in the terms of this ordinance, to those presumed responsible;
XXXI. To order the suspension of operations or official intervention, as provided herein, in businesses, companies or establishments of individuals or corporate entities which engage in activities without the necessary authorization in the terms of this Law, or which close their offices as provided in article 495, last paragraph, of this Law;
XXXII. To act as a consulting agency for the Ministry on insurance and bonding matters, and in the other cases determined by law;
XXXIII. To prepare the annual income and expenditure budgets of the Commission, to be submitted for authorization to the Ministry;
XXXIV. To prepare and publish statistics and documents related to the insurance and bonding systems;
XXXV. To enter into agreements for the exchange of information with national and international organizations having supervisory and regulation functions similar to those of the Commission, and to take part in consultation forums and supervisory and financial regulation agencies at national and international level;
XXXVI. To formalize collaboration agreements with the National Commission for the Protextion and Defense of Financial Service Users, in order to establish the means and channels through which the latter will advise the Commission on comments arising from exercise of the faculties on association contracts, advertising and statements of account provided in this Law and in the Law on the Protection and Defense of Financial Services;
XXXVII. To provide foreign financial authorities with all kinds of information necessary to attend to the requirements arising within their fields of competence, such as documents, proof, records, statements and other evidence held by the Commission, or which it is able to obtain in the exercise of its faculties or acting in coordination with other entities, individuals or authorities.
In the case of the exchange of information protected by secrecy provisions, an agreement for the exchange of information contemplating the principle of reciprocity should have been signed with the financial authorities in question. The Commission can refrain from providing the information requested or require the return of information delivered, when this is to be used for purposes other than that for which it was requested, is contrary to public order, national security or to the terms agreed in the respective agreement for the exchange of information;
XXXVIII. To render an annual report on its work to the Ministry, and
XXXIX. The other faculties attributed thereto by this Law and other legal, regulatory and administrative statutes.
ARTICLE 367.- In order to exercise its faculties, the Commission will have:
I. Managing Board;
II. Presidency;
III. Vice-presidencies;
IV. Directorates General;
V. Managements;
VI. Regional Delegations, and
VII. Such other public servants as may be necessary.
The Regional Delegations of the Commission can, within the area of their geographic jurisdiction, engage in the activities stipulated in their internal regulations.
SECTION II
MANAGING BOARD
ARTICLE 368.- The Managing Board of the Commission will consist of the President of the Commission, who will also be that of the Managing Board, three vice-presidents appointed by the latter, and nine regular members in accordance with the following:
I. Four regular members appointed by the Ministry;
II. A regular member appointed by the National Banking and Securities Commission;
III. A regular member appointed by the National Savings for Retirement Commission;
IV. A regular member appointed by the Bank of Mexico, and
V. Two independent regular members.
For each regular member an alternate will be named who should, in all cases, be an executive of a rank immediately inferior to that of the regular member. The regular members to which sections I to IV of this article refer, should occupy at least the office of director general of Federal Public Administration or its equivalent. The indepenbdent regular members to which section V of this precept refers, together with their alternates, will be appointed by the Ministry and cannot be public servants.
Without prejudice to the contents of the last paragraph of article 371 of the present Law, no person holding office, a mandate, commission or any other legal title bestowed by any Insurance Institution, by a Bonding Institution or by a Mutual Insurance Corporation, or by any other of the persons or entities subject to the surveillance and inspection of the Commission, can act as regular or alternate members of the Managing Board of the Commission; neither can persons who act as external auditors or independent actuaries redturning an opinion on the situation and sufficiency of the technical reserves of any Institution or Mutual Insurance Corporation, or acting as independent experts returning an opinion on the internal models of an institution.
The Managing Board of the Commission can establish committees for specific purposes, which will be made up and function in accordance with any rules which may be adopted by said Managing Board.
The Managing Board of the Commission, at the request of the President, will name a secretary and assistant secretary of Minutes, who should be public servants of the Commission.
ARTICLE 369.- The Managing Board will be responsible for:
I. Approving the issue of provisions of a general nature requiring their agreement in accordance with this Law, in the terms indicated thereby;
II. Granting, amending or revoking authorizations for organization, operation and working as an Institution or Mutual Corporation, in the terms of the provisions to this Law;
III. To determine the minimum paid capital to be covered by Institutions and Mutual Corporations, in accordance with the provisions of this Law;
IV. To authorize applications for the assignment of portfolio of Insurance Institutions and Mutual Insurance Corporations, or for assignment of the obligations and rights corresponding to the granting of bonds by the Institutions, in the terms of the provisions to this Law;
V. To authorize applications for the merger of Institutions and Mutual Insurance Corporations, as established in this statute;
VI. To authorize applications for the spin-off of Institutions, as established in this Law;
VII. To impose monetary sanctions for violations to this and the other laws and regulations governing the activities, institutions, entities and persons subject to the inspection and surveillance of the Commission, and to the provisions of a general nature emanating therefrom. This faculty can be delegated to the President and to other public servants of the Commission, taking into consideration the nature of the violation or amount of the fines;
VIII. To resolve on the motions for revocation filed against the monetary sanctions applied by the Managing Board or by the President of the Commission, and on the applications for full or partial remission of the fines imposed;
IX. To caution, remove and invalidate, as applicable, members of the board of directors, audit committee, directors general, statutory auditors, directors, managers, trust delegates and executives able to bind the Institutions and Mutual Insurance Corporations with their signature, together with the external auditors examining the financial statements and independent actuaries reporting on the situation and sufficiency of the technical reserves of the Institutions and Mutual Insurance Corporations in the terms of this Law, and to resolve on the appeals filed against these decisions;
X. To remove, suspend, dismiss and invalidate public servants able to bind a national insurance institution or national bonding institution by their signature, and remove the members of their audit committee, as provided in this Law;
XI. To recommend through the Ministry, removal of the director general of a national insurance institution or a national bonding institution to the Federal Executive, in the terms of the provisions to this statute;
XII. To declare and establish an intervention with the nature of management in the Institutions or Mutual Insurance Corporations, in the terms provided herein;
XIII. To authorize, on the proposal of the President of the Commission, appointment of the administrative receivers for Institutions and Mutual Insurance Corporations;
XIV. To grant, amend or revoke the authorizations for organization and operation as insurance and bonding consortiums, in the terms of the provisions to this statute;
XV. To grant or revoke the recognition of insurance and bonding organizations, in the terms provided in this Law;
XVI. To reject or order nullification of the rules on self-regulation issued by insurance and bonding organizations, as indicated in this Law, and to resolve on the appeals filed against these decisions;
XVII. To order the suspension, removal, dismissal or rejection of the directors and executives of insurance and bonding institutions in accoirdance with the provisions of this Law, and to resolve on the appeals filed against these decisions;
XVIII. To approve the annual income and expenditure budgets of the Commission, which will be submitted for authorization by the Ministry;
XIX. To approve the reports on exercise of the expenditure Budget of the Commission, in accordance with applicable legal provisions;
XX. To approve the provisions related to the organization of the Commission and the attributes of its administrative units;
XXI. To approve the appointment and removal of the vice-presidents of the Commission, as proposed by the President;
XXII. To appoint and remove, as proposed by the President of the Commission, the secretary and assistant secretary for Minutes;
XXIII. To approve the general working conditions which, as proposed by the President, should be observed between the Commission and its personnel;
XXIV. To be cognizant of and take into consideration the annual report on the work done by the Commission, to be presented thereto by its President;
XXV. To resolve on other matters submitted for consideration by the President of the Commission;
XXVI. To establish committees for specific purposes; and
XXVII. The other faculties conferred thereon by this Law and other legal, regulatory and administrative statutes.
ARTICLE 370.- The Managing Board of the Commission will hold sessions whenever these are convened by the President, and will meet at least every two months.
A quorum will exist when at least eight of the Board members are present. Resolutions will be adopted by majority vote of those present, and the President, who will lead the debates and explain the matters in portfolio, will have the casting vote in the event of a tie.
The resolutions and recommendations approved by the Managing Board will be recorded in a document signed by the President and the Minutes Secretary, and will be notified to the Ministry after each session.
Resolutions adopted by the Managing Board of the Commission will be executory in the terms previously noted, and it will correspond to the President, in the exercise of his faculties, to ensure that they are promptly complied with.
SECTION III
THE PRESIDENCY
ARTICLE 371.- The President of the Commission will be appointed by the Minister. The President must meet the following requirements:
I. He should be a Mexican citizen by birth, not acquiring another nationality, and be in full use of his civil and political rights;
II. Have held, for at least five years, high ranking offices in the Mexican financial system or in agencies, entities or institutions exercising functions of authority in financial matters;
III. Not be a shareholder, nor hold the office of director, statutory auditor, external auditor, independent actuary returning an opinion on the situation and sufficiency of technical reserves, attorney-in-fact, officer, employee or agent of any of the Institutions or Mutual Insurance Corporations, or of the other persons and entities subject to the inspection and surveillance of the Commission.
Not to default on this requirement in the case of investments, in the terms of the provisions of article 372 of the Stock Market Law;
IV. Not to have patrimonial links with the shareholders forming the Holding group of any Institution, or with any of the other persons and entities subject to the inspection and surveillance of the Commission, nor with the first and second level executives of same, and not to be the spouse, nor have a blood relationship with, said persons within the second degree;
V. Not to hold offices of popular election;
VI. Not have been disqualified from exercising commerce or from holding employment, an office or a commission in the public service or in the Mexican financial system, and enjoy recognized moral solvency;
VII. Not have been sentenced under an irrevocable verdict for an intentional felony imposing thereon more than one year’s imprisonment and, in the case of an intentionally-committed crime against property, of whatever sentence, and
VIII. Have no litigation pending with the Commission.
The directors, both regular and alternate, of the Managing Board, vice-presidents and directors general of the Commission, should possess recognized experience in economic, financial, legal or insurance and bonding matters, and will be subject to the provisions of sections III to VIII of this article. Directors who are public servants will be exempted from the contents of section III, with regard to their duty as directors of national insurance institutions or national bonding institutions. .
ARTICLE 372.- The faculties and obligations of the President of the Commission will be:
I. To take charge of the legal representation of the Commission and the exercise of its faculties, without prejudice to those attributed by this Law to the Managing Board;
II. To provide an efficient compliance of its precepts, in the terms of this and other relative laws;
III. To carry out the functions of inspection and surveillance of Institutions and Mutual Insurance Corporations, and of the other persons and entities subject to the inspection and surveillance of the Commission, in the terms of the provisions to this Law;
IV. To present a quarterly report to the Managing Board on the current situation of the insurance and bonding systems and the Institutions and Mutual Insurance Corporations comprising same, together with the pertinent measures to be taken when, in his judgment, facts or situations arise which affect their good working;
V. To propose to the Managing Board draft provisions of a general nature which the Commission is responsible for issuing, with the agreement of this government entity;
VI. To issue the provisions of a general nature necessary for exercising the faculties conferred thereon by this Law and other laws and regulations, for an efficient compliance with same and with any provisions issued based thereon;
VII. To issue, within his field of competence, cautionary provisions and rules of a general nature aimed towards preserving the solvency, liquidity and financial stability of the Institutions and Mutual Insurance Corporations;
VIII. To dictate rules for recording the operations of the Institutions and Mutual Insurance Corporations, together with, as applicable, those of other persons and entities governed by this Law;
IX. To carry the General Foreign Reinsurance Company Register, in the terms of the provisions of this statute;
X. To carry the insurance adjustors register, in accordance with the provisions of this Law;
XI. To carry a register of the external auditors returning opinions on financial statements, and on the independent actuaries returning an opinion on the situation and sufficiency of the technical reserves of Institutions and Mutual Insurance Corporations, as indicated by this statute;
XII. To carry the register of insurance products, together with the register of technical notes and contractual bonding documentation, in the terms contemplated in this Law;
XIII. To determine the days on which Institutions and Mutual Insurance Corporations should shut their doors and suspend operations;
XIV. To order adoption of the preventive and corrective measures provided for in this Law;
XV. To impose the corresponding fines, in the terms of the present and other applicable laws and regulations and the provisions emanating therefrom, further to the faculties delegated thereto by the Managing Board, and propose to the latter entity a partial or full remission of said fines, applying the means of inducement to which this Law refers;
XVI. To be cognizant of, and resolve, on the appeals for remission filed against the fines applied by the public servants of the Commission;
XVII. To open, with the agreement of the Management Board, receivership proceedings of the Institutions and Mutual Insurance Corporations, in the terms contemplated by this Law;
XVIII. To appoint an independent manager in in the cases contemplated in this statute;
XIX. To address an opinion to the Ministry on the felonies considered in this statute;
XX. To intervene in winding-up proceedings, and in the applications for commercial insolvency, of Institutions and Mutual Insurance Corporations, in the terms contemplated by this Law;
XXI. To name, with the agreement of the Managing Board, the official liquidators of Institutions and Mutual Insurance Corporations;
XXII. To grant, amend or revoke the authorizations to which this Law refers, to the persons and entities regulated thereby, other than those required for organization and operation as Institutions and Mutual Insurance Corporations;
XXIII. To investigate those acts by individuals and corporate entities which, while not Institutions or Mutual Insurance Corporations, lead one to suppose the carrying out of operations violating this statute, being able for this purpose, in the terms contemplated herein, order visits of inspection to those presumed responsible;
XXIV. To order the suspension of operations or official intervention, as contemplated herein, of businesses, companies or establishments pertaining to individuals or corporate entities which, without the corresponding authorization, engage in the activities requiring same, or proceed to close their offices;
XXV. To prepare and present for approval by the Managing Board the income and expenditure budgets of the Commission, in the terms of applicable provisions;
XXVI. To prepare and publish statistics and documents on the behavior, organization and working of the insurance and bonding systems;
XXVII. To enter into agreements for the exchange of information and pacts with national and international entities having supervision and regulation functions similar to those of the Commission, and participate in forums for consultation and organizations for financial supervision and regulation at national and international level;
XXVIII. To enter into collaboration agreements with the National Commission for the Protection and Defense of Financial Service Users, in order to establish the methods and channels through which the latter will make known to the Commission the comments deriving from exercise of the faculties on the matter of adhesion contracts, advertising and the statements of account contemplated in this Law and in the Law for the Protection and Defense of Financial Service Users;
XXIX. To provide information to foreign financial authorities, in the terms of the provisions of section XXXVII to article 366 of this Law;
XXX. To report annually to the Managing Board and when the latter so requests, on the work done by the Commission and on any specific cases which the latter requires;
XXXI. To officially address the Commission;
XXXII. To present draft provisions related to the organization of the Commission and to the features of its administrative units, for approval by the Managing Board;
XXXIII. To propose the general working conditions to be observed between the Commission and its personnel, to the Managing Board;
XXXIV. To propose to the Managing Board the appointment and removal of vice-presidents of the Commission, and to appoint and remove the directors general, directors and regional delegates of same;
XXXV. To propose to the Managing Board the appointment and removal of the secretary and assistant secretary for Minutes thereof;
XXXVI. To provide everything necessary for compliance with the programs and correct exercise of the expenditure Budget;
XXXVII. To report to the Managing Board on exercise of the expenditure Budget;
XXXVIII. To report and express an opinion to the Ministry on the specfic cases which the latter requests;
XXXIX. To perform the functions entrusted or delegated thereto by the Managing Board;
XL. To report to the Managing Board on the status and exercise of the faculties delegated thereto by the former;
XLI. To execute the resolutions of the Managing Board;
XLII. To order publication of the provisions of a general nature issued by the Commission in the Official Gazette of the Federation, and
XLIII. Such others as may be assigned thereto by this Law and other legal, regulatory and administrative statutes.
ARTICLE 373.- The President will exercise the faculties conferred thereon under this Law and those delegated to him by the Managing Board, either directly or through the Public Servants of the Commission in the terms of the latter´s internal regulations, or by delegatory resolutions which should be published in the Official Gazette of the Federation.
In the temporary absences of the President of the Commission, he will be replaced in the terms established by the internal regulations of the Commission.
The faculties indicated in sections V to VIII, XIII, XV to XVIII, XXI, XXIV, XXV, XXVII, XXVIII, XXX, XXXII to XXXVII and XLII of article 372 of this statute, will be exclusive faculties of the President of the Commission which cannot be delegated.
ARTICLE 374.- In legal, administrative or labor proceedings to which the Commission is a party or by which it could be affected, the President will, either directly or through the vice presidents or directors general of the Commission appointed for such purpose in the delagatory resolutions, exercise the actions, objections and defenses, make closing arguments, offer proofs, file the pertinent appeals, be able to withdraw from the action, and, in general, effect all the procedural actions which correspond to the Commission or to its elements, including in actions for relief (“amparo”) presentation of the reports required by law. .
The President, the vice-presidents and the directors general will only be obliged to testify in court or render a sworn statement, on behalf of the Commission or by virtue of their functions, when the queries and questions are prepared by means of an official document issued by a competent authority, which will be replied to in writing within the term established by said authority.
SECTION IV
GENERAL PROVISIONS
ARTICLE 375.- The public servants of the Commission must comply with the profile requirements for the position determined by the Commission itself and, as applicable, in accordance with the provisions of the Federal District Government Career Act. .
ARTICLE 376.- The public servants of the Commission are forbidden to engage in operations with the Institutions and Mutual Insurance Corporations, or with the other persons and entities subject to the inspection and surveillance of said Commission, under conditions which are preferential over those offered to the general public.
ARTICLE 377.- The Ministry and the Commission will provide legel defence and assistence services to the persons who have acted as holders, members of their governing entities, executives and public servants, with respect to the actions carried out by such persons in exercising the duties entrusted to them by law.
The manager receivers and administrative liquidators, together with the supporting personnel on whom powers are conferred as necessary for the performance of their duties, will also be subject to legal defence and assistence services for their actions in exercise of the faculties entrusted thereto by law by reason of their duties.
The legal assistence and defence will be provided chargeable to the resources held for this purpose by the Ministry and the Commission. In accordance with the guidelines of a general nature approved, firstly, by the Minister or by the Managing Board of the Commission, which should provide for the eventuality that, in the event the competent authority returns a formal resolution to be exercised against the subject of the legal assistence, said subject must reimburse the Ministry or the Commission, as applicable, for the costs and any other expense incurred by reason of the legal assistence and defence.
For the effect of the provisions of this article, the Ministry and the Commission, within their respective fields of competence, will establish the necessary methods to cover the costs and any other expenditure resulting from the legal assistence and defence contemplated in this article.
The provisions of this article will be applied, without prejudice to the obligation of those receiving the legal assistance and defence of rendering such reports as may be required of them, in the terms of applicable legal provisions, as part of the performance of their duties.
ARTICLE 378.- The Ministry and the Commission, the members of their Managing Board, the executives and public servants working at the Ministry and in the Commission, will not be responsible for any losses suffered by the Institutions and Mutual Insurance Corporations by reason of their insolvency, financial deterioration or from the loss of value of their assets during the liquidation or commercial insolvency proceedings; or by reason of any patrimonial damage, when in adopting the corresponding decisions they have acted in lawful exercise of the duties entrusted thereto by law.
Should the responsibility to which article 379 of the present Law be determined, public servants can only be required to pay any indemnity which may have been made to individuals when, upon completion of the disciplinary law action contemplated in the Federal Civil Servants´ Obligations and Administrative Liability Act, their responsibility is determined due to an administrative oversight having the nature of a serious violation, in accordance with the criteria established in this same Law and taking the provisions of the present article into consideration.
The manager receivers and administrative liquidators of Institutions or Mutual Insurance Corporations appointed by the Commission in the terms of this Law, together with auxiliary personnel on whom said manager receivers and administrative liquidators confer powers as necessary for the performance of their duties contemplated herein, will not be responsible for losses suffered by the Institutions or Mutual Insurance Corporations arising from their insolvency or financial deterioration, when in adopting the corresponding decisions they have acted in the lawful exercise of their duties. Nor will they be responsible when said losses or financial deterioration of the Insurance Institution, Bonding Institution or Mutual Insurance Corporation in question, arise for any of the following reasons:
I. The absence of increases to capital which should be made by the shareholders of the Institution, or the absence of contributions to the social fund in the case of Mutual Insufrance Corporations;
II. Absence of payment by debtors of the Institution or Mutual Insurance Corporation;
III. Deterioration in the value of the assets of the Institution or Mutual Insurance Corporation during the intervention process with the nature of management or administrative liquidation;
IV. Deficiencies in the recording of assets or the technical reserves or other liabilities of the Institution or the Mutual Insurance Corporation, or
V. An increase in the cost of payment for accidents of the Institution or Mutual Insurance Corporation arising from misappropriations in the accident rate; an increase in the cost of payment claims for bonds of the Institution due to a change in the pattern of claims, or because of absence or deterioration of the rights to recovery; or by withholding risks or liabilities above the financial capacity of the Institution or Mutual Insurance Corporation;
For the effect of the provisions of this article, it will be understood that the individuals referred to herein acted in the lawful exercise of their duties and will not be considered responsible for damages and losses, except when the actions causing same were effected fraudulently for the purpose of obtaining an unlawful profit either for themselves, or for third parties.
ARTICLE 379.- Actions taken by the Ministry and the Commission will not be considered improper administrative activities and will not, therefore, be the object of equity responsibility by the State when effected in compliance with the provisions of the present Law.
The payment of an indemnity can only be claimed in the terms of the Federal Government Liability Act, in the event that it is legally verified without question that, on adopting the decisión to which article 447 of the present Law refers, the presumption of extinction of capital contemplated in the present article was not updated, thus said decision gave rise to a patrimonial loss, indemnization of which is claimed by the interested party. There is an exemption to the obligation to indemnify, in addition to the presumptions of exception expressly considered in the Federal Government Liability Act, when the information available at the moment of adopting the corresponding decision , taken as the base for same, had not permitted any other resolution to be reasonably adopted. The information mentioned will comprise that which Institutions and Mutual Insurance Corporations should classify and retain in their automative data processing and conservation systems, in accordance with the contents of articles 301 and 302 of this Law.
ARTICLE 380.- The Commission can provide the Ministry, the Bank of Mexico, the National Banking and Securities Commission, the National Commission of the Savings for Retirement System and the National Commission for the Protection and Defense of the Users of Financial Services which such assistence as they may request in the exercise of their functions, for which purpose it can provide them with the information and documentation it holds with respect to the Institutions and Mutual Insurance Corporations, together with the other persons and companies subject to inspection and surveillance by the Commission, without this implying a violation of the confidencial treatment to be observed in accordance with applicable legal provisions.
The requirements for information contemplated in article 117 of the Credit Institutions Law with respect to the operations to which article 118, sections XXI to XXIII, and 144, section XVII of this statute refer, together with those related to the provisions of article 190 of this Law, will be drawn up, as applicable, through the Commission.
ARTICLE 381.- The Commission will publish in the Official Gazette of the Federation the provisions of a general nature issued in exercise of the faculties conferred thereon under this, or other, laws, together with the official documents which, in compliance with law, are to be published in the same medium,

SECOND CHAPTER
INSPECTION AND SURVEILLANCE
ARTICLE 382.- The inspection and surveillance of Institutions and Mutual Insurance Corporations, together with that of the other persons and entities regulated by the present Law and the respective regulations, will be entrusted to the Commission, which will implement same in accordance with the provisions of this Law, the respective regulations, and the other provisions applicable thereto.
The Commission can make visits and request information from Institutions and Mutual Insurance Corporations, and from the other persons and entities to which this Law refers, for the purpose of reviwing, verifying, checking and evaluating, as applicable, the operations, organization, working, processes, internal control, risk administration and information systems, reinsurance, rebonding and the diversification of risk and responsibility operations, together with the patrimony, adjustment of the capital to the risks, the quality of the assets, an estimate of the liabilities and, in general, everything which could affect the financial and legal position, appears or should appear in the records, in order for said persons to adjust themselves to compliance with the provisions which govern them and to the healthy practices of the matter at issue.
The Commission is likewise able, in the exercise of its faculties, to investigate facts, acts or omissions of those which can be presumed to violate this Law, regulations and other provisions deriving therefrom.
ARTICLE 383.- The Commission, as a result of its inspection and surveillance faculties, will be able to comment and order the adoption of measures aimed towards correcting the facts, acts, omissions or irregularities it has detected as due to said functions, in the terms of this Law.
ARTICLE 384.- The Insurance Institutions authorized to operate the health sector to which article 25, section II, insert c) of this Law refers, will also be subject to the inspection and surveillance of the Ministry of Health exclusively over the health products and services forming the subject mnatter of the insurance policies they formalize. When said Ministry, due to exercise of the foregoing functions, detects any irregularity related to said products and services, it will so advise the Commission in order for the latter to proceed to impose fines in accordance wigth the provisions of this Law.
ARTICLE 385.- The visits of inspection undertaken by the Commission in the terms of article 382 of this Law, can be ordinary, special or for investigation;
I. Ordinary visits will be carried out at the Institutions and Mutual Insurance Corporations. In accordance with the annual program established by the Commission for such purpose;
II. Special visits will be those which, without being included in the annual program mentioned in section I of this article, are practiced on the Institutions and Mutual Insurance Corporations , as well as on the other persons and entities subject to the inspection and surveillance of the Commission, in any of the following cases:
a) In ordser to examine,and, as applicable, correct operative situations;
b) In order to provide follow-up on the results obtained from a visit of inspection;
c) When changes or modifications occur in the accounting, legal, economic, financial, technical or administrative situation of an Instigtution or Mutual Insurance Corporation.
d) When an Institution or Mutual Insurance Corporation commences operations after preparing the annual program to which section I of this article refers;
e) In order to verify compliance with the requirements for commencement of operations of the Institutions, Mutual Insurance Corporations and Reinsurance Brokers;
f) When acts, facts or omissions occur in an Insurance Institution, a Bonding Institution or a Mutual Insurance Corporationshich were not originally contemplated in the anual program to which section I of this article refers, motivating the taking place of the visit, or
g) When they derive from international cooperation, and
III. On-site investigations will take place whenever the Commission has been advised of the commissioning of behavior which appears to conflict with the provisions of this Law, the respective regulations and other provisions of a general nature emanating from this statute;
In all cases, the visits of inspection to which this article refers will be subject to the provisions of this Law, the regulations to which article 382 of this statute refers, and the other provisions applicable thereto;
ARTICLE 386.- Institutions and Mutual Insurance Corporations, together with the other persons and entities subject to the inspection and surveillance of the Commission, will be obliged to provide the inspectors with all the support they require, supplying the data, documents, records, Minute books, auxiliary records, documents, corespondence and, in general, the documentation, disks, tapes or any other means for the storage of data which can be processed which they have, and which the inspectors consider necessary for compliance with their assignment, being entitled to access to their offices, premises and other facilities.
ARTICLE 387.- When, in the course of the inspection process contemplated in articles 385 and 386 of this Law, the Commission so requires, he can contract the services of auditors and other professionals to aid him in this matter.
ARTICLE 388.- The surveillamnce effected by the Commission will be carried out by analyzing the accounting, legal, economic, financial, technical, reinsurance, rebonding, administrative, processes and proceedings information obtained by the Commission based on applicable provisions, for the purpose of evaluating adherance to the standards governing the Institutions and Mutual Insurance Corporations, as well as the stability, solvency, liquidity and correcxt working of same.
ARTICLE 389.- The Institutions and Mutual Insurance Corporations, together with the other persons and entities subject, in the terms of this Law, to the inspection and surveillance of the Commission, should render thereto, in the form and terms established for such purpose under provisions of a general nature, the reports and evidence on their organization, operations, accounting, investments or patrimony requested therefrom for the purposes of regulation, supervisión, control, inspection, surveillance, statistics and other functions which they exercise, in accordance with this Law or other legal, regulatory and administrative provisions. .
The Commisasion, in the provisions of a general nature to which this article refers, will decide on the information to be provided thereto on their operations by Institutions and Mutual Insurance Corporations, in order to engage in prospective surveillance functions to allow the identification of problems requiring the adoption of measures of a preventive nature.
The provisions of a general nature contemplated in this article can establish the use of equipment, electronic or optical media or those of any other technology, automated data processing systems and telecommunications networks, whether private or public, indicating the bases for determining the user’s means of identification and the responsibilities corresponding to their use.
Use of the identification media established in accordance with the provisions of this article to replace the autographic signature, will produce the same effect accorded by Laws to the corresponding documents and, therefore, will have the same probatory value.
Without prejudice to the information and documentation that Institutions and Mutual Insurance Corporations, together with the other persons and entities which are subject in the terms of this Law to inspection and surveillance by the Commission, should provideperiodically, the Commission can, within the sphere of applicable provisions, ask them for any other information or documentation required in order to be able to comply with its surveillance activities.
ARTICLE 390.- In the exercise of its inspection and surveillance activities, the Commission will make known, in the form and terms indicated by the Commission under provisions of a general nature, information with regard to: the accounting, technical and financial situation of the Institutions and Mutual Insurance Corporations; and the compliance on their part with the requirements on technical reserves, coverage of the Investment Base, the requirement for solvency capital and the Direct Admissible Funds required to support same, and also with respect to the mínimum paid-in capital that must be maintained.
The Commission itself will make known, in the form ands terms indicated thereby under provisions of a general nature, information with regard to the operation of the other persons and entities that, in the terms of this Law, are subject to its inspection and surveillance.
ARTICLE 391.- must, at any time, justify and verify the existence of the assets in which their resources are invested, in the manner, terms and with the documents determined by the Commission.
The Commision can, at any time, request certificates with respect to the assets or credits of Institutions and Mutual Insurance Corporations from the corresponding Public Register.
ARTICLE 392.- Institutions and Mutual Insurance Corporations, together with the other persons or entities subject, under this Law, to inspection and surveillance by the Commission, and should pay the amounts corresponding to these services in the terms of applicable legal provisions. The amounts corresponding to the inspection and surveillance services to which this article refers, will be utilized to cover the Budget of the Commission.
TWELFTH TITLE
LIQUIDATION AND COMMERCIAL INSOLVENCY
FIRST CHAPTER
OFFICIAL LIQUIDATION
SECTION I
ORDINARY PROVISIONS
ARTICLE 393.- Official liquidation proceedings are of public order, a n will be subject, to protect the interests of creditors under insurance or bonding contractsof the Institutions or Mutual Insurance Corporations, will be subject to the provisions of the present Chapter in order to effect payment of the liquidation amounts corresponding to the latter and to other creditors in the shortest time possible, and obtain the maximum recovery value on the assets of these corporations.
ARTICLE 394.- The Institution or Mutual Insurance Corporation which has commenced operations, will enter a state of official liquidation when the Commission declares that the authorization has been revoked, except in the case provided for in article 443 of this Law.
ARTICLE 395.- The official liquidator appointed will take office as from notification to the Institution or Mutual Insurance Corporation of the official communication revoking the authorization, without prejudice to subsequently effecting the corresponding entry in the Public Commercial Register, no requirement being neceesary other tan presentation to said Register.
For a suitable compliance with his duties, the official liquidator can request the aid of law enforcement officers, and the competent authorities are therefore obliged to provide this aid to the extent and for all the time it may be necessary.
ARTICLE 396.- The official liquidation will be entrusted to a liquidator appointed by the President of the Commission, with the agreement of his Managing Board. Credit Institutions or the individuals or corporate entities having experience in corporate liquidation can be liquidators.
In the case of individuals, appointment of the official liquidator should fall upon those possessing technical quality, honesty and a satisfactory credit history, and meegting the following requirements:
I. To be resident in national territory in the terms of the Tax Code of the Federation;
II. To be entered in the register carried by the Federal Institute of Specialists in Commercial Insolvency; Bankruptcy;
III. To file a special credit report in accordance with the Credit Information Company Act, provided by credit information companies, containing the antecedents for at least fiuve years prior to the date on which it is intended to file the charge;
IV. Not to have any litigation pending against the Institution or Mutual Insurance Corporation in question;
V. Not to have been sentenced for economic crimes, nor barred from engaging in commerce or from holding an employment, office or commission in the public service or in the Mexican financial system;
VI. Not to be declared insolvent nor bankrupt without having been rehabilitated;
VII. Not to have held the office of external auditor returning an opinión on the financial statements or independent actuary certifying the sufficiency of the technical reserves of the Institution or Mutual Insurance Corporation, or of any of the companies comprising the Business Group to which the latter pertains, within the twelve months immediately prior to the date of the appointment, and
VIII. Not to be disabled from acting as a inspector, bankruptcy referee or receiver, nor have conflicts of interest, in the terms of the Commercial Insolvency Law;
In the cases where corporate entities are named as liquidators, the individuals named to perform the activities linked to this function must comply with the requirements to which this article refers.
Persons who fail to comply with any of the requirements contemplated in this article, should refrain from accepting office and record this circumstance in writing..
In the case of national insurance institutions and national bonding institutions, appointment of the liquidator corporations must adjust to the provisions of the final paragraph of article 4 of this Law.
ARTICLE 397.- Temporary absences of the oficial liquidators will be covered by immediate appointment made by the President of the Commission. Permanent absences will be covered by appointment by the President of the Commission, with the agreement of his Managing Board.
Appointment of the oficial liquidators can be revoked. The substitute liquidators will remain in the performance of their duties until they hand over to the person named to replace them.
Except in the case of credit instutions, the liquidators should guarantee their correct performance in each official liquidation for which they are named, in the terms and amounts applicable to inspectors, bankruptcy referees or receivers, in accordance with article 327 of the Commercial Insolvency Law.
The guarantee to which the previous paragraph refers will not be cancelled until the accounts of the liquidator have been approved, as applicable.
ARTICLE 398.- The project prepared by the official liquidator for covering the expenses and fees necessary to carry out the liquidation of the corporation, together with the respective calendar project, should be approved by the Commission in accordance with the guidelines issued for such purpose by the Commission itself, with the approval of its Managing Board.
The fees of the official liquidator will be fixed at the time of his appointment, in accordance with the guidelines to which this article refers.
The expense concepts to which the present article refers will be paid chargeable to the Institution or Mutual Insurance Corporation in liquidation.
ARTICLE 399.- The oficial liquidators named in accordance with the precepts of this Chapter, will be legal representatives of the Institution or Mutual Insurance Corporation in question, and will have the broadest powers of dominionapplicable by law , those conferred thereon in this Law and those deriving from the nature of their office. They will therefore enjoy full general powers for acts of dominion, of administration and for lawsuits and collections, with the faculties requiring a special clause in accordance with law, and to subscribe to credit instruments, file denouncements, accusations, withdraw from the latter, and to grant pardon.
As from the date on which the Institution or Mutual Insurance Corporation is notified of revocation of the authorization to act as such, their assembly of shareholders or policyholders, their board of directors, their statutory auditors, their managing director or equivalent, and other executives and employees, together with their attorneys-in-fact, will cease in their functions, except for those executives or employees which the official liquidator decides should continue in office.
The official liquidator, under his responsibility, can confer such powers as he considers convenient, and revoke those he confers. Likewise, he can appoint and revoke trust delegates.
The official liquidators will respond as legal representatives for their actions in excess of the limits of their office. .
ARTICLE 400.- Once the Institution or Mutual Insurance Corporation enters in a state of liquidation, the official liquidator or agent whom the latter appoints, will receive the administration of the corporation.
The receipt to which this article refers will cover all the assets, books and documents of the Institution or Mutual Insurance Corporation in liquidation, for which purpose the persons to whom the preceding paragraph refers should prepare a detailed inventory, identifying those assets held by the corporation for the account of third parties. Without prejudice to the foregoing, receipt on the part of the official liquidator will be effected with the reserves of law.
It will be presumed that all the correspondence arriving at the domicile of the corporation in liquidation is related to the operations of same, therefore the official liquidator, once he is in charge of the administration, can receive and open same without requiring the presence or authorization of anyone whatsoever.
ARTICLE 401.- As from the date on which an Institution or Mutual Insurance Corporation enters in a state of oficial liquidation, the appointed liquidator will have the following obligations:
I. To collect what is owed to the corporation;
II. To sell the assets of the corporation;
III. To take steps to:
a) Assign the insurance, reinsurance or rebonding contract portfolios of the Institution or Mutual Insurance Corporation, and pay the liabilities deriving from these contracts, or
b) Assist bond beneficiaries in procuring a substitution of their guarantees or in the process of their assignment to another institution, and pay the liabilities deriving from these contracts;
IV. Pay the other liabilities for which the corporation is responsible;
V. As applicable, to pay the shareholders or policyholders their equity, and
VI. To take the other action aimed towards concluding the liquidation.
The foregoing, in accordance with liquidation operations and the order of payment contemplated in the present Chaper.
The liquidator should effect the initial balance of the liquidation in order for value of the assets of the Institution or Mutual Insurance Corporation to be determined in accordance with applicable accounting registration standards. Said balance should be examined by a specialized third party of recognized experience cointracted by the liquidator for this purpose.
ARTICLE 402.- The official liquidator will establish the terms and conditions under which the offices and branches of the Institution or Mutual Insurance Corporation in liquidation will remain open to attend clientele in the operations determined by the liquidator himself. The liquidator should make known said terms and conditions to the general public, by means of a notice published in the Official Gazette of the Federation and in a newspaper of broad national circulation.
ARTICLE 403.- Debts and credits should be compensated and will be requirable in the terms agreed or, as indicated in this Law, on the date the Insurance Institution enters a state of liquidation, when it has been agreed that these will be transferred in owership to the creditor resulting from frame, normative or specific agreements formalized in connection with Derivate Financial Operations or other equivalents, in which the Insurance Institution in liquidation could be the debtor and, at the same time, creditor of the same associate, which van be determined in numbers even when the debts or credits are not liquid and requirable on said date but which, in the terms of said agreements or of this Law, can become liquid and requirable.
In the event that the Insurance Institution is not a debtor and, at the same time, creditor of a same associate in the agreements to which the previous paragraph refers, the corresponding operations will be terminated early on the date indicated in said paragraph and will be settled by payment of the corresponding differences.
The value of the underlying assets or obligations of the Derivate Financial Operations or other equivalent operations, will be determined according to their market value on the date mentioned in the first paragraph of this article. In the absence of an available and provable market price, the official liquidator can charge a third party expert on the matter, to evaluate the underlying securities and oibligations.
Any debit balance which may result from the compensation or determination of differences permitted by this article payable by the corporation in liquidation, should be paid in accordance with the order established in articles 436 and 442 of this Law. Should a credit balance result in favor of the corporation in liquidation, the associate is obliged to deliver this to the liquidator within a term not to exceed thirty days counted as from the date on which in which the publication of the revocation takes place in the Official Gazette of the Federation, or in accordance swith the corresponding contracts, whichsoever is less.
ARTICLE 404.- The assets in possession of the Institution or Mutual Insurance Corporation in liquidation under trust, mandate, commission or administration contracts, to whichb articles 118, sections XXI to XXIII, 144, section XVII, and 341, section XII, of this Law refer, will not be considered part of the corporate assets.
In the operations to which the preceding paragraph refers, the official liquidator should proceed to substitute the trust, mandate, commission or administration duties, which should be agreed with a credit institution complying with the capitalization requirements to which article 50 of the Credit Institutions Law refers, or, as applicable, with an institution able to engage in these operations in accordance with this Law and which is not subject to a regularization plan of those to which article 320 of this statute refer. The trust institution assuming these duties should inform those involved in the corresponding operations as to the replacement effected in the terms of this article, within the thirty days following the formalization of same..
In cases where the official liquidator fails to obtain substitution of the duties mentioned, he will proceed to notify those involved in the corresponding operations in order fcor them to withdraw their assets within the term of three hundred and sixty days counted from the notification date. Once this term has expired, the assets, documents and other papers which have not been withdrawn, will be listed in an inventory and kept by the liquidator during the liquidation process and, as applicable, during the term established in article 428 of this Law, and once this has expired they will prescribe in favor of the patrimony of public welfare.
The official liquidator can deliver information related to the foregoing operations to the persons with whom he negotiates the substitution mentioned above, witbhout the provisions of article 117 of the Credit Institutions Law being applicable. During the negotiation processes for said substitution, the participants should guard due confidentiality on the information to which they have access as a result of same.
ARTICLE 405.- The payments or assignments of portfoliolo taking place in accordance with the provisions of the present Chapter, will be effected based on the information which the Institution or Mutual Insurance Corporation in liquidation, maintains in accordance with the provisions of articles 301 and 302 of this Law.
ARTICLE 406.- The official liquidator will not be responsible for errors or omssions in the information to which article 405 of this Law refers, on the creditors and nature of the obligations maintained by the Institution or Mutual Insurance Corporation in liquidation, originating prior to the appointment of the liquidator and deriving from a failure to record the credits payable by the corporation in liquidation, or any other error in the accounting, records or other information of said Institution or Mutual Insurance Corporation in liquidation.
