Estoy traduciendo el registro de unas minutas de una asamblea extraordinaria de accionistas de una empresa venezolana, en la que se decide concentrar en un solo documento el documento constitutivo, los estatutos y sus reformas.

En la sección correspondiente a las asambleas:

"Las Asambleas, Ordinarias o Extraordinarias, se considerarán válidamente constituidas para deliberar cuando estén representadas en ella al menos el setenta y cinco por ciento del capital social. Cuando una asamblea sea convocada y no concurra en ella el número de accionistas que representa la proporción antes señalada, **se procederá de acuerdo a** las normas del Código de Comercio que rigen esta materia."

Mi opinión (y mi costumbre al traducir estas cosas):

No podemos poner el sujeto "we" (nosotros), porque no sería coherente con el texto.

"The meeting shall be conducted..." puede ser o no ser correcto. Depende de cuáles sean las normas del Código de Comercio.
Es posible que sencillamente, no haya Junta y sea preciso convocar una nueva (por ejemplo).

Si bien las fórmulas "in accordance with" y "pursuant to" son correctas, la verdadera dificultad de la frase está en traducir la pasiva refleja "se procederá". Creo que no hay traducción exacta de esta expresión en inglés y que hay que atenerse al sentido de la frase, que es que "se aplicarán las normas del Código de Comercio". Es lo mismo que "se estará alo dispuesto por..." Es preferible traducir el sentido reescribiendo la frase.
