I. INTRODUCTION

EMPRESAYY was the company that, for many years, maintained a telephone service monopoly in Puerto Rico and, at present, remains the largest telecommunications company on the Islands of Puerto Rico, Vieques and Culebra. EMPRESAYY now seeks to expand in order to penetrate the cable television market (hereinafter “cable-TV”) in Puerto Rico. Both federal law and the laws of the islands require that all cable-TV providers obtain a franchise validly issued by the Telecommunications Regulatory Board (hereinafter “Regulatory Board”) as a condition prior to the construction or operation of a cable-TV system. El Contratista mediante el presente Contrato reconoce y acuerda que el Contratista y cada una de sus socios, personal, relacionados y subcontratistas es independiente y no es un representante legal o un agente de la Contratante o de alguna de sus relacionados para ningún propósito y que no tiene el derecho ni la autoridad de incurrir, asumir o crear, por escrito o de manera alguna, ninguna garantía, responsabilidad u obligación, expresa o implícita, en nombre de o en representación de la Contratante o de alguna de sus relacionados para propósito alguno incluyendo, sin limitación, en manera alguna que resultare o pudiera resultar en una violación o contravención de las disposiciones de la FCPA o de la CFPOA. El Contratista acuerda que si en algún momento recibe alguna solicitud relacionada con la Contratante o con cualquiera de sus relacionados o con el Proyecto que el Contratista crea razonablemente pudiera constituir una violación a la Ley Aplicable (incluyendo, sin limitación, FCPA o CFPOA), el Contratista le notificara inmediatamente a la Contratante y le entrega da todos los datos relevantes relacionados con dicha solicitud. (ii) Todos los pagos al Contratista que se efectúen conforme al presente Contrato se harán exclusivamente mediante cheque o transferencia bancaria; no se harán pagos en efectivo ni con documentos al portador y ningún pago se hará a ninguna empresa o persona que no sea el Contratista. (iii) El Contratista declara que esta familiarizado con FCPA y CFPOA y sus propósitos en particular, que esta familiarizado con las disposiciones que prohíben el pago o la entrega de alguna cosa de valor, sea directa o indirectamente, a un funcionario de gobierno extranjero con el propósito de influir en un acto o decisión en su condición oficial, o inducirlo a usar su influencia con el gobierno extranjero para ayudar a una compañía a obtener o retener negocios o una ventaja en el curso de los negocios, para o con, o de orientar el negocio hacia una persona en particular. (iv) El Contratista además declara y acuerda que ninguno de los socios, propietarios, mandantes y miembros del personal del Contratista son funcionarios, ejecutivos o representantes de ningún gobierno y que ninguna parte de la remuneración que se le otorgara al Contratista de conformidad con el presente será aceptada o usada por el Contratista para ningún propósito, ni que tomara ninguna medida que constituya una violación de alguna ley de las diversas jurisdicciones en las que preste servicios o de los Estados Unidos o Canadá, incluyendo la FCPA y la CFPOA. Por su parte, la Contratante declara y acuerda que no desea y no solicitara ningún servicio o acción por parte del Contratista que constituya o que pudiera constituir una violación de esta naturaleza. (v) El Contratista reconoce y la Contratante declara que ningún agente o empleado de la Contratante tendrá autoridad para dar ninguna instrucción expresa o implícita, sea escrita u oral, autorizando al Contratista a hacer algún compromiso con un tercero en representación de la Contratante, contraviniendo los términos de este Contrato. (vi) La Contratante puede considerar que la violación a esta sección constituye un incumplimiento grave de este Contrato y de cualquier otro contrato con la Contratante y poner termino por incumplimiento a todos los contratos con el Contratista, sin perjuicio de ejercer los demás recursos que contemple la ley o la equidad. (vii) El Contratista no emitirá comunicados de prensa, avisos publicitarios, material de publicidad, prospectos, documentos financieros o asuntos similares ni participara en entrevistas con los medios que mencione o se refiera a la Contratante sin el previo consentimiento por escrito de esta ultima. (viii) El Contratista y la Propietaria acuerdan entregar la información, suscribir y entregar los instrumentos y documentos y adoptar todas las demás acciones que sean necesarias o que la otra Parte solicite razonablemente, que no sea inconsistente con las disposiciones de este Contrato y que no involucre asumir otras obligaciones distintas de aquellas establecidas en este Contrato, con el objeto de dar plena vigencia a este Contrato y para llevar adelante el propósito de este Contrato.

EIGHTH: Other provisions. (i) Each party signing this contract agrees to comply and ensure the compliance of their partners, personnel, and subcontractors with all laws and regulations applicable to the parties regarding the matters set forth in this document and to not take action and ensure no action of any kind be taken by their partners, personnel, contacts, or subcontractors that may violate such laws or regulations or that could violate any provision of the U.S. Foreign Corrupt Practices Act (FCPA), the Corruption of Foreign Public Officials Act of Canada (CFPOA) or the Canadian Criminal Code including, but not limited to, offering, paying for, or giving anything of value, either directly or indirectly, to an official or employee of any government, department, agency or instrument of the same, or to any person acting in an official capacity or representing any government, department, agency or instrument of the same, or any political party or any candidate for political office with the intention of influencing acts or decisions of his/her official capacity or to induce him/her to perform or not perform any act in violation of his/her legal duty or to use his/her influence on any government to help one of the parties or any of their respective partners, or employees and/or contacts to obtain or retain businesses, or advantages in the course o business, with the aim of, or used for, steering business to the benefit of any particular person. The Contractor hereby acknowledges and agrees that the Contractor and all the Contractor’s partners, personnel, contacts and subcontractors are independent and are not legal representatives or agents for the Client or any of the Client’s contacts for any reason and do not have the right or authority to incur, assume or create, in writing or otherwise, any guarantee, liability or obligation, be it express or implied, in name of or representing the Client or any of his contacts for any reason at all including, but not limited to, anything in violation of or that could violate the provisions of the FCPA or the CFPOA. The Contractor agrees that if at any time the Contractor receives any requests regarding the Client, any of the Client’s contacts, or regarding the Project that the Contractor reasonably believes could constitute a violation applicable law (including but not limited to the FCPA or CFPOA), the Contractor shall immediately notify the Client and shall provide the Client with all the relevant information regarding such a request. (ii) All payments to the Contractor in accordance with this contract shall be made by check or bank transfer only; cash payments and bearer instruments are prohibited, and no payments shall be made to any person or company other than the Contractor. (iii) The Contractor states that he is familiarized with the FCPA and CFPOA, and in particular the purposes thereof, that he is familiarized with the provisions that prohibit paying or giving anything of value, either directly or indirectly, to a foreign government official with the intention of influencing acts or decisions of his official capacity or to induce him to use his influence with a foreign government to help a company obtain or retain businesses, or advantages in the course of business, with the aim of, or used for, steering business to the benefit of any particular person. (iv) The Contractor furthermore states and agrees that none of his partners, owners, constituents, or personnel members are officials, directors or representatives of any government and that no part of the remuneration awarded to the Contractor in accordance with this contract shall be accepted or used by the Contractor for any purpose, and the Contractor shall not take any action constituting a violation of any U.S. or Canadian laws or laws in the many jurisdictions where services are provided, including the FCPA and the CFPOA. Moreover, the Client states and agrees that he does no wish to and shall not solicit any service or action from the Contractor constituting or that could constitute a violation of this nature. (v) The Contractor acknowledges, and the Client states that no agent or employee of the Client shall have the authority to give any express or implied instruction, be it spoken or in writing, authorizing the Contractor to make any commitment with a third party representing the Client, violating the terms of this contract. (vi) The Client may consider a violation of this section to constitute a serious breech of this contract, or any other contract with the Client, and terminate all contracts with the Contractor for breech, without prejudice to other remedies provided for by law or equity. (vii) The Contractor shall not issue press statements, advertisements, advertising materials, prospectuses, financial documents or similar items nor shall the Contractor participate in media interviews mentioning or referring to the Client without the Client’s prior written consent. (viii) The Contractor and the Owner agree to deliver all information, sign and deliver all instruments and documents, and adopt all other actions that may be necessary or reasonably requested by the other Party, provided they are consistent with the provisions of this contract and do not involve assuming other obligations apart from those set forth herein, so that this contract may take full effect and achieve the objects hereof.

a.- El Sr. X o sus causahabientes tendrán opción preferencial para adquirir la totalidad de los derechos propiedad de la Compañía ABC a la fecha. Esta opción tendrá una duración de noventa días continuos, contados a partir del día en el cual cese la relación laboral.

b.- Para el caso que el Sr. X o sus causahabientes no ejercieren la opción, entonces y en tal caso, la Compañía ABC podrá adquirir los derechos del Sr. X o sus causahabientes.

c.- Si ninguna de las partes ejerciere los derechos establecidos en los ordinales anteriores, el inmueble se pondrá en venta y el producto se repartirá en proporción a la participación de cada quien. Si éste fuere el caso, el Sr. X o sus causahabientes se compromete a desalojar el inmueble dentro de los ciento ochenta (180) días continuos contados a la fecha en la cual cese la relación laboral.

SÉPTIMA: Para todos los efectos de este contrato se utilizará como base para determinar el valor del inmueble el procedimiento establecido en la cláusula tercera.

8.-PROHIBICIÓN DE OPERACIÓN DE CRÉDITO.- Esta póliza no garantiza el pago de títulos de crédito, como letras de cambio y pagarés, ni el pago de préstamos que deban solventarse en dinero. El análisis de este cruce empieza en el lugar en el que dejamos el anterior: por la historia. Si ese fuera el único criterio, aquí claramente el favorito sería Equipo A. Por antecedentes en torneos y entre ellos, por la localía.


El problema para Equipo A es que, a la hora de jugar, no hay mucho más, y quizás haya habido mucho menos. Si uno se abstrae de lo histórico, hoy por hoy los argumentos colombianos son más y mejores.

Equipo B se mostró sólido como equipo y compensó la ausencia de su gran figura (Jugador B1) con la aparición de otras (Jugador B2 y Jugador B3). Además, tiene altos rendimientos individuales en cada línea y sincronización de conjunto tanto para defender como para atacar.

Equipo A, en cambio, perdió la organización defensiva sobre la que Técnico A construyó su equipo. Tiene un mediocampo que deja dudas en la tarea de contención y que no consigue tener la pausa necesario para que arriba haya algo más que vértigo. Y eso que Jugador A apareció en varios momentos clave, a diferencia de quienes como Jugador A2, Jugador A3, Jugador A4 y Jugador A5 deberían cargar con mayor parte de las responsabilidades en el ataque.

A Equipo A claramente le falta tanto un cinco clásico como un generador de juego. El eje Jugador A6-Jugador A7, la dupla que seguramente jugará ante la ausencia de Jugador A8, no debería resolver el primer problema. Jugador A9 en esa posición podría hacerlo, pero sería sacar de la defensa al que hasta ahora fue el hombre más confiable.

En cuanto a la transición demasiado acelerada, seguramente siga sucediendon al no contar con nadie que cumpla la función de 10 (Jugador A10 podría haber sido alguien ideal). Los laterales hasta ahora no han sorprendido y, de hecho, también han dejado serias dudas cuando se proyectan y dejan sus espaldas descubiertas.

Equipo B hoy tiene más fondo de juego y ha sufrido menor desgaste físico y emocional. La salle à manger, où l’on trouve une table et des chaises signés Hans J. Wegner, et un tapis Space Age des années 70. Lampe et globe Panton, et montre de George Nelson. An Oasis in the Desert

In Palm Springs, California, one of Le Corbuiser’s students took Modernist precepts and adapted them to the harshness of the desert climate.

The Russell House was built in 1959, and it continues to shine today. Overlooking the Coachella Valley, the Russell House offers a spectular panoramic view of Palm Springs’ mountainous desert landscape. It was constructed using reinforced concrete, steel and glass, and features a flat overhanging roof while its large bay-windows open up to give a view of the outside and the swimming pool.


The center of the den features a 50s table and modular sofa designed by Milo Baughman for the Californian Case Study Houses. Two period style armchairs are situated just opposite, and two Taraxacum de Castigioni ceiling lamps enclose the arrangment. Behind on the wall hangs an illuminated fibreglass decoration signed by Verner Panton. To the right, the door and the swimming pool.


In the guestroom a walnut panel conceals a pulldown bed next to an Eames CTW coffee table and Vladimir Kagan chairs. Below, the swimming pool disappears into the Coachella Valley mountains. On the other page: The natural stone terrace. Furniture designed by Richard Schultz in 1966.


The infinity pool, designed by Albert Frey to resemble a sandy beach and one of the first of its kind in Palm Springs, encircles an enormous boulder. Part of the terrace is covered with jagged rocks.

In the dining room we find a table and chairs by Hans J. Wegner, a space age 70s rug, a Panton globe lamp and a George Nelson wall clock. In the back, the custom-made polished walnut kitchen. On the other page: Across from the large boulder in a corner of the den is a blue 1938 Bruno Mathsson chaise-longue accompanied by a Gio Ponti wood top pedestal table and a three-arm floor lamp signed by Gino Sarfatti for Arteluce.

A l’issue de Coupe du Monde, les distinctions spéciales suivantes seront décernées :

a) Le trophée FIFA du Fair-Play, une médaille du fair-play pour chaque membre de délégation, un diplôme et un bon d’une valeur de 10.000 USD valable pour l’achat d’équipement de football (destiné à être utilisé pour le développement du football auprès des jeunes) seront remis a l’équipe première du concours de fair-play. Les règles en vigueur sont contenues dans le règlement du concours du Fair-Play.

b) Le Ballon d’Or sera attribué au meilleur joueur de la Coupe du Monde sur la base d’un classement établi par le Groupe d’Etude Technique. Un ballon d’Argent et un Ballon de Bronze seront également remis au deuxième et au troisième meilleur joueur.

c) Le vainqueur du Ballon d’Or se verra remettre une récompense par le Sponsor Officiel, le prix étant une voiture ou son équivalent en espèces.

At the conclusion of the Club World Cup, the following special honours will be awarded:

b) The Golden Ball will be awarded to the best Club World Cup player based on rankings established by the Technical Study Group. A Silver Ball and Bronze Ball will also be awarded to the second and third best players.


c) The Golden Ball winner will receive a new car, or the equivalent in kind, from the Official Sponsor.


No other prizes will be officially awarded beyond those listed above, unless otherwise decided upon by the FIFA Organising Committee.
