The Fund is a closed-end, diversified collective instrument vehicle under the Spanish venture capital rules set for funds into “the simplified regime” (under the Spanish Venture Capital Law terms). This regime and jurisdiction was chosen to optimize the tax treatment and general operations of the Fund and is set for the class of funds aimed to “qualified investors” and involves a restricted placing process.
The management company, XXX, is registered at the Spanish Securities Exchange Commission (“CNMV”) and is governed by its Board of Directors.
The Management Team will search and advise investment and investment opportunities for the Fund, as well as monitor the Fund’s investments. This will entail the participation in the administration of the companies participated by the Fund, and the support of these companies with the target of protecting the Fund’s interests.
The Management Team is comprised of a group of seasoned professionals with many years of investment experience in innovation-related businesses, in Spain and Latin America, with a focus on small and medium sized companies with aggressive internationalization and growth projects.
The investment and divestment decisions at the Fund will be taken by XXX’s Investment Committee, controlled by the Management Team.

Source text - English 1. The board of the foundation consists of at least five members. The number of members – considering what is defined in the previous sentence – is determined unanimously by the board.
The board ensures that within the board such a number of disciplines is represented that the foundation is sufficiently capable to initiate and execute projects to achieve its goal.
The director, or the representative of the trustee is part of the board, while the trustee himself has the right to appoint and fire this board member, regardless what is determined further in this deed.
2. The board (with exception of the first board, of which the members in office are appointed) elects a chairman, a secretary and a treasurer from among its members. The functions of secretary and treasurer can be occupied by one and the same person.
3. Every board member abdicates at the latest five years after his appointment, according to a grid of abdication to be made by the board. The resigning is immediately eligible again, except the provisions in article 8; who is appointed in an interim vacancy replaces his predecessor on the grid.
4. With the emergence of one (or more) vacancy(ies) in the board, the remaining board members (or the only remaining board member) will unanimously provide in it within two months after the emergence of a vacancy(ies) by the appointment of one (or more) successor(s).
5. If for whatever reason one or more members would be missing in the board, then the remaining members of the board form or the only remaining member of the board forms nonetheless a legitimate board.
6. The members of the board do not receive any award for their work. They are entitled to the compensation of the costs made by them in the performance of their function. All compensations paid to the board members are recorded and illustrated as such in the annual account.
7. Within the board there can be no close family- or similar relationships, including - but not limited to – marriage, registered partnership, cohabitation and blood or family ties up to the third degree. A relationship as referred to above is a reason for dismissal.
8. Each of the board members in question has to inform immediately the board of the existence of a relationship as referred to above. The board informs about it in the first possible meeting and if necessary, does with this the request for dismissal of one or more of the board members in question to lift the incompatibility as meant in this article.
9. The capacity of director, founder, shareholder, supervisor or employee of an entity with which the institution does legal transactions in cash value in a structural way, is incompatible with the membership of the board. A relationship as referred to in this section is a reason for dismissal.
A board member in respect of whom an incompatibility as referred to in this article is present, has to inform the board immediately about it. The board informs about it in the first possible meeting.

Una relación como la que se refiere en este apartado es razón de destitución.
