Source text - English AGREEMENT REGARDING DISTRIBUTION OF ASSETS
THIS AGREEMENT REGARDING DISTRIBUTION OF ASSETS (this “Agreement”) is made as of May 24, 2013, by and between John Doe (“JD”), Karl Doe (“KD”) and Clive Doe (“CD”) (collectively, the “Parties”).
RECITALS
WHEREAS, JD, KD and DD constitute among them the totality of the heirs of the Estate (the “Estate”) of Mr. Clive Doe (the “Deceased”). JD is the widow of the Deceased, while KD and DD are the natural-born children of the Deceased; and
WHEREAS, the Deceased died testate, leaving a last will and testament governed by Brazilian law, that controls the distribution of the assets of the Deceased located in Brazil (the “Brazilian Estate”); and
WHEREAS, certain assets of the Deceased’s Estate, that are not a part of the inventoried Brazilian Estate assets controlled by the Deceased’s last will and testament, are located in the United States of America and possibly other nations (the “Outside Assets”); and
WHEREAS, to facilitate the timely distribution of the Outside Assets between JD, KD and DD, to prevent the need for expensive legal procedures with long time requirements, and in so acting with speed and cooperation, to prevent any erosion in the financial value of the Outside Assets prior to distribution, JD, KD and DD have agreed to align their interests in a legally binding manner to cause the prompt equitable distribution of the Deceased’s Estate’s Outside Assets, in according with the wishes of the Deceased; and
WHEREAS, these objectives will be met by causing a distribution of the Outside Assets (as defined hereinafter) to from the Estate to JD, KD and DD, as directed by JD, in accordance with the provisions set forth herein;
NOW, THEREFORE, in consideration of the Recitals set forth above which are contractual in nature and part of this Agreement, and the other agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties further agree as follows:
I. DEFINITION OF THE ASSETS
1.1 All Assets Unaccounted for in the Deceased’s Brazilian Estate. For the purposes of this agreement, the Outside Assets are all assets of the Deceased located outside Brazil and unaccounted for in the Deceased’s Brazilian will and testament, therefore outside of the Brazilian probate process. The parties recognize that the assets to be distributed hereunder include all of the Outside Assets without limitation or regard to jurisdiction of control or location, or date of discovery by the Parties.
2.1 Known Outside Assets. The current Outside Assets known to the Parties are the assets of the British Virgins Islands company named ________________________, with a legal registered company address in the BVI at ______________, and a U.S. mailing address of JP _______________________, New York, New York 10017-2014 (“S****W*****”), principally as of the Effective Date known to the parties as attached to this Agreement as Annex A.
2.3 Unknown Outside Assets. The Parties agree and promise that any and all assets of the Deceased that are unknown and unlisted in this Agreement, and discovered at any time in the future (the “Unknown Outside Assets” and together with the Outside Assets, the “Assets”), shall be governed by and distributed among the Parties in accordance with this Agreement.
II. GENERAL OVERVIEW OF DISTRIBUTION PROCESS
To clarify the intent of the parties, a general overview of the distribution process for the Outside Assets is as follows:
2.1 Distribution Ratio Among the Parties. The Parties agree to honor the Deceased’s last will and testament in regards to the Brazilian Estate, which leaves 50% of the Brazilian Estate to JD along with the obligation to maintain a certain charity, and leaves 25% to each of KD and DD. KD and DD agree to accept JD as executor of the Deceased’s Brazilian Estate, and as the director of Leward. The Parties agree that the Deceased’s Outside Assets will be distributed among JD, KD and DD equally, in thirds, at 33.33% to each one of the Parties to this Agreement.
2.2 Timing. The Parties recognize that the Distribution Date will be July ___, 2013.
2.3 Valuation of the Assets. The Parties recognize and agree that the value attributed to the Assets shall be determined according to Article IV of this Agreement below.
2.4 Tax Alignment. The Parties also recognize that for tax purposes, these transactions will have tax implications. Therefore, the Parties agree to report the transaction consistently in an order to be determined by the Parties so as to minimize the tax liabilities of the Parties.
2.3 Distribution of Assets. On the Distribution Date, the Parties shall cause the following to occur:
(a) JD shall cause S****W**** to distribute to each of KD and DD separately, one-third of S****W****’s right, title and interest in and to the assets and property of S****W****, free and clear of all encumbrances due hereunder at the accounts and designations that they shall provide, according to the plan of division made by the Parties or independent third-party appraiser.
III. DISTRIBUTION OF UNKNOWN OUTSIDE ASSETS
3.1 Distribution of Unknown Outside Assets. In the event of any future knowledge or discovery by or among the Parties of Unknown Outside Assets owned directly or beneficially by the Deceased, the Parties agree that any and all such assets of the Deceased that are unknown at the time of effectiveness of this Agreement, and unlisted in this Agreement, and discovered at any time in the future, shall be governed by and distributed among the Parties in accordance with this Agreement.
IV. VALUATION
4.1 Value Distributed to the Parties. The actual value attributed to the Assets shall be based on current market values at the date of Distribution in the case of marketable securities, and by an independent professional appraiser in the case of unmarketable securities or non-liquid personal or real property, or any other illiquid equity interests. The Parties agree that prior to the Distribution Date, the Parties will plan the division of the Outside Assets based on current market or appraised value. In the event of a failure of consensus among the Parties regarding the form of division, the Parties agree to submit the division to the final decision of an independent third-party appraiser of mutual acceptance to the Parties, whose determinations regarding valuation and division shall be final.
V. SHARED EXPENSES; CONSENTS/TRANSFERS; AUDIT RIGHTS
5.1 Transfer Expenses. The parties hereby agree that all reasonable expenses incurred to effectuate the distributions hereunder, such as but not limited to closing fees, title fees and costs, survey fees, appraisal fees and brokerage fees, including those reasonably incurred after the Effective Time, shall be shared equally between them.
5.2 Consents/Transfers. The parties shall make good faith efforts and cooperate with each other to obtain all consents and/or transfers necessary to assign and transfer the Assets, and to otherwise effectuate the distributions hereunder, as quickly as possible.
5.3 Audit and Access Rights. The parties recognize and agree that information will need to be shared between them and S****W**** and verified for purposes of effectuating the terms of this Agreement and, after the Effective Time, for the purposes of business operations and tax and other regulatory purposes. Each party shall permit the other parties and their representatives reasonable access to the books and records of S****W**** to verify any calculations made hereunder and for use of such information for legitimate business, tax and regulatory purposes. At the expense of the requesting party, each party shall have the right to conduct a reasonable audit of the other parties’ books and records as reasonably necessary to verify any such calculation.
VI. GENERAL
6.1 Further Assurances Before and After the Effective Time. The parties will take all appropriate action and execute any documents, instruments or conveyances of any kind that may be reasonably requested by any of them, to carry out any of the provisions of this Agreement.
6.2 Amendment and Waiver. This Agreement may not be amended, nor may any provision of this Agreement be waived, except in a writing executed by the party against which such amendment or waiver is sought to be enforced.
6.3 Notices. All notices, demands and other communications to be given or delivered under or by reason of the provisions of this Agreement will be in writing and will be deemed to have been given (i) when delivered if personally delivered by hand, (ii) when received if sent by a nationally recognized overnight courier service (receipt requested), (iii) five Business Days after being mailed, if sent by first class mail, return receipt requested, or (iv) when receipt is acknowledged by an affirmative act of the party receiving notice, if sent by facsimile, telecopy or other electronic transmission device (provided that such an acknowledgement does not include an acknowledgment generated automatically by a facsimile or telecopy machine or other electronic transmission device). Notices, demands and communications to the parties will, unless another address is specified in writing, be sent to the address indicated below:

6.4 Assignment. Neither this Agreement nor any of the rights, interests or obligations under this Agreement may be assigned by any party to this Agreement without the prior written consent of the other parties to this Agreement. Subject to the foregoing, this Agreement and all of the provisions of this Agreement will be binding upon and inure to the benefit of the parties to this Agreement and their respective successors and permitted assigns.
6.5 No Third Party Beneficiaries. Nothing expressed or referred to in this Agreement confers any rights or remedies upon any Person that is not a party or permitted assign of a party to this Agreement.
6.6 Severability. Whenever possible, each provision of this Agreement will be interpreted in such manner as to be effective and valid under applicable Law, but if any provision of this Agreement is held to be prohibited by or invalid under applicable Law, such provision will be ineffective only to the extent of such prohibition or invalidity, without invalidating the remainder of such provision or the remaining provisions of this Agreement.
6.7 Complete Agreement. This Agreement, including the Exhibits and Schedules hereto, contains the complete agreement between the parties and supersedes any prior understandings, agreements or representations by or between the parties, written or oral with respect to this reorganization of agronomy business.
6.8 Signatures; Counterparts. This Agreement may be executed in one or more counterparts, any one of which need not contain the signatures of more than one party, but all such counterparts taken together will constitute one and the same instrument. A facsimile signature will be considered an original signature.
6.9 Governing Law and Dispute Resolution. The domestic law, without regard to conflicts of laws principles, of the State of New York, U.S.A. will govern all questions concerning the construction, validity and interpretation of this Agreement and the performance of the obligations imposed by this Agreement. All disputes arising under this agreement shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to principles of conflict of laws. The parties to this agreement will submit all disputes arising under this agreement to arbitration in New York, New York before a single arbitrator of the American Arbitration Association (“AAA”). The arbitrator shall be selected by application of the rules of the AAA, or by mutual agreement of the parties, except that such arbitrator shall be an attorney admitted to practice law in the State of New York. No party to this agreement will challenge the jurisdiction or venue provisions as provided in this section. Nothing in this section shall limit the Holder's right to obtain an injunction for a breach of this Agreement from a court of law.
6.10 Construction. The parties and their respective counsel have participated jointly in the negotiation and drafting of this Agreement. In addition, each of the parties acknowledges that it is sophisticated and has been advised by experienced counsel and, to the extent it deemed necessary, other advisors in connection with the negotiation and drafting of this Agreement. In the event an ambiguity or question of intent or interpretation arises, this Agreement will be construed as if drafted jointly by the parties and no presumption or burden of proof will arise favoring or disfavoring any party by virtue of the authorship of any of the provisions of this Agreement. Any reference to any Law will be deemed to refer to all rules and regulations promulgated thereunder, unless the context requires otherwise. References to sections, articles, schedules or exhibits are to the sections, articles, schedules and exhibits contained in, referred to or attached to this Agreement, unless otherwise specified. The word “including” means “including without limitation.” The use of the masculine, feminine or neuter gender or the singular or plural form of words will not limit any provisions of this Agreement.
6.11 Effective Date. For all purposes hereof, this Agreement shall be deemed effective as of the date first mentioned above.

O PRESENTE ACORDO RELATIVO À DISTRIBUIÇÃO DE ATIVOS PATRIMONIAIS (doravante “Acordo”) é celebrado nesta data de 24 de Maio de 2013, entre John Doe (“JD”), Karl Doe (“KD”) e Clive Doe (“CD”) (conjuntamente, “as Partes”).
CONSIDERAÇÕES
CONSIDERANDO-SE que JD, KD e DD constituem entre si a totalidade dos herdeiros do Espólio (“Espólio”) de Clive Doe (“Falecido”), JD é a viúva do Falecido, enquanto KD e DD são filhos naturais do Falecido; e
CONSIDERANDO-SE que, o Falecido morreu testado, deixando testamento regido pelas leis do território brasileiro, que prevê a distribuição de ativos patrimoniais do mesmo, os quais se encontrem dentro do território brasileiro (“Espólio Brasileiro”); e
CONSIDERANDO-SE que, determinados ativos do Espólio do Falecido, que não fazem parte dos ativos arrolados no Espólio Brasileiro, previstos no testamento do Falecido, encontram-se no território dos Estados Unidos da América e, possivelmente, em outros países (“Ativos no Exterior”); e
CONSIDERANDO-SE que, para facilitar a célere distribuição dos Ativos no Exterior entre JD, KD e DD, evitando a necessidade de procedimentos judiciais custosos com formalidades que envolvem tempo, e assim agir de maneira rápida e em cooperação, objetivando impedir a corrosão do valor financeiro dos Ativos no Exterior antes de sua distribuição, a JD, KD e DD concordaram em coadunar seus interesses de maneira juridicamente vinculante a fim de permitir a pronta distribuição equitativa dos Ativos no Exterior, que fazem parte do Espólio do Falecido, em conformidade com os desejos do Falecido; e
CONSIDERANDO-SE que, tais objetivos serão alcançados com a efetivação da distribuição dos Ativos no Exterior (conforme definição neste instrumento) do Espólio em favor de JD, KD e DD, conforme determinado por JD, em conformidade com as disposições estabelecidas no presente;
PORTANTO, em cumprimento às Considerações infra expostas, que tem natureza jurídica e fazem parte deste Acordo, e outras avenças dispostas no presente instrumento, e por consideração legítima e de valor, cuja comprovação e suficiência são por meio deste reconhecidas, as partes concordam ainda no seguinte:
I. DEFINIÇÃO DOS ATIVOS PATRIMONIAIS
1.1 Todos os Ativos Patrimoniais Não Arrolados no Espólio do Falecido. Para os fins deste acordo, os Ativos no Exterior são todos ativos do Falecido que se encontram fora do território brasileiro e não arrolados no testamento do Falecido no Brasil, portanto, estando fora do processo de inventário no território brasileiro. As partes reconhem que os ativos a serem distribuídos sob os termos do presente incluem todos os Ativos no Exterior sem limitação ou consideração a jurisdição ou foro competentes, ou a data de descoberta pelas Partes.
2.1 Ativos no Exterior Conhecidos. Os Ativos no Exterior conhecidos pelas Partes são aqueles que se encontram na sociedade constituída nas Ilhas Virgens Britânicas denominada ________________________, com endereço societário de registro nas Ilhas Virgens Britânicas no endereço ______________, e endereço de correspondência nos Estados Unidos na _______________________, New York, New York 10017-2014 (“S****W*****”), a partir da Data de Vigência conhecida pelas partes conforme anexado ao presente Acordo como Anexo A.
2.3 Ativos no Exterior Desconhecidos. As Partes concordam e declaram que todo e qualquer ativo do Falecido que seja desconhecido e não inserido no presente Acordo, e que seja descoberto a qualquer tempo no futuro (“Ativos no Exterior Desconhecidos”, juntamente com os Ativos no Exterior, “Ativos Patrimoniais”), serão regidos e distribuídos entre as Partes de acordo com os termos do presente Acordo.
II. PANORAMA GERAL DO PROCESSO DE DISTRIBUIÇÃO
Com o objetivo de deixar clara a intenção das Partes, expõe-se abaixo um panorama geral do processo de distribuição dos Ativos no Exterior conforme segue:
2.1 Proporções de Distribuição Entre as Partes. As Partes concordam em honrar o testamento do Falecido relativamente ao espólio no Brasil, deixando 50% do Espólio no Brasil para JD, juntamente com a obrigação de manter determinada entidade filantrópica, e deixando 25% para KD e 25% para DD. KD e DD concordam em aceitar JD como o testamenteiro do Espólio do Falecido no Brasil, e como diretor da Leward. Os Ativos do Falecido no Exterior serão distribuídos entre JD, KD e DD em partes iguais, sendo um terço ou 33.33% para cada uma das Partes do presente.
2.2 Prazo. As Partes confirmam que a Data de Distribuição será ___ de Julho de 2013.
2.3 Valores dos Ativos. As Partes reconhecem e concordam que os valores atribuídos aos Ativos deverão ser determinados em conformidade com os termos do Artigo IV do presente Acordo conforme abaixo exposto.
2.4 Implicações Fiscais. As Partes reconhecem ainda que para fins de tributação, estas transações terão implicações fiscais. Assim, as partes concordam em declarar a transação de forma consistente, em ordem a ser determinada pelas Partes, de maneira a minimizar o ônus fiscal às Partes.
2.3 Distribuição dos Ativos. Na Data de Distribuição, as Partes procederão da seguinte forma:
(a) JD compromete a fazer com que S****W**** distribua a KD e DD, individualmente, um terço dos direitos, títularidade e participação da S****W****’ e aos ativos e bens da S****W****, isentos de gravames ou ônus devidos sobre, às contas e designações que os mesmos venham a fornecer, de acordo com o plano de partilha feito pelas Partes ou por avaliador independente.
III. DISTRIBUIÇÃO DE ATIVOS DESCONHECIDOS NO EXTERIOR
3.1 Distribuição de Ativos Desconhecidos no Exterior. Na eventualidade de se obter conhecimento ou ser encontrado futuramente pelas Partes Ativos Desconhecidos no Exterior que pertençam de forma direta ou beneficiária ao Falecido, as Partes concordam que todo e qualquer ativo do Falecido desta origem que sejam desconhecidos no momento da entrada em vigor do presente Acordo, e não relacionadas no presente, e que venham ser encontrados em qualquer tempo no futuro, será regido e distribuído entre as Partes em conformidade com os termos do presente Acordo.
IV. VALORAÇÃO
4.1 Valores Distribuído às Partes. O valor efetivo atribuído aos Ativos deverá basear-se em valores atuais de Mercado na data de Distribuição no caso de títulos e valores mobiliários comerciáveis, e em avaliação por um avaliador profissional independente no caso de títulos e valores mobiliários não comerciáveis ou bens pessoais ou reais não líquidos, ou quaisquer outros bens ilíquidos. As Partes concordam que antes da Data de Distribuição, as Partes providenciarão a divisão dos Ativos no Exterior com base no valor atual de mercado ou consoante avaliação. No caso de não haver consenso entre as Partes com relação à forma de partilha, as Partes concordam em submeter tal partilha de bens a decisão final de um avaliador independente aceito mutuamente entre as Partes, cuja determinação com relação à valoração e partilha dos bens terá caráter definitivo.
V. DIVISÃO DE DESPESAS; AUTORIZAÇÕES/TRANSFERÊNCIAS; DIREITOS DE CONSTATAÇÃO
5.1 Despesas de Transferência. As Partes concordam pelo presente que todas as despesas condizentes assumidas com o objetivo de efetivação da distribuição aqui prevista, como despesas de transação, escrituração, levantamentos, avaliações, e corretagem,, mas não se limitando a estes, inclusive as contraídas de forma razoável após a Data de Entrada em Vigor, deverão ser assumidas de forma igual entre as Partes.
5.2 Autorizações/Transferências. As Partes deverão fazer todos os esforços e cooperar entre elas para obter todas as autorizações e/ou transferências necessárias para ceder e transferir os Ativos, e efetivar a distribuição neste prevista, com a maior presteza possível.
5.3 Direitos a Constatação e Acesso. As Partes reconhecem e concordam que as informações deverão ser compartilhadas entre elas e a S****W**** e constatas para fins de efetivação dos termos do presente Acordo e, após a Data de Entrada em Vigor, para fins de operações comerciais e fiscais, e outros fins regulamentares. Cada uma das Partes deverá permitir que as outras Partes e seus representantes tenham acesso razoável aos livros e registros da S****W**** com a finalidade de verificar quaisquer cálculos efetuados sob os termos do presente e para uso de tais informações para fins legítimos de negócios, fiscais e regulatórios. Sob as expensas da Parte requisitante, cada uma das partes terá o direito de conduzir vistoria nos livros e registros das outras partes, conforme seja necessário, a fim de verificar tais cálculos.
VI. DISPOSIÇÕES GERAIS
6.1 Demais Garantias Antes e Após a Data de Entrada em Vigor. As Partes tomarão todas as medidas apropriadas e assinarão todos os documentos, instrumentos ou anuências de qualquer espécie que possam ser devidamente solicitadas por qualquer delas, para que se efetivem quaisquer das disposições do presente Acordo.
6.2 Alterações e Isenções. O presente Acordo não pode ser alterado, nem poderá ser o cumprimento de suas disposições dispensado, salvo por instrumento expresso, firmado pela parte contra a qual se busque exeqüibilidade de tal alteração ou isenção.
6.3 Comunicações. Todo aviso, demanda ou outra comunicação que deva ser apresentada ou entregue em consequência dos termos do presente Acordo deverão ser por escrito e será considerado como tendo sido apresentado (i) quando entregue em mãos, se pessoalmente, (ii) quando recebido se enviado por serviço de entrega expressa nacionalmente reconhecido (com comprovação de entrega), (iii) cinco Dias Úteis após ser enviado por correio, se enviado por correio de primeira classe, com comprovação de entrega, ou (iv) quando o recebimento for confirmado por ação afirmativa da parte que recebeu a comunicação, se enviada por fac-símile, tele cópia ou outro dispositivo de transmissão eletrônica (contanto que tal confirmação não inclua confirmação gerada automaticamente por fac-símile ou aparelho de tele cópia ou outro dispositivo de transmissão eletrônica). Avisos, demandas ou comunicações às partes, salvo nos casos em que outro endereço for especificado por escrito, deverão ser enviados ao endereço fornecido abaixo:

6.4 Cessão de Direitos. O presente Acordo ou quaisquer dos seus direitos, participações ou obrigações sob os termos do presente Acordo poderão ser cedidos por qualquer das partes do presente Acordo sem a autorização expressa prévia das demais partes do Acordo. Sujeitos aos termos do presente, este Acordo e todos os seus dispositivos terão caráter vinculante e reverterão em favor das partes do presente Acordo e seus respectivos sucessores e cedentes devidamente autorizados.
6.5 Terceiros Beneficiários. Nenhum elemento expresso ou citado no presente Acordo confere qualquer direito ou benefício a qualquer Pessoa que não seja parte ou cedente autorizado de uma das partes do presente Acordo.
6.6 Disposições Contraditórias. Sempre que possível, cada disposição do presente Acordo deverá ser interpretada de forma que seja eficaz e válida sob os termos das leis pertinentes, porém se algum dispositivo for considerado como vedado ou inválido sob os termos de lei aplicável ao caso, o mesmo será considerado inexeqüível somente na medida de tal veto ou invalidade, sem invalidar os demais dispositivos ou as disposições restantes do presente Acordo.
6.7 Integralidade do Acordo. O presente Acordo, inclusive seus Anexos e Adendos, representam o integral entendimento entre as partes e prevalecem sobre quaisquer outros entendimentos, acordos ou declarações anteriores entre as partes, expressas ou orais, com relação à reorganização das atividades de agronomia.
6.8 Assinaturas; Vias. O presente Acordo poderá ser celebrado em uma ou mais vias, sendo que nem todas necessitam ter a assinatura de mais de uma das partes, entretanto todas as vias em conjunto constituirão um único e exclusivo instrumento. Assinaturas por fac-símile serão consideradas como assinaturas originais.
6.9 Lei Regente e Solução de Divergências. A legislação nacional, desconsiderando-se conflitos de princípios de lei do Estado de Nova York, E.U.A., regerão todas as questões concernentes a elaboração, validade e interpretação do presente Acordo e ao cumprimento das obrigações por ele impostas. Todas as divergências provenientes do presente acordo deverão ser interpretadas de acordo com as leis do Estado de Nova York, irrespectivamente de conflitos de lei. As partes do presente concordam em submeter todas as disputas oriundas do presente Acordo à Arbitragem na cidade de Nova York, Estado de Nova York, perante árbitro único da American Arbitration Association (“AAA”). O árbitro deverá ser escolhido por meio de aplicação das normas da AAA, ou por mútuo acordo entre as partes, sendo tal árbitro um advogado inscrito no Estado de Nova York. Nenhuma parte do presente acordo deverá contestar as disposições referentes à jurisdição ou foro conforme previsto nesta seção. Nenhum elemento contido nesta seção limitará o direito do Titular de obter medida liminar por descumprimento dos termos do presente junto a juízo de direito.
6.10 Elaboração. As partes e seus respectivos assessores jurídicos participaram conjuntamente da negociação e elaboração do presente Acordo. Além disso, cada uma das partes reconhece que tem discernimento e que foi devidamente assessorada por advogado experiente, e, na medida considerada necessária, por outros assessores com relação à negociação e elaboração do presente Acordo. Em caso de surgimento de ambiguidade ou dúvida quanto à intenção ou interpretação, o presente Acordo deverá ser interpretado como se elaborado conjuntamente pelas partes e não deverá haver presunção ou ônus de prova favorecendo ou desfavorecendo qualquer das partes em virtude da autoria de qualquer das disposições aqui contidas. Qualquer referência a qualquer Lei deverá ser considerada como referência a todas as normas e regulamentos promulgadas, salvo nos casos em que o contexto exija de outra forma. Referências a seções, artigos, anexos e aditivos aqui contidos são referências aqueles citados ou anexados ao presente Acordo, salvo se especificado de forma contrária. O termo “incluindo” significa “incluindo sem limitação”. O uso do masculino, feminino ou neutro ou do singular ou plural nos termos aqui usados não limitará quaisquer disposições do presente.
6.11 Data de Entrada em Vigor. Para todos os fins devidos, o presente Acordo deverá ser considerado como vigente na data infra citada no presente.
