Company limited by Guarantee and not having a Share Capital
The article of Association of Arab and International Panel to Build Gaza
1- The company’s name is Arab and international Organization to build Gaza
2- The company’s registered office is to be situated in England and Wales.
3- The company’s objects(“the Objects”) are :
a) Supporting local societies that provide services to needy families and individuals.
b) Helping Palestinians to rebuild infrastructure and small projects.
c) Contributing to repair and maintain existing hospitals and build new medical clinics.
d) Income applied to promoted objects.
4- Each member is entitled to one vote in any circumstances.
5- Every member of the company undertakes to contribute such amount as may be required ( not exceeding 1 sterling pound ) to the company’s assets if it should be wound up while he or she is a member or within one year after he or she ceases to be a member, for payment of the company’s debts and liabilities contracted before he or she ceases to be a member, and of the costs charges and expenses of winding up, and for the adjustment of the rights of the contributors among themselves.
6- If the company is wound up or dissolved and after all its debts and liabilities have been Satisfied there remains any property , it shall not be paid to or distributed among the members of the company , but shall be given or transferred to some other company or companies having objective similar to the objects which prohibits the distributions of its or their income and property to an extent at least as great as is imposed in the company by clause 5 above , chosen by the members of the company at or before the time of dissolution and if that cannot be done then to some other charitable object.
7- In furtherance of the objects but not otherwise the company may exercise the following powers:
a) To draw, make, accept, endorse, discount, execute and issue promissory notes, bills, cheques, and other instruments, and to operate bank accounts in the name of the company.
b) To raise funds and to invite and receive contributions, provide that in raising funds the company shall not undertake any substantial permanent trading activities and shall conform to any relevant statutory regulations;
c) To acquire, alter, improve and ( subject to such consent as may be required by law) to change or otherwise dispose of property;
d) Subject to clause 5 below to employ such staff, who shall not be directors of the company (hereinafter referred to as “the trustees”, as are necessary for the proper pursuit of the objects and to make all reasonable necessary.
e) To establish or support any charitable trusts, associations, or institutions formed for all or any of the objects;
f) To co-operate with other charities, voluntary bodies and statutory authorities operating in furtherance of the objects or similar charitable purposes and to exchange information and advice with them.
g) To pay out of the funds of the company the costs, charges and expenses of and incidental to the formation and registration of the company.
h) To do all such other lawful things as are necessary for the achievement of the objects.

قانون الشركات لعام 2006
شركة محدودة الضمان وليس لها رأس مال اسهمي
القانون الأساسي للهيئة العربية الدولية لإعادة اعمار غزة
1- اسم الشركة " الهيئة العربية الدولية لإعمار غزة.
2- يقع المقر الرئيسي للشركة في إنجلترا و ويلز.
3- اهداف الشركة:
ا- دعم الجمعيات المحلية التي تقدم خدمات للأسر والأفراد المحتاجين.
ب- مساعدة الفلسطينيين على إعادة اعمار البنية التحتية والمشاريع الصغيرة.
ج-المساهمة في إصلاح المستشفيات وصيانة القائمة منها وبناء عيادات طبية جديدة.
د- يستخدم الدخل لتحقيق اهداف الشركة المعلنة.
4- يحق لكل عضو التصويت لمرة واحدة في أي من الظروف
5- يتعهد كل عضو في الشركة ان يساهم في أصولها حين تصفيتها واثناء فترة عضويته او بعد سنة من فترة انتهاء عضويته ان يساهم في دفع ديون الشركة التي تعاقدت عليها قبل انتهاء فترة عضويته وكذلك دفع تكاليف التصفية وتعديل حقوق المساهمين بين انفسهم على الا يزيد المبلغ المطلوب في جميع الأحوال من أي عضو على ما مجموعه واحد جنيه إسترليني.
6. في حال تصفية الشركة او حلها وبعد سداد كل ديونها والتزاماتها لم يتم دفع او توزيع ما يتبقى من املاكها بين أعضاء الشركة ولكن سيتم منحها او تحويلها لمؤسسات أخرى ذات اهداف مشابهه لأهداف الشركة او شركات تم تأسيسها على ذات الاهداف على شرط ان تمنع تلك الشركات توزيع دخلها واملاكها بين أعضاءها بنفس المقدار المفروض علي هذه الشركة والمبين في المادة 5 أعلاه ويحدد أعضاء الشركة هذه الشركات قبل او حين وقت التصفية واذا لم يتحقق ذلك يتم تحويلها الي جمعيات اخرى.
7- تعزيزًا للأهداف السابقة وليس خلافا لها، يجوز للشركة ممارسة الصلاحيات التالية :
أ. ان تقبض، تحرر، تُجير، تقبل، تخصم، تنفذ وتصدر سندات إذنية وفواتير وشيكات وأي مستندات أخرى، وان تدير الحسابات البنكية باسم الشركة.
ب. ان تجمع التبرعات وان تتلقى مساعدات شريطة ان لا تتولى الشركة أي أنشطة تجارية دائمة جوهرية وان تخضع الشركة لأي لوائح قانونية ذات صلة.
ج. ان تحوز او تبدل, أو تُحَسن (كما يحدده القانون ) من اجل تغيير الممتلكات او التصرف بها.
د. يجوز للشركة توظيف أي اشخاص على ان لا يكونوا مدراء (بل سيتم تسميتهم فيما سيلي ب"الأمناء") حسب ما تتطلبه الضرورة من اجل خدمة وتحقيق اهداف الشركة.
ه. انشاء او دعم أي مؤسسات خيرية او جمعيات او هيئات ذات اهداف مشابهة.
و. التعاون مع المؤسسات الخيرية الأخرى والهيئات التطوعية و السلطات القانونية لتعزيز نفس الأهداف او لأغراض خيرية مشابهة وتبادل المعلومات التناصح معهم.
ز. الإنفاق من أموال الشركة على التكاليف والرسوم والمصروفات العَرَضية لتعريف وتسجيل الشركة.
ح. القيام بأي أمور قانونية تعد لازمة لتعزيز اهداف الشركة.
