EMPLOYMENT PRACTICES AND POLICIES EQUAL EMPLOYMENT OPPORTUNITY The Company is committed to providing equal employment opportunities to all applicants and employees without regard to race, color, sex, religion, national origin, age, disability, or any other legally protected status. The Company wishes to resolve any possible violations of this policy, but it only can do so if it is aware of them. Therefore, should you believe that you have experienced treatment in violation of this policy, you should report the incident to your Manager or the President. The Company will investigate all such reports as appropriate. To the extent possible, the Company will attempt to maintain the confidentiality of those involved in the investigation. The Company also prohibits any form of retaliation against an employee who reports a possible problem, is involved in an investigation, or opposes prohibited discrimination. The Company will investigate retaliation complaints as appropriate, and take other action it deems appropriate. Every effort will be made to ensure confidentiality. Any person found to have engaged in prohibited retaliation will be subject to disciplinary action up to and including termination. CLASSIFICATIONS The following definitions are provided to assist employees in understanding their employment classification and benefit eligibility. Although employees generally will be classified as one of the following, they should be aware that their classification may change at any time as the Company considers appropriate. These classifications do not guarantee employment for any specified period of time or in any way modify the at-will nature of an employee’s employment with the Company. The right to terminate the at-will employment relationship, without cause or notice, is retained by employees and the Company. Two (2) categories of work standards for employees have been applied according to the Fair Labor Standards Act. In general, they are defined as follows: Exempt The exempt category applies to executive, administrative and professional personnel, as well as outside salespersons. Exempt employees are salaried and are not eligible for overtime pay when they work more than 40 hours in a work week or more than 8 hours in a workday. Nonexempt The nonexempt category applies to all part-time and full-time staff who are required to be paid overtime compensation at the rate of one and one-half times their regular rate of pay for all hours worked in excess of 40 hours in a work week or 8 hours in a workday. At the time of hire, promotion, or change of status, your eligibility for overtime pay, and your classification will be clarified by the Company. OTHER EMPLOYMENT CATEGORIES In addition to the above categories, all employees will be classified as one of the following: Full-Time Full-time employees are: Regularly scheduled to work the Company’s full-time schedule of forty (40) hours per week Part-Time Part-time employees are: Regularly scheduled to work less than the full-time work schedule of forty (40) hours per week. Part-time employees receive all legally mandated benefits (such as workers’ compensation insurance and Social Security). Temporary Temporary employees are hired as interim replacements, to temporarily supplement the work force, or to assist with a specific project. Employment assignments are of a limited duration. Employment beyond any initially stated period does not imply a change in employment status. Temporary employees retain that status until notified of a change. Temporary employees receive all legally-mandated benefits (such as workers’ compensation insurance and Social Security). Temporary employees also are employed on an at-will basis. OPEN DOOR POLICY Employees are encouraged to share their concerns, seek information, provide input, and resolve problems/issues through their immediate Manager, and as appropriate, consult with any member of management toward those ends. Managers are expected to listen to employee concerns, to encourage their input, and to seek resolution of their problems/issues. Employees should bring to their Manager, as appropriate, any problems or suggestions affecting their work and/or the Company. Failure to report minor problems or concerns may result in major issues if unresolved. The Company will attempt to keep issues confidential, as the matter permits, and seek to quickly resolve problems. If an issue concerns another employee, the employee voicing the concern should first approach and discuss his/her problem with the employee causing it. If this approach fails to resolve the issue, employees should discuss the issue with the Manager and/or the President. Throughout this process, the Company encourages employees to share possible solutions and input, so a mutually satisfying resolution can be achieved. Breaches of the chain of command may result in discipline, up to and including termination. SUGGESTIONS Along with the growth of the Company over the years, many excellent ideas for improvement have come from the Company’s employees. Employees with suggestions or ideas that may improve procedures, working conditions, reduce costs or errors, and benefit the Company, its employees and/or customers, are encouraged to share these ideas with the Manager or the President. ETHICAL STANDARDS/CONFLICT OF INTEREST The Company seeks to conduct its business activities with integrity, fairness, and in accordance with the highest ethical standards. As an employee, you are obligated to uphold the Company’s highest ethical standards in every business activity. If at anytime, employees have any doubt as to the ethical standards of an activity, they are urged to discuss it with their Manager or the President. PERFORMANCE REVIEWS Employee performance is reviewed informally on a daily basis. A formal employee performance review is typically conducted approximately three (3) months after an employee’s date of hire and, after that, on an annual basis around the employee’s anniversary date of hire. At the employee’s annual review time, employees may be eligible for a wage increase. This does not, however, imply that employees are guaranteed a wage increase. EMPLOYMENT OF RELATIVES The Company does not prohibit hiring relatives and will accept and consider applications for employment from relatives and family members such as parents, children, spouses, or in laws. However, to help assure fair treatment of all employees, such individuals may not be hired into or transferred into positions where they directly or indirectly supervise or are supervised by another close family member. EMPLOYEE-CUSTOMER RELATIONS In order to provide proper customer care, it is essential that all employees are courteous, friendly, helpful, and prompt in providing customer service. If busy with another matter when approached by a customer, employees should always acknowledge the customer, assuring them that they will be assisted momentarily. Doing your best for them reflects positively on yourself and the Company, demonstrating that the Company and its employees are providing their best effort in customer care. CONFIDENTIALITY Employees will acquire and have access to confidential information belonging to the Company and/or its affiliates, which may relate to information such as customer information, accounts, trade secrets, procedures, manuals, financial information, investment research, contracts, accounting and computer practices, office policies and practices, portfolio recommendations, buy-list construction, internal reports, as well as information specific to the Company’s services. As a condition of employment, employees agree that all such information is the exclusive property of the Company and its affiliates, and that at no time will they disclose such information to anyone, except in the responsible exercise of their job or as required by law, whether or not the information has been designated specifically as “confidential.” Additionally, employees will be required to sign a written confidentiality agreement. POSTINGS The Company posts important information, such as safety rules, management memos, and postings required under various laws. Employees are responsible for reading posted information and employees may not post any material. MISCONDUCT AND DISCIPLINE The Company may take the following disciplinary steps in order to alert the employee to the behavior in question and give the employee an opportunity to show improvement: • Oral Warning • Written Warning • Termination Depending upon the nature, frequency, and/or severity of the offense, some of the above steps may be repeated or omitted. Clean & Science USA Co., Ltd.. may impose any of these disciplinary measures at any time, regardless of whether or not all of the identified steps have been taken. Consistent with the at-will employment relationship between the employer and its employees, nothing in this policy alters the Company’s right to terminate an employee at any time with or without warning or cause for any reason not prohibited by law. Records of all disciplinary actions may be retained in the employee's personnel file and considered when an employee is being evaluated for promotion, review, and/or wage increases. TERMINATION OF EMPLOYMENT Clean & Science hopes that its relationships with employees are long term and mutually rewarding. However, as mentioned elsewhere in this Handbook, all employment relationships are for no specified amount of time and are on an at-will basis, unless otherwise specified by state law. Therefore, employees may terminate employment at anytime and the Company reserves the right to terminate the employment relationship at any time, with or without cause or notice for any reason not prohibited by law. Employees desiring to terminate their employment relationship with the Company are urged to give at least two (2) weeks notice in advance of their intended termination. Such notice should be given in writing to the Manager or the President. The Company will pay remaining wages and any other payments due in accordance with state and/or federal law. RETURN OF PROPERTY AND CONTINUED CONFIDENTIALITY On or before their last day of employment, terminating employees must return all property, files, records, documents, reports, proposals, client lists, and other information belonging to the Company or its affiliates, or reflecting the strategy, operations, or intellectual property of the Company or its affiliates. Any unpaid personal loans received from the employer should be paid immediately upon termination. Employees are expected to maintain the confidentiality of Company and client information even after employment has been terminated. III. GUIDELINES FOR EMPLOYEE CONDUCT Every organization has certain guidelines developed to reflect good business practices. In establishing any rules of conduct, the Company has no intention of restricting the personal rights of any individual. Rather, the Company wishes to define the guidelines that protect the rights of all employees and to ensure maximum understanding and cooperation. SEXUAL AND OTHER UNLAWFUL HARASSMENT Purpose of Policy Clean and Science is committed to providing a work environment in which all employees are treated with respect and dignity. The Company wants to ensure that all employees have a right to work in an environment free from discrimination and intimidation, including harassment. The Company’s mission is best accomplished in an atmosphere of professionalism which in turn is supported by mutual respect and trust. Clean and Science expects all employees to work toward this goal. Consistent with this commitment, the Company prohibits harassment of any employee by any other employee on the basis of race, color, sex, religion, national origin, age, disability, sexual orientation, marital status, public assistance status, or any other legally protected status. [See Equal Employment Opportunity, above] Any employee who is found to fail to comply with this policy may be subject to disciplinary action, up to and including termination of employment. Definition of Sexual and Other Forms of Harassment Harassment prohibited under this policy consists of unwelcome conduct based on a person’s race, color, creed, religion, national origin, sex, sexual orientation, disability, age, marital status, status with regard to public assistance, or any other protected class status [See Equal Employment Opportunity, above] • when submission to such conduct is: o a condition of employment; or o a basis for an employment decision affecting your job; or • when such conduct has the purpose or effect of: o interfering with your job performance; or o creating an intimidating, hostile, or offensive work environment. Some examples of actions that could be considered harassment when they are taken based upon the victim’s protected class status are: • unwelcome abusive, intimidating, insulting or degrading language or remarks; • displaying in the workplace objects, cartoons, pictures, or stories which may be perceived as offensive or demeaning; or • threats, demands or suggestions that an employee’s status at work, advancement or other terms and conditions of employment (such as pay raises or other incentives) are contingent upon the employee’s ignoring or accepting unwelcome harassment. The Company prohibits harassment in any form, including verbal, physical, and visual harassment. One form of prohibited harassment is sexual harassment. Sexual harassment includes unwelcome sexual advances, requests for sexual favors, sexually motivated physical contact or other verbal or physical conduct or communication of a sexual nature • when submission to such conduct is: o a condition of employment; or o a basis for an employment decision affecting your job; or • when such conduct has the purpose or effect of : o interfering with your job performance; or o creating an intimidating, hostile, or offensive work environment. The Company prohibits sexual harassment in any form, including verbal, physical, and visual harassment. Some examples of conduct that may be sexual harassment under this policy include: • abusive, intimidating, insulting or degrading remarks or conduct of a sexual nature; • use of offensive or demeaning words of a sexual nature, telling sexually suggestive jokes or stories and conversations about sexual exploits, sexual preferences, and desires; • displaying in the workplace sexually suggestive cartoons, pictures, stories, or objects which may be perceived as offensive or demeaning; • threats, demands or suggestions that an employee’s status at work, advancement or other terms and conditions of employment (such as pay raises or other incentives) are contingent upon the employee’s ignoring or accepting unwelcome sexual advances; • unwelcome sexual flirtations, propositions, or invitations to social engagements; or • unwelcome and objectionable physical contact or physical proximity. Scope of Policy This policy prohibits harassment against any individual by a member of the same sex or a member of the opposite sex. In addition, this policy prohibits sexual harassment and any other form of harassment by Company managers and supervisors, employees, coworkers, and clients or customers who deal with the Company’s employees. Reporting Harassment If at any time you feel you are being harassed, you should immediately contact your Manager or the President. The Company wants to resolve any problems, but it can do so only if it is aware of them. The Company encourages any individual who believes he or she is being harassed to report any and all incidents of perceived harassment. The Company will investigate harassment complaints as appropriate, and take other appropriate action. Any person who is found to have committed prohibited harassment will be subject to appropriate corrective action, which may include discipline up to and including termination. Confidentiality Every effort will be made to ensure confidentiality to the extent possible. Retaliation Retaliation against any individual for making a complaint under this policy, for opposing harassment, or for participating in an investigation of any claim regarding harassment or inappropriate behavior is strictly prohibited. If you feel that you have experienced such retaliation, you should immediately report any such retaliation to your Manager or the President. Questions About Policy Any questions about this policy or a related matter, should be referred to your Manager or the President, although we encourage employees to work with their managers first to the extent possible. DRESS CODE What we wear to work is a reflection of the pride we have in ourselves and the Company. Each employee should be well-groomed and present a positive self-image that exhibits professionalism to the Company’s customers, members of the public, and industry representatives. The areas outlined below will help us achieve this goal. • Employees are expected to provide a neat, acceptable professional appearance at all times during the workday. Clothing must be clean and in good repair. • Apparel containing offensive and/or inappropriate language or advertising, including drug/alcohol related material, is not permitted. • Proper personal hygiene is expected at all times. • Make-up, cologne and/or perfume should be worn sparingly. • Hair, beards and mustaches should be clean, combed, and controlled. • Provocative clothing is prohibited. • Offensive tattoos should not be visible. In order to ensure customer confidence and overall safety in the workplace, different work areas may require more specific dress codes. If the Manager or the President perceives appearance to be unacceptable, an employee may be sent home without pay to change or subject to other disciplinary action, up to and including termination. Employees should see the Manager or the President with any questions or clarification as to the dress code policy. WORKPLACE VIOLENCE/WEAPONS Clean & Science is committed to preventing workplace violence and maintaining a safe work environment. Therefore, the Company has adopted the following guidelines to deal with intimidation, violence, or threats of violence that may occur during business hours or on Company or client premises. All employees should be treated with courtesy and respect at all times. Employees are expected to refrain from fighting, “horseplay,” or other conduct that may be dangerous to others. All dangerous or hazardous devices or substances are prohibited from the premises without proper authorization from the Manager or the President. In addition, the possession or use of handguns or other weapons while on Company premises (except Company parking lots where required by state law) is strictly prohibited. This prohibition applies to all employees, independent contractors, temporary employees, visitors, and customers, including those who have a valid permit to carry a concealed weapon. Company employees, independent contractors, and temporary employees also are prohibited from possessing or using handguns or other weapons while operating a Company vehicle or while engaging in Company business off-premises, except lawfully in the individual’s own home. If you are aware that a co-worker, visitor, client, or other individual possesses a handgun or other weapon while on Company premises or while engaged in Company business off premises; or if you observe suspicious individuals, violence or threats of violence in the Company’s workplace or on Company premises by any Company employee, supervisor, vendor, client, or other person you should: • Obtain emergency assistance in any situation that you feel constitutes an emergency; • Take immediate action to protect yourself and others from harm if necessary and where you can do so safely; and • Advise one of the following people of the situation: your Manager All violence or threats of violence, both direct and indirect, should be reported as soon as possible to the Manager. Employees are encouraged to bring their disputes or differences with other employees to the attention of the Manage before the situation escalates into potential violence. The Company will promptly and thoroughly investigate all reports of violence or threats of violence and of suspicious individuals or activities. The identity of the individual making a report will be protected as much as is practical and employees will not be disciplined for raising such concerns. In order to maintain workplace safety and the integrity of its investigation, the Company may suspend employees, either with or without pay, pending investigation. Anyone determined to be responsible for violence or threats of violence or other conduct that is in violation of these guidelines may be subject to disciplinary action up to and including termination of employment. SUBSTANCE ABUSE/SMOKE FREE WORKPLACE As part of the Company’s effort to maintain a safe, productive work environment and to safeguard agency property, the Company is committed to maintaining a smoke free work environment and a work environment free from substance abuse. Because the concern for the safety of all Company employees is particularly important, compliance with this policy is required as a condition of employment for all employees. The Company prohibits its employees from using, possessing, being under the influence of, selling, manufacturing, distributing, soliciting or transferring alcohol or illegal drugs/controlled substances while working, while on Company premises, or while operating any Company vehicle, machinery, or equipment. The appropriate use of legally prescribed and over-the-counter medications is not prohibited. Employees using any prescription or over-the-counter drugs that may affect the safety of others must obtain a determination from their physician as to whether the drug could affect the job safety of the employee or others. In the event that job safety may be affected, the employee must inform the Manager or the President so that appropriate arrangements can be made. Violation of this policy is grounds for discipline, up to and including termination. SAFETY The Company expects its employees to conduct themselves in a safe manner. Therefore, each employee is subject to the following safety provisions. The following list is not comprehensive. • The Company will provide the training and resources needed for each employee to perform their work safely. • Each employee is responsible for working safely by utilizing the training and resources provided by the Company. • Employees must observe all safety rules posted in various areas, and follow all applicable OSHA and state safety regulations. • In the event an employee fails to heed the advice of co-workers concerning an unsafe act, the co-workers must immediately report such an occurrence to the Manager or the President. • Each employee has the responsibility to immediately correct any unsafe condition, regardless of departmental jurisdiction. If unable to correct the unsafe condition, the employee must report the condition to the Manager or the President. • Any employee has the right to challenge, without retaliation, any act or condition he or she considers unsafe. • To promote safety to the Company’s employees and customers, employees must immediately report all incidents occurring with or without injury, to the Manager or the President. • If medical attention other than basic first aid is necessary and the injury occurs outside normal clinic hours, or if the injury is life threatening, area hospitals or urgent care centers will be contacted. • Employees who are required to miss work due to a work-related injury should contact their Manager or the President for information regarding compensation during the period of absence. COMPANY EQUIPMENT Employees may be issued supplies or other Company equipment. Employees are expected to use and maintain supplies and equipment in a safe and conservative manner. Employees are responsible for the general condition of Company equipment and issued supplies and should notify their Manager or the President when any equipment is broken, damaged, or in need of repair. Prompt reporting of damages, defects, and the need for repairs could prevent deterioration of equipment and possible injury to employees or others. Any unauthorized or excessive use or misuse may result in disciplinary action up to and including termination. Company equipment may be expensive and difficult to replace. When using Company property at anytime, or when using personal tools/equipment on Company time and/or Company premises, employees are expected to exercise care, perform required maintenance, and follow all operating instructions, safety standards, and guidelines. The unauthorized, improper, careless, destructive, or unsafe use or operation of this equipment may result in disciplinary action, up to and including termination of employment. Computer and Communications Equipment Certain employees may be issued communications equipment, including telephones, cellular phones, fax machines, computers, and software as well as receive access to e-mail, Internet, and voicemail and other services for use as part of assigned work duties. These resources are the sole property of the Company. The Company may monitor, intercept, access, review, disclose and remove these resources at the Company’s discretion. Therefore, employees should have no expectation of privacy pertaining to such use. The use of passwords does not mean that messages stored on electronic systems are confidential from the Company or may not be retrieved by others. Internet, e-mail, and voice mail systems are provided for business use. While occasional use of these systems for personal, non business use may be allowed at the Company’s discretion, employees must demonstrate responsibility. E-mail and voice mail messages may not contain material that is inappropriate, as determined by the Company, on the basis of race, color, sex, religion, national origin, age, disability, sexual orientation, marital status, public assistance status or any other legally protected status, or that is defamatory, threatening, against the Company’s policies, or contrary to the Company’s interests. The Internet must not be used for gambling or to access information that is discriminatory, obscene, derogatory, or otherwise inappropriate. Employees are expected to compose e-mail and voice mail messages that are professional, business-like, and in good taste, and to use the same care as with hard-copy correspondence. Employees are not allowed to upload or download personal software, copyrighted materials, trade secrets, proprietary financial information or similar materials without prior authorization. Employees may not use a code, access a file or retrieve any stored information without specific authorization. In addition, employees may not access another employee’s e-mail or voice mail without that employee’s permission or specific authorization to do so. Employees must be aware that, even if they delete an e-mail or voice mail message, it can remain in the computer’s memory forever and often may be retrieved at a later date. Employees may not use e-mail or voice mail in a way that causes congestion to the systems or significantly interferes with another employee’s ability to use the systems. Employees should be vigilant when retrieving e-mail messages or information off the Internet to avoid infecting the computer system with a virus. E-mail and internet services may not be used to participate in discussion groups, bulletin boards, chat rooms or other public forums except for approved Company business, professional development, or business development purposes. Employees are also prohibited from “blogging” on work time or during working hours. Likewise, employees may not use Company computers (or other Company provided devices) to blog. Employees are also subject to discipline for any blog posting that discusses, directly or indirectly, the Company, its business or its managers, employees or former employees. OUTSIDE EMPLOYMENT/CONFLICT OF INTEREST The Company does not limit an employee’s activities during non-working hours unless those activities interfere with or are in conflict with the performance of his/her job, or create a conflict of interest. Conflicts of interest are any activity or business practice that directly conflicts with the best interest of the Company. Such activities may include financial or other kickbacks, conducting business with relatives or friends, or divulging Company information to outside sources. Employees are expected to conduct themselves and any business dealings so that at no time a conflict of interest may be present. SOLICITATION/DISTRIBUTION In order to prevent interference with work and inconvenience to other employees, solicitation for any cause, or distribution of literature of any kind, during working time, is not permitted. In addition, an employee who is not on working time, such as an employee who is on lunch or on break, may not solicit an employee who is on working time for any cause or distribute literature of any kind to that person. Whether on working time or not, no employee may distribute literature of any kind in any working areas of Company premises. Persons not employed by the Company may not solicit or distribute literature at any time on Company premises. Please report any non-employee solicitation or distribution to the Manager or the President. This rule applies equally whether a solicitation or distribution is for charitable, civic, organizational or any other purpose. BREAKROOM/WORK AREAS The Company provides break areas and work areas for its employees. The Company expects each employee to clean up after him/herself as a matter of courtesy to all. Food and drinks should be consumed in the break area, rather than in work areas. Each employee should do their part in ensuring the building is clean and orderly at all times and that it presents a positive image to customers and visitors. IV. COMPENSATION AND WORK HOURS WORK HOURS Work hours vary by location. All employees are expected to be at their respective work areas during all working hours when scheduled. Regular Corporate Office hours are 9:00 AM to 6:00 PM, Monday through Friday. WORK SCHEDULE Work schedules vary by location, however, employees are informed of their regular work schedule upon hire. Employees schedules may be changed due to the Company’s and customer’s needs. Employees will be given appropriate notice of schedule changes. Time off requests are due two (2) weeks before the requested time off. The request is reviewed and subject to approval by the Manager or the President. The employee will be notified if the request is denied. BREAKS It is the Company’s policy to grant an unpaid thirty (30) minute break for every (4) hours or more hours worked. Break times are at Manager’s discretion. In order to provide optimal, quality service to the Company’s customers, the Company cannot guarantee the same break time every day. It is important to plan breaks with others to ensure departmental coverage is maintained. Since the break is unpaid and considered non-work time, employees should use this time, rather than paid work time, to conduct any personal business. ABSENTEEISM/TARDINESS All employees are expected to be at their workstation ready to work at their scheduled time, return from break periods as scheduled, and work their full scheduled hours. Tardiness and absence from scheduled work time can disrupt Company ability to serve customers. Employees who will be absent from work for any reason, must call their Manager or the President at the earliest possible opportunity and within thirty (30) minutes of their scheduled start time. Employees who fail, for three (3) consecutive scheduled work times, to show up for work or to call in advance to inform their Manager or the President of the absence, are deemed to have voluntarily resigned their employment. Also Employees with two (2) attendance violations may be terminated after a third violation occurring within three (3) months of the second violation. Any repeated absenteeism and/or tardiness may result in disciplinary action, up to and including termination. The Company recognizes that, as a result of a personal illness, an emergency, or other sudden circumstance, occasionally unscheduled, unearned time off may be required. You must notify your Manager or the President immediately of such absence. Frequent or extended absences without sufficient justification, as determined by the Company and applicable law, may be a significant factor in decisions relating to compensation, promotion, and disciplinary action, up to and including termination. PAY PERIOD AND PAYCHECKS The pay period is on a weekly schedule. The work week begins on Monday and ends on Sunday. Checks are issued every week, following the close of a pay period. If a payday falls on a holiday, paychecks will be distributed on the last working day prior to the holiday. Employees should review and verify paycheck information on a regular basis so any necessary changes can be made as soon as possible. Employees losing their paycheck must immediately report the loss to their Manager or the President. The employee will be responsible for any charges incurred for stop-payment process by the bank. Employees who would like their paychecks directly deposited into a bank account of their choosing should contact their Manager or the President. PAYROLL DEDUCTIONS Normal payroll deductions for federal and state income tax, FICA, and Medicare will automatically be deducted from your paycheck based on information you provide to the Company. Other payroll deductions required or permitted by law (e.g., garnishments and child support) will also be made when appropriate. Additionally, voluntary deductions for other purposes, such as medical insurance, may be allowed. Any questions concerning paychecks should be directed to the Manager or the President. TIME RECORDING PROCEDURES All employees paid on an hourly basis are required to accurately record the time they begin and end their work. Time worked is all the time actually spent on the job performing assigned duties, therefore, employees must not sign-in until ready to start work. Arriving to work and signing-in more than seven (7) minutes before the start of a scheduled shift or signing-out more than seven (7) minutes after the end of a scheduled shift without prior approval is unacceptable. Exceptions to scheduled work hours, including overtime, may not be permitted without prior approval from the Manager or the President. Employees must record their individual time only, using the Sign-In/Sign-Out Sheet. Any errors or accidental omissions on the sheet requiring correction must be signed and corrected by the Manager or the President, not the employee. Any employee who alters, tampers with, or falsely records time worked, alters another employee’s Sign-In/Sign-Out, or violates any time recording procedure may be subject to disciplinary action, up to and including termination. OVERTIME It is the Company’s policy to fully comply with federal and state wage and hour laws. This includes properly compensating overtime. Only non-exempt employees are eligible for overtime pay. Compensation for overtime is one and one half times the regular rate of pay for all hours worked over 40 in a work week, depending upon applicable laws. Overtime may not be permitted without prior approval of the Manager or the President. The Company attempts to plan overtime with consideration for employees and customers. WAGE AND HOUR COMPLIANCE It is the policy of Company to fully comply with state and federal laws regarding payment of wages and to investigate and correct any improper payroll deductions or other payroll practices that do not comply with these laws. The Company takes all reasonable steps to ensure that employees receive the correct amount of pay in each paycheck and that employees are paid promptly on the scheduled payday. In addition, the Company will pay salaried employees their full salary for any work week in which they perform work, regardless of the number of days or hours worked, subject only to deductions that are permitted by law. Full day deductions from pay that are permitted by law include, for example, deductions for personal time off, sick days before or after eligibility for paid sick leave, and in some states, days absent for legally required absences such as jury duty, testifying as a witness, or serving military service, or days not worked during the first or last week of employment. Full or partial day deductions may be made from the salaries of exempt employees for infractions of safety rules of major significance. In the unlikely event that there is an error in the amount of pay, that an improper deduction has been taken, or another improper payroll practice is occurring, the employee should promptly bring the issue to the attention of their Manager or the President, so that corrections can be made as quickly as possible. The Manager or the President will see that the matter is appropriately reviewed, and the employee will be reimbursed for the amount of any inappropriate deduction taken or other payroll mistake. V. PAID TIME OFF AND LEAVE PAID TIME OFF Paid Time Off (“PTO”) is designed to increase the flexibility of time-off benefits for employees by combining accrued time off benefits into a single bank of time. This time can be used in the employee’s discretion with the appropriate supervisory approval. PTO covers vacations, sick leave (for both employee and family members), and other leaves such as days off for funerals, school activities, or jury duty. PTO is available to regular, full-time employees according to the following schedule: Years of Service PTO Hours Per Year* Three years or less [120 hours] Four and more years [120 hours, plus 8 hours for each additional year served, but in no event shall PTO hours exceed 200 hours per year] *PTO made available to employees each January 1. Part-Time Employees: Employees who are scheduled to work more than twenty (20) hours per week, but fewer than forty (40) hours a week will have their PTO days prorated based on their normal schedule. No PTO Carry-Over: PTO should be used in the year that it is made available. Except in extraordinary circumstances in which the employee has obtained written permission from the President, employees will not be permitted to carry over any unused PTO days. Employees are encouraged to use all of their PTO each year. Unused PTO will carry no cash value, and employees will not be paid for any available PTO which is unused at the end of each year. New Employees: Employees who begin employment after January 1 are eligible for PTO on a prorated basis based upon the remaining months of the year. For example, if an employee is hired on July 1st into a position that provides ninety (90) hours of PTO, the employee is eligible for forty-five (45) hours of PTO during the remainder of the first year of employment. PTO Payment Upon Termination: Employees who terminate employment during the year will receive payment for any unused PTO on a prorated basis determined by multiplying the number of PTO hours available for the year by the percentage of the year worked and subtracting any PTO hours which the employee has already used. For example, if an employee who would have been eligible to use 100 hours of PTO during the year resigns employment on June 30th, and the employee had already used 40 hours of PTO during the year, the Company would pay the employee an additional 10 hours of PTO [100 (PTO hours) x .5 (half a year) – 40 (hours of PTO already used) = 10 (remaining hours of PTO)]. Use of PTO: Employees should notify their supervisor as far in advance as possible of the need for PTO. Employees also are expected to comply with any additional notification procedures that are adopted by their particular supervisor. HOLIDAYS The Company observes the following holidays. On these holidays, the corporate office will be closed unless otherwise directed. New Year’s Day Independence Day (July 4) Thanksgiving Day Memorial Day Labor Day Christmas Day All full-time employees are eligible to receive holiday pay for these Company observed holidays upon completion of three (3) consecutive months of service. This pay is not considered time worked for purposes of overtime and employees will receive holiday pay based on regular hours worked. Eligible employees must work the last scheduled day prior to the holiday and the first scheduled day after the holiday in order to receive holiday pay. Employees who have pre-approved vacation time for those work days will be eligible for holiday pay. The Company reserves the right to designate which days will be recognized as paid holidays in lieu of the day on which the holiday may occur. Further, if a holiday falls on a weekend, the Company may choose to issue holiday pay rather than designating an alternative day off. Part time and temporary employees are not eligible for holiday pay. LEAVES OF ABSENCE Employees wishing to request any of the following leaves of absence should promptly submit a written request to the Manager or the President for consideration. Final approval will be determined based on assessment of Company needs. Bereavement In the event of the death of an immediate family member, employees may be granted a bereavement leave of up to three (3) working days of paid time off to handle family affairs and attend the funeral. A copy of the Death Certificate must be submitted to the Manager or the President upon returning to work after the services in order to receive payment for the time off. Additional unpaid time off may be allowed upon the Manager’s or President’s approval. For purposes of this benefit, “immediate family” is defined as spouse, child, father, mother, sister, brother. Military Leave Employees who are members of, apply to perform, or have an obligation to perform service in a uniformed service will be granted an unpaid leave of absence to perform such service. Military leave requests should be made to the Manager or the President. The term “uniformed service” means the Armed Forces, the Army National Guard and the Air National Guard when engaged in active duty, active duty for training, initial active duty for training, inactive duty training, full-time National Guard duty, the commissioned corps of the Public Health Service, and any other category of persons designated by the President in time of war or emergency. As soon as an employee is informed of the dates of the military training, he or she should notify his or her the Manager or the President and request a leave of absence, even if he or she has not yet received written orders. Employees who take military leave will be returned to work if the military leave has lasted fewer than five (5) years and if the employee was discharged or released under honorable conditions. Upon reporting back to work, the employee will be reinstated, with such pay, vacation, holidays and other benefits based on presence at work that he or she would have had but for the military service, to a position the duties of which the employee is qualified to perform after reasonable efforts by the Company to qualify the employee. In the case of an employee whose period of military service is less than thirty-one (31) days, an employee must report back to his or her job at the first regularly scheduled shift after the completion of military service and the time required for return from the place of military service to the place of civilian employment. An employee called to active duty for more than thirty (30) days, but less than 181 days, must report back to his or her job not more than fourteen (14) days after the completion of his or her military service. An employee called to active duty for more than 180 days must report back to his or her job not more than ninety (90) days after the completion of his or her military service. Employees may take up to two weeks per year for military reserve training. This training may be combined with paid vacation time at the employee’s option. Jury Duty/Witness Leave The Company will allow time off in accordance with applicable law for employees to take part in jury duty. However, employees should inquire about the duration of the jury trial in advance of accepting such service. The Company is also aware that employees may be subpoenaed to appear as witnesses in court proceedings. Please contact the Manager or the President promptly after receiving notification to appear. Voting/Elections Leave In general, adequate time is available before or after the workday to exercise the right to vote. If an employee that is eligible to vote encounters schedule problems and is unable to vote before or after the workday, he/she may take up to two (2) hours of unpaid leave in order to vote or to act as an election officer or election judge. Employees should provide advance notice to the Manager or the President if they require time off to vote or for other election activity. VI. BENEFITS EMPLOYEE DEVELOPMENT Tuition Reimbursement/Continuing Education Seminars This benefit is provided on an individual basis to employees requested by management to attend a job-related seminar or class. Prior approval is required to receive any reimbursement for tuition or continuing education seminar fees. Required Meetings/Training Employees will be compensated at their regular rate of pay for the duration of any required Company or departmental meetings or training, either during regular business hours, evenings or weekends. WORKER’S COMPENSATION INSURANCE Employees are covered by workers’ compensation insurance in accordance with state law. The Company carries this insurance on all employees to provide benefits for time lost from work and the cost of medical expenses due to disabling job-related injuries and illnesses as defined by the law. This protection starts on the first day of work. To safeguard employee benefits under the law, it is important that employees report any accident or injury (no matter how minor) to the Manager or the President immediately after it happens. Failure to report claims in a timely manner may result in loss of benefit. False claims may result in disciplinary action, up to and including termination. For employee protection, after the claim has been reported, the Manager or the President will work with the employee to ensure that all necessary paperwork is completed in accordance with the law. The Company and its insurance carrier shall not be responsible for the payment of Workers’ Compensation benefits for any injury that arises out of an employee’s voluntary participation in any off duty recreational, social, or athletic activity that is not part of the employee’s work related duties. UNEMPLOYMENT COMPENSATION INSURANCE Benefits under this insurance law are available to those who meet the requirements if they become unemployed. Eligibility for receiving benefits is determined by state compensation laws. EMPLOYEE REIMBURSEMENT POLICY The Company will reimburse reasonable work related expenses provided the following guidelines are followed: • The appropriate form must be completed for all reimbursement requests. • Requests for reimbursement of any kind must be submitted to the Manager or the President within forty-five (45) days of the expense being incurred. Mileage forms are to be submitted monthly. • Receipts are required on all reimbursements. The Manager or the President may approve reimbursements where receipts are lost or unavailable. • Expenses over $100.00 must be pre-approved by the Manager or the President. Local Travel Local travel is defined as travel to a point of destination in either the Metropolitan area or their suburbs. An employee in his/her automobile for the benefit of the Company during authorized working hours will be entitled to a travel reimbursement claimed at a set rate. The Company may also reimburse the employee for any parking fees incurred. The Company may reimburse the employee for the actual costs incurred when travel is made by other means of transportation. To be reimbursed for local travel expenses, an employee must complete the proper mileage expense reimbursement form and submit all receipts. Commuting miles are not a work related expense and thus are not reimbursable to the employee. Out-of-Town Travel Out-of-town travel is defined as travel to a point of destination other than the Metropolitan area, or their immediate suburbs. Such travel must have written approval of the Manager or the President. To be reimbursed for out-of-town travel expenses, an employee must complete the proper travel expense form and submit all receipts. Pre-payment will be made, when possible, for conference or convention registrations, hotel deposits, and airline fares. Hotel accommodations must be at the single room rate and airline accommodations must be at the best available rate.
