Source text - English إتفق الطرفان وهما بكامل الأهلية وأتم الأوصاف المعتبرة شرعاً وبتبادل الإيجاب والقبول على ما يلي:
المادة الأولى: موضوع العقد
يوافق الطرف الثاني على العمل لدى الطرف الأول وتحت إدارته وإشرافه أو إدارة من ينوب عنه وفق شروط هذا العقد بوظيفة صيدلي تم تعينه من قبل شركة اكورد.
المادة الثانية: اسم وصفة العقد
عقد غير محدد المدة.
المادة الثالثة : مكان العمل
يقرالطرف الثاني انه قبل العمل لدى الطرف ألاول في مدينة الرياض ،ويكون الطرف الثاني مسؤول في متابعة اجراءات التسجيل لدى هيئة الغداء والدواء السعودية فيما يتعلق بأصناف شركة اكورد الدوائية.
المادة الرابعة : فترة التجربة
يعتبر الطرف الثاني تحت التجربة طوال السته اشهر الأولى ، والتي تبدأ من تاريخ مباشرته الفعلية للعمل لدى الطرف الأول ، فإذا ثبت عدم صلاحية الطرف الثاني خلال هذه الفترة فيحق للطرف الأول إنهاء خدمته دون إنذار أو مكافأة أو تعويض.
المادة الخامسة : الأجر
يدفع الطرف الأول للطرف الثاني مقابل عمله ما يلي:
1. راتب أساسي شهري قدره (15600) ريال فقط .
2. بدل سكن شهري قدرة (7800) ريال فقط
3. بدل موصلات شهري وقدرة(2600) ريال فقط
الماده السادسة : المميزات الممنوحة للطرف الثاني
يمنح الطرف الأول للطرف الثاني المميزات التالية، وفقاً للسياسة المعمول بها لدى الطرف الاول:
1. إجازة سنوية مدفوعة الأجر مدتها ثلاثون يوماً بعد إكمال إثنى عشر شهرا في العمل، ويحدد الطرف الأول بالإتفاق مع الطرف الثاني تاريخ تمتع الطرف الثاني بهذه الإجازة حسبما تقتضيه مصلحة العمل. ويحق للطرف الأول أن يلغي إجازة الطرف الثاني السنوية نظراً لحاجة العمل على أن يعوضه عن ذلك بأن يدفع له مرتباً إضافيا مثل راتبه الشهري الأساسي عن المدة المذكورة.
2. مكافأة نهاية الخدمة وفقا لنظام مكتب العمل.
المادة السابعة : إنهاء العقد
يحق لأي طرف من الطرفين إنهاء هذا العقد بإرادته المنفردة بشرط إخطار الطرف الآخر كتابياً قبل التاريخ المحدد للإنهاء بستين يوماً، وفي حالة عدم إلتزام أي من الطرفين بالمدة المشار اليها يدفع الطرف المخل للطرف الآخر تعويضا معادلاً لمدة الاخطارهذا مع العلم أنه يجب على الطرف الأول الاتفاق اولا مع شركة أكورد قبل الاقدام على إنهاء خدمات الطرف الثاني.كتابيا.
المادة الثامنة : إلتزامات الطرف الثاني
يتعهد ويلتزم الطرف الثاني طيلة تعاقده وعمله لدى الطرف الأول بما يلي:
1. أن يباشر مهام وظيفته في المقر الذي يحدده الطرف الاول.
2. أن يلتزم إلتزاما تاما بأوقات الدوام الرسمي.
3. أن يقوم بأعباء هذه الوظيفة وما يدخل عادة في إختصاصها، وأن يستخدم كل قدراته في تحسين وتطوير العمل، وأن يعمل بجد واجتهاد ومواظبة وتكون لديه الغيرة على مصلحة العمل، وأن يخضع ويتبع جميع أنظمة وسياسات وإجراءات العمل الحالية والمستقبلية، المكتوبة والعرفية المتبعة.
4. أن يراعي الدين والأخلاق الحسنة والعادات والتقاليد والأعراف الإجتماعية السارية في المملكة العربية السعودية في جميع تعاملاته مع زملائه ورؤسائه وعملاء وزبائن الطرف الأول وملاكه ووكلائه والشركات التي يمثلها والجهات والأشخاص المتعاملين معه.
5. أن يلتزم بالمحافظة على ما في عهدته وأن يستخدمها في الأغراض المعدة لها ولأداء عمله الذي تتطلبه وظيفته، وكذلك أن يحافظ على أعمال وتجارة واستثمارات وأموال وممتلكات وأصول الطرف الأول.
6. أن يبلغ فورا الطرف الاول عن أي فعل أو تقصير ينتج عنه الحاق ضرر أو خسارة مادية أو معنوية بالعمل.
7. أن يحافظ على أسرار وكل ما يصل إلى علمه من معلومات ومستندات مباشرة وغير مباشرة عن الطرف الأول ونشاطه وعمله وعقوده وماليته وارتباطاته والتزاماته ومستنداته وأصوله وخصومه وممتلكاته وعملائه وزبائنه وموظفيه وملاكه ووكلائه وشركاته التي يمثلها ومعاملاته الداخلية والخارجية، سواءا كانت تحت عهدته أو عهدة زملائه. ويتعهد ويلتزم بعدم إفشاء أي من ذلك مهما كان سواءا شفاهة أو كتابة أو تقريرا أو بأي شكل من الأشكال، ولأي سبب من الأسباب، ولأي فرد يعمل لدى الطرف الأول أو للغير أو لأي طرف آخر، حتى بعد إنهاء عقده مع الطرف الأول وخروجه من العمل.
8. أن لا يسبب أية أضرار أو تلفيات أو خسائر مادية أو معنوية مباشرة أو غير مباشرة للطرف الأول أو عملائه أو زبائنه أو ملاكه أو وكلائه أو مدرائه أو موظفيه أو الشركات التي يمثلها أو أي جهة لها علاقة بالطرف الأول مها كانت الظروف حتى لو كان هناك خلاف بينه وبين أي منهم لا سمح الله.
9. أن يلتزم بتنفيذ أية مهام أو أعمال يكلفه بها الطرف الاول في حالات الضرورة سواء داخل المملكة العربية السعودية او خارجها.
10. أن يلتزم بعدم العمل لدى أي جهة كانت، سواءا في القطاع الحكومي أو الخاص أو الأفراد أو لحسابه الخاص، بشكل مباشر أو غير مباشر، بأجر أو بغير أجر، بما في ذلك الإجازات والعطل وبعد الدوام. وإذا أخل الطرف الثاني بهذا الإلتزام فإنه يقوم بدفع للطرف الأول جميع ما قبضه من أجر طيلة فترة عمله لدى أي جهة أخرى، بالإضافة إلى حق الطرف الأول في فسخ هذا العقد بدون أي تعويض بسبب هذا الإخلال.
11. إن يقوم الطرف الثاني بتأدية الالتزامات الجوهرية المترتبة عليه من واقع العقد وتحقيق المستهدف الموقع عليه.
المادة التاسعة : أحكام عامة
1. يلغي هذا العقد أي عقد أو إتفاق سابق بين الطرفين.
2. لا يترتب على هذا العقد أي التزامات على الطرف الاول في مواجهة من يعولهم الطرف الثاني أو مرافقيه.
3. يعتبر عنوان الطرف الاول عنوانا مشتركا لكلا الطرفين ويحق للطرف الاول أن يسلم فيه جميع الاشعارات والاخطارات إلى الطرف الثاني باليد أو وضعها على لوحة الاعلانات في مقر العمل.
4. يقر الطرف الثاني بأنه لا توجد لديه أي أمراض مزمنة، وأنه سالماً من الأمراض التي تمنعه من القيام بواجب الوظيفة، وأن الوثائق المقدمة منه صحيحة ومكتملة، وفي حالة ظهور خلاف ذلك يحق للطرف الأول إنهاء هذا العقد، وإن أصيب بمرض لا سمح الله أصبح له الحق في إجازة مرضية تقررها الهيئات أو الجهات الطبية بالسعودية بموجب نظام العمل والعمال المعمول به في المملكة العربية السعودية.
5. إذا تغيب الطرف الثاني دون سبب مشروع أكثر من عشرين يوما متقطعة أو أكثر من عشرة أيام متصلة خلال السنة فإن للطرف الأول الحق في فصله وإنهاء العقد.
6. تحتسب المده في هذا العقد بالتقويم الميلادي.
7. كل ما لم يرد بشانه نص في هذا العقد يطبق عليه نظام العمل والعمال المعمول به في المملكة العربية السعودية، وفي حال إختلاف النص الإنجليزي للعقد (إن وجد) عن العربي يكون النص العربي هو الأساس.
8. يقر الطرف الثاني بأنه قد سبق له قبل التوقيع على هذا العقد الاطلاع على ما جاء في لائحة تنظيم العمل المعمول بها لدى الطرف الأول وأنه ملتزم بما جاء فيها.
9. أي خلاف ينشأ بين طرفي العقد بسبب تنفيذه أو تفسيره يتم حله ودياً، فإذا تعذر ذلك فيعرض النزاع على لجان العمل المختصة في مدينة الرياض.
10. يتعهد ويلتزم الطرف الثاني بعدم العمل لدى أي جهة أو شركة منافسة لنشاطات الطرف الاول أو الشركات التي يمثلها في المملكة العربية السعودية سواءا بأجر أو بدون أجر لمدة لاتقل عن ستة شهور من تاريخ انتهاء هذا العقد لأي سبب. واذا ثبت غير ذلك فيحق للطرف الاول اتخاذ الاجراءات التي يراها مناسبة.
المادة االعاشرة: فسخ العقد
للطرف الأول بعد الاتفاق كتابيا مع شركة أكورد حق فسخ العقد في أي وقت بدون إنذار أو تنبيه بسبب ضعف كفاءة الطرف الثاني أو سوء سلوكه وفي هذه الحالة لا يكون للطرف الثاني أي حق قبل الطرف الأول سوى ما نص عليه نظام العمل والعمال المعمول به في المملكة العربية السعودية.
المادة الحادية عشر :الاسباب القهرية
إن جميع الأسباب القهرية لا سمح الله والمعروفة عرفاً وقانونا تكون مقبولة من الطرفين دون إلتزام.
تم تحرير هذا العقد بتاريخ 01/10/2018م بمدينة جده، من نسختين استلم كل طرف نسخة للاحتفاظ بها والعمل بمقتضاها والرجوع اليها وقت اللزوم.
Translation - Arabic The two Parties, with all legal capacity and complete descriptions deemed legal, agree hereby on the following clauses:
Clause I: Subject of the Contract
“Second Party” agrees to work for “First Party” and under its management and supervision or the administration of its representative in accordance with the terms of this Contract as a “Pharmacist” appointed by Accord Company.
Clause III: Place of work
“Second Party” acknowledges that he accepts working for “First Party” in the city of Riyadh, “Second Party” shall be responsible for following up the registration procedures with the Saudi Food and Drug Authority regarding the types of medicine of Accord Company.
Clause IV: Probation Period
“Second Party” shall be on probation for the first six months, which starts from the date of his actual commencement of work with “First Party”. In case “Second Party” is proven disqualified during this period, “First Party” shall be entitled to terminate the Contract without warning, reward or compensation.
Clause V: Salary
“First Party” shall pay “Second Party” the following:
1. Basic monthly salary of (15600) Saudi Riyals only.
2. Monthly housing allowance of (7800) Saudi Riyals only.
3. Monthly transportation allowance of (2600) Saudi Riyals only.
Clause VI: Benefits given to “Second Party”
“First Party” shall give “Second Party” the following benefits according to the policy applied by “First Party”:
1. Paid annual leave of thirty days after completion of twelve months in work, “First Party”, in agreement with “Second Party”, shall determine the date of taking of the above-mentioned leave as required by the business need. “First Party” may cancel the annual leave of “Second Party” due to the need for work, and shall compensate “Second Party” by paying him an additional salary equivalent to his basic monthly salary for the mentioned period.
2. End-of-service gratuity according to the Labor Law.
Clause VII: Termination of the Contract
Any of both Parties may terminate this Contract unilaterally, upon giving written notice to the other Party before sixty days of the set date for termination. In the event that any of both Parties does not comply with the aforementioned period, the violating Party shall pay the other Party a compensation equivalent to the period of this notification, knowing that “First Party” shall agree with Accord Company in writing before proceeding with the services termination of “Second Party”.
Clause VIII: Liabilities of “Second Party”
“Second Party” hereby shall be responsible for doing the following for “First Party”:
1. Perform his job duties at the headquarters determined by “First Party”.
2. Fully comply with the official working hours.
3. Perform the duties of this job and duties usually related thereto, use his all capabilities in improving and developing the business, work hard, with perseverance, have jealousy for the sake of the business interest, and comply with and follow all current and future work regulations, policies and procedures written and customary followed.
4. Take into consideration the Islamic religion, good morals, customs, traditions and social norms in the Kingdom of Saudi Arabia in all his dealings with his colleagues and superiors, and “First Party’s” clients, customers, owners, agents, companies it represents, entities and people who deal with it.
5. Commit to preserving what is under his custody and use the same for the intended purposes, perform the required tasks, and maintain the business, trade, investments, money, properties, and assets of “First Party”.
6. Inform “First Party” immediately of any act or carelessness, which causes any material or moral damage or loss to the work.
7. Keep all confidential information and direct or indirect documents related to “First Party”, Its practices, work, contracts, finances, commitments, responsibilities, documents, assets, liabilities, properties, clients, customers, employees, owners, agents, and companies it represents and Its internal and external transactions, whether such information and documents were in “Second Party’s” charge or in his colleagues’ charge. “Second Party” may not disclose any of such information and documents, whether verbally, in writing, by confirmation or in any way, for any reason, and to any individual working for “First Party” or for any other party, even after the termination of this Contract and leaving the job.
8. “Second Party” may not cause any direct or indirect material or moral damages, or losses to “First Party” or its clients, customers, owners, agents, managers, employees, or companies it represents, or any entity related thereto, whatever the circumstances, even if there is a dispute between “Second Party” and anyone of the above-mentioned, God forbid.
9. Perform any tasks assigned to him by “First Party” in necessary cases whether inside or outside the Kingdom of Saudi Arabia.
10. “Second Party” may not work for any entity, whether in the governmental or private sector or individuals or for his own directly or indirectly, with or without wage, including vacations, holidays and after work. If “Second Party” violates this obligation, he shall pay “First Party” all the wages he received during the period of his work with any other party, in addition, “First Party” has the right to terminate this Contract without any compensation due to this violation.
11. Perform the fundamental obligations thereof and achieving the target assigned thereto.
Clause IX: General Provisions
1. This Contract shall supersede any previous Contract or Agreement between the two Parties.
2. This Contract shall not include any obligations on “First Party” regarding the dependents or escorts of “Second Party”.
3. The address of “First Party” is deemed a common address for both Parties and “First Party” has the right to hand over all notifications and announcements to “Second Party” by hand or put such on the notice board at the workplace.
4. “Second Party” acknowledges that he does not have any chronic diseases, has no diseases that prevent him from performing the job duties, and that the documents submitted by him are correct and complete. In the case of otherwise emerged, “First Party” may terminate this Contract, and if “Second Party” suffers from a disease during this Contract, God forbid, he has the right to a have sick leave determined by the Saudi medical authorities according to the Labor Law applicable in the Kingdom of Saudi Arabia.
5. In case of Second Party’s absence without legitimate cause more than twenty intermittent days or more than ten consecutive days during the year, “First Party” may fire him and terminate the Contract.
6. The duration of this Contract shall be calculated in the Gregorian calendar.
7. Matters not covered by this Contract shall be subject to the applicable Labor Law in the Kingdom of Saudi Arabia, if the English text is different from the Arabic (if any), then the Arabic text is the basis.
8. “Second Party” acknowledges that, prior to signing this Contract, he had previously read what is mentioned in the Regulation of Work applied by “First Party” and that he complies with such Regulation.
9. Any dispute that arises between the two Parties of this Contract because regards its implementation or interpretation shall be solved amicably, If not possible, the dispute shall be submitted to the relevant labor committees in the city of Riyadh.
10. “Second Party” shall undertake not to work for any party or company competing with the activities of “First Party” or the companies it represents in the Kingdom of Saudi Arabia, whether with or without pay for a period of not less than six months from the date of terminating this Contract for any reason. If proven otherwise, “First Party” may take the measures it deems appropriate.
Clause X: Termination of contract
“First Party”, after agreement in writing with Accord Company, has the right to terminate the Contract at any time without warning or notice due to the week competence or misconduct of “Second Party”. In this case, “Second Party” may not have any right before “First Party” except what is stipulated in the applicable Labor Law in the Kingdom of Saudi Arabia.
Clause XI: Compelling Reasons
Any compelling reasons are known to be customary and legal, God forbid, shall be acceptable for both Parties without liability.
This Contract was concluded on 01/10/2018 in Jeddah, in 2 copies, one per each Party to retain it and work accordingly.
