Pojawiają się głosy, iż skutkiem naruszenia zakazu jest wygaśnięcie mandatu członka zarządu, a podejmowane przez takiego członka zarządu czynności są nieskuteczne (wyrok SN z dnia 10.01.2008 roku, IV CSK 356/07) lub też nieważne (art. 39 w zw. z art. 58 k.c.).
Według innych nie powstaje skutek wygaśnięcia mandatu, a ewentualny kontrahent spółki reprezentowanej przez członka zarządu objętego zakazem jest chroniony poprzez domniemanie prawdziwości wpisów w Krajowym Rejestrze Sądowym lub też działa jako tzw. rzekomy pełnomocnik (którego czynności mogą zostać potwierdzone przez spółkę).
Pojawiają się głosy, iż skutkiem naruszenia zakazu jest wygaśnięcie mandatu członka zarządu, a podejmowane przez takiego członka zarządu czynności są nieskuteczne (wyrok SN z dnia 10.01.2008 roku, IV CSK 356/07) lub też nieważne (art. 39 w zw. z art. 58 k.c.).

The person who act on behalf of someone else, not even having the authority or exceeding its limits, is called the alleged attorney (falsus procurator). Generally, his actions do not cause any effects for the represented person. However, the agrement he entered can be confirmed by the principal. Otherwise, the alleged agent is obliged to repay the received benefits and to redress.

On the Internet there are numerous definitions of "procurator", which is a function under Civil Law.
It essentially means a person who represents a company with power to bind the company.
I do not believe that "falsus procurator" exists in English. It is a European term. (Note that "procurator" itself does not properly exist in English.)

According to Black's Law Dictionary (EN>EN), "falsus" mainly means fraudulent or deceitful, which would carry the wrong connotation here.
It essentially means a person who represents a company with power to bind the company.
I do not believe that "falsus procurator" exists in English. It is a European term. (Note that "procurator" itself does not properly exist in English.)

The principal may ratify the unauthorized act and such ratification has retrospective effect, relieving the agent from liability to the third party. The German Commercial Code favours ratification in the case of certain commercial agents (Handelsvertreter); if a commercial agent authorized to procure contracts concludes them in the name of the principal or an agent authorized to conclude contracts exceeds his authority, the principal must reject at once after being aware of the agent's unauthorized act, otherwise it is deemed to be ratified. In English law ratification is only possible if the unauthorized agent has acted in a representative capacity, i.e., for a named or unnamed principal, but if the agent has acted for an undisclosed principal, the latter cannot ratify the unauthorized act of the agent.
