I. Borrower, a 50% controlled subsidiary of Lender, owes the latter a sum of Euro 1,828,419.50 under certain unpaid invoices for materials’ supplies, according to the statement issued by Lender dated February 28, 2006, and attached hereto as Annex 1.
II. Borrower further owes an equivalent amount to its former other 50% controlling shareholder, XXX LIMITED (formerly, XXX LIMITED), a British company with registered number XXX and registered office at XXXXX , United Kingdom (“XXX”), under certain unpaid invoices for materials’ supplies.
