A Sales and Account Management development programme called 'Winning Business Fundamentals' has been run in EMEA and Nordic last quarter for these communities. Strategic Customer Forum
The second Strategic Customers forum took place in February, hosted in Lisbon by Paulo Igrejas and his team. The event featured an excellent presentation from a JMR representative; explaining what the outsourcing decision-making process had been like from the other side of the fence. Joe Nellis of the Cranfield Business School gave a workshop on identifying opportunities through PEST (political, economical, social, technological) analysis and 'five forces' which was very well received. Source text - English LICENSE AND DISTRIBUTION AGREEMENT
BY AND BETWEEN
This License Agreement (“Agreement” and/or “License Agreement”) is entered into as of the __ day of _________, 2002, by and between **** S.r.l., an italian company with its principal place of business at via ("****"), and **** Electro-Pump Industrial Company Ltd., ("****").
RECITALS
Whereas:
- **** is an Italian company which produces and distribute ___________;
**** is an Iranian company which ____ ;
- **** S.p.A. and **** have subscribed on October, 1st, 2001, a Distribution Agreement (“Sales & Agency Agreement”, Schedule A, hereinafter referred to as “Distribution Agreement”), by means of which **** acts as a distributor for the whole range of **** Products in the territory of the State of Iran;
- **** S.r.l. has purchased the assets and liabilities of **** S.p.A., and acts as the successor of **** S.p.A. also in connection to the Distribution Agreement;
- The parties are willing to confirm the validity of the Distribution Agreement and to start, in addition to it, a new contractual partnership, in order to license to **** the manufacturing of Submersible motors. By means of the new agreement, **** shall supply the components to ****, and **** shall assembly the motors and distribute them in the territory of Iran.
NOW, THEREFORE, the parties hereby agree as follows:
1. RECITALS, SCHEDULES AND DEFINITIONS
1.1 The Recitals and Schedules to this Agreement form an integral part of it.
1.2 The definitions used in this Agreement shall be the same of the Distribution Agreement, unless otherwise expressly agreed, and:
1.3 “Licensed Property” shall mean any and all of the trade secrets and technical information, provided by **** to **** and necessary or useful to manufacture the Products.
1.4 “Technical Information” means all transferable technical data, know-how, plans, drawings, blueprints, specifications, methods, and other information or assistance pertaining to the Trade Secrets, or any of them, whether or not such information is required to be maintained as confidential under Section 9 of this Agreement.
1.5 “Trade Secrets” means that portion of the Licensed Property which: (a) derives independent economic value, whether actual, potential, or both, from not being generally known to the public or to other persons who can obtain economic value from its disclosure or use; and (b) is the subject of efforts that are reasonable under the circumstances to maintain its secrecy.
1.6 “Improvements” means improvements, modifications, adaptations, revisions, enhancements, additions, or changes to any of the Licensed Property.
1.7 “Components” means all and any item needed to assemble and manufacture the Products as specified in Schedule B hereto;
1.8 “Territory” means for the purpose of this License Agreement and of the Distribution Agreement attached (Schedule A) the State of Iran.
2. GRANT CLAUSE
2.1 Subject to the terms and conditions of this Agreement, **** hereby grants to ****, that agrees, the exclusive and nontransferable right to manufacture, market and sell, in the Territory, the Products exploiting the Licensed Property.
2.2 **** shall supply to **** all the Components needed in order to manufacture the Products
2.3 **** shall purchase and use only and exclusively the Components supplied by **** for the assembling of the Products. It is expressly forbidden to **** to purchase and/or use for the manufacturing and assembling of the Products items or parts which have not been supplied directly to **** by ****.
2.4 In case the Parties agree that **** purchases from **** finished Products manufactured by ****, the provisions of the Distribution Agreement (Schedule A) shall apply.
3. APPLICATION OF THE DISTRIBUTION AGREEMENT RULES
The following rules of the Distribution Agreement (Schedule A) shall be applied and in force also for the purpose of this License Agreement: 2, 4, 5, 6, 7, 8, 9, 10, 11, 12, 13, 16, unless otherwise amended hereto.
4. PRICES AND SALE CONDITIONS
The prices and the sale conditions of the Components shall be those listed in Schedule C which shall be amended by **** with a prior written advice of at least ___ (_____) months.
5. MINIMUM AMOUNTS
5.1 Art. 3 is expressly cancelled and shall be substituted by this Section 5 .
5.2 **** shall buy from **** a minimum first annual budget of Components equal to 960.000,00 Euro. For the following years, the annual budget shall be 25% higher than the budget of the previous year.
5.3 The minimum amounts shall be calculated on the net amount of the invoices, i.e. on the effective sales price, reduced by any discount including, for example, cash discounts, any additional charges (such as packing, transportation, insurance) and all taxes of any kind.
6. IMPROVEMENTS
6.1 Any Improvements invented, created or acquired by **** shall be the property of ****. ****, upon written communication of ****, shall be bound to introduce the Improvements in the manufacturing of the Products.
6.2 Any Improvement suggested by **** shall be in the exclusive ownership of **** who shall ____________________ .
7. ROYALTIES
7.1 **** shall pay to ****, as consideration for the rights granted under this Agreement, a Royalty of ____________ Euro for each sale of the Products.
7.2 **** shall make all payments by ________________________________. **** shall make all payments to **** at the address specified below or such other address as **** shall designate in writing.
7.3 Royalties shall be paid without any deduction other than withholding for income taxes as required by law, reduced according to the provisions of any applicable treaty or convention for the elimination of double taxation .
8. DISCLOSURE OF TRADE SECRETS AND TECHNICAL INFORMATIONS
8.1 **** shall provide **** with all documentation necessary for **** to fully exploit the Licensed Property.
8.2 **** and **** shall each select an employee who shall act as its representative in transmitting documentation relating to the Licensed Property and arranging for other assistance necessary to fully exploit it. Each party shall indicate promptly to the other in writing the name of its representative.
8.3 ****’s representative shall be responsible for answering all reasonable technical inquiries received from ****’s representative relating to the Licensed Property, and for providing copies of pertinent documentation, if any.
8.4 **** shall provide to ****’s employees (max: __ (__) employees) the training which **** deems useful and necessary to assemble the Products in best workmanship. The training shall be done at ****’s factory in Motta di Livenza, Italy, unless otherwise agreed between the parties. **** shall bear the costs of board and lodging and the training costs, whereas **** shall bear the travel expenses. Training and documentation shall be provided in English or in Italian language.
8.5 **** shall have the right to inspect the assembling facility of ****, in order to provide technical assistance and to audit the assembling process, to assure the best workmanship and eventually to update the know how **** is using.
8.6 Every 4 (four) months **** shall inform in detail **** with a written report of any quality and/or manufacturing problem. The written report shall be issued with the detailed indications of: product code, rating, serial and data code, installation date, reason of failure.
9. PARTIES TO MANTAIN SECRECY
9.1 **** acknowledge and confirm that maintaining the confidentiality and secrecy of the Trade Secrets and Technical Information regarding the Licensed Property are of the utmost importance to **** and that any disclosure of Trade Secrets or Technical Information may diminish the value and strength of the Trade Secrets and Technical Information.
9.2 **** shall take all steps that are reasonably necessary to protect the secrecy of the Trade Secrets and Technical Information (using the same degree of care, but no less than a reasonable degree of care, as each party uses to protect its own confidential information) and prevent them from entering the public domain or falling into the hands of others not bound by this Agreement or pledged to their secrecy.
10. TRADE MARKS
10.1 The **** trade mark and the ****'s trade mark shall be jointly affixed to the Products as shown in the nameplate described in Annex 4 attached to the Distribution Agreement (Schedule D) .
10.2 **** is hereby authorized to use the Trademarks of **** during the life of this Agreement solely for the purpose of promoting the Products in the Territory. **** hereby undertakes neither to register nor to have other persons to register any Trademarks, Tradenames and/or other like marks or symbols that are the property of **** and/or to companies of the same group, either during the life of this Agreement or upon its termination.
10.3 **** shall arrange at its expenses catalogues, brochures and all promoting material in order to promote the sale of the Products.
11 WARRANTY
11.1 **** guarantees that the Components are well manufactured and free from any manufacturing defect which could affect their use.
11.2 **** undertakes to repair or replace any Component or portion of a Component recognised by **** as faulty because of poor quality of the materials or because of manufacturing defects.
11.3 Any fault, lack of promised quality or evident defect of the Components supplied must be communicated to **** in writing by **** within __ (__) days from receipt of the Components. It is nonetheless to be understood that **** is obliged to check for any fault, lack of promised quality or defect on all Components supplied – even in case of numerous Components, and/or Components packed in wrappings or containers - otherwise the rights deriving from the conditions of the present warranty will cease to exist.
11.4 According to the present warranty, **** is only responsible for the replacement or reparation of faulty Components.
11.5 **** shall duly guarantee its customers in the Territory in connection to the Products manufactured by ****, shall maintain an efficient after sales service center and shall bear all the liabilities thereof. **** shall indemnify and keep harmless **** from any claim regarding the Products manufactured and/or distributed by **** in the Territory.
12 LAW TO BE APPLIED IN THE TERRITORY
12.1 **** undertakes to comply with the laws in force in the Territory. In particular, **** shall be responsible and shall bear the costs of: (a) any conversion of technical specifications to units acceptable to the competent governmental authorities, where drawings or specifications must be submitted for approval or recording; and (b) any adaptation or alteration of the Licensed Property to comply with governmental regulations, including but not limited to occupational health and safety rules, building and construction codes, and environmental controls.
12.2 All the authorisation, registrations and approvals needed in order to manufacture and distribute the Products in the Territory shall be in the sole and exclusive responsibility of ****, which will bear all the expenses thereof.
12.3 **** is expressly entitled to take all the necessary steps in order to obtain such approvals, authorisation and registration, provided that it declares that **** is acting on the basis of the present Agreement as Licensee of ****. **** shall timely notice **** of the obtaining of such approvals, authorisations and registrations.
13 COMING INTO EFFECT OF THIS AGREEMENT
13.1 This Agreement shall enter into force on ________ and shall be valid and in force, together with the Distribution Agreement hereto attached (Schedule A), until __/__/__.
14 TERMINATION OF THE AGREEMENT
14.1 Either party shall be entitled to immediately terminate this Agreement only for the reasons listed in art. 14 of the Distribution Agreement (Schedule A).
14.2 In addition to the provisions of Section 14.1, **** shall be entitled to immediately terminate this Agreement if **** fails to reach the minimum purchase target agreed above at Section 5 of this Agreement, or if **** deems that the quality of the Products manufactured by **** it is not satisfactory, or if **** deems that the failure rate of the Products manufactured by **** exceeds the normal failure rate of the Products manufactured by ****.
14.3 The termination of this Agreement shall automatically terminate the validity of the Distribution Agreement.
15. CONSEQUENCES OF TERMINATION
15.1 Upon termination of this Agreement, whether by expiry of the term or otherwise, **** shall:
a) discontinue all and any use of the Licensed Property and shall immediately cease the manufacturing of the Products;
b) discontinue to use the tradename, trademark, brand name, emblem or any other design belonging to “****”, any letter-heads, bills, invoices and/or documents or other literature previously employed bearing the tradename, trademark, brand name, emblem or any other design belonging to “****”;
c) immediately return to **** all the Licensed Property in documentary form, including but not limited to documents prepared by or for ****, and all copies of such documents;
d) dispose of the manufactured Products and remaining Components as instructed in writing by **** who, at its sole discretion, shall be entitled to repurchase such Products at the same price applicable to the Products and/or Components sold by **** to **** at the date of termination or, otherwise, direct **** to sale such Products and/or Components to specific customers .
15.3 Upon termination of this Agreement, whether by expiry of the term or otherwise, **** shall not be entitled to any compensation and/or indemnification from **** and shall forthwith pay all remaining and outstanding debts towards ****.
15.4 Any use by **** after the termination of this Agreement for whatever cause - directly or indirectly, within or without the Territory - of the Licensed Property; Trade Secrets; and/or Improvements; and/or of tradename, trademark, brand name, emblem or any other design belonging to “****”; and/or of Components and/or Products shall entitle **** to obtain the immediate payment of a penalty equal to Euro ___________ (_______________) plus any further damage suffered by ****.
16 ASSIGNMENT
Each Party shall not transfer, assign, charge or purport to transfer, this Agreement or the rights and/or duties hereunder, without the prior written consent of the other Party.
17 NOTICES
Any notice required to be given under this Agreement shall be in writing and shall be considered sufficient if sent by courier or by international air mail, by any method providing a return receipt, postage pre-paid, addressed to the parties at their respective addresses set forth below, or at such other address as either party may, from time to time, designate in writing, or if sent by facsimile transmission, with a copy by air mail. Any notice sent by courier shall be deemed to have been given on the scheduled day of delivery. Any notice sent by international air mail with return receipt shall be deemed to have been given seven (7) calendar days after mailing. Any notice sent by facsimile transmission shall be deemed to have been given on the next business day recognized in the recipient’s country.

Il presente Contratto di Licenza (“Contratto” e/o “Contratto di Licenza”) è stato stipulato il giorno ___ del mese ___________ 2002, tra **** s.r.l., una società italiana con sede in Via (“****”) e **** Electro-Pump Industrial Company Ltd., n (“****”).
PREMESSE
Premesso che:
- **** è una società italiana che produce e distribuisce ____________;
**** è una società iraniana che __________;
- **** S.p.A. e **** hanno stipulato, in data 1° ottobre 2001, un Contratto di Distribuzione (“Contratto di Vendita e Agenzia”, Appendice A, qui di seguito indicato come “Contratto di Distribuzione”), per mezzo del quale **** agisce in qualità di distributore dell’intera gamma di prodotti **** nel territorio dello Stato dell’Iran;
- **** S.r.l. ha acquisito le attività e le passività di **** S.p.A. e agisce in qualità di successore di **** S.p.A. anche in relazione al Contratto di Distribuzione;
- Le parti intendono confermare la validità del Contratto di Distribuzione e avviare, in aggiunta ad esso, un nuovo rapporto contrattuale, al fine di concedere in licenza a **** la fabbricazione di motori sommergibili. Mediante il nuovo contratto, **** fornirà a **** i componenti e **** assemblerà i motori e li distribuirà nel territorio dell’Iran.
Le parti, pertanto, con il presente concordano quanto segue:
1. PREMESSE, APPENDICI E DEFINIZIONI
1.1 Le premesse e le appendici del presente Contratto sono parte integrante dello stesso.
1.2 Le definizioni utilizzate nel presente Contratto dovranno corrispondere a quelle del Contratto di Distribuzione, salvo diversamente ed espressamente concordato, e:
1.3 “Proprietà in Concessione” significherà qualsiasi segreto industriale e le informazioni tecniche fornite da **** a **** e necessarie o utili alla fabbricazione dei Prodotti.
1.4 “Informazione tecnica” significa tutti i dati tecnici trasferibili, know-how, progetti, disegni, copie cianografiche, specifiche, metodi e altre informazioni o assistenza attinenti ai Segreti Industriali, o una qualsiasi di queste, sia che tale informazione debba essere mantenuta riservata o meno in base all’Articolo 9 del presente Contratto.
1.5 “Segreti Industriali” significa la parte della Proprietà in Concessione da cui: (a) deriva un valore economico indipendente, sia esso reale, potenziale, o entrambe, grazie al fatto di non essere generalmente conosciuta al pubblico e ad altre persone che potrebbero trarre un vantaggio economico dalla sua rivelazione o utilizzo; e (b) il mantenimento della cui segretezza comporta degli sforzi ragionevoli.
1.6 “Tecnologie migliorative” significa tecnologie migliorative, modifiche, adattamenti, revisioni, miglioramenti, aggiunte, o cambiamenti apportati a qualsiasi Proprietà in Concessione.
1.7 “Componenti” significa qualsiasi articolo necessario per assemblare e fabbricare i Prodotti specificati nell’Appendice B al presente;
1.8 “Territorio” significa, ai fini del presente Contratto di Licenza e del Contratto di Distribuzione allegato (Appendice A) lo Stato dell’Iran.
2. CLAUSOLA DI CONCESSIONE
2.1 In base alle clausole e alle condizioni del presente Contratto, con il presente **** concede a ****, che accetta, il diritto esclusivo e non trasferibile di produrre, commercializzare e vendere nel Territorio i Prodotti sfruttando la Proprietà in Concessione.
2.2 **** fornirà a **** tutti i componenti necessari a fabbricare i Prodotti.
2.3 **** acquisterà ed utilizzerà solo ed esclusivamente i componenti forniti da **** per l’assemblaggio dei Prodotti. E’ fatto espresso divieto a **** di acquistare e/o utilizzare, per la fabbricazione e l’assemblaggio dei Prodotti, articoli o componenti che non siano stati forniti direttamente da **** a ****.
2.4 Nel caso in cui le Parti concordino che **** acquisti da **** Prodotti finiti fabbricati da ****, saranno applicate le clausole del Contratto di Distribuzione (Appendice A).
3. APPLICAZIONE DELLE REGOLE DEL CONTRATTO DI DISTRIBUZIONE
Le seguenti regole del Contratto di Distribuzione (Appendice A) saranno valide e in vigore anche ai fini del Contratto di Licenza: 2, 4, 5, 6, 7, 8, 9, 10, 11, 12, 13, 16, salvo modifiche apportate con il presente.
4. PREZZI E CONDIZIONI DI VENDITA
I prezzi e le condizioni di vendita dei Componenti saranno quelli elencati nell’Appendice C e potranno essere modificati da **** tramite preavviso scritto di almeno _____ (______) mesi.
5. IMPORTI MINIMI
5.1 L’Articolo 3 è espressamente annullato e sostituito dal presente articolo 5 .
5.2 **** acquisterà da **** per il primo anno un budget minimo di Componenti corrispondente ad Euro 960.000,00. Per gli anni successivi, il budget annuale sarà superiore del 25% rispetto a quello dell’anno precedente.
5.3 Gli importi minimi saranno calcolati sull’ammontare netto delle fatture, vale a dire sul prezzo di vendita effettivo, ridotto di qualsiasi sconto incluso, ad esempio, lo sconto per il pagamento in contanti, qualsiasi spesa aggiuntiva (come l’imballo, il trasporto, l’assicurazione) e tutte le imposte di qualsiasi tipo.
6. TECNOLOGIE MIGLIORATIVE
6.1 Qualsiasi Tecnologia Migliorativa inventata, creata o acquisita da **** sarà proprietà di ****. ****, dietro comunicazione scritta da parte di ****, sarà obbligata ad introdurre le Tecnologie Migliorative nella fabbricazione dei Prodotti.
6.2 Qualsiasi Tecnologia Migliorativa suggerita da **** sarà di proprietà esclusiva di **** che potrà _____________ .
7. ROYALTY
7.1 **** pagherà a ****, in considerazione dei diritti concessi in base al presente Contratto, una Royalty di __________ Euro per ciascuna vendita dei Prodotti.
7.2 **** effettuerà tutti i pagamenti attraverso ______________________________. **** effettuerà tutti i pagamenti a **** presso l’indirizzo specificato sotto o altro indirizzo che **** potrà designare per iscritto.
7.3 Le Royalty dovranno essere pagate senza alcuna ritenuta a parte le detrazioni d’imposta sul reddito richieste per legge, ridotte in base alle clausole di qualsiasi trattato o convenzione per l’eliminazione della doppia tassazione applicabile .
8. RIVELAZIONE DI SEGRETI INDUSTRIALI E D’INFORMAZIONI TECNICHE
8.1 **** fornirà a **** tutta la documentazione necessaria a **** per sfruttare pienamente la Proprietà in Concessione.
8.2 **** e **** sceglieranno ciascuna un dipendente che agirà in qualità di rappresentante per la trasmissione della documentazione relativa alla Proprietà in Concessione e predisporrà tutta l’assistenza necessaria al suo pieno sfruttamento. Ciascuna parte dovrà comunicare tempestivamente per iscritto all’altra parte il nome del proprio rappresentante.
8.3 Il rappresentante di **** dovrà fornire a **** le risposte a tutte le richieste ragionevoli di tipo tecnico ricevute dal rappresentante di **** in relazione alla Proprietà in Concessione e dovrà fornire le copie dell’eventuale documentazione pertinente.
8.4 **** dovrà fornire ai dipendenti di **** (massimo: ____ (____) dipendenti) la formazione che **** ritenga utile e necessaria per assemblare i Prodotti nel modo migliore. La formazione si svolgerà presso la fabbrica della **** a Motta di Livenza, Italia, salvo diversamente concordato tra le parti. **** dovrà sostenere le spese per il vitto e l’alloggio e il costo della formazione, mentre **** dovrà sostenere le spese di viaggio. La documentazione e la formazione saranno fornite in inglese o italiano.
8.5 **** avrà diritto ad ispezionare gli impianti d’assemblaggio di ****, al fine di fornire assistenza tecnica e verificare il processo d’assemblaggio, garantire la migliore esecuzione ed eventualmente aggiornare il know-how utilizzato da ****.
8.6 Ogni 4 (quattro) mesi **** dovrà informare dettagliatamente **** con un rapporto scritto su qualsiasi problema di qualità e/o produzione. Il rapporto scritto sarà stilato con le indicazioni dettagliate relative a: codice prodotto, valutazione, codice di serie e dati, data d’installazione, motivo del guasto.
9. RISERBO DELLE PARTI
9.1 **** riconosce e conferma che mantenere il riserbo e la segretezza sui Segreti Industriali e le Informazioni Tecniche riguardanti la Proprietà in Concessione è di fondamentale importanza per COVERVO e che qualsiasi divulgazione dei Segreti Industriali o delle Informazioni Tecniche potrebbe ridurre il valore e la forza dei Segreti Industriali e delle Informazioni Tecniche.
9.2 **** adotterà tutte le misure ragionevoli atte a difendere la segretezza dei Segreti Industriali e delle Informazioni Tecniche (utilizzando la stessa cura, ma niente di meno che un livello di cura ragionevole, quale quello utilizzato da ciascuna parte per proteggere le proprie informazioni riservate) e ad impedire che quest’ultime divengano di pubblico dominio o finiscano nelle mani di altri non vincolati dal presente Contratto o impegnati a mantenere la loro segretezza.
10. MARCHI DI FABBRICA
10.1 Il marchio **** e il marchio **** saranno applicati insieme ai Prodotti come illustrato nella targa descritta nell’Allegato 4 del Contratto di Distribuzione (Appendice D) .
10.2 **** è con il presente autorizzata ad utilizzare i Marchi di Fabbrica di **** durante la durata del presente Contratto, esclusivamente allo scopo di promuovere i Prodotti nel Territorio. Con il presente **** s’impegna a non registrare né personalmente né attraverso altre persone qualsiasi Marchio di Fabbrica, Marchio Commerciale e/o altri marchi o simboli che sono di proprietà di **** e/o società dello stesso gruppo, sia durante la durata del presente Contratto che dopo la sua rescissione.
10.3 **** preparerà a proprie spese i cataloghi, le brochure e tutto il materiale promozionale necessario a promuovere la vendita dei Prodotti.
11. GARANZIA
11.1 **** garantisce che i Componenti sono fabbricati bene e sono privi di difetti che potrebbero incidere sul loro utilizzo.
11.2 **** s’impegna a riparare o sostituire qualsiasi Componente o parte di Componente che **** riconoscerà difettoso a causa di una scarsa qualità dei materiali o di difetti di fabbricazione.
11.3 Qualsiasi difetto, carenza qualitativa o difettosità evidente dei Componenti forniti dovranno essere comunicati da **** a **** per iscritto entro _____ (_____) giorni dal ricevimento dei Componenti. E’ tuttavia inteso che **** è obbligata a verificare qualsiasi difetto, carenza qualitativa o difettosità su tutti i Componenti forniti – persino in caso di molteplici Componenti e/o Componenti imballati in involucri e container – altrimenti i diritti derivanti dalle condizioni della presente garanzia decadranno.
11.4 In base alla presente garanzia, **** è responsabile esclusivamente della sostituzione o riparazione dei Componenti difettosi.
11.5 **** dovrà debitamente garantire i propri clienti nel Territorio in relazione ai Prodotti fabbricati da **** e dovrà mantenere un centro d’assistenza post-vendita efficiente, sostenendo tutti i costi e le responsabilità da esso derivanti. **** solleverà **** da ogni responsabilità in caso di reclami per i Prodotti fabbricati e/o distribuiti da **** nel Territorio.
12. LEGISLAZIONE DA APPLICARE NEL TERRITORIO
12.1 **** s’impegna a rispettare le leggi in vigore nel Territorio. In particolare, **** sarà responsabile e sosterrà i costi relativi a: (a) qualsiasi conversione di specifiche tecniche in unità accettabili dalle autorità governative competenti, nel caso in cui i disegni e le specifiche debbano essere sottoposte per omologazione o registrazione; e (b) qualsiasi adattamento o alterazione della Proprietà in Concessione al fine di osservare le norme governative, incluse, ma non ad esclusione di altre, le norme di sicurezza e salute sul lavoro, le norme per l’edificazione e la costruzione e i controlli ambientali.
12.2 Tutti i permessi, le registrazioni e le omologazioni necessarie a fabbricare e distribuire i Prodotti nel Territorio saranno esclusiva responsabilità di **** che sosterrà tutte le relative spese.
12.3 **** è espressamente autorizzata a adottare tutti i provvedimenti necessari al fine di ottenere tali omologazioni, permessi e registrazioni, ammesso che dichiari che **** sta agendo sulla base del presente Contratto come Licenziatario di ****. **** avviserà tempestivamente **** dell’ottenimento di tali omologazioni, permessi e registrazioni.
13. ENTRATA IN VIGORE DEL CONTRATTO
13.1 Il presente Contratto entrerà in vigore il _________ e sarà valido e in vigore, insieme al Contratto di Distribuzione allegato al presente (Appendice A), fino al __/___/___.
14. RESCISSIONE DEL CONTRATTO
14.1 Entrambe le parti avranno diritto a rescindere immediatamente il presente Contratto solo per i motivi elencati nell’articolo 14 del Contratto di Distribuzione (Appendice A).
14.2 In aggiunta alle disposizioni del Paragrafo 14.1, **** avrà diritto a rescindere immediatamente il presente Contratto se **** non riuscirà a raggiungere il target minimo d’acquisto fissato nell’Articolo 5 del presente Contratto, oppure se **** riterrà che la qualità dei Prodotti fabbricati da **** non è soddisfacente, oppure se **** riterrà che la percentuale d’insuccesso dei Prodotti fabbricati da **** supera la normale percentuale d’insuccesso dei Prodotti fabbricati da ****.
14.3 La rescissione del presente Contratto comporterà la rescissione automatica del Contratto di Distribuzione.
15. CONSEGUENZE DELLA RESCISSIONE
15.1 Al momento della rescissione del presente Contratto, sia per scadenza dei termini sia per altro motivo, **** dovrà:
a) interrompere qualsiasi uso della Proprietà in Concessione e sospendere immediatamente la fabbricazione dei Prodotti;
b) interrompere l’utilizzo del marchio commerciale, del marchio di fabbrica, della marca, del simbolo o qualsiasi altro disegno appartenente a “****”, qualsiasi carta da lettere intestata, conto, fattura e/o documenti o altro materiale illustrativo precedentemente utilizzato e riportante il marchio commerciale, il marchio di fabbrica, la marca, il simbolo o qualsiasi altro disegno appartenente a “****”;
c) restituire immediatamente a “****” tutta la Proprietà in Concessione sotto forma di documentazione inclusi, ma non ad esclusione di altri, i documenti redatti da o per **** e tutte le copie di tali documenti;
d) sbarazzarsi dei Prodotti fabbricati e dei Componenti rimanenti secondo le istruzioni date per iscritto da **** che, a sua esclusiva discrezione, sarà autorizzata a rivendere tali Prodotti allo stesso prezzo applicabile ai Prodotti e/o i Componenti venduti da **** a **** alla data della rescissione, oppure indicare a **** clienti specifici a cui vendere tali Prodotti e/o Componenti .
15.2 Al momento della rescissione del presente Contratto, sia per scadenza dei termini che per altro motivo, **** non avrà diritto ad alcuna compensazione e/o indennizzo da **** e dovrà immediatamente pagare tutti i debiti residui e pendenti nei riguardi di ****.
15.3 Qualsiasi utilizzo da parte di ****, dopo la rescissione del presente Contratto, per qualsiasi motivo – direttamente o indirettamente, all’interno o all’esterno del Territorio - della Proprietà in Concessione; dei Segreti Industriali; e/o delle Migliorie Tecniche; e/o del marchio commerciale, del marchio di fabbrica, della marca, del simbolo o di qualsiasi altro disegno appartenente a “****”; e/o di Componenti e/o Prodotti darà diritto a **** ad ottenere l’immediato pagamento di una penale corrispondente ad Euro __________ (___________) più qualsiasi ulteriore danno subito da ****.
16. CESSIONE
Ciascuna Parte non potrà trasferire, cedere, attribuire o dichiarare di trasferire questo Contratto o i diritti e/o doveri da esso derivanti, senza il previo consenso scritto dell’altra Parte.
17. NOTIFICHE
Qualsiasi notifica che dovrà essere inviata in base al presente Contratto dovrà essere per iscritto e sarà considerata valida se inviata per corriere o mezzo posta aerea internazionale, tramite qualsiasi sistema che fornisca una ricevuta di ritorno, porto affrancato, indirizzata alle parti presso i rispettivi indirizzi indicati di seguito, o presso qualsiasi altro indirizzo che entrambe le parti potranno, di volta in volta, designare per iscritto, oppure, se inviata mezzo fax, con una copia mezzo posta aerea. Qualsiasi notifica inviata tramite corriere sarà considerata recapitata nel giorno fissato per la consegna. Qualsiasi notifica inviata mezzo posta aerea internazionale con ricevuta di ritorno sarà considerata recapitata sette giorni di calendario dopo la spedizione. Qualsiasi notifica inviata mezzo fax sarà considerata recapitata nel giorno seguente considerato lavorativo nel paese del destinatario.

Source text - English In the early twentieth century—until China and the world unraveled in the 1930s—Shanghai counted as one of the world’s five most important commercial centers together with London, New York, Paris, and Tokyo. The city was also the world’s second-busiest port. Its banks, housed in the imposing hodgepodge of broad European money palaces and slim towers on The Bund, were flush intermediaries in an irresistible trade with Western and Japanese sellers of machines, cotton cloth, medicines, and opiates. Chinese factories poured out clothing, paper, and other simple manufactured goods at prices foreigners could not match at home. Commodities in vast quantities moved in both directions.
While foreigners created Shanghai as a world port, the city soon proved a magnet for Chinese looking to work in factories or, during periods of social unrest, for sanctuary. The large migration into Shanghai, and the foreigners’ fears that their city would be engulfed, led to the system that ultimately divided the city into separate zones, gated sections of town for the colonists, known as concessions, and the rest for Chinese. Paradoxically, the division also created China’s first modern city when the Europeans imposed a formal municipal government over Shanghai. Previously, Chinese cities, though often large, did not have single municipal governments. The innovation, when it came to Shanghai, created China’s first modern city. Indeed, the English word “modern was transliterated into Chinese for the first time in Shanghai, and the city became synonymous with the new.

Paradossalmente, la divisione creò anche la prima città moderna della Cina, dal momento che gli europei imposero un governo di tipo municipale.
