The Shareholder Loan Waiver will become ineffective (condition subsequent) if the Investors have not fulfilled their obligation under the HoldCo SPA to transfer the shares in HoldCo by either (i) entering into a notarial share transfer agreement in the form, or substantially in the form, of the draft attached to the HoldCo SPA as Annex 2.1, or (ii) declaring in a notarial deed, in the form, or substantially in the form, of the draft attached to the HoldCo SPA as Annex 2.2, an irrevocable offer to transfer the shares in HoldCo, in each case, as provided for in the HoldCo SPA and before the end of the third (3rd) full Business Day after the Closing Date (the "Condition Subsequent").

Prices are based on a line rate ( 55 strikes ) between 0,85 €? and 1,40 €? depending on the grade of difficulty, time to edit and work amount. The minimum fee however is 30,00 EUR
