FREELANCE AGENT AGREEMENT
between

This contract of agreement confirms that Girne American University (hereafter referred to as “GAU”) and ______________________ (hereafter referred to as “Freelance Agent”) have mutually agreed to work in collaboration for the purpose of student recruitment for GAU from the region: _______________
GAU will provide the Freelance Agent with the information and instructions necessary to ensure that the Freelance agent represents and advertises GAU to prospective students in an appropriate manner and in accordance with all policies and regulations stipulated by GAU for the purpose of this agreement.
In return the Freelance Agent accepts to adhere to the instructions and policies of GAU, as informed unto him by GAU, and agrees to represent GAU with good character and to abide by all policies, rules and regulations required of the Freelance Agent by GAU at all times when advertising, representing and discussing GAU, in any form of communication, as a whole entity.
The signing of this agreement by both parties means that the Freelance Agent is permitted by GAU to use its company logo and display any form of GAU merchandise in his/her office(s), social media accounts and / or website, or areas of operation within the agreed region from which student recruitment will be targeted and conducted.
The Freelance Agent hereby understands that any GAU promotional material provided by GAU will only be provided to the Freelance Agent at the discretion of GAU in accordance with any marketing campaigns agreed upon by both parties.
This contract binds the Freelance Agent to follow the policies, rules and regulations required of them by the GAU International Admissions department at all times regarding the GAU application and registration process for all new students recruited.
GAU agrees to pay the Freelance Agent the commission amounts stated in below table for each recruited and enrolled and registered student to GAU by the Freelance Agent from the agreed region of operation, and in accordance with the time period stipulated by this Agreement.

GAU shall pay all applicable Commissions and/or Bonuses to AGENT in two equal installments. Due Dates of all applicable Commission and Bonus installment payments shall be as follows:
• GAU will pay the first installment of Fall Semester Intake Commissions and/or Bonuses in February. Second installment of Fall Semester Intake Commissions and/or Bonuses shall be paid in May.
• GAU will pay the first installment of Spring Semester Intake Commissions and/or Bonuses in May. Second installment of Spring Semester Intake Commissions and/or Bonuses shall be paid in February.
• GAU will pay the first installment of Summer Semester Intake Commissions and/or Bonuses in October. Second installment of Summer Semester Intake Commissions and/or Bonuses shall be paid in February.
GAU also agrees to provide the Freelance Agent with a 100% Tuition Fee Scholarship to any (new) student nominated for registration by the Freelance agent in return for every ten (10) students that the Freelance agent registers at GAU per semester. The commission for students with 100% Scholarship shall be 75 EUROs.
The Freelance Agent understands that Tuition Fee Scholarships offered by GAU are applicable to Associate, Bachelor and Master degree students only, and exclude the Pilotage (BSc), Medicine programs and all PhD programs.
GAU holds the right to request assistance from the Freelance Agent in the region of operation in which the Freelance Agent is approved by GAU to advertise and recruit students on behalf of GAU.
The Freelance Agent understands that it does not reserve the right to collect and retain any funds that students recruited for GAU intend to pay into the GAU bank account details. Instead, the Freelance Agent agrees to guide students recruited for GAU on the process required to pay / transfer their funds into the GAU bank account details directly. Any violation of this policy shall terminate this Agreement.
GAU shall revise this Freelance Agent Agreement each year for the purpose of the annual contract renewal.
The Freelance Agent understands that GAU holds every right to terminate this contract of agreement with immediate notice whereby determined as necessary by GAU.

يؤكد عقد الأتفاقية هذا بأن جامعة غيرنة الأمريكية (المشار اليها فيما يلي باسم ج ا ي) و الوكيل ------------------ (المشار أليه فيما يلي بأسم “وكيل مستقل”) توصلا الى أتفاقية بشكل متبادل على العمل بالتعاون لتجنيد طلاب من المنطقة/المدينة---------------
ستزود جامعة غيرنة الأمريكية الوكيل المستقل بالمعلومات و التعليمات اللازمة لتأكد من أن الوكيل المستقل يمثل جامعة غيرنة الأمريكية للطلاب المستجدين بطريقة موافقة لجميع السياسات و اللوائح المنصوص عليها من قبل جامعة غيرنة الأمريكية لغرض هذه الأتفاقية.
في المقابل, يوافق الوكيل المستقل على الألتزام بتعليمات و سياسات جامعة غيرنة الأمريكية, كما أبلغته جامعة غيرنة الأمريكية, و يوافق على تمثيل جامعة غيرنة الأمريكية بصورة جيدة و بالألتزام بجميع السياسات و القواعد, و اللوائح المطلوبة من الوكيل المستقل من قبل جامعة غيرنة الأمريكية في جميع الأوقات حين يتم الأعلان, و تمثيل, و المناقشة حول جامعة غيرنة الأمريكية, في أي شكل من أشكال و تبادل المعلومات عنها, ككيان كامل.
توقيع هذه الأتفاقية من قبل الطرفين يدل على السماح للوكيل المستقل بأستعمال شعار الشركة و عرض أي شكل من البضائع في مكتبه/ها, أو على صفحات مواقع التواصل الأجتماعي, أو على صفحة الويب أو في مناطق العمل المتفق عليها التي سيتم من خلالها أستهداف الطلاب للتسجيل.
يتفهم الوكيل المستقل أن أي مواد ترويجية مقدمة من جامعة غيرنة الأمريكية سيتم توفيرها فقط للوكيل المستقل وفقا لتقدير جامعة غيرنة الأمريكية و وفقا لأي حملة تسويقية ييتفق عليها الطرفان.
يلزم هذا العقد الوكيل المستقل لأتباع السياسات, و القوانين, و اللوائح المطلوبة منهم من قبل قسم القبولات الدولي في جامعة غيرنة الأمريكية في جميع الأوقات فيما تتطلب عملية التسجيل للطلاب الجدد في جامعة غيرنة الأمريكية.
توافق جامعة غيرنة الأمريكية على الدفع للوكيل المستقل مبالغ العمولة المرفقة في الجدول أدناه لكل طالب يتم تسجيله لجامعة غيرنة الأمريكية من قبل الوكيل المستقل من المنطقة/الدولة المتفق عليها, ووفقا للفترة الزمنية المنصوص عليها في هذه الأتفاقية.

• ستدفع جامعة غيرنة الأمريكية الدفعة الأولى من لجان القبول في فصل الخريف الدراسي و/أو المكافآت في شهر فبراير. سيتم دفع القسط الثاني من لجان القبول في فصل الخريف و/أو المكافآت في شهر مايو.
• ستدفع جامعة غيرنة الأمريكية الدفعة الأولى من لجان القبول في فصل الربيع الدراسي و/أو المكافآت في شهر مايو. سيتم دفع القسط الثاني من لجان القبول في فصل الربيع الدراسي و/أو المكافآت في شهر فبراير.
• ستدفع جامعة غيرنة الأمريكية الدفعة الأولى من لجان القبول في فصل الصيف الدراسي و/أو المكافآت في شهر أوكتوبر. سيتم دفع القسط الثاني من لجان القبول في فصل الصيف الدراسي و/أو المكافآت في شهر فبراير.
توافق جامعة غيرنة الأمريكية على تزويد الوكيل المستقل بمنحة رسوم دراسية بنسبة 100% لأي طالب مستجد يتم ترشيحه من قبل الوكيل المستقل مقابل كل عشر (10) طلاب يسجلهم الوكيل المستقل في جامعة غيرنة الأمريكية في كل فصل دراسي. تبلغ عمولة الطلاب الحاصلين على منحة رسوم دراسية بنسبة 100% 75 يورو.
يتفهم الوكيل المستقل أن منح الرسوم الدراسية اللتي تقدمها جامعة غيرنة الأمريكية تنطبق على طلاب درجة الزمالة, و البكالوريوس, و الماجستير حصرا, و تستبعد برامج الطيران (البكالوريوس), و برامج الطب, و جميع برامج الدكتوراة.
تحتفظ جامعة غيرنة الأمريكية على حق طلب المساعدة من قلب الوكيل المستقل في المنطقة/المدينة اللتي تم الأتفاق عليها من قبل مابين الوكيل المستقل و جامعة غيرنة الأمريكية لتسويق و تجنيد طلاب جدد بالنيابة عن جامعة غيرنة الأمريكية.
يتفهم الوكيل المستقل أنه لا يحتفظ بالحق لجمع أو الأحتفاظ بأي أموال من الطلاب معنية كدفعة لحساب جامعة غيرنة الأمريكية المصرفي. بدل من ذلك, يوافق الوكيل المستقل على توجيه الطلاب المستجدين في جامعة غيرنة الأمريكية بشأن العملية المطلوبة لدفع/ تحويل أموالهم لحساب جامعة غيرنة الأمريكية المصرفي مباشرة. يؤدي أي أنتهاك لهذه السياسة الى أنهاء هذه الأتفاقية.
يتعين على جامعة غيرنة الأمريكية مراجعة هذه الأتفاقية سنويا لغرض تجديدها السنوي.
يتفهم الوكيل المستقل أن جامعة غيرنة الأمريكية تحتفظ بكل الحقوق لألغاء هذه الأتفاقية بأشعار فوري يتم بموجبه تحديد ذلك حسب الضرورة من قبل جامعة غيرنة الأمريكية.
