Source text - English Distributorship Agreement
This agreement is made and entered into by and between the parties concerned on July 6th, 2017 on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follow:
2. Appointment
Party A hereby appoints Party B as its distribution partner to solicit orders for the commodities stipulated in Article 3 from customers in the territory stipulated in Article 4, and Party B accepts and assumes such appointment.

Party B shall undertake to solicit orders for the above commodity from customers in the above territory during the effective period of this agreement for not less than $ .
6. The prices, payment terms and shipments of the commodities shall be confirmed in each transaction, the particulars of which are to be specified in the Sales Confirmation signed by the two parties hereto.
7. Relationship of Parties. Party B is an independent contractor and is not the legal representative or agent of Party A for an y purpose and shall have no right or authority (except as expressly provided in this Agreement) to incur, assume or create in writing or otherwise, any warranty on the part of Party A. Nothing contained in this Agreement shall be deemed to create any partnership or joint venture relationship between the parties.
8. Advertising. Party B shall be entitled, during the term of the distributorship created by this Agreement and any extension thereof, to advertise and hold itself out as an authorized Distributor of the Commodities. At all times during the term of the distributorship created by this Agreement and any extension thereof, Party B shall use the Trademarks in all advertisements and other activities conducted by Party B to promote the sale of the Commodities. Party B shall submit samples of all proposed advertisements and other promotional materials for the Commodities to Party A for approval and Party B shall not use any such advertisements or promotional materials without having received the prior written consent of Party A to do so. Party B shall not, pursuant to this Agreement or otherwise, have or acquire any right, title or interest in or to Party A's Trademarks. Party A may not disclose any commercial details concerning its relationship with Party B including but not restricted to pricing, product shipments, product quantities, reseller or customer information or any other information relevant to the business relationship between Party A and Party B.
9. Distributor Sales and Service. Party B shall, at its expense, engage and maintain a sales, service and parts handling organization in the Territory, staffed with such experienced personnel as are necessary to enable distributor to perform its obligations under this Agreement. Party B shall, at its expense, maintain facilities and personnel in the Territory that will enable it promptly and satisfactorily to perform, at a reasonable price, all inspection, maintenance and other necessary servicing of Commodities sold by Party B. To assist Party B perform this service and maintenance function, Party A shall provide service and maintenance training, without charge, to any reasonable number of Party B's personnel as Party B shall designate at Party B’s premises. Party B shall, deliver applicable operation and maintenance manual to each Customer at the time of sale and, at that time.
In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, once a quarter or at any time when it is agreed is necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the Commodities covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc. of the goods supplied by Party A under this Agreement. In order to improve local marketing strategy, Party B shall also supply party A with quotations information and advertising materials on similar products of other suppliers in Appendix B and update monthly. For Party A’S manufacturing and stock consideration, Party B shall report to Party A with existing Party A products related customers and projects information in Appendix C and update monthly.
10. Spare Parts and Accessories. No Spare Parts or Accessories not manufactured by Party A shall be used in connection with the Commodities unless they have been approved in writing by Party A.
11. Confidential Information. Party B should not expose the business secrets of the manufacturer, and should not use confidential information exceeding the scope of the agreement. Written Technical data, drawings, plans and engineering in technical instructions pertaining to the Commodities are recognized by Party B to be secret and confidential and to be the property of Party A. Those items shall at all times and for all purposes be held by Party B in a confidential capacity and shall not, without the prior written consent of Party A, (i) be disclosed by Party B to any person, firm or corporation, excepting those salaried employees of Party B who are required to utilize such items in connection with the sale, inspection, repair or servicing of Commodities during the term of the distributorship created by this Agreement or any extension thereof, or (ii) be copied or used by Party B, its employees or agents at any time following the expiration or termination of this Agreement or any extension thereof. Party A may require as a condition to any disclosure by Party B pursuant to this Section that any salaried employee to whom disclosure is to be made sign a confidentiality agreement, enforceable by Party A, containing terms satisfactory to Party A.
12. Industrial Property Rights
Party B may use the trade-marks owned by Party A for the sale of the commodities covered in Article 3 within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the commodities shall remain to be the sole properties of Party A. Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the Party A's rights.
14. Warranty
Under existing price policy as appendix A. Party A provide 12 month warranty for device,6 month warranty for battery and 3 month warranty for accessories.
For A/S purpose, Party A shall provide all the necessary support to Party B for A/S purpose including repair guidance documentation,SDK,software development guidance and debugging,local training if required.
15.Validity and Termination of Agreement
This agreement, when duly signed by the both parties concerned, shall remain effect for 1 years from XX. 2018 to XX. 2019, and it shall be extended for another 1 years upon expiration unless notice in writing is given to the contrary.
During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement immediately.
16. Force Majeure
Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, drought, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 30 days after its occurrence.
17. Arbitration
Any dispute arising from or in connection with this Agreement shall be submitted to South China International Economic and Trade Arbitration Commission in Shenzhen City for arbitration, which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.

اُبرم هذا العقد وحُرر بين المتعاقدين في السادس من يوليو لعام 2017 وفق أسس المساواة والمنفعة المتبادلة الهادفة الى تطوير النشاط التجاري، طبقا للبنود والشروط المتفق عليها على النحو التالي:
1- أطراف التعاقد:

يجب التأكيد على السعر، شروط الدفع وشحن المنتجات في كل عملية بيع، شريطة أن يتم تحديد تفاصيل المنتجات باستمارة أمر المبيعات الموقع من قبل أطراف التعاقد.
7- العلاقة التعاقدية بين الأطراف:
يُعَد الطرف الثاني في هذا العقد متعاقد مستقل، ولا يعد وكيلا للطرف الأول او يمثله من الناحية القانونية لاي غرض كان، وليس له حق او سلطة (باستثناء ما هو منصوص عليه صراحة في هذ العقد) بأن يُحمِل، يُلزِم او يُعد كتابياً او في أي صورة اخرى أي ضمانات على اشخاص الطرف الأول ولا تنص بنود هذا العقد او أي جزء منه على خلق شراكة او مشروع مشترك بين أطراف هذا العقد.
8- الدعاية:
يحق للطرف الثاني خلال فترة التوزيع المحددة في هذا العقد او امتداد لتلك الفترة ان يقوم بالدعية او ان يمثل نفسه كموزع معتمد للمنتجات. ويتعين على الطرف الثاني استخدام العلامة التجارية في كافة الإعلانات والأنشطة الاخرى التي يقوم بها للترويج وبيع المنتجات في أي وقت خلال فترة التوزيع المحددة في هذا العقد او اي عقد امتداداً لهذ العقد. ويَلزم على الطرف الثاني تقديم للطرف الاول عينات لجميع اشكال الدعاية المقترحة وغيرها من المواد الترويجية للمنتجات، وذلك للموافقة عليها. ولا ينبغي على الطرف الثاني استخدام أي شكل من اشكال الدعاية او المواد الترويجية من دون الحصول على اذن كتابي مسبق من الطرف الأول لهذا الغرض. ولا يجب على الطرف الثاني بموجب هذا العقد او اي عقد امتداداً لهذ العقد اكتساب أي حق مثل حق الملكية او الانتفاع من العلامات التجارية التي يمتلكها الطرف الأول. ولا يجوز للطرف الأول الكشف عن أي تفاصيل تتعلق بالنشاط التجاري الذي يربطه بالطرف الثاني بما في ذلك على سبيل المثال وليس الحصر: التسعير، شحن المنتجات، كمية المنتجات، معلومات عن البائع او العميل او أي معلومات أخرى تتعلق بالنشاط التجاري القائم بين الطرف الأول والطرف الثاني.
9- المبيعات والخدمات التي يقدمها الموزع:
يتعين على الطرف الثاني، على نفقته الخاصة، الالتزام والقيام بكل من: المبيعات، التعامل مع شركات خطوط التجميع ودعم الخدمة بالمنطقة، توفير عمالة ذات الخبرة اللازمة لمساعدة الموزع على القيام بالتزاماته بموجب هذا العقد. يلتزم الطرف الثاني، على نفقته الخاصة، بالمحافظة على المنشأة وتوفير العمالة اللازمة بالمنطقة والتي ستساعده - بصورة سريعة وبشكل مرضي - على القيام بكافة اعمال التفتيش والصيانة والخدمات الأخرى الضرورية المتعلقة بالمنتجات القائم ببيعها الطرف الثاني. وينبغي على الطرف الأول مساعدة الطرف الثاني في تأدية هذه الخدمة، وكذلك اعمال الصيانة، وذلك من خلال توفير تدريبات الخدمات واعمال الصيانة اللازمة لعدد مناسب من عمالة الطرف الثاني على ان يُخصص التدريب بمقار الطرف الثاني. ويلتزم الطرف الثاني بتقديم دليل التشغيل والصيانة المعمول به لكل عميل في وقت إتمام عملية البيع.
ولتزويد الطرف الأول بالمعلومات الكافية عن ظروف السوق السائدة، ينبغي على الطرف الثاني ان يتعهد بالالتزام نحو الطرف الأول بتقديم تقارير السوق - الربع سنوية او في أي وقت حسبما تدعي الضرورة - المتعلقة بتغييرات اللوائح المحلية فيما يخص استيراد وبيع المنتجات التي تشملها هذه الاتفاقية، اتجاه السوق المحلية وملاحظات المشتري على جودة المنتج، التغليف، السعر، ونحو ذلك من المنتجات التي يوفرها الطرف الأول بموجب العقد المبرم بين الطرفين. ينبغي على الطرف الثاني بتزويد الطرف الأول بمعلومات عن عروض الأسعار ومواد دعائية لمنتجات مشابهة لموردين اخرين، والوارد بالملحق (ب) على ان يتم تحديثه شهرياً. وفيما يخص التصنيع والمخزون الخاص بالطرف الأول، يلزم على الطرف الثاني تقديم تقرير للطرف الأول عن عملاء ذات صلة بمنتجات الطرف الاول وكذلك معلومات المشاريع المُدرجة بالملحق (ج) على ان يتم تحديثه شهرياً.
10- قطع الغيار والاكسسوارات:
لا يجوز استخدام قطع الغيار والاكسسوارات الغير مُصنعة من قِبَل الطرف الأول، والخاصة بالمنتجات، مالم يشير الطرف الاول بالموافقة على ذلك كتابياً.
11- المعلومات السرية:
لا يجب على الطرف الثاني الكشف عن المعلومات السرية التجارية للشركة المُصنِعة، ولا يجب عليه أيضا استخدام تلك المعلومات السرية خارج إطار هذا العقد. ويعترف الطرف الثاني بأن البيانات التقنية المكتوبة، الرسومات، المخططات والبيانات الهندسية الواردة بالتعليمات التقنية الخاصة بالمنتجات، على انها بيانات خاصة وسرية، وهي ملكية للطرف الأول، ويجب على الطرف الأول الاحتفاظ بتلك البنود طوال الوقت بصفة سرية، واستخدامها في كافة الاغراض المخصصة لذلك، ولا يجوز للطرف الثاني دون الحصول على موافقة خطية مسبقة من الطرف الأول:
أ- الكشف عن البيانات والمعلومات السرية لاي شخص، منشأة أو شركة باستثناء العاملين لدى الطرف الثاني بأجر والمُطالبين باستخدام تلك البيانات والمعلومات فيما يتعلق بالبيع، التفتيش، الصيانة، تقديم خدمات خاصة بالمنتجات خلال فترة التوزيع بموجب هذا العقد او اي عقد امتداداً لهذ العقد.
ب- أن يقوم الطرف الثاني، الموظفين العاملين لدى الطرف الثاني او الوكلاء بنسخ تلك البيانات والمعلومات السرية في أي وقت عقب انتهاء أو فسخ العقد المبرم بين الطرفين او أي عقد امتدادا لهذا العقد. وعملاً بهذه الفقرة، يجوز للطرف الأول كشرط لعدم الإفصاح عن البيانات والمعلومات السرية من جانب الطرف الثاني، قيامه بتوقيع العاملين بأجر (من يخشى منهم القيام بالإفصاح) على اتفاقية السرية قابلة للإنفاذ من جانب الطرف الأول وتتضمن شروطاً مُرضية له.
12- حقوق الملكية الصناعية:
يجوز للطرف الثاني استخدام العلامات التجارية التي يمتلكها الطرف الأول لغرض بيع السلع الواردة بالفقرة الثالثة خلال فترة سريات العقد، وان يقر الطرف الثاني بأن كافة براءة الاختراع، العلامات التجارية، حقوق الطبع واي حقوق ملكية صناعية أخرى مستخدمة او مشمولة بالمنتجات تضل ملكا حصرياً للطرف الأول. وفي حال اكتشاف أي انتهاك، يتعين على الطرف الثاني على الفور بإخطار الطرف الأول ومساعدته على اتخاذ الإجراءات اللازمة لحماية حقوقه.
13- الضمان:
بموجب سياسة الأسعار الحالية المبينة في الملحق (أ)، يقوم الطرف الأول بتوفير ضمان لمدة اثنا عشر شهراً على الجهاز، ستة أشهر على البطارية وثلاثة أشهر على الملحقات.
ومن اجل تحقيق هدف تقديم الخدمة بعد البيع، يتعين على الطرف الأول تقديم كل الدعم اللازم للطرف الثاني فيما يخص توفير الخدمة بعد البيع ويشمل ذلك على دليل الصيانة الارشادية، حقيبة تطوير البرامج، دليل تطوير وتصحيح البرمجيات وتوفير التدريب المحلي إذا لزم الامر.
14- سريان العقد وإنهائه:
تبدأ مدة سريان العقد عند قيام الطرفان بتوقيع العقد بالشكل الصحيح، وذلك اعتباراً من --- 2018 وحتى ----،2019 ولمدة عام واحد. ويتم تمديد سريانه لعام اخر عند انتهاء مدة العقد مالم يشر اشعار خطي على خلاف ذلك. وإذا تبين قيام أي من المتعاقدين اثناء مدة سريان العقد بانتهاك الشروط الواردة فيه فإنه يحق للطرف الاخر انهاء هذا التعاقد على الفور.
15- الظروف القهرية:
لا يتحمل أي من الطرفان المسؤولية عن الفشل او التأخير في تنفيذ كل او بعض من بنود هذا العقد بسبب حدوث فيضان، حريق، زلزال، جفاف، حروب او أي احداث أخرى يصعب التنبؤ بها، السيطرة عليها، تجنبها او التغلب عليها من قِبَل طرف ذو صلة. وبالرغم من ذلك، فإن ينبغي على الطرف المتضرر من هذه الظروف القهرية ابلاغ الطرف الاخر بحدوث الضرر بصورة كتابية وفي أقرب وقت ممكن. ومن ثَم ارسال شهادة صادرة من قبل السلطات المختصة للطرف الاخر مبين فيها الحادثة في غضون ثلاثون يوماً من تاريخ وقوعا.
16- التحكيم:
في حال نشوء نزاع او خلاف حول تنفيذ العقد او فيما يتعلق به، فانه يجب اللجوء الى لجنة التحكيم الاقتصادي والتجاري الدولي في جنوب الصين بمدينة شنجن، والتي تُقام وفقاً لقواعد لجنة التحكيم المعمول بها في وقت تقديم طلب التحكيم، ويكون قرار التحكيم قرار نهائي ومُلزِم للطرفين.
