Source text - English PRESENTATION OF FINANCIAL INFORMATION
The financial information included in this Offering Circular has been derived from the consolidated financial statements of the Company. Unless otherwise indicated, financial information in this Offering Circular has been prepared in accordance with Indonesian Financial Accounting Standards (“Indonesian FAS”), which differs in significant respects from International Financial Reporting Standards (“IFRS”). For a summary of the significant differences between Indonesian FAS and IFRS, see “Summary of Certain Differences between Indonesian FAS and IFRS” included elsewhere in this Offering Circular. Unless otherwise indicated or otherwise required by the context, all references in this Offering Circular to “Rupiah” or “Rp” are to the lawful currency of Indonesia.
References to “U.S. dollars” or “US$” are to United States dollars, the lawful currency of the United States.
References to “Singapore dollars” or “S$” are to Singapore dollars, the lawful currency of the Republic of Singapore. Rounding adjustments have been made in calculating some of the financial information included in this Offering Circular.
ENFORCEABILITY
Enforceability of Foreign Judgments in Indonesia and the Republic of Singapore.
The Issuer is incorporated in the Republic of Singapore and the Company and the Subsidiary Guarantors are incorporated in Indonesia. One of the directors of the Issuer resides in the Republic of Singapore, while the other director of the Issuer resides in the Republic of Philippines and all of the Company’s commissioners, directors and executive officers (and certain experts named in this Offering Circular) reside in Indonesia.
The Issuer is a special-purpose company with limited assets, while all or a substantial portion of the Company’s and the Subsidiary Guarantors’ assets are located in Indonesia. As a result, it may not be possible for investors to effect service of process outside of Indonesia, including judgments, upon such persons, or to enforce against the Company and the Subsidiary Guarantors in an Indonesian court, judgments obtained in courts outside of Indonesia.
We have been advised by our Indonesian counsel, M & P, that judgments of courts outside Indonesia, which includes judgments of English courts, are not enforceable in Indonesian courts. A foreign court judgment could be offered and accepted into evidence in a proceeding on the underlying claim in an Indonesian court and may be given such evidentiary weight as the Indonesian court may deem appropriate in its sole discretion.
A claimant may be required to pursue claims in Indonesian courts on the basis of Indonesian law. Re-examination of the underlying claim de novo would be required before the Indonesian court.
There can be no assurance that
the claims or remedies available under Indonesian law will be the same, or as extensive, as those available in other jurisdictions.
We have been advised by our Singapore Counsel, SLC, that foreign court judgments are not automatically enforceable in the Republic of Singapore, unless that foreign country and Singapore are parties to a treaty providing for reciprocal recognition and enforcement of judgments. As Indonesia and the Republic of Singapore do not currently have a treaty providing for reciprocal recognition and enforcement of judgments in civil and commercial matters, a final and conclusive judgment for the payment of money rendered by any courts in Indonesia based on civil liability, would not be enforceable in Singapore as if it was a judgment of the Singapore court.
However, if the party in whose favor such final judgment is rendered brings a new suit in a court of competent jurisdiction in Singapore, such party may submit to the Singapore court the final judgment that has been rendered in Indonesia as evidence of fact in relation to the claim for the money judgment.
If and to the extent the Singaporean court finds that the jurisdiction of the court in Indonesia is an in personam final and conclusive judgment, which is also judgment for a definite sum of money, the Singapore court will, in principle, grant a Singapore judgment for the sum entered under the foreign judgment, without substantive re-examination or re-litigation on the merits of the subject matter thereof, unless such judgment was procured by fraud or its enforcement would be contrary to public policy in Singapore or that the proceedings in which it was obtained were contrary to natural justice.
The agreements entered into with respect to the issue of the Notes are governed by the laws of England. The recognition and enforcement in the Republic of Singapore of a judgment rendered by an English court will be subject to the provisions of the Reciprocal Enforcement of Commonwealth Judgments Act, Chapter 264 of Singapore. Each of the Issuer and the Guarantors will designate Law Debenture as its agent for service of process in England with respect to the Notes, the Guarantees and the Trust Deed (as hereinafter defined).

Informasi keuangan dalam Surat Penawaran ini berasal dari laporan keuangan konsolidasi Perusahaan. Kecuali jika dinyatakan secara lain, informasi keuangan dalam Surat Penawaran ini disiapkan sesuai dengan prinsip-prinsip akuntansi yang diterima secara umum di Indonesia (“PADU Indonesia”), yang secara signifikan berbeda dengan Standar Pelaporan Keuangan Internasional (“SPKI”). Untuk ringkasan perbedaan signifikan antara PADU Indonesia dan SPKI, lihat “Ringkasan Perbedaan Antara PADU Indonesia dan SPKI” dalam Surat Penawaran. KEBERLAKUAN
Keberlakuan Putusan-putusan Pengadilan Luar Negeri di Indonesia dan Republik Singapura.
Emiten yang didirikan di Republik Singapura dan Perusahaan serta Anak Perusahaan Penjamin yang didirikan di Indonesia. Salah satu direktur Emiten tinggal di Republik Singapura, sementara para direktur Emiten lainnya tinggal di Republik Filipina dan semua komisaris, direktur dan pejabat eksekutif Perusahaan (dan para ahli yang disebut dalam Surat Penawaran ini) tinggal di Indonesia.
Emiten adalah perusahaan yang memiliki tujuan khusus dengan aset terbatas, sementara semua bagian atau bagian substansial dari aset Perusahaan dan Anak Perusahaan Penjamin berada di Indonesia. Tidak ada jaminan bahwa tuntutan-tuntutan atau upaya-upaya hukum yang tersedia berdasarkan pada undang-undang Indonesia akan sama dengan yang tersedia di wilayah hukum lainnya.
Kami telah diberitahu oleh penasihat hukum Singapura kami, SLC, bahwa Putusan-putusan pengadilan luar negeri tidak otomatis berlaku di Republik Singapura, kecuali jika negara luar tersebut dan Singapura menjadi para pihak yang mengadakan perjanjian yang memberi pengakuan dan pelaksanaan timbal balik putusan-putusan yang dibuat. Karena Indonesia dan Republik Singapura saat ini tidak mengadakan perjanjian yang memberi pengakuan dan pelaksanaan timbal balik putusan-putusan yang dibuat dalam permasalahan perdata dan dagang, keputusan final dan konklusif untuk pembayaran uang yang diberikan oleh pengadilan-pengadilan di Indonesia berdasarkan pada kewajiban perdata, tidak berlaku di Singapura.
Namun demikian, jika pihak diberi putusan akhir mengajukan gugatan baru di pengadilan Singapura, pihak tersebut dapat menyerahkan kepada pengadilan Singapura putusan final yang telah dibuat di Indonesia sebagai bukti fakta yang terkait dengan tuntutan atas putusan uang.
Jika dan sepanjang pengadilan Singapura mendapati bahwa wilayah hukum pengadilan di Indonesia adalah putusan final dan konklusif in personam, yang juga merupakan putusan untuk jumlah uang definitif, pengadilan Singapura, pada prinsipnya, akan memberi hasil yang mengikat pada putusan final tersebut, tanpa re-eksaminasi atau re-litigasi substantif dengan mempertimbangkan pokok permasalahannya, kecuali jika putusan tersebut diperoleh karena kecurangan atau keberlakuannya akan bertentangan dengan kebijakan publik di Singapura atau bahwa proses pengadilan yang membuat putusan tersebut bertentangan dengan peradilan yang lazim.
Perjanjian-perjanjian diadakan terkait dengan penerbitan Surat Utang diatur oleh undang-undang Inggris. Pengakuan dan pelaksanaan di Republik Singapura dari putusan yang dibuat oleh pengadilan Inggris akan tunduk pada ketentuan-ketentuan mengenai Pelaksanaan Timbal Balik Undang-undang Putusan Persemakmuran, Bab 264 Singapura. Source text - Indonesian SYARAT-SYARAT DAN KETENTUAN-KETENTUAN UMUM
PASAL 1
DEFINISI
Kata-kata dan/atau istilah-istilah dibawah yang digunakan dalam KONTRAK ini mempunyai arti sebagaimana diberikan disini:
a. AFILIASI adalah suatu perusahaan yang: a) mengendalikan, atau b) dikendalikan oleh, atau c) berada dibawah kendali yang sama dengan salah satu PIHAK. Yang dimaksud dengan ”kendali” adalah kepemilikan secara langsung atau tidak langsung lebih dari 50% (lima puluh persen) saham atau 50% (lima puluh persen) hak suara.
b. DOKUMEN KONTRAK adalah POKOK-POKOK PERJANJIAN dan semua dokumen yang disebut dalam Pasal 1 POKOK-POKOK PERJANJIAN.
c. HAK KEKAYAAN INTELEKTUAL yaitu segala hak eksklusif yang diberikan oleh peraturan perundang- undangan kepada seseorang atau sekelompok orang atas karya ciptanya, termasuk namun tidak terbatas pada hak cipta, paten, merek, rahasia dagang dan desain industri.
d. HARI KALENDER adalah kurun waktu 24 (dua puluh empat) jam secara terus-menerus, yang dimulai pada pukul 00.00 WIB sampai dengan pukul 00.00 WIB pada hari berikutnya.
e. HARI KERJA adalah semua HARI KALENDER kecuali hari Sabtu, hari Minggu dan hari libur nasional Republik Indonesia.
f. JAMINAN PELAKSANAAN adalah suatu jaminan sebagaimana disyaratkan dalam Rencana Kerja dan Syarat-syarat, yang diserahkan oleh KONTRAKTOR kepada PERUSAHAAN untuk menjamin pelaksanaan PEKERJAAN.
g. JANGKA WAKTU KONTRAK adalah jangka waktu yang dimulai sejak TANGGAL KONTRAK atau tanggal lain yang disepakati PARA PIHAK sampai dengan tanggal yang disebut dalam Lampiran D.
h. KESENGAJAAN DAN/ATAU KELALAIAN adalah tindakan yang dimaksudkan untuk melanggar atau tidak dipenuhinya suatu kewajiban berdasarkan KONTRAK, peraturan perundangan, best oilfield practices atau kepatutan.
i. LOKASI PEKERJAAN adalah kantor, lapangan atau tempat-tempat lain dimana PERUSAHAAN melakukan kegiatannya, di tempat mana PEKERJAAN harus dilakukan sebagaimana disebut dalam Lampiran B.
j. MASA PENYELESAIAN PEKERJAAN yaitu jangka waktu bilamana PEKERJAAN harus diselesaikan oleh KONTRAKTOR seperti diatur dalam Lampiran D.
k. PERSONIL KONTRAKTOR adalah mereka yang dipekerjakan atau dilibatkan oleh KONTRAKTOR untuk melaksanakan KONTRAK, baik langsung maupun tidak langsung, termasuk namun tidak terbatas pada SUBKONTRAKTOR dan vendor. Termasuk dalam pengertian PERSONIL KONTRAKTOR adalah mereka yang oleh KONTRAKTOR diundang atau dibiarkan untuk berada di LOKASI PEKERJAAN.
l. PERSONIL PERUSAHAAN adalah mereka yang dipekerjakan atau dilibatkan oleh PERUSAHAAN, baik langsung maupun tidak langsung dan PIHAK KETIGA yang oleh PERUSAHAAN diundang untuk berada di LOKASI PEKERJAAN.
m. PIHAK KETIGA adalah mereka yang bukan PERUSAHAAN, PERSONIL PERUSAHAAN, KONTRAKTOR atau PERSONIL KONTRAKTOR.
n. POKOK-POKOK PERJANJIAN adalah dokumen yang berjudul ”POKOK-POKOK PERJANJIAN” yang ditandatangani oleh PARA PIHAK.
o. SUBKONTRAK adalah kontrak antara KONTRAKTOR dan SUBKONTRAKTOR untuk melaksanakan sebagian dari PEKERJAAN.
p. SUBKONTRAKTOR adalah suatu pihak yang disetujui secara tertulis oleh PERUSAHAAN untuk melakukan sebagian dari PEKERJAAN dalam kapasitas sebagai subkontraktor dari KONTRAKTOR.
q. TANGGAL DIMULAINYA PEKERJAAN adalah tanggal harus dimulainya pelaksanaan PEKERJAAN oleh KONTRAKTOR sebagaimana disebut dalam Lampiran D.
r. TEMPAT PENYERAHAN PEKERJAAN adalah tempat diserahkannya hasil PEKERJAAN dari KONTRAKTOR kepada PERUSAHAAN sebagaimana disebutkan dalam Lampiran B.
s. TANGGAL SELESAINYA PEKERJAAN adalah tanggal sebagaimana dimaksud dalam Lampiran D.
Translation - English GENERAL TERMS AND CONDITIONS
ARTICLE 1
DEFINITION
All terms and/or definitions used in this CONTRACT have the meanings as provided hereunder:
a. AFILIATION is a company: a) controlling, or b) controlled by, or c) under the same control as one of the PARTIES. “Control’ means a direct or indirect ownership of more than 50% (fifty percent) shares or 50% of (fifty percent) of voting rights.
b. CONTRACT DOCUMENT is PRINCIPALS OF AGREEMENT and all documents mentioned in Article 1 of PRINCIPALS OF AGREEMENT.
c. INTELLECTUAL PROPERTY is all exclusive rights conferred by the legislation upon an individual or a group of people for his/her their creation, including but not limited to copyright, patent, brand, trade secret and industrial design.
d. CALENDAR DAYS are a period of 24 (twenty four) continuous hours, from 00.00 WIB to 00.00 WIB on the following day.
e. BUSINESS DAYS are all CALENDAR DAYS except Saturday, Sunday and the national holidays of the Republic of Indonesia.
f. PERFORMANCE BOND is a guarantee as required by the Work Plan and Conditions, which are submitted by the CONTRACTOR to the COMPANY to ensure the execution of WORK.
g. TERM OF CONTRACT is a period starting from CONTRACT DATE or another date agreed by the PARTIES to a date mentioned in Appendix D.
h. DEFAULT AND/OR NEGLIGENCE is an action intended to violate or not to fulfil an obligation under the CONTRACT, legislation, best oilfield practices or compliance.
i. WORK SITES are offices, fields or other places where the COMPANY performs its activities, which places where the WORKS shall be performed as mentioned in Appendix B.
j. WORK COMPLETION PERIOD is a period where the WORKS shall be completed by the CONTRACTOR as stipulated in Appendix D.
k. CONTRACTOR PERSONNELS are those employed or involved by the CONTRACTOR to implement the CONTRACT, directly or indirectly, including but not limited to SUBCONTRACTOR and vendor. The definition of CONTRACTOR PERSONNELS includes those invited or let to be existing on the WORK SITES by the CONTRACTOR.
l. COMPANY PERSONNELS are those employed or involved by the COMPANY, directly or indirectly, and the THIRD PARTIES invited to be existing on the WORK SITES by the COMPANY.
m. THIRD PARTIES are those not being the COMPANY, COMPANY PERSONNELS, CONTRACTOR or CONTRACTOR PERSONNELS.
n. PRINCIPALS OF AGREEMENT is a document entitled “PRINCIPALS OF AGREEMENT” signed by the PARTIES.
o. SUBCONTRACT is a contract between the CONTRACTOR and SUBCONTRACTOR to perform a part of the WORK.
p. SUBCONTRACTOR is a party approved in writing by the COMPANY to perform a part of the WORK in its capacity of a subcontractor of the CONTRACTOR.
q. WORK COMMMENCEMENT DATE is a date to commence the WORK by the CONTRACTOR as mentioned in Appendix D.
r. WORK ACCEPTANCE POINT is a point of work acceptance from the CONTRACTOR to the COMPANY as mentioned in Appendix B.
s. WORK COMPLETION DATE is a date as referred to in Appendix D.
