Source text - Spanish La creciente complejidad del sistema financiero, debido al tamaño de las entidades que lo integran, la mayor sofisticación de los productos con que operan, así como a su elevada interconexión, exige de los poderes públicos que cuenten con mecanismos y poderes reforzados para afrontar la potencial situación de dificultad en la que se pueden encontrar las entidades de crédito o las empresas de servicios de inversión, respetando la idea esencial, que subyace a todo el articulado de la ley, de evitar todo impacto a los recursos de los contribuyentes.
Durante la crisis financiera de los últimos años, la mayoría de los países desarrollados experimentaron, en mayor o menor grado, el enorme reto que acarrea llevar a cabo la resolución de una entidad de crédito de una manera ordenada y sin poner en juego dinero público. Lo anterior ha puesto de manifiesto que es necesario incluir en los ordenamientos jurídicos potestades específicas que permitan a las autoridades públicas gestionar un proceso, el de resolución de la entidad, de una manera enérgica y ágil al mismo tiempo, con respeto de los derechos de los accionistas y acreedores, pero partiendo del principio de que son estos, y no los ciudadanos con sus impuestos, quienes deben absorber las pérdidas de la resolución.
La concreción de esta nueva rama de la regulación financiera se ha articulado progresivamente a partir de las experiencias de los últimos años en procesos de resolución de entidades y de la actividad coordinadora de los foros internacionales con competencia en política financiera, y ha cristalizado en una serie de principios que, en última instancia, sustentan el articulado de esta Ley, y que, por su importancia, conviene explicitar preliminarmente.
Un principio básico del que parte la ley es que los tradicionales procedimientos concursales, llevados a cabo en vía judicial, no son, en muchos casos, útiles para llevar a cabo la reestructuración o cierre de una entidad financiera inviable. Dados su tamaño, la complejidad y singularidad de sus fuentes de financiación, que incluye depósitos legalmente garantizados, y su interconexión con otras entidades, la liquidación ordinaria de una entidad financiera difícilmente podría evitar daños irreparables al sistema financiero y a la economía de un país. Por lo tanto, resulta necesario articular un procedimiento especial, riguroso y flexible al tiempo, que permita a las autoridades públicas dotarse de poderes extraordinarios en relación con la entidad fallida y sus accionistas y acreedores. Un procedimiento, en suma, que permita un seguimiento estrecho y continuado sobre la entidad a resolver por parte de la autoridad de resolución, y que esté exclusivamente enfocado hacia el cometido de resolverla eficientemente.
De lo anterior se deriva la distinción entre la liquidación y la resolución de una entidad financiera. En este sentido, la liquidación de una entidad financiera alude a la finalización de sus actividades en el marco de un proceso judicial ordinario, proceso que se dará principalmente en el caso de entidades que por su reducido tamaño y complejidad, sean susceptibles de ser tratadas bajo este régimen sin menoscabo del interés público; mientras que la resolución de una entidad financiera es un proceso singular, de carácter administrativo, por el que se gestionaría la inviabilidad de aquellas entidades de crédito y empresas de servicios de inversión que no pueda acometerse mediante su liquidación concursal por razones de interés público y estabilidad financiera.
El régimen establecido en esta Ley constituye, en consecuencia, un procedimiento administrativo, especial y completo, que procura la máxima celeridad en la intervención de la entidad, en aras de facilitar la continuidad de sus funciones esenciales, al tiempo que se minimiza el impacto de su inviabilidad en el sistema económico y en los recursos públicos.
Translation - English The growing complexity of the financial system, due to the size of the entities making up such a system, the major sophistication of the products with which they operate, as well as its high interconnection, requires the public powers who account for the mechanisms and the strengthened powers to face the potential difficult situation in which the credit entities and the investment service agencies are found, respecting the essential idea, which underlies the articles of the law, of avoiding all impact on the contributor’s resources.
During the financial crisis in recent years, the majority of developing countries experienced, in a more or less degree, the tremendous challenge giving rise to carrying out the decision of a credit entity in an orderly manner and without risking public money. The foregoing made it evident that it is necessary to include the specific legal ordinance powers allowing public authorities to arrange a process, one from a decision of the entity, in an energetic and swift fashion, with respect to the stockholders and creditors, but originating from the principle that it is these ones who should use up the losses of the resolution.
The concision of this new branch of the financial decision has progressively articled from the experiences in recent years in processes of entity decision and the coordinating activity of international forums with competence in financial policy, and has crystallized into a series of principles that, ultimately, sustain the articles of this Law, and that it does well to state explicitly first.
A basic principle from which the law deviates is that traditional candidate procedures, carried out in a judicial manner, are not, in many cases, useful to carry out the rebuilding or closing of an inviable financial entity. Given its size, the complexity, and singularity of its financing sources, which includes legally guaranteed deposits and its interconnection with other entities, the ordinary liquidation of a financial entity hardly could avoid irreparable damages to the financial system and to the economy of a country. Therefore, it is necessary to timely bind special, rigorous, and flexible procedure that allows public authorities to provide emergency powers in relation to the failing entity and its stockholders and creditors. A procedure, in short, that allows for minimal and continued tracking of the entity to resolve by the resolving authority, and that is exclusively focused on the task of resolving it efficiently.
The distinction between the liquidation and the resolution of a financial entity is derived from the foregoing. In this sense, the liquidation of a financial entity alludes to the completion of its activities in the framework of an ordinary judicial process, of which is given in the case of entities, through their reduced size, are susceptible to being treated below this regimen without the reduction of the public interest; while the resolution of a financial entity is a singular process, of an administrative character, through which the non-viability of those credit entities and investment service agencies that cannot undertake through its bankruptcy liquidation for reasons of public interest and financial stability.
The established regimen in this Law constitutes, consequently, an administrative procedure, special and complete, which seeks the maximum speed in the intervention of the entity, for the sake of facilitating the continuity of its essential functions, while minimizing the impact of its non-viability in the economic system and its public resources.
