Source text - English 11. DURATION AND TERMINATION
11.1 The present agreement will come into force upon the effective date and will remain in force indefinitely unless terminated under and in accordance with the terms of this agreement.
11.2 When the present agreement is terminated and not renewed, neither party shall have to indemnify the other in any way whatsoever.
11.3 The present agreement may be terminated by any part in case:
11.3.1 The other party fails to meet its obligations under the present agreement and such failure is not remedied within thirty (30) days after complaining party has given notice of said failure by registered mail to other party;
11.3.2 The other party is adjudicated a bankrupt or being insolvent and has a receiver appointed for its business;
11.3.3 The purchasing forecast concerning any next year is decided unacceptable by one or both of parties hereto;
11.4 The present agreement may be terminated by each party at any time under a notice of six months. However, after termination, R and L shall sell and purchase products in order to fulfil all agreements approved by R - according to article 1.2.3.
During this six month period the rights and obligations of the parties hereto remain intact.
11.5 When the present agreement is ended after termination for any reason whatsoever L will be entitled to continue to sell the products already purchased.
11.6 In the event the parties have any business transactions after termination of the present agreement, such transactions shall not be construed as a renewal of the present agreement nor a waiver of such termination, but all such transactions shall -unless the parties agree otherwise - be governed by terms identical to the provisions of the present agreement.
Translation - Spanish 11. DURACIÓN Y RESOLUCIÓN
11.1 El presente contrato entrará en vigor en la fecha de vigencia y continuará en vigor indefinidamente a menos que se resuelva bajo y conforme a los términos del presente acuerdo.
11.2 Cuando el presente contrato se resuelva y no se renueve, ninguna de las partes tendrá que indemnizar a la otra en ninguna forma en absoluto.
11.3 Cualquier de las partes puede resolver el presente contrato en el caso de que:
11.3.1 La otra parte no cumpliera con sus obligaciones conforme con lo previsto en el presente contrato y tal incumplimiento no se subsanara durante los treinta (30) días después de la notificación por correo certificado de la parte demandante a la otra;
11.3.2 La otra parte fuera declarada en bancarrota o insolvente y se designara un Administrador para su negocio;
11.3.3 Una de las partes encontrara que la previsión de compras para el año que viene es completamente inaceptable;
11.4 Las dos partes pueden resolver el presente acuerdo en cualquier momento, notificándolo con seis meses de antelación. Sin embargo, después de la resolución, R y L venderán y comprarán productos para cumplir con todos los acuerdos autorizados por R conforme a lo previsto en artículo 1.2.3.
Durante este período de seis meses, los derechos y obligaciones de las partes se quedarán completos.
11.5 Cuando el presente contrato se resuelva por cualquier motivo, después de la resolución L tiene derecho a continuar vendiendo los productos que se haubieran comprado en su totalidad.
11.6 En el caso de que las partes tuvieran cualquier transacción comercial después de la terminación del presente contrato, tales transacciones no se interpretarán como una renovación del presente contracto ni una renuncia a tal resolución, pero todas tales transacciones se regirán – salvo cuando las partes lo acuerden de otra forma – por términos idénticos a los del presente contrato.
