Before you get started take some time to go through our Terms of Business in order to understand how things work and your right as a client or a freelancer.
Accepting the Nabbesh Terms of Business
This Nabbesh User Agreement (the “Agreement”) is a contract between a freelancer (the “Freelancer”), the Company or individual engaging the services of the freelancer (the “Client”) and Nabbesh FZE, a UAE based Client (“Nabbesh”, “we” or “us”). You must read, agree with and accept all of the terms and conditions contained in this Agreement in order to use our website located at www.nabbesh.com (the “Site”) and related software and services (collectively with the Site, the “Nabbesh Platform”).
Nabbesh may make modifications, deletions and/or additions to this Agreement (“Changes”) at any time. Changes will be effective: (i) fifteen (15) days after Nabbesh provides notice of the Changes, whether such notice is provided through the Site user interface, is sent to the email address associated with your account or otherwise; or (ii) when you opt-in or otherwise expressly agree to the Changes or a version of this Agreement incorporating the Changes, whichever comes first.
Your access to and use of the Nabbesh Platform is also governed by information, guidelines and policies made available on the Site, including but not limited to the Nabbesh Privacy Policy, which can be accessed at Privacy. To the extent that there are any conflicts between the terms of business of this Agreement and the Site, the terms of business of this Agreement will govern.
YOU UNDERSTAND THAT BY USING THE NABBESH PLATFORM, YOU ARE AGREEING TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT ACCEPT THIS AGREEMENT IN ITS ENTIRETY, YOU MAY NOT ACCESS OR USE THE NABBESH PLATFORM. IF YOU AGREE TO THIS AGREEMENT ON BEHALF OF AN ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY TO THIS AGREEMENT. IN THAT EVENT, “USER”, “YOU” AND “YOUR” WILL REFER AND APPLY TO THAT ENTITY.
1. THE NABBESH PLATFORM
Nabbesh has created a marketplace to connect clients and freelancers using the Nabbesh Platform. The Nabbesh Platform enables both clients and freelancers to buy and sell Services online. Clients post jobs and ite freelancers to apply. Freelancers apply to Jobs. If a Client accepts a Freelancer’s Job application, a contract (the “Service Contract” or “Consultancy Agreement”) is formed directly between such Client and Freelancer.
Nabbesh is not a service Client and does not provide services or manage individual Freelancers or their work, in any manner.
Nabbesh collects payment from the Client on behalf of the Freelancer. Nabbesh charges Clients a fee for the use of the Nabbesh Platform and the services it provides (the “Nabbesh Fees”). This fee is equal to 12% of Client’s total payments, unless Nabbesh advises the Client and Freelancer in advance as to a different fee.
Nabbesh uses a third-party payment processor (the “Payment Processor”) to link credit card accounts to the Nabbesh Platform. The processing of payments or credits, as applicable, in connection with your use of the Nabbesh Platform will be subject to the terms, conditions and privacy policies of the Payment Processor and your credit card issuer in addition to this Agreement. Nabbesh is not responsible for any errors by the Payment Processor.
2. SERVICES PROVIDED BY FREELANCER
The Freelancer will provide services to the Client as described and agreed on the Nabbesh Platform and will be governed by this Agreement.
3. FREELANCER ACTING AS INDEPENDENT CONTRACTOR
It is understood that the Freelancer is acting as an independent contractor only, and is not an agent for or an employee of the Client or of Nabbesh. The Freelancer shall have no authority to enter into any commitments on behalf of the Client or Nabbesh or to hold themselves out as an employee of the Client or Nabbesh. The Freelancer shall act at all times as an independent contractor, and nothing in this Agreement shall be construed as creating any form of employment, agency, or partnership between the Client and the Freelancer or between Nabbesh and the Freelancer.
4. EXPECTATIONS
Nabbesh expects a consistent and high level of courtesy, respect and professionalism from all of its Clients and Freelancers toward each other. Clients and Freelancers agree to use good judgment when posting information, comments, or other content regarding other Clients and Freelancers, Nabbesh or any third party anywhere within the Nabbesh Platform. Clients and Freelancers may be held legally responsible for damages suffered by other Clients and Freelancers, Nabbesh or any third party as a result of legally actionable or defamatory comments, remarks, or other information or content posted to the Nabbesh Platform. All Clients and Freelancers are to comply with all laws applicable to them or to their activities, and with all posted Nabbesh Policies, which are hereby incorporated into this Agreement by reference. These policies may be modified from time to time at Nabbesh’s discretion, and the currently effective policies will be deemed to be part of this Agreement.
When submitting any content to or otherwise using the Nabbesh Platform, you agree not to post or transmit to or from the Nabbesh Platform:
any unlawful, hateful, racially or ethnically offensive, threatening, libellous, defamatory, obscene, pornographic, or other material or content that would violate rights of publicity and/or privacy or that would violate any law;
any material or content that infringes, misappropriates or violates any third party rights, including but not limited to copyright, trademark, patent right or other proprietary right of any third party;
any falsehoods or misrepresentations that could damage us, our users or any third party;
any private information concerning another person, without their permission;
anything which impersonates another person or represents yourself as affiliated with us, our staff or other industry professionals;
anything which solicits a user's password or other account information;
anything which harvests user names, addresses, or email addresses for any purpose; and
any viruses or other computer instructions or technological means whose purpose is to disrupt, damage, or interfere with the use of computers or related systems.
You will not access (or attempt to access) the Nabbesh Platform by any means other than the interface provided, and you will not use information from the Nabbesh Platform for any purpose other than the purpose for which it was made available. You will not engage in any activity that interferes with or disrupts the functioning of the Nabbesh Platform. You will not upload or attach an invalid or malicious or unknown file. You will not insert any external links that may be malicious or unknown to you, or used for offering any goods or services other than Services.
You do further hereby agree to use the Nabbesh Platform for lawful purposes only, and not for any immoral or harmful activities. You agree that you will not do any of the following while using or accessing the Nabbesh Platform:
attempt to access or search the Nabbesh Platform or download content from the Nabbesh Platform through the use of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by us or other generally available third party web browsers;
access, tamper with, or use non-public areas of the Nabbesh Platform, our computer systems, or the technical delivery systems of our providers;
gather and use information, such as other users’ names, real names, email addresses, available through the Nabbesh Platform to transmit any unsolicited advertising, junk mail, spam or other form of solicitation;
use the Nabbesh Platform for any commercial purpose or for the benefit of any third party or in any manner not by this Agreement;
violate any applicable law or regulation; or
advocate, encourage, or assist any other individual to doing any of the foregoing. We reserve the right to investigate and prosecute violations of any of the above and/or involve and cooperate with law enforcement authorities in prosecuting users who violate this Agreement.
Nabbesh is not legally responsible for any remarks, information or other content posted or made available on the Nabbesh Platform by any Client or Freelancer or third party, even if such information or content is defamatory or otherwise legally actionable. Nabbesh is not legally responsible for any negative outcome of the relationship between Clients and Freelancers. Nabbesh is not responsible for and does not monitor or censor content for accuracy or reliability. However, Nabbesh reserves the right to remove or restrict access to any information or content posted or made available on the Nabbesh Platform if ordered to do so by a government authority or if Nabbesh considers such information or content to be in violation of this Agreement, or to be unlawful, immoral or harmful.
5. WORKING ON NABBESH
5.1 Posting a job. All Jobs posted to Nabbesh must not contain any information enabling or requesting contact or payment outside of the Nabbesh Platform. Job postings must be of a professional nature and accurately describe the Services requested. They should be free of offensive language or advertisements for other products or services. Job postings may not request any service that is illegal or violates intellectual property rights, copyrights or the terms of service of another service, product or website. Job postings related to the creation of adult or explicit content or those that involve modelling or acting are prohibited. Job postings that involve exposure to content of an adult or potentially offensive nature should notify potential readers in the title of the job posting.
5.2 Applying to a job. All information provided in a Job application must be true, accurate and complete. Nabbesh reserves the right (but has no obligation) to verify any and all information provided on a Client or Freelancer’s profile or Job application. By applying to a Job, the Client or Freelancer is attesting that he/she/it has the skills and ability to perform the requested Services by the deadline stated in the Job posting. Nabbesh reserves the right (but Nabbesh does not have the obligation) to verify the skill and ability of the Freelancer.
5.3 Managing jobs. Clients agree to respond promptly to communications with and requests for information from the Freelancer. Any requests for feedback should be answered within 72 hours of request. If this does not happen to the satisfaction of Nabbesh, the Job may be removed from the Nabbesh Platform. If input on a Job part is delayed by more than 7 days from the delivery date, Nabbesh has the right, at its sole and absolute discretion, to put the resolve any disputes or pending payment in relation to the Job, determine fair compensation, and disperse funds between the parties as it sees fit, without Nabbesh incurring any liability whatsoever.
5.4 Working on jobs. The Client is responsible for providing all tools and resources necessary to complete the services, unless explicitly stated in advance by the Client. Freelancers agree to respond to all Client communications and requests for information within 24 business hours. If the Freelancer will be unable to meet this requirement due to an absence, he/she/it is expected to notify the Client at least 1 week prior. After the completion of a Job, the Freelancer can provide timely, honest and objective feedback on the Client.
6. BILLING AND PAYMENTS
6.1 Fixed-Priced and Hourly Agreements. Jobs on Nabbesh can be organized on a Fixed-Price agreement or an Hourly agreement. Payments for Fixed-Price agreements and Hourly agreements would need to use Nabbesh’s payment system to manage payments. Fixed-Price and Hourly agreements can be modified and extended as long as both the Client and Freelancer agree.
6.2 Disintermediation. Except pursuant to the Buyout Policy in Section 6.3 below, Clients shall make all payments relating to, or in any way connected with, a Service Contract (including, without limitation, bonuses) through the Nabbesh Platform. Any action that encourages or solicits complete or partial payment outside of the Nabbesh Platform is a violation of this Agreement.
Should a Client be found in violation of this section of this Agreement, it may result in a termination of their Nabbesh account and the Client shall pay to Nabbesh fees equal to the greater of:
$2,500; or
the applicable fees had the payments been processed through the Nabbesh Platform plus 20%.
Clients shall immediately notify Nabbesh if a Freelancer requests that Clients make a payment directly to it or through any channels other than those provided or specified by Nabbesh. Freelancers shall not accept any payments relating to a Job (including, without limitation, bonuses) from a Client directly or through any payment channels other than the Nabbesh Platform. Freelancers shall immediately notify Nabbesh if a Client attempts to make a payment to Freelancer directly or through any payment channels other than those provided or specified by Nabbesh.
6.3 Buyout Policy. Notwithstanding the provisions set forth above, Clients and Freelancers may agree, with Nabbesh’s prior written approval, to provide or receive Services outside of the Nabbesh Platform with Clients and Freelancers identified through the Nabbesh marketplace, but only on the terms set forth in this Section.
If the Services are rendered more than two (2) years after the Client identifies the Freelancer through the Nabbesh Platform, no Nabbesh Fees or buyout provisions apply. If Services are rendered outside of the Nabbesh Platform less than two (2) years after the Client identifies the Freelancer through the Nabbesh Platform, payments for such Services will not be subject to the Nabbesh Fees, provided that the Client pays Nabbesh a “Buy-Out” fee in accordance with the procedure set forth below:
Prior to Jobing outside of the Nabbesh Platform to receive Services from a Client and Freelancer identified through the Nabbesh Platform, the Client will notify Nabbesh in writing of its intent to pay the Buy-Out fee in lieu of paying through the Nabbesh Platform.
Together with such notice, the Client will pay or authorize Nabbesh to deduct from its account the greater of:
fifteen percent (15%) of the original Job budget that has been approved on Nabbesh; or
one thousand dollars (1000 USD).
6.4 Dispute Resolution. In the off-chance that things go wrong, Nabbesh is committed to using its commercially reasonable efforts to correct the issue with Dispute Resolution. At Nabbesh’s sole discretion, it may withhold the following amounts for the Client and/or Freelancer, and disburse such funds as it in its sole discretion determines, without any liability:
100% of the Job budget for incomplete work,
75% of the Job budget if the quality of the work is not up to Nabbesh standards,
30% of the Job budget for delays between either party,
For purposes of dispute resolutions, we cannot review Job parts already invoiced and funds released by the Client, or if the work was completed outside of the scope defined on the Nabbesh Platform, and work completed where funding has not been transferred in Nabbesh.
Nabbesh Dispute Resolution is determined by the following timeline:
Both Client and Nabbesh Freelancer provide a compensation estimate (how much they think is owed) to Nabbesh Support ([email protected]) in writing.
Both Client and Nabbesh Freelancer provide any supporting documents that describe the specific Job part being reviewed. Supporting documents include only documents and messages exchanged on the Nabbesh Platform. We require all supporting documents to be sent within 7 days, after which no additional evidence can be accepted. All supporting documents need to support the part under review.
Nabbesh will dedicate a third-party reviewer (from within Nabbesh or outside of Nabbesh), that has not had any relationship with the Client and Nabbesh Freelancer, for their specific Job and that has appropriate ability to perform the review of the Job. Nabbesh takes things like delays, incomplete work, work quality and language tone into consideration to determine allocation of compensation. Nabbesh’s third-party reviewer will come to a conclusion within 14 days.
Nabbesh’s dispute resolutions are final, non-reversible, and Nabbesh shall not be liable to either of the parties.
6.5 Payment Accounts. Each Freelancer must properly discharge and credit its Client for all payments Nabbesh receives from such Client. Each User understands and agrees that:
The transmission of funds in the manner described herein is not a separate and discrete service that Nabbesh provides in addition to its Nabbesh Platform services. Rather, transmission of funds in an auditable manner is an integral part of the Nabbesh Platform services that Nabbesh is providing.
The Nabbesh payment account is a custodial account administered by Nabbesh to facilitate disbursement of the Client’s payment to the Freelancer.
You agree that you will not receive interest or other earnings on the funds that Nabbesh handles as your agent and places in commingled accounts. In consideration for your use of the Nabbesh Platform, you irrevocably transfer and assign to Nabbesh any ownership right that you may have in any interest that may accrue on funds held in commingled accounts. This assignment applies only to interest earned on your funds, and nothing in this Agreement grants Nabbesh any ownership right to the principal of the funds you maintain with Nabbesh. In addition to or instead of earning interest on commingled accounts, Nabbesh may receive a reduction in fees or expense charged for banking services by the banks that hold your funds.
Additionally, in the event that a Client and Freelancer cannot agree upon whether a Job (including but not limited to a Fixed-Price or Hourly Job) has been completed, and one of such parties advises Nabbesh that there is a dispute in that regard, then Nabbesh may determine if the Job has been substantially completed and release the funds it holds to either the Client and/or Freelancer, as it deems appropriate, in its sole and absolute discretion, and without any liability of Nabbesh to any party whatsoever. Client and Freelancer do hereby irrevocably authorize Nabbesh to determine whether the Job has been completed, and to disburse the amounts it is holding on behalf of Freelancer and Client as it so determines to the party that it so determines.
6.6 Non-Payment. If a Client fails to pay amounts due under this Agreement, whether by cancelling a Client’s credit card, initiating an improper chargeback, or any other means, any work-in-progress will be stopped. Without limiting other available remedies, a Client must reimburse the Freelancer for amounts due upon demand, plus any applicable processing fees, charges or penalties, plus interest at the lesser of one and one-half percent (1.5%) per month or the maximum allowed by law, plus attorneys’ fees and other costs of collection as allowed by law. In its discretion, a Freelancer may setoff amounts due against other amounts received from or held for the Client, make appropriate reports to credit reporting agencies and law enforcement authorities, and cooperate with them in any resulting investigation or prosecution.
6.7 Hold on Funds. Nabbesh reserves the right, in its sole discretion, to place a hold on funds for a Client’s payments to clear or if Nabbesh suspects monies may be subject to charge back or if fraud is suspected. Nabbesh will release a hold as soon as deemed appropriate. In cases of fraud, abuse or violation of this Agreement, the Nabbesh payment guarantee shall be revoked and all monies in a Nabbesh account may be held and/or reclaimed, not just those from the Job(s) under investigation.
6.8 Agencies and Agency Freelancers. An “Agency” is an organization seeking to make money on Nabbesh by selling the Services of Agency Freelancers. An “Agency Freelancer” is a Freelancer under agreement to do work on the Nabbesh Platform on behalf of an Agency. An Agency must have a manager responsible for the actions of all its Freelancers, including its Agency Freelancers, administrators in charge of maintaining the Agency’s finances, roster, and profile, and staffing managers in charge of finding and supervising Jobs. One Agency Freelancer may serve in all or multiple roles. Every person who will do work for an Agency must have an individual Freelancer account and Freelancer profile associated with that person’s Agency on Nabbesh. If an Agency Freelancer is no longer working for an Agency, the Agency may not use the Freelancer’s profile in any way. Freelancers leaving an Agency must contact the Agency Manager to remove their association. Agencies may not refuse to release an Agency Freelancer. When leaving the Agency, Agency Freelancers keep their profiles. Their histories are meant to reflect work done by them. The Agency’s work will retain the Jobs of Freelancers who have since left the Agency. An Agency that requests the immediate suspension of a Freelancer must provide the documents and supporting legal authority that prove, to Nabbesh’s satisfaction, that the Freelancer has breached a non-compete agreement or a Nabbesh policy.
6.9 Enforcement of User Agreement and Policies. Nabbesh has the right, but not the obligation, to suspend or cancel your access to the Nabbesh Platform if it believes that you have violated or acted inconsistently with the letter or spirit of this Agreement or violated our rights or those of another party. Without limiting Nabbesh’s other remedies, we may suspend or terminate your account, use self-help in connection with our rights to reclaim any available funds, and refuse to provide any further access to the Nabbesh Platform to you if:
you breach any terms and conditions of this Agreement or other written policies and procedures posted on the Site;
we are unable to verify or authenticate any information you provide to us; or
we believe that your actions may cause legal liability for you, our Clients and Freelancers or for Nabbesh.
In addition, violations of this Agreement may be prosecuted to the fullest extent of the law and may result in additional penalties and sanctions. When your Client or Freelancer account is cancelled, you may no longer have access to any parts of the Nabbesh Platform, including data, messages, files and other material you keep on Nabbesh. All intellectual property provided by Clients for the purposes of completing Jobs will be returned by Freelancers immediately upon termination.
7. CONFIDENTIALITY
The Client shall furnish the Freelancer with data, material, and information relevant to the services contemplated by this Agreement and the Freelancer agrees to treat as confidential all such information.
It is agreed that, in the absence of a legal or administrative obligation, no disclosure or communication of information concerning any provision or aspect of this Agreement or of confidential information provided by the Client to the Freelancer may be made without the express agreement of the Client.
In the event of termination of this Agreement, the Freelancer will return to the Client any documents and materials in their possession or control which are the property of the Client and/or which contain confidential information relating to the Client.
8. REMUNERATION OF FREELANCER
8.1 The Client shall pay to the Freelancer for their services the remuneration set forth on the Nabbesh Platform. The Client and the Freelancer may agree to revise the amount of such remuneration from time to time, and shall log the change on the Nabbesh platform or notify Nabbesh of any such revisions.
8.2 Unless the Client, the Freelancer and Nabbesh all agree otherwise, each payment to the Freelancer shall be made using Nabbesh as a payment intermediary. The Client shall pay Nabbesh, and Nabbesh shall then pay the Freelancer either to a bank account of the Freelancer, opened with a bank acceptable to the Nabbesh and for which the account details shall be communicated in a timely manner to Nabbesh by the Freelancer, or by way of an alternative payment method agreed by Nabbesh and the Freelancer.
8.3 The Freelancer explicitly agrees and understands that Nabbesh is acting as an intermediary only, and is not responsible for the payment of fees due to them to the extent that such fees have not been paid by the Client. Should the Client fail to pay Nabbesh any fees due to the Freelancer, the Freelancer’s sole remedy shall be to take action directly against the Client for such fees.
8.4 The Freelancer shall not employ any sub-contractors with respect to the services provided to the Client without the Client’s prior written consent. Should such consent be granted and should the Freelancer involve third parties as sub-contractors, it shall do so under its sole and entire responsibility and liability. The Freelancer shall be the sole person liable for payment of such sub-contractors’ fees, costs and corresponding expenses, and shall indemnify the Client and Nabbesh in the event of any claims brought against either of them by such third parties in connection with this Agreement.
8.5 The Freelancer shall be solely responsible and liable for the payment of any taxes or duties of any nature whatsoever (including without limitation withholding taxes) that may be imposed by any tax authority in relation to payments made by the Client to the Freelancer pursuant to this Agreement. The Freelancer shall bear alone any amounts in principal and/or penalties that may be due by the Client in relation to such taxes or duties, and shall indemnify the Client for any claims made against it in relation thereto.
8.6 Based upon the scope and degree of services performed by the Freelancer for the Client, the Freelancer and the Client may at their discretion agree to such additional compensation or emoluments for the Freelancer as they may deem appropriate from time to time, including reimbursement by the Client of expenses incurred by the Freelancer in the performance of services for the Client. All such compensation or emoluments shall be disclosed to Nabbesh and paid through Nabbesh in accordance with this Agreement.
9. TERM AND TERMINATION
Clients may terminate at any time but may not recover any payments made to the Freelancers unless mutually agreeable. The Freelancer may terminate an agreement at any time if no payment has been made. If a payment has been made on a Job, the Freelancer may terminate only with written agreement from the Client or after the payment has been refunded.
10. REPRESENTATIONS AND WARRANTIES
10.1 The Freelancer and the Client warrant and represent to each other and to Nabbesh that they are lawfully entitled to enter into this Agreement, that they have full authority to do so, and that they hold all necessary permissions, licenses, consents, rights and authorisations which might be necessary for them to be able to enter into and to perform this Agreement. The Freelancer and the Client further represent and warrant to each other and to Nabbesh that their entering into this Agreement and the performance of their respective obligations hereunder is not unlawful or otherwise in breach of any legal obligation that is binding upon them.
10.2 The Freelancer and the Client warrant and represent to each other and to Nabbesh that the information provided in the Agreement in relation to their names, descriptions and contact details is true and correct.
10.3 In the event of any breach of any representation or warranty by the Freelancer or the Client, any party to this Agreement that has suffered loss or damage as a result of any such breach may pursue a claim against the person in breach.
11. INTELLECTUAL PROPERTY
11.1 For the purposes of this Agreement, “Intellectual Property” means patent rights (including, without limitation, patent applications and disclosures), rights to inventions, utility models, copyrights, trade marks, service marks, trade secrets, rights in computer software, database rights, moral rights, know-how, and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection recognised in any country or jurisdiction in the world.
11.2 It is agreed that with respect to any Intellectual Property developed by the Freelancer or the Client in the course of the Freelancer’s performance of this Agreement, all such Intellectual Property shall be entirely owned by the Client. The Freelancer agrees to execute any assignments or other documentation required to give effect to the foregoing provision.
11.3 Nothing in this Agreement shall be interpreted as providing the Freelancer with any rights over any Intellectual Property owned by the Client or by Nabbesh.
12. NABBESH AS INTRODUCER ONLY
12.1 The Client and the Freelancer agree that Nabbesh is acting as a facilitator and introducer only. In no event shall Nabbesh be responsible for any actions taken by either the Client or the Freelancer. Nabbesh hereby disclaims any liability for any breach of this Agreement by either the Client or the Freelancer, or for any other actions or omissions by either the Client or the Freelancer.
12.2 The Client and the Freelancer agree that they shall immediately notify Nabbesh of any change in their relationship. In particular, the Client and the Freelancer shall inform Nabbesh of any work conducted by the Freelancer for the Client beyond the scope or term of this Agreement, whether carried out under a consultancy agreement, employment agreement, or otherwise.
13. INDEMNITY
The Client and the Freelancer, jointly and severally, agree to indemnify and hold Nabbesh and its affiliates and suppliers, including without limitation their respective officers, directors, shareholders, partners, employees, and agents harmless from any liability that may be incurred with respect to third parties in connection with Nabbesh’s participation in this Agreement.
14. LIMITATION OF LIABILITY
Nabbesh shall not be liable for any indirect, special or consequential damages, or for any loss of revenue, profits or data, arising out of or in connection with the Agreement, even in cases where Nabbesh has been advised of the possibility of such damages. Furthermore, Nabbesh’s aggregate liability arising out of or in connection with the Agreement shall not exceed $1,000 (one thousand U.S. dollars).
15. NOTICES
All notices, requests, demands and other communications provided for in or pursuant to the Agreement shall be made in writing and shall be deemed to have been given or made on the date of delivery, in the case of hand delivery, or upon receipt if transmitted by post, facsimile, electronic mail or any other means, addressed (in any case) as indicated in the Consultancy Agreement.
Nabbesh is to be copied on all communications between the Freelancer and the Client, either via the nabbesh.com platform or via e-mail to the dedicated Nabbesh account manager should the relationship be managed directly via Nabbesh staff.
16. RELATIONSHIP TO CONSULTANCY AGREEMENT OR SERVICE AGREEMENT
These Terms of Business complete and complement the provisions of the Agreement as required. The Agreement and these Standard Terms shall together form the Agreement among the Freelancer, the Client and Nabbesh. In the event that a provision of these Standard Terms is incompatible with a provision of the Agreement, the provision of the Consultancy Agreement shall take precedence over the provision in these Standard Terms.
17. AMENDMENT TO STANDARD TERMS
Nabbesh reserves the right to amend these Standard Terms from time to time. Any amendments to these Standard Terms shall be communicated by notice to the Freelancer and the Client at least 15 (fifteen) days prior to their taking effect. If the Freelancer and the Client do not object in writing to Nabbesh to any changes to these Standard Terms prior to the revised Standard Terms taking effect, then the Freelancer and the Client shall be deemed to have accepted the revised Standard Terms.
18. GOVERNING LAW / DISPUTE RESOLUTION
18.1 The Agreement shall be construed, enforced, governed, and controlled under the laws of the United Arab Emirates.
18.2 If any dispute arises among the parties hereto with respect to this Agreement, the interpretation or enforcement hereof, or any other matter related to this Agreement or the transaction contemplated hereby, the parties agree that, prior to seeking resolution of such dispute through binding arbitration, they will seek to resolve such dispute pursuant to a non-binding mediation proceeding held in Dubai, UAE. The mediator shall be jointly selected by the parties hereto. In the event of a dispute between the Client and the Freelancer, Nabbesh shall volunteer to act as mediator of the dispute. If mediation fails and binding arbitration is initiated with respect to this Agreement, either party may deliver written notice to the other of its intention to arbitrate the matter related to this Agreement and the arbitration proceeding shall be held in Dubai International Financial Centre, UAE, in accordance with the DIFC-LCIA Rules of Arbitration, in English, by a single arbitrator appointed in accordance with said Rules. The prevailing party shall be entitled to recover reasonable attorneys’ fees and other costs incurred in connection therewith, in addition to any other relief granted. The decision of the arbitration panel shall be final and not subject to appeal.

قبول شروط نبش للعمل
اتفاقية مستخدم نبش ("الاتفاقية") هي عقدٌ بين محترفٍ مستقل ("المحترف المستقل")، الشركة أو الفرد المستخدم لخدمات المحترف المستقل ("العميل") ونبش كمؤسسة منطقة حرة (FZE)، وهي عميل من الامارات العربية المتحدة ("نبش"، "نحن" أو "لنا"). يجب أن تقرأ، توافق وتقبل جميع الشروط والأحكام التي تحتويها هذه الاتفاقية لكي تتمكن من استخدام موقعنا الالكتروني والموجود على www.nabbesh.com ("الموقع") وبرامج الكمبيوتر والخدمات (مجتمعةً مع الموقع، "منصة نبش").
قد تقوم نبش بعمل تعديلات، حذف و/أو إضافات لهذه الاتفاقية ("تغييرات") في أي وقت. ستصبح هذه التغييرات نافذة: (1) بعد خمسة عشر يوماً من إصدار نبش لإشعارٍ بالتغيير، سواءً كان الإشعار من خلال واجهة المستخدم، أُرسل للعنوان البريد الإلكتروني المصاحب لحسابك، أو غير ذلك، أو (2) عندما تنضم أو خلافاً لذلك تُوافق صراحةً على التغييرات أو على نسخةٍ من هذه الاتفاقية تحتوي تلك التغييرات، أيهما أولاً.
دخولك واستخدامك لمنصة نبش محكومٌ أيضاً بمعلوماتٍ، إرشاداتٍ وسياساتٍ متوفرةٍ على الموقع، سياسة خصوصية نبش على سبيل المثال لا الحصر، والتي يمكن الوصول لها عبر موقع الخصوصية. في حال وُجد أي تعارض بين شروط وأحكام هذه الاتفاقية والموقع، تعتبر شروط وأحكام هذه الاتفاقية هي الفاصلة.
تقرُ أنه باستخدامك لمنصة نبش بأنك توافق على التزامك بهذه الاتفاقية. اذا كنت لا تقبل هذه الاتفاقية بمجملها، فعليك ألا تستخدم أو تدخل إلى منصة نبش. اذا كنت توافق على هذه الاتفاقية نيابة عن كيان محدد، فإنك تُمثل وتضمن بأن لك الصلاحية في إلزام ذلك الكيان بهذه الاتفاقية. في هذه الحالة، كلمات "المستخدم"، "أنت" و "تابعك" ستعود وتنطبق على ذلك الكيان.
1. منصة نبش
لقد أنشأت نبش سوقاً لربط العملاء بالمحترفين المستقلين باستخدام منصة نبش. تُمكن منصة نبش كلاً من العملاء والمحترفين المستقلين من شراء وبيع الخدمات الكترونياً. يقوم العملاء بالاعلان عن وظائف ويدعون المحترفين المستقلين للتقدم لهذه الوظائف. يتقدم المحترفون المستقلون لهذه الوظائف. اذا وافق أحد العملاء على عرض أحد المحترفين المستقلين، يُصاغُ عقدٌ ("عقد خدمات" أو "اتفاقية خدمة استشارية") مباشرةً بين هذا العميل والمحترف المستقل.
نبش ليست خدمة زبائن ولا تقدم خدمات أو تقوم بإدارة المحترفين المستقلين أو أعمالهم بأي طريقة أو كيفية.
تقوم نبش بجباية الدفعات المالية من العملاء لصالح المحترفين المستقلين. تفرض نبش رسماً على العميل مقابل استخدامه لمنصة نبش ولقاء الخدمات التي تقدمها ("رسوم نبش"). يساوي هذا الرسم 12% من مجمل دفعات العميل، إلا اذا أشعرت نبش العميل أو المحترف المستقل مسبقاً برسمٍ مختلف.
تستخدم نبش معالج دفعات كطرفٍ ثالث ("معالج دفعات") لربط حسابات بطاقات الإئتمان بمنصة نبش. معالجة الدفعات أو الاعتمادات المالية، حسب الشروط والأحكام، بما يرتبط باستخدامك لمنصة نبش سيخضع للشروط، الأحكام وسياسات الخصوصية الخاصة بمعالج الدفعات ومُصدِرُ بطاقة الاعتماد الخاصة بك إضافةً لهذه الاتفاقية. لا تتحمل نبش المسؤولية عن أي أخطاءٍ من قبل معالج الدفعات.
2. الخدمات المقدمة من قبل المحترف المستقل
سيقدم المحترف المستقل خدماته للعميل كما ورد واتفق عليه في منصة نبش وسيكون محكوماً بهذه الاتفاقية.
3. المحترف المستقل يعمل كمتعاقدٍ مستقل
من المفهوم أن المحترف المستقل يعمل كمتعاقدٍ مستقلٍ فقط، وليس كوكيلٍ عن موظفٍ أو عميل أو عن نبش. لا يمتلك المحترف المستقل أي صلاحيةٍ ليكون طرفا في أيةِ التزاماتٍ نيابةً عن العميل أو عن نبش أو باعتبارهم موظفين للعميل أو لـِنبش. يجب أن يتصرف المحترف المستقل دائماً كمتعاقدٍ مستقل، ولا يوجد أي شيءٍ في هذه الاتفاقية من الممكن أن يُفسرَ على أنه أي شكلٍ من التوظيف، التوكيل أو المشاركة بين العميل والمحترف المستقل أو بين نبش والمحترف المستقل.
4. التوقعات
يتوقع نبش مستوى عالياً من التهذيب، الاحترام والمهنية من جميع عملائه ومحترفيه المستقلين تجاه بعضهم البعض. يُقر العملاء والمحترفين المستقلين باستخدام المنطق الجيد عند الإعلان عن المعلومات، التعليقات، أو أي محتوى آخر يتعلق بالعملاء والمحترفين المستقلين الآخرين، نبش او أي طرفٍ ثالث في أي مكانٍ ضمن منصة نبش. قد تتم محاسبة العملاء والمحترفين المستقلين قانونياً عن أيةِ أضرارٍ تلحق بأي عميل أو محترفين مستقلين، نبش أو أي طرفٍ ثالث نتيجةً لتعليقاتٍ مهينةٍ أو قابلةٍ للتقاضي قانونياً، ملاحظات، أو أية معلوماتٍ أو محتوىً يُعلن عنه في منصة نبش. يجب أن يلتزم جميع العملاء والمحترفين المستقلين بجميع القوانين المطبقة عليهم أو على نشاطاتهم، وبجميع سياسات نبش الإعلانية، والتي تعتبر من الآن فصاعداً جزءً من هذه الاتفاقية بالإحالة. قد يتم تعديل هذه السياسات من وقتٍ لآخر وفقاً لما تراه نبش، وستعتبر السياسات السارية حالياً جزءً من هذه الاتفاقية.
عندما تقوم بتسليم أي محتوىً أو غير ذلك باستخدام منصة نبش، فإنك توافق على عدم الإعلان أو النشر من وإلى منصة نبش:
أيةُ مواد مخالفة للقانون، مثيرة للكراهية، عنصرية أو طائفية بغيضة، تهديدية، تشهيرية، هجائية، بذيئة، إباحية أو أي مواد أو محتوى ينتهك حقوق الإعلان و/أو الخصوصية أو ينتهك أي قانون;
أي مواد أو محتوى ينتهك، لا يتناسب أو يتعدى على حقوق طرفٍ ثالث، على سبيل المثال لا الحصر حقوق النشر والتأليف، العلامة التجارية، الحق في براءة الاختراع أو أي حق ملكية آخر لطرفٍ ثالث;
أي افتراءٍ أو تشويه من الممكن أن يضرَ بنا، بمستخدمينا أو بأي طرفٍ ثالث;
أيةُ معلوماتٍ خاصة تتعلق بشخصٍ آخر بدون إذنه;
أيُ شيءٍ لانتحالِ شخصيةٍ أخرى أو طرح نفسك كمنتسبٍ لنا، منتسبٍ لطاقمنا أو لمحترفين آخرين;
أيُ شيءٍ إستجداءً لكلمة مرور مستخدمٍ أو معلوماتِ حسابات أخرى;
أيُ شيءٍ يستغلُ أسماء المستخدمين، عناوينهم أو عناوينهم الإلكترونية لأي غرض; و
أي فايروسات أو أوامر حاسب آلي أو وسائل تكنولوجية يكون الغرض منها مقاطعة، تخريب أو التدخل في استخدام الحواسيب والأنظمة المتعلقة بها.
يجب أن تتعهد بعدم الوصول أو محاولة الوصول لمنصة نبش بأيةِ طرقٍ مخالفةٍ لواجهة الاستخدام المتوفرة، وأن تتعهد بعدم استخدام أية معلومات من منصة نبش لأي أغراضٍ تُخالف الأهداف والأغراض التي وُجدت من أجلها. يجب أن تتعهد بأن لا تشارك في أي نشاطاتٍ تتدخل أو تقاطع عمل منصةِ نبش. يجب أن تتعهد بأن لا ترفع أو ترفق أية ملفاتٍ غير شرعيةٍ خبيثة أو غير معروفة. يجب أن تتعهد بأن لا تُدخِل أي روابط خارجية قد تكون خبيثة أو غير معروفةٍ لك، أو تُستخدَم لعرض سلعٍ وخدماتٍ غير خدمات نبش.
ستتعهد بموجب هذا بالموافقة على استخدام منصة نبش لأغراضٍ قانونية فقط، وليس لأي نشاطاتٍ غير أخلاقية أو مُضرة. تتعهد بموجب هذا بأن لا تقوم بأيٍ من التالية أثناء استخدام أو الوصول لمنصة نبش:
محاولة الوصول أو البحث في منصة نبش أو تنزيل محتوى من منصة نبش باستخدام أيٍ من المحركات، برامج الكمبيوتر، الأدوات، الوكلاء، أجهزة أو آليات (تشمل "العارضات العنكبوتية"، "الربوتات/الرجال الآليون"، "الزواحف"، "أدوات التنجيم عن المعلومات أو ما يشبهها") غير برامج الكمبيوتر و/أو وكلاء البحث المتوفرة من قبلنا أو من قبل أي متصفحٍ للإنترنت متوفر بشكلٍ عام كطرفٍ ثالث;
الوصول، التلاعب بـِ، أو استخدام المناطق غير المسموحة للجمهور في منصة نبش، أنظمة الكمبيوتر، أو أنظمة التسليم التقنية للمزودين;
جمع واستخدام معلومات، مثل أسماء المستخدمين الآخرين، الأسماء الحقيقية، عناوين البريد الإلكتروني المتوفرة في منصة نبش لإرسال أيةِ إعلانات تجارية غير مرغوبٍ فيها، البريد الكتروني النفايات، البريد الالكتروني غير المرغوب فيه أو أي شكل آخر من الاستجداء;
استخدام منصة نبش لأغراضٍ تجاريةٍ أو لمصلحةِ أي طرفٍ ثالث أو بأي أسلوبٍ يتعارض مع هذه الاتفاقية;
انتهاك أي قانونٍ مطبقٍ أو تعليمات; أو
الدفاع عن، تشجيع، أو مساعدة أي فرد للقيام بأيٍ مما سبق. نحتفظ بحقنا بالتحقيق وملاحقة أي انتهاكات مما سبق و/أو اللجوء أو التعاون مع السلطات المنفذة للقانون في مقاضاة المستخدمين الذين ينتهكون هذه الاتفاقية.
نبش ليست مسؤولةً قانونياً عن أي ملاحظة، معلومةٍ أو أي محتوىً آخر يُعلن عنه أو يتوفر في منصة نبش من قبل أي عميل أو محترفٍ مستقل أو طرفٍ ثالث، حتى وإن كانت مثل هذه المعلومات أو المحتوى تشهيرياً أو غير ذلك مما يمكن مقاضاته قانونياً. نبش ليست مسؤولة قانونياً عن أي مخرجاتٍ سلبيةٍ في العلاقة بين العملاء والمحترفين المستقلين. نبش ليست مسؤولة عن ولا تراقب ولا ترعى أي محتوىً بخصوص الدقة والمصداقية. خلافاً لذلك، تحتفظ نبش بحقها في إزالة أو تقييد الوصول لأي معلومات أو محتوىً يُنشرُ أو يتوفرُ في منصة نبش إذا طُلبَ منها القيام بذلك من قبل سلطةٍ حكوميةٍ أو اذا اعتبرت نبش مثل هذه المعلومات أو المحتوى انتهاكا لهذه الاتفاقية، أو لكونه غير قانونيٍ، غير أخلاقيٍ أو مُضر.
5. العمل من خلال نبش
5.1 الإعلان عن عمل. يجب أن لا تحتوي جميع الإعلانات عن الأعمال في نبش على أيةِ معلوماتٍ تُمكن أو تطلب التواصل أو الدفع مالياً خارج منصة نبش. يجب أن يكون الإعلان عن الأعمال ذو طبيعةٍ مهنية وأن يصف الخدمات المطلوبة بدقة. يجب أن تكون خاليةً من اللغة العدوانية أو من الإعلانات التجارية لمنتجاتٍ وخدماتٍ أخرى. يجب أن لا تطلب إعلانات العمل أيَ خدماتٍ غير قانونيةٍ أو تنتهك حقوق الملكية الفكرية، حقوق التأليف والنشر أو شروط الخدمة لخدمةٍ أخرى، منتجٍ أو موقعٍ على الشبكة العنكبوتية. تُمنع إعلانات العمل التي تتعلق بإنتاج محتوى للبالغين أو ذات محتوىً إباحي أو تلك التي تستخدم التماثيل الإباحية أو التمثيل. إعلانات العمل التي تتضمن عرض محتوىً إباحي أو تحتمل طابعاً عدوانياً يجب أن تُشعِر القراء المحتملين بذلك المحتوى في عنوان الإعلان عن العمل.
5.2 التقدم بعرضٍ لعمل. يجب أن تكون جميع المعلومات المتوفرة في عرضٍ مقدمٍ لعمل صحيحة، دقيقةً وكاملة. تحتفظ نبش بالحق (بدون أي التزام) بالتحقق من أي أو من كل المعلومات المتوفرة حول الملف الشخصي أو عرض العمل المقدم من العميل أو المحترف المستقل. قبل التقدم بعرضٍ لعمل، يصادق العميل أو المحترف المستقل بأنه/بأنها تمتلك المهارات والقدرة لأداء الخدمات قبل الموعد النهائي المحدد في إعلان العمل. تحتفظ نبش بالحق (بدون إلزام) بالتحقق من مهارات وقدرة المحترف المستقل.
5.3 إدارة الأعمال. يوافق العملاء على الاستجابة السريعة للتواصل مع ولطلب المعلومات من قبل المحترف المستقل. أي طلباتٍ للتغذية الراجعة يجب أن تُجاب خلال 72 ساعة من الطلب. اذا لم يتحقق ذلك بما يرضي نبش، فقد يتم إزالة إعلان العمل من منصة نبش. إذا أُخر جزءٌ من مدخلاتٍ لعمل بما يزيد عن سبعةِ أيام من يوم التسليم، يكون لنبش الحق، بحسب رغبتها الفريدة والمطلقة، أن تحسم أيُ نزاعاتٍ أو أي دفعاتٍ عالقة فيما يتعلق بالعمل، تقرير تعويضاتٍ عادلة، وتوزيع الأموال بين الأطراف حسب ما تراه مناسباً، دون أن تتحمل نبش أية مسؤوليةٍ مهما كانت.
5.4 الشروع في العمل. يتحمل العميل مسؤولية توفير جميع الأدوات والمصادر الضرورية لإكمال الخدمات إلا إذا أُعلن خلاف ذلك بشكلٍ واضحٍ مقدماً من قبل العميل. يلتزم المحترفون المستقلون بالاستجابةِ لجميع اتصالات العميل ومتطلباته من المعلومات خلال 24 ساعة عمل. اذا لم يتمكن المحترف المستقل في تلبية هذه المتطلبات بسبب الغياب، يتوقع منه/منها أن يُشعر العميل قبل أسبوعٍ واحدٍ على الاقل. بعد اكمال العمل، يستطيع المحترف المستقل تزويد تغذية راجعة مناسبةً، صادقة وموضوعية عن الزبون.
6. الفوترة والدفعات
6.1 اتفاقيات الأسعار الثابتة واتفاقيات العمل بالساعة. يمكن أن تنظم الأعمال في نبش بناءً على اتفاقيات تسعير ثابتة أو اتفاقيات عمل بالساعة. تتطلب اتفاقيات التسعيرة الثابتة واتفاقيات العمل بالساعة استخدام نظام دفعات نبش لإدارة الدفعات. يمكن تعديل وتمديد اتفاقيات السعر الثابت واتفاقيات العمل بالساعة طالما اتُفق على ذلك من قبل العميل والمحترف المستقل.
6.2 عدم الوساطة. في ما عدا ما يخص سياسة الاستحواذ في قسم 6.3 أدناه، يجب على العملاء دفع جميع المستحقات المالية لـ، أو المرتبطة بأي شكلٍ بعقد خدمة (بما في ذلك، دون قيود، الزيادات) من خلال منصة نبش. أي فعلٍ يشجعُ أو يرعى دفعاتٍ كاملةٍ أو جزئية خارج منصة نبش يعتبر انتهاكاً لهذه الاتفاقية.
اذا انتهك العميل هذا القسم من الاتفاقية فقد ينتج عن ذلك الغاء حساباتهم في نبش ويلزم الزبون بدفعِ رسومٍ لنبش حدها الأقصى:
2500$; أو
الرسوم المعمول بها على الدفعات التي تمت معالجتها من خلال منصة نبش وإضافة 20%.
يجب على العملاء إشعار نبش حالاً إذا طلب محترفٌ مستقلٌ بأن يقوم العملاء بالدفع مباشرةً أو من خلال أي قنواتٍ أخرى غير المتوفرة أو المحددة من قبل نبش. يجب أن لا يقبل المحترفون المستقلون أي دفعاتٍ تخص عملاً (بما في ذلك، بدون قيود، الزيادات) من عميلٍ مباشرةً أو من خلال أي قنواتِ دفعٍ أخرى غير منصة نبش. يجب على المحترفين المستقلين إشعار نبش حالاً إذا حاول عميل الدفع لمحترفٍ مستقلٍ بشكلٍ مباشرٍ أو من خلال اي قنواتِ دفعٍ أخرى غير المتوفرة والمحددة من قبل نبش.
6.3 سياسة الاستحواذ. بالرغم من الأحكام المدرجةِ أعلاه، قد يتفق العملاء والمحترفون المستقلون، بموافقةٍ خطية مسبقة من نبش، على تزويد أو استلام خدماتٍ خارج منصة نبش مع عملاء ومحترفين مستقلين معروفين من خلال سوق نبش، ولكن فقط بما يتوافق مع الشروط المدرجة في هذا القسم.
إذا استمر أداء الخدمات أكثر من سنتين (2) بعد تعرف العميل على المحترف المستقل من خلال منصة نبش، لا تطبق رسوم أو أحكام استحواذ نبش. إذا استمرت الخدمات خارج منصة نبش أقل من سنتين بعد تعرف العميل على المحترف المستقل من خلال منصة نبش، فلن تخضع الدفعات لقاء هذه الخدمات لرسوم نبش، علما بأن العميل يدفع لنبش رسم استحواذ بما يتوافق مع الإجراءات المنصوص عليها أدناه:
سابقا للعمل خارج منصة نبش لاستلام خدمات من عميل ومحترف مستقل تعارفوا من خلال منصة نبش، يجب على العميل إشعار نبش خطيا بنيته دفع رسم استحواذ مقابل الدفع من خلال منصة نبش.
استادا لمثل هذا الإشعار، يجب أن يدفع العميل أو أن يفوض نبش الصلاحية للخصم من حسابه ما حده الأقصى:
خمسة عشر في المائة (15%) من الميزانية الأصلية للعمل والتي تم إقرارها في نبش; أو
ألف دولار أمريكي ( US1000$)
6.4 حسم النزاعات. في حال سارت الأمور بشكل خاطىء كاحتمال بعيد، تلتزم نبش باستخدام جهودها المقبولة تجاريا لتصحيح الأمور باستخدام حسم النزاع. حسب تقديرها الخاص، قد توقف نبش المبالغ/الدفعات اللاحقة للعميل و/أو المحترف المستقل، وتوزع هذه الأموال وفقا لما تقرره منفردة، ومن دون أدنى مسؤولية:
100% من ميزانية العمل غير المنجز،
75% من ميزانية العمل إذا كانت جودة العمل لا ترقى لمعايير نبش،
30% من ميزانية العمل للتأخير من قبل أي من الأطراف،
لأغراض حسم النزاعات، لا نستطيع مراجعة أجزاء العمل التي صدرت فواتيرها وحررت دفعاتها من قبل العميل، أو إذا أنجز العمل خارج النطاق المحدد في منصة نبش، وكان العمل منجزا ولكن الأموال لم تحول من خلال نبش.
يقرر حسم النزاعات في نبش من خلال الإطار الزمني التالي:
يقدم كل من العميل والمحترف المستقل تقديرا خطيا للتعويض لقسم الدعم في نبش [email protected]) ( .
يقدم كل من العميل ومحترف نبش المستقل أي وثائق داعمة تصف الجزء الذي تمت مراجعته من العمل. الوثائق الداعمة تشمل فقط الوثائق والرسائل المتبادلة من خلال منصة نبش. نطلب أن يتم تزويدنا بجميع الوثائق الداعمة خلال 7 أيام، وبعدها لا يقبل أي دليل إضافي. يجب أن تكون جميع الوثائق داعمة للجزء المنظور.
سيخصص نبش مراجعا كطرف ثالث ( من داخل نبش أو من خارجه)، لم يكن له أية علاقة سابقة بالعميل أو المحترف المستقل، أو بعملهم المحدد ويمتلك القدرة الملائمة للقيام بالمراجعة. ياخذ نبش في الحسبان الأمور المتعلقة بالتأخير، العمل غير المكتمل، جودة العمل والأسلوب اللغوي في تقرير التعويض. يجب أن يتوصل مراجع نبش كطرف ثالث لنتيجة خلال 14 يوما.
قرارات نبش لحسم النزاعات نهائية، لا يمكن الرجوع عنها، ولن يتحمل نبش المسؤولية تجاه أي من الطرفين.
6.5 حسابات الدفع. يجب على كل محترف مستقل الوثوق وأئتمان عملائه على جميع الدفعات التي يتلقاها نبش من مثل هؤلاء العملاء. يجب ان يفهم ويوافق كل مستخدم على أن:
نقل/تحويل/إرسال الأموال بالأسلوب الموصوف هنا ليس خدمة منفصلة ومعزولة/منفردة يوفرها نبش إضافة لخدمات منصة نبش. على الأصح، إرسال الأموال بأسلوب قابل للتدقيق هو جزء مكمل لخدمات منصة نبش والتي يوفرها نبش.
حساب دفع نبش هو حساب عهدة/وصاية يدار من قبل نبش لتسهيل دفعات العميل للمحترف المستقل.
يجب أن توافق بأنك لن تتلقى أية فوائد أو إيرادات أخرى عن الأموال التي يديرها نبش بصفته وكيلك ويقوم بإيداعها في حسابات مختلطة/مشتركه. أخذا بعين الاعتبار استخدامك لمنصة نبش، عليك، على نحو غير قابل للنقض أن تحيل وتفوض لنبش أي حق ملكية قد تمتلكه في أية فائدة تحصًّل عن الأموال المودعة في الحسابات المختلطة. هذا التفويض ينطبق فقط على الفائدة المكتسبة عن أموالك، ولا يوجد شيئا في هذه الاتفاقية يعطي نبش أي حق ملكية لأصول أموالك التي تحتفظ بها مع نبش. إضافة ل أو بدلا عن الفائدة المكتسبة من الحسابات المختلطة، قد يحصل نبش على تخفيض في الرسوم أو التكاليف لقاء الخدمات البنكية من قبل البنوك التي تحتفظ بأموالك.
إضافة لذلك، في حال لم يتفق العميل أو المحترف المستقل فيما إذا كان العمل(بما في ذلك وليس حصريا اعمال السعر الثابت أو المدفوعة بالساعة) قد تم إنجازه، وأخبر أحد الأطراف نبش بنزاع بهذا الخصوص، تبعا لذلك قد يقرر نبش فيما إذا تم إنجاز العمل جوهريا وتحرر الأموال التي تحتجزها لأي من العميل أو المحترف المستقل، حسبما تراه مناسبا، وفقا لرؤيتها الخاصة، ودون أية مسؤولية تجاه أي طرف مهما تكن. يفوض هنا العميل والمحترف المستقل نبش على نحو غير قابل للنقض بتقرير فيما إذا تم إنجاز العمل، وبدفع الأموال التي تحتجزها لمصلحة العميل أو المحترف المستقل على النحو الذي قرره للطرف الذي قررت له.
6.6 الامتناع عن الدفع. إذا قصر عميل في دفع مبالغ مستحقة حسب هذه الاتفاقية، سواءً عن طريق إلغاء بطاقة إئتمان العميل، المبادرة باسترداد الدفعات على نحوٍ غير ملائم أو بأية وسيلةٍ أخرى، سيتم إيقاف أي عملٍ في طور التقدم، ويجب على العميل إيفاء المحترف المستقل بالمبالغ المستحقة حسب طلبه، مضافاً إليها أي رسوم معالجة، مستحقاتٍ أو جزاءات، إضافةً لفائدةٍ على الأقل 1.5% شهرياً أو بالحد الأعلى المسموح به قانوناً، إضافةً لأتعاب المحاماة وأية تكاليفِ تحصيلٍ أخرى يسمح بها القانون، دون تقييد أي حلولٍ متوفرة أخرى. وفقاً لما يراه المحترف المستقل فقد يُحرر دفعاتٍ مستحقةٍ مقابل الدفعات المستلمة أو الدفعات المحجوزة لصالح العميل، كتابة تقارير ملائمة لوكالات الإئتمان ولسلطات إنفاذ القانون، ويتعاون معهم في أي تحقيقٍ ناتجٍ أو مقاضاة.
6.7 حجز الأموال. يحتفظ نبش بالحق، وفقاً لما يراه، بحجز أموالٍ لدفعات العميل للإستيضاح أو اذا شك نبش بأن الأموال قد تخضع للاسترداد أو اذا كان هناك إختلاس. يجب أن يرفع نبش الحجز حالما يكون من الملائم القيام بذلك. في حالات الإختلاس، إساءة الاستخدام أو انتهاك هذه الاتفاقية، يجب أن تُبطلَ ضمانة دفعات نبش وقد تحجز جميع الأموال في حساب نبش و/أو يُعاد المطالبة بها، ليس فقط تلك التي تخص العمل/الأعمال تحت الفحص.
6.8 الوكالات ووكالات المحترفين المستقلين. "الوكالة" هي منظمة تسعى لكسب المال من نبش عن طريق بيع خدمات المحترفين المستقلين التابعين للوكالة. "المحترف المستقل التابع للوكالة" هو محترفٌ مستقل تحت اتفاقيةٍ لأداء عملٍ في منصة نبش نيابة عن الوكالة. يجب أن يكون للوكالة مديرٌ مسؤولٌ عن جميع أعمال محترفيها المستقلين، بما في ذلك المحترفين المستقلين التابعين للوكالة، الإداريون المسؤولون عن الشؤون المالية للوكالة، جداول الخدمة، الملفات ومدراء الطواقم المسؤولين عن إيجاد والإشراف على الأعمال. أحد المحترفين المستقلين التابعين للوكالة قد يخدم في جميع أو في أدوارٍ متعددة. كل شخصٍ سيقوم بعملٍ لوكالة يجب أن يمتلك حساب محترفٍ مستقلٍ مفرد وملف محترفٍ مستقلٍ شخصي مصاحباً لوكالة الشخص في نبش. إذا لم يعد محترفٌ مستقلٌ تابعٌ للوكالة يعمل لصالح الوكالة، يجب أن لا تستخدم الوكالة ملف المحترف المستقل الشخصي بأي طريقةٍ كانت. يجب على المحترفين المستقلين الذين يتركون الوكالة أن يتعاقدوا مع مدير الوكالة لإزالة إرتباطهم. يجب على الوكالات أن لا ترفض تحريرُ أي محترفٍ مستقلٍ تابعٍ للوكالة. حالما يغادر المحترف المستقل الوكالة يصبح من الممكن للمحترفين المستقلين للوكالة الاحتفاظ بملفاتهم الشخصية. تواريخهم/خبراتهم يُقصد بها إظهار الأعمال التي قاموا بأدائها. تحتفظ الوكالة بأعمال المحترفين المستقلين الذين تركوا الوكالة في حينه. الوكالة التي تطلب التجميد الفوري لمحترفٍ مستقل يجب أن توفر الوثائق والصلاحيات القانونية التي تثبت لنبش أن المحترف المستقل قد خرق إتفاقية عدم المنافسة أو سياسةً لنبش.
6.9 تنفيذ اتفاقية المستخدم والسياسات. لنبش الحق، بدون التزام، لوقف أو إلغاء امكانية وصولك لمنصة نبش اذا اعتقدت بأنك قد انتهكت أو تصرفت بشكلٍ لا يتوافق مع رسالة وجوهر/روح هذه الاتفاقية او انتهكت حقوقنا أو حقوق طرفٍ آخر. دون أيةِ قيودٍ على معالجات نبش الأخرى، قد نقوم بتعليق أو انهاء حسابك، استخدام المساعدة الذاتية فيما يتعلق بحقوقنا بإعادة المطالبة بأي أموالٍ متوفرة، ورفض توفير أي امكانية وصولٍ لمنصةِ نبش تخصك اذا:
خرقت أي شروطٍ أو أحكامٍ لهذه الاتفاقية أو سياساتٍ مكتوبةٍ أخرى أو اجراءاتٍ أُعلن عنها في الموقع;
لم نستطع التحقق من أو اثبات أصالة أية معلومات تزودنا بها; أو
اعتقدنا بأن أعمالك قد تسبب لك مسؤولية قانونية، أو لعملاءنا والمحترفين المستقلين أو لنبش.
إضافةً لذلك انتهاكات هذه الاتفاقية قد تلاحق قضائياً إلى أقصى حدود القانون وقد ينتج عنها عقوباتٌ وجزاءاتٌ إضافية. عندما يتم إلغاء حسابك كعميلٍ أو محترفٍ مستقل، فقد لا تتمكن مطلقا من الوصول لأي موقع على منصة نبش، بما يشمل البيانات، الرسائل، الملفات والمواد الأخرى التي تحتفظ بها على نبش. جميع الملكيات الفكرية التي يوفرها العملاء لأغراض إنجاز الأعمال سيتم إعادتها من قبل المحترفين المستقلين حالما يتم الإلغاء.
7. الخصوصية
يجب أن يزود العميل المحترف المستقل بالبيانات، المواد، والمعلومات المناسبة للخدمات التي تغطيها هذه الاتفاقية ويوافق المحترف المستقل على معاملة جميع هذه المعلومات بسرية.
من المتفق عليه أنه، في ظل غياب التزامٍ إداري أو قانوني، أن لا يتم كشف أو نقل المعلومات المتعلقة بأيٍ من أحكام أو مظاهر هذه الاتفاقية أو أيةِ معلوماتٍ سرية يوفرها العميل للمحترف المستقل دون موافقة مُظهّرة/معبر عنها من العميل.
في حالة إلغاء هذه الاتفاقية، يقوم المحترف المستقل بإعادة أي مستنداتٍ أو مواد بحوزته أو تحت سيطرته للعميل تعتبر ملكا للعميل و/أو قد تحتوي معلوماتٍ سرية تتعلق بالعميل.
8. تعويض المحترف المستقل
8.1 يجب أن يدفع العميل للمحترف المستقل مقابل خدماته التعويض المتفق عليه في منصة نبش. قد يتفق العميل والمحترف المستقل على مراجعة مبلغ التعويض من وقت لآخر، على أن يسجل هذا التغيير في منصة نبش أو أن يُشعر نبش بمثل هذه المراجعات.
8.2 إذا لم يوافق العميل، المحترف المستقل ونبش خلافاً لذلك، يجب أن تتم كل دفعةٍ للمحترف المستقل من خلال نبش كوسيط دفع. يجب أن يدفع العميل لنبش، ونبش بالتالي تدفع للمحترف المستقل إما في حسابٍ بنكي للمحترف المستقل، يُفتح في بنكٍ مقبولٍ على نبش على أن تكون تفاصيل هذا الحساب منقولةً في إطارٍ زمنيٍ لنبش من قبل المحترف المستقل، أو عن طريق أسلوبِ دفعٍ بديل يوافق عليه نبش والمحترف المستقل.
8.3 يقر المحترف المستقل صراحةً ويفهم بأن نبش تعمل فقط كوسيط، وعلى أن نبش غير مسؤولٍ عن دفع الرسوم المستحقة لهم والتي لم تدفع من قبل العميل. اذا قصر العميل في الدفع لنبش أي رسومٍ مستحقة للمحترف المستقل، يجب أن يكون العلاج الوحيد من قبل المحترف المستقل هو اتخاذ خطوات مباشرة ضد العميل بخصوص هذه الرسوم.
8.4 يجب أن لا يقوم المحترف المستقل بتوظيف متعاقدين فرعيين فيما يخص الخدمات المقدمة للعميل دون الموافقة الخطية المسبقة للعميل. اذا مُنحت مثل هذه الموافقة وكان على المحترف المستقل استخدام أطرافٍ ثالثةٍ كمتعاقدين فرعيين، فإنه يقوم بذلك على مسؤوليته القانونية المنفردة والكاملة. يجب أن يكون المحترف المستقل بشخصه منفرداً متحملاً لمسؤولية دفع رسوم المتعاقدين الفرعيين، التكاليف والنفقات المقابلة، ويجب أن يُعوض العميل ونبش في حال رفعِ أيةِ دعاوى ضد أيٍ منهما من قبل مثل هذه الأطراف الثالثة فيما يرتبط بهذه الاتفاقية.
8.5 يجب أن يكون المحترف المستقل مسؤولاً قانونياً بمفرده عن أي دفعاتٍ للضرائب أو المكوس من أي نوع مهما كانت (بما في ذلك ودون قيود الضرائب المقتطعة/المدفوعة مقدما) والتي من الممكن أن تُفرض من قبل أي سلطة ضريبية فيما يتعلق بالدفعات من قبل العميل للمحترف المستقل وفقاً لهذه الاتفاقية. يجب أن يتحمل المحترف المستقل منفرداً أي مبالغ مقتطعة من الأصل و/أو أي جزاءاتٍ قد تكون مستحقة على العميل فيما يتعلق بمثل هذه الضرائب والمكوس، ويجب أن يُعوِض العميل عن أي مطالباتٍ تُقدم ضده فيما يتعلق بهذه الاتفاقية.
8.6 استناداً لمجال ودرجة الأعمال المنفذة من قبل المحترف المستقل لصالح العميل، قد يتفق المحترف المستقل والعميل وفقاً لتقديرهم على تعويضاتٍ إضافيةٍ أو مخصصاتٍ للمحترف المستقل والتي قد تكون ملائمة من وقتٍ لآخر، بما يشمل التسديد من قبل العميل للنفقات التي يتكبدها المحترف المستقل أثناء أداء الخدمات للعميل. يجب أن تُكشف جميع هذه التعويضات والمخصصات لنبش وأن تُدفع من خلال نبش بما يتوافق مع هذه الاتفاقية.
9. المُدة وفسخ العقد
قد يفسخ العملاء العقد في أي وقتٍ ولكن لا يستطيعون استعادة أية دفعاتٍ للمحترف المستقل إلا إذا كان هناك اتفاقٌ متبادل. قد يفسخ المحترف المستقل اتفاقية في أي وقتٍ إذا لم يتم الدفع. إذا تم الدفع لقاء عمل، فقد يفسخ المحترف المستقل العقد فقط من خلال موافقة مكتوبة من قبل العميل أو بعد إعادة الدفعة.
10. الإنابة والكفالات
10.1 يتعهد المحترف المستقل والعميل ويعرضون لبعضهم البعض ولنبش بأن لهم الحق القانوني في عقد هذه الاتفاقية، وأن لهم الصلاحية الكاملة للقيام بذلك، وأنهم يمتلكون الأُذونات الضرورية، الرُخص، الموافقات، الحقوق والتفويض والتي قد تكون ضروريةً لهم ليتمكنوا من الدخول وتنفيذ هذه الاتفاقية. زيادة على ذلك يتعهد المحترف المستقل والعميل ويعرضون لبعضهم البعض ولنبش أن دخولهم في هذه الاتفاقية وأدائهم لإلتزاماتهم الخاصة بموجب هذه الاتفاقية هي ليست ضد القانون أو خلافاً لذلك تخرق أي التزامٍ قانوني مُلزمٌ لهم.
10.2 يتعهد المحترف المستقل والعميل ويعرضون لبعضهم البعض ولنبش بأن المعلومات الواردة في الاتفاقية بخصوص أسمائهم، أوصافهم وتفاصيل التواصل معهم حقيقية وصحيحة.
10.3 في حالة أي خرقٍ لأي إنابة أو تعهد من قبل المحترف المستقل أو العميل، أيُ طرفٍ في هذه الاتفاقية عانى خسارةً أو ضررا كنتيجةٍ لأي خرقٍ قد يرفع دعوى ضد الشخص الذي قام بالخرق.
11. الملكية الفكرية
11.1 لخدمة أهداف هذه الاتفاقية، "الملكية الفكرية" تعني حقوق براءات الاختراع (وتشمل، دون قيود، تطبيقات براءات الاختراع والإعلان)، الحق في الاختراعات، نماذج المنفعة، حقوق التأليف والنشر، العلامات التجارية، علامات الخدمات، الأسرار التجارية، الحقوق في برامج الكمبيوتر، حقوق قواعد البيانات، الحقوق الأخلاقية/ المعنوية، الخبرة الفنية، وأي حقوق ملكية فكرية أخرى، سواءً كانت مسجلةً أو غير مسجلة بما يشمل جميع الطلبات المقدمة والتجديد والتمديد لمثل هذه الحقوق، وجميع حقوق وأشكال الحماية المشابهة أو المكافئة المعترف بها في أي دولةٍ أو ولايةٍ قضائية في العالم.
11.2 من المتفق عليه أنه بخصوص تطوير أي ملكية فكرية من قبل المحترف المستقل أو العميل أثناء أداء المحترف المستقل لهذه الاتفاقية، يجب أن تكون مثل هذه الملكية الفكرية مملوكةً للعميل.يقر المحترف المستقل بأنه سينفذ أي مطالب أو توثيقٍ مطلوب لتفعيل أو تنفيذ هذا الشرط.
11.3 يجب أن لا تحتوي هذه الاتفاقية أي شيءً من شأنه أن يُفسَّر كمنح للمحترف المستقل لأي حقِ ملكية فكرية مملوك من قبل العميل أو نبش.
12. نبش كمعرف فقط
12.1 يقر العميل والمحترف المستقل بأن نبش تعمل فقط كمسهلٍ ومعرف. لا يجب أن تُحمَل نبش المسؤولية بأي حالٍ من الأحوال عن أي أفعالٍ يقوم بها سواءً العميل أو المحترف المستقل. تخلي نبش مسؤوليتها عن أي خرقٍ لهذه الاتفاقية من قبل أيٍ من العميل أو المحترف المستقل أو تجاه أي أعمالٍ أو إهمالٍ من قبل أيٍ من العميل أو المحترف المستقل.
12.2 يوافق العميل والمحترف المستقل بأنه يتوجب عليهم حالاً إشعار نبش بأي تغيرٍ في علاقتهما. على نحوٍ محدد، يجب على العميل والمحترف المستقل إبلاغ نبش عن أي عملٍ نفذه المحترف المستقل لصالح العميل يتجاوز مجال وشروط هذه الاتفاقية، سواءً نُفذ في ظل اتفاقية استشارة، اتفاقية توظيف، أو خلاف ذلك.
13. التعويض
يوافق العميل والمحترف المستقل، مجتمعين أو منفردين، على تعويض وتجنيب نبش ومنتسبيها ومزوديها، بما يشمل دون قيود مسؤوليها، مدرائها، مساهميها، شركائها، موظفيها ووكلائها أي أضرار قد يتكبدونها من أي مسؤوليةٍ تتعلق بأي أطرافٍ ثالثة مرتبطةً بمشاركة نبش في هذه الاتفاقية.
14. حدود المسؤولية
لا يجب أن يُحمَل نبش المسؤولية عن أي أضرارٍ مباشرةٍ، خاصةً أو لاحقة، أو عن أي خسارةٍ للإيرادات، الأرباح أو البيانات، تنشأ عن أو لها علاقة بالاتفاقية، حتى في الحالات التي أعلم فيها نبش بامكانية حدوث الضرر. زيادةً على ذلك مسؤولية نبش الإجمالية الناشئة عن أو المرتبطة بالاتفاقية يجبُ أن لا تتجاوز 1000$ (ألف دولار أمريكي).
15. الإشعارات
يجب أن تتم جميع الإشعارات، الطلبات، المطالبات والتواصلات الأخرى المنصوص عليها أو المتوافقة مع الاتفاقية كتابةً وأن تعتبر بأنها صدرت أو أُعطيت في تاريخ الإيصال، في حالة التسليم اليدوي، أو مقابل وصل قبض اذا أُرسلت بالبريد، الفاكس، البريد الالكتروني أو أي وسائل أخرى تم تناولها (في أي حالةٍ) كما أُشير إليه في الاتفاقية الاستشارية.
يجب أن تُزود نبش بنسخٍ عن جميع التواصلات بين المحترف المستقل والعميل، إما عن طريق منصة نبش أو من خلال البريد الالكتروني لحساب مدير نبش المعني وأن تكون العلاقة مُدارةً مباشرةً من خلال طاقم عاملي نبش.
16. العلاقة بالاتفاقية الاسشارية أو اتفاقية الخدمة.
شروط العمل القياسية هذه تُكمل وتتمم شروط الاتفاقية على النحو المطلوب. الاتفاقية وشروط العمل القياسية هذه مُجتمعةً تُشكل الاتفاقية بين المحترف المستقل، العميل ونبش. في حالة كان أحد شروط العمل القياسية هذه غير متوافقٍ مع أحكام الاتفاقية، يكون لأحكام الاتفاقية الاستشارية الأسبقية على أحكامِ الشروط القياسية هذه.
17. تعديل الشروط القياسية
تحتفظ نبش بالحق في تعديل الشروط القياسية هذه من وقتٍ لآخر. يجب أن يتم الإعلان عن أي تعديلاتٍ على الشروط القياسية هذه بإشعار المحترف المستقل والعميل خلال خمسة عشر (15) يوماً على الأقل قبل أن تُصبح فاعلة. إذا لم يعترض المحترف المستقل والعميل خطياً لنبش حول أيٍ من التغييرات للشروط القياسية هذه قبل أن تُفعل الشروط القياسية التي تمت مراجعتها، تبعاً لذلك يجب أن يُعتبر المحترف المستقل والعميل موافقين على الشروط القياسية التي تمت مراجعتها.
18. القانون الناظم/حسم النزاعات
18.1 يجب أن تُفسر هذه الاتفاقية، تُنفذ، تُضبط، وتُحكم بقوانين الإمارات العربية المتحدة.
18.2 إذا نشأ أي نزاعٍ بين الأطراف وفقاً لهذه الاتفاقية يتعلق بهذه الاتفاقية، تفسير أو تطبيقُ هذا القانون، أو أي شأنٍ ذو علاقة بهذه الاتفاقية أو العمليات المتوخاة هنا، تُوافق الأطراف على أنه، سابقاً للبحث عن حسمٍ لمثل هذا الخلاف من خلال التحكيم الإلزامي، يجب عليهم السعي لحسم هذا النزاع وفقاً لإجراءات وساطة غير ملزمةٍ تُعقد في دبي، الإمارات العربية المتحدة. يجب أن يُختار الوسيط جماعياً من قبل الأطراف حسب هذا العقد. في حالة نزاعٍ بين العميل والمحترف المستقل، يجب أن تتطوع نبش كوسيطٍ في النزاع. إذا فشلت الوساطة وبُدِأ بتحكيمٍ مُلزم متعلقٌ بهذه الاتفاقية، يجب على كل طرفٍ إيصال الطرف الآخر إشعاراً مكتوباً بنيته في التحكيم في الشأن المتعلق بهذه الاتفاقية وأن إجراءات التحكيم يجب أن تُعقد في مركز دبي المالي العالمي، الإمارات العربية المتحدة، بما يتوافق مع قواعد تحكيم مركز دبي المالي العالمي- محكمة لندن للتحكيم العالمي، باللغة الإنجليزية، من قبل مُحكمٍ منفرد يُعين وفقاً للقواعد السالفة. يجب أن يُعطى الطرف الرابح الحق في استعادة رسوم محاماةٍ معقولة وأي تكاليف تكبدها نتيجةً لهذا التحكيم، إضافةً لاي إعفاءات أخرى ممنوحة. يجب أن يكون قرار لجنة التحكيم نهائياً ولا يخضع للإستئناف.

Policy statement:
The following states the governing principles regarding the use of network services:
Access to Tamweel network shall be protected by appropriate controls restricting unauthorized access attempts made by perpetrators;
Identify network services that are to be accessed by approved users; and
Only after the necessary approvals the network and its resources would be made available.
1.1 Wireless Access
Policy Statement
The following shall govern the access to the wireless network:
All wireless LAN access must be approved by the Tamweel IT Manager.
All wireless access points connected to the Tamweelnetwork must be documented and subjected to periodic penetration tests and audits.
All wireless devices must have an owner and be listed in the asset inventory for Tamweel office.
All wireless devices shall be protected against theft, unauthorized use, or damage.
All network access points and related equipment such as cabling supporting wireless networks shall be secured with lockingmechanisms orkept in an area where access is restricted to authorized personnel.
The reset function on access points shall be accessible only to authorized personnel.
Access points shall be segmented from an internal, wired LAN using a gateway device.
The service set identifier (SSID), administrator user ID; password shall be changed from the default value. Also, the SSID shall be configured such that it does not contain any identifying information about the organization.
The SSID shall not contain characters that indicate the location of the wireless LAN access point or any other identifying name.
A device shall not be connected to a wireless network unless it can provide the valid SSID.
All wireless networks shall be protected by using WPA2 encryption.
WEP encryption shall not be relied upon for wireless security.
Tamweel shall periodically review (vulnerability assessment / penetration testing) their wireless systems/networks to ensure that controls have been implemented and are effective in the following areas: confidentiality, authentication, availability, integrity, and non-repudiation.
1.2 Third Party Connection
Policy statement:
The following shall govern security concerns third party agreements:
Prior to signing any support agreement with a third party, the following terms shall be known, defined, respected, and if necessary, included in the contract:
• The separation of Tamweeldata from other companies’ data, if on an external system;
• The restrictions on copying information and securing assets;
• The requirement to prohibit access to Tamweeldata and systems without explicit authorization from Tamweel, and to maintain a list of individuals who have access to such data or system;
• The right of Tamweelto monitor (and revoke) administrator rights;
• Facilities to rapidly disable any individual user ID;
• The responsibilities and procedures for reporting and handling security incidents;
• The right of Tamweelto audit contractual responsibilities;
• The right of Tamweelto perform on-site inspections of the data center of external companies;
• The implications on business continuity plans;
• The measures to ensure the return and/or destruction of information and other information assets at the end of the contract;
• The approval of Tamweelif the external company wants to further outsource activities regarding services executed for Tamweel;
• Actions to be taken upon termination of the outsourcing contract;
• Detail specification of the outsourced service; and
• Well-defined level of service quality (SLA).
All procedures governing third party access shall be approved by the IT Manager;
The security controls (including management roles and responsibilities) required to administer third party access arrangements shall be identified, documented and implemented prior to provision of such access;
Tamweelshall provide third parties with sufficient documentation, education and training to ensure that third party access arrangements proceed securely;
The following additional security elements for outsourced IT services shall be considered:
• Risk Assessment before considering the outsourcing of an information service, a risk assessment shall be carried out in order to determine the security implications and security control requirements;
• Security shall not suffer for any reason (e.g., cost reduction, better cost visibility, access to expertise, focus on mainline business issues, etc.) by the outsourcing of IT services;
• Arrangements shall include protection of sensitive data by utilizing appropriate access controls and encryption techniques; and
• Local laws may not necessarily allow outsourcing across borders. Unless the local laws at the outsourcing location can guarantee adequate protection of the data, outsourcing cross national borders shall not be considered.
1.3 Network Security
Policy statement:
The following shall govern policies regarding network controls and its services:
TamweelUsers/visitors shall not connect their personally-owned computers with Tamweel’s computers or networks without prior authorization from departmental head and the IT Manager. Moreover, personally-owned systems shall not be used to process any Tamweelinformation;
All connections between Tamweelinternal networks and the Internet or any other publicly-accessible computer network shall involve an approved firewall or related access control;
The Network administrator shall be responsible for implementing controls over Tamweelnetwork and the management of network equipment including equipment in user area;
Arrangements shall be made for logging and monitoring all servers to enable recording of security relevant events;
The IT Manager shall be responsible for ensuring that all network exceptions are investigated;
Unattended network connection ports (i.e., conference rooms, empty offices, etc.) shall be enabled only when needed;
Services that are not required shall be blocked, preferably at the firewall level;
Users shall only be provided with the direct access to the services that they have been specifically authorized to use;
The Network administrator shall ensure that users who have access to networks and network services do not compromise the security of these network services by implementing appropriate preventive and detective controls;
Management shall ensure that use of network diagnostic tools is limited to specifically designated IT staff member;
The security feature, service levels and management requirements, for network service provider shall be determined by the IT Manager;
The IT Manager has the final approval for security features, service level and management requirements for network service provider; and
Following could be the main Security features of network services:
• The technology applied for security of network services, such as authentication, encryption and network connection controls;
• Technical parameters required for secured connection with the network services in accordance with the security and network connection rules; and
• Procedures for the network service usage to restrict access to network services or applications, where necessary.
2 Mobile Device
Policy statement:
The following states the governing principles regarding Mobile computing and teleworking:
Backup of critical data residing on mobile devices shall be taken regularly;
Use locks to appropriately secure mobile devices when left unattended;
Appropriate procedures shall be established regarding insurance, legal or other security requirements in case of loss or theft of mobile devices; and
Trainings shall be given to users of mobile devices so that they are aware of the risks their mobile devices are exposed to.
3 Outsourced Software Development
Policy statement:
The following statements governs outsourcing of software development
Before outsourcing software development, following aspects shall be considered in the agreement:
• Licensing arrangements, code ownership, and intellectual property rights;
• Certification of the quality and accuracy of the work carried out;
• Escrow arrangements;
• Rights for audit of the quality and accuracy of work done;
• Testing before installation to detect malicious or Trojan code; and
• Provisions of adequate documentation.
Terms and conditions of agreement shall be regularly monitored for compliance; and
The IT Manager is responsible for making sure that confidential information is not being accidentally disclosed, prior to being released to third parties in relation to software development.

1.1 الوصول اللاسلكي
بيان السياسة:
يجب أن تنظم التالية الوصول للشبكة اللاسلكية:
يجب أن تتم المصادقة على جميع الوصولات للشبكة المحلية من قبل مدير تكنولوجيا معلومات شركة تمويل.
يجب أن يتم توثيق جميع نقاط الوصول اللاسلكية لشبكة تمويل وأن تخضع لفحوصاتِ إختراقٍ دورية وعمليات تدقيق.
يجب أن يكون لجميع الأجهزة اللاسلكية مالك وأن تُسجل في قوائم الأصول التابع لمكتب تمويل.
يجب حماية جميع الأجهزة اللاسلكية من السرقة، الاستخدام غير المصرح به أو التلف.
يجب تأمين جميع نقاط الوصول والمعدات المرتبطة بها مثل موصلات/كابلات دعم الشبكة اللاسلكية عن طريق آليات الإغلاق الذاتي أو أن تُحفظ في منظقةٍ يكون الوصول إليها مُقتصراً على الموظفين المصرح لهم.

يجب معرفة ، تحديد، احترام، وإذا كان ضرورياً، أن تُضمن في العقدالأمور التالية قبل توقيع أي اتفاقية دعمٍ مع طرفٍ ثالث:
• فصل بيانات شركة تمويل عن بيانات أي شركاتٍ أخرى إذا كان الأمر يتعلق بنظامٍ خارجي؛
• القيود المفروضة على نسخ المعلومات وتأمين الأصول؛
• مُتطلب منع الوصول لبيانات تمويل وأنظمتها بدون تفويضٍ واضحٍ من تمويل والحفاظ على قائمة أسماء الافراد المصرح لهم الوصول لمثل هذه البيانات والنظام؛
• حق تمويل في مراقبة (وإلغاء) حقوق الإدارة؛
• تسهيلاتٍ لمنعٍ سريعٍ لهوية أي مستخدمٍ منفرد؛
• مسؤوليات وإجراءات الإبلاغ ومعالجة الأحداث الأمنية؛
• حق شركة تمويل في تدقيق المسؤوليات التعاقدية؛
• حق تمويل في إجراء تفتيشاتٍ موقع في مراكز معلومات الشركات الخارجية؛
• النتائج حول خطط استمرارية الأعمال؛
• الإجراءات التي تضمن استعادة و/أو تدمير معلومات أو أصول معلومات مع نهاية العقد؛

يجب أن يُصادِق مدير تكنولوجيا المعلومات على جميع الإجراءات الناظمة لوصول طرفٍ ثالث؛
يجب تعريف الضوابط الأمنية بما في ذلك (الأدوار الإدارية والمسؤوليات) المطلوبة لتنفيذ اتفاقيات وصول طرف ثالث، توثيقها وتطبيقها بحيث يكون لها أولوية على مثل هذا الوصول؛

يجب أن لا يربط مستخدمي تمويل/زائريها حواسيبهم الشخصية بحواسيب أو شبكات تمويل بدون تفويضٍ مسبقٍ من رئيس دائرةٍ ومديرُ تكنولوجيا المعلومات. زيادةً على ذلك يجب أن لا تُستخدم الأنظمة المملوكة شخصياً لمعالجة أي معلومات لتمويل؛
يجب أن تحتوي كل الروابط بين شبكات الإنترنت التابعة لتمويل والإنترنت أو أي شبكة كمبيوتر يُمكن الوصول إليها عموماً جدار حماية مُصادقٌ عليه أو وسيلة ضبط وصول ذات علاقة؛
يجب أن يتحمل مدير الشبكة مسؤولية تطبيق الضوابط على شبكة تمويل وإدارة معدات الشبكة بما يشمل المعدات في منطقة المستخدم؛
يجب إنشاء ترتيباتٍ للتسجيل ومراقبة جميع الخادمات لإتاحة إمكانية تسجيل الأحداث الأمنية ذات العلاقة؛

يجب القيام بدعم البيانات الحساسة المخزنة على أجهزة الهاتف النقال بشكلٍ منتظم؛
إستخدام أقفال لتأمين أجهزة الهاتف النقال بشكلٍ مناسب عندما تترك بدون اهتمام؛
يجب إنشاء/وضع إجراءات مناسبة فيما يخص التأمين، المتطلبات القانونية أو المتطلبات الأمنية في حالة ضياع أو سرقة أجهزة الهاتف النقال؛ و
يجب أن تُعطى تدريباتٌ لمستخدمي أجهزة الهاتف النقال ليكون لديهم وعيٌ بالمخاطر المعرضة لها أجهزةُ هواتفهم النقالة.
3 الخدمات الخارجية لتطوير البرمجيات

تُنظم البيانات التالية الخدمات الخارجية لتطوير البرمجيات:
يجب مراعاة المظاهر التالية في الاتفاقية قبل إحالة تطوير البرمجيات للخدمات الخارجية:
• ترتيبات الترخيص، كود الملكية، وحقوق الملكية الفكرية؛
• إعطاء شهادات لجودة ودقة العمل المنفذ؛
• ترتيبات الضمان؛
• حقوق تدقيق جودة ودقة العمل المنجز؛
• الفحص قبل التنصيب لتشخيص أي كودات مشبوهة أو كود حصان طرواده؛ و
• أحكام التوثيق المناسب.
يجب أن تتم مراقبة شروط وأحكام الاتفاقية لضمان الالتزام؛ و
يعتبر مدير تكنولوجيا المعلومات مسؤولاً عن ضمان عدم كشف المعلومات السرية عرضياً، قبل إطلاقها لأطرافٍ ثالثة فيما يتعلق بتطوير البرمجيات.
