ZÁKON ze dne 3. února 2012 občanský zákoník Parlament se usnesl na tomto zákoně České republiky: ČÁST PRVNÍ OBECNÁ ČÁST HLAVA I PŘEDMĚT ÚPRAVY A JEJÍ ZÁKLADNÍ ZÁSADY Díl 1 Soukromé právo § 1 [Rekodifikace] (1) Ustanovení právního řádu upravující vzájemná práva a povinnosti osob vytvářejí ve svém souhrnu soukromé právo. Uplatňování soukromého práva je nezávislé na uplatňování práva veřejného. (2) Nezakazuje-li to zákon výslovně, mohou si osoby ujednat práva a povinnosti odchylně od zákona; zakázána jsou ujednání porušující dobré mravy, veřejný pořádek nebo právo týkající se postavení osob, včetně práva na ochranu osobnosti. § 2 [Rekodifikace] (1) Každé ustanovení soukromého práva lze vykládat jenom ve shodě s Listinou základních práv a svobod a ústavním pořádkem vůbec, se zásadami, na nichž spočívá tento zákon, jakož i s trvalým zřetelem k hodnotám, které se tím chrání. Rozejde-li se výklad jednotlivého ustanovení pouze podle jeho slov s tímto příkazem, musí mu ustoupit. (2) Zákonnému ustanovení nelze přikládat jiný význam, než jaký plyne z vlastního smyslu slov v jejich vzájemné souvislosti a z jasného úmyslu zákonodárce; nikdo se však nesmí dovolávat slov právního předpisu proti jeho smyslu. (3) Výklad a použití právního předpisu nesmí být v rozporu s dobrými mravy a nesmí vést ke krutosti nebo bezohlednosti urážející obyčejné lidské cítění. § 3 [Rekodifikace] (1) Soukromé právo chrání důstojnost a svobodu člověka i jeho přirozené právo brát se o vlastní štěstí a štěstí jeho rodiny nebo lidí jemu blízkých takovým způsobem, jenž nepůsobí bezdůvodně újmu druhým. (2) Soukromé právo spočívá zejména na zásadách, že a) každý má právo na ochranu svého života a zdraví, jakož i svobody, cti, důstojnosti a soukromí, b) rodina, rodičovství a manželství požívají zvláštní zákonné ochrany, c) nikdo nesmí pro nedostatek věku, rozumu nebo pro závislost svého postavení utrpět nedůvodnou újmu; nikdo však také nesmí bezdůvodně těžit z vlastní neschopnosti k újmě druhých, d) daný slib zavazuje a smlouvy mají být splněny, e) vlastnické právo je chráněno zákonem a jen zákon může stanovit, jak vlastnické právo vzniká a zaniká, a f) nikomu nelze odepřít, co mu po právu náleží. (3) Soukromé právo vyvěrá také z dalších obecně uznaných zásad spravedlnosti a práva. § 4 [Rekodifikace] (1) Má se za to, že každá svéprávná osoba má rozum průměrného člověka i schopnost užívat jej s běžnou péčí a opatrností a že to každý od ní může v právním styku důvodně očekávat. (2) Činí-li právní řád určitý následek závislým na něčí vědomosti, má se na mysli vědomost, jakou si důvodně osvojí osoba případu znalá při zvážení okolností, které jí musely být v jejím postavení zřejmé. To platí obdobně, pokud právní řád spojuje určitý následek s existencí pochybnosti. § 5 [Rekodifikace] (1) Kdo se veřejně nebo ve styku s jinou osobou přihlásí k odbornému výkonu jako příslušník určitého povolání nebo stavu, dává tím najevo, že je schopen jednat se znalostí a pečlivostí, která je s jeho povoláním nebo stavem spojena. Jedná-li bez této odborné péče, jde to k jeho tíži. (2) Proti vůli dotčené strany nelze zpochybnit povahu nebo platnost právního jednání jen proto, že jednal ten, kdo nemá ke své činnosti potřebné oprávnění, nebo komu je činnost zakázána. § 6 [Rekodifikace] (1) Každý má povinnost jednat v právním styku poctivě. (2) Nikdo nesmí těžit ze svého nepoctivého nebo protiprávního činu. Nikdo nesmí těžit ani z protiprávního stavu, který vyvolal nebo nad kterým má kontrolu. § 7 [Rekodifikace] Má se za to, že ten, kdo jednal určitým způsobem, jednal poctivě a v dobré víře. § 8 [Rekodifikace] Zjevné zneužití práva nepožívá právní ochrany. Díl 2 Užití předpisů občanského práva § 9 [Rekodifikace] (1) Občanský zákoník upravuje osobní stav osob. (2) Soukromá práva a povinnosti osobní a majetkové povahy se řídí občanským zákoníkem v tom rozsahu, v jakém je neupravují jiné právní předpisy. K zvyklostem lze hledět tehdy, dovolává-li se jich zákon. § 10 [Rekodifikace] (1) Nelze-li právní případ rozhodnout na základě výslovného ustanovení, posoudí se podle ustanovení, které se týká právního případu co do obsahu a účelu posuzovanému právnímu případu nejbližšího. (2) Není-li takové ustanovení, posoudí se právní případ podle principů spravedlnosti a zásad, na nichž spočívá tento zákon, tak, aby se dospělo se zřetelem k zvyklostem soukromého života a s přihlédnutím k stavu právní nauky i ustálené rozhodovací praxi k dobrému uspořádání práv a povinností. § 11 [Rekodifikace] Obecná ustanovení o vzniku, změně a zániku práv a povinností ze závazků v části čtvrté tohoto zákona se použijí přiměřeně i na vznik, změnu a zánik jiných soukromých práv a povinností. Díl 3 Ochrana soukromých práv § 12 [Rekodifikace] Každý, kdo se cítí ve svém právu zkrácen, může se domáhat ochrany u orgánu vykonávajícího veřejnou moc (dále jen „orgán veřejné moci“). Není-li v zákoně stanoveno něco jiného, je tímto orgánem veřejné moci soud. § 13 [Rekodifikace] Každý, kdo se domáhá právní ochrany, může důvodně očekávat, že jeho právní případ bude rozhodnut obdobně jako jiný právní případ, který již byl rozhodnut a který se s jeho právním případem shoduje v podstatných znacích; byl-li právní případ rozhodnut jinak, má každý, kdo se domáhá právní ochrany, právo na přesvědčivé vysvětlení důvodu této odchylky. § 14 [Rekodifikace] Svépomoc (1) Každý si může přiměřeným způsobem pomoci k svému právu sám, je-li jeho právo ohroženo a je-li zřejmé, že by zásah veřejné moci přišel pozdě. (2) Hrozí-li neoprávněný zásah do práva bezprostředně, může jej každý, kdo je takto ohrožen, odvrátit úsilím a prostředky, které se osobě v jeho postavení musí jevit vzhledem k okolnostem jako přiměřené. Směřuje-li však svépomoc jen k zajištění práva, které by bylo jinak zmařeno, musí se ten, kdo k ní přikročil, obrátit bez zbytečného odkladu na příslušný orgán veřejné moci.	Translation - English 89/2012 Sb. ACT of 3 February 2012 the Civil Code the Parliament has adopted the following Act of the Czech Republic: BOOK ONE GENERAL PROVISIONS TITLE I SCOPE OF REGULATION AND ITS BASIC PRINCIPLES Chapter 1 Private law Section 1 [Recodification] (1) The provisions of the legal order governing the mutual rights and duties of persons together constitute private law. The application of private law is independent of the application of public law. (2) Unless expressly prohibited by a statute, persons can stipulate rights and duties by way of exclusion from a statute; stipulations contrary to good morals, public order or the law concerning the status of persons, including the right to protection of personality rights, are prohibited. Section 2 [Recodification] (1) Each provision of private law may be interpreted only in accordance with the Charter of Fundamental Rights and Freedoms and the constitutional order in general, the principles underlying this Act, and considering at all times the values that it protects. Should the interpretation of a provision diverge from this imperative solely on the basis of its wording, the imperative prevails. (2) Statutory provisions may not be given a meaning other than that which follows from the actual sense of the words in their mutual context and from the evident intention of the legislature; however, no one may invoke the wording of a legal regulation contrary to its sense. (3) The interpretation and application of a legal regulation must not be contrary to good morals and must not lead to cruelty or inconsiderate behaviour offensive to ordinary human feelings. Section 3 [Recodification] (1) Private law protects the dignity and freedom of an individual and his natural right to pursue his own happiness and the happiness of his family or people close to him in a way that does not unreasonably harm others. (2) Private law primarily relies on the following principles: a) everyone has the right to protect his life and health, as well as freedom, honour, dignity and privacy, b) family, parenthood and marriage enjoy special statutory protection, c) no one may sustain unjustified harm due to insufficient age, mental capacity or dependency; however, no one may unreasonably benefit from his own inability to the detriment of others, d) a promise is binding and contracts are to be executed, e) right of ownership is protected by statutes, and only a statute can prescribe how the right of ownership is created and extinguished, and f) no one may be denied what he is rightfully entitled to. (3) Private law also stems from other generally recognised principles of justice and law. Section 4 [Recodification] (1) Every person having legal capacity is presumed to have the intellect of an average individual and the ability to use it with ordinary care and caution, and anybody can reasonably expect every such person to act in that way in legal transactions. (2) Where the legal order makes a specific consequence dependent on one’s knowledge, it means knowledge reasonably acquired by a person knowledgeable of the case having considered the circumstances which must have been obvious to him in his capacity. This applies by analogy if the legal order connects a certain consequence with the existence of a doubt. Section 5 [Recodification] (1) A person who offers professional performance as a member of an occupation or profession, whether publicly or in dealings with another person, demonstrates his ability to act with the knowledge and care associated with his occupation or profession. If the person fails to act with such professional care, he bears the consequences. (2) The nature or validity of a juridical act may not be challenged against the will of the person affected only because the person who made the act was not duly authorised or was prohibited to do so. Section 6 [Recodification] (1) Everyone is obliged to act fairly in legal transactions. (2) No one may benefit from acting unfairly or unlawfully. Furthermore, no one may benefit from an unlawful situation which the person caused or over which he has control. Section 7 [Recodification] A person who acted in a certain way is presumed to have acted fairly and in good faith. Section 8 [Recodification] Evident abuse of a right does not enjoy legal protection. Chapter 2 Application of the rules of civil law Section 9 [Recodification] (1) The Civil Code governs the personal status of persons. (2) Private rights and duties of a personal and proprietary nature are governed by the Civil Code to the extent that they are not governed by other legal regulations. Usages may be considered where invoked by a statute. Section 10 [Recodification] (1) Where a legal case cannot be decided on the basis of an express provision, it is assessed under the provisions concerning the legal case which is, in terms of its content and purpose, the closest possible to the case under consideration. (2) In the absence of such a provision, the legal case is to be assessed under the principles of fairness and the principles underlying this Act in order to arrive at a good arrangement of rights and duties, having regard to the practice of private life and taking into account the state of legal opinion and established decision-making practice. Section 11 [Recodification] General provisions concerning the creation, change and extinction of rights and duties arising from obligations under Book Four of this Act apply, with the necessary modifications, to the creation, change and extinction of other private rights and duties. Chapter 3 Protection of private rights Section 12 [Recodification] Anyone who feels that his rights have been prejudiced may claim the protection of a body executing public authority (hereinafter a “public body”). Unless otherwise provided by a statute, the public body is a court. Section 13 [Recodification] Anyone seeking legal protection may reasonably expect that his legal case will be decided similarly to another legal case that has already been decided and that coincides in essential aspects with his legal case; where the legal case has been decided differently, anyone seeking legal protection has the right to a persuasive explanation of the reasons for such a variance. Section 14 [Recodification] Self-help (1) Anyone may, in a reasonable manner, help himself to his rights, if such rights are endangered and it is evident that public authority action would come too late. (2) Where an unlawful interference with one’s right is imminent, anyone so threatened may use effort and resources that a person in his position and under the given circumstances must consider appropriate to avert such encroachment. However, if self-help is only aimed at securing a right that would otherwise be frustrated, the person exercising self-help must, without undue delay, contact the competent public body.

Source text - Slovak ZÁKON O ÚZEMNOM PLÁNOVANÍ A STAVEBNOM PORIADKU (STAVEBNÝ ZÁKON) Federálne zhromaždenie Československej socialis- tickej republiky sa uznieslo na tomto zákone: PRVÁ ČASŤ ÚZEMNÉ PLÁNOVANIE ODDIEL 1 CIELE A ÚLOHY ÚZEMNÉHO PLÁNOVANIA § 1 (1) Územné plánovanie sústavne a komplexne rieši funkčné využitie územia, ustanovuje zásady jeho or- ganizácie a vecne a časovo koordinuje výstavbu a iné činnosti ovplyvňujúce rozvoj územia. (2) Územné plánovanie utvára predpoklady na za- bezpečenie trvalého súladu všetkých prírodných, civi- lizačných a kultúrnych hodnot v území, najma so zre- telom na starostlivosť o životné prostredie a ochranu jeho hlavných zložiek - pody, vody a ovzdušia. § 2 (1) Územné plánovanie zahřňa tieto úlohy a činnosti: a) určuje limity využitia územia, b) reguluje funkčné a priestorové usporiadanie úze- mia, c) určuje potrebné asanačné, rekonštrukčné alebo re- kultivačné zásahy do územia a určuje sposob jeho ďalšieho využitia, d) vymedzuje chránené územia, chránené objekty, oblasti pokoja a ochranné pásma, pokial nevznikajú podla osobitných predpisov inak, a zabezpečuje ochranu všetkých chránených území, chránených objektov, oblastí pokoja a ochranných pásem, e) určuje zásady a podmienky vecnej a časovej koor- dinácie miestne sústredenej výstavby jedného ale- bo viacerých stavebníkov, f) posudzuje a hodnotí územno-technické dosledky pripravovaných stavieb a iných opatrení v území a navrhuje nevyhnutný rozsah stavieb a opatrení, ktoré podmieňujú ich plné využitie, g) rieši umiestnenie stavieb, určuje územno-technic- ké, urbanistické a architektonické zásady ich projektového riešenia a realizácie, h) navrhuje využitie zdrojov a rezerv územia na jeho spoločensky najefektívnejší urbanistický rozvoj, i) utvára podklady pre tvorbu koncepcií výstavby a technického vybavenia územia, j) navrhuje poradie výstavby a využitie územia, k) navrhuje územno-technické a organizačné opatre- nia nevyhnutné na dosiahnutie optimálneho uspo- riadania a využitia územia. (2) Územné plánovanie vychádza z poznatkov prí- rodných, technických a spoločenských vied, z vlast- ných prieskumov a rozborov riešeného územia, ako aj z ďalších podkladov, ktoré boli pre riešené územie spracované. (3) Základnými nástrojmi územného plánovania sú územnoplánovacie podklady, územnoplánovacia do- kumentácia a územné rozhodnutie. ODDIEL 2 ÚZEMNOPLÁNOVACIE PODKLADY § 3 Druhy územnoplánovacích podkladov Územnoplánovacie podklady tvoria najma: a) urbanistická štúdia, b) územný generel, c) územno-technické podklady, d) ostatné podklady. § 4 Urbanistická štúdia (1) Urbanistická štúdia rieši čiastkové problémy v území. Spracúva sa ako podklad územného rozho- dovania v území s komplikovanými územno-technic- kými, urbanistickými alebo architektonickými pod- mienkami, ak treba prehíbiť alebo overiť riešenie navrhnuté územnoplánovacou dokumentáciou alebo ak spracovanie územnoplánovacej dokumentácie nie je účelné. (2) Urbanistickú štúdiu obstaráva spravidla orgán územného plánovania. Móže ju však obstarať alebo na jej obstaranie finančne prispieť každý, kto prejaví o jej obstaranie záujem. (3) Obsah a rozsah urbanistickej štúdie sa určuje v jej zadaní, na ktoré dáva súhlas orgán územného plánovania, ktorý garantuje štátne, resp. komunálne záujmy. V prípade, že sa má použiť ako podklad pre územné rozhodovanie, je potrebné vyjadrenie stavebného úradu. § 5 Územný generel Územný generel podrobne rieši otázky územného rozvoja jednotlivých zložiek osídlenia, najma býva- nia, priemyslu, polnohospodárstva, dopravy, technických sietí a služieb, občianskej vybavenosti, ze- lene a rekreácie. Spracúva sa, ak treba prehíbiť riešenie určitej zložky osídlenia navrhnuté v územ- noplánovacej dokumentácii; je podkladom územného rozhodovania a spracovania ďalších kategórií alebo stupňov územnoplánovacej dokumentácie. § 6 Zrušený § 7 Územno-technické podklady (1) Územno-technické podklady ako účelove zame- rané a sústavne dopíňané súbory údajov charakteri- zujúcich stav a podmienky územia sa spracúvajú pre celé územie Slovenskej republiky a pre vybrané územ- né celky. (2) Územno-technické podklady slúžia najma a) na spracovanie územnoplánovacej dokumentácie, b) na posudzovanie a tvorbu koncepcie investičnej vý-stavby, c) na priebežné sledovanie zmien v podmienkach úze- mia, jeho organizáciu a využitie, d) na územné rozhodovanie, ak nie je príslušná územ- noplánovacia dokumentácia spracovaná. Čiastka 39 (3) Územno-technické podklady obstaráva Ministerstvo životného prostredia Slovenskej republiky (ďalej len „ministerstvo"), ktoré zabezpečuje ich priebežné dopíňanie a zmeny. Na základe poverenia ministerstva móžu niektoré územno-technické podklady obstarať aj iné orgány územného plánovania. § 7a Ostatné podklady Ostatné podklady sa využívajú pri spracovaní územ-noplánovacej dokumentácie a vypracúvajú sa najma na tvorbu a ochranu životného prostredia, ochranu prírody a tvorbu krajiny, ochranu kultúrneho a historického dedičstva, technickej a dopravnej infraštruk- túry. ODDIEL 3 ÚZEMNOPLÁNOVACIA DOKUMENTÁCIA § 8 Kategórie územnoplánovacej dokumentácie Územnoplánovaciu dokumentáciu tvorí a) územná prognóza, b) územný plán, c) územný projekt. § 9 Územná prognóza (1) Územná prognóza pripravuje alebo preveruje možnosti dlhodobého urbanistického rozvoja územia, prí- padne jeho jednotlivých urbanistických funkcií. Vy- chádza pritom najma z rozboru územno-technických a územno-ekonomických podmienok, demografických a sociologických úvah, ako aj z tendencií technického a hospodárskeho rozvoja územia. (2) Územná prognóza pre územie Slovenskej republiky sa spracúva pre celé územie štátu pri zohladnení medzinárodných súvislostí ako koncepcia územného rozvoja Slovenskej republiky. § 10 Územný plán Územný plán rieši funkčné vymedzenie a usporiada- nie plóch a určuje základné zásady organizácie úze- mia, postup pri jeho využití a podmienky výstavby. § 11 Územný projekt Územný projekt rieši spósob využitia plóch vymedze- ných na miestne a časove sústredenú výstavbu a spó- sob ich zástavby a určuje podmienky vecnej a časovej koordinácie výstavby. § 12 Stupne územnoplánovacej dokumentácie Zbierka zákonov č. 109/1998 Strana 763 Územnoplánovacia dokumentácia (§ 8) sa spracúva a) pre územie Slovenskej republiky, b) pre velký územný celok, c) pre sídelný útvar, d) pre zónu. § 13 Územnoplánovacia dokumentácia velkého územného celku Územnoplánovacia dokumentácia vel'kého územného celku sa spracúva pre územie, na ktorom je umiest- nených viac sídelných útvarov, alebo pre velké územie, v ktorom sa uplatňujú špeciálne záujmy (ťažba, prie- mysel, polnohospodárstvo, rekreácia a pod.). § 14 Územnoplánovacia dokumentácia sídelného útvaru Územnoplánovacia dokumentácia sídelného útvaru sa spracúva pre celé územie sídelného útvaru vrátane jeho záujmového územia, pre zoskupenie sídelných útvarov a pre územie strediska cestovného ruchu a rekreácie. Sídelným útvarom je každá jednotka osíd- lenia, ktorá tvorí uzavretý, od iných jednotiek osídlenia priestorovo oddelený útvar. § 15 Územnoplánovacia dokumentácia zóny Územnoplánovacia dokumentácia zóny sa spracú- va pre ucelené časti sídelného útvaru, najma pre jeho priemyselnú, obytnú, centrálnu a historickú časť a pre časť rekreačného alebo krajinného celku, prípadne pre celé územie malého sídelného útvaru s cielom podrobne riešiť regulatívy a limity funkčné- ho a priestorového usporiadania a umiestnenia sta- vieb. ODDIEL 4 OBSTARÁVANIE ÚZEMNOPLÁNOVACEJ DOKUMENTÁCIE Príslušnosť § 16 Územnoplánovaciu dokumentáciu obstarávajú orgány územného plánovania. Orgánmi územného plánovania sú obce, okresné úrady a krajské úrady. Ústredným orgánom územného plánovania je mi-nisterstvo. § 17 Strana 764 (1) Orgány územného plánovania sú povinné obsta- rávať územnoplánovaciu dokumentáciu v súlade s potrebami rozvoja územia v primeranom a hospodár- nom rozsahu. Územné plány alebo územné projekty sídelných útvarov a zón sa obstarávajú vždy na výstavbu nových sídelných útvarov, na umiestnenie verejno- prospešných stavieb a na podstatnú prestavbu, dostavbu alebo asanáciu existujúcich sídelných útvarov alebo ich častí, ktorá je vyvolaná ich plánovaným rozvojom, s cielom zabezpečiť vyvážený sociálny a ekonomický rozvoj. Územná prognóza sa obstará len pre územie so zložitými podmienkami. (2) Orgány územného plánovania obstarávajú územ- noplánovaciu dokumentáciu a) z vlastného podnetu, b) z podnetu iných orgánov štátnej správy a obcí, c) z podnetu fyzických osob alebo právnických osob. (3) Ministerstvo metodicky usmerňuje orgány územ- ného plánovania v územnoplánovacích činnostiach a riešení vecných problémov a zisťuje, či sa územno- plánovacia dokumentácia obstaráva v zodpovedajú- com rozsahu. Metodické usmernenia ministerstva sú závazné pre všetky orgány územného plánovania. § 18 (1) Koncepciu územného rozvoja Slovenskej republiky obstaráva ministerstvo. (2) Územnoplánovaciu dokumentáciu velkých územných celkov obstarávajú krajské úrady; v odo- vodnených prípadoch si može vyhradiť jej obstaranie ministerstvo. (3) Ak riešenie územnoplánovacej dokumentácie velkých územných celkov zasahuje do kompetencií viacerých krajských úradov, krajské úrady sa dohod- nú, ktorý z nich ju obstará. Ak nedojde k dohode, rozhodne o obstarávatelovi ministerstvo. (4) Územnoplánovaciu dokumentáciu sídelných útvarov a zón obstarávajú obce. (5) Ak riešenie územnoplánovacej dokumentácie zasahuje do územia viacerých obcí, obce sa dohodnú, ktorá z nich územnoplánovaciu dokumentáciu obstará.	Translation - English ACT ON SPATIAL PLANNING AND BUILDING PROCEDURE (THE BUILDING ACT) The Federal Assembly of the Czechoslovak socialist Republic has adopted the following act: PART ONE SPATIAL PLANNING TITLE 1 OBJECTIVES AND TASKS OF SPATIAL PLANNING Section 1 (1) Spatial planning systematically and comprehensively addresses land use, lays down the principles of its organization and substantively and temporally coordinates construction and other activities affecting the development of a territory. (2) Spatial planning creates the conditions for a permanent harmony among all natural, civilisation and cultural values within a territory, especially with regard to the environment and the protection of its main components - soil, water and air. Section 2 (1) Spatial planning includes the following activities: a) sets the limits for land use, b) regulates functional and spatial arrangement of a territory, c) determines the necessary rehabilitation, reconstruction or restoration interventions in a territory and determines the manner of its further use d) defines protected areas, protected buildings, quiet areas and protection zones, unless otherwise established under special regulations, and ensures the protection of all protected areas, protected buildings, quiet areas and protection zones, e) determines the principles and conditions of substantive and temporal coordination of construction at a given location carried out by one or more constructors, f) assesses and evaluates spatial and technical impacts of planned buildings and other measures within a territory, and proposes the extent of structures and measures that are required for their full use, g) deals with the placement of structures, determines spatial and technical, urban and architectural principles for their project design and implementation, h) proposes the use of resources and potential of a territory in order to achieve its socially most efficient urban development, i) forms the basis for the development of construction strategies and technical equipment of a territory, j) proposes the order of construction and land use within a territory, k) proposes spatial, technical and organizational measures necessary to achieve optimal arrangement and land use within a territory. (2) Spatial planning is based on the knowledge of natural, technical and social sciences, on own research and analyses of the territory, as well as on other documents prepared for the territory concerned. (3) Basic tools of spatial planning are planning materials, planning documentation and planning decision. TITLE 2 PLANNING MATERIALS Section 3 Types of planning materials Planning materials include, but are not limited to: a) urban study, b) general plan, c) spatial and technical materials, d) other materials. Section 4 Urban Study (1) Urban study addresses partial problems within the territory. It is prepared as the basis for planning decision procedure in territories with complicated spatial, technical, urban and/or architectural conditions, where it is necessary to extend or verify a solution proposed in the planning documentation or where the preparation of planning documentation is not practical. (2) Urban study is typically procured by the planning authority. However, anyone interested in the urban study may procure it or financially contribute to its procurement. (3) The content and scope of the urban study is determined in its contracting document, which is approved by the planning authority as the guarantor of state and/or local interests. Where it is to be used as the basis for planning decision procedure, it is necessary to obtain the opinion of the building authority. Section 5 General plan General plan addresses in detail the questions of spatial development of the individual components of land occupancy, especially housing, industry, agriculture, transport, utilities and services, community facilities, green areas and recreation. It is prepared in case it is necessary to extend the design of a land occupancy unit proposed in the planning documentation; it constitutes the material for planning decision procedure and for the preparation of other categories or levels of planning documentation. Section 6 Repealed Section 7 Spatial and technical materials (1) Spatial and technical materials as special-purpose and continuously updated data sets which characterize the state and conditions of a territory are prepared for the whole territory of the Slovak Republic as well as for selected territorial units. (2) Spatial and technical materials are mainly used to: a) prepare planning documentation, b) assess and create the strategy of investment construction, c) continuously monitor changes in the conditions of a territory, its organization and use, d) carry out planning decision procedure where no relevant planning documentation has been prepared. (3) Spatial and technical materials are procured by the Ministry of Environment of the Slovak Republic (hereinafter the "Ministry"), which ensures their ongoing update and change. The Ministry may also engage other planning authorities to procure certain spatial and technical materials. Section 7a Other materials Other materials are used in the preparation of planning documentation and are prepared in particular for the creation and protection of the environment, nature conservation and landscaping, protection of cultural and historical heritage, technical and transport infrastructure. TITLE 3 PLANNING DOCUMENTATION Section 8 Categories of planning documentation Planning documentation consists of a) spatial prognosis, b) spatial plan, c) spatial project. Section 9 Spatial prognosis (1) Spatial prognosis prepares or reviews the possibilities of long-term urban development of a territory or, where applicable, of its different urban functions. It mainly draws on the analysis of spatial-technical and spatial-economic conditions, demographic and sociological considerations, as well as on the tendencies of technical and economic development of the territory. (2) Spatial prognosis for the Slovak Republic is prepared for the entire territory, taking into account the international context, as the spatial development strategy of the Slovak Republic. Section 10 Spatial plan Spatial plan addresses the functional definition and arrangement of areas and determines the basic principles of territorial organization, procedure for land use and conditions for construction. Section 11 Spatial project Spatial project addresses the ways to use areas intended for locally and temporally concentrated construction and the manner in which they are to be built up, and determines conditions for substantive and temporal coordination of construction. Section 12 Levels of planning documentation Planning documentation (Section 8) is prepared a) for the territory of the Slovak Republic, b) for a large territorial unit, c) for a settlement unit d) for a zone. Section 13 Planning documentation for a large territorial unit Planning documentation for a large territorial unit is prepared for the whole territory with multiple settlement units, or for a large territory with special interests (mining, industry, agriculture, recreation, etc.). Section 14 Planning documentation for a settlement unit Planning documentation for a settlement unit is prepared for the whole territory of the settlement unit including its area of interest, for groupings of settlement units and for the territory of tourist and recreation resorts. A settlement unit means any unit of settlement which forms a closed unit spatially separated from other units of settlement. Section 15 Planning documentation of a zone Planning documentation of a zone is prepared for individual parts of settlement units, especially for their industrial, residential, central and historic parts and for the part of a recreational or landscape unit, or, as the case may be, for the whole territory of a small settlement unit, in order to address in detail the regulations and limits of the functional and spatial arrangement and the location of buildings. TITLE 4 PROCUREMENT OF PLANNING DOCUMENTATION Competence Section 16 Planning documentation is procured by the planning authorities. Municipalities, district authorities and regional authorities act in the capacity of a planning authority. The Ministry is the central planning authority. Section 17 (1) Planning authorities must provide for the planning documentation in accordance with the needs of development of the territory to a reasonable and economic extent. Spatial plans and spatial projects of settlement units and zones are always procured for the construction of new settlement units, for the placement of publicly beneficial structures and for substantial reconstructions, completions of construction or rehabilitation of existing settlement units or parts thereof, which results from their planned development, in order to ensure a balanced social and economic development. Spatial prognosis is only procured for territories with difficult conditions. (2) Planning authorities only procure planning documentation a) on its own initiative, b) on the initiative of other public administration bodies and municipalities, c) on the initiative of natural or legal persons. (3) The Ministry provides planning authorities with methodical guidance in terms of spatial planning activities and addressing substantive issues and examines whether planning documentation being procured is sufficient. Methodological guidance of the Ministry is binding for all planning authorities. Section 18 (1) The strategy of the spatial development of the Slovak Republic is procured by the Ministry. (2) The planning documentation for large territorial units is procured by regional authorities; in justified cases the Ministry may reserve its procurement. (3) Where the preparation of planning documentation of large territorial units falls within the competence of several regional authorities, these regional authorities will come to an agreement on which of them will procure it. If they fail to agree, it is to be decided by the Ministry. (4) Planning documentation for settlement units and zones are procured by municipalities. (5) Where the preparation of planning documentation covers the territories of several municipalities, the municipalities must agree which of them will procure the planning documentation.

(B) The Parties have agreed on a site for the development and implementation of the Project in the Industrial Zone Mošnov, Ostrava, District Nový Jičín, owned and operated by the City (defined in Appendix 1 as the “Site”). (C) The development of the Project shall contribute to the economic development of the City, Region and the Czech Republic. (D) The Czech Parties wish to support the development of the Project by (i) offering attractive terms and conditions under which Mobis will undertake and operate the Project, including investment incentives and other state aid granted in accordance with applicable Czech and EU laws and regulations, and (ii) providing continuous support in any other relevant areas, including the creation of a competitive investment environment. (E) The Parties wish to declare in clear terms their respective rights and obligations with respect to the Project. (F) Subject to the fulfilment of conditions of this Agreement, the relevant Parties will enter into the Implementation Agreements (as defined in Appendix 1), implementing in further detail this Agreement. NOW, THEREFORE, UPON AND IN CONSIDERATION FOR THE MUTUAL PROMISES AND COVENANTS CONTAINED HEREIN, THE PARTIES HERETO AGREE AS FOLLOWS: 1 Definitions and interpretation 1.1 Definitions In this Agreement, terms with capital letters shall have the meaning ascribed to them in the text or Appendix 1. 1.2 Interpretation 1.2.1 The words “hereof”, “herein” and “herewith” and words of similar import shall, unless otherwise stated, be construed to refer to this Agreement as a whole and not to any particular provision of this Agreement, and article, section, paragraphs and appendix of this Agreement, unless otherwise specified. Whenever the word ”include”, “includes” or “including” is used in this Agreement it shall be deemed to be followed by the words “without limitation”. 1.2.2 The meaning assigned to each term defined herein shall be equally applicable to both the singular and plural forms of such term, and words denoting any gender shall include both genders. Where a word or phrase is defined herein, each of its other grammatical forms shall have a corresponding meaning. 1.2.3 In view of the fact that this Agreement is the result of extensive negotiations, the Parties agree that none of the Articles or terms hereof can be attributed to any one Party as having first used it in the negotiation of the Agreement. 1.2.4 A reference to either Party or any party to any other agreement or document shall include such Party's or party's successors and permitted assigns. 1.3 References References in this Agreement to articles, recitals and appendices, are references to Articles (including sub-articles), recitals and appendices of this Agreement. 1.4 Modification, etc. of legislation Any express reference to an enactment (which includes any legislation in any jurisdiction) includes references to: 1.4.1 such enactment as amended, extended or applied by or under any other enactment before or after the date of this Agreement; 1.4.2 any enactment which such enactment re-enacts (with or without modification); and 1.4.3 any subordinate legislation (including regulations) made (before or after the date of this Agreement) under such enactment, as re-enacted, amended, extended or applied as described in Article 1.4.1 above, or under any enactment referred to in Article 1.4.2 above. 2 Investment Agreement 2.1 Purpose The purpose of this Agreement is to set out the mutual rights, commitments and obligations of the Parties, on the basis of which Mobis, through NewCo, will develop the Project and the Czech Parties will provide Mobis, directly or through NewCo, with the aid and support of the Project set out in this Agreement, all under the terms and conditions of this Agreement and subject to the relevant provisions of the laws of the Czech Republic and the EU. 2.2 Coordination 2.2.1 In order for the Project to commence as soon as possible and to proceed in an orderly and expeditious manner to meet the Project Time Schedule and to facilitate the successful completion of the Project, the Czech Parties hereby designate the persons listed in Appendix 9 as their respective key coordinating persons, through whom all contact, correspondence, and communications in respect of the Project and the subject matter of this Agreement shall be channelled. 2.2.2 The Parties may, from time to time, through the contact persons specified in Appendix 9, designate additional contact persons, alternates or professional advisers through whom the other Party may also communicate with respect to matters identified by the Parties. 2.3 Implementation teams, assistance and support 2.3.1 By entering into this Agreement, the Czech Parties agree to provide to Mobis any assistance and support that can be reasonably required and to the greatest possible extent permitted by law for the purpose of the implementation and completion of the Project in accordance with the Project Time Schedule. 2.3.2 In order to ensure the timely and efficient implementation of the Project the Parties of the Agreement appoint the implementation teams as follows: (i) CzechInvest implementation team CzechInvest implementation team shall be responsible for the overall coordination of the Project. [The Chief Executive Officer of CzechInvest shall be the guarantor for the overall Project coordination.] (ii) Mobis implementation team Mobis implementation team shall be responsible for the commencement and completion of the Plant construction and shall be chaired by Lee Young Jin, the vice-president. (iii) Regional implementation team The Regional implementation team shall be responsible for inter alia the implementation of the measures described in Article 8. and is to be chaired by [THE REGION TO PROPOSE]. (iv) The City implementation team The City implementation team shall be responsible for facilitating the sale of the Land, as well as for the implementation of the measures described in Article 7 and is to be chaired by [THE CITY TO PROPOSE]. 2.4 Implementation Agreements Subject to the fulfilment of the conditions stipulated in this Agreement and the conditions under the relevant provisions of Czech and EU law the relevant Parties shall enter into the Implementation Agreements for the purpose of detailing and implementing the terms of this Agreement. 3 Project Time Schedule 3.1 Project Time Schedule The Parties declare that they are familiar with the Project Time Schedule and undertake to use their best efforts, within the bounds of the valid legal regulations, to comply with the Project Time Schedule. If circumstances arise which affect the Project Time Schedule, the Parties shall discuss such facts and shall exert all efforts to prevent the Project Time Schedule from being adversely affected. If a modification to the Project Time Schedule is necessary, the Parties will agree upon a new time schedule in such a way that minimises the changes to the original schedule, within the limits of the valid legal regulations. The Czech Republic and the CzechInvest further undertake to exert their best efforts, within the bounds of the valid legal regulations, to assist Mobis and/or NewCo in the process of obtaining all work and residency permits necessary for their employees or contractors to perform work and provide services related to the Project in the Czech Republic, so that all such work and residency permits are obtained in an expedient manner. 3.2 Conditionality of the Project Time Schedule Mobis understands that the timely and efficient implementation of the Project depends in part on the design of the plant’s construction and technology and on the timely provision of information and documentation which is required to be submitted to the public, authorities in compliance with applicable laws and regulations of the Czech Republic. 4 Investment of Mobis 4.1 Investment of Mobis Subject to terms and conditions of this Agreement, Mobis shall realise the Project through a 100 per cent owned subsidiary, NewCo. For the avoidance of any doubts, NewCo is to be an entity established in connection with the issuance by MIT of the decision on the offer of investment incentives (under Section 4(4) of the Investment Incentives Act) (the “Decision on the Offer of Investment Incentives”) if it is incorporated at any time after the date on which CzechInvest issues a confirmation on the preliminary eligibility of the Project for investment incentives (Section 4(1) of the Investment Incentives Act) (the “Confirmation on the Preliminary Eligibility”). Under its most recent investment plans, Mobis is considering investing approximately EUR 95,655,000 (CZK 2,625,729,750 applying CZK/EUR exchange rate of 27.45) into eligible fixed assets in relation to the Project. 4.2 Investment Period The period for including fixed assets in the Eligible Expenses starts from the date following the day on which CzechInvest issues the Confirmation on the Preliminary Eligibility and finishes on the day on which 7 (seven) years have elapsed from the issuance by MIT of the decision on the granting of investment incentives (under Section 5(5) of the Investment Incentives Act) (the “Decision on the Granting of Investment Incentives”) (period further referred as the “Investment Period”), unless NewCo notifies MIT in accordance with Section 6a(2) of the Investment Incentives Act that the investment has been completed prior to the expiry of 7 (seven) years from the Decision on the Granting of Investment Incentives. 4.3 Maintenance of the Project Notwithstanding Article 7.4, NewCo shall maintain supported investment in the Project for a period of at least 5 (five) years following the expiry of the Investment Period or the notification by NewCo on the earlier completion of the investment in accordance with Article 4.2 (the “Project Maintenance Period”), subject to the performance by the Czech Parties of their obligations under this Agreement. For the avoidance of any doubts, the criterion for the assessment of whether this condition has been fulfilled is whether (i) the total volume (amount) of the Eligible Expenses in their acquisition values has been maintained and (ii) NewCo operates the Plant. NewCo will not be required to maintain particular assets or groups of assets, as the limited lifespan of some eligible assets (as well as technological advances) might require early replacement. In the event that NewCo does not fulfil this condition, the total amount of state aid will be reduced accordingly, so that the total amount of state aid is determined as the maximum permissible amount, based on the actual Eligible Expenses incurred, by the end of each accounting period. 4.4 Job Creation 4.4.1 Mobis expects that the number of the jobs created for the Project will be approximately as set out below: Year New Jobs Created 2018 600 2021 935 4.4.2 Although the actual number of newly created jobs and the actual timing of the creation of such jobs depends on Mobis’s production and sales needs, in order to meet the conditions of the strategic investment under Section 1a of the Investment Incentives Act, NewCo shall create more than 500 (five hundred) new jobs. 5 State Aid 5.1 State Aid Regime and Date The Czech Parties shall provide Mobis and NewCo with state aid in accordance with the terms and conditions of this Agreement and subject to the relevant provisions of the laws of the Czech Republic and EU. 5.2 Intensity of State Aid 5.2.1 The intensity of the state aid to be granted amounts to 25 (twenty-five) per cent of the Eligible Expenses expended on the Project. The state aid intensity decreases with the Eligible Expenses as follows: Eligible Expenses Adjusted State Aid Intensity Up to EUR 50 million 25 per cent The part exceeding EUR 50 million up to EUR 100 million 12.5 per cent With the Eligible Expenses amounting to EUR 95,655,000 (CZK 2,625,729,750, applying a CZK/EUR exchange rate of 27.45) the maximum state aid is EUR 18,206,875 (CZK 499,778,719). 5.2.2 The Czech Parties declare that state aid will be provided even if actual Eligible Expenses are lower than EUR 95,655,000, provided that a minimum amount of the investment required by the Investment Incentives Act is met. If the actual Eligible Expenses are lower than EUR 95,655,000, the maximum level state aid will be adjusted so as to be in line with the actual Eligible Expenses. 5.3 Eligible Expenses 5.3.1 The actual amount of the state aid that Mobis or NewCo will be entitled to receive will depend on the actual amount of the Eligible Expenses incurred by it. 5.3.2 For the avoidance of doubt it is specifically confirmed that: (i) costs incurred by NewCo in connection with the purchase of the Land will be treated as Eligible Expenses (i.e. the Eligible Expenses will include the purchase of the Land in accordance with this Agreement and the Implementation Agreements); (ii) the Eligible Expenses in respect of fixed assets correspond to their actual acquisition cost prior to any application of any grant monies, in particular, the Financial Support as defined in Article 6.2.2; (iii) costs incurred by NewCo in connection with the installation of machinery and trial runs of equipment will be treated as Eligible Expenses if such costs are capitalised according to the Czech GAAP; (iv) interest incurred by NewCo in relation to investment in assets in the period prior to putting such assets into use will be treated as the Eligible Expenses, provided that such costs are capitalised according to the applicable Czech GAAP; and (v) costs of production dies (formy) will be treated as Eligible Expenses as long as such costs are located in the district of Nový Jičín, and considered and recorded as fixed assets of NewCo according to the Czech GAAP. Je-li v této Smlouvě definováno slovo nebo slovní spojení, má tento význam i každá z jeho dalších gramatických forem. 1.2.3 Vzhledem k tomu, že je tato Smlouva výsledkem rozsáhlých jednání, se Smluvní strany dohodly, že o žádném z článků ani pojmů této Smlouvy nelze říci, že jej kterákoli ze Smluvních stran použila v jednání o Smlouvě jako první. 1.2.4 Odkaz na kteroukoli ze Smluvních stran nebo kteroukoli smluvní stranu jakékoliv jiné smlouvy nebo dokumentu je rovněž odkazem na nástupnické osoby a povolené nabyvatele této Smluvní strany či smluvní strany. 1.3 Odkazy Odkazy v této Smlouvě na články, úvodní ustanovení a přílohy jsou odkazy na Články (včetně jejich částí), úvodní ustanovení a přílohy této Smlouvy. 1.4 Změny právních předpisů Každý výslovný odkaz na právní předpis (což zahrnuje veškeré právní předpisy jakéhokoliv státu) je rovněž odkazem na: 1.4.1 tento právní předpis ve znění platném, rozšířeném nebo použitém jiným právním předpisem nebo na jeho základě přede dnem uzavření této Smlouvy nebo po něm; 1.4.2 jakýkoliv právní předpis, který je tímto právním předpisem rekodifikován (se změnami nebo bez nich); a 1.4.3 jakýkoli podzákonný předpis (včetně nařízení) přijatý (přede dnem uzavření této Smlouvy nebo po něm) na základě tohoto právního předpisu jako předpis rekodifikovaný, změněný, rozšířený nebo použitý, jak je uvedeno v článku 1.4.1 výše, nebo na základě jakéhokoli právního předpisu uvedeného v článku 1.4.2 výše. 2 Investiční smlouva 2.1 Účel Účelem této Smlouvy je stanovit vzájemná práva, závazky a povinnosti Smluvních stran, na jejichž základě společnost Mobis, prostřednictvím Nové společnosti, bude realizovat Projekt a České smluvní strany poskytnou společnosti Mobis, přímo nebo prostřednictvím Nové společnosti, součinnost a podporu při Projektu, jak je stanoveno v této Smlouvě, a to v souladu s podmínkami této Smlouvy a v souladu s příslušnými ustanoveními právních předpisů České republiky a EU. 2.2 Koordinace 2.2.1 Aby bylo možné Projekt zahájit co nejdříve a pokračovat řádně a rychle s cílem splnit Časový harmonogram Projektu a umožnit jeho úspěšné dokončení, České smluvní strany tímto jmenují osoby uvedené v příloze č. 9 jako své příslušné klíčové koordinátory, jejichž prostřednictvím budou probíhat veškeré kontakty, korespondence a komunikace týkající se Projektu a předmětu této Smlouvy. 2.2.2 Smluvní strany mohou prostřednictvím kontaktních osob uvedených v příloze č. 9 jmenovat další kontaktní osoby, náhradníky nebo odborné poradce, jejichž prostřednictvím může druhá Smluvní strana také komunikovat s ohledem na záležitosti, které Smluvní strany určí. 2.3 Realizační týmy, pomoc a podpora 2.3.1 Uzavřením této Smlouvy se České smluvní strany zavazují v rozsahu povoleném platnými právními předpisy poskytovat společnosti Mobis veškerou pomoc a podporu, které lze rozumně požadovat s cílem realizovat a dokončit Projekt v souladu s Časovým harmonogramem Projektu. 2.3.2 S cílem zajistit včasnou a účinnou realizaci Projektu jmenují Smluvní strany této Smlouvy realizační týmy v tomto složení: (i) Realizační tým agentury CzechInvest Realizační tým agentury CzechInvest bude odpovědný za celkovou koordinaci Projektu. [Generální ředitel agentury CzechInvest je garantem celkové koordinace Projektu.] (ii) Realizační tým společnosti Mobis Realizační tým společnosti Mobis je odpovědný za zahájení a dokončení stavby Závodu a jeho vedoucím je Lee Young Jin, viceprezident. (iii) Realizační tým Kraje Realizační tým Kraje je mimo jiné odpovědný za realizaci opatření popsaných v článku 8 a jeho vedoucím je [DLE NÁVRHU KRAJE]. (iv) Realizační tým Města Realizační tým Města je zodpovědný za umožnění prodeje Pozemků, jakož i za realizaci opatření popsaných v článku 7 a jeho vedoucím je[DLE NÁVRHU MĚSTA]. Realizační týmy budou vytvořeny po uzavření této Smlouvy. 2.4 Realizační smlouvy V závislosti na splnění podmínek stanovených v této Smlouvě a podmínek příslušných ustanovení českých a evropských právních předpisů příslušné Smluvní strany uzavřou Realizační smlouvy za účelem upřesnění a realizace podmínek této Smlouvy. 3 Časový harmonogram Projektu 3.1 Časový harmonogram Projektu Smluvní strany prohlašují, že jsou seznámeny s Časovým harmonogramem Projektu a zavazují se v souladu s platnými právními předpisy vyvinout maximální úsilí s cílem dodržet Časový harmonogram Projektu. Nastanou-li okolnosti, které ovlivní Časový harmonogram Projektu, Smluvní strany tyto skutečnosti projednají a vyvinou veškeré úsilí s cílem zabránit nepříznivému dopadu na Časový harmonogram Projektu. Je-li nutná změna Časového harmonogramu Projektu, Smluvní strany se dohodnou na novém časovém harmonogramu tak, aby byly změny oproti původnímu harmonogramu co nejmenší a v souladu s platnými právními předpisy. Česká Republika a agentura CzechInvest se dále zavazují v souladu s platnými právními předpisy vyvinout maximální úsilí s cílem pomoci společnosti Mobis nebo Nové společnosti při získávání veškerých pracovních povolení a povolení k pobytu, kterých bude potřeba pro její zaměstnance nebo dodavatele, kteří budou provádět dílo, a poskytovat služby související s Projektem v České republice tak, aby všechna tato povolení byla získána co nejrychleji. 3.2 Podmíněnost Časového harmonogramu Projektu Společnost Mobis bere na vědomí, že včasná a efektivní realizace Projektu závisí částečně na projektování stavby a technologie závodu a na včasném poskytování informací a dokumentace, které je třeba poskytovat veřejnosti a orgánům v souladu s platnými právními předpisy České republiky. 4 Investiční akce společnosti Mobis 4.1 Investiční akce společnosti Mobis V souladu s podmínkami této Smlouvy uskuteční společnost Mobis realizaci Projektu prostřednictvím Nové společnosti, své stoprocentně vlastněné dceřiné společnosti. Pro vyloučení veškerých pochybností se uvádí, že Nová společnost bude subjektem založeným v souvislosti s vydáním rozhodnutí MPO o nabídce na poskytnutí investiční pobídky (podle § 4 odst. 4 zákona o investičních pobídkách) (dále jen "Rozhodnutí o nabídce na poskytnutí investiční pobídky"), dojde-li k jejímu založení kdykoli ode dne, kdy agentura CzechInvest vydá potvrzení, že žadatel může splnit všeobecné a zvláštní podmínky pro poskytnutí investiční pobídky (§ 4 odst. 1 zákona o investičních pobídkách), (dále jen "Potvrzení"). Podle svých posledních investičních záměrů zvažuje společnost Mobis investovat do způsobilého dlouhodobého majetku v rámci Projektu přibližně 95 655 000 EUR (2 625 729 750 Kč při směnném kurzu 27,45 CZK/EUR). 4.2 Investiční lhůta Lhůta pro zahrnutí dlouhodobého majetku do způsobilých nákladů začíná běžet dnem následujícím po dni, kdy agentura CzechInvest vydá Potvrzení, a končí dnem, kdy uplyne 7 (sedm) let od vydání rozhodnutí MPO o příslibu investiční pobídky (podle § 5 odst. 5 zákona o investičních pobídkách), (dále jen "Rozhodnutí o příslibu") (uvedená sedmiletá lhůta dále jen "Investiční lhůta"), ledaže Nová společnost v souladu s § 6a odst. 2 zákona o investičních pobídkách MPO oznámí, že byla investiční akce dokončena před uplynutím 7 (sedmi) let od vydání Rozhodnutí o příslibu. 4.3 Zachování Projektu Aniž je dotčen článek 7.4, je Nová společnost povinna zachovat investici v rámci Projektu, na kterou byla poskytnuta investiční pobídka, po dobu nejméně 5 (pěti) let od uplynutí Investiční lhůty nebo ode dne, kdy Nová společnost MPO oznámí, že došlo k předčasnému dokončení investiční akce podle článku 4.2 (dále jen "Doba zachování Projektu"), a to v závislosti na splnění povinností Českých smluvních stran podle této Smlouvy. Pro vyloučení veškerých pochybností je kritériem pro posouzení splnění této podmínky to, zda (i) byl zachován celkový objem (tj. částka) Způsobilých nákladů v pořizovací hodnotě a zda (ii) Nová společnost provozuje Závod. Nová společnost není povinna zachovat konkrétní majetek nebo skupiny majetku vzhledem k tomu, že v důsledku omezené životnosti některého způsobilého majetku (jakož i technologického pokroku) může být zapotřebí jeho předčasná obnova. Nesplní-li Nová společnost tuto podmínku, celková výše státní podpory se odpovídajícím způsobem sníží tak, že se její celková výše stanoví jako maximální výše státní podpory na základě skutečně vynaložených Způsobilých nákladů ke konci každého účetního období. 4.4 Vytváření pracovních míst 4.4.1 Společnost Mobis očekává, že v rámci Projektu bude vytvořen níže uvedený přibližný počet pracovních míst: Rok Nově vytvořená pracovní místa 2018 600 2021 935 4.4.2 I když skutečný počet nově vytvořených pracovních míst a skutečná doba vytvoření těchto pracovních míst závisí na výrobních a odbytových potřebách společnosti Mobis, Nová společnost vytvoří více než 500 (pět set) nových pracovních míst s cílem splnit podmínky pro strategickou investiční akci podle § 1a zákona o investičních pobídkách. 5 Státní podpora 5.1 Režim a datum státní podpory České smluvní strany poskytnou společnosti Mobis a Nové společnosti státní podporu v souladu s podmínkami této Smlouvy a podle příslušných ustanovení právních předpisů České republiky a Evropské unie. 5.2 Míra státní podpory 5.2.1 Míra státní podpory, která bude poskytnuta, činí 25 (dvacet pět) procent Způsobilých nákladů vynaložených na Projekt. Míra státní podpory se snižuje spolu se Způsobilými náklady takto: Způsobilé náklady Upravená míra státní podpory Do 50 milionů EUR 25 procent Částka nad 50 milionů EUR do 100 milionů EUR 12,5 procent Vzhledem k tomu, že Způsobilé náklady činí 95 655 000 EUR (2 625 729 750 Kč při směnném kurzu 27,45 CZK/EUR), činí maximální výše státní podpory 18 206 875 EUR (499 778 719 Kč). 5.2.2 České smluvní strany prohlašují, že státní podpora bude poskytnuta i v případě, že skutečně vynaložené Způsobilé náklady budou nižší než 95 655 000 EUR, pokud bude dosaženo minimální výše investice vyžadované zákonem o investičních pobídkách. Pokud budou skutečně vynaložené Způsobilé náklady nižší než 95 655 000 EUR, upraví se maximální výše státní podpory tak, aby byla v souladu se skutečně vynaloženými Způsobilými náklady. 5.3 Způsobilé náklady 5.3.1 Skutečná výše státní podpory, na niž bude mít společnost Mobis či Nová společnost nárok, bude záviset na výši Způsobilých nákladů, které skutečně vynaloží. 5.3.2 Pro vyloučení pochybností se výslovně potvrzuje, že: (i) náklady vzniklé Nové společnosti v souvislosti s nákupem Pozemků se budou považovat za Způsobilé náklady (tj. Způsobilé náklady budou zahrnovat nákup Pozemků podle této Smlouvy a Realizačních smluv); (ii) Způsobilé náklady ve vztahu k dlouhodobému majetku odpovídají jejich skutečným pořizovacím cenám před použitím jakýchkoliv dotačních prostředků, zejména Finanční podpory, jak je definována v článku 6.2.2; (iii) náklady vzniklé Nové společnosti v souvislosti s instalací strojního zařízení a zkušebního provozu zařízení se budou považovat za Způsobilé náklady, budou-li tyto náklady aktivovány v souladu s českými účetními předpisy; (iv) úroky vzniklé Nové společnosti ve vztahu k investicím do majetku v období před uvedením tohoto majetku do užívání se budou považovat za Způsobilé náklady, budou-li tyto náklady aktivovány v souladu s platnými českými účetními předpisy; a (v) náklady na výrobní formy se budou považovat za Způsobilé náklady, budou-li umístěny v okrese Nový Jičín, a budou se považovat za dlouhodobý majetek Nové společnosti a takto účtovat v souladu s českými účetními předpisy.

I am a freelance translator based in Ostrava, Czech Republic. Born in 1979, my mother tongue is Czech and I am proficient in English (CPE, grade A) as well as semi-proficient in Spanish (Venezuelan wife). I can also communicate in German and Italian.

I specialise in legal translations. I am the author of the official translation of the new Czech Civil Code, the single largest legal regulation of the Czech law. Likewise, I specialise in EU matters, in particular with regard to cohesion policy and Structural Funds.

I have worked as a translator since 2007 and since then, I have had the honour to work for a number of prominent Czech clients, ranging from public authorities (e.g. the Ministry of Justice with the translation of the new Civil Code) to the private sector (e.g. Investment Agreement between Hyundai and the Czech Republic). Now I am trying to reach out to potential clients from abroad.

In addition to CPE, in 2011, I passed the Czech State Translator's Exam, grade A, with the top score in the class. I have a Master's degree in Economics (2006).
