74 year old patient monitored at H. Dia de IC admitted for worsening of heart failure complaints within the last few months experiencing class III of NYHA, Nt ProBNP 5247. No EKG auricular fibrillation with LBBB (QRS 160ms). An echocardiographic study was conducted for a ventricular resynchronization.

Translation - English EQUIPMENT DONATION CONTRACT
For this particular instrument, the parties hereafter, on the one hand,
Biogen Idec MA Inc., with office at 84 State St, Boston Suffolk, MA, 02109, United States herein represented by its undersigned legal representatives, hereinafter simply called “DONOR”;
and on the other hand,
Federal University of Rio de Janeiro (Hospital), with headquarter at Av. Brigadeiro Trompovski, s/n – Ilha do Governador – Rio de Janeiro – RJ – Zip Code: 21.941-590, registered with the CNPJ/M under No. 33.663.683-0053-47, herein represented by its undersigned legal representatives, hereinafter referred to as "GRANTEE";
Whereas the GRANTEE intends to practice [insert corporate purpose]; and
Whereas the DONOR intends to contribute to the activities of the GRANTEE in the area of investigative research in onco-hematology and, therefore, wishes to donate the equipment [Infusion Pump LF 2001], and the GRANTEE accepts this donation,
The parties have agreed mutually, fair and bind, to enter into this Equipment Donation Contract (“Agreement”) which shall be governed according to the following terms and conditions:
RIGHTS AND OBLIGATIONS
Clause 1 a – It’s the subject of this Contract the donation of equipment [Infusion Pump LF 2001] (“Equipment”). The GRANTEE will utilize the equipment exclusively in the field of investigative research on onco-hematology (“Obligation”).
Clause 2 – The Equipment is located at the Hematology Service, 4th floor, room 4th 12 at the following address Rua Professor Rodolpho Paulo Rocco ,255 Cidade Universitaria, Ilha do Fundão Rio de Janeiro, RJ Zip Code 21941-913. Upon execution of this EQUIPMENT DONATION CONTRACT, GRANTEE shall be responsible for the custody, preservation and maintenance of Equipment, according to its rules, cannot blame the DONOR by equipment failures resulting from the Obligation.
Clause 3 - The GRANTEE assures that it will not use the Equipment for any purpose other than provided herein, illegal, immoral or contrary to good morals.
Clause 4 - Each party shall bear their respective taxes and any obligations levied on the donation.
Clause 5 - Only in cases of default of the Obligation, the DONOR may require the GRANTEE to return the equipment, in accordance with Articles 555 and 562 of the Civil Code. This right may be exercised particularly in cases where the GRANTEE has used the equipment for a purpose other than that contained in this Agreement or to obtain illegal result , immoral or contrary to public morality.
Sole Paragraph. The DONOR shall have the right to conduct audits periodically with respect to use of equipment by the GRANTEE in accordance with the terms of this Agreement. The GRANTEE will make available, upon reasonable request and during business hours for examination and reproduction by DONOR’s and their duly authorized representatives, such books, records and invoices of the GRANTEE, as needed for the audit in accordance with this clause. Such audits may be performed while this Agreement is in effect or within one year after its completion.
GENERAL PROVISIONS
Clause 5 - Given the social and meritorious character of this donation, not targeting any other purpose, the DONOR and the GRANTEE agree and declare that this donation does not characterize a condition for achieving any kind of business and generates no obligation by GRANTEE’s part.
Clause 6 - This Agreement will be valid execution of the term by the GRANTEE.
Clause 7 - The conditions of this Agreement prevail over any agreements, verbal or written, adjusted prior to this date, and the setting of other rules, which serve as northings the development of its object, will always be made by written addenda signed by the parties.
Clause 8 - It is forbidden to the parties to make use of names, marks or logos of the other without the prior formal consent of the other party.
Clause 9 - The GRANTEE may only assign the rights and obligations under this Agreement upon prior written consent of the DONOR, provided that the transfer is made to another foundation or association with the same or similar purposes.
Clause 10 - The GRANTEE represents and warrants that:
(I) the undersigned is the legal representative and has all the powers and authorizations to enter into this Agreement;
(Ii) all procedures, procedures, opinions, consultations and administrative approvals have been or will be obtained for the execution of this Agreement and to receive this donation, and
(Iii) is not subject to any obligation to any other person or entity, private or public, whether contractual or not, that prohibits the execution of this Agreement or that is in conflict or inconsistent in any way with the terms hereof.
Clause 11 – Upon execution of this Agreement, the GRANTEE expressly declares that accepts the donation that will be made by DONOR’s during the term of this Agreement, using this statement as an acceptance under Article 539 of the Civil Code.
Clause 12 - The GRANTEE agrees that the donation is a liberality; the DONOR is not obligated to make further donations after the execution of this Equipment donation contract.
FORUM OF ELECTION
Clause 13 - is competent to resolve any doubt or dispute arising under this contract, the courts of the Capital District of the State of Sao Paulo, excluding any other, however privileged or special that is or will be.
And so if they think fair and bind, sign this instrument in two (2) copies of equal content and form, for one sole purpose, in the presence of witnesses.
