Source text - English 7. Survival. Notwithstanding the termination of the Translator’s engagement, Sections 3 and 5 shall survive such termination. This Agreement does not in any way restrict the Translator’s right or the right of SN to terminate his/her engagement at any time, for any reason or for no reason, subject to and in accordance with the laws of the State of California and the laws of the United States applicable therewith.
8. Specific Performance. A breach of any of any promises or agreements contained herewith will result on irreparable and continuing damage to SN for which there will be no adequate remedy at law, and SN shall be entitled to injunctive relief and/or a decree for specific performance and such other relief as may be proper.
9. Waiver. The waiver by SN of a breach of any provision of this Agreement by the Translator will not operate or be constructed as a waiver of any other or subsequent breach by him/her.
10. Severability. If any part of this Agreement is found invalid or unenforceable, that part will be amended to achieve as nearly as possible the same economic effect as the original provisions and the remainder of this Agreement will remain in full force.
11. Governing Law. This Agreement shall be governed by, constructed and enforced in accordance with the laws of the State of California and the laws of the United States applicable therein.
12. Arbitration. The parties agree that any disputes arising hereunder will be submitted to arbitration by one arbitrator in the City of Los Angeles, California, USA according to the rules and regulations of American Arbitration Association and that the discrimination of the arbitrator shall be final and binding upon the parties. The arbitrator’s judgment, including any award for damages, may be homologated, ratified or enforced by any court. The language of the arbitration proceedings shall be English. The parties agree that the arbitration as set forth herein shall be the sole means of resolving any disputes, claims and controversies between tem arising out of this Agreement, to the exclusion of any courts except for any provisional remedy including injunctive relief and seizure before judgment which may be obtained from any court or tribunal.
13. Limit of Damages. The Translator acknowledges that for any claim Translator may have arising out of or relating to this Agreement, monetary damages would be a sufficient remedy. Translator waives any right to seek or obtain rescission or termination of this Agreement, or any injunctive or other equitable relief in connection herewith.
14. Entire Agreement. This Agreement constitutes the entire agreement between the parties relating to the subject matter contained herein and supersedes all prior or simultaneous representations, discussions, negotiations, and agreements, whether written or oral. This Agreement may be amended or modified only with the written consent of both the Translator and SN. No oral waiver, amendment or modification will be effective under any circumstances whatsoever.
15. Assignment. This Agreement may be assigned by SN. The Translator may not assign or delegate his/her duties under this Agreement without SN’s prior written approval, which approval may be withheld for any reason. This Agreement shall be binding upon the Translator’s heirs, successors, and permitted assignees.

Este Contrato não restringe, de forma alguma, o direito do Tradutor, ou o direito da SN, de extinguir sua contratação a qualquer momento, por qualquer motivo ou por quaisquer motivos, sujeito às e em conformidade com as leis do estado da Califórnia e dos Estados Unidos ali cabíveis.
8. Execução Específica. A violação de quaisquer compromissos ou acordos no presente instrumento contidos resultará em danos irreparáveis e contínuos à SN, para os quais não haverá recurso jurídico adequado, e a SN terá direito a medida cautelar e/ou sentença de execução específica ou outro recurso conforme for apropriado.
9. Renúncia. A renúncia pela SN à violação de qualquer disposição deste Contrato pelo Tradutor não operará ou será interpretada como uma renúncia a qualquer outra violação ou violação subsequente por parte deste.
10. Independência das Cláusulas. Se qualquer parte deste Contrato for considerada inválida ou inexequível, tal parte será alterada de modo a atingir, da forma mais aproximada possível, o mesmo efeito econômico da disposição original, e o restante deste Contrato permanecerá em pleno vigor e efeito.
11. Lei Aplicável. Este Contrato será regido, interpretado e cumprido em conformidade com as leis do estado da Califórnia e com as leis dos Estados Unidos ali cabíveis.
12. Arbitragem. As partes concordam que quaisquer disputas provenientes do presente serão submetidas a arbitragem por um árbitro na cidade de Los Angeles, Califórnia, EUA., de acordo com as normas e regulamentos da Associação Americana de Arbitragem (American Arbitration Association), e que a determinação do árbitro será final e vinculante sobre as partes. A sentença arbitral, inclusive qualquer sentença de indenização, poderá ser homologada, ratificada ou cumprida por qualquer tribunal. O idioma dos processos de arbitragem será o inglês. As partes concordam que a arbitragem, conforme previsto no presente, será o único meio de solucionar quaisquer disputas, pedidos e controvérsias entre elas provenientes deste Contrato, excluindo de quaisquer varas e com exceção de qualquer medida cautelar, inclusive liminar e apreensão antes da sentença, que puderem ser obtidas junto a qualquer juiz ou tribunal.
14. Acordo Integral. O presente Contrato constitui o acordo integral entre as partes com respeito ao objeto aqui contido, e substitui todas as declarações, discussões, negociações e contratos prévios, sejam eles orais ou escritos. Este Contrato poderá ser alterado ou modificado somente com o consentimento por escrito do Tradutor e da SN. Nenhuma renúncia oral, alteração ou modificação vigorará sob qualquer circunstância.
15. Cessão. Este Contrato poderá ser cedido pela SN. O Tradutor não poderá ceder ou delegar seus deveres sob este Contrato sem a prévia aprovação por escrito da SN, a qual poderá ser negada por qualquer motivo. O presente Contrato será vinculante sobre os herdeiros, sucessores e cessionários autorizados do Tradutor.
