XXXXXX XXXXX XXXXXXX, which is established in Suite XXX, Metropolitan Towers A, XXX Shishan Road, Suzhou 215011, China, hereinafter referred to as SUPPLIER.
XXXXXX XXXXXXX LTDA., which is established in Av. Xxxxxxxx, xxx; Maracana, Rio de Janeiro, Brazil CEP: 20511001, CNPJ: XXXXXXXXXXXXXXXXXXX hereinafter referred to as AGENT.
PRODUCT: XXXXXXXXX ., just manufactured by M/S XXXXXXXXXX XXX Co., Ltd., hereinafter referred to as XXXXXXXXXXX.
It has been agreed as follows:
Article 1 :
XXXXX appoints Xxxxxx Xxxxxxx as the Agent, and Xxxxxx Xxxxxxx accepts the appointment as the Agent during the term of this Agreement with the right to register, sell or otherwise distribute the PRODUCT from Xxxxxxxxxxxx, subject to all terms and conditions of this agreement.
XXXXX hereby confers upon Xxxxxx Xxxxxxx the registering and selling rights for the following territories: Brazil.
Article 2:
The purchase of any of the PRODUCT manufactured by Xxxxxxxxxxxx by Xxxxxx Xxxxxxx from a Chinese company other than XXXXX shall be considered breach of contract. In such cases, the party having incurred in breach will pay to the other party a fine equivalent to the amount of the purchase or the sale completed breaching the contract. Xxxxxx Xxxxxxx reserves the rights to purchase this PRODUCT form other manufactures and Chinese Companies. PRODUCT manufactured by Xxxxxxxxxxxx which in terms of this agreement must be purchased only from XXXXX.
Article 3:
Xxxxxx Xxxxxxx shall be responsible for the registration of the PRODUCT to be agreed by both parties, Xxxxxx Xxxxxxx and XXXXX, from the Official Register of the Ministry of Agriculture or competent institution. In order to do so, Xxxxxx Xxxxxxx shall carry out all the necessary trials and tests.
XXXXX should provide Xxxxxx Xxxxxxx with the 5 batch reports of the PRODUCT and all the help needed to carry out all the necessary trials and tests to proceed to the official registrations of the PRODUCT.
Article 4:
This agreement shall be effective as of the day of being signed by both parties and shall remain in effect through 8 (eight) years from the PRODUCT is registered in the Ministry of Agriculture or competent and convenient institution. And thereafter shall be renewed for four years more, unless terminated by either party upon written notice provided no less than 3 months prior to the end of the initial term. Any written notice shall be sufficiently given to the beginning named address set forth in this agreement.
Article 5:
Xxxxx shall sell the PRODUCT to Xxxxxx Xxxxxxx at prices that are competitive with current market prices of the PRODUCT as sold by other traders and/or factories in China, in order to promote the PRODUCT into Brazil through the agent.
Article 6:
This agreement shall be governed and construed in all respects in accordance with the laws of UK.
Any dispute, controversy or claim between or among the parties arising in relation to the interpretation or execution of this contract, shall be settled, in so far as is possible, by mutual consultation and consent. If no resolution is achieved then the dispute shall be submitted to the Courts of UK.

XXXXXX XXXXXXX LTDA., estabelecida a Avenida Xxxxxxxx, xxx, Maracanã, Rio de Janeiro, Brasil, CEP: 20511-001 CNPJ: XXXXXXXXXXXXXXXXXXX denominado a seguir como AGENTE.
PRODUTO: XXXXXXXXX., apenas fabricado por M/S XXXXXXXXXX XXX Co., Ltd., denominado a seguir como XXXXXXXXXXX.
Ficou acordado e justo entre as partes como segue:
Artigo 1º:
XXXXX denomina Xxxxxx Xxxxxxx como o Agente, e Xxxxxx Xxxxxxx aceitam a denominação como Agente durante a vigência desse acordo, com o direito de registrar, vender ou senão distribuir o PRODUTO de Xxxxxxxxxxxx, sob os termos e condições desse acordo.
XXXXX através deste confere a Xxxxxx Xxxxxxx os direitos de registrar e vender nos seguintes territórios: Brasil.
Artigo 2º:
A compra de qualquer quantia do PRODUTO produzido por Xxxxxxxxxxxx pela Xxxxxx Xxxxxxx e proveniente de uma empresa Chinesa outra que XXXXX, deverá ser considerada quebra de contrato. Em tais casos, a parte incidente na quebra pagará à outra parte multa no valor referente ao total da compra ou venda que ocasionou a quebra do contrato. Xxxxxx Xxxxxxx reserva os direitos de comprar esse PRODUTO de outras fabricantes e companhias Chinesas. PRODUTO fabricado por Xxxxxxxxxxxx sob vigência desse acordo deverá ser comprado somente da XXXXX.
Artigo 3º:
Xxxxxx Xxxxxxx deve ser responsável pelo registro do PRODUTO, a ser acordado entre as partes, Xxxxxx Xxxxxxx e XXXXX, junto ao Registro Oficial do Ministério da Agricultura ou instituição competente. Para essa finalidade, Xxxxxx Xxxxxxx deverá realizar os devidos procedimentos e testes necessários.
XXXXX deve prover à Xxxxxx Xxxxxxx com os 5 lotes de relatórios do PRODUTO e toda a ajuda que for preciso para a realização das provas e testes para prosseguir para o registro oficial do PRODUTO.
Artigo 4º:
O presente acordo passa a vigorar a partir do dia da assinatura por ambas as partes do mesmo e deverá permanecer efetivo durante 8 (oito) anos a partir do registro do PRODUTO no Ministério da Agricultura ou instituição competente e conveniente. E consequentemente deverá ser renovada por mais quatro anos, exceto se terminado por uma das partes em comunicado por escrito provido não menos que 3 meses antes do término da vigência inicial. Qualquer comunicado por escrito deverá ser suficientemente entregue ao endereço mencionado inicialmente estabelecido nesse acordo.
Artigo 5º:
Xxxxx deverá vender o PRODUTO à Xxxxxx Xxxxxxx por preços compatíveis aos preços praticados no mercado atual para o PRODUTO, de acordo com o preço vendido por outros comerciantes e/ou fabricantes na China, com intuito de promover o PRODUTO no Brasil através do agente.
Artigo 6º:
Esse acordo deverá ser regido e interpretado em toda forma de acordo com as leis do Reino Unido.
Qualquer disputa, controvérsia ou alegação entre as partes que surja devida a interpretação ou execução desse presente contrato, deverá ser dirimido, na medida do possível, por consulta as partes e consenso mútuo. Se nenhuma solução for encontrada a disputa deverá ser submetida à Justiça do Reino Unido.
