- nachfolgend “Lieferant” genannt – beliefert eines oder mehrere Unternehmen der XXXX-Gruppe.

Die XXXX-Gruppe hat mit der Firma Xxxxxxxx GmbH, Hirschberg an der Bergstraße, Deutschland, einen System-Logistik-Vertrag Europa über den Verkauf und den Rückkauf von Mehrweg¬ladungsträgern für die Ausstattung ihres Lieferantenkreislaufs mit diesen Behältern abgeschlossen.

Der Lieferant bestätigt vor diesem Hintergrund gegenüber der Firma Xxxxxxxx, was folgt:


1. Der Lieferant wird seinen gesamten Bedarf an Mehrweg-Ladungsträgern für alle seine Lieferungen an Unternehmen der XXXX-Gruppe durch Ankäufe ausschließlich bei Xxxxxxxx decken, solange der o.g. System-Logistik-Vertrag Europa für XXXX besteht.
2. Dabei werden die Verkaufspreise sowie Liefer- und Zahlungsbedingungen zu Grunde gelegt, die dem Lieferanten separat mitgeteilt werden.
3. Xxxxxxxx und der Lieferant vereinbaren, dass jeder und alle Mehrweg-Ladungsträger so lange Eigentum von Xxxxxxxx bleiben, bis alle offenen Xxxxxxxx-Forderungen aus der Geschäftsverbindung durch den Lieferanten vollständig beglichen wurden (ein¬schließlich eventueller Mahnkosten).
Der Lieferant darf im Wege des ordentlichen Geschäftsgangs die Behälter weiterveräußern, jedoch nur an Unternehmen der XXXX-Gruppe. Für jeden so weiterveräußerten Behälter tritt an dessen Stelle die entsprechende Forderung des Lieferanten gegen XXXX; alle Forderungen aus der Weiterveräußerung werden bereits jetzt sicherungshalber an Xxxxxxxx abgetreten, unabhängig davon ob die Weiterveräußerung berechtigt war oder nicht. Solange der Lieferant seinen Zahlungsverpflichtungen nachkommt, nicht in Zahlungsverzug ist und kein Insolvenzantrag gestellt wurde, darf der Lieferant die so abgetretenen Forderungen einziehen.
4. Diese Vereinbarung und alle Ansprüche hieraus unterliegen ausschließlich dem Recht der Bundesrepublik Deutschland, mit Ausnahme des UN-Kaufrechts (CISG). Gerichtsstand ist Mannheim.

The XXXX Group has concluded a European system logistics contract with Xxxxxxxx, GmbH, Bergstrasse, Hirschberg, Germany, concerning the sale and buyback of returnable load carriers. Said containers are for furnishing their vendor circulation.

The vendor acknowledges, given this background with respect to Xxxxxxxx, the following:


1. The vendor will cover all of its needs for returnable load carriers for all of its deliveries to companies in the XXXX Group exclusively through purchases from Xxxxxxxx, as long as the above-mentioned system logistics contract for Europe exists for XXXX.
2. Thereby, sale prices as well as vendor and payment conditions will be separately disclosed to the vendor.
3. Xxxxxxxx and the vendor agree that each and every reusable load container remains the property of Xxxxxxxx for such a time until all open Xxxxxxxx claims from the business relationship are completely settled by the vendor (including eventual dunning costs).
The vendor may in the course of doing ordinary business resell the containers, however only to companies of the XXXX Group. For each thus resold container a respective claim is assigned in its place by the vendor against XXXX; all claims arising from resale are, as a precaution, already as of this time ceded to Xxxxxxxx, regardless of whether or not the resale was justifiable. As long as the vendor meets its payment obligations, is not in default, and has not filed for insolvency, the vendor may collect on the thus assigned claims.
4. This agreement and all claims arising out of it are solely subject to the laws of the Federal Republic of Germany, with the exception of the UN Convention on Contracts for the International Sale of Goods (CISG). Place of jurisdiction is Mannheim.

Die oben stehende Übersicht enthält ein XXXXX-Cluster, das aus zwei Nodes besteht. Jeder Node enthält eine vollständige XXXXX-Instanz, die alle Daten enthält und komplett funktionsbereit ist und theoretisch auch eigenständig agieren könnte.
Eine größere Systemleistung sowie erhöhte Hochverfügbarkeit kann erreicht werden, indem noch weitere Nodes hinzugefügt werden. Das System skaliert hierbei linear.
Jeder Node besteht aus der zentralen Komponente XxxxxServer sowie einem StorageServer, der alle Daten persistent auf der Festplatte speichert. Beim Starten des Systems werden die Daten aus dem StorageServer gelesen und gleichmäßig in alle MatchEngines eines Node verteilt. Dort werden sie in dem Hauptspeicher gehalten und ermöglichen so eine sehr hohe Matching-Performance. Inserts/Updates/Deletes erfolgen in einem Node parallel in dem StorageServer sowie in den MatchEngines.
Eine einzelne MatchEngine enthält jeweils nur einen Teil aller Datensätze. Eine erhöhte Matching-Performance kann erreicht werden, indem weitere MatchEngines zu einem Node hinzugefügt werden. Das System skaliert auch hierbei linear.
Die Maximal-Grenze an Datensätzen pro XxxxxServer sowie StorageServer liegt in der Praxis bei einer Milliarde Datensätzen und ist in dem heute maximal verfügbaren Hauptspeicher pro Server begründet, da ein Index aller Datensätze im Hauptspeicher gehalten werden muss.

The above overview comprises an XXXXX Cluster consisting of two Nodes. Each Node contains a complete instance of XXXXX, which includes all data, is completely functionally capable, and can theoretically operate on its own.
Greater system performance as well as increased availability can be attained with the addition of further Nodes. The system is thus linearly scaleable.
Every Node consists of the central XxxxxServer components as well as a Storage Server, where all data are continuously saved on the hard drive. At system start-up, the data on the StorageServer are read, then uniformly and simultaneously distrib-uted to all of the MatchEngines on each Node. They are kept there in main memory, thus enabling such high matching performance. Within a Node, inserts, updates and deletes take place in parallel, both at the StorageServer as well as in the MatchEngines.
Each individual MatchEngine contains only a portion of all of the datasets. Increased matching performance can be attained by adding additional MatchEngines to a Node. So, the system is linearly scaleable here as well.
In practice, the upper limit of datasets per XxxxxServer as well as per StorageServer is about one billion datasets. This is due to the present-day limit on maximum mem-ory available per server because an index of all datasets must be retained in main memory. This index is automatically managed by XXXXX, is kept updated at all times and purely serves to optimize performance.
