1.1 Definitions. Without prejudice to any other of the definitions and/or expression defined elsewhere in this Agreement, the following terms and expressions shall have, in this Agreement, the following meanings:
“Accounting Principles” means the accounting principles provided for by the Italian Civil Code as interpreted by the “Consigli Nazionali degli Ordini dei Dottori
Commercialisti e dei Ragionieri” or, in their absence, the accounting principles prepared by the International Accounting Standards Committee (l.A.S.C.);
“Agreed Rate” means an interest rate per annum equal to the interbank offered rate for three (3) month Euro deposits shown at page EURIBOR01 of the Reuters screen (or such other page as may replace that page) as being applicable on the first Business Day of each three (3) month period (or fraction thereof) in respect of which interest is payable pursuant to this Agreement, it being agreed that, for the purposes of this Agreement:
(i) interest will be computed on the basis of the number of days actually elapsed divided by 365;
(ii) if not paid on the last day of each three (3) month period (or, if such day is not a Business Day, on the Business Day immediately preceding) interest will be compounded as of such last day;
(iii) for the purposes hereof, the term “month” will mean the lapse of time beginning on a given day of a calendar month and ending on the corresponding day of the following calendar month or, if such month does not have a corresponding day, on the last day of such month;

The financial statements of Banca XXX as at 31.12.2006 closed with a gross operating margin of EUR 153.6M (EUR 93.8M as at 31.12.2005) consisting of revenues amounting to EUR 304.3M (up by 41.7% compared to EUR 214.8M as at 31.12.2005) and structure costs of EUR 150.7M (compared to 120.9M as at 31.12.2005).
In particular, of the 304.3M of total revenues, EUR 214.6M derive from Financial Market activities (trading and sales), EUR 87.4M from investment banking (Advisory, Equity and Debt Capital Markets and Structured Finance) and EUR 2.3M derive from other activities.
The profit before tax amounted to EUR 167.5M compared to EUR 102.5M as at 31.12.2005; net profit amounted to EUR 105.5M compared to EUR 167.9M for the previous financial year.
Among the non-recurring components, the allocation to provisions for risks and charges amount to EUR 3.2M, of which EUR 1.5M for contingent liabilities connected to the re-configuration of the centralisation of the administrative and information processing activities (see Par. 7.3, YYY Project). The profits from equity shareholdings amounted to EUR 20.3M and include the dividends of subsidiaries (EUR 12.2M) and the capital gains which were realised upon disposal of the equity shareholding in ZZZ BANK (EUR 8.1M). Other non-recurring negative components amounted to EUR 3.2M, of which EUR 1.8M concern non-recurring personnel related expenses.

Source text - English A. Factual Allegations
Because the Securities Class Action Complaint exceeds 400 pages, and because the reader’s familiarity with the events leading to the financial implosion of XXXXX in Italy and around the globe is presumed, we have not endeavored to summarize the complaint. However, while, we have not incorporated the myriad allegations into this memorandum, to the extent that, in the future, it would be helpful for us to summarize the allegations against particular defendants named in the TACC, we will be happy to do so.
B. Summary of Legal Causes of Action
The Class Representatives have basically asserted two types of claims – under Section 10(b) and 20(a) of the Securities Exchange Act – against the Defendants in the TACC. For a chart describing the causes of action asserted in the TACC as well as a summary of the allegations supporting each count. (Exhibit 6 is the TACC dated July 25, 2006 (Dkt. # 516))
Section 10(b) of the Securities Exchange Act (the “SEA”) states:
It shall be unlawful for any person, directly or indirectly, by the use of any means or instrumentality of interstate commerce or of the mails, or of any facility of any national securities exchange – (b) To use or employ, in connection with the purchase or sale of any security registered on a national securities exchange or any security not so registered, or any securities-based swap agreement (as defined in section 206B of the Gramm-Leach-Bliley Act), any manipulative or deceptive device or contrivance in contravention of such rules and regulations as the Commission may prescribe as necessary or appropriate in the public interest or for the protection of investors.
15 U.S.C.A. § 78j. To state a claim under Section 10(b) of the SEA, a plaintiff must allege a fraud in connection with the purchase or sale of a security. Abrahamson v. Fleschner, 568 F.2d 862, 868 (2d Cir. 1977). Plaintiffs must establish that (1) defendants made a false or misleading statement or material omission; (2) plaintiffs purchased or sold the securities in reliance on the statements or omissions; (3) plaintiffs were damaged as a result of the wrongdoing; and (4) scienter (i.e. intent) on the part of the defendant. See Ganino v. Citizens Utils. Co., 228 F. 3d 154, 161 (2d Cir. 2000).
The TACC asserts numerous claims under Rules 10b-5(a), 10b-5(b) and 10b-5(c), which are promulgated under Section 10(b) of the SEA. Rule 10b-5 makes it unlawful:
(a) To employ any device, scheme, or artifice to defraud,
(b) To make any untrue statement of a material fact or to omit to state a material fact necessary in order to make the statements made, in the light of the circumstances under which they were made, not misleading, or
(c) To engage in any act, practice, or course of business which operates or would operate as a fraud or deceit upon any person, in connection with the purchase or sale of any security.
Plaintiffs bundle sections (a) and (c) of Rule 10b-5 in their claims against many of the Defendants, and separately assert claims pursuant to section (b) of Rule 10b-5. To state a claim under the latter (i.e. Rule 10b-5(b)), “a plaintiff must plead that the defendant, in connection with the purchase or sale of securities, made a materially false statement or omitted a material fact, with scienter, and that the plaintiff’s reliance on the defendant’s action caused injury to the plaintiff.” In re XXXXX Sec. Litig., 375 F. Supp. 2d 278, 285 (S.D.N.Y. 2005) (“XXXXX I”)
(quoting Ganino, 228 F. 3d at 161), Exhibit 7. To assert a claim under Rule 10b-5(a) or (c), a plaintiff must allege that the defendant committed a manipulative or deceptive act with scienter and that the act affected the market for securities or was otherwise in connection with their purchase or sale, and that defendants’ actions caused the plaintiff’s injuries. Scienter is an intent to deceive, manipulate or defraud. See id.; In re XXXXX Sec. Litig., 376 F. Supp. 2d 472, 491-2 (S.D.N.Y. 2005) (“XXXXX II”) Exhibit 8.
The second type of claim Plaintiffs assert is based on Section 20(a) of the SEA. Section 20(a) provides that:
Every person who, directly or indirectly, controls any person liable under any provision of this chapter . . . shall also be liable jointly and severally with and to the same extent as such controlled person to any person whom such controlled person is liable, unless the controlling person acted in good faith and did not directly or indirectly induce the act or acts constituting the violation or cause of action.
Section 20(a) claims are termed “control person” claims, and to state a claim under Section 20(a) of the SEA, a plaintiff must establish two elements: (1) a primary violation by a controlled person, and (2) control over the primary violator. XXXXX I., 375 F. Supp. 2d at 310.
Because the TACC asserts allegations of fraud, it must satisfy the heightened pleading requirements of Federal Rule of Civil Procedure 9(b) and the Private Securities Litigation Reform Act of 1995. To the extent that a claim is based on alleged misrepresentations – and many of the claims asserted by the Plaintiffs in the TACC are based on violations of Rule 10b-5(b) – the complaint must “(1) specify the statements that the plaintiff contends were fraudulent, (2) identify the speaker, (3) state where and when the statements were made, (4) explain why the statements were fraudulent.” Id. at 286. Scienter must be alleged either “(a) by alleging facts that defendants had both motive and opportunity to commit fraud, or (b) by alleging facts that constitute strong circumstantial evidence of conscious misbehavior or recklessness.” Id. For claims asserting violations by virtue of a deceptive or manipulative device, Rule 9(b) requires particularity with respect to the conduct alleged as well as the basis for the requisite allegation of scienter. Id.

B. Sintesi dei fondamenti giuridici dell’Azione

L’articolo 10(b) del Securities Exchange Act (il “SEA") dichiara:
Sarà considerato atto illecito per chiunque, direttamente o indirettamente mediante l’uso di qualsiasi mezzo o strumento di commercio tra stati o dei servizi postali oppure di qualsiasi struttura delle borse valori nazionali: (b) utilizzare o impiegare, in relazione alla compravendita di valori mobiliari registrati presso una borsa valori nazionale o di titoli non registrati, oppure di contratti swap aventi come oggetto valori mobiliari (così come definiti nell'articolo 206B del Gramm-Leach-Bliley Act), qualsiasi accorgimento o espediente, avente finalità manipolative o ingannevoli, in violazione di quella normativa necessaria ed appropriata che la Commissione potrà istituire nel pubblico interesse o a tutela degli investitori.
15 U.S.C.A. § 78j. Per promuovere un’azione ai sensi dell'articolo 10(b) del SEA, il ricorrente deve denunciare un atto fraudolento compiuto in relazione alla compravendita di valori mobiliari. Abrahamson v. Fleschner, 568 F.2d 862, 868 (2d Cir. 1977). I Ricorrenti devono dimostrare che (1) i convenuti hanno reso una dichiarazione falsa o ingannevole o compiuto una materiale omissione; (2) i ricorrenti medesimi hanno acquistato o venduto i titoli facendo affidamento sulle dichiarazioni rese o gli atti omissivi compiuti; (3) i ricorrenti medesimi hanno subìto un danno in conseguenza dell’atto illecito; e (4) v’è stata consapevolezza (ovvero intenzionalità) da parte del convenuto. Si veda Ganino v. Citizens Utils. Co., 228 F. 3d 154, 161 (2d Cir. 2000).
La TACC esercita numerose richieste di risarcimento ai sensi delle norme 10b-5(a), 10b-5(b) e 10b-5(c), promulgate in forza dell’art. 10(b) del SEA. La norma 10b-5 ritiene illecito:
(a) impiegare qualsiasi accorgimento, schema, o artificio volto alla frode,
(b) esprimere qualsiasi dichiarazione non veritiera di un fatto materiale oppure omettere di dichiarare un fatto materiale, necessario per rendere non ingannevoli le dichiarazioni prestate, alla luce delle circostanze nel cui ambito tali dichiarazioni furono rese, oppure
(c) intraprendere qualsiasi azione, prassi o svolgimento degli affari che operi o opererebbe in modo fraudolento o ingannevole contro chiunque, in relazione alla compravendita di valori mobiliari.
I Ricorrenti accorpano i commi (a) e (c) della norma 10b-5 nelle loro richieste contro molti Convenuti, e avanzano separatamente le richieste di risarcimento in conformità al comma (b) della norma 10b-5. Per promuovere un’azione ai sensi di quest’ultima [ovvero, della norma 10b-5(b)], “un ricorrente deve provare che il convenuto, in relazione alla compravendita dei valori mobiliari, aveva reso una dichiarazione sostanzialmente falsa o aveva omesso un fatto materiale, con intenzionalità, e che la fiducia riposta dal ricorrente nei confronti delle azioni del convenuto aveva recato danno al ricorrente medesimo.” In re XXXXX Sec. Per avanzare una richiesta di risarcimento ai sensi della norma 10b-5 (a) o (c), un ricorrente deve dichiarare che il convenuto aveva compiuto un atto con finalità manipolativa o fraudolenta con intenzionalità e che l’atto aveva influito sul mercato dei valori mobiliari o diversamente era in relazione alla compravendita dei valori medesimi, e che le azioni dei convenuti avevano recato nocumento al ricorrente. L’intenzionalità rappresenta l’intento di ingannare, manipolare o defraudare. Si veda id.; In re XXXXX Sec. Litig., 376 F. Supp. 2d 472, 491-2 (S.D.N.Y. 2005) (“XXXXX II”) Reperto 8.
Il secondo tipo di richiesta che i Ricorrenti esercitano è basato sull’articolo 20(a) del SEA.
L’articolo 20(a) prevede che:
Chiunque controlli, direttamente o indirettamente, qualsiasi soggetto obbligato da qualsivoglia disposizione del presente capitolo . . . sarà a sua volta obbligato in solido, assieme ed in via paritetica a siffatto soggetto controllato, per gli obblighi da quest’ultimo assunti nei confronti di un terzo, salvo che il soggetto controllante abbia agito in buona fede e non abbia provocato, né direttamente né indirettamente, l’atto o gli atti rappresentativi della violazione o del diritto di agire in giudizio.
I diritti di cui all'articolo 20(a) sono definiti diritti dell’ “azionista di controllo” e per promuovere un’azione ai sensi dell’articolo 20(a) del SEA, un ricorrente deve provare due elementi: (1) una violazione fondamentale da parte di una persona controllata, e (2) il controllo sul soggetto che ha commesso la violazione fondamentale. XXXXX I., 375 F. Supp. 2d at 310.
Poiché la TACC sostiene accuse di atti fraudolenti, essa deve soddisfare i maggiori requisiti della dichiarazione processuale previsti dalla Norma Federale 9 (b) del Codice di Procedura Civile e dal Private Securities Litigation Reform Act del 1995. Nel caso che una richiesta sia basata su presunte dichiarazioni false - e molte delle richieste esercitate dai Ricorrenti sono basate sulla violazione della norma 10b-5(b)- la domanda introduttiva dovrà “(1) specificare le dichiarazioni che il ricorrente sostiene essere state rese in modo fraudolento, (2) identificare l’interlocutore, (3) indicare dove e quando le dichiarazioni sono state rese, (4) spiegare il motivo per cui le dichiarazioni erano fraudolente.” Id. a 286. L’intenzionalità deve essere dichiarata “(a) denunciando il fatto che i convenuti avevano sia il movente che l’opportunità per commettere la frode, oppure (b) denunciando i fatti che costituiscono una solida prova indiziaria del comportamento scorretto o avventato consapevolmente tenuto.” Id. Per le richieste nelle quali vengono asserite violazioni in virtù di un accorgimento con finalità ingannevoli o manipolative, la norma 9(b) richiede meticolosità in relazione alla condotta presunta nonché il fondamento della indispensabile dichiarazione di intenzionalità. Source text - English Art. 2. Registered Office. The Company will have its registered office in the City of Luxembourg.
The registered office may be transferred to any other place within the City of Luxembourg by a resolution of the Board of Directors.
Branches or other offices may be established either in the Grand Duchy of Luxembourg or abroad by resolution of the Board of Directors.
In the event that in the view of the Board of Directors extraordinary political, economic or social developments occur or are imminent that would interfere with the normal activities of the Company at its registered office or with the ease of communications with such office or between such office and persons abroad, it may temporarily transfer the registered office abroad, until the complete
cessation of these abnormal circumstances. Such temporary measures will have no effect on the nationality of the Company, which, notwithstanding the temporary transfer of the registered office, will remain a company governed by the laws of the Grand Duchy of Luxembourg. Such temporary measures will be taken and notified to any interested parties by one of the bodies or persons entrusted with the daily management of the Company.
Art. 3. Object. The object of the Company is to: (i) borrow money or issue bonds or other debts securities of any description (with or without collateral) and to on-lend the proceeds of such borrowings or issuances to one designated company, or any other company belonging to the same group, and any of its successors or assigns and to grant a security interest in such proceeds loan and (ii) to do all such other things as may be considered incidental or conducive to any of the above-mentioned actions.

Filiali o altri uffici potranno essere costituiti nel Granducato del Lussemburgo oppure all’estero per mezzo di delibera del Consiglio di Amministrazione.
Qualora, a giudizio del Consiglio di Amministrazione, si verifichino oppure siano imminenti eventi straordinari di natura politica, economica o sociale che possano interferire con le normali attività della Società presso la sua sede legale, con la facilità delle comunicazioni con tale sede oppure tra tale sede e persone all’estero, la sede legale potrà essere trasferita temporaneamente all’estero, sino alla completa cessazione di tali circostanze anomale. Tali misure temporanee non avranno effetto alcuno sulla nazionalità della Società che, nonostante il temporaneo trasferimento della propria sede legale, resterà una società regolamentata dalle leggi del Granducato del Lussemburgo. Tali misure temporanee saranno assunte e notificate a tutte le parti interessate da uno degli organi o individui ai quali è affidata la gestione ordinaria della Società.
Art. 3. Oggetto sociale. La Società ha come oggetto sociale: (i) l’ assunzione di prestiti o l'emissione di obbligazioni o titoli di credito di altro genere (con o senza garanzie) e la concessione in finanziamento delle somme ricavate da tali prestiti o obbligazioni ad una società designata, o alle altre società appartenenti al medesimo gruppo, ed alle loro subentranti o aventi causa, e la concessione di garanzie su tali prestiti e (ii) l’ esecuzione di tutto quanto sarà ritenuto inerente o utile alle iniziative sopra citate.
Art. 4. Durata. La Società viene costituita per una durata illimitata.

To pay out of the funds of the Company all expenses which the Company may lawfully pay incidental to the formation, registration and advertising of or raising money for the Company and the issue of its capital or any Class thereof, including brokerage and commissions for obtaining applications for or taking, placing or procuring the underwriting of shares, stocks, debentures, bonds or other securities of the Company and any other expenses which the Directors shall consider to be in the nature of preliminary expenses and to amortise such expenses over such period or periods as the Directors may determine.
3.23. To pay for any property or rights acquired by the Company either in cash or by the issue of fully paid shares of the Company.
3.24. To exercise all or any of the powers aforesaid in any part of the world, and as principals, agents, contractors, trustees or otherwise, and by or through trustees, agents, attorneys or otherwise, and either alone or in conjunction with others.
3.25. To do all such other things as the Company may deem incidental or conducive to the attainment of any of the objects of the Company.
