I. INTRODUCTION. SCOPE OF WORK
As requested, the purpose of this memorandum is to provide you with:
(i) a succinct comparison of the relevant European and Romanian legal frameworks governing the protection of employees in case of a transfer of undertaking (the “TUPE Legal Framework”) in terms of scope ratione materiae and applicable protection rules;
(ii) an analysis of the legal consequences of any differences between the scope of the European and Romanian TUPE Legal Frameworks;
(iii) an analysis of the compensatory payments under the social plan between XXX (“XXX”) and Federatia Sindicatelor Libere si Independente XXX dated 21 April 2005, as subsequently amended on 9 January 2006 and 13 September 2006, respectively (“XXX Social Plan”), and included in XXX’s Collective bargaining agreement, in case of outsourcing of an activity by Petrom; and
(iv) an analysis of the TUPE Framework and the compensatory payments that may be relevant with respect to the specific outsourcing byXXX of certain fire fighting services on the basis of the fire fighting services agreement contemplated in relation to a third party (the “Contemplated Outsourcing”).

Dupa cum a fost solicitat, scopul acestui memorandum este de a furniza:
(i) o comparaţie succintă între cadrele legale relevante european şi român ce guvernează protecţia angajaţilor în cazul transferului unei întreprinderi (“Cadrul Legal TUPE”), în ceea ce priveşte domeniul de aplicare ratione materiae şi regulile de protecţie aplicabile.
(ii) o analiză a consecinţelor legale ale diferenţelor dintre domeniile de aplicare ale Cadrelor Legale TUPE european şi român.
(iii) o analiză a plăţilor compensatorii conform planului social convenit între SC XXX (“XXX”) şi Federaţia Sindicatelor Libere şi Independente XXX, din 21 aprilie 2005, modificat ulterior la 9 ianuarie 2006, respectiv 13 septembrie 2006 (“Planul Social XXX”) inclus în Contractul Colectiv de Muncă, în cazul externalizării unei activităţi de către XXX; şi
(iv) O analiză a Cadrului Legal TUPE şi a plăţilor compensatorii, ce ar putea fi relevantă în privinţa externalizării punctuale de către XXX a anumitor servicii de protecţie împotriva incendiilor, în baza contractului de servicii de protecţie împotriva incendiilor planificat a fi încheiat cu o terţă parte (“Externalizarea Planificată”).

Printre putinele companii romanesti care au inclus in planul de afaceri investitia in propriile capacitati de cercetare, dezvoltare si productie se numara si Köber. Intr-o vizita la Piatra Neamt, am purtat o discutie cu Aurel Köber, cel care a pus baza acestei companii si o conduce in continuare cu succes, despre inerentele obstacole cu care se confrunta pe piata interna si despre cum se poarta o lupta de supravietuire intr-un mediu concurential aspru, alimentat atat de companiile internationale cat si nationale.
Care sunt proiectele cele mai importante in care Köber s-a implicat in ultimul an?
As mentiona numai trei proiecte, si anume investitia in noua capacitate de productie de la
Savinesti, modernizarea capacitat ilor de productie existente in Turturesti si lansarea noii vopsele lavabile premium cu mare putere de acoperire ZERTIFIKAT. Noua unitate de productie amplasata pe platforma industriala Savinesti are o capacitate de productie de
120.000 de tone/an si cuprinde mai multe sectii specializate. Toate instalatiile vor avea un
grad de automatizare de peste 80%, iar procesele vor fi conduse din camere de comanda specializate. Toate tehnologiile sunt proprietatea si rezultatul muncii colectivului firmei Köber.
Translation - English 1. Köber responds to market demand by investing in a new factory
Köber is among the very few companies that included their own research, development and production capacities in the business plan. During a visit in Piatra Neamt, we discussed with Aurel Köber, the one who laid the foundation of this company and still successfully manages it, about the inherent obstacles he finds on the internal market and how a survival fight should be carried out in a rough competition environment, with competitors coming from both the international and the national markets.
What are the most important projects in which Köber was involved in the last year?
I would mention only three projects, namely the investment in the new production capacity in Savinesti, the modernization of existing production capacities inTurturesti and the launching of the new premium strong washable paint, with large coverage capacity ZERTIFIKAT. The new production unit located on the Savinesti industrial platform has a 120.000 tonnes/year production capacity and includes several specialized sections. All equipments will have an automation degree of over 80% and the processes will be managed from specialized steering rooms. All technologies are owned and have been developed by the Köber team.
