1.1. Estão abaixo elencadas as definições que serão utilizadas neste Contrato Geral.
• XXXX PLAY – serviço que permite aos Clientes da XXXX o acesso, através da plataforma multimídia, de “Conteúdos” multimídia, tais como, mas não se limitando a clipes de vídeos, clipes de música, sons, toques, imagens entre outros, através de um Dispositivo Móvel compatível;
• MMBOX – Plataforma de Conteúdos Multimídia da XXXX que permite gerenciar “Conteúdos” multimídia e disponibiliza-los para download ou streaming para Clientes da XXXX, cujo acesso é garantido através das interfaces Web e WAP; A referida plataforma é capaz de gerenciar “Conteúdos” dos seguintes tipos: texto, imagens, clipes de áudio, incluindo MP3 ou outros formatos, clipes de vídeos, “Conteúdos” para áudio e vídeo para entrega via download ou via streaming RTSP;
• Contrato - significa o presente Contrato Geral de Licença de Conteúdo e Outras Avenças;
• Contrato Específico - Corresponde ao documento que regulará os direitos e obrigações específicos exigidos e exercidos pelas Partes, a cada nova categoria de “Conteúdo” a ser adicionado a este Contrato Geral, contendo, dentre outras: (1) a descrição e as especificações técnicas dos “Conteúdos” a serem fornecidos, suas funcionalidades e estimativa do cronograma de implementação; (2) modelo comercial de remuneração; (3) responsabilidades das Partes. Cada novo Contrato Específico a ser adicionado ao Contrato Geral constituirá parte integrante e inseparável deste instrumento depois de firmado pelos representantes legais das Partes;
• Direitos de Propriedade Intelectual - significam todos os direitos sobre segredos de negócio, patentes, direitos autorais, marcas, know-how, bem como direitos conexos e direitos similares de qualquer tipo de acordo com as leis de qualquer autoridade governamental interna ou estrangeira;
• Dispositivo Móvel - significa um produto utilizado para estabelecer conexão sem fio entre um Cliente e uma Operadora, incluindo telefones celulares, "palm tops" com linha telefônica celular e outros compatíveis com o sistema MEE;
• MEE - significa o ambiente de execução local ("mobile execution environment") em Dispositivos Móveis, incluindo, entre outros, BREW, J2ME e SYMBIAN;
• Distribuição - colocação à disposição dos Clientes da XXXX do original ou cópia dos “Conteúdos” mediante a venda, locação ou qualquer outra forma de transferência de propriedade ou posse dos “Conteúdos” de titularidade da e/ou licenciados a EMPRESA, através de downloads e/ou streaming.
• Plataforma - significa o equipamento de hardware e software da XXXX localizado no Brasil e utilizado para o armazenamento, controle e distribuição dos “Conteúdos”;
• Conteúdos - compreendem as coletâneas de informações e/ou entretenimento, entre outros, de titularidade e/ou licenciados pela EMPRESA, para que sejam comercializados e/ou distribuídos aos usuários de qualquer uma das operadoras que compõe a XXXX, através da Plataforma MMBOX, utilizando transmissão de dados, tais como, mas não se limitando a, gravações musicais ou sonoras, obras gráficas e fotográficas, vídeos, animações, textos e outras formas de arquivos computacionais correlacionados aos mesmos, acrescentando, a um serviço de telecomunicações que lhes dá suporte e com o qual não se confundem, inovações de entretenimento e informações.
• Clientes - Pessoa física ou jurídica, usuário ou assinante de serviço móvel pessoal pós ou pré-pago da VIVO, interessada em adquirir e/ou utilizar os “Conteúdos” da XXXX e/ou da EMPRESA regulados pelo presente instrumento e demais documentos aplicáveis. Não estão incluídos na definição de Clientes, os funcionários da XXXX, sendo que estes terão acesso irrestrito a todos os “Conteúdos” aqui licenciados sem que seja devido qualquer tipo de remuneração à EMPRESA;
• Download - tecnologia que permite a distribuição de arquivos pela rede mundial de computadores (Internet), através da transferência digital de arquivos diretamente de um site na Internet para o computador do usuário final ou qualquer outro dispositivo habilitado para tal;
• Streaming - é a forma de entrega dos “Conteúdos” para o Dispositivo Móvel, onde o Cliente recebe e executa os arquivos, mas não os armazena no referido Dispositivo Móvel. Os “Conteúdos” se dividem em "Real time" que são “Conteúdos” ao vivo, por exemplo: canal de TV ou "Non real time" que são “Conteúdos” não ao vivo, como por exemplo:- vídeo clipes.
• Rede - conjunto de equipamentos e sistemas da XXXX que possibilitam, na forma regulada pela ANATEL (Agência Nacional de Telecomunicações), a realização de comunicação telefônica entre os usuários do Serviço Móvel Pessoal - SMP e os usuários de outros sistemas de telefonia, o envio e recepção de Short Messages Service - SMS (serviço de mensagens curtas de texto), o acesso à Internet pelo aparelho móvel celular através da tecnologia WAP (Wireless Application Protocol), transmissão e integração de Conteúdo além de quaisquer outros serviços de comunicação ligados ao SMP.
• WEB: Meio virtual através do qual é permitido o acesso a páginas com conteúdos e informações na Internet.
• Internet - significa a rede mundial de computadores que se comunica predominantemente através de Protocolo de Controle de Transmissão (TCP) ou Protocolo de Internet (IP), excluindo-se especificamente as transmissões sem fio que não se tratem das transmissões IEEE 802.11x.
• Janela Única - local de entrega de documentos de cobrança para a devida análise fiscal e processamento do repasse
2 DO OBJETO
2.1 O presente Contrato Geral tem por objeto definir as regras comuns e básicas para o licenciamento de uso dos “Conteúdos”, pela EMPRESA à XXXX, para sua comercialização em Dispositivos Móveis, nas condições e pelos meios especificados neste Contrato Geral e em cada Contrato Específico.
2.2 Durante a vigência deste Contrato Geral e de seus Contratos Específicos, a EMPRESA autoriza e outorga à XXXX os direitos de utilização e exploração comercial dos “Conteúdos”.
Translation - English 1 Definitions
1.1 The definitions to be used in this Contract are specified below
• XXXX PLAY - a service that allows the XXXX Customers to access through its multimedia platform the multimedia “Contents”, such as, but not limited to video clips, music, audio, rings, backgrounds and other clips, through a compatible Mobile Device;
• MMBOX - XXXX Multimedia Contents Platform that allows managing multimedia “Contents” and provides the availability for XXXX customers to download and streaming by guaranteed access through Web and WAP. This platform is able to manage the following kinds of “Contents”: texts, images, audio clips, including MP3 or other formats, video clips, audio and video “Contents” for delivery via download or via streaming RTSP;
• Contract – meaning the present Private Contract of License of Contents and Other Agreements;
• Specific Contract - concerns the document that will rule the specific rights and obligations required and performed by the Parties, at each new “Contents” category, to be added to this General Contract, including among others: (1) the description and technical specifications of the “Contents” to be provided, their functions and the estimated timeframe of implementation; (2) commercial template of income; (3) responsibilities of the Parties. Each new Specific Contract to be added to the General Contract will become constituent and inseparable part of this instrument after being signed by the duly representatives of the Parties;
• Rights of Intellectual Property - meaning that all rights reserved to business confidentiality, patents, copyrights, brands, know-how, as well as related rights and similar rights of any kind, according to the laws of any local or foreign government authority;
• Mobile Device - meaning the device used to establish a wireless connection between a customer and a provider, including cellular telephones, palm tops with cellular phone line, and others compatible with the MEE system;
• MEE – meaning the mobile execution environment in Mobile Devices, including among others, BREW, J2ME and SYMBIAN;
• Distribution - providing availability to XXXX Customers of the original or copy of the “Contents” upon sale, lease or any other form of changing property or ownership of the “Contents”, titled or licensed to the COMPANY through download and/or streaming;
• Platform – meaning XXXX’s hardware and software located in Brazil and used for storing, controlling and distributing the “Contents”;
• Contents - meaning the collection of database and/or entertainment , among others, titled or and/or licensed by the COMPANY for commercialization and/or distribution to the users of any one of the XXXX providers through the MMBOX Platform, utilizing the transmission of data, such as, but not limited to, music and sounds recording, graphic and photographic work, videos, animation, texts, and other forms of computing files correlated among themselves, adding innovation in entertainment and news to a telecommunication service that provides support, but to which they do not mix up;
• Customers - Individual or company, user or subscriber of the XXXX’s mobile service, credited or pre-paid, interested in acquiring and/or utilizing XXXX and/or of the COMPANY ‘s “Contents” regulated in this present instrument and other applicable documents. The definition of Customers does not exclude XXXX’s employees, whom will have unrestricted access to all “Contents” here licensed, without due profit to the COMPANY;
• Download – technology that allows the distribution of files on the Internet through digital transference of files directly from an Internet site to the computer of the final user or any other device capable as such;
• Streaming - is the way of delivering the “Contents” to the Mobile Device, where the Customer receives and executes the files, but does not save in the Mobile Device. The “Contents” are divided in "Real time" that are live “Contents”, for instance: a TV channel, or “Non real time" that are archived “Contents”, for instance: video clips;
• Network - XXXX’s suite of equipments and systems regulated by ANATEL (Agência Nacional de Telecomunicações) National Agency of Telecommunications that enables telephone communication among the users of the Personal Mobile Service- PMS, and other users of other telephone systems, the delivery of Short Messages Service – SMS, access to the Internet through the cellular mobile device through WAP (Wireless Application Protocol) technology, transmission and integration of Contents, besides any other communication services related to PMS.
• WEB – virtual means of accessing contents and information on the Internet;
• Internet – means the World Wide Web computers communicating predominantly by Transmission Control Protocol (TCP) or Internet Protocol (IP), specifically excluding wireless transmissions that are not IEEE 802.11x.
• Sole Window - place of delivery of billing documents for due fiscal analysis and repassing process;
2 OBJECT
2.1 This General Contract is the object of basic common rules for the COMPANY to license XXXX the use of its “Contents” for commercialization in Mobile Devices, by conditions and means specified in this General Contract and in each Specific Contract.
2.2 During the validity of this General Contract and its Specific Contracts, the COMPANY authorizes and delegates XXXX the commercial rights to use and explore its “Contents”.
