SEGUNDA. Objeto.

2.1. Sujeto a la firma por las Partes de un Anexo, la Arrendadora da en arrendamiento a la Arrendataria y la Arrendataria toma en arrendamiento de la Arrendadora los Carros que se describen en cada Anexo.

2.2. Cada Anexo contendrá los términos específicos y, en su caso, adicionales que las Partes acuerden respecto del arrendamiento que se instrumente a través de dicho Anexo, el cual constituirá un convenio por separado y diferente a cualquier otro Anexo. En caso de que exista un conflicto entre lo previsto en el presente Contrato y cualquiera de sus Anexos, prevalecerá lo previsto en el Anexo en cuestión.


TERCERA. Vigencia; Terminación.

3.1. El presente Contrato entrará en vigor en la fecha de su firma y continuará en vigor mientras el Plazo Básico de cualquier Anexo permanezca en vigor.

3.2. El Plazo Básico del arrendamiento instrumentado en cada Anexo será el que se establezca en el Anexo en cuestión y comenzará en la Fecha de Inicio correspondiente.

3.3. En caso de falta de pago de dos o más mensualidades de Renta, dicho incumplimiento dará derecho a la Arrendadora para rescindir el presente Contrato y dar por terminado el Plazo Básico de cualesquiera Anexos que estén en vigor, sin necesidad de declaración judicial o de requerir su cumplimiento forzoso por la Arrendataria.

3.4. En caso de que el presente Contrato o cualquiera de sus Anexos se dé por terminado antes de la terminación del Plazo Básico establecido en el Anexo de que se trate o la Arrendataria devuelva a la Arrendadora los Carros antes de la terminación del Plazo Básico establecido en el Anexo en cuestión, en virtud de que la Renta constituye un solo y único precio por el arrendamiento de los Carros, la Arrendataria deberá pagar a la Arrendadora la Renta íntegramente por los meses que resten para que concluya el Plazo Básico, de conformidad con lo establecido por el Artículo 2463 del Código Civil Federal y sus correlativos de los Códigos Civiles de las entidades federativas de México, incluyendo el Distrito Federal.

4.1. Si la fecha en que la Arrendataria debe realizar cualquier Pago a la Arrendadora es un día inhábil, dicho pago se hará el día hábil inmediato anterior. Para efectos de lo anterior, se entenderá como “día inhábil” cualquier día en que los bancos no estén abiertos al público para la realización de sus operaciones bancarias normales en el Distrito Federal.

4.2. La Arrendataria conviene que cualquier obligación de pago frente a la Arrendadora conforme al párrafo 4.1. anterior y a cualquiera de los Anexos (incluyendo enunciativa y no limitativamente las Rentas y los Pagos) (i) será pagadera en la forma mencionada en la presente Cláusula Cuarta; y, (ii) será absoluta e incondicional y no estará sujeta a Reducción alguna, incluyendo enunciativa y no limitativamente, Reducciones por causa de cualquier demanda o Reclamación pasada, presente o futura, relacionada o no con este Contrato o con cualesquiera de sus Anexos, entablada o presentada por la Arrendataria contra la Arrendadora, contra el fabricante, proveedor o constructor de los Carros o contra cualquier otra persona física o persona moral, por lo que la Arrendataria renuncia expresamente en este acto a cualquier derecho que le pudiera corresponder en los términos del Artículo 2445 del Código Civil Federal y sus artículos correlativos en los Códigos Civiles de las entidades federativas de México, incluyendo el Distrito Federal. Para efectos de lo previsto en el Artículo 2464 del Código Civil Federal y sus artículos correlativos en los Códigos Civiles de las entidades federativas de México, incluyendo el Distrito Federal, queda expresamente convenido entre las Partes que el arrendamiento instrumentado conforme a cada Anexo es por tiempo fijo y que el término “Pago”, se ha definido única y exclusivamente para determinar los periodos establecidos como plazos para el pago de la Renta, por lo que la Arrendataria está obligado a pagar la totalidad de la Renta durante el Plazo Básico.


QUINTA. Entrega; Aceptación de los Carros.

5.1. Los Carros descritos en cada uno de los Anexos se considerarán entregados a la Arrendataria cuando un Ferrocarril haya aceptado por escrito instrucciones para movilizarlos al Punto de Destino señalado para tales efectos en los Anexos.

5.2. Será responsabilidad de la Arrendataria inspeccionar cada uno de los Carros al llegar al Punto de Destino para confirmar que dichos Carros (i) cumplan con las especificaciones establecidas en los Anexos; (ii) se encuentren en condiciones operativas, con todas las partes, accesorios y equipos necesarios para su operación; (iii) se encuentren Libres de Residuos; (iv) se encuentren limpios y libres de graffiti; (v) se encuentren aptos para ser utilizados de inmediato para la finalidad establecida en los Anexos; (vi) se encuentren libres de daños generados por corrosión; y, (vii) cumplan con las Reglas de la AAR, las NOM’s y la legislación vigente aplicable.

SECOND. Purpose.

2.1. Subject to the execution of a Rider by the Parties, the Lessor leases the Lessee and the Lessee takes on lease from the Lessor the Cars described in each Rider.

2.2. Each Rider will contain the specific terms and, in such a case, additional terms that the Parties agree upon with respect to the lease that is documented through such Rider, which will constitute a separate agreement and different from any other Rider. In case there is a conflict between what is set forth in the Agreement herein and any of its Riders, what is provided for in the Rider in question will prevail.

THIRD. Effectiveness; Termination

3.1. The Agreement herein will come into effect on the date of execution and will continue effective as long as the Basic Term of a Rider remains effective.

3.2. The Basic Term of the lease documented in each Rider will be the one set forth in the Rider in question and will start as of the corresponding Start Date.

3.3. In case two or more monthly payments of Rent are not made, such default will entitle the Lessor to rescind the Agreement herein and consider as terminated the Basic Term of any current Riders, without the need for a judicial declaration or requiring mandatory compliance from the Lessee.

3.4. In case the Agreement herein or any of its Riders is terminated before the termination of the Basic Term set forth in the Rider in question or the Lessee returns to the Lessor the Cars before the termination of the Basic Term set forth in the Rider in question, as the Rent constitutes the only and single price for the lease of the Cars, the Lessee should pay the Lessor the full rent for the months remaining until the Basic Term ends, in accordance with what is set forth in Article 2463 of the Federal Civil Code and equivalent articles in the Civil Codes of the federal entities of Mexico, including the Federal District.

4.3. If the date on which the Lessee should make any Payment to the Lessor is a non-business day, such payment will be made on the immediately previous business day. For the purpose of the above, “non-business day” will be understood as any day in which the banks are not open to the public to carry out the normal bank operations in the Federal District.

4.4. The Lessee agrees hereby that any obligation of payment to the Lessor in accordance with paragraph 4.1. above and any of the Riders (including by way of enunciation and not as limitation the Rents and Payments) (i) will be payable in the form indicated in the Fourth Clause; and, (ii) will be absolute and unconditional and will not be subject to any Abatement, including by way of enunciation and not as limitation, Abatements due to any past, present or future demand or Claim related or not to the Agreement herein or to any of its Riders, filed or submitted by the Lessee against the Lessor, against the manufacturer, supplier or builder of the Cars or against another individual or corporation; therefore the Lessee waives expressly herein any right it may be entitled to under the terms of Article 2445 of the Federal Civil Code and its equivalent articles in the Civil Codes of the federal entities of Mexico, including the Federal District. For the purposes of what is set forth in Article 2464 of the Federal Civil Code and its equivalent articles in the Civil Codes of the Federal entities of Mexico, including the Federal District, it is expressly agreed hereby between the Parties that the lease implemented in accordance with each Rider is for a fixed term and that the term “Payment”, has been defined only and exclusively to determine the periods established as terms for the payment of the Rent; therefore, the Lessee is under the obligation to pay the full Rent during the Basic Term.

FIFTH. Delivery; Acceptance of the Cars

5.1. The Cars described in each one of the Riders will be deemed delivered to the Lessee when a Railroad accepts in writing instructions to move them to the Point of Destination indicated for such purpose in the Riders.

5.2. The Lessee will be responsible for inspecting each one of the Cars when they arrive to the Point of Destination to confirm that such cars (i) meet the specifications set forth in the Riders; (ii) are in operating condition, with all the parts, accessories and equipment required for their operation; (iii) they are Clean from Residues; (iv) they are clean and without any graffiti; (v) they are apt to be used immediately for the purpose set forth in the Riders; (vi) they have no damages generated by corrosion; and, (vii) they meet AAR Rules, NOM’s and current applicable legislation.
