This Contract (hereinafter called the "Contract") is made on [dd/mm/yyyy] between The Public Telecommunication Corporation, (PTC) (hereinafter called the "First Party") represented by Dr. Ali Naji Nossary, the Director General, and on the other hand the Supplier [Name of company] represented by [Name of representative], [his position] (hereinafter called the "Second Party").
WGEREAS
The Supplier will Supply, Instillation and Commissioning …………………………………. including Training specified by the First Party and accepted by the Second Party.
Contract cost is [numbers] [words] inclusive of local taxes, (including the Sales Taxes) and any other fees and expenses, C.I.P delivery to Sana'a International Airport, manufactured by of origin.
Payment as the follow terms:-
20% of the contract price shall be paid to Second Party as an advance payment against a down payment bank guarantee, which shall be released after delivery, inspection, and receipt of equipment and materials in First Party's Stores.
80% of the contract price shall be paid to Second Party after delivery, inspection, and receipt of the materials and equipment in First Party's stores, complete, sound, and consistent with First Party's specifications.
Completion period is (three months) commencing from the date of opening the letter of credit / signing the contract.
The following Documents are integrated part of this Contract:
Notification of Accepting Bid.
Supplier's complete bid besides any correspondences or documents accepted before signing the Contract.
Any other documents pertaining to this contract.
The Second Party has no right in any case to waive or assign all or part of Contract obligations to any other supplier or agency, unless he has an authorization from the First Party. Such authorization must be limited to 30% of Contract Value. Both, the Second Party and his assignee shall be completely responsible for any defect, negligence or violations may be done by the assignee.
The First Party can purchase the items that the Supplier failed to supply or rejected items due to un-compliance with specifications on his account using any method for the Supplier to bear all increase in cost in addition to liquidated damages for delay in supply.
The Second Party shall be responsible for delivering installing and operating contracted items in set timing in this Contract bearing all relevant costs and fees and complaint to contracted specifications in items of quantities, weight physical and chemical specification, date of expiry dimension and compliant with provided samples. The Supplier undertakes to withdraw all rejected items in period of one week of notification and undertakes to provide the workers to open packages and handing over to Entity's store in First Party Stores.
The First Party shall conduct the equipment test in order to verify equipment compliance with the quantities and technical specifications. However, The First Party has the right to appoint an inspection company or send two of its engineers to inspect the equipment and all inspection costs shall be at the expense of the The Second Party.

The First Party has the right to increase or decrease contracted items by a percentage of 30% at the same original price with no right for the Supplier to reject or ask for reimbursable for such decrease or increase in quantities.
Validity of Performance Security is [one month] from the date of items delivery and inspection and compliance to technical specifications. In case of supplying machines and equipments which require warranty the, Second Party shall be responsible for during warranty period for maintenance and services of such machines and fixing any damages or defaults in his own account and in case of delay, the First Party has right to fix the breakdown on Second Party's account and responsibility and retain 15% of contract value as a retention for (one year).
The Second Party shall fully bind to the validity period of the Quality Guarantee: [one year and a half].
This Contract will be subject to Procurement Law, By-law. The provisions of Procurement Law, By-law, Bidding Documents.
This contract forms the complete understanding and agreement between the two parties with regard to its subject matter.
The Arabic text shall be considered the official text of this contract in interpreting its terms and conditions.

Definitions
1.1 In this Contract, the following terms shall be interpreted as indicated:
“The Contract” means the agreement entered into between the Purchaser and the Supplier, as recorded in the Contract Form signed by the parties, including all attachments and appendices thereto and all documents incorporated by reference therein.
“The Contract Price” means the price payable to the Supplier under the Contract for the full and proper performance of its contractual obligations.
“The Goods” means all of the equipment, machinery, and/or other materials, which the Supplier is required to supply to the Purchaser under the Contract.
“The Services” means those services ancillary to the supply of the Goods, such as transportation and insurance, and any other incidental services, such as installation, commissioning, provision of technical assistance, training, and other such obligations of the Supplier covered under the Contract.
"Delivery" the delivery of Goods to the final location determined by the Purchaser based on Contract Terms.
“The Purchaser” means the organization purchasing the Goods.
“The Purchaser’s country” is Yemen.
“The Supplier” means the individual or firm supplying the Goods and Services under this Contract.
“The Sub-supplier” is an individual met the requirements contracted by the main Supplier to implement part of the Contract after Purchaser's approval.
“The Project Site,” where applicable, means the final place or places of delivery, installation, operation and training named in SCC.
"Termination of Contract" means terminating supplier's obligations according to Contract Terms.
“Day” means calendar day. From midnight to midnight (24 hours)
Contract Documents
2.1 Contract documents interpret each other. If any ambiguity or contradiction appears, then the order of priority shall be as follows:
Notification of Accepting Bid.
Supplier's complete bid besides any correspondences or documents accepted before signing the Contract and deemed of integral parts of contract
Any other documents which are part of this Contract.
Applicable Law
3.1 Applicable Yemeni Laws to be referred to in implementing the terms and provisions of Contract.
Country of Origin
4.1 All Goods and Services supplied under the Contract shall have their origin in the countries and territories eligible as defined under the procurement Law, its By-laws and Goods Manual.
4.2 For purposes of this Clause, “origin” means the place where the Goods were mined, grown, or produced, or from which the Services are supplied. Goods are produced when, through manufacturing, processing, or substantial and major assembly of components, a commercially recognized new product results that is substantially different in basic characteristics or in purpose or utility from its components.
The origin of Goods and Services is distinct from the nationality of the Supplier.
Good and services of Israeli origin will be considered not eligible.
Governing Language
5.1 All correspondence and other documents pertaining to the Contract which are exchanged by the parties shall be written in Arabic and English.
Notices
6.1 Any notice given by one party to the other pursuant to this Contract shall be sent to the other party in writing or by cable, telex, or facsimile and confirmed in writing to the other party’s address.
6.2 A notice shall be effective when delivered or on the notice’s effective date, whichever is later.
Scope of Supply
7.1 The supplier shall supply all Goods and perform all services according to Schedule of Quantities.
7.1 Unless otherwise the Contract specifies other terms, the Goods should include all items which are not specifically indicated in the contract which could be added to the contract according to the request to deliver the Goods and perform the services if such items are clearly mentioned in the contract.
Delivery and Documents
8.1 Delivery of the Goods shall be made by the Supplier in accordance with the terms specified in the Schedule of Quantities according to specified time. The details of shipping location/final destination and/or other documents to be furnished by the Supplier are specified in this Contract.
8.2 Documents to be submitted by the Supplier as the following:-
Two weeks before arrival of the materials and equipment to ( ) in accordance with this contract, Second Party shall deliver to the First Party the following shipping documents in the name of the Public Telecommunication Corporation:
Manufacturer’s Test Certificate from Factory, consistent with the specifications.
Inspector’s Test Certificate, if any.
Two originals and three copies of Commercial Invoices stamped, signed and authenticated by the Chamber of Commerce of the country of origin.
Full set of clean on board Airway Bill/….bill of landing consisting of three original and two copies, authenticated for shipment onboard the transportation vessel, marked freight prepaid, a copy of which is to be sent directly to the Director General, PTC, P. O. Box 17045, Sana’a, Republic of Yemen.
A Certificate of Origin stating that the goods are of (……..) origin, duly authenticated by the Chamber of Commerce of that country and the Yemeni Embassy at that country.
Packing list.
Insurance Policy
8.3 The supplier shall submit all manuals, catalogues and drawings of supplied Goods in 30 days of inspection and initial take over.
Supplier's Obligations
9.1 The Supplier must commit to supply and perform all contracted Goods and Services according to Schedule of Requirements based on agreed specifications and prices and in timing set in this Contract.
9.2 The Supplier has to abide be all post-selling services (maintenance, spare parts, etc).
Purchaser's Obligations
10.1 The Purchaser shall pay all due amounts in relation to performing Supplier's obligations.
10.2 The Purchaser shall pay all reasonable efforts to assist the Supplier in obtaining official approvals, import licenses from government agencies in relation to importing contracted Goods, if so required by the supplier.
Prices
11.1 Is the price of required Goods and Services according to BDs by the price in the contract signed by both parties.
11.2 Prices charged by the Supplier for Goods delivered and Services performed under the Contract shall not vary from the prices quoted by the Supplier in its bid after legal revision and correction.
Payment
Payment:-
12-1 If the purchaser has the capacity to pay an advance payment ,such will be paid for not more than 20% of contract value against providing an irrevocable unconditional bank guarantee issued by a certified bank by the Central Bank Of Yemen or by a certified payable check. If the purchaser has the capacity to pay an advance payment and the advance payment will be set-off before 80 days of contract validity is elapsed.
12-2 The Contract shall illustrate the case to be applied for payment procedure by one of the following :-
If supply is for Goods that need to be supplied /supplied and installed and do not include operation, payment procedure will be undertaken for an amount not exceeding 85% of contract value after completing initial take over and inspection and after deducting the advance payment if paid after contract signature and the purchased will release the performance guarantee and retain 15% of contract value as a retention.
In case of supply, installation and operation, as works will be in stages, payment will take place according to finished accepted handed over works according to initial take over and inspection procedures. Advance payment will be deducted and set-off before 80% of contract validity is elapsed, if advance payment is permitted 15% of contract value will be deducted provided that amount does not exceed the amount of last payment and after completing take over and inspection procedure .
12.3 In all above cases retention amount (15%) of contract value shall be returned at the end of warranty period specified in tender condition and the issuance of final inspection and take over minutes by inspection and take over committee including the final clear verification which prove that the supplied requirements are in conformity with conditions and technical specifications mentioned in the Contract and it is confirmed that technical out puts are in conformity with technical specifications based on which the contract was awarded ,and there is no defects or short comes have occurred during defects liability period (for a period of not less than one year from the date of initial inspection and take over unless the Contact have otherwise indicate longer period).
12.4 If the purchase process requires an opening of letter of credit, the supplier shall bear the responsibility of opening LC including related expenses without any interference or responsibility of the purchaser.
12.5 All request for payment shall be submitted in writing to the Purchaser along with invoices that prove the claims of the supplier as well as the supporting documents in accordance with clause 9 of GCC and after fulfilling any other obligations stipulated in the contract.
12.6 The purchases shall promptly pay the claims in period not more that 90 days of receiving such claims and the completely of inspection and take over procedures and the clear acceptance of supplied Goods proving that it is free of any defects comments and fulfilling all commitments in the contract.
12.7 Payment will take place in Yemeni Rials unless the Contact have otherwise in mention any other convertible currency.
Taxes and Duties
13.1 All bids presented by Supplier shall include all taxes and any other levies. The (First/Second) Party shall pay the all expense for the Customs Duties.
Performance Security
14.1 Within fifteen (15) days of receipt of the Purchasing Order, the Second Party shall furnish to the Purchaser irrevocable unconditional Bank guarantee for not less than 15% of Contract value to be valid from date of signature until 30 days after specified initial take over.
14.2 The purchaser has the right to call the proceeds of the performance security once the supplier failed to fulfill it is obligation under the contract.
14.3 The performance security shall be in one of the following forms:
(a) An irrevocable, unconditional bank guarantee issued by a reputable bank located in Yemen or abroad licensed or accredited by CBY, acceptable to the Purchaser; or
(b) A cashier’s or certified check issued by bank certified by CBY.
14.4 The performance security will be discharged by the Purchaser and returned to the Supplier following the date of completion of the Supplier’s performance obligations and finalizing initial inspection and take over under the Procurement Law, By-laws and the Manual confirming that there is no comments on supplied Goods.
Patent Rights
15.1 The Supplier shall indemnify the Purchaser against all thirdparty claims of infringement of patent, trademark, or industrial design rights arising from use of the Goods or any part thereof in the Republic of Yemen.
Confidential Information
16.1 The purchaser and the supplier shall undertake to avoid disclosing any information, data or documents related to the contract to any third party directly or indirectly whether before, during or after contract effectiveness the other party declare his consent to disclose such information or document. The supplier may provide his sub-supplier with documents, data or information obtained from the purchaser necessary for implementing his contractual obligations a case during which the supplier shall obtain an undertaking from the sub-supplier to adhere to confidentiality terms according to GCC.
16.2 The purchaser shall not use information data or documents obtained from the supplier for purpose other that set in the contract, similarly, the supplier shall not use information, data or documents for purposes other than designing and supplying required works and ancillary services to carry out works determined in contract.
Use of Contract Documents and Information;
17.1 The Supplier shall not, without the Purchaser’s prior written consent, disclose the Contract, or any provision thereof, or any specification, plan, drawing, pattern, sample, or information furnished by or on behalf of the Purchaser in connection therewith, to any person other than a person employed by the Supplier in the performance of the Contract. Disclosure to any such employed person shall be made in secret and shall extend only so far as may be necessary for purposes of such performance.
17.2 The Supplier shall not, without the Purchaser’s prior written consent, make use of any document or information enumerated in GCC Clause 17.1 except for purposes of performing the Contract.
17.3 Any document, other than the Contract itself, enumerated in GCC Clause 17.1 shall remain the property of the Purchaser and shall be returned (all copies) to the Purchaser on completion of the Supplier’s performance under the Contract.
17.4 The Supplier shall permit the purchaser, or any of its authorized representatives to inspect the Supplier’s accounts and records relating to the performance of the Supplier and to have them audited by auditors appointed by the purchaser, if so required by the purchaser.
Subcontracts
18.1 The Supplier shall notify the Purchaser in writing of all subcontracts awarded under this Contract if not already specified in the bid. Such notification, in the original bid or later, shall not relieve the Supplier from any liability or obligation under the Contract.
18.2 Subcontracts must comply with the provisions of GCC Clause 4.
Standard Specifications
19.1 Supplied Goods should conform to standard specifications of required technical specifications of Contract and should conform to the standard specifications of country of origin and must be according to the most recent styles.
Packing
20.1 The Supplier shall provide such packing of the Goods as is required to prevent their damage or deterioration during transit to their final destination, as indicated in the Contract. The packing shall be sufficient to withstand, without limitation, rough handling during transit and exposure to extreme temperatures, salt and precipitation during transit, and open storage.
20.2 The packing, marking, and documentation within and outside the packages shall comply strictly with such special requirements as shall be expressly provided for in the Contract, including additional requirements, if any, specified in the Contract, and in any subsequent instructions ordered by the Purchaser.
Insurance
21.1 The Goods supplied under the Contract shall be fully insured in against loss or damage incidental to manufacture or acquisition, transportation, storage, and delivery, and the supplier shall bear all responsibility of insurance.
Transportation
22.3 The Supplier is required under the Contract to transport the Goods to a specified place(s) of destination within Yemen, defined as the Project Site specified in clause 8.1, transport to such place of destination in the Yemen, including insurance and storage, as shall be specified in the Contract, shall be arranged by the Supplier,
Incidental Services
23.1 The Supplier may be required to provide any or all of the following services, including additional services, if any, specified in the Schedule of Requirements:
(a) performance or supervision of on-site assembly and/or startup of the supplied Goods;
(b) furnishing of tools required for assembly and/or maintenance of the supplied Goods;
(c) furnishing of a detailed operations and maintenance manual for each appropriate unit of the supplied Goods;
(d) performance or supervision or maintenance and/or repair of the supplied Goods, for a period of time agreed by the parties, provided that this service shall not relieve the Supplier of any warranty obligations under this Contract; and
(e) training of the Purchaser’s personnel, at the Supplier’s plant and/or on-site, in assembly, start-up, operation, maintenance, and/or repair of the supplied Goods.
23.2 The Supplier may be required to provide any or all of the following materials, notifications, and information pertaining to spare parts manufactured or distributed by the Supplier:
(a) such spare parts as the Purchaser may elect to purchase from the Supplier, provided that this selection shall not relieve the Supplier of any warranty obligations under the Contract; and
(b) in the event of termination of production of the spare parts:
(i) advance notification to the Purchaser of the pending termination, in sufficient time to permit the Purchaser to procure needed requirements; and
(ii) following such termination, furnishing at no cost to the Purchaser, the blueprints, drawings, and specifications of the spare parts, if requested.
Inspections and Tests
24.1 The Purchaser or its representative shall have the right to inspect and/or to test the Goods to confirm their conformity to the Contract specifications at no extra cost to the Purchaser. The Contract shall specify what inspections and tests the Purchaser requires and where they are to be conducted. The Purchaser shall notify the Supplier in writing, in a timely manner, of the identity of any representatives retained for these purposes. The supplier shall bear the cost of all inspection and test. The purpose of inspection and test is to confirm that technical outputs or chemical/physical specifications are conform to requirements and to ensure that expiry date is far enough to use all quantities taking into consideration materials' nature specially if such materials will be as inputs to other materials.
24.2 The inspections and tests may be conducted in country of origin on the premises of the Supplier or its subcontractor(s) if it is deferent from origin country, at point of delivery, and/or at the Goods’ final destination. If conducted on the premises of the Supplier or its subcontractor(s), all reasonable facilities and assistance, including access to drawings and production data, shall be furnished to the inspectors at no charge to the Purchaser.
24.3 Should any inspected or tested Goods fail to conform to the Specifications, the Purchaser may reject the Goods, and the Supplier shall either replace the rejected Goods or make alterations necessary to meet specification requirements free of cost to the Purchaser.
24.4 The Purchaser’s right to inspect, test and, where necessary, reject the Goods after the Goods’ arrival in the Yemen shall in no way be limited or waived by reason of the Goods having previously been inspected, tested, and passed by the Purchaser or its representative prior to the Goods’ shipment from the country of origin.
24.5 During inspection and initial take over, the Purchaser shall receive all manuals, catalogues and drawings (as the case may be) from the supplier in no more than 30 days of initial take over for actual supplied/produced/installed/operated Goods.
24.6 Nothing in GCC Clause 24 shall in any way release the Supplier from any warranty or other obligations under this Contract.
24.7 Second party shall deliver a written notice to First Party and Inspection Company two weeks before manufacturing of the equipment informing them of the time and place where the inspection shall take place.
Installation
If the contract required installation, The Second Party shall install hardware and shall commission the system at installation sites which will be the responsibility of the Second Party who will also install its software as per the attached time schedule.
25.1 Preliminary Acceptance:
The Second Party shall give the First Party in writing twenty-one (21) days notice of the date after which he will be ready to make the Tests on Completion. Unless otherwise agreed, the tests shall take place within ten (10) days after the said date on such day or days as the Second Party shall in writing notify the First Party.
The Tests on Completion of the Equipment which have to be done by the Second Party under the Contract, will be carried out by the Second Party in the presence of the First Party in accordance with the tests on completion procedures to be submitted to the First Party by the Second Party within one (1) month before the commencement of the tests for written approval. If after the elapse of seventy five (75) days following the receipt of these procedures by the First Party the First Party has not approved or rejected such procedures, such procedures shall be deemed to have been approved by the First Party.
If the Second Party delays Acceptance Test procedures beyond the period mutually agreed upon, the First Party shall in writing call upon the Second Party to make such tests within ten (10) days from the receipt of the said notice, and the Second Party shall make the said tests on such day within the said ten (10) days as the Second Party may fix and of which he shall give notice to the First Party.
If the Second Party fails to make such tests within the time aforesaid, the First Party may himself proceed to make the tests. All tests so made by the First Party shall be at the risk and expense of the Second Party.
The First Party shall be entitled to put functional Equipment into service without issuing a respective Preliminary Acceptance Certificate in case the Second Party has been unable to remedy Equipment due to which the Preliminary Acceptance Certificate has been rejected within twenty (20) working days after receipt of the rejection detailing the defect. In this case the rejected Equipment shall be re-offered for Acceptance testing by the Second Party as soon as the Equipment has been remedied in order to achieve Preliminary Acceptance Certificate.
Within forty five (45) working days after the completion of the Tests on completion, and receipt of all documentation necessary for the proper operation and maintenance of the Equipment, a Preliminary Acceptance Certificate will be drawn up and signed by the two Parties unless the Equipment is rejected, in which case the First Party will issue within the same period of forty five (45) working days a report to the Second Party listing the shortcomings which led to the rejection. In the latter case, the Second Party will remedy the shortcomings and re-offer the relevant Equipment for acceptance in conformity with the above mentioned procedures.
Minor defects or shortcomings not affecting the operational use of the Equipment will not give rise to rejection of the Equipment concerned, and the Second Party must undertake to remedy such defects and shortcomings with all possible speed according to the period specified by First Party..
25.2 Final Acceptance:
At the end of the warranty period, the Second Party shall inform the First Party in writing forty five (45) days in advance prior to undertaking the Final Acceptance tests.
Prior to the Final Acceptance test date, the Second Party shall propose his own test procedure which have to be approved by the First Party or modified with common agreement with the Second Party.
Unless Second Party has specific written acceptance from First Party, minor defects or shortcomings not affecting the operational use of the Equipment will give rise to rejection of the Equipment concerned. However with written consent from First Party, Second Party shall undertake to remedy such defects and shortcomings with all possible speed.
As soon as the Works have been completed in accordance with the Contract and have passed the Tests on Completion, the First Party shall issue a certificate to the Second Party in which he shall certify the date on which the Works have been so completed and have passed the said tests, and the First Party shall be deemed to have taken over the Works on the date so certified, but the issue of an acceptance certificate shall not operate as an admission that the Works have been completed in every respect. In the event of the Works being divided by the Contract into two or more sections the First Party shall be entitled to take over any section or sections before the other or others, and thereupon the First Party shall issue an acceptance certificate in respect thereof. If by agreement between the First Party and the Second Party any portion of the Works shall be taken over before the remainder of the Works the First Party shall issue an acceptance certificate in respect of that portion.
If a section of the Works fails to pass the Test on Completion, the First Party shall issue a report to the Second Party listing the shortcomings which led to the rejection of such section. In this case the Second Party shall within the period specified by First Party make good the shortcomings with all diligence and expedition and re-offer such section of the Works concerned for acceptance.
Delays in the Supplier’s Performance
26.1 Delivery of the Goods and performance of Services shall be made by the Supplier in accordance with the time schedule prescribed by the Purchaser in the Schedule of Requirements.
26.2 If at any time during performance of the Contract, the Supplier or its subcontractor(s) should encounter conditions impeding timely delivery of the Goods and performance of Services, the Supplier shall promptly notify the Purchaser in writing of the fact of the delay, its likely duration and its cause(s). As soon as practicable after receipt of the Supplier’s notice, the Purchaser shall evaluate the situation and may at its discretion extend the Supplier’s time for performance, with liquidated damages specified in clause 27.
26.3 A delay by the Supplier in the performance of its delivery obligations shall render the Supplier liable to the imposition of liquidated damages pursuant to GCC Clause 27.
Liquidated Damages on Delays
27.1 Purchaser shall impose liquidated Damages if the Supplier delayed delivering of goods on the timing specified in Contract. Liquidated Damages will be calculated out of unimplemented items as shown below.
1% of items value for the first week or part of it.
1.5% of items value for the second week or part of it.
2% of items value for the third week or part of it.
3% of items value for the fourth week or part of it.
If delayed more than that, fines will be calculated at 4% for each month or of each period, provided that the total amounts of fines not exceed 15% of Contract value for supplies and period of delay not exceeds 3 months as maximum.
27.2 If the liquidated Damages exceed either the percentage or period specified in Clause 27, it will be enough to impose specified fines and confiscating Performance Security.
Liquidated Damages on Delaying Payments
28.1 Purchaser shall pay liquidated Damages on delaying payments to the Supplier in the following cases:
If there is no legal justification for delaying payments.
If there is no shortage in documents or data that causes delay.
28.2 Liquidated Damages will be made after 90 days of submitting payment certification and issuing Inspection Committee Report, provided that the Supplier would not intervene directly or indirectly in transaction procedures. Calculation of liquidated Damages shall be: (value of delayed items x 15% x delaying period ÷ 365).
Warranty
29.1 The Supplier warrants, signed and stamped, that the Goods supplied under the Contract are new, unused, of the most recent or current models, and that they incorporate all recent improvements in design and materials unless provided otherwise in the Contract. The Supplier further warrants that all Goods supplied under this Contract shall have no defect, arising from design, materials, or workmanship or from any act or omission of the Supplier, that may develop under normal use of the supplied Goods in the conditions prevailing in the country of final destination.
29.2 The purchaser shall deter mine the validity of the warranty for a period not less than year unless provided otherwise in SCC of to be valid starting from supply\supply and installation \supply installation and take over.
29.3 The Purchaser shall promptly notify the Supplier in writing of any claims arising under this warranty.
29.4 Upon receipt of such notice, the Supplier shall, within the period specified in clause (29.2)and with all reasonable speed, repair or replace the defective Goods or parts thereof, without costs to the Purchaser.
29.5 If the Supplier, having been notified, fails to remedy the defect(s) within the period specified in clause(29.2), the Purchaser may proceed to take such remedial action as may be necessary, at the Supplier’s risk and expense either from due payments against supplied Goods, deducted amounts, performance security or from any other due amounts to the Supplier with the Purchaser or any other government purchaser.
Retention
30.1 The Purchaser shall deduct not less than 15% of Contract value from payment certificate(s) as a guarantee for operation/installation and training and will be deducted in one portion or installments.
Limitation of Liability
31.1 Except in cases of criminal negligence or willful misconduct, and in the case of infringement pursuant to Clause 16,
(a) the Supplier shall not be liable to the Purchaser, whether in contract, tort, or otherwise, for any indirect or consequential loss or damage, loss of use, loss of production, or loss of profits or interest costs, provided that this exclusion shall not apply to any obligation of the Supplier to pay liquidated damages to the Purchaser and
(b) without contradiction with Clause 27, the aggregate liability of the Supplier to the Purchaser, whether under the Contract, in tort or otherwise, shall not exceed the total Contract Price, provided that this limitation shall not apply to the cost of repairing or replacing defective equipment.
Force Majeure
32.1 Notwithstanding the provisions of GCC Clauses 26, 27, and 36, the Supplier shall not be liable for forfeiture of its performance security, liquidated damages, or termination for default if and to the extent that its delay in performance or other failure to perform its obligations under the Contract is the result of an event of Force Majeure.
32.2 For purposes of this clause, “Force Majeure” means an event beyond the control of the Supplier and not involving the Supplier’s fault or negligence and not foreseeable. Such events may include, but are not restricted to, acts of the Purchaser in its sovereign capacity, wars or revolutions, fires, floods, epidemics, quarantine restrictions, and freight embargoes.
32.3 If a Force Majeure situation arises, the Supplier shall promptly notify the Purchaser in writing of such condition and the cause thereof. Unless otherwise directed by the Purchaser in writing, the Supplier shall continue to perform its obligations under the Contract as far as is reasonably practical, and shall seek all reasonable alternative means for performance not prevented by the Force Majeure event.
Change Orders
33.1 The Purchaser may at any time, by a written order given to the Supplier pursuant to GCC Clause 7, make changes within the general scope of the Contract in any one or more of the following:
(a) drawings, designs, or specifications, where Goods to be furnished under the Contract are to be specifically manufactured for the Purchaser;
(b) the method of shipment or packing;
(c) the place of delivery; and/or
(d) the Services to be provided by the Supplier.
33.2 If any such change causes an increase or decrease in the cost of, or the time required for, the Supplier’s performance of any provisions under the Contract, an equitable adjustment shall be made in the Contract Price or delivery schedule, or both, and the Contract shall accordingly be amended, provided that such increase shall not exceed 10% of contract value.
Contract Extension
34.1 If at any time during performance of the Contract, the Supplier or its subcontractor(s) should encounter conditions impeding timely delivery of the Goods and performance of Services pursuant to Clause 33 of GCC, the Supplier shall promptly notify the Purchaser in writing of the fact of the delay, its likely duration and its cause(s). As soon as practicable after the Purchaser receipt of the Supplier’s notice, Contract should be amended to include this extension.
34.2 Except in case of Force Majeure, a delay by the Supplier in the performance of its delivery obligations shall render the Supplier liable to the imposition of liquidated damages pursuant to GCC Clause 26, unless the two parties agreed to extend the Contract according to GCC Clause 34.
Contract Amendments
35.1 Subject to GCC Clause 33, no variation in or modification of the terms of the Contract shall be made except by written amendment signed by the parties.
Termination for Default
36.1 The Purchaser, without prejudice to any other remedy for breach of Contract, by written notice of default sent to the Supplier, may terminate this Contract in whole or in part:
(a) if the Supplier fails to deliver any or all of the Goods within the period(s) specified in the Contract, or within any extension thereof granted by the Purchaser; or
(b) if the Supplier, in the judgment of the Purchaser, has engaged in corrupt or fraudulent practices in competing for or in executing the Contract.
(c) if the Supplier became bankrupt or insolvent the case by court judgment.
36.2 In case of termination, the purchaser has the right to accept completed useable Goods by its own with no connection with uncompleted Goods not yet deliver in 30 days notifying the supplier of termination in conditions and prices set in the contract.
36.3 In the event the Purchaser terminates the Contract in whole or in part, pursuant to GCC Clause 36.1, the Purchaser may procure, upon such terms and in such manner as it deems appropriate, Goods or Services similar to those undelivered, and the Supplier shall be liable to the Purchaser for any excess costs for such similar Goods or Services whether from due amount to the supplier against delivered goods, retention, performance security or any other claims for the supplier with any other government purchaser. However, the Supplier shall continue performance of the Contract to the extent not terminated.
Settlement of Disputes
37.1 If any dispute or difference of any kind whatsoever shall arise between the Purchaser and the Supplier in connection with or arising out of the Contract, the parties shall make every effort to resolve amicably such dispute or difference by mutual consultation pursuant to Contract.
37.2 If, after thirty (30) days, the parties have failed to resolve their dispute or difference by such mutual consultation, then either the Purchaser or the Supplier may give notice to the other party of its intention to commence arbitration, as hereinafter provided, as to the matter in dispute based on Yemeni Arbitration Law.
37.3 If both parties agreed to settle their dispute through arbitration, such agreement should be in writing and Arbitration Verdict shall be binding to both of them and neither of them has the right to appeal except to the extent permitted in Arbitration Law.
37.4 If both parties failed to reach agreement through arbitration, then the Purchaser has the right to take proper action against the Supplier pursuant to Contract Terms. At the same time, the Supplier has the right to appeal to higher levels or court if he dissatisfied with the Purchaser's decision.
37.5 Notwithstanding any reference to arbitration herein,
(a) the parties shall continue to perform their respective obligations under the Contract unless they otherwise agree; and
(b) the Purchaser shall pay the Supplier any monies due the Supplier, provided that the Purchaser has received and accepted delivered goods and services.
Boycott Israel
38.1 The Supplier and all his employees may be used for implementing the Contract, incidental services and maintenance shall abide to boycott with Israel, avoid importing directly or indirectly its commodities and if the Purchaser recognizes during Contract period that the Supplier breached this Clause, then the Purchaser has the right to terminate the Contract and claim the Supplier for compensation against damages arisen from such termination. At this case, the Purchaser has the right to forfeit Performance Security or any other due monies.

المؤسسة العامة للاتصالات السلكية واللاسلكية ويمثلها الدكتور/ علي ناجي نصاري – المدير العام للمؤسسة ويشار إليه في هذا العقد بالطرف الأول.
وبين شركة ويمثلها الأخ/ ويشار إليه في هذا العقد بالطرف الثاني .
وفقا للتالي:-
بند(1): يلتزم الطرف الثاني بتوريد والمحددة من قبل الطرف الأول وقبلها الطرف الثاني.
بند(2): قيمة العقد مبلغ (بالأرقام) ) بالحروف) (CIP) تسليم مخازن المؤسسة شاملا الضرائب (بما فيها ضريبة المبيعات) والرسوم والمصاريف الأخرى وستقوم المؤسسة بتوفير الإعفاء الجمركي من تصنيع شركة منشأ ( )
بند(3): طريقة السداد (الدفع) كالتالي :-
20% من قيمة العقد دفعة مقدمة مقابل ضمان بنكي بنفس المبلغ يطلق بعد التوريد والفحص والاستلام.
80% من قيمة العقد بعد التوريد والتركيب والفحص والاستلام للمواد والمعدات في مخازن المؤسسة كاملة وسليمة ومطابقة للمواصفات .
بند(4): مدة التوريد أو التنفيذ (ثلاثة أشهر) من تاريخ فتح الاعتماد المستندي/ توقيع العقد .
بند(5): تعتبر الوثائق التالية هي جزء لا يتجزأ من العقد:
إخطار قبول العطاء؛
العطاء وأي مراسلات أو وثائق تم قبولها قبل توقيع العقد؛
أي وثائق أخرى تشكل جزء من العقد
بند(6): لا يحق للطرف الثاني أن يتنازل كليا عن العقد أو تحويله إلى أي مورد آخر أو أي جهة أخرى كما لا يحق له التنازل أو تحويل جزء من العقد أو بنوده إلا بموافقة المشتري وبما لا يتجاوز30% من قيمة العقد ويكون المتنازل والمتنازل إليه مسئولين مسئولية كاملة عن جميع الأخطاء أو الإهمال أو أية إخلال ببنود العقد من قبل المتنازل إليه.
بند(7): يجوز للطرف الأول شراء الأصناف التي لم يقم الطرف الثاني بتوريدها أو الأصناف المرفوضة والغير مطابقة للمواصفات من شخص آخر وعلى حسابه وبأي طريقة كانت ويتحمل الطرف الثاني ما ينتج عن ذلك من زيادة في الأسعار مضافا إلى ذلك ما يستحق من غرامات التأخير عن التوريد في المواعيد المحددة بهذا العقد.
بند(8): يتم إيصال وتسليم المواد / تسليمها وتركيبها وتشغيلها في الأماكن النهائية المحددة في جدول المتطلبات كما يجب أن يلتزم الطرف الثاني بتسليم المواد المتعاقد عليها في المواعيد الموضحة بهذا العقد خالصة من جميع المصروفات والرسوم وغيرها ومطابقة للمواصفات المتعاقد عليها من ناحية العد والوزن أو خصائصها الكيميائية والفيزيائية ومن تاريخ الصلاحية أو المقاس ومطابقة للعينات المعتمدة كما يتعهد بسحب الأصناف المرفوضة خلال أسبوع واحد من تاريخ إخطاره بذلك كما يلتزم الطرف الثاني بإحضار العمال اللازمين لفتح الطرود وتسليمها إلى مخازن المؤسسة.
بند(9) : سيقوم الطرف الأول بفحص الأصناف واختبارها للتحقق من مطابقتها للمواصفات الفنية والكميات (ولها الحق إما بالتعاقد مع شركة فاحصة لإجراء الفحص أو تعيين أثنين من مهندسيها لحضور عملية التصنيع في مقرات الشركة المصنعة على نفقة الطرف الثاني) .
بند(10) : أ- يحق للطرف الأول طلب زيادة كمية الأصناف المتعاقد عليها أو تخفيضها في حدود 10% من قيمة العقد وبنفس أسعار هذا العقد دون أن يكون للطرف الثاني الحق في الاعتراض أو المطالبة بأي تعويض بسبب هذه الزيادة أو هذا النقص.
ب- ضمان الأداء (حسن التنفيذ) عبارة عن ضمان بنكي [شهر] من تاريخ استلام المواد فحصها وأنها مطابقة للمواصفات في حالة التوريدات للآلات والأجهزة أو أي مواد أخرى تحتاج إلى فترة صيانة ويكون الطرف الثاني مسئولا أثناء مدة الضمان الموضحة بهذا العقد عن صلاحيتها ويلتزم بإصلاح أي خلل أو عيب يظهر خلال تلك المدة وعلى حسابه الخاص وفي حالة التأخير يحق للطرف الأول القيام بعملية الإصلاح على حساب الطرف الثاني وتحت مسئوليته وسيتم احتجاز ما نسبته ( 15% ) من قيمة العقد لمدة (سنة) من تاريخ التوريد والفحص والاستلام .
ج- يجب على الطرف الثاني الالتزام الكامل بفترة ضمان الجودة المحددة (بسنة ونصف).
بند(11): يعتبر هذا العقد خاضعا لأحكام قانون المناقصات والمزايدات والمخازن الحكومية ولائحته التنفيذية.
بند(12): يشكل هذا العقد مجمل التفاهم والاتفاق بين الطرف الأول والطرف الثاني فيما يتعلق بموضوع هذا العقد .
بند(13): يعتبر النص العربي لهذا العقد هو النص الرسمي لتفسير مواده أو تطبيقها أو تنفيذ أحكامه .
بند(14): حرر هذا العقد من نسختين أصل بيد كل طرف نسخة.

الشروط العامة للعقد
تعريفات:
تفسر العبارات التالية الواردة في العقد كما يلي:-
"العقد" ويعني الاتفاق المبرم والموقع بين المشتري والمورد وفقا لنموذج العقد شاملا جميع المرفقات والملاحق الوارد ذكرها في عقد الاتفاق؛
"قيمة العقد" ويعنى السعر الواجب السداد للمورد بموجب العقد مقابل التنفيذ الكامل والسليم لالتزاماته التعاقدية؛
"السلع" وتعنى جميع التوريدات التي يجب على المورد توريدها للمشتري بموجب العقد؛
"الخدمات" وتعنى تلك الخدمات المرتبطة بتوريد السلع، مثل خدمات النقل والتأمين وأي خدمات أخرى تكميلية مثل التركيب، والبدء في التشغيل، وتوفير المعونة الفنية، والتدريب، وأي تعهدات من جانب المورد واجبة الأداء بموجب العقد؛
"التوصيل" هو تسليم السلع إلى الموقع النهائي المحدد من قبل المشتري بحسب شروط العقد؛
"المشتري" ويعني الجهة القائمة بشراء السلع،
"بلد المشتري" الجمهورية اليمنية؛
"المورد" هو الشخص الطبيعي أو الاعتباري الذي سيتولى توريد السلع والخدمات؛
المورد من الباطن، هو الشخص الطبيعي أو الاعتباري المتعاقد مع المورد الأساسي الذي تستوفي فيه الشروط المطلوبة والذي سيتولى تنفيذ جزء من العقد بعد موافقة المشتري؛
"موقع المشروع" يعني المكان، أو الأماكن، النهائية للتوريد/ التوريد والتركيب والتشغيل والتدريب المحددة في الشروط الخاصة في العقد؛
"إنهاء العقد" تعني إنهاء التزامات المورد بحسب الشروط المحددة في العقد؛
"اليوم" يعني الفترة من منتصف الليل إلى منتصفه الثاني (24 ساعة).
وثائق العقد:
تعتبر مجموعة الوثائق التي يتكون منها العقد مفسرة لبعضه البعض لكن إذا ظهر أي غموض أو تعارض فيما بينها يكون ترتيب أولوية الترجيح للوثائق حسب التسلسل التالي:
إخطار قبول العطاء؛
العطاء وأي مراسلات أو وثائق تم قبولها قبل توقيع العقد، وتم اعتبارها جزء لا يتجزأ من العقد؛
أي وثائق أخرى تشكل جزء من العقد.
القانون الذي يحكم العقد:
القوانين اليمنية النافذة التي يرجع إليها في تطبيق شروط العقد.
بلد المنشأ:
ينبغي أن يكون منشأ جميع السلع والخدمات المقدمة بموجب العقد وفقا لقانون المناقصات ولائحته التنفيذية والدليل الإرشادي للتوريدات؛
لأغراض هذا البند تعني كلمة "المنشأ" المكان الذي يتم فيه استخراج تلك السلع أو تعدينها أو زراعتها أو إنتاجها، أو المكان الذي يتم فيه توفير الخدمات التكميلية ذات الصلة. وتعتبر السلع مصنعة عندما تؤدي عمليات التصنيع والمعالجة والتجميع الجوهرية أو الكبرى، إخراج منتج معترف به تجاريا تختلف خصائصه الأساسية جوهريا من حيث الغرض أو الاستخدام عن مكوناته؛
منشأ السلع والخدمات يمكن أن تكون مختلفة عن جنسية مقدم العطاء؛
السلع والخدمات التي منشأها دولة إسرائيل غير مؤهلة للدخول في العقد وغير معتمدة كمصدر.
لغة العقد والمراسلات:
يتم تحرير العقد والمراسلات وأي وثائق أخرى متبادلة بين المشتري والمورد باللغة العربية بالإضافة إلى اللغة الانجليزية .
الإخطارات:
أي إخطار من أحد الطرفين إلى الآخر تنفيذا لهذا العقد يجب أن يكون أخطار كتابي، يتم إرساله باليد، أو بالبريد أو بالفاكس أو بالبريد الالكتروني على عنوان الطرف الآخر ؛
يصبح الإخطار نافذا بمجرد تسليمه أو في التاريخ المحدد فيه لنفاذه، أيهما أبعد.
مجال خدمات التوريد:
يجب على المورد توريد السلع وتنفيذ الخدمات المكملة طبقا لما هو محدد في جدول المتطلبات المرفق بالعقد .
باستثناء إذا نص العقد على غير ذلك فإن السلع يجب أن تتضمن كافة البنود التي لم يشر إليها بالتحديد في العقد والتي يمكن إضافتها إلى العقد بحسب الطلب لتحقيق التوصيل للسلع وتنفيذ الخدمات المكملة إذا أشير إلى تلك البنود بشكل واضح في العقد.
التسليم للسلع والوثائق:
سيقوم المورد بتسليم السلع وتنفيذ الخدمات المطلوبة والمكملة طبقا لجدول الكميات وبالفترة الزمنية المحددة على أن يتم توريدها إلى مخازن الجهة أو الموقع النهائي المحدد من قبل المشتري في شروط العقد؛
سيقوم المورد بتسليم كافة الوثائق المطلوب تقديمها إلى المشتري كالتالي /
يقوم الطرف الثاني قبل أسبوعين من وصول المواد والمعدات إلى ( ) بموجب هذا العقد بتسليم الطرف الأول وثائق الشحن التالية وتكون باسم المؤسسة العامة للاتصالات السلكية واللاسلكية :
شهادة الاختبار المصنعي الخاص بالمصنع مطابقة للمواصفات.
شهادة اختبار الفاحص إن وجدت.
أصلان وثلاث صور لفواتير تجارية موقعة ومصدقة وصحيحة ومعمدة من قبل غرفة تجارة (بلد المنشأ).
وثيقة الشحن ثلاثة أصول مع نسختين معمدة للتحميل على ظهر وسيلة النقل تحمل علامة الأجرة مدفوعة مقدما، ويتم إرسال صورة منها مباشرة إلى مدير عام المؤسسة العامة للاتصالات السلكية واللاسلكية في صنعاء ص.ب : 17045 الجمهورية اليمنية.
شهادة منشأ تفيد أن البضاعة من منشأ ( ) ومعمدة من غرفة تجارة بلد المنشأ والسفارة اليمنية في ذلك البلد.
قائمة التعبئة.
بوليصة التأمين.
أي غرامات أو تأخير ناجمة عن تأخير الطرف الثاني في تسليم وثائق الشحن أو البضاعة إلى
( ) تكون على نفقة الطرف الثاني .
سيقوم المورد بتسليم أي أدلة أو كتالوجات أو رسومات لما تم توريده وتركيبه خلال فترة لا تتجاوز ثلاثين يوما من تاريخ الفحص والاستلام الابتدائي.
التزامات المورد:
على المورد الالتزام الكامل بتوريد كافة السلع وتنفيذ كافة الخدمات والالتزامات الأخرى المحددة في جدول المتطلبات وطبقا للمواصفات والأسعار التي على أساسها تم الإرساء وبالفترة الزمنية المحددة طبقا لما هو محدد في العقد .
على المورد الالتزام بكافة خدمات ما بعد البيع (توفير الصيانة، قطع الغيار ... الخ).
التزامات المشتري:
على المشتري دفع كافة التكاليف المتعلقة بتنفيذ المورد لكافة الالتزامات .
في حال ما إذا كانت السلع والخدمات المكملة يتطلب توريدها حصول المورد على مصادقات وتراخيص استيراد وتراخيص أخرى من المصالح الحكومية المحلية فإن على المشتري إذا طلب ذلك المورد بذل جهوده لمساعدته للحصول على هذه المتطلبات.
قيمة العقد:
هي قيمة السلع والخدمات المطلوب تنفيذها المحددة في عقد الاتفاق الموقع بين المشتري وصاحب العطاء .
يجب ألا يكون هناك اختلاف بين الأسعار التي يطالب بها المورد مقابل السلع التي يتم تسليمها والخدمات المقدمة بموجب العقد عن الأسعار المقدمة في عطائه بعد المراجعة والتصحيح وفقا للإجراءات القانونية.
شروط الدفع:
في حالة لدى المشتري إمكانية على صرف دفعة مقدمة فسيتم الصرف بما لا يتجاوز20% من قيمة العقد مقابل ضمان بنكي غير مشروط صادر من بنك مصرح له من قبل البنك المركزي اليمني أو مقابل شيك مقبول الدفع – في حالة الإمكانية لصرف دفعة مقدمة سيتم استيفاء استردادها قبل انقضاء 80% من فترة تنفيذ العقد؛
سيوضح العقد انطباق الحالة لإجراءات الدفع من إحدى الحالات التالية:
في حال أن التوريد لمواد تحتاج إلى توريد/توريد وتركيب ولا تتضمن تشغيل فسيتم استكمال إجراءات الدفع بما لا يتجاوز 85% من قيمة العقد بعد استكمال إجراءات الفحص والاستلام الابتدائي مع خصم مبلغ الدفعة المقدمة إذا تم صرفها عند توقيع العقد وإطلاق ضمان الأداء واحتجاز ما نسبته 15% من قيمة العقد؛
في حال أن التوريد لمواد تحتاج إلى توريد وتركيب وتشغيل وسيتم تنفيذ هذه الأعمال على دفعات متتالية فسيتم الصرف على أساس دفعات وفقا للأعمال المنجزة والمسلمة والمقبولة وفقا لإجراءات الفحص والاستلام الابتدائي مع استرداد الدفعة المقدمة بما لا يتجاوز 80% من فترة تنفيذ العقد إذا تم صرفها من قبل المشتري وكذلك سيتم خصم ما نسبته 15% من قيمة العقد بما لا يتجاوز دفع قيمة آخر دفعة (مستخلص) من العقد واستكمال إجراءات الفحص والاستلام الابتدائي.
في جميع الحالات أعلاه سيتم صرف المبلغ المحتجز (ما نسبته 15%) من قيمة العقد بعد انتهاء فترة الضمان المحددة في العقد وإصدار محضر الفحص والاستلام النهائي من قبل لجنة الفحص والاستلام متضمنا الرأي النهائي والواضح أن المواد المطلوبة في عملية الشراء مستوفية للشروط ومطابقة للمواصفات الفنية المحددة في العقد وانه قد تم التأكد من أن المخرجات الفنية للمواد متطابقة مع المواصفات الفنية وبياناتها التي تم الإرساء على أساسها ولا يشوبها أي قصور أو عيوب أثناء فترة ضمان التشغيل (بما لا يقل عن فترة سنة من تاريخ الفحص والاستلام الابتدائي ما لم يحدد العقد فترة أطول).
إذا تطلبت عملية الشراء فتح اعتماد مستندي فإن المورد سيتحمل مسئولية فتح الاعتماد بما في ذلك مصاريف فتح الاعتماد دون أي تدخل من قبل المشتري أو تحمل أي مسئولية تجاه ذلك.
تقدم مطالبات المورد للدفع كتابة إلى المشتري مرفقا بها الفواتير التي تثبت استحقاق المورد للصرف وتبين حسبما هو مناسب للسلع المسلمة والخدمات المقدمة، وكذلك الوثائق المطلوبة طبقا للبند (9) من الشروط العامة للعقد، وبعد تنفيذ أي التزامات أخرى منصوص عليها في العقد؛
يقوم المشتري بسرعة سداد المدفوعات، بما لا يتجاوز (90) يوما من تاريخ تقديم المورد الفاتورة أو المطالبة، وانتهاء إجراءات الفحص والاستلام، وتم قبولها صراحة، بأنها خالية من العيوب أوأي ملاحظات أخرى، وكذا الإيفاء بكافة الالتزامات المحددة في العقد؛
سيتم الدفع بالريال اليمني مالم يحدد العقد الدفع بعملة أخرى قابلة للتحويل.
الضرائب والرسوم الأخرى:
يجب أن تقدم عروض الأسعار شاملة جميع الضرائب وأي رسوم أخرى وسيقوم الطرف (الأول/الثاني) بدفع كافة الرسوم الجمركية.
ضمان الأداء:
يجب على مقدم العطاء أن يقدم إلى المشتري، خلال مدة لا تتجاوز خمسة عشر يوما من إخطاره ، ضمانا بنكيا (ضمان الأداء) غير مشروط وغير قابل للإلغاء بما لا يقل عن 15% من قيمة العقد بحيث يكون ساري المفعول من تاريخ توقيع العقد وحتى ما بعد (30) يوم من التاريخ المحدد للاستلام الابتدائي.
من حق المشتري مصادرة ضمان الأداء بمجرد إخلال المورد بالالتزامات المطلوب تنفيذها كاملة في العقد؛
يقدم ضمان الأداء بأحد الشكلين التاليين:
خطاب ضمان بنكي صادر من بنك (مقره في الجمهورية اليمنية) مصرح له من قبل البنك المركزي اليمني غير مشروط وغير قابل للإلغاء أو من بنك خارجي، معزز من بنك مصرح له من قبل البنك المركزي اليمني؛
شيك مقبول الدفع من بنك مصرح له من قبل البنك المركزي اليمني.
يعاد ضمان الأداء للمورد بعد استيفاء المشتري لكافة إجراءات الفحص والاستلام الابتدائي المحددة في قانون المناقصات ولائحته التنفيذية والدليل الإرشادي وأنه لا يوجد أي ملاحظات على السلع التي تم استلامها.
حقوق براءات الاختراع:
يضمن المورد للمشتري ضد أي مطالبات من جانب الغير بشأن الإخلال بحقوق البراءات أو العلامات التجارية أو التصميمات الصناعية الناتجة عن استعمال السلع أو أي جزء منها في الجمهورية اليمنية.
سرية المعلومات:
يتعهد المشتري والمورد بعدم تسريب أي معلومات أو وثائق أو بيانات تتعلق بالعقد لأي طرف ثالث بطريقة مباشرة أو غير مباشرة من قبل الطرف الآخر سواء قبل أو خلال أو بعد انتهاء العقد، إلا إذا وافق الطرف الآخر على إعطاء تلك المعلومات أو الوثائق، إلا أن المورد بإمكانه تزويد مورديه من الباطن بالوثائق أو البيانات أو المعلومات التي يتحصل عليها من المشتري وبما يمكن المورد من الباطن من تنفيذ التزاماته حسب العقد، وفي هذه الحالة على المورد اخذ تعهد من المورد من الباطن بنفس شروط السرية التي يلتزم بها المورد حسب شروط العقد؛
على المشتري عدم استخدام المعلومات أو الوثائق أو البيانات التي يحصل عليها من المورد إلا للأغراض التي تتعلق بالعقد، وبالمثل فإن على المورد عدم استخدام المعلومات أو الوثائق أو البيانات لأي غرض عدى تصميم وتوريد الأعمال والخدمات المطلوبة لتنفيذ الأعمال المحددة بالعقد؛
استخدام وثائق العقد والمعلومات التي يتضمنها:
لا يحق للمورد أن يكشف، بدون موافقة المشتري الخطية المسبقة عن نص العقد أو أي أحكام واردة فيه أو عن أي مواصفات أو مخططات أو رسومات أو أنماط أو عينات أو معلومات مقدمة من المشتري أو من ينوب عنه في هذا الشأن، لأي شخص سوى موظفي المورد سرا وفي الحدود اللازمة خلال فترة تنفيذ العقد؛
لا يكون للمورد – دون موافقة المشتري المسبقة كتابة، أن يستخدم أي وثيقة أو معلومات ورد ذكرها في البند السابق إلا لأغراض تنفيذ العقد؛
تظل أي وثيقة ورد ذكرها في البند السابق من الشروط العامة للعقد – بخلاف العقد نفسه، ملكا للمشتري وتعاد (مع جميع صورها) للمشتري عند اكتمال تنفيذ المورد للعقد؛
على المورد أن يسمح للمشتري أو من يمثله للقيام بتفتيش الحسابات والسجلات المتعلقة بأداء المورد أو مراجعتها من قبل مراجع حسابات يعينه المشتري إذا أراد ذلك.
التعاقد من الباطن:
يجب أن يلتزم المورد بإخطار المشتري كتابة وأخذ الموافقة الخطية لجميع العقود من الباطن التي يتم إبرامها بموجب هذا العقد إن لم تكن قد نص عليها بالفعل في العطاء، ولا يعفى هذا الإخطار- سواء تضمنه في العطاء الأصلي أو قدم فيما بعد، المورد من أي مسؤولية أو التزام بموجب هذا العقد؛
لا بد أن تلتزم العقود من الباطن بأحكام البند (4) من الشروط العامة للعقد.
المواصفات القياسية:
يجب أن تتطابق السلع الموردة بموجب العقد مع المواصفات القياسية المحددة في المواصفات الفنية المطلوبة في العقد للمواصفات القياسية واجبة التطبيق كما يجب أن تتطابق السلع الموردة مع المواصفات القياسية المعتمدة في بلد المنشأ للسلع، على أن تكون وفقا لأحدث ما أصدرته الجهة المختصة.
التغليف:
يلتزم المورد بتغليف السلع بما يضمن عدم إصابتها بأي ضرر أو تلف خلال شحنها إلى مكان التسليم النهائي المنصوص عليه في العقد. كما يجب أن يكون التغليف كافيا دون تحديد لتحمل أي خشونة في المناولة أو التعرض لدرجات قصوى للحرارة، أو الأمطار، خلال عملية النقل والتخزين؛
ينبغي أن يتقيد تغليف السلع وتمييزها بالعلامات المميزة وتوثيقها داخل الصناديق وخارجها بصورة تامة بأي متطلبات خاصة ينص عليها العقد صراحة بما في ذلك أي متطلبات إضافية قد ترد بالتحديد ويشترطها المشتري .
التأمين:
يتحمل المورد مسئولية التأمين الداخلي والخارجي على السلع بالكامل ، ضد فقدانها أو عطبها لأسباب راجعة إلى تصنيعها أو حيازتها، ونقلها، وتخزينها وتسليمها.
النقل:
سيقوم المورد بنقل السلع إلى المكان / الأماكن النهائية المحددة داخل الجمهورية اليمنية (محدد باعتباره مخازن الجهة "موقع المشروع/مواقع المشروع") المبينة طبقا للبند(8)،وعمل الترتيبات اللازمة لنقل السلع إلى ذلك المكان وعمل التأمين والتخزين اللازم الذي يتم تحديده في العقد.
الخدمات المكملة:
قد يشترط المشتري توفير الخدمات التالية كلها أو بعضها، بما في ذلك الخدمات الإضافية، إذا كانت مطلوبة وذلك بما يتناسب مع طبيعة السلع وكما هو محدد تفصيلا في جدول المتطلبات :
تنفيذ وتجميع السلع الموردة بالموقع أو بدء تشغيلها أو العمليتين معا، أو الإشراف على ذلك؛
توفير الأدوات اللازمة لتجميع أو صيانة السلع الموردة، أو العمليتين معا؛
تقديم دليل تشغيل وصيانة مفصل لكل وحدة متكاملة من السلع الموردة؛
تشغيل أو صيانة أو إصلاح السلع الموردة أو العمليتين معا أو الإشراف على ذلك لفترة يتفق عليها الطرفان، بشرط ألا تعفى تلك الخدمة المورد من أي التزامات ضمان بموجب هذا العقد؛
تدريب العاملين لدى المشتري، على تجميع وبدء تشغيل السلع الموردة، أو تشغيلها، وصيانتها، وإصلاحها أو العمليتين معا، إما في مصنع المورد أو في الموقع أو في الاثنين معا؛
قد يشترط المشتري على المورد بما يتناسب مع طبيعة السلع أن يقوم بتقديم كل أو بعض المواد والمعلومات التالية والمتعلقة بقطع الغيار التي يصنعها المورد أو يقوم بتوزيعها:
قطع الغيار التي قد يختار المشتري شراءها من المورد، على ألا يعفي اختياره هذا المورد من أي التزامات ضمان بموجب العقد؛
في حالة التوقف عن إنتاج قطع الغيار:
يقوم (المورد) بإبلاغ المشتري مقدما باعتزامه التوقف عن الإنتاج بحيث يتيح للمشتري وقتا كافيا لتدبير احتياجاته؛
بعد التوقف عن الإنتاج يقدم (المورد) للمشتري في حالة مطالبة الأخير وبالمجان رسومات وتصميمات ومواصفات قطع الغيار.
الفحص والاختبار:
يحق للمشتري أو من يمثله فحص السلع أو اختبارها أو الاثنين معا للتحقق من مطابقتها للمواصفات والكميات الواردة في العقد، وتحدد شروط العقد أنواع الفحص والاختبارات التي يشترطها المشتري ومكان إجرائها، ويخطر المشتري المورد كتابة، في الوقت المناسب، بهوية أي ممثلين له يكلفهم بأعمال الفحص والاختبار وكل أنواع الفحص والاختبار المحددة ستكون علي نفقة المورد، كل ذلك للتأكد من أن المخرجات الفنية أو الخصائص الكيميائية أو الفيزيائية متطابقة مع ما تم تحديده وكذلك التأكد من أن مدة صلاحية المواد كافية للمدة النهائية لاستخدام كامل الكمية بما يتناسب مع طبيعة تلك المواد وبصفة خاصة إذا كانت هذه المواد ستستخدم في تصنيع سلع أخرى؛
يجوز إجراء الفحص والاختبار في بلد المنشأ أو مقر المورد أو مورديه من الباطن إذا كان يختلف عن بلد المنشأ، أو في مكان التسليم، أو في المقر النهائي لوصول السلع أو في الموقعين معا. وعند إجرائه في مقر المورد أو المورد من الباطن، يتم توفير جميع التسهيلات وتقديم كل مساعدة في الحدود اللازمة للفحص بما في ذلك تمكينهم من الإطلاع على الرسومات وبيانات الإنتاج دون أن يكلف المشتري ذلك شيئا؛
في حالة عدم مطابقة السلع التي تم فحصها أو اختبارها للمواصفات، سيتم رفضها من قبل المشتري، ويلتزم المورد إما باستبدالها أو إجراء التعديلات اللازمة عليها حتى تكون مطابقة للمواصفات، دون أن يكلف المشتري ذلك شيئا؛
لا يعتبر حق المشتري في الفحص على السلع واختبارها أو رفضها عند اللزوم بعد وصولها إلى اليمن مقيدا أو تنازلا منه لسابق قيامه هو أو ممثليه بالفحص على السلع واختبارها وإجازتها قبل شحنها من بلد المنشأ؛
سيقوم المشتري أثناء عملية الفحص والاستلام الابتدائي باستلام كافة الأدلة والكتالوجات والرسومات بحسب انطباق الحالة من قبل المورد وبفترة لا تتجاوز ثلاثين يوما من تاريخ الاستلام الابتدائي، طبقا لما تم انجازه فعليا (لما تم توريده / توريده وتركيبه وتشغليه)؛
لا يترتب على نص البند (24) من الشروط العامة للعقد إعفاء المورد بأي شكل من أي ضمان أو التزام آخر بموجب هذا العقد.
في حال قيام الطرف الأول بالتعاقد مع شركة فاحصة على الطرف الثاني إن يعطي الطرف الأول والشركة الفاحصة إخطارا كتابيا قبل أسبوعين على الأقل من تصنيع المواد والمعدات بالزمان والمكان اللذان سيتم فيهما الفحص .
التركيب:
إذا تطلب العقد تركيب:على الطرف الثاني تركيب المواد والمعدات والقيام بتشغيلها في مواقع التركيب،والتركيب للبرمجيات الخاصة بالنظام وتكون على مسئوليته وبحسب الجدول الزمني المرفق.
القبول الاولي /
يعطي الطرف الثاني للطرف الأول وبصورة كتابية إخطار مدته واحد وعشرين (21) يوماً من التاريخ الذي يكون بعده جاهزاً للقيام بالاختبارات على الإنجاز، ومالم يتفق على خلاف ذلك يتم القيام بالاختبارات خلال عشرة (10)أيام بعد التاريخ المذكور في ذلك اليوم أو تلك الأيام التي يخطر الطرف الثاني بها الطرف الأول بصورة كتابية، ويجب أن تتم اختبارات الإنجاز على المعدات من قبل الطرف الثاني بموجب العقد ويقوم بها الطرف الثاني بحضور الطرف الأول طبقاً لإجراءات الاختبارات عن الإنجاز التي تقدم إلى الطرف الأول من قبل الطرف الثاني خلال فترة شهر قبل بدء الاختبارات من أجل الموافقة الكتابية عليها.
اذا لم يقم الطرف الاول بالموافقة او الرفض على اجراءات اختبار الإنجاز المقدمة من الطرف الثاني خلال فترة 75 يوم من تاريخ استلام تلك الإجراءات فتعتبر هذه الإجراءات مقبولة من الطرف الأول.
إذا تأخر الطرف الثاني في اجراء الاختبارات لانجاز القبول عن الموعد المتفق عليه فللطرف الأول ان يستدعي الطرف الثاني بأخطار كتابي للقيام بتلك الأختبارات خلال عشرة ايام من استلام ذلك الإخطار وعلى الطرف الثاني القيام بالاختبارات المذكوره في أي يوم خلال العشرة الأيام المذكورة.
إذا أخفق الطرف الثاني في القيام بتلك الاختبارات ضمن الوقت المذكور بأعلاه فيجوز للطرف الأول بذاته أن يمضي في القيام بتلك الاختبارات، إن كل الاختبارات التي تمت بهذه الصورة من قبل الطرف الأول ستكون على مخاطرة وحساب الطرف الثاني.
يخول الطرف الأول بوضع المعدات في الخدمة دون إصدار شهادة القبول الأولى في حالة أن الطرف الثاني غير قادر على إصلاح المعدات و الذي ينتج عنه رفض شهادة القبول الأولى – في أثناء 20 يوم عمل بعد استلام الرفض مفصلا فيه الأعطال، وفي حالة اصلاح او استبدال المواد والمعدات المرفوضة فيمكن أعادتها لأجراء اختبارات القبول عليها.
خلال خمسة وأربعين (45) يوم عمل بعد إكمال الاختبارات على الإنجاز واستلام كافة الوثائق الضرورية من أجل التشغيل السليم والصيانة للمعدات تصاغ شهادة قبول أولي وتوقع من قبل الطرفين مالم ترفض المعدات وفي حالة رفض المعدات يصدر الطرف الأول خلال نفس فترة الخمسة والأربعين يوم عمل تقريراً إلى الطرف الثاني يبين النقوصات او العيوب التي أدت إلى الرفض. وفي هذه الحالة يقوم الطرف الثاني بمعالجة النقوصات او العيوب ويعيد عرض المعدات ذات الصلة من أجل القبول طبقاً للإجراءات المذكورة أعلاه.
إن العيوب الصغيرة أو النقوصات التي لا تؤثر على الاستعمال العملي للمعدات لن تعطي ذريعة لرفض المعدات المعنية وعلى الطرف الثاني ان يتعهد بمعالجة تلك العيوب والنقوصات بكل سرعة ممكنة وبحسب الفترة التي سيحددها الطرف الأول.
القبول النهائي /
في نهاية فترة ضمان الجودة يخطر الطرف الثاني الطرف الأول بصورة كتابية قبل خمسة وأربعين يوماً من القيام باختبارات القبول النهائي.
قبل تاريخ اختبار القبول النهائي يقترح الطرف الثاني إجراءات اختبارات خاص والتي ينبغي الموافقة عليها أو تعديلها من قبل الطرف الأول بالاتفاق المشترك مع الطرف الثاني.
إذا لم يكن هناك موافقة خطية من الطرف الأول فإن العيوب الصغيرة والنقوصات التي لاتؤثر على الاستعمال العملي للمعدات تعطي ذريعة لرفض المعدات المعنية ولكن بموافقة خطية من الطرف الاول على الطرف الثاني القيام بمعالجة تلك العيوب والنقوصات بأسرع وقت ممكن.
حالما يتم إنجاز الأعمال طبقاً للعقد وتكون قد اجتازت الاختبارات عند الإنجاز فإن على الطرف الأول إصدار شهادة إلى الطرف الثاني والتي فيها يشهد بالتاريخ الذي أنجزت فيه الأعمال بتلك الصورة واجتازت الاختبارات المذكورة ويعتبر الطرف الأول أنه قد تسلم الأعمال في التاريخ الذي تم التشهيد فيه كذلك ، لكن إصدار شهادة قبول لن تنفع كاعتراف بأن الأعمال قد أنجزت من كافة أوجهها.
في حالة تجزئة الأعمال بالعقد لجزئين أو أكثر يكون من حق الطرف الأول أن يتسلم أي جزء أو أجزاء قبل الجزء الآخر أو الأجزاء الأخرى وعند ذلك يصدر الطرف الأول شهادة قبول فيما يتعلق بذلك.
إذا تم باتفاق بين الطرف الأول والطرف الثاني أن يتم استلام أي جزء من الأعمال قبل بقية الأعمال يصدر الطرف الأول شهادة قبول فيما يتعلق بذلك الجزء. إذا أخفق أي جزء من الأعمال في اجتياز اختبار الإنجاز يصدر الطرف الأول تقريراً إلى الطرف الثاني مبيناً فيه النقوصات التي أدت إلى رفض ذلك الجزء، وفي هذه الحالة سيقوم الطرف الثاني بمعالجة النقوصات بكل اجتهاد وسرعة خلال الفترة التي سيحددها الطرف الأول ويعاد عرض ذلك الجزء من الأعمال المعنية من أجل القبول.
تأخر المورد في التنفيذ:
يقوم المورد بتسليم السلع وتنفيذ الخدمات حسب الجدول الزمني الذي يحدده المشتري في جدول المتطلبات (المستلزمات)؛
يتعين على المورد إذا واجهته هو أو مورد أو أكثر من مورديه من الباطن في أي وقت أثناء تنفيذ العقد، ظروف تحول دون تسليم السلع وتنفيذ الخدمات في الموعد المحدد، أن يخطر المشتري فورا كتابة بواقعة التأخير ومدته المحتملة و أسبابه. وعلى المشتري أن يقوم بأسرع ما يمكن عمليا بعد استلام إخطار المورد، بتقييم الموقف، ويجوز له، إذا رأى، مد موعد التنفيذ للمورد مع تحميله الغرامات المحددة في البند (27)؛
أي تأخير من جانب المورد في تنفيذ التزاماته بالتسليم يعرضه لتحمل الغرامات المقررة طبقا لما هو وارد في البند (27) من هذه الشروط.
غرامات التأخير:
سيقوم المشتري باحتساب غرامة تأخير على المورد في حالة تأخير التوريد عن المواعيد المحددة في العقد حيث سيتم احتساب غرامة التأخير من قيمة البنود التي لم يتم تنفيذها على النحو التالي:
1% من قيمة المواد الخاضعة للغرامة عن الأسبوع الأول أو أي جزء منه.
1.5% من قيمة المواد الخاضعة للغرامة عن الأسبوع الثاني أو أي جزء منه.
2% من قيمة المواد الخاضعة للغرامة عن الأسبوع الثالث أو أي جزء منه.
د) 3% من قيمة المواد الخاضعة للغرامة عن الأسبوع الرابع أو أي جزء منه.
وإذا تأخر بعد ذلك سيتم احتساب غرامة بنسبة 4% لكل شهر أو جزء منه وذلك لكل فترة مما تقدم على حدة بحيث لا يتجاوز مجموع الغرامة عن 15% من إجمالي قيمة العقد للتوريدات وبما لا تتجاوز مدة التأخير كحد أقصى ثلاثة أشهر.
إذا تجاوزت الغرامة النسبة أو الفترة المحددة في البند (27) سيكتفي بالغرامة المحددة ومصادرة ضمان الأداء.
غرامة التأخير في السداد:
سيقوم المشتري باحتساب غرامة سداد لصالح المورد في الحالات الآتية:
عدم وجود أي مبرر قانوني للتأخير في السداد.
عدم وجود أي نقص في الوثائق أو البيانات أدت لتأخير السداد.
سيتم احتساب غرامة السداد بعد مضي (90) يوما من تسليم شهادة الدفع وصدور قرار لجنة الفحص والاستلام بشرط عدم تدخل المورد بطريقة مباشرة أو غير مباشرة بإجراءات المعاملة وتحسب غرامة تأخير السداد على النحو التالي: (قيمة البنود المتأخرة × 15% × مدة التأخير ÷ 365).
ضمان جودة السلع:
يقدم المورد ضمانا كتابيا موقع ومختوم بختم المصنع بأن السلع التي تم توريدها بموجب العقد جديدة، ولم يسبق استعمالها، ومن آخر طراز أو من طراز جار يتضمن جميع التحسينات الحديثة التي أدخلت على التصميم والمكونات، كما يضمن المورد أن جميع السلع الموردة بموجب هذا العقد خالية من أي عيوب ناشئة من التصميم أو المواد أو الصنع أو ناجمة عن أي فعل أو تقصير من جانب المورد قد يظهر خلال الاستعمال العادي للبضائع الموردة في الظروف السائدة في البلد الموصل إليه؛
سيقوم المشتري بتحديد فترة سريان ضمان الجودة بفترة لا تقل عن سنة ما لم تتطلب طبيعة العقد فترة أطول فسيتم تحديدها ضمن الشروط الخاصة بحيث تكون سارية المفعول من تاريخ التوريد/التوريد والتركيب/ التوريد والتركيب والتشغيل وأجراء الاستلام الابتدائي؛
يخطر المشتري المورد فورا بموجب خطاب كتابي بأي مطالبات تنشأ بموجب ضمان الجودة؛
بمجرد استلام الإخطار المشار إليه، يقوم المورد خلال الفترة المحددة في هذه الشروط، وبالسرعة المناسبة، بإصلاح أو استبدال السلع أو الأجزاء التي بها عيوب دون تحميل المشتري أية تكاليف في هذا الشأن؛
في حالة عدم قيام المورد، بعد إخطاره، بإصلاح العيوب خلال الفترة المحددة في هذه الشروط ، يحق للمشتري أن يتخذ الإجراءات التعويضية اللازمة على مسؤولية وحساب المورد، سواء من المبالغ المستحقة لمواد تم توريدها أو من مبالغ محتجزة أو من ضمان الأداء أو من أي حقوق أخرى للمورد لدى المشتري أو لدى مشتري حكومي آخر.
ضمان التشغيل (الصيانة):
سيقوم المشتري بحجز ما لا يقل عن 15% من قيمة العقد كضمان تشغيل/ تركيب وتشغيل وتدريب حيث سيتم حجزها أثناء دفع المستحقات للمورد سواء دفعة واحدة أو على دفعات.
حدود الالتزام:
باستثناء حالات الإهمال الجنائية أو سوء التصرف المقصود بانتهاك نصوص البند رقم (16) من الشروط العامة للعقد:
فإن المورد سوف لن يكون مسئولا أمام المشتري في إطار العقد عن أي أضرار مباشرة أو سوء الاستخدام أو الإنتاج أو خسارة الأرباح أو المنافع مع التأكيد على أن هذا الاستبعاد سوف لن يطبق على أي التزام من قبل المورد لدفع أي غرامات أضرار للمشتري؛
مع عدم الإخلال بالبند (27) من الشروط العامة للعقد يكون إجمالي التزام المورد تجاه المشتري طبقا للعقد الموقع بين الطرفين ولن يتجاوز إجمالي مبلغ العقد على أن يطبق هذا الحد على تكاليف أصلاح أو استبدال المعدات المعطوبة.
القوة القاهرة:
بغض النظر عن أحكام البنود (26)،(27)،(36) من الشروط العامة للعقد، لا يكون المورد معرضا لمصادرة ضمان الأداء المقدم منه أو لدفع التعويضات المقررة أو لإنهاء العقد بسبب التقصير وذلك إلى المدى الذي يكون فيه تأخيره في التنفيذ أو عجزه عن أداء التزاماته المترتبة على العقد راجعا إلى أحداث قوة قاهرة؛
يقصد "بالقوة القاهرة" في حكم هذا البند أي حدث خارج عن إرادة المورد وغير مترتب على خطأ منه أو إهماله، ولا يمكن توقعه. وتشمل هذه الأحداث على سبيل المثال لا الحصر ، الحروب أو الثورات، الحرائق، الفيضانات، الأوبئة، قيود الحجر الصحي، وحضر نقل السلع؛
في حالة تحقق ظرف من ظروف القوة القاهرة، يقوم المورد بإخطار المشتري كتابة من فوره بفحوى هذه الظروف وأسبابها. ويستمر المورد في تنفيذ التزاماته بموجب العقد إلى أقصى حد عملي إلا إذا أشار المشتري كتابة بغير ذلك. كما يسعى إلى إتباع وسائل معقولة بديلة للتنفيذ مما لايحول دون إتباعها ظرف القوة القاهرة.
أوامر التغيير والتعديل:
يجوز للمشتري في أي وقت، بموجب أمر كتابي مقدم للمورد طبقا للبند (6) من الشروط العامة للعقد، أن يجرى تغييرات في حدود الإطار العام للعقد في جانب أو أكثر من الجوانب التالية:
الرسومات أو التصاميم أو المواصفات، إذا كانت السلع المطلوب توريدها بموجب العقد يتم تصنيعها خصيصا للمشتري؛
طريقة الشحن أو التغليف؛
موقع التسليم؛
الخدمات التي يتعين على المورد تقديمها.
إذا أدت مثل هذه التغييرات إلى زيادة أو تخفيض التكلفة لتنفيذ المورد أي أحكام في هذا العقد أو الوقت اللازم للقيام بذلك، تجري تسوية منصفة لهذه البنود، بشرط أن لا تتجاوز الزيادة في السعر لهذه التغييرات عن (10%) من قيمة العقد الأصلي.
تمديد العقد:
إذا حدث أثناء تنفيذ العقد أن واجهت المورد أو مورديه من الباطن أي ظروف إعاقتهم عن توريد السلع أو استكمال الخدمات المكملة طبقا للبند (33) من الشروط العامة للعقد فإن عليه إبلاغ المشتري فورا خطيا بهذا التأخير والمدة المتوقعة له وأسبابه، وحال استلام المشتري لهذا الإشعار يجب أن يتم الاتفاق على تعديل العقد لتضمين هذا التمديد؛
باستثناء حالات الظروف القاهرة إذا حدث تأخير من قبل المورد في أداء التزاماته المتعلقة بتوريد السلع واستكمال الخدمات المكملة فإن ذلك سيؤدي بالمورد لسداد غرامات التأخير طبقا للبند (27) من الشروط العامة للعقد إلا إذا تم الاتفاق على تمديد العقد طبقا للشروط العامة للعقد بند (34).
تعديل العقد:
مع مراعاة البند (33) من الشروط العامة للعقد، لا يجري تبديل أو تغيير في شروط العقد إلا بموجب تعديل كتابي موقع من الطرفين.
إنهاء العقد:
مع عدم الإخلال بأي جزاءات أخرى متاحة ومقررة نتيجة للإخلال بالعقد – يحق للمشتري إنهاء العقد كله أو جزء منه بموجب إخطار كتابي يوجه إلى المورد بالتقصير في تنفيذ التزاماته وذلك في الحالات التالية:
إذا أخفق المورد في تسليم كل أو بعض السلع خلال الفترة المحددة في العقد أو خلال أي تمديد للمدة المحددة من قبل المشتري؛
إذا تأكد المشتري أن المورد قد تورط في عمل من أعمال الرشوة أو التدليس أو التواطؤ بغرض الحيلولة من وجود المنافسة من اجل الحصول على العقد بطريقة مباشرة أو غير مباشرة؛
إذا أصبح المورد مفلسا أو معسرا وثبت ذلك بحكم قضائي بات.
يحق للمشتري في حالة إنهاء العقد الموافقة على السلع الجاهزة والمعدة والقابلة للاستخدام لذاتها دون ربطها بالبضائع التي لم يتم توريدها خلال ثلاثين (30) يوما من استلام المورد للإخطار بالإنهاء، وذلك بالشروط والأسعار الواردة في العقد.
يحق للمشتري في حالة قيامه بإنهاء العقد كليا أو جزئيا تنفيذا للبند (36) من الشروط العامة للعقد، أن يشتري بالشروط وبالطريقة التي يراها مناسبة بضائع وخدمات مشابهة لتلك التي لم يتسلمها، ويكون المورد مسئولا أمام المشتري عن أي تكاليف إضافية لتلك السلع أو الخدمات المشابهة. سواء من المبالغ المستحقة لمواد تم توريدها أو من مبالغ محتجزة أو من ضمان الأداء أو من أي حقوق أخرى للمورد لدى المشتري أو لدى مشتري حكومي آخر ورغم ذلك يستمر المورد في تنفيذ ما لم يتم إنهاءه من العقد.
تسوية الخلافات:
سيبذل المشتري والمورد أقصى جهودهما لتسوية أي خلاف قد ينشأ بينهما يتعلق بالعقد وذلك بطريقة ودية من خلال التفاوض المباشر بغية حل الإشكال وبما ينسجم مع شروط العقد؛
إذا تعذر على المشتري والمورد بعد ثلاثين (30) يوما من بداية المفاوضات غير الرسمية تسوية النزاع حول العقد وديا، يجوز لأي من الطرفين أن يطلب إحالة النزاع للبت فيه عن طريق التحكيم وفقا لقانون التحكيم اليمني؛
إذا تم الاتفاق بين الطرفين (المشتري والمورد) على حل النزاع عن طريق التحكيم فيجب ان يكون هذا الاتفاق خطيا وسيعتبر قرار التحكيم الصادر ملزما للطرفين ولا يحق لأي من الطرفين الاعتراض إلا بموجب النصوص المسموح بها في قانون التحكيم اليمني؛
إذا لم يتم الاتفاق بين الطرفين (المشتري والمورد) على حل النزاع عن طريق التحكيم فأنه يحق للمشتري اتخاذ ما يراه مناسبا تجاه المورد وفقا لشروط العقد وبالمقابل يحق للمورد إذا رأى أن هناك حيف أو ضرر في قرار المشتري يحق له اللجوء إلى المستوى الأعلى للمشتري أو اللجوء إلى القضاء؛
وعلى الرغم من الإحالة للتحكيم:
يستمر الطرفين بأداء التزاماتهم في إطار العقد؛
قيام المشتري بسداد مستحقات المورد إن وجدت بشرط أن تكون السلع والخدمات قد تم توريدها من قبل المورد وتم قبولها من قبل المشتري.
مقاطعة إسرائيل:
يلتزم المورد وجميع من يستخدمون في تنفيذ التوريدات والخدمات المكملة وصيانتها بالامتناع عن التعامل مع دولة إسرائيل وأن لا يستورد منها بشكل مباشر وغير مباشر وإذا ما تيقن المشتري في أي وقت خلال مدة نفاذ العقد بأن المورد خالف أحكام هذا البند فإن له الحق في إنهاء العقد ومطالبة المورد بالتعويضات عن الأضرار الناجمة عن هذا الإنهاء، وفي هذه الحالة يحق للمشتري مصادرة ضمان الأداء وأي مستحقات أخرى.
