2. Της ….., η οποία εκπροσωπείται νόμιμα για την υπογραφή της παρούσας από τον … (καλούμενη στο εξής η “Δανειζόμενη”)
1. ΠΟΣΟ ΤΟΥ ΔΑΝΕΙΟΥ
1.1 Με την παρούσα Σύμβαση η Τράπεζα συμφωνεί να χορηγήσει στην Δανειζόμενη δάνειο μέχρι είτε (α) ποσού Δολλαρίων ΗΠΑ εβδομήντα έξι εκατομμυρίων τριακοσίων είκοσι χιλιάδων (US$76.320.000), ή (β) ποσοστού 80% του Τιμήματος Αγοράς ή (γ) ποσοστού 80% της Εμπορικής Αξίας του κατωτέρω περιγραφόμενου Πλοίου, όποιο εκ των τριών ποσών είναι ολιγότερο (στο εξής καλούμενο το “Δάνειο”, με τον οποίο όρο νοείται το ποσό που θα καταβληθεί στην Δανειζόμενη σύμφωνα με την παρούσα ή - ανάλογα με την περίπτωση - κάθε ποσό κεφαλαίου, που εκάστοτε οφείλεται προς την Τράπεζα, σύμφωνα με τους όρους της παρούσας), εκ των ιδίων διαθεσίμων της Τράπεζας σε ελεύθερο συνάλλαγμα ή που θα εξεύρει η Τράπεζα στην διατραπεζική αγορά, το οποίο θα χορηγηθεί κατά τα υπό 3 οριζόμενα και θα αποδοθεί κατά τα υπό 5 οριζόμενα.
1.2 Συμφωνείται ρητά ότι, εφόσον η Δανειζόμενη προβεί στην σύναψη Χρονοναύλωσης πριν την Ημερομηνία Παράδοσης του Πλοίου και προσκομίσει στην Τράπεζα τα σχετικά αποδεικτικά στοιχεία που θα την ικανοποιούν τυπικά και ουσιαστικά, το υπό 1.1 (γ) ποσοτικό κριτήριο της Εμπορικής Αξίας του εν λόγω Πλοίου δεν θα λαμβάνεται υπόψη για τον προσδιορισμό του Δανείου.
1.3 Το Δάνειο χορηγείται κατά τις διατάξεις της υπ' αριθμόν 187/1/19.10.1978 αποφάσεως της Υποεπιτροπής Πιστώσεων της Νομισματικής Επιτροπής «περί τραπεζικών εργασιών σε ελεύθερο συνάλλαγμα μετά Ναυτιλιακών Επιχειρήσεων», που κυρώθηκε με την υπ' αριθμόν 142/13/20.11.1978 πράξη του Υπουργικού Συμβουλίου και δημοσιεύθηκε στο ΦΕΚ (τεύχος Α) 195/20.11.1978, όπως ισχύουν.
2. ΣΚΟΠΟΣ ΤΟΥ ΔΑΝΕΙΟΥ - ΚΑΛΥΨΗ ΠΡΑΓΜΑΤΟΠΟΙΗΣΗΣ - ΟΡΙΣΜΟΙ
2.1 Το Δάνειο χορηγείται με σκοπό την κάλυψη μέχρι ποσοστού 80% του Τιμήματος Αγοράς από την Δανειζόμενη του Πλοίου, το οποίο ναυπηγείται σήμερα για λογαριασμό της Πωλήτριας και το οποίο με την αγορά και παράδοση του στην Δανειζόμενη, σύμφωνα με τους όρους του Συμφωνητικού Αγοραπωλησίας, θα νηολογηθεί υπό την πλοιοκτησία της τελευταίας και υπό την Εγκεκριμένη σημαία.
2.2 Η Δανειζόμενη θα διαθέσει από ίδια διαθέσιμα κάθε ποσό, πέραν του ποσού του Δανείου,
που απαιτείται για την πραγματοποίηση του υπό 2.1 σκοπού.
2.3 Σε περίπτωση που αυξηθεί, για οποιονδήποτε λόγο, η δαπάνη που απαιτείται για την ολοκλήρωση του υπό 2.1 σκοπού, η Δανειζόμενη υποχρεούται να καλύψει την αύξηση αυτή με δικά της διαθέσιμα και η Τράπεζα ουδεμία υποχρέωση αυξήσεως του ποσού του Δανείου αναλαμβάνει.
2.4 Για τους σκοπούς της παρούσας Σύμβασης, εκτός εάν ορίζεται διαφορετικά, οι παρακάτω όροι θα έχουν την ακόλουθη αντίστοιχα, έννοια:
“Ασφάλειες” σημαίνει το σύνολο των ασφαλιστηρίων συμβολαίων και των συμβάσεων ασφάλισης (η οποία περιλαμβάνει κάθε εγγραφή του Πλοίου σε αλληλοασφαλιστικό οργανισμό ασφάλισης αστικής ευθύνης έναντι τρίτων ή κινδύνων πολέμου) οποτεδήποτε συνάπτονται σε σχέση με το Πλοίο ή τα Έσοδα και όλα τα ωφελήματα του (συμπεριλαμβανομένων κάθε μορφής αξιώσεων και επιστροφής ασφαλίστρων).
“Αποζημίωση Επίταξης” σημαίνει το σύνολο της χρηματικής ή άλλης μορφής αποζημίωσης πληρωτέας από την υπογραφή της παρούσας και μέχρι την εκπλήρωση όλων των εξ αυτής υποχρεώσεων της Δανειζόμενης λόγω επίταξης κατά κυριότητα ή κάθε άλλης υποχρεωτικής επίταξης του Πλοίου ή λόγω επίταξης κατά χρήση.
“Δείκτης Αναφοράς Επιτοκίου” σημαίνει το επιτόκιο LIBOR (Διατραπεζικό Επιτόκιο Λονδίνου) ή, με την επιφύλαξη των κατωτέρω διαλαμβανόμενων, σε περίπτωση εξαφάνισης ή αντικατάστασης τούτου, ως Δείκτης Αναφοράς Επιτοκίου νοείται εκείνος που τυχόν θα υποκαταστήσει ή αντικαταστήσει στο μέλλον το επιτόκιο LIBOR.
“Διαχειρίστρια” σημαίνει, σε σχέση με το Πλοίο, την εδρεύουσα, σύμφωνα με το καταστατικό της, στη Μονρόβια Λιβερίας εταιρεία με την επωνυμία …., η οποία έχει εγκαταστήσει γραφείο ν. 89/67 (ήδη 378/68) στην Ελλάδα, ή οποιοδήποτε άλλο πρόσωπο υποδειχθεί από την Δανειζόμενη ως διαχειρίστρια του Πλοίου, μετά την προηγούμενη γραπτή συναίνεση της Τράπεζας.
“Δολλάριο ΗΠΑ” ή “Δολλάριο” ή “USD” ή “$”σημαίνει το επίσημο νόμισμα των
Ηνωμένων Πολιτειών της Αμερικής.
“Έγγραφα Εξασφάλισης” σημαίνει την παρούσα Σύμβαση Δανείου, την Εγγύηση, την
Υποθήκη, τις Γενικές Εκχωρήσεις, την Ειδική Εκχώρηση, το Ενέχυρο του Λογαριασμού και
κάθε άλλη σύμβαση, συμφωνία, δήλωση ή έγγραφο, που έχουν ή πρόκειται να συναφθούν
στο μέλλον και με τις οποίες παρέχονται εμπράγματες και/ή ενοχικές εξασφαλίσεις προς
εξασφάλιση του Δανείου και εν γένει της Οφειλής ή οποιουδήποτε μέρους αυτής, όπως τυχόν
συμπληρωθούν ή/και τροποποιηθούν στο μέλλον.
“Εγγύηση” σημαίνει τη σύμβαση εγγύησης που πρόκειται να συναφθεί μεταξύ της Τράπεζας
και του Εγγυητή, σύμφωνα με την οποία ο Εγγυητής εγγυάται αλληλεγγύως και εις ολόκληρο
με την Δανειζόμενη προς την Τράπεζα την προσήκουσα εξόφληση της Οφειλής καθώς και
την από την Δανειζόμενη άμεση και προσήκουσα εκπλήρωση όλων των με την παρούσα
Σύμβαση και τα λοιπά Έγγραφα Εξασφάλισης αναλαμβανόμενων υποχρεώσεων, όπως τυχόν
αυτή τροποποιηθεί ή/και συμπληρωθεί στο μέλλον.
“Εγγυητής” σημαίνει τη Διαχειρίστρια που πρόκειται να παράσχει Εγγύηση προς την
Τ ράπεζα.
“Εγκεκριμένη Σημαία” σημαίνει, σε σχέση με το Πλοίο, τη σημαία εκείνης της χώρας που
θα εγκρίνει η Τράπεζα κατά την ανέλεγκτη κρίση της για τη νηολόγηση του Πλοίου.
“Εργάσιμη Ημέρα” σημαίνει, για τους σκοπούς της παρούσας, κάθε ημέρα (εκτός Σαββάτου
και Κυριακής) κατά την οποία πραγματοποιούνται συναλλαγές σε καταθέσεις Δολλαρίων
στην Διατραπεζική Αγορά του Λονδίνου και κατά την οποία είναι ανοικτές οι τράπεζες για
συναλλαγές συναλλάγματος στο Λονδίνο, στη Νέα Υόρκη, στην Αθήνα, στον Πειραιά και σε
οποιαδήποτε άλλη χώρα ή πόλη απαιτείται να διενεργηθεί οποιαδήποτε πράξη σύμφωνα με
την παρούσα.
“Έσοδα” σημαίνει κάθε χρηματικό ποσό που οφείλεται προς την Δανειζόμενη σε
οποιαδήποτε χρονική στιγμή, το οποίο προκύπτει από τη χρήση ή την εκμετάλλευση του
Πλοίου.
“Ευρώ” ή “€” σημαίνει το επίσημο νόμισμα των κρατών-μελών της Ευρωπαϊκής Ένωσης.
“Ημερομηνία Εκταμίευσης” σημαίνει οιαδήποτε Εργάσιμη Ημέρα εντός της Περιόδου
Διαθεσιμότητας κατά την οποία πρόκειται να γίνει η εκταμίευση του Δανείου.
“Ημερομηνία Καταβολής Τόκου” σημαίνει την τελευταία ημέρα κάθε Περιόδου
Εκτοκισμού κατά την οποία, εκτός αν άλλως προβλέπεται στην παρούσα, λογίζεται και
πρέπει να καταβάλλεται το σχετικό ποσό τόκου.
“Ημερομηνία Παράδοσης” σημαίνει, σε σχέση με το Πλοίο, την ημερομηνία (φυσικής)
παράδοσης από την Πωλήτρια στην Δανειζόμενη και την ανεπιφύλακτη παραλαβή από την
τελευταία του Πλοίου, όπως αυτή θα πιστοποιηθεί στο σχετικό πρωτόκολλο παράδοσης και
παραλαβής (protocol of delivery and acceptance) που θα υπογραφεί μεταξύ της Πωλήτριας
και της Δανειζόμενης σύμφωνα με το Συμφωνητικό Αγοραπωλησίας και η οποία
(ημερομηνία) θα πρέπει να συμπίπτει με την ημερομηνία νηολόγησης του εν λόγω πλοίου
στην Εγκεκριμένη Σημαία, στο όνομα και υπό την πλοιοκτησία της Δανειζόμενης και την
καταχώρηση της Υποθήκης υπέρ της Τράπεζας.
“Ημερομηνία Χρονοναύλωσης” σημαίνει, σε σχέση με την Χρονοναύλωση, την
ημερομηνία κατά την οποία θα γνωστοποιήσει η Τράπεζα προς την Δανειζόμενη την αποδοχή
ή μη της Χρονοναύλωσης.
“LIBOR” σημαίνει, σε σχέση με ένα χρηματικό ποσό του αυτού νομίσματος και ίσο με το
εκάστοτε ανεξόφλητο υπόλοιπο του Δανείου για μια συγκεκριμένη χρονική περίοδο, το
επιτόκιο:
(ι) το οποίο καθορίζεται με βάση τον Κανονισμό Λειτουργίας LIBOR ΒΒΑ (British Bankers
Association) για την χρονική αυτή περίοδο από την Τράπεζα και δημοσιοποιείται στην
ηλεκτρονική σελίδα LIBOR 01 του Πρακτορείου REUTERS (εφεξής “REUTERS”) (ή στη
σχετική σελίδα άλλου ισοδύναμου συστήματος που εκάστοτε το υποκαθιστά ή άλλου
ισοδύναμου συστήματος που τυχόν στο μέλλον θα το αντικαταστήσει), την ή περί την 11ην
π.μ. (ώρα Λονδίνου) δύο Εργάσιμες Ημέρες πριν την έναρξη κάθε Περιόδου Εκτοκισμού, ή
(ιι) αν δεν εμφανίζεται τέτοιο επιτόκιο στην προαναφερθείσα σελίδα του REUTERS (ή στη
σχετική σελίδα άλλου ισοδύναμου συστήματος ή άλλου συστήματος που τυχόν στο μέλλον
θα το αντικαταστήσει) κατά τον κρίσιμο χρόνο, το επιτόκιο, στρογγυλοποιούμενο προς τα
πάνω, αν απαιτείται, στο πλησιέστερο 1/16 μιας εκατοστιαίας μονάδας, που προσφέρεται από
την Τράπεζα σε πρώτης τάξεως Τράπεζες για προθεσμιακές καταθέσεις σε Δολλάρια ΗΠΑ
ποσού ίσου με το εκάστοτε ανεξόφλητο υπόλοιπο του Δανείου και για την αυτή χρονική
περίοδο, στη Διατραπεζική Αγορά Ευρωδολλαρίων του Λονδίνου, την ή περί την 11ην π.μ.
(ώρα Λονδίνου), δύο Εργάσιμες Ημέρες πριν την έναρξη κάθε Περιόδου Εκτοκισμού.
“μήνας”. Η περίοδος ενός ή περισσοτέρων “μηνών” λήγει την ημέρα του σχετικού
ημερολογιακού μήνα, η οποία αριθμητικά αντιστοιχεί στην ημέρα του ημερολογιακού μήνα
κατά την οποία άρχισε η εν λόγω περίοδος (“η αντίστοιχη ημέρα”), πλην όμως μια τέτοια
περίοδος θα λήγει (α) την αμέσως επόμενη Εργάσιμη Ημέρα της αντίστοιχης ημέρας, εάν η
αντίστοιχη ημέρα δεν είναι Εργάσιμη Ημέρα ή, σε περίπτωση που δεν ακολουθεί Εργάσιμη
Ημέρα τον ίδιο ημερολογιακό μήνα, την αμέσως προηγούμενη (της αντίστοιχης ημέρας)
Εργάσιμη Ημέρα ή (β) την τελευταία Εργάσιμη Ημέρα του σχετικού ημερολογιακού μήνα,
εάν στον τελευταίο ημερολογιακό μήνα της εν λόγω περιόδου δεν υπάρχει αντίστοιχη ημέρα.
“Ναυπηγείο” σημαίνει, σε σχέση με το Πλοίο, μαζί τις εδρεύουσες στην Κίνα εταιρείες
Shanghai Waigaoqiao Shipbuilding Co. Ltd. και China Shipbuilding Trading Company,
Limited.
“Ναυτιλιακός Όμιλος Εταιρειών” ή “Όμιλος” σημαίνει το σύνολο των νομικών προσώπων
που δραστηριοποιούνται σε κάθε είδους ναυτιλιακές επιχειρήσεις και εργασίες με
αντικείμενο την πλοιοκτησία ή/και διαχείριση πλοίων ξηρού φορτίου και έχουν αμοιβαία
οικονομικά συμφέροντα ή συνδέονται οικονομικά και/ή διοικητικά και/ή μετοχικά με την
Δανειζόμενη και/ή τον Εγγυητή ή με τα φυσικά ή νομικά πρόσωπα που ασκούν την
ουσιαστική διοίκηση ή διαχείριση ή συμμετέχουν πλειοψηφικά στη μετοχική σύνθεση της
Δανειζόμενης, εξαιρούμενων των νομικών εκείνων προσώπων, των οποίων οι μετοχές
διαπραγματεύονται σε οργανωμένη χρηματιστηριακή αγορά καθώς και των θυγατρικών τους.
“Περίοδος Διαθεσιμότητας” σημαίνει, σε σχέση με το Δάνειο, την περίοδο που αρχίζει από
την ημερομηνία της παρούσας σύμβασης και λήγει την:
(α) 28η Φεβρουάριου 2011 (ή την μεταγενέστερη εκείνη ημερομηνία που θα αποδεχθεί η
Τράπεζα κατά την απόλυτη κρίση της), ή
(β) εφόσον αυτή επέλθει ενωρίτερα, την Ημερομηνία Εκταμίευσης του Δανείου.
“Περίοδος Εκτοκισμού” σημαίνει, σε σχέση με το Δάνειο, κάθε περίοδος υπολογισμού
τόκου σε σχέση με το Δάνειο, προσδιοριζόμενη σύμφωνα με τους όρους 4.2, 4.3 και 4.4 της
παρούσας.
“Πλοίο” σημαίνει ένα πλοίο μεταφοράς χύδην φορτίου τύπου Cape 177.000 τόνων νεκρού
βάρους (dwt) περίπου, το οποίο ναυπηγείται σήμερα από το Ναυπηγείο με αριθμό κύτους
(hull no.) Hl 146 και, αφού περιέλθει στην Πωλήτρια και νηολογηθεί υπό την πλοιοκτησία
της υπό τη σημαία των Νήσων Μάρσαλ, θα νηολογηθεί στη συνέχεια κατά την Ημερομηνία
Παράδοσης υπό την πλοιοκτησία της Δανειζόμενης υπό την Εγκεκριμένη σημαία με όνομα
που θα επιλέξει η τελευταία και θα γνωστοποιήσει στην Τράπεζα τουλάχιστον τριάντα (30)
ημερολογιακές ημέρες πριν την Ημερομηνία Παράδοσης.
“Πρώτη Εκταμίευση” σημαίνει την πρώτη εκταμίευση οιουδήποτε ποσού εκ του
συνομολογουμένου με την παρούσα Δανείου.
“Πωλήτρια” σημαίνει την εδρεύουσα στη Λιβερία εταιρεία με την επωνυμία ‘….’ και περιλαμβάνει τους διαδόχους της.
“Συμφωνητικό Αγοραπωλησίας” σημαίνει, σε σχέση με το Πλοίο, το από 27.9.2007
συμφωνητικό (Memorandum of Agreement) μεταξύ της Πωλήτριας και της Δανειζόμενης
σχετικά με την πώληση από την Πωλήτρια και την αγορά από την Δανειζόμενη του Πλοίου,
όπως τυχόν αυτό τροποποιηθεί ή συμπληρωθεί από καιρό σε καιρό με τη συναίνεση της
Τ ράπεζας.
“Τελική Ημερομηνία Εξόφλησης” σημαίνει, σε σχέση με το Δάνειο:
(α) την ημερομηνία (δήλη ημέρα) που απέχει εκατόν είκοσι (120) μήνες από την
Ημερομηνία Εκταμίευσης του Δανείου, ή
(β) σε περίπτωση καταγγελίας της παρούσας Σύμβασης για οποιονδήποτε λόγο, την
ημερομηνία καταγγελίας.
“Τίμημα Αγοράς” σημαίνει το τίμημα που θα καταβληθεί από την Δανειζόμενη στην Πωλήτρια σύμφωνα με τον όρο 1 του Συμφωνητικό Αγοραπωλησίας και το οποίο ανέρχεται στο ποσό των Δολλαρίων ΗΠΑ ενενήντα πέντε εκατομμυρίων τετρακοσίων χιλιάδων (US$
95.400.000) ή εκείνο το ποσό που θα καθορισθεί σύμφωνα με τους όρους του Συμφωνητικού Αγοραπωλησίας.
“Χρονοναύλωση” σημαίνει, σε σχέση με το Πλοίο, οποιαδήποτε μέλλουσα να συναφθεί σύμβαση ναυλώσεως (εφεξής η “Σύμβαση Ναυλώσεως”) μεταξύ της Δανειζόμενης ως εκναυλώτριας και διεθνώς αναγνωρισμένου και αποδεκτού από την Τράπεζα, ναυλωτή (εφεξής ο “Ναυλωτής”), σχετικά με την χρονοναύλωση του Πλοίου για χρονικό διάστημα, με ναύλο και λοιπούς όρους της απόλυτης αποδοχής της Τράπεζας, την οποία πάντως η τελευταία δεν θα αρνηθεί χωρίς εύλογη αιτία, όπως τυχόν κάθε τέτοια σύμβαση τροποποιηθεί
ή/και συμπληρωθεί ή/και παραταθεί από καιρό σε καιρό με τη συναίνεση της Τράπεζας.
3. ΑΝΑΛΗΨΗ ΤΟΥ ΔΑΝΕΙΟΥ - ΛΟΓΑΡΙΑΣΜΟΣ ΠΑΡΑΚΟΛΟΥΘΗΣΗΣ
3.1 Το Δάνειο θα χορηγηθεί από την Τράπεζα προς την Δανειζόμενη δια μιας εφάπαξ καταβολής εντός της Περιόδου Διαθεσιμότητας για την πραγμάτωση των σκοπών του Όρου 2.1.
Μετά την Περίοδο Διαθεσιμότητας και εκτός εάν υπάρξει αντίθετη, γραπτή συμφωνία, η Τράπεζα δεν θα υποχρεούται να χορηγήσει το Δάνειο, της Δανειζόμενης παραιτουμένης από τώρα από κάθε τυχόν δικαίωμά της να ζητήσει την εκταμίευση του Δανείου μετά την παρέλευση της Περιόδου Διαθεσιμότητας.
3.2 Για την κατά τα ανωτέρω ανάληψη του Δανείου η Δανειζόμενη θα υποβάλει στην Τράπεζα σχετική έγγραφη ανέκκλητη ειδοποίηση (“Ειδοποίηση Εκταμίευσης”) με περιεχόμενο κατά βάση όμοιο με το συνημμένο στην παρούσα ως Σχέδιο 1, το αργότερο έως την 10:00 π.μ. της τρίτης προηγούμενης Εργάσιμης Ημέρας εκείνης κατά την οποία ζητείται η εκταμίευση (εκτός εάν η Τράπεζα συμφωνήσει διαφορετικά).
3.3 Για την ανάληψη του Δανείου θα συντάσσεται πράξη ανάληψης. Την ανάληψη του Δανείου θα πιστοποιούν η Δανειζόμενη και ο Εγγυητής με την υπογραφή και παράδοση στην Τράπεζα της επιστολής Αναγνώρισης Λήψεως του Δανείου, με περιεχόμενο κατά βάση όμοιο με το συνημμένο στην παρούσα ως Σχέδιο 2.
3.4 Η Τράπεζα υποχρεούται να χορηγήσει το ποσό του Δανείου μόνο εφόσον, κατά την εύλογη κρίση της, συντρέχουν οι προβλεπόμενες, κατά περίπτωση, στον Όρο 7 της παρούσας θετικές προϋποθέσεις, δεν έχει λάβει χώρα παράβαση οιουδήποτε όρου της παρούσας και η Δανειζόμενη και/ή ο Εγγυητής έχουν προσκομίσει όλες τις απαραίτητες βεβαιώσεις, που αποδεικνύουν την συνδρομή των θετικών και/ή την ανυπαρξία των αρνητικών προϋποθέσεων
χορήγησης του Δανείου καθώς και την νόμιμη παροχή των εξασφαλίσεων.
3.5 Το Δάνειο που θα χορηγηθεί από την Τράπεζα προς την Δανειζόμενη, οι τόκοι που θα λογισθούν, οι τυχόν τόκοι υπερημερίας, τόκοι τόκων, τα έξοδα καθώς και κάθε άλλο ποσό που θα οφείλεται σύμφωνα με την παρούσα σύμβαση και τα λοιπά Έγγραφα Εξασφάλισης (ως ενδεικτικά αναφέρονται υπό τους Όρους 7.2 και 8.1.15), δυνάμει των οποίων θα παραχωρηθούν εμπράγματες ή/και ενοχικές εξασφαλίσεις προς εξασφάλιση των απαιτήσεων της Τράπεζας (στο εξής η “Οφειλή”), όπως και οι καταβολές από την Δανειζόμενη ή οποιονδήποτε υπόχρεο, θα χρεώνονται και θα πιστώνονται, αντίστοιχα, σε έναν λογαριασμό που θα τηρείται από την Τράπεζα στο όνομα της Δανειζόμενης. Η Τράπεζα θα δικαιούται σύμφωνα με τη συνήθη πρακτική της, να τηρεί για το σκοπό αυτό περισσότερους από έναν λογαριασμούς, τους οποίους δύναται να ενώνει ή να διαχωρίζει κατά την κρίση της. Σε περίπτωση παραχώρησης ναυτικής υποθήκης υπό την μορφή του ανοικτού (τρεχούμενου) λογαριασμού (account current form) προς εξασφάλιση της Οφειλής, οι προαναφερόμενοι λογαριασμοί θα θεωρούνται ως ο εν λόγω ανοικτός (τρεχούμενος) λογαριασμός.
4. ΤΟΚΟΣ - ΕΠΙΤΟΚΙΟ - ΠΕΡΙΟΔΟΙ ΕΚΤΟΚΙΣΜΟΥ
4.1 Το Δάνειο είναι έντοκο με κυμαινόμενο ετήσιο επιτόκιο (στο εξής το “Επιτόκιο”)
υπολογιζόμενο τοκαριθμικά επί του εκάστοτε ανεξόφλητου υπολοίπου του Δανείου και προσδιοριζόμενο ως το άθροισμα:
(α) του Δείκτη Αναφοράς Επιτοκίου για μηνιαίες, τρίμηνες, εξάμηνες ή εννεάμηνες, κατ’ επιλογή της Δανειζόμενης, ή οποιασδήποτε άλλης περιόδου (μετά από σχετικό αίτημα της Δανειζόμενης και αποδοχή αυτού από την Τράπεζα κατά την απόλυτη κρίση της), προθεσμιακές καταθέσεις σε ίδιο νόμισμα, και ίσου ποσού με το εκάστοτε ανεξόφλητο υπόλοιπο του Δανείου, δύο Εργάσιμες Ημέρες πριν από την έναρξη κάθε Περιόδου
Εκτοκισμού, και
(β) του Περιθωρίου (στο εξής το “Περιθώριο”), το οποίο συμφωνείται κατά τους όρους της
παρούσας (ι) σε 0,90 εκατοστιαίες μονάδες (0,90%) ετησίως, ή (ιι) σε περίπτωση σύναψης της Χρονοναύλωσης, σε 0,85 εκατοστιαίες μονάδες (0,85%) ετησίως. Στην τελευταία αυτή περίπτωση το μειωμένο Περιθώριο θα εφαρμόζεται από την επόμενη Εργάσιμη Ημέρα της Ημερομηνίας Χρονοναύλωσης.
4.2 Κάθε Περίοδος Εκτοκισμού θα έχει διάρκεια ενός (1), τριών (3), έξι (6) ή εννέα (9) μηνών, κατ’ επιλογή της Δανειζόμενης, ή οποιαδήποτε άλλη διάρκεια που θα συμφωνηθεί μεταξύ της Τράπεζας και της Δανειζόμενης. Η πρώτη Περίοδος Εκτοκισμού θα αρχίσει κατά την Ημερομηνία Εκταμίευσης του Δανείου και κάθε μεταγενέστερη Περίοδος Εκτοκισμού θα αρχίζει μόλις εκπνεύσει η προηγούμενη. Σε κάθε περίπτωση, η τελευταία Περίοδος Εκτοκισμού του Δανείου θα λήξει κατά την Τελική Ημερομηνία Εξόφλησης.
4.3 Η Δανειζόμενη οφείλει να γνωστοποιεί εγγράφως στην Τράπεζα δυο (2) Εργάσιμες μέρες πριν από την έναρξη εκάστης Περιόδου Εκτοκισμού (εκτός αν τούτο δεν είναι αναγκαίο σύμφωνα με τα παρακάτω) τίνος χρονικού διαστήματος (δηλαδή μηνός, τριμήνου, εξαμήνου ή εννεαμήνου ή, κατόπιν συμφωνίας, οποιασδήποτε άλλης περιόδου) Δείκτη Αναφοράς Επιτοκίου επιλέγει να ισχύσει για την επόμενη ή επόμενες (εφ' όσον καλύπτονται περισσότερες της μιας σύμφωνα με την προηγούμενη επιλογή της) Περιόδους Εκτοκισμού.
Σε περίπτωση που η Δανειζόμενη δεν έχει εγγράφως γνωστοποιήσει την ανωτέρω επιλογή της στην Τράπεζα δυο (2) πλήρεις Εργάσιμες Ημέρες πριν την έναρξη εκάστης Περιόδου Εκτοκισμού, η Τράπεζα δικαιούται αυτοδικαίως να προβαίνει στον υπολογισμό τόκων για τη συγκεκριμένη Περίοδο Εκτοκισμού με βάση τον Δείκτη Αναφοράς Επιτοκίου για τρίμηνες
προθεσμιακές καταθέσεις κατά τα ως άνω οριζόμενα, προσαυξημένο κατά το Περιθώριο.
4.4 Ο τόκος, καθ’ όλη τη διάρκεια του Δανείου, λογίζεται επί του εκάστοτε οφειλομένου κεφαλαίου του Δανείου τοκαριθμικά, με βάση έτος 360 ημερών και, υπό την επιφύλαξη των αμέσως κατωτέρω αναφερομένων, καταβάλλεται δεδουλευμένος ανά τρίμηνο κατά την Ημερομηνία Καταβολής Τόκου.
Σε περίπτωση επιλογής από την Δανειζόμενη Δείκτη Αναφοράς Επιτοκίου για Περίοδο Εκτοκισμού μικρότερη του τριμήνου, η Δανειζόμενη υποχρεούται να καταβάλει τον τόκο κατά τη λήξη της εν λόγω μικρότερης του τριμήνου Περιόδου Εκτοκισμού.
Σε περίπτωση επιλογής Περιόδου Εκτοκισμού μεγαλύτερης των τριών μηνών (και εάν μεγαλύτερη από εννέα μήνες, η επιλογή αυτή θα υπόκειται σε προηγούμενη έγκριση της Τράπεζας), ο τόκος θα πληρώνεται κάθε τρεις μήνες κατά τη διάρκεια αυτής της Περιόδου Εκτοκισμού.
Εάν η Δανειζόμενη επιλέξει Δείκτη Αναφοράς Επιτοκίου για Περίοδο Εκτοκισμού κατά τη διάρκεια της οποίας υποχρεούται σε καταβολή Δόσης ή Δόσεων του Δανείου, τότε επί του ποσού(ών) της(των) εν λόγω Δόσης(Δόσεων) ο τόκος θα υπολογίζεται με Δείκτη Αναφοράς
Επιτοκίου (πλέον του Περιθωρίου) για περίοδο που αρχίζει κατά τον ως άνω χρόνο επιλογής από την Δανειζόμενη και λήγει την ημερομηνία καταβολής κάθε ως άνω καταβλητέας Δόσης, ενώ επί του υπολοίπου ποσού του Δανείου [ήτοι αφαιρουμένης (ων) της(των) Δόσης(Δόσεων)] ο τόκος θα υπολογίζεται με τον Δείκτη Αναφοράς Επιτοκίου (πλέον του Περιθωρίου) που επέλεξε ως άνω η Δανειζόμενη.
Σε περίπτωση κατά την οποία η Ημερομηνία Καταβολής Τόκου δεν είναι Εργάσιμη Ημέρα, θα εφαρμόζονται οι διατάξεις του όρου 12.4 της παρούσας.
4.5 Έγγραφη βεβαίωση της Τράπεζας για το εκάστοτε ύψος του Δείκτη Αναφοράς Επιτοκίου επί του εκάστοτε ανεξόφλητου ποσού του Δανείου είναι δεσμευτική για τα μέρη και, εκτός αριθμητικού λάθους, αποτελεί πλήρη απόδειξη, οπουδήποτε ήθελε χρησιμοποιηθεί.
4.6 Σε περίπτωση κατά την οποία οποιαδήποτε Δόση του Δανείου ή/και οποιοδήποτε ποσό τόκου ή άλλο ποσό οφείλει η Δανειζόμενη στην Τράπεζα σύμφωνα με την παρούσα δεν πληρωθεί εν όλω ή εν μέρει την ημερομηνία κατά την οποία καθίσταται ληξιπρόθεσμο, η Δανειζόμενη θα οφείλει τόκο υπερημερίας με ετήσιο επιτόκιο (στο εξής “Επιτόκιο Υπερημερίας”) υπολογιζόμενο ως το άθροισμα (α) του Δείκτη Αναφοράς Επιτοκίου για περίοδο που θα επιλέγει η Τράπεζα κατά τη διακριτική της ευχέρεια του αυτού ποσού και νομίσματος με το εκάστοτε οφειλόμενο ποσό (β) του Περιθωρίου και (γ) δύο εκατοστιαίων μονάδων (2%), από την ημέρα κατά την οποία το ποσό αυτό ήταν πληρωτέο μέχρι την ημερομηνία της πλήρους και πραγματικής πληρωμής του, χωρίς καμία ειδοποίηση της Δανειζόμενης. Το Επιτόκιο Υπερημερίας καταλογίζεται και καταβάλλεται σύμφωνα με τις εκάστοτε ισχύουσες διατάξεις. Σε περίπτωση μη καταβολής τους, οι τόκοι υπερημερίας προστιθέμενοι στο κεφάλαιο ανατοκίζονται περαιτέρω, ακόμη και μετά την καταγγελία της παρούσας Σύμβασης, κατά τις ελάχιστες χρονικές περιόδους που προβλέπουν οι εκάστοτε ισχύουσες διατάξεις των νομισματικών αρχών, της Τραπέζης Ελλάδος και των νόμων και οφείλονται από την ημέρα του λογισμού τους, χωρίς ειδοποίηση της Δανειζόμενης και μέχρι πλήρους εξοφλήσεως.
4.7 Στο Επιτόκιο και στο Επιτόκιο Υπερημερίας θα προστίθεται κάθε άλλη επιβαλλόμενη ή επιβληθησόμενη στα επιτόκια στο μέλλον από το νόμο επιβάρυνση.
4.8 Οι τόκοι, συμβατικοί και υπερημερίας καθώς και οποιεσδήποτε άλλες πληρωμές που υπολογίζονται κατ’ έτος, θα υπολογίζονται από ημέρα σε ημέρα και επί του πραγματικού αριθμού ημερών που πέρασαν με βάση έτος 360 ημερών.
4.9 Αν οι περιστάσεις στη Διατραπεζική Αγορά Ευρωδολλαρίων του Λονδίνου εμποδίσουν τον κατά τα ανωτέρω αναφερόμενα προσδιορισμό του Δείκτη Αναφοράς Επιτοκίου, η Τράπεζα θα γνωστοποιήσει τούτο εγγράφως στην Δανειζόμενη. Στη συνέχεια, η Τράπεζα και η Δανειζόμενη θα διαπραγματευθούν, όπως απαιτεί η καλή πίστη και τα συναλλακτικά ήθη, προκειμένου να καταλήξουν εντός δέκα (10) ημερολογιακών ημερών (από την ημερομηνία της έγγραφης ειδοποίησης της Τράπεζας προς την Δανειζόμενη) σε μια αμοιβαία αποδεκτή εναλλακτική λύση για τον καθορισμό νέου Δείκτη Αναφοράς Επιτοκίου. Αν η προαναφερθείσα συμφωνία επιτευχθεί, αυτή θα ισχύει όσο χρόνο οι ανωτέρω δυσμενείς συνθήκες εξακολουθούν να υφίστανται και πριν από την εφαρμογή οποιαδήποτε τέτοιας συμφωνίας, η Δανειζόμενη και ο Εγγυητής υποχρεούνται να υπογράψουν όλες εκείνες τις τροποποιήσεις και/ή πρόσθετες πράξεις και/ή οποιαδήποτε άλλα έγγραφα που η Τράπεζα κρίνει σκόπιμα, προς εξασφάλισή της. Σε περίπτωση μη επίτευξης συμφωνίας, η Δανειζόμενη υποχρεούται αφενός σε άμεση (ή μέσα στην προθεσμία που η Τράπεζα θα τάξει) εξόφληση του Δανείου, πλέον τόκων (υπολογιζόμενων σύμφωνα με τον τελευταίο εφαρμοζόμενο Δείκτη Αναφοράς Επιτοκίου), εξόδων και λοιπών επιβαρύνσεων και αφετέρου σε καταβολή αποζημίωσης για κάθε κόστος στο οποίο τυχόν έχει υποβληθεί η Τράπεζα για τη διατήρηση του Δανείου, κατά την περίοδο των διαπραγματεύσεων. Αν οι παραπάνω συνθήκες ανακύψουν πριν από την Πρώτη Εκταμίευση, η Τράπεζα ουδεμία υπέχει υποχρέωση χορήγησης του Δανείου.
5. ΔΙΑΡΚΕΙΑ - ΑΠΟΠΛΗΡΩΜΗ ΤΟΥ ΔΑΝΕΙΟΥ
5.1 Με την επιφύλαξη των όσων ορίζονται στον όρο 5.2 του παρόντος, η Δανειζόμενη θα εξοφλήσει το Δάνειο δια σαράντα (40) διαδοχικών, ισόποσων, τριμηνιαίων δόσεων (κάθε μια καλούμενη “Δόση” και όλες μαζί “Δόσεις”), ποσού Δολλαρίων ΗΠΑ ενός εκατομμυρίου διακοσίων είκοσι πέντε χιλιάδων (115$ 1.225.000) η κάθε μια, πλέον μιας εφάπαξ καταβολής (στο εξής η “Εφάπαξ Καταβολή”) ποσού Δολλαρίων ΗΠΑ είκοσι επτά εκατομμυρίων τριακοσίων είκοσι χιλιάδων (υ5$27.320.000) καταβλητέας μαζί με την τελευταία (40'1) Δόση. Η πρώτη Δόση τυγχάνει καταβλητέα τρεις (3) μήνες μετά την Ημερομηνία Εκταμίευσης του Δανείου, κάθε μια από τις επόμενες Δόσεις τρεις (3) μήνες μετά την καταβολή της αμέσως προηγούμενης και η τελευταία Δόση (πλέον της Εφάπαξ Καταβολής)είναι καταβλητέα εκατόν είκοσι (120) μήνες μετά την Ημερομηνία Εκταμίευσης του Δανείου ήτοι κατά την Τελική Ημερομηνία Εξόφλησης.
Κάθε μια από τις αναφερόμενες ανωτέρω ημερομηνίες καταβολής αποτελεί δήλη ημέρα κατά την έννοια του νόμου για την εξόφληση της αντίστοιχης Δόσης και της Εφάπαξ Καταβολής.
5.2 Ανεξάρτητα από την συμβατική υποχρέωση της Δανειζόμενης για την κατά τα υπό 5.1 ανωτέρω εξόφληση του Δανείου, η Δανειζόμενη, μετά την συμπλήρωση της 5ης επετείου από την Ημερομηνία Εκταμίευσης του Δανείου, θα δικαιούται να αναβάλει την καταβολή μέχρι και δύο (διαδοχικών ή μη) Δόσεων, οι οποίες θα προσαυξήσουν αντίστοιχα το ποσό της Εφάπαξ Καταβολής και θα εξοφληθούν ταυτόχρονα με αυτό, υπό τους ακόλουθους σωρευτικά όρους:
(ι) η Δανειζόμενη θα ειδοποιήσει εγγράφως την Τράπεζα για την πρόθεσή της
αυτή τουλάχιστον δεκαπέντε (15) ημερολογιακές ημέρες πριν τη δήλη ημέρα καταβολής της Δόσης, για την οποία ασκείται το σχετικό δικαίωμα και
(ιι) κατά τον χρόνο περιέλευσης στην Τράπεζα της σχετικής ειδοποίησης δεν θα έχει επέλθει και συνεχίζεται κάποιο Γεγονός Υπερημερίας.
5.3 Σε περίπτωση μείωσης του ποσού του Δανείου κατά τα υπό 1.2 αναφερόμενα, θα μειωθούν ανάλογα (pro rata) όλες οι Δόσεις του Δανείου και το ποσό της Εφάπαξ Καταβολής.
5.4 Σε περίπτωση κατά την οποία οποιαδήποτε από τις ανωτέρω υπό 5.1 ημερομηνίες αποπληρωμής του Δανείου δεν είναι Εργάσιμη Ημέρα θα εφαρμόζονται οι διατάξεις του
όρου 12.4 της παρούσας.
5.5 Η Δανειζόμενη θα εξοφλήσει το Δάνειο πλέον τόκων, τυχόν τόκων υπερημερίας, εξόδων και κάθε εν γένει επιβάρυνσης σε ελεύθερο συνάλλαγμα με το νόμιμο νόμισμα των Ηνωμένων Πολιτειών Αμερικής (Δολλάρια ΗΠΑ - USD).
5.6 Σε κάθε περίπτωση και ανεξαρτήτως κάθε αντίθετου όρου, η Δανειζόμενη συμφωνεί, υπόσχεται και αναλαμβάνει την υποχρέωση να έχει εξοφλήσει πλήρως το σύνολο του Δανείου πλέον τόκων, τυχόν τόκων υπερημερίας, εξόδων και κάθε εν γένει άλλης επιβάρυνσης ή οφειλής, απορρέουσας από την παρούσα Σύμβαση Δανείου ή/και οποιοδήποτε των λοιπών Εγγράφων Εξασφάλισης, το αργότερο μέχρι την Τελική Ημερομηνία Εξόφλησης.
6. ΠΡΟΠΛΗΡΩΜΕΣ
6.1 Προαιρετική Προπληρωμή Η Δανειζόμενη δικαιούται να καταβάλει στην Τράπεζα, πλην των ληξιπρόθεσμων οφειλών, μέρος ή το σύνολο του μη ληξιπρόθεσμου κεφαλαίου του Δανείου, μαζί με όλα τα οφειλόμενα ποσά τόκου ή άλλα ποσά που οφείλονται σύμφωνα με την παρούσα υπό τους ακόλουθους σωρευτικά όρους:
(α) η Δανειζόμενη θα ειδοποιήσει εγγράφως την Τράπεζα για την πρόθεσή της αυτή τουλάχιστον τριάντα (30) ημερολογιακές ημέρες πριν την σχετική ημερομηνία προπληρωμής και θα αναφέρει το ποσό της προπληρωμής και την ημερομηνία καταβολής του,
(β) η ειδοποίηση αυτί) θα ισχύει μόνο από την περιέλευση της στην Τράπεζα, θα δεσμεύει αμετάκλητα την Δανειζόμενη και τον Εγγυητή και θα τους υποχρεώνει να καταβάλουν τα ποσά που αναφέρονται σε αυτήν,
(γ) η τοιαύτη προπληρωμή δύναται να λάβει χώρα την τελευταία ημέρα εκάστης Περιόδου Εκτοκισμού, εκτός εάν η Δανειζόμενη ζητήσει εγγράφως την συναίνεση της Τράπεζας και η τελευταία αποδεχθεί (κατά την απόλυτη και ανέλεγκτη κρίση της) η προπληρωμή αυτή να λάβει χώρα σε άλλη ημέρα, οπότε, στην τελευταία αυτή περίπτωση, η Δανειζόμενη, πέραν του ποσού της προπληρωμής, θα πρέπει να καταβάλει και αναλαμβάνει από τώρα την υποχρέωση της ταυτόχρονης κάλυψης οποιασδήποτε επιβάρυνσης και/ή δαπάνης και/ή ζημίας της Τράπεζας, που θα πιστοποιήσει η τελευταία, από την πρόωρη αυτή καταβολή, από τυχόν διαφορά του επιτοκίου, η οποία ήθελε προκόψει από την επανατοποθέτηση στη Διατραπεζική Αγορά του προκαταβαλλόμενου ποσού του Δανείου ή από οποιοδήποτε άλλο λόγο,
(δ) κάθε τέτοια μερική προπληρωμή θα είναι τουλάχιστον ίση με ποσό Δολλαρίων ΗΠΑ πεντακοσίων χιλιάδων (US$500.000) ή ακέραια πολλαπλάσια αυτού ή το υπόλοιπο του Δανείου και
(ε) ποσά που προπληρωθούν κατά τις διατάξεις του παρόντος όρου δεν επαναδανείζονται.
6.2 Σε περίπτωση καταβολής μέρους του μη ληξιπρόθεσμου κεφαλαίου κατά τα υπό 6.1 οριζόμενα, η Τράπεζα δικαιούται να φέρει την καταβολή αυτή κατά πρώτον σε εξόφληση τυχόν οφειλομένων εξόδων, τόκων υπερημερίας και τόκων του Δανείου, και ακολούθως σε ανάλογη (pro rata) μείωση όλων των μη ληξιπροθέσμων Δόσεων του Δανείου, της Εφάπαξ Καταβολής θεωρουμένης, για τους σκοπούς του παρόντος όρου, ως τμήματος της τελευταίας (40ης) Δόσης.
6.3 Υποχρεωτική Προπληρωμή (α) Στην περίπτωση που το Πλοίο πωληθεί (για την οποία πώληση σε κάθε περίπτωση απαιτείται η προηγούμενη άδεια της Τράπεζας) ή καταστεί Ολική Απώλεια (η έννοια της οποίας ορίζεται κατωτέρω) ή υποστεί ζημία ή εμπλακεί σε περιστατικό που, κατά την απόλυτη διακριτική ευχέρεια της Τράπεζας, δύναται να καταστήσει το Πλοίο Ολική Απώλεια, η Δανειζόμενη υποχρεούται να προπληρώσει στην Τράπεζα το σύνολο της Οφειλής:
(ι) στη μεν περίπτωση πώλησης του Πλοίου, προ ή ταυτόχρονα με την πώληση και παράδοση του Πλοίου στον αγοραστή, ή
(ιι) στην δε περίπτωση που το Πλοίο καταστεί Ολική Απώλεια, είτε εκατόν ογδόντα (180) ημερολογιακές ημέρες αφότου το Πλοίο κατέστη Ολική Απώλεια ή κατά την ημερομηνία κατά την οποία το ασφάλισμα σε σχέση με την Ολική Απώλεια ή η αποζημίωση λόγω επιτάξεως του Πλοίου καταβληθεί στην Δανειζόμενη ή στην Διαχειρίστρια (ή στην Τράπεζα, ως εκδοχέα των απαιτήσεων της Δανειζόμενης σύμφωνα με την παρασχεθησομένη Γενική Εκχώρηση των ασφαλιστηρίων συμβολαίων του Πλοίου κατά τα υπό τον Όρο 7.2 της παρούσας οριζόμενα), οποιοδήποτε εκ των δύο συμβεί νωρίτερα.
“Ολική απώλεια” σημαίνει:
ι) την πραγματική ή τεκμαρτή, διευθετηθείσα ή συμβιβασθείσα ολική απώλεια του Πλοίου, ή ιι) την επίταξη κατά κυριότητα ή άλλη αναγκαστική απόκτηση του Πλοίου, πλην της επιτάξεως έναντι μισθώματος, ή
ιιι) την κατάληψη, σύλληψη, κατάσχεση, κατακράτηση ή δήμευση του Πλοίου από οποιαδήποτε Κυβέρνηση ή από οποιοδήποτε πρόσωπο που ενεργεί ή εμφανίζεται ή προτίθεται να ενεργεί για λογαριασμό οποιασδήποτε Κυβέρνησης (εκτός αν το Πλοίο ελευθερωθεί από τέτοια κατάληψη, σύλληψη, κατάσχεση, κατακράτηση ή δήμευση εντός ενός μηνός από τη στιγμή που έλαβε χώρα).
Για τους σκοπούς της παρούσας σύμβασης, Ολική Απώλεια του Πλοίου θα θεωρείται ότι έχει επέλθει:
(1) στην περίπτωση πραγματικής ολικής απώλειας του Πλοίου, την ημερομηνία που το Πλοίο απωλέσθη ή, αν η ημερομηνία αυτή δεν είναι γνωστή, την τελευταία ημερομηνία κατά την οποία το Πλοίο αναφέρθηκε ότι βρισκόταν σε καλή κατάσταση,
(2) στην περίπτωση τεκμαρτής ολικής απώλειας του Πλοίου, την ημερομηνία που δόθηκε στους ασφαλιστές του Πλοίου δήλωση εγκατάλειψης του Πλοίου, υπό την προϋπόθεση όμως ότι οι ασφαλιστές του Πλοίου αποδέχονται ότι αυτό κατέστη Ολική Απώλεια εντός δεκατεσσάρων (14) ημερολογιακών ημερών από την ημερομηνία της ανωτέρω δήλωσης. Αν οι ασφαλιστές δεν αποδεχθούν ότι το Πλοίο κατέστη Ολική Απώλεια εντός του ανωτέρω χρονικού διαστήματος, αυτή θα θεωρείται ότι έχει επέλθει κατά την ημερομηνία αποδοχής ή απόρριψης από τους ασφαλιστές της Ολικής Απώλειας του Πλοίου ή κατά την ημερομηνία που, σύμφωνα με απόφαση αρμοδίου δικαστηρίου ή διαιτητικού δικαστηρίου, το Πλοίο κατέστη Ολική Απώλεια,
(3) στην περίπτωση διευθετηθείσας ή συμβιβασθείσας ολικής απώλειας, κατά την ημερομηνία κατά την οποία υπογράφεται από τους ασφαλιστές του Πλοίου δεσμευτική συμφωνία δυνάμει της οποίας αποδέχονται ότι το Πλοίο κατέστη διευθετηθείσα ή συμβιβασθείσα ολική απώλεια,
(4) στην περίπτωση της αναγκαστικής απόκτησης του Πλοίου, κατά την ημερομηνία κατά την οποία αυτή επήλθε και
(5) στην περίπτωση κατάληψης, σύλληψης, κατάσχεσης ή κατακράτησης ή δήμευσης του Πλοίου (εκτός από την περίπτωση που τα παραπάνω καταλήγουν σε αναγκαστική απόκτηση του Πλοίου), από οποιαδήποτε Κυβέρνηση ή πρόσωπα που ενεργούν ή εμφανίζονται ότι ενεργούν για λογαριασμό οποιοσδήποτε Κυβέρνησης, εξ αιτίας των οποίων η Δανειζόμενη στερείται τη νομή του πλοιοκτησίας της Πλοίου για χρονικό διάστημα άνω των τριάντα (30) ημερών, κατά την ημερομηνία που συμπληρώνεται το ανωτέρω χρονικό διάστημα των τριάντα (30) ημερών.
(β) Εκτός εάν ορίζεται διαφορετικά στον παρόντα όρο 6.3, οι διατάξεις του όρου 6.1 θα εφαρμόζονται (ανάλογα) σε κάθε προπληρωμή που θα γίνεται σύμφωνα με τον παρόντα όρο 6.3, χωρίς πάντως να απαιτείται σε περίπτωσης πώλησης του Πλοίου η προβλεπόμενη στον όρο 6.1(α) προηγούμενη ειδοποίηση.
(γ) Σε περίπτωση υποχρεωτικής προπληρωμής κατά τα υπό 6.3 οριζόμενα, η Τράπεζα θα φέρει το ποσό αυτής σε εξόφληση της Οφειλής. Σε περίπτωση που, για οποιονδήποτε λόγο, το προϊόν της καταβολής δεν επαρκεί για την πλήρη εξόφληση της Οφειλής, η Τράπεζα δικαιούται να φέρει την καταβολή αυτή σε εξόφληση κατά πρώτον τυχόν οφειλομένων εξόδων, τόκων υπερημερίας και τόκων και ακολούθως είτε σε ανάλογη (pro rata) μείωση όλων των μη ληξιπροθέσμων Δόσεων του Δανείου είτε σε εξόφληση των Δόσεων του Δανείου κατά την αντίστροφη σειρά λήξης τους (της Εφάπαξ Καταβολής θεωρούμενης ως τμήματος της τελευταίας [40,,ς] Δόσης) είτε όπως αλλιώς ήθελε αποφασίσει η Τράπεζα κατά την απόλυτη διακριτική της ευχέρεια. Στην τελευταία αυτή περίπτωση η Δανειζόμενη υποχρεούται να καταβάλει άμεσα το ποσό της διαφοράς.
6.4 Σε περίπτωση που η κατά τον όρο 6.3 πώληση ή Ολική Απώλεια του Πλοίου συμβεί πριν την Πρώτη Εκταμίευση, η Τράπεζα δεν θα υποχρεούται να χορηγήσει το Δάνειο.
7. ΟΡΟΙ ΚΑΙ ΠΡΟΫΠΟΘΕΣΕΙΣ ΧΟΡΗΓΗΣΗΣ ΤΟΥ ΔΑΝΕΙΟΥ - ΕΞΑΣΦΑΛΙΣΕΙΣ
7.1 Η υποχρέωση της Τράπεζας να χορηγήσει το Δάνειο προς την Δανειζόμενη τελεί υπό την
αίρεση ότι η Τράπεζα θα έχει λάβει τουλάχιστον δύο (2) πλήρεις Εργάσιμες Ημέρες πριν από την υπογραφή της παρούσας τα ακόλουθα έγγραφα και αποδεικτικά στοιχεία που θα ικανοποιούν την Τράπεζα τόσο τυπικά όσο και ουσιαστικά κατά την εύλογη κρίση της:
(α) ακριβές αντίγραφο του καταστατικού, του εσωτερικού κανονισμού (εάν υπάρχει) και των τυχόν τροποποιήσεων αυτών, του τυχόν πιστοποιητικού συστάσεως και των λοιπών
νομιμοποιητικών εγγράφων της Δανειζόμενης, του Εγγυητή και των μετόχων τους (εφόσον
είναι νομικά πρόσωπα),
(β) πρόσφατο (εντός του τελευταίου μηνός προ της υπογραφής της παρούσας) και σε ισχύ πιστοποιητικό καλής καταστάσεως (good standing) της Δανειζόμενης, του Εγγυητή και των μετόχων τους (εφόσον είναι νομικά πρόσωπα),
(γ) βεβαίωση του Προέδρου ή του Γραμματέως της Δανειζόμενης, του Εγγυητή και των μετόχων τους (εφόσον είναι νομικά πρόσωπα), θεωρημένη είτε από το οικείο Προξενείο, είτε από τις αρμόδιες αρχές του τόπου της έδρας εκάστου τούτων και φέρουσα την επισημείωση της Χάγης (apostille) ή άλλη αποδεκτή από την Τράπεζα επικύρωση, όμοια με το συνημμένο στην παρούσα ως Σχέδιο 3,
(δ) πρακτικά συνεδριάσεων του διοικητικού συμβουλίου και των μετόχων της Δανειζόμενης και του Εγγυητή, θεωρημένα είτε από το οικείο Προξενείο είτε από τις αρμόδιες αρχές του τόπου της έδρας αυτής και φέρουσα την επισημείωση της Χάγης (apostille) ή άλλη αποδεκτή από την Τράπεζα επικύρωση, κατά τις οποίες αποφασίσθηκε και/ή εγκρίθηκε η σύναψη και η υπογραφή της παρούσας σύμβασης, των λοιπών εμπραγμάτων και ενοχικών ασφαλειών σε εξασφάλιση του Δανείου και οποιωνδήποτε άλλων εγγράφων υπογραφούν σύμφωνα με τα έγγραφα αυτά,
(ε) επικυρωμένο αντίγραφο του υπογεγραμμένου Συμφωνητικού Αγοραπωλησίας,
(στ) επικυρωμένα αντίγραφα των εγγράφων που σχετίζονται με την εγκατάσταση στην Ελλάδα γραφείου του ν. 89/67 (ήδη 378/68) της Διαχειρίστριας, περιλαμβανομένου ιδίως του ΦΕΚ, στο οποίο δημοσιεύθηκε η σχετική εγκριτική απόφαση καθώς και πρόσφατη βεβαίωση του Υπουργείου Εμπορικής Ναυτιλίας σχετικά

(hereinafter referred to as the “Bank”).
2. The company under the name …., whose registered office according to its Articles is at …, legally represented in the execution of these presents by … (hereinafter referred to as the “Borrower”)
1. AMOUNT OF LOAN
1.1 The Bank hereby agrees to grant the Borrower a loan amounting up to the lowest of (a) USD seventy six million three hundred twenty thousand (US$ 76,320,000), or (b) 80% of the Purchase Price or (c) 80% of the Market Value of the Vessel described below (hereinafter referred to as the “Loan”, which is understood as the amount to be paid to the Borrower hereunder or - as the case may be - any amount of principal which is payable to the Bank from time to time, pursuant to the terms hereof), out of the Bank's readily available funds in free foreign currency or out of funds to be raised by the Bank from the interbank market, advanced pursuant to the provisions of clause 3 and drawn down under clause 5 hereof.
1.2 It is explicitly agreed that, if Borrower enters into a Time Charter prior to the Vessel's Date of Delivery and submits to the Bank such evidence as the Bank will consider satisfactory in form and substance, the quantity criterion concerning the Vessel's Market Value under 1.1(c) will not be taken into consideration in determining the amount of Loan.
1.3 The Loan is issued in accordance with the provisions of decision no. 187/1/19.10.1978 of the Currency Committee's Credit Sub-Committee "re: banking operations in free foreign currency with Shipping Undertakings", which was ratified by Council of Ministers Act no. 142/13/20.11.1978 and published in the Government Gazette (bulletin Α) 195/20.11.1978, as in force.
2. PURPOSE OF THE LOAN - COVERAGE - DEFINITIONS
2.1 The Loan is issued for the purpose of covering up to 80% of the Borrower's Purchase Price of the Vessel which is currently under construction on behalf of the Seller and, after it is purchased and delivered to the Borrower in accordance with the terms of the Sale and Purchase Agreement, will be registered under the Borrower's ownership and the Approved flag.
2.2 The Borrower will cover out of its own readily available funds any amount required on top of the Loan to fulfil the purpose described under 2.1.
2.3 If the expenses required for fulfilling the purpose under 2.1 are increased for any reason, the Borrower shall cover the excess amount out of its own readily available funds, and the Bank shall be under no obligation to increase the amount of Loan.
2.4 For the purposes of this Agreement, except as otherwise provided, the following terms shall have the meaning given below:
“Insurances” shall mean the sum total of all insurance contracts and agreements (including any registration of the Vessel in a P&I Club for third party civil liability or war risks) executed at any time in relation to the Vessel or the Earnings and all of its benefits (including claims and return of premium of any kind).
“Requisition Compensation” shall mean the total amount of pecuniary or other compensation payable after the execution hereof and until such time as all Borrower's obligations hereunder shall have been performed, owing to requisition for title or any other compulsory requisition of the Vessel or requisition for use.
“Reference Rate” shall mean LIBOR (London Inter-Bank Offered Rate) or, subject to the following provisions, if same is eliminated or replaced, the Reference Rate shall be the one that will substitute or replace LIBOR in the future.
“Manager” shall mean, in relation to the Vessel, …., a company whose registered office according to its Articles is in Monrovia, Liberia, which has established an office in Greece under Law 89/67 (currently Law 378/68), or any other person indicated by the Borrower as manager of the Vessel, upon prior consent from the Bank in writing.
“US Dollar” or “Dollar” or “USD” or “$” shall mean the official currency of the United States of America.
“Security Documents” shall mean this Loan Agreement, the Guarantee, the Mortgage, the General Assignments, the Special Assignment, the Account Pledge and any other agreement, contract, statement or document executed now or in the future, granting contractual and/or collateral security as security for the Loan and the Indebtedness in general or any part thereof, as same may be supplemented and/or modified in the future.
“Guarantee” shall mean the guarantee agreement to be executed between the Bank and the Guarantor, according to which Guarantor guarantees to the Bank, jointly and in full with the Borrower, due repayment of the Indebtedness as well as prompt and due performance of the obligations undertaken by the Borrower under this Agreement and the other Security Documents, as same may be modified and/or supplemented in the future.
“Guarantor” shall mean the Manager that will provide a Guarantee to the Bank.
“Approved Flag” shall mean, in relation to the Vessel, such country flag as the Bank will approve at its free discretion for the Vessel to be registered under.
“Business Day” shall mean, for the purposes hereof, any day (other than Saturday and Sunday) on which transactions in deposits in Dollars are being executed in the London Interbank Market and on which banks are open for currency transactions in London, New York, Athens, Piraeus and in any other country or city where a transaction is required under this agreement.
“Earnings” shall mean any amount of money owed to the Borrower at any given time, arising from the use or the operation of the Vessel.
“Euro” or “€” shall mean the official currency of EU member-states.
“Drawdown Date” shall mean any Business Day within an Availability Period on which the drawdown of the Loan is due to be made.
“Interest Payment Date” shall mean the last day of each Interest Period on which the relevant amount of interest is calculated and payable, except as otherwise provided herein.
“Date of Delivery” shall mean, in relation to the Vessel, the date of (physical) delivery from Seller to Borrower, and of unreserved acceptance of such delivery by the latter, as same will be confirmed in the relevant protocol of delivery and acceptance to be executed between the Seller and the Borrower under the Sale and Purchase Agreement; said date must fall on the date of registration of the vessel in question under the Approved Flag, in the name and under ownership of the Borrower, and on the date of registration of the Mortgage in favour of the Bank.
“Time Charter Date” shall mean, in relation to the Time Charter, the date on which the Bank will notify the Borrower about the acceptance or denial of the Time Charter.
“LIBOR” shall mean, in relation to an amount of money in the same currency and equal to the outstanding balance of the Loan from time to time for a specific period of time, the interest rate:
(i) determined by the Bank for the relevant period of time in accordance with the LIBOR ΒΒΑ (British Bankers Association) Code of Conduct and published in REUTERS LIBOR 01 (hereinafter “REUTERS”) (or in the electronic page of an equivalent system or of any other system which may substitute it from time to time or in the future), on or around 11 am (London time), two Business Days before the start of each Interest Period, or
(ii) if no such interest rate is published in the aforementioned REUTERS page (or in the page of an equivalent system or of any other system which may substitute it from time to time or in the future) at the critical time, the interest-rate, rounded up, if required, to the closest 1/16 of a percentage unit, offered by the Bank to first class Banks for time deposits in USD of an amount equal to the outstanding balance of the Loan from time to time and for the same time period, in the London Inter-Bank Eurodollar Market, on or around 11 am
(London time), two (2) Business Days before the start of each Interest Period.
“Month”: A period of one or several "months" expires on the day of the relevant calendar month which numerically corresponds to the date of the calendar month on which the period in question began ("the respective day"), except that such a period will expire (a) on the immediately following Business Day of the respective day, if the respective day is not a Business Day or, if no Business Day follows in the same calendar month, the Business Day immediately preceding the respective day, or (b) the last Business Day of the relevant calendar month, if there is no respective day in the last calendar month of the period in question.
“Shipyard” shall jointly mean, in relation to the Vessel, the following companies established in China: Shanghai Waigaoqiao Shipbuilding Co. Ltd. and China Shipbuilding Trading Company Limited.
“Shipping Group of Companies” or “Group” shall mean the sum total of legal entities involved in shipping operations of any type and in activities involving ownership and/or management of dry-cargo vessels, having mutual financial interests or having financial and/or administrative and/or shareholding ties to the Borrower and/or the Guarantor or to the individuals or legal entities carrying on the actual administration or management or representing the majority in the Borrower's shareholding structure, except from legal entities whose shares are listed for trading in a regulated stock market and their subsidiaries.
“Availability Period” shall mean, in relation to the Loan, the period starting from the date of this agreement and ending on:
(a) February 28th 2011 (or such later date as the Bank may accept
at its absolute discretion, or
(b) if earlier, the Drawdown Date of the Loan.
“Interest Period” shall mean, in relation to the Loan, any period in which interest is calculated in respect of the Loan, determined pursuant to clauses 4.2, 4.3 and 4.4 hereof.
“Vessel” shall mean a Capesize bulk carrier of approximately 177,000 (dwt), which is currently under construction at the Shipyard, with hull no. Hl 146 and, after it comes to the Seller's possession and is registered in its ownership under the Marshall Islands flag, will be subsequently registered on the Date of Delivery under the Borrower's ownership and the Approved flag, with a name to be chosen by the latter and notified to the Bank at least thirty (30) calendar days prior to the Date of Delivery.
“First Drawdown” shall mean the first drawdown of any amount of the Loan agreed hereunder.
“Seller” shall mean the Liberian company under the name ‘Gold Kist Services Inc.’, including its successors.
“Sale and Purchase Agreement” shall mean, in relation to the Loan, the Memorandum of Agreement executed on 27.9.2007 between the Seller and the Borrower concerning the Vessel's sale, by the Seller, and purchase, by the Borrower, as same may be amended or supplemented from time to time with the Bank's consent.
“Final Maturity Date” shall mean, in relation to the Loan:
(a) the date (confirmed date) falling one hundred and twenty (120) months after the Drawdown Date of the Loan, or
(b) in case of termination of this Agreement for any reason, the date of termination.
“Purchase Price” shall mean the consideration to be paid by the Borrower to the Seller pursuant to clause 1 of the Sale and Purchase Agreement, which amounts to USD ninety five million four hundred thousand (US$ 95,400,000) or such other consideration as may be determined under the Sale and Purchase Agreement.
“Time Charter” shall mean, in relation to the Loan, any charterparty to be entered into (hereinafter the “Charterparty”) between the Borrower as shipowner and a charterer internationally renowned and acceptable to the Bank (the“Charterer”), concerning the time chartering of the Vessel for a period, on freight and other terms being subject to the Bank's absolute acceptance which the Bank shall not withhold without reasonable cause, as any such charterparty may be modified and/or supplemented and/or extended from time to time with the Bank's consent.
3. DRAWDOWN OF THE LOAN - MONITORING ACCOUNT
3.1 The Loan will be advanced to the Borrower by the Bank in one lump sum payment during the Availability Period for the purposes of Clause 2.1.
After the Availability Period and except as otherwise agreed, the Bank will no longer be obliged to issue the Loan, and the Borrower now waives any right to demand any drawdown of the Loan after the Availability Period expires.
3.2 For the purpose of drawing down the Loan, the Borrower will submit to the Bank a relevant irrevocable notice (the “Drawdown Notice”) substantially in the form attached hereto as Draft 1, no later than 10:00 a.m. on the third Business Day prior to the day on which drawdown was requested (except as otherwise agreed by the Bank).
3.3 A deed of withdrawal will be issued for the purpose of drawing down the Loan. Withdrawal will be confirmed by the Borrower and Guarantor by signing and delivering to the Bank the letter of Acknowledgement of Drawdown, which must be substantially in the form of the attached Draft 2.
3.4 The Bank will be obliged to grant the amount of Loan only if, at the Bank's reasonable discretion, the positive conditions referred to in Clause 7 hereof apply, there has been no infringement of any of the terms hereof, and the Borrower and/or Guarantor have submitted all necessary documents evidencing the existence of the positive conditions and/or the non-existence of the negative ones.
3.5 The Loan to be issued by the Bank to the Borrower, the interest to be calculated, any default interest, interest on interest, costs and any other amounts payable under this agreement and the other Security Documents (as indicatively noted in Clauses 7.2 and 8.1.15), by virtue of which contractual and/or collateral security will be granted as security for the Bank's claims (hereinafter the “Indebtedness”), as well as all payments by the Borrower or any obligor will be debited and credited respectively to an account held with the Bank in the Borrower's name. As per its standard practice, the Bank may hold for this purpose several accounts that it may join or segregate at its discretion. Where a ship mortgage is established in the form of an open current account to secure the Indebtedness, the aforementioned accounts will be considered as the open (current) account in question.
4. INTEREST - INTEREST RATE - INTEREST PERIODS
4.1 The Loan is an interest-bearing loan at an annual floating rate (hereinafter the “Interest Rate”) calculated in accordance with the daily accrual method on the outstanding balance of the Loan from time to time and determined as the aggregate of the following:
(a) the Reference Rate for monthly, quarterly, six-month or nine-month periods at the Borrower's option or for any other period (at the Borrower's request to be accepted by the Bank at its absolute discretion), time deposits in the same currency and of an amount equal to the outstanding balance of the Loan from time to time, two Business Days before the start of each Interest Period; and
(b) the Margin (hereinafter the “Margin”), which is agreed under the terms of this agreement (i) at 0.90 units (0.90%) per annum, or (ii) provided that a Time Charter has been concluded, at 0.85 units (0.85%) per annum. In the latter case, the reduced Margin will apply as of the following Business Day after the Time Charter Date.
4.2 Each Interest Period will be for one (1), three (3), six (6) or nine (9) months at the Borrower's option, or for any other term to be agreed between the Bank and the Borrower. The first Interest Period will begin on the Drawdown Date of the Loan and each subsequent Interest Period will begin as soon as the preceding one expires. In any case, the last Interest Period of the Loan will end on the Final Maturity Date.
4.3 The Borrower shall notify the Bank in writing, two (2) Business Days before the start of each Interest Period (except if not necessary pursuant to the above) which Reference Rate it chooses (notably for one month, three, six or nine months or for any other period agreed) to apply for the subsequent Interest Period or Periods (if more than one are covered under its previous choice).
If the Borrower has not notified the Bank of its above choice two (2) full Business Days before the start of each Interest Period, the Bank may ipso iure calculate interest for the specific Interest Period based on the Reference Rate for three-month time deposits as provided above, increased by the Margin.
4.4 Throughout the term of the Loan, interest is calculated on the outstanding principal of Loan in accordance with the daily accrual method based on a 360-day year and, subject to the immediately following provisions, is payable as accruing on a quarterly basis on the Interest Payment Date.
If the Borrower selects a Reference Rate for an Interest Period of less than three months, the Borrower will be obliged to pay interest at the end of such shorter Interest Period.
If an Interest Period longer than three months is selected (and, if more than nine months, said choice will be subject to the Bank's prior approval), interest will be payable every three months during the Interest Period in question.
If the Borrower selects a Reference Rate for an Interest Period during which it is obliged to pay one or several Instalments on the Loan, the interest on the amount(s) of said Instalment(s) will be calculated at a Reference Rate (plus Margin) for a period which starts at the time of the Borrower's choice as above and ends on the date of payment of each Instalment payable as above, and interest on the remaining amount of Loan [notably without including the Instalment(s)] will be calculated at the Reference Rate (plus Margin) selected by the Borrower as above.
Where the Interest Payment Date is not a Business Day, the provisions of clause 12.4 hereof will apply.
4.5 The Bank's written confirmation of the amount of Reference Rate on the outstanding balance of the Loan from time to time shall be binding on the parties and, save for arithmetic error, will constitute complete evidence for all purposes.
4.6 If Borrower defaults in whole or in part on any Loan Instalment and/or any amount of interest or other amount payable by the Borrower to the Bank hereunder on the day on which it became due, the Borrower shall pay default interest at an annual rate (hereinafter the “Default Rate”) calculated as the aggregate of (a) the Reference Rate for a period selected by the Bank at its discretion for the same amount and currency as the amount payable from time to time, (b) the Margin and (c) two percentage units (2%), as of the day on which the amount in question became payable until the date of full and actual payment, without notice to the Borrower. The Default Rate is assessed and paid in accordance with applicable provisions from time to time. In case of non payment, default interest added to the principal will be further compounded even after this Agreement is terminated, on the minimum time periods provided by applicable decrees of monetary authorities, the Bank of Greece and the law, and is payable as of the date of assessment without notice to the Borrower and until full payment.
4.7 Any other surcharge imposed by the law now or in the future will encumber the Interest Rate and the Default Rate.
4.8 Contractual and default interest and any other payments calculated on an annual basis will be calculated from day to day and on the actual number of days that passed, based on a 360-day year.
4.9 If circumstances in the London Interbank Eurodollar Market are preventing the determination of the Reference Rate, the Bank will notify the Borrower in writing. The Bank and the Borrower will then negotiate, in accordance with good faith and morals, in order to reach a mutually acceptable alternative solution for determining a new Reference Rate, within ten (10) calendar days after the date of the Bank's written notice to the Borrower. If an agreement is reached, it will remain in force as long as the above adverse circumstances apply, and before said agreement is put into effect, the Borrower and the Guarantor must sign any such modifications and/or addenda and/or any other documents as the Bank will deem expedient to secure its interests. If no agreement is reached, the Borrower shall on one hand repay the Loan immediately (or within the time-limit to be set by the Bank), along with interest (calculated pursuant to the most recently applied Reference Rate), costs and other charges, and on the other hand shall pay damages in respect of any costs incurred by the Bank for preserving the Loan during the period of negotiations. If the above circumstances occur before the First Drawdown, the Bank shall be under no obligation to issue the Loan.
5. TERM - REPAYMENT OF LOAN
5.1 Subject to the provisions of clause 5.2 hereof, the Borrower will repay the Loan in forty (40) consecutive instalments of equal amount, payable on a quarterly basis (each an “Instalment”, collectively the “Instalments”), each in the amount of US Dollars one million two hundred twenty five thousand (US$ 1,225,000), plus a Balloon Payment (the “Balloon Payment”) in the amount of US Dollars twenty seven million three hundred twenty thousand (US$ 27,320,000), payable together with the last (40th) Instalment. The first Instalment is payable three (3) months after the Drawdown Date of the Loan, each subsequent Instalment three (3) months after payment of the immediately preceding one, and the last Instalment (plus the Balloon Payment) is payable one hundred and twenty (120) months after the Drawdown Date of the Loan, i.e. on the Final Maturity Date.
Each of the aforementioned dates of payment is a confirmed date in the sense of the law for payment of the respective Instalment and the Balloon Payment.
5.2 Regardless of the Borrower's contractual obligation to repay the Loan as provided under clause 5.1 above, after the 5th anniversary of the Drawdown Date of the Loan the Borrower may defer payment of up to two Instalments (consecutive or otherwise), which will increase the Balloon Payment by an equal amount and will be repaid at the same time as the Balloon Payment, under the following conditions which shall apply cumulatively:
(i) the Borrower will notify the Bank of its intention in writing, at least fifteen (15) calendar days prior to the specific due date of payment of the Instalment in respect of which the relevant right is being exercised, and
(ii) no Event of Default has occurred and is continuing at the time the Bank receives the relevant notice.
5.3 If the amount of Loan is reduced as provided in clause 1.2 above, all Instalments and the Balloon Payment will be reduced pro rata.
5.4 Where any of the dates of repayment referred to in clause 5.1 is not a Business Day, the provisions of clause 12.4 hereof will apply.
5.5 The Borrower will repay the Loan along with interest, default interest if any, costs and surcharges in free foreign currency at the lawful currency of the United States of America (US Dollars - USD).
5.6 In any case, notwithstanding any provision to the contrary, the Borrower agrees, promises and undertakes to fully repay the total amount of Loan plus interest, default interest if any, costs and any other surcharge or debt in general arising from this Loan Agreement and/or any of the other Security Documents, no later than the Final Maturity Date.
6. PREPAYMENTS
6.1 Optional Prepayment Apart from the due debts, the Borrower shall have the right to pay to the Bank part or the entire non-due principal of the Loan, along with any amounts of interest or other amounts payable hereunder, under the following terms which shall apply cumulatively:
(a) the Borrower shall notify the Bank of its intention in writing at least thirty (30) calendar days before the relevant prepayment date, noting the amount and the date of payment;
(b) this notice will only enter into effect as of its receipt by the Bank, will irrevocably bind the Borrower and the Guarantor and will establish an obligation on their part to pay the amount referred to therein;
(c) said prepayment may be effected on the last day of each Interest Period, except if the Borrower requests the Bank's consent in writing and the latter accepts (at its absolute and free discretion) that the prepayment in question be effected on another day, in which case, apart from the amount of prepayment, the Borrower will have to pay and now undertakes to cover any fee and/or cost and/or loss of the Bank to be confirmed by the latter owing to such prepayment, to any difference in interest rate which might result from bringing the prepaid amount of Loan back to the Inter-Bank Market, or for any other reason;
(d) any such partial prepayment shall be at least equal to US Dollars five hundred thousand (US$ 500,000) or integer multiples thereof, or the balance of the Loan; and
(e) amounts prepaid in accordance with the provisions of this clause cannot be borrowed again.
6.2 In case of payment of part of the non due principal under clause 6.1 above, the Bank may allocate that amount first of all in payment of any payable costs, default interest and interest on the Loan, then in a pro rata reduction of all non due Instalments of the Loan, the Balloon Payment being considered as part of the last (40th) Instalment for the purposes of this clause.
6.3 Mandatory Prepayment (a) If the Vessel is sold (which in any case requires prior permission from the Bank) or becomes a Total Loss (as defined below) or incurs damage or becomes involved in an incident which, at the Bank's absolute discretion, may render the Vessel a Total Loss, the Borrower will be obliged to prepay to the Bank the total amount of Indebtedness:
(i) in case the Vessel is sold, before or at the same time as the sale and delivery of the Vessel to buyer, or
(ii) in case the Vessel becomes a Total Loss, either one hundred eighty (180) calendar days after the Vessel became a Total Loss, or on the date on which any insurance compensation in relation with the Total Loss or requisition compensation of the Vessel is paid to the Borrower or the Manager (or to the Bank, in its capacity as assignee of the Borrower's receivables under the General Assignment of the Vessel's insurance contracts pursuant to Clause 7.2 hereof), whichever may occur earlier.
“Total loss” shall mean:
i) the actual or presumed, arranged or settled total loss of the Vessel, or ii) the requisition for title or other compulsory acquisition of the Vessel, other than requisition for hire, or
iii) the capture, arrest, seizure, restraint or detainment of the Vessel by any Government or any person acting or appearing or intending to act on behalf of any Government (except if the Vessel is freed from any such capture, arrest, seizure, restraint or detainment within one month after the incident occurred).
For the purposes of this agreement, the Vessel will be considered to have become a Total Loss in the following cases:
(1) in case of actual total loss of the Vessel, on the date the Vessel was lost or, if that date is unknown, on the last date the Vessel had been reported to be in good condition;
(2) in case of presumed total loss of the Vessel, on the date the Vessel's insurers were given a notice of abandonment, provided however that the Vessel's insurers accept that the Vessel has become a Total Loss within fourteen (14) calendar days from the date of the above notice. If the insurers do not accept that the Vessel has become a Total Loss within the above time-limit, the Total Loss will be considered to have occurred on the date of acceptance or denial of the Vessel's Total Loss by the insurers, or on the date when the Vessel was declared a Total Loss by decision of a competent court or arbitration;
(3) in case of a compromised or arranged total loss, on the date on which the Vessel's insurers signed a binding agreement acknowledging that the Vessel has become a compromised or arranged total loss,
(4) in case of compulsory acquisition of the Vessel, on the date that this occurred; and
(5) in case of capture, arrest, seizure or restraint or detainment of the Vessel (except where the above result in compulsory acquisition of the Vessel) by any Government or any person acting or appearing or intending to act on behalf of any Government, thus depriving the Borrower from the right to exploit the Vessel as owner for a period of more than thirty (30) days, on the date when the period of thirty (30) days is complete.
(b) Except as otherwise provided in this clause 6.3, the provisions of clause 6.1 shall apply (pro rata) on any prepayment effected pursuant to this clause 6.3, in any case without requiring prior notice under clause 6.1(a) in case of sale of the Vessel.
(c) In case of compulsory prepayment under 6.3 above, the Bank will allocate that amount in payment of the Indebtedness. If, for any reason, the amount of payment is not sufficient for repaying the Indebtedness in full, the Bank may allocate said amount first in payment of any pay costs, default interest and interest, then in pro rata reduction of all non due Instalments of the Loan or in payment of the Loan Instalments in reverse order of maturity (the Balloon Payment being considered as part of the last [40thς] Instalment), or as otherwise decided by the Bank at its absolute discretion. In the latter case, the Borrower shall promptly pay the amount of difference.
6.4 If the sale or Total Loss of the Vessel under clause 6.3 occur before the First Drawdown, the Bank will be under no obligation to advance the Loan.
7. TERMS AND CONDITIONS OF ADVANCE - SECURITY
7.1 The Bank's obligation to issue the Loan to the Borrower is subject to the Bank having received the following documents and evidence that the Bank will consider satisfactory in form and substance at its reasonable discretion, at least two (2) full Business Days before the execution of this agreement:
(a) true copy of the articles of incorporation, the by-laws (if any) and any amendments thereof, the certificate of incorporation - if any - and other legalisation documents of the Borrower, the Guarantor and their shareholders (if legal entities);
(b) recent (issued in the last month prior to the execution of this agreement) and effective certificate of good standing of the Borrower, the Guarantor and their shareholders (if legal entities);
(c) certificate of the Chairman or Secretary of the Borrower, the Guarantor and their shareholders (if legal entities), certified either by the relevant Consulate or by the competent authorities at the registered seat of each and apostilled pursuant to the Convention of Hague or other certification acceptable to the Bank, as per the sample attached hereto as Draft 3;
(d) minutes of meeting of the board of directors and general meeting shareholders of the Borrower and Guarantor, certified either by the relevant Consulate or by the competent authorities at the registered seat of each and apostilled pursuant to the Convention of Hague or or otherwise certified as acceptable to the Bank, deciding and/or approving the entering into and execution of this agreement, other collateral provided for the Loan and any other documents executed under these;
(e) certified true copy of the executed Sale and Purchase Agreement;
(f) certified true copies of the documents concerning the establishment in Greece of an office under Law 89/67 (currently Law 378/68) of the Manager, especially including the Government Gazette bulletin where the relevant decision of approval was published, and a recent certificate of the Ministry of Mercantile Marine concerning the representation of said office in Greece and non-revocation of the decision of approval; and
(g) full set of copies of the documents listed in the Sale and Purchase Agreement to be exchanged between the Seller and the Borrower on consummation of the transfer and delivery of the Vessel to the latter.
7.2 The Bank's obligation to issue the Loan is also subject to the condition that, no later than or on the Drawdown Date of the Loan, the Bank shall have been duly furnished with the following Security Documents and the following documents, certificates and evidence that the Bank will consider satisfactory in form and substance:
(a) A first preferred mortgage on the Vessel in favour of the Bank, in the amount of USD seventy six million three hundred twenty thousand (US$ 76,320,000) plus interest and costs, as security for the Bank's claims under this Loan Agreement, accompanied if required by a Deed of Covenants stipulating its terms (hereinafter the “Mortgage”).
(b) General Assignment to the Bank of the Earnings, Insurance and Requisition Compensation of the Vessel, of a class equal to the Mortgage referred to under (a) above (hereinafter the
“General Assignments”).
(c) The Guarantee, duly signed by the Guarantor.
(d) First class special legal assignment to the Bank by the Borrower of the Charterparty (hereinafter the “Special Assignment”), accompanied by a written confirmation of the Charterer accepting said assignment, with such content and certification as acceptable to the Bank.
(e) Pledge agreement in favour of the Bank concerning the Earnings Account to be opened in the Borrower's name and held with the Bank in accordance with the specific provisions of Clause 8.1.15 hereof (hereinafter the “Earnings Account Pledge” or the “Account Pledge”).
(f) Evidence that the Vessel was delivered by the Seller to the Borrower, who took delivery without reservation, and that the Purchase Price and any other amounts payable to the Seller by the Borrower were paid in full pursuant to the terms of the Sale and Purchase Agreement.
(g) Full set of certified copies of the documents relating to the purchase, transfer and delivery of the Vessel from the Seller to the Borrower, and its registration under the Approved Flag, including without limitation the Bill of Sale, the delivery and acceptance protocol, any invoice of the Seller paid in full, any existing certificates of the Vessel, the legalisation documents of the Seller and Borrower pertaining to the sale and purchase and delivery, and the new Nationality Document of the Vessel.
(h) Evidence that the Vessel (i) is registered in the Borrower's name under the Approved Flag, and (ii) is free of any encumbrances other than the Mortgage in favour of the Bank.
(i) Evidence that the freight, the Earnings in general and the insurance policies of the Vessel are free of any assignments and other encumbrances other than the General Assignments and the Special Assignment - if applicable - in favour of the Bank.
(j) Written certificates of insurers or insurance brokers and competent representatives of P&I Clubs regarding the entering into / the effect and the terms of the insurance/covers of the Vessel as provided below.
(k) All required certificates from the Vessel's insurers that they will issue letters of undertaking and will include the notice of assignment and the obligation to pay insurance compensation in case of loss of the Vessel (loss payable clause) in the Vessel's insurance policies which are currently in effect or will be issued in the future, in form and substance acceptable to the Bank.
(l) Any certificates required for vessels of this type, such as Class Certificates without recommendations and notations, and Statutory Certificates.
(m) Effective management agreement between the Borrower and the Manager appointing the latter to carry on the technical and commercial management of the Vessel pursuant to the provisions of the ISM Code.
(n) Evidence demonstrating that: (i) the Vessel is fully compliant with the provisions of ISM Code, including the relevant certificate of safety management (SMC), otherwise, in case that the relevant controls have not been completed, that the Approved Classification Society will issue same after these are complete; (ii) the Manager is fully compliant with the provisions of the ISM Code, including the Certificate of Compliance (COC); (iii) the Vessel and/or the Manager are fully compliant with the provisions of the ISPS Code, including the relevant International Ship Security Certificate (ISSC); and (iv) the Vessel is fully compliant with all applicable regulations of safety and environmental regulations.
(o) Letters of individuals indicated by the Borrower and the Guarantor, whereby they accept their appointment as process agents in relation to this Agreement and the other Security Documents.
(p) evidence that the Negotiation Fee and the Commitment Fee
provided in Clauses 13.1 and 13.2 respectively have been paid to the Bank in full.
(q) valuation of the Market Value of the Vessel in accordance with clause 8.1.14 (b) hereof, at least ten (10) calendar days prior to the Date of Delivery, it being now agreed that the valuation thus carried out will constitute the Vessel's Market Value on the Drawdown Date of the Loan.
(r) such evidence as the Bank will consider satisfactory in form and substance concerning the execution and effect of any Time Charter of the Vessel, the Bank being under obligation to notify the Borrower of its acceptance of the Time Charter within seven (7) calendar days from receipt of the above evidence on "receipt notice".
7.3 Where required to draw the Loan or part thereof without having complied with all requirements of clause 7.2 hereof, and the relevant amount must be remitted to the Seller's bank (the “Seller's Bank”), pursuant to clause 3 of the Sale and Purchase Agreement, the Bank may accept such request at its absolute discretion, under the following terms and conditions:
(i) the relevant amount will be remitted to the Seller's Bank and will be held in an interim or other account in the name and by order of the Bank;
(ii) the amount in question will be released to Seller by the Bank on the Date of Delivery and provided that the collateral referred to in clause 7.2 shall have been duly provided to the Bank on that date;
(iii) the amount to be released as above may only be used for repaying the remaining Purchase Price of the Vessel pursuant to the terms of the Sale and Purchase Agreement; and
(iv) in case that the amount in question is not released to the Seller in whole or in part as per the Bank's instructions, the Bank will instruct the Seller's Bank to return said amount with interest to an account to be indicated by the Bank, and the Borrower shall compensate the Bank as provided in clause 15 hereof.
Amounts remitted and returned under this clause will be allocated towards prepayment of the Loan pursuant to clause 6.3 hereof.
7.4 It is explicitly agreed that the Bank granting any amount of the Loan without being in receipt of all of the above documents, or without these documents being to the Bank's satisfaction at its absolute discretion, cannot be considered as waiver of the Bank's right to request the Borrower and the Guarantor to submit these at a subsequent time. In the latter case, the Borrower shall submit and ensure that the Guarantor will submit any missing documents on Bank's first demand.
7.5 Furthermore, the Bank's obligation to issue any amount of the Loan is subject to the following conditions:
(a) from the date of acceptance of the Bank's letter dated 4.12.2007 concerning the main terms of this financing, and until the Drawdown Date of the Loan, no essential adverse change shall have occurred in the Borrower's and Guarantor's financial condition and business operation;
(b) all warranties and representations of the Borrower and Guarantor contained herein or to be given in performance hereof are true and accurate as at the Drawdown Date of the Loan; and
(c) No Event of Default has occurred as at the Drawdown Date of the Loan, and the Loan's disbursement would not result in any Event of Default.
7.6 The Bank may request at its absolute discretion and at any time, and the Borrower undertakes to deliver to the Bank within a reasonable time-limit to be set by the latter, any reasonably required documents or certificates or opinions in relation to this Agreement and/or the other Security Documents.
8. REPRESENTATIONS - OBLIGATIONS OF BORROWER
8.1 As of the execution of this Agreement and until such time as all of its obligations hereunder are performed, the Borrower guarantees, promises and undertakes:
8.1.1 to remain a single (shipping) purpose company and not alter its object of activities save upon written consent from the Bank;
8.1.2 not to enter into any loan agreements as lender or borrower, nor into any other credit facility or investment agreement, nor provide any guarantee or undertake any additional loan obligations and, in general, nor to reduce its assets and its current financial condition in general, nor acquire any other ship without the Bank's written consent.
Moreover, save as provided in Clause 8.1.15 of this Agreement, refrain from making any payments to any third party for any cause.
8.1.3 not to sell or lease its business or assets in whole or in part, nor assign their use to third parties under any legal form without the Bank's prior consent in writing, except from chartering the Vessel in the ordinary course of its commercial operation;
8.1.4 not to pay any dividends or advances on account of profits to its shareholders, save upon prior written approval from the Bank;
8.1.5 to keep all accounting books and records provided by the Law, and submit to the Bank, within 180 and 60 days respectively after the closing of each fiscal year copies of (i) its audited annual financial statements and interim (semi-annual) unaudited financial statements, and (ii) the Guarantor's annual audited and interim (semi-annual) unaudited consolidated financial statements;
8.1.6 to inform the Bank about any development concerning its financial status and the general activities of the Borrower and/or Guarantor and/or Shipping Group they are part of, such as environmental claims, loan obligations to other banks, composition of the Group's fleet and cashflow concerning the vessels that are part of the Group's fleet, and to make available to the Bank the Borrower's books and any other records to enable the Bank to check its financial condition through its competent bodies and/or other persons to be indicated by the Bank, and the relevant costs shall be on the Borrower;
8.1.7 to keep all of its insurable assets insured with a first class insurance company under terms to be approved by the Bank, and assign to the Bank all its claims under such insurance covers, the Bank being entitled to insure such assets itself if the Borrower neglects to do so at the Borrower's expense in order to protect the Bank's legitimate interests. In specific, every insurance of the Vessel must be in US Dollars on terms acceptable to the Bank, with first class brokers or insurers and with internationally well-reputed P&I Clubs acceptable to the Bank and must indicatively include the following:
(i) Hull and Machinery (Η & Μ) insurance.
(ii) Insurance against war risks, including without limitation risk of mines and terrorist activities and all risks exempted from the standard form of the English marine policy by inserting the "free of capture and seizure clause".
The insurance referred to under (i) and (ii) above will be taken out for an amount at least equal to 125% of the Loan (i.e. of the amount of principal owed to the Bank hereunder from time to time), or with the full Market Value of the Vessel, whichever amount is higher.
(iii) Mortgagee’s Interest Insurance (ΜΙI) to be taken out by the Bank on the Vessel on terms of its choice and at the Borrower's cost, equal to 110% of the Loan.
(iv) Insurance with a Ρ&Ι Club acceptable to the Bank, against risks usually covered by such clubs, including without limitation full insurance cover (a) of the Borrower's liability as owner of the Vessel and Manager's liability as manager of the Vessel against oil pollution (Oil Pollution Cover) (including relevant risks) for the maximum amount usually covering such risks, currently USD one billion, (b) for Freight, Demurrage and Defense (F.D. & D), and (c) for civil liability towards third parties and crew (indicatively against loss of life, injury or illness). If the vessel in question sails into ports of USA or under US jurisdiction, she will be insured with an additional cover for liability and risks of pollution (Excess Liability Insurance for Oil Pollution) at the maximum offered or available cover in the market for pollution risks and liability, at terms and for an amount to be approved by the Bank.
All insurance covers under (i), (ii), (iii) and (iv) above will include a loss payable clause, in form and substance acceptable to the Bank.
(v) Any other insurance covers reasonably requested by the Bank from time to time.
If any of the above covers is part of the fleet insurance, the Borrower and/or the Guarantor will ensure that the insurers or insurance brokers will undertake towards the Bank on one hand not to offset against any insurance compensation payable in relation to the Vessel any premiums owed in relation to other vessels covered by the fleet insurance or any other premiums owed under other policies and, on the other hand, not to cancel the Vessel's insurance for non-payment of premiums in respect of other vessels covered by the same fleet insurance or premiums owed under other insurance policies, in which cases they will undertake to issue a separate policy for the vessel in question, if and when requested by the Bank.
8.1.8 to ensure that, throughout the term of the Loan and until full repayment, the Vessel will remain under the technical and commercial management of the Manager, it being prohibited to change the Manager without the Bank's prior approval in writing.
8.1.9 to complete the Vessel's final registration under the Approved Flag within the time required under the laws of the Approved Flag state.
8.1.10 to ensure that the Vessel will remain under the ownership, control and interests of the Borrower and not to change or consent to changing the name, flag and Registry of the vessel in question (this being effective as of the transfer of ownership to the Borrower) nor change its corporate name or expand or change its object or its shareholding structure in essence and/or form, or transfer or generally dispose or pledge or otherwise encumber its shares in whole or in part without the Bank's prior consent in writing.
8.1.11 to ensure that the Vessel will be seaworthy and in all respects fit for the intended purpose, and will timely comply with all applicable safety and environmental regulations from time to time. The Borrower represents that the Borrower, the Manager and/or the Vessel are fully in compliance with and satisfy all conditions and requirements provided under (a) the International Safety Management Code and (b) the International Ship and Port Security Code, and will duly and accurately observe the relevant provisions as in force from time to time, and will deliver to the Bank at the latter's request any certificate or other document in evidence of their compliance and observation of the provisions of aforementioned Codes.
8.1.12 to ensure that the Vessel will remain registered with a first class classification society, member of IACS, approved by the Bank (the “Approved Classification Society”), at the highest class provided for vessels of this type, without conditions, recommendations or notations which affect or may affect the Vessel's class, and to furnish the Bank at the latter's request with copies of all class and sailing certificates for the vessel in question.
8.1.13 to take any action required to ensure that the performance of its obligations under this Agreement and the security agreements provided in clauses 7.2 and 8.1.15, as well as under the other Security Documents, will have priority over any current or future obligation towards any third parties.
8.1.14 (a) If, at any time after the Drawdown Date of the Loan and until all debts towards the Bank have been repaid, the Vessel's Market Value (as determined in paragraph (b) below) plus the value of any additional security provided to the Bank under this clause 8.1.14 falls below 125% of the Indebtedness (i.e. the total debit balance of debts payable towards the Bank, denominated in USD under the Loan to be issued hereunder), the Borrower must cover the difference within thirty (30) calendar days after receiving the Bank's relevant notice, to be ascertained by the Bank at its absolute discretion (so as to restore the above ratio of 125% between the Indebtedness and the Vessel's Value) as follows (by using one or more of the following methods), always with a view to avoiding any disproportion with the counter-performance for which security is sought:
(i) by providing the Bank with any other additional security of such nature and form that the Bank will approve at its absolute discretion (and, provided that the Borrower and/or the Guarantor do not submit to the Bank any proposal concerning such additional security acceptable to the Bank within ten (10) calendar days from the above written notice, the Borrower and the Guarantor will be deemed to have elected to prepay in accordance with the immediately following paragraph under (ii) below), and/or
(ii) by prepaying (pursuant to the provisions of Clause 6 above, without requiring prior notice in this case) such proportion of the Borrower's indebtedness towards the Bank as to ensure that, after said payment, the Vessel's Market Value plus the value of any additional security will amount to at least 125% of the Indebtedness.
Where such additional security involves a preferred mortgage on another vessel, its value will be valued in accordance with the provisions of clause 8.1.14 (b) hereof. Where such additional security involves a pledge on a cash deposit in US Dollars, its valuation will be effected on a Dollar for Dollar basis.
(b) The Vessel's Market Value will be determined in US Dollars by two valuators, one of them appointed by the Bank and the other by the Borrower to the Bank's satisfaction. Valuation will be carried out with our without physical inspection of the Vessel, on the basis of a private sale for prompt delivery of the Vessel in cash, free of any existing charter and encumbrances, on normal commercial terms. For the purposes of this clause, the arithmetic mean of the two valuations shall be the Vessel's Market Value. Where these two valuations vary by more than 15%, the Bank will appoint a third valuator at its absolute discretion, in which case the arithmetic mean of all three valuations shall be the Vessel's Market Value.
Valuations of the Vessel such as those provided above shall be binding on the Borrower and the Guarantor, and the Borrower agrees and undertakes to provide and ensure that the Manager will provide the Bank and any valuators appointed as above with any information requested concerning the Vessel and its condition.
All costs in respect of such valuations shall be undertaken by the Borrower.
8.1.15 Borrower shall open and maintain with the Bank a US Dollar earnings account (the “Earnings Account”) (earnings or operating account) to be pledged to the Bank and credited with all freight assigned to the Bank and with the Vessel's Earnings in general. Where any of the amounts to be credited is in a currency other than USD, the Bank will convert (and the Borrower hereby irrevocably and unreservedly authorises the Bank to convert) these amounts to USD at the Bank's spot price on the date of conversion.
Out of such earnings, until such time as an Event of Default occurs, the Borrower will withdraw such amounts as required to service (i) the Loan, pursuant to the specific terms hereof, (ii) the operating expenses of the Vessel, and (iii) the operating expenses and administration costs of the Borrower, and the remaining amount will remain in the Earnings Account except as otherwise agreed between the Borrower and the Bank as applicable.
Following the occurrence of an Event of Default and/or the termination of this Agreement, the Bank will take on any balance remaining in the aforementioned accounts and credit it to the Borrower's debts as provided in clause 12 hereof. Where any of the amounts to be credited is in a currency other than Euro, the Bank will convert (and the Borrower hereby irrevocably and unreservedly authorises the Bank to convert) these amounts to Euro at the Bank's spot price on the date of conversion.
8.1.16 To make, and ensure that the Manager will also make all banking operations concerning the Vessel, and transact freights all Earnings in general as well as any receivable insurance compensations involving said vessel through the Bank.
8.1.17 To provide at the Bank's request any valuation of the Vessel's Market Value carried out in accordance with clause 8.1.14 (b) hereof and addressed to the Bank, with the relevant costs undertaken by the Borrower.
8.1.18 To notify the Bank without delay of any Time Charter to be entered into in respect of the Vessel, and to make all relevant announcements in relation with the Special Assignment of the Earnings to the Bank and of all earnings from any such charter in general.
8.2 The Borrower further undertakes to ensure that, until such time as the Indebtedness is repaid in full, the Manager will also comply with the obligations provided under paragraphs 8.1.8, 8.1.11, 8.1.12 and 8.1.17. The Borrower further undertakes to ensure that, until such time as the Indebtedness is repaid in full, the Guarantor will also comply with the obligations provided under paragraphs 8.1.5 and 8.1.6.
9. EVENTS OF DEFAULT
The Borrower will be considered in default immediately and without notice
of cheque payable or other notice or reminder by the Bank, and the Bank may terminate this Agreement and declare the Loan immediately due and payable, demanding payment of the entire outstanding amount of principal along with any interest, default interest, interest on interest, fees and other charges pursuant to Clause 13, save in case of infringement of Clauses 6.3, 8 and 11, and in case any of the following events occurs (each of them and collectively hereinafter referred to as “Event of Default”):
(a) if any amount of principal of the Loan or interest or any other amount payable under this Agreement or the other Security Documents is not paid in whole or in part on the date it becomes payable at the place of payment, or, in case of payments which are explicitly noted in this Agreement or in any of the other Security Documents to be payable on first demand, within three (3) Business Days from the relevant notice, or
(b) if the Borrower and/or the Guarantor default in any obligation (other than those referred to in the preceding paragraph) provided under any of the Security Documents which at the Bank's reasonable discretion can be remedied and is not remedied within ten (10) Business Days after the Bank's written notice to the Borrower requesting remedying, or
(c) in case of infringement of any of the terms and conditions of this Agreement and/or any term of the other Security Documents to be executed in relation to the provisions of Clauses 7.2 and 8.1.15 of this Agreement, or
(d) in case of essential reduction of the value or loss of security provided / to be provided to the Bank, or
(e) if the Borrower's and/or Guarantor's assets are encumbered, seized or sealed, provided that such encumbrance, seizure or sealing continue for more than thirty (30) calendar days, or
(f) in case of moratorium or bankruptcy or filing of a petition for bankruptcy against the Borrower and/or the Guarantor, or if their operations are discontinued or they are placed under forced administration or under administration and management by their creditors, or if they are placed under special liquidation or subjected to a similar state of collective enforcement, or
(g) in case of loss or restriction of the Borrower's and/or the Guarantor's capacity to perform juridical acts or of their power to dispose their assets or in case they are wound up or a decision for winding up is made, or
(h) if the Borrower's and/or Guarantor's business is transferred in whole or in part without the Bank's prior consent in writing, or
(i) if any other event of default occurs or if acts of enforcement are taken in relation to any other loan agreement or guarantee and any agreement of any type of financing to the Borrower and/or the Guarantor entered into with any individual or legal entity, including the Bank, or
(j) if the current shareholding structure and/or the administration (formal and actual) of the Borrower and/or the Guarantor changes without the Bank's prior consent in writing, or
(k) if the Borrower and/or the Guarantor fail to provide additional security or to make early repayment pursuant to Clauses 6.3 and 8.1.14 hereof, or the payment provided in Clause 14.3 hereof, or
(l) in case of any essential adverse change in the financial status and business operation of the Borrower and/or the Guarantor and/or the Shipping Group they are part of, or
(m) if any warranty or representation made or considered to have been made under any provision of this Agreement or of the other Security Documents turns out not to be or not to have been accurate at the time it was given, or
(n) in case of non final registration of the Vessel as provided in Clause 8.1.9 hereof, or
(o) in case of occurrence of any Event of Default provided in any of the other Security Documents, or
(p) if the Vessel is sold without the Bank's prior explicit consent or becomes a Total Loss, and provided that the Borrower does not make the prepayments provided in clause 6.3, or
(q) in case of provisional or compulsory attachment of the Vessel, or restraint or detainment thereof provided that such restraint or detainment continue for more than thirty (30) calendar days, or
(r) if the Vessel's registration under the laws of the state of its approved flag is cancelled or expires without the Bank's prior consent in writing, or if registration is not renewed at least seven calendar days before its expiry.
(s) if at any time it becomes illegal or impossible for the Borrower and/or the Guarantor to perform any obligation undertaken under this Agreement and/or any of the other Security Documents, as well as if it becomes illegal or impossible for the Bank to exercise any of its rights under this Agreement and/or any of the other Security Documents.
10. EFFECTS OF DEFAULT
10.1 The occurrence of any of the cases described in Clause 9 above shall have the following effects:
(a) the Loan will become immediately due and payable and, in any case where a time-limit is set for payment pursuant to the above, the Loan will become due and payable upon expiry of the time-limit in question;
(b) the Borrower will be rendered ipso iure in default and will be obliged to pay default interest in respect of overdue amounts of principal and interest and any other amount payable under this Agreement or the Security Documents, calculated at the Default Rate;
(c) the Bank may either seek to collect the overdue amounts or terminate this Agreement declaring the Loan immediately due and payable and demand payment of the entire outstanding amount of principal along with interest, default interest, interest on contractual or default interest payable, fees and other charges;
(d) the Bank may among other things declare enforceable the preferred mortgage on the Vessel under clause 7.2(a) for the entire amount of its claims, and exercise against the Borrower and the Guarantor all rights provided by the law, this Agreement and the other Security Documents.
It is explicitly agreed that the above will remain in force both after the termination of this Agreement and after the issuance of a court judgement or payment order adjudicating the Bank's claims hereunder.
10.2 Extracts of account(s) (or print-outs thereof) or excerpts from the Bank's books or records or certificates issued by the Bank in writing will constitute complete evidence of the Bank's claims from time to time for principal, interest, costs and any charges in general relating to this Agreement against any payer, counter-evidence being permitted save through witnesses.
It is explicitly agreed that statements or similar print-outs issued by the Bank's employees and reflecting the Bank's claim from the calculation of interest independent of financial accounts pursuant to applicable provisions on compound interest are of equal probatory force.
It is explicitly agreed that the above provisions also apply on the account or accounts held by the Bank even after the termination of this Agreement.
11. RESTRICTION - TERMINATION OF THE AGREEMENT AT THE TIME OF DRAWDOWN
11.1 Except as otherwise provided herein, the Bank may terminate this Agreement at the time the Loan is drawn down in the cases provided for in Clause 9 and in the following cases:
(a) failure for any reason to draw down the entire amount or part of the Loan in accordance with the provisions of clause 3.1, or
(b) failure to realise the purpose of the Loan on time, or
(c) failure of the Borrower and/or Guarantor to submit the documents referred to under 7.1 and 7.2 above about assigning and establishing the security, or
(d) in case of any inaccuracy in the documents submitted under 7.1 and 7.2 above, and in the representations under 7.5.
11.2 In the above cases of termination, the Bank may at its discretion limit the amount of Loan to the amount already drawn down and/or declare any amounts already drawn from the Loan due and payable and demand payment along with interest, fees and other charges under Clause 13.
12. PAYMENTS - ALLOCATION
12.1 Except as otherwise explicitly agreed, all payments by the Borrower and/or the Guarantor shall be made on Business Days until 12.30 pm (Greek time) at the following address:

The Bank may change the place of payment upon notice to the Borrower five (5) Business Days in advance, and such notice shall apply to Guarantor as well.
12.2 All payments by the Borrower and/or the Guarantor in performance of their obligations under the terms hereof shall be made without any offset or counter-claim, and without any discounts.
12.3 Except as otherwise provided in this Agreement, each payment to the Bank on account of the Loan shall be allocated in the following order:
(a) any court expenses and legal fees along with applicable interest;
(b) payable costs of any kind along with applicable interest;
(c) default interest;
(d) other interest;
(e) Negotiation Fees and any other payable fee; and
(f) principal of the Loan (due or otherwise), notably either in payment of the Balloon Payment first and subsequently in pro rata reduction of the Loan Instalments, or in payment of the Loan Instalments in reverse order of maturity, the Balloon Payment being considered as part of the last (40th) Instalment, or as otherwise determined by the Bank at its absolute discretion.
12.4 Where payment of an Instalment or relevant interest falls on a non business day, said payment shall be made on the immediately following Business Day (with the relevant time extension being taken into consideration in calculating the interest payable on the relevant amount) or, where there no Business Day follows in the same calendar month, on the immediately preceding Business Day.
13. FEES - TAXES - COSTS
13.1 The Borrower shall pay to the Bank a one-off negotiation fee (the "Negotiation Fee") amounting to 0.25% on the amount of Loan, at the time of execution of this Agreement. The fee in question concerns the preparation and set up of the financing agreed hereunder and, as such, is payable in any case and may not be returned to the Borrower regardless if the Loan is not ultimately issued for the reasons referred to in this agreement or is not taken on by the Borrower within the Availability Period.

I also acted as court interpreter from time to time. I got my law degree in 2004, specialising in the translation of legal terminology, and decided to work as a full-time translator and interpreter. In these 16 years, I have had the pleasure of working for diverse clients and businesses in many fields of expertise such as shipping, finance, chemicals and recycling.
