Source text - Arabic قانون الشركات هو القانون المختص بالقواعد التي تؤسسها الشركة و تنظم مسئوليتها و حقوقها و واجباتها ايضا يعمل علي تنظيم تفاعل الشركات و المستثمرين و المساهمين والمديرين و الموظفين و الدائنين و غيرهم من اصحاب المصلحة مع بعضهم البعض .و تعرف الشركة قانونا بانها عقد يلتزم بمقتضاه شخصان او اكثر بأن يساهم كل منهم في مشروع مالي او اقتصادي او صناعي بتقديم حصة او عمل لاقتسام ما قد ينشأ عن هذا المشروع من ربح او خسارة، و يستثني من هذا التعريف شركة الشخص الواحد حيث انها تبني علي اساس ارادة منفردة حيث يكون راس مالها عن طريق شخص واحد. و يطبق القانون علي جميع الشركات المصرية المنشأة في نطاق الجمهورية، كما يسري هذا القانون علي الأشخاص الأعتبارية الأجنبية من الشركات التي تتخذ مركز إدارتها الرئيسي الفعلي في مصر | Translation - English The purpose of “The Companies’ Law” legislation is to regulate Companies’ incorporation, liabilities, rights and duties. It also regulates the interaction of companies, investors, shareholders, directors, creditors, and stakeholders with each other’s.
The Company is legally defined as a contract under which two (2) or more persons are engaged to contribute to a financial, economic, or industrial business by providing a share or work to share any profit or loss that may arise from this business. This definition does not include the One Person Company as its incorporation is based on a single will where one person makes its capital. Companies’ Law applies to all Egyptian companies. It also applies to Foreign companies where their actual principal administration is in Egypt.
