Term of Contract
Failure by either party to comply with any of its obligations hereunder shall entitle the other party to give to the party in default notice requiring it to make good such default. If such default be not made good within thirty (30) days after such notice, the notifying party shall be entitled (without prejudice to any of its other rights conferred on by this Agreement or by law) to terminate this Agreement by giving notice to take effect immediately.

أجل العقد
إذا لم يفِ أحد الطرفين بالتزاماته بموجب هذا العقد، للطرف الآخر أن يرسل إخطارًا للطرف المقصر يطالبه فيه بتصحيح التقصير. وإذا لم يُصحح التقصير في ظرف 30 (ثلاثين يومًا) من تاريخ الإخطار، للطرف المُخطِر أن يفسخ العقد بإرسال إخطار يسري على الفور (دون الإخلال بأي من حقوقه التي يمنحها إياه هذا العقد أو القانون).

القانون المعمول به / القانون واجب النفاذ
يخضع العقد في كافة نواحيه لقوانين الدائرة القانونية المختصة التي تقع في محل البائع، الذي يرِدُ في صدر هذاالعقد، وتعد الدائرة القانونية المختصة محل الدعاوى القانونية أو غيرها من الدعاوى إذا ما نشأ نزاعٌ يتعلق بهذا العقد.

Applicable/governing Law
This Agreement shall be governed in all respects by the laws of the jurisdiction in which the Vendor is located, as indicated in the beginning of this Agreement, which jurisdiction shall be the location of any judicial or other proceeding brought in the event of any dispute arising hereunder.

Force Majeure
Neither Vendor, Vendor’s affiliates, nor their suppliers shall be liable for any failure or delay in the delivery of Products occasioned in whole or in part by Force Majeure, including but not limited to Act of God; strike; fire; war; terrorism; civil commotion; delay of carrier; any governmental act, requirement, or regulation; or any other cause beyond its control.

لا يعد البائع ولا فروع البائع ولا موردو البائع مسئولين عن عدم توريد المنتجات أو تأخرها لأسباب القوة القاهرة إجمالا أو جزئيًا، وتشمل القوة القاهرة ولا تقتصر على القضاء والقدر، أوالإضرابات، أو الحرائق، أو الحروب، أو الإرهاب، أو الاضطرابات المدنية، أو تأخر الناقلات، أو أي قوانين أو متطلبات أو لوائح حكومية، أو أي سبب آخر خارج عن الإرادة.
