Щодо термінів виконання
зобов’язань за Договором
Шановний пане Пшемиславе!
Товариством з обмеженою відповідальністю «ЕНЕРГОПОСТАЧАННЯ» (надалі – Покупець) та Фірмою «Хапам Поланд Сп. з о.о.» (надалі – Продавець) був укладений Контракт № 250321 від 25.03.2021 р. (надалі – Контракт) згідно якого Продавець продає, а Покупець купує на умовах FCA м.Лодзь, Польща (як визначено Правилами ІНКОТЕРМС-2020), електротехнічне устаткування (надалі – Устаткування), в кількості, за цінами і виготовлене за технічними даними і в комплектації згідно Додатка 1 і Додатка 2, які є невід’ємною частиною Контракту.
Згідно умов Додатку 1 до Контракту терміни постачання Продавцем устаткування становлять: для роз’єднувачів 330 кВ – 5 місяців, для роз’єднувачів 750 кВ – 6 місяців з дати отримання від Покупця передоплати 20%.
У відповідності до умов Контракту Покупець здійснив 31.03.2021 р. передоплату за устаткування у розмірі 20% від його загальної вартості, що становить 56 610 Євро.
Отже, останнім днем терміну постачання роз’єднувачів 330 кВ є 31.08.2021 року, а роз’єднувачів 750 кВ – 30.09.2021 р.
У відповідності до п. 4.1 Контракту Продавець зобов'язаний за 7 календарних днів до планованої дати постачання повідомити Покупця у письмовій формі (рекомендованим листом або електронною поштою) про готовність устаткування до постачання, включаючи адресу.
На даний час Продавець вже порушив терміни постачання роз’єднувачів 330 кВ на 13 календарних днів.
Беручи до уваги обов’язок Продавця повідомити Покупця про готовність устаткування до постачання за 7 календарних днів до дати постачання – останній день такого повідомлення для роз’єднувачів 750 кВ – 23.09.2021 р. Враховуючи, що Покупець досі не отримав повідомлення про готовність роз’єднувачів 330 кВ до постачання, можна дійти обгрунтованого висновку, що Продавець також порушить терміни постачання роз’єднувачів 750 кВ.
Згідно п. 11.1 Контракту якщо сторони по яким-небудь причинам, окрім форс-мажорних обставин, не виконують умов цього Контракту, то одна сторона має право зажадати від іншої сторони сплати пені у розмірі 0,1% в день від суми невиконаної частини Контракту за кожен прострочений день, але не більше 10% від вартості узгодженої партії устаткування, що не звільняє від виконання по даному Контракту.
Окрім цього, невиконання Продавцем зобов’язання з постачання устаткування у визначені Контрактом терміни, загрожує зривом строків робіт з реконструкції стратегічного енергетичного об’єкту державного значення - ПС 750 кВ «Вінницька», які виконує Покупець та для яких постачається зазначене устаткування, що в свою чергу приведе до:
- величезних реальних збитків у вигляді сплати штрафних санкцій всім субпідрядникам, додаткових витрат, пов’язаних зі збільшенням строків робіт та з необхідністю пролонгації банківської гарантії або надання нової;
- негативних наслідків у вигляді упущеного доходу за цілий календарний рік через введення Замовником оперативно-господарських санкцій у вигляді відмови від господарських відносин на один рік і внесення до «чорного списку» контрагентів з оприлюдненням на офіційному сайті НЕК «Укренерго», що негативнійшим чином позначиться на ділової репутації та іміджі компанії, що не дасть змоги в подальшому приймати участь в тендерах;
- штрафних санкцій (пеня та додатково штраф) за порушення строків виконання робіт з реконструкції;
- розкриття банківської гарантії Замовником та її виплата Банком, з подальшим її відшкодуванням Банку Покупцем;
- необхідності повернення всіх отриманих від Замовника авансових платежів з урахуванням індексу інфляції;
Всі ці величезні збитки, у разі їх застосування Замовником, Покупець покладе на Продавця.
Враховуючи вищевикладене та для уникнення величезних фінансових та репутаційних втрат вимагаємо надіслати офіційну відповідь на цей лист із зазначенням чітких строків постачання устаткування за Контрактом та якнайшвидше здійснити його поставку.

Regarding the fulfilment of obligations under the Contract
Dear Mr Wartołowski,
Limited Liability Company «ЕNERGOPOSTACHANNYA» (hereinafter referred to as the “Buyer”) and HAPAM Poland Sp. z о.о. (hereinafter referred to as the “Seller”) concluded Contract No. 250321 dated 25.03.2021 (hereinafter referred to as the “Contract”), according to which the Seller sells, and the Buyer buys on conditions FCA Lodz, Poland (as defined in INCOTERMS-2020) the electrical equipment (hereinafter – the “Equipment”), in quantity, prices and manufactured under technical data and completed in accordance with Appendix 1 and Appendix 2, which are an integral part of the Contract. According to the terms of Appendix 1 of the Contract, the terms of delivery of the equipment by the Seller are: for 330 kV disconnectors - 5 months, for 750 kV disconnectors - 6 months from the date of receipt of 20% prepayment from the Buyer.
Following the terms of the Contract, the Buyer carried out on 31 March 2021 the advance payment for the Equipment in the amount of 20% of its total value, that is EUR 56 610.
Therefore, the last day of delivery of 330 kV disconnectors is 31.08.2021, and 750 kV disconnectors - 30.09.2021.
Based on cl. 4.1 of the Contract, the Seller is obliged 7 calendar days prior to the shipment date to notify the Buyer in written (by registered letter or e-mail) about the readiness to deliver the goods including the pick up address,
The Seller has already violated the delivery of 330 kV disconnectors for 13 calendar days.
Taking into account the obligation of the Seller to notify the Buyer about the readiness to deliver the goods 7 calendar days prior to the shipment date, the last day of such notice for 750 kV disconnectors is 23.09.2021. Given that the Buyer has not yet received notification of the readiness of 330 kV disconnectors for delivery, we may reasonably conclude that the Seller will also violate the terms of delivery of 750 kV disconnectors.
Based on cl. 11.1 of the Contract, if the parties because any reasons except force-majeure circumstances don’t fulfill conditions of this Contract, one party may demand paying the fine, the amount of 0.1% a day from the sum of non fulfilled part of the Contract for each delayed day, but not more than 10% of the value of the agreed lot of the Equipment, that doesn’t free from fulfilling as to this Contract.
In addition, the Seller's failure to fulfill its obligations to supply the Equipment within the timeframe specified in the Contract threatens to disrupt the terms of reconstruction of the strategic energy facility of state importance - 750 kV SS "Vinnytska", performed by the Buyer and for which the specified equipment is supplied, that in turn may lead to:
- huge real losses in the form of payment of penalties to all subcontractors, additional costs associated with increasing the duration of the work and the need to extend the bank guarantee or provide a new one;
- negative consequences in the form of lost income for the whole calendar year due to the Customer’s making of operational and economic sanctions in the form of waiver of economic relations for one year and blacklisting of contractors with publication on the official website of NPC “UKRENERGO”, which may negatively affect the business reputation and image of the company, which may not allow further participation in biddings;
- penalties (fine and additional fines) for violation of the terms of the reconstruction work;
- disclosure of the bank guarantee by the Customer and its payment by the Bank, with its subsequent reimbursement to the Bank by the Buyer;
- the need to return all advance payments received from the Customer, taking into account the inflation index.
The Buyer shall put all these huge losses, in case of their application by the Customer, on the Seller.
Given the above and to avoid the huge financial and reputational losses we require to send an official response to this letter with the real indication of the delivery time of the Equipment under the Contract and to quickly carry out its delivery.
