Source text - Indonesian Bahwa menurut M.A Moegini Djodjodirjo dalam bukunya yang berjudul “Perbuatan Melawan Hukum” halaman 35 menyatakan: “bahwa suatu perbuatan dapat dianggap sebagai perbuatan melawan hukum, kalau: bertentangan dengan hak orang lain atau bertentangan dengan kewajiban hukumnya sendiri atau bertentangan dengan kesusilaan baik atau bertentangan dengan keharusan yang harus diindahkan dalam pergaulan masyarakat mengenai orang lain atau benda.
Bahwa dalam buku yang sama, M.A Moegini Djodjodirdjo memaparkan yang dimaksud dengan bertentangan dengan hak orang lain adalah bertentangan dengan kewenangan yang berasal dari suatu kaedah hukum, dimana yang diakui dalam yurisprudensi, diakui adalah hak hak pribadi seperti ha katas kebebasan, hak atas kehormatan dan hak atas kekayaan. Bertentangan dengan kewajiban si pelaku adalah berbuat atau melalaikan dengan bertentangan dengan keharusan atau larangan yang ditentukan peraturan perundang-undangan. Sedangkan yang dimaksud melanggar kesusilaan baik adalah perbuatan atau melalaikan sesuatu yang bertentang dengan norma-norma kesusilaan, sepanjang norma tersebut oleh pergaulan hidup diterima sebagai peraturan-peraturan hukum yang tidak tertulis. bertentangan dengan peraturan yang diindahkan adalah bertentangan dengan sesuatu yang menurut hukum tidak tertulis harus diindahkan dalam lalu lintas masyarakat.
Translation - English That according to M.A Moegini Djodjodirjo in his book entitled “Perbuatan Melawan Hukum” (“Tort”) page 35 stating: “that an act shall be deemed as a tort, if: it is contrary to other party’s rights or is contrary to his/her own legal obligations or is contrary to good decency or is contrary to the norms that must be heeded in public relations regarding other people or objects.
That in the same book, M.A. Moegini Djodjodirdjo further explained that contrary to other party's rights means contrary to the authority coming from a legal rule, which means that if it is recognized in jurisprudence, personal rights are also recognized, such as the right to freedom, the right to honor, and the right to property. Contrary to the perpetrator’s obligations means to act or to neglect in contrary to the requirements or prohibitions as stipulated in the laws and regulations. Whereas, violating good decency means to act or to neglect something that is contrary to the norms of decency, as long as these norms are accepted by social life as unwritten legal regulations. Contrary to the norms being heeded means contrary to something that in accordance with unwritten law must be heeded in social relations.

(1) Where the Board of Directors’ resolution for the purposes of convening the General Meeting of Shareholders determines to have voting in writing, shareholders may exercise their voting rights in writing in lieu of attending the meeting of shareholders.
(2) With the notice of convention of the General Meeting of Shareholders of Paragraph (1), the Company shall enclose the form(s) and reference information necessary for shareholders to exercise their voting rights.
(3) A shareholder who wishes to exercise his/her voting rights by writing shall fill in the form(s) referred to in Paragraph (2) above, and shall submit the said form(s) to the Company no later than the day immediately preceding the date set for that meeting.
Translation - Indonesian Pasal 22. (Menggunakan Hak Suara dalam Bentuk Tertulis)
(1) Apabila keputusan Direksi untuk keperluan Rapat Umum Pemegang Saham menentukan bahwa hak suara diberikan secara tertulis, pemegang saham dapat menggunakan hak suaranya secara tertulis sebagai ganti menghadiri rapat pemegang saham.
(2) Dengan pemberitahuan pemanggilan Rapat Umum Pemegang Saham pada Ayat (1), Perseroan harus melampirkan formulir dan informasi rujukan yang diperlukan bagi pemegang saham untuk menggunakan hak suaranya.
(3) Pemegang saham yang ingin menggunakan hak suaranya secara tertulis harus mengisi formulir sebagaimana dimaksud pada Ayat (2) di atas, dan menyerahkan formulir tersebut kepada Perseoan selambat-lambatnya pada hari tepat sebelum tanggal rapat yang ditentukan.
