These guidelines set out the principles for the assessment under Article 6 and Article 6 (bis) of the Law on the Protection of Competition and the Prohibition of Monopolistic Practices (hereinafter - the Law on Competition) of agreements between undertakings pertaining to horizontal co-operation. Co-operation is of a 'horizontal nature' if an agreement is entered into between actual or potential competitors.
2. Two companies are treated as actual competitors if they are active on the same relevant market. A company is treated as a potential competitor of another company if, in the absence of the agreement, in case of a small but permanent increase in relative prices it is likely that the former, within a short period of time, would undertake the necessary additional investments or other necessary switching costs to enter the relevant market on which the latter is active.
3. What constitutes a 'short period of time' depends on the facts of the case at hand, its legal and economic context, and, in particular, on whether the company in question is a party to the agreement or a third party. In the first case normally consider a longer period should be considered to be a 'short period of time' than in the second case. For a third party to be considered a potential competitor, market entry would need to take place sufficiently fast so that the threat of potential entry is a constraint on the parties' and other market participants' behaviour. For these reasons a period of not more than three years should normally be considered to be a 'short period of time'. This assessment has to be based on realistic grounds, the mere theoretical possibility to enter a market is not sufficient.
4. Horizontal co-operation agreements can lead to substantial economic benefits, in particular if they combine complementary activities, skills or assets. Horizontal co-operation can be a means to share risk, save costs, increase investments, pool know-how, enhance product quality and variety, and launch innovation faster. On the other hand, horizontal co-operation agreements may lead to competition problems. This is, for example, the case if the parties agree to fix prices or output or to share markets, or if the co-operation enables the parties to maintain, gain or increase market power and thereby is likely to give rise to negative market effects with respect to prices, output, product quality, product variety or innovation. Therefore, while recognizing the benefits that can be generated by horizontal co-operation agreements, it is important to ensure that effective competition is maintained.
5. These Guidelines provide an analytical framework for the most common types of horizontal co-operation agreements; they deal with research and development agreements, production agreements including subcontracting and specialisation agreements, purchasing agreements, commer¬cialisation agreements, standardisation agreements including standard contracts, and information exchange. This framework is primarily based on legal and economic criteria that help to analyse a horizontal co-operation agreement and the context in which it occurs. Those criteria do not, however, constitute a 'checklist' which can be applied mechanically. Given the potentially large number of types and combinations of horizontal co-operation and market circumstances in which they operate, it is difficult to provide specific answers for every possible scenario. Each case must be assessed on the basis of its own facts, which may require a flexible application of these guidelines.
| Translation - Arabic 1. تنص هذه الإرشادات علي المباديء التي تُستخدم لتقييم إتفاقيات التعاون الأفقي بين المؤسسات في ظل المادة 6 والمادة 6 (مكرر) من قانون حماية المنافسة ومكافحة الممارسات الإحتكارية (يُشار إليه أدناه - قانون حماية المنافسة). ويعد التعاون ذو "طبيعة أفقية" في حالة توقيع إتفاقية بين منافسين حاليين أو محتملين.
2. يتم التعامل مع شركتين بإعتبارهما منافسين حاليين في حالة عملهم بفاعلية في نفس السوق ذات الصلة. ويتم التعامل مع الشركة بإعتبارها منافس محتمل لشركة أخري، في غياب الإتفاقية، في حالة الزيادة الصغيرة والدائمة في الأسعار النسبية إذا كان من المحتمل أن تطرح الأخيرة، في غضون فترة زمنية قصيرة، الإستثمارات الإضافية الضرورية أو تكاليف التحول الأخري لدخول السوق ذات الصلة الذي تعمل فيه الأخيرة بفاعلية.
3. إن ما يشكل "الفترة الزمنية القصيرة" يعتمد علي وقائع الحالة القائمة، وسياقها القانوني والإقتصادي، وبشكل خاص، فيما إذا كانت الشركة المعنية تمثل طرفا في الإتفاقية أو طرف ثالث. وفي الحالة الأولي، عادة ما يجب التفكير في فترة أطول تمثل "فترة زمنية قصيرة" عن الحالة الثانية. ولكي ننظر إلي طرف ثالث بإعتباره منافس محتمل، يجب أن يحدث دخول السوق بشكل سريع بما فيه الكفاية حتي لا يمثل تهديد الدخول المحتمل ضغطاً علي سلوك الأطراف وشركاء السوق الأخرين. ولهذه الأسباب، يجب إعتبار الفترة التي لا تزيد عن ثلاثة سنوات "فترة زمنية قصيرة" في المعتاد. ويجب أن يقوم هذا التقييم علي أسس واقعية حيث لا يُعد الإحتمال النظري المجرد لدخول السوق كافياً.
4. قد تؤدي إتفاقيات التعاون الأفقي إلي مكاسب إقتصادية كبيرة، وبشكل خاص إذا ضمت أنشطة أو مهارات أو أصول مُكملة. وقد يُمثل التعاون الأفقي وسيلة لمشاركة الخطر وتوفير التكاليف وزيادة الإستثمارات وإستقطاب الخبرات الفنية وتعزيز جودة المنتج وتنوعه والبدء في الإبداع بشكل أسرع. وعلي الجانب الأخر، قد تؤدي إتفاقيات التعاون الأفقي إلي مشاكل تنافسية. ويحدث ذلك، علي سبيل المثال، إذا إتفق الطرفان علي تثبيت الأسعار أو الإنتاج أو مشاركة الأسواق أو إذا ساعد التعاون الطرفان علي المحافظة علي القوة السوقية أو الحصول عليها أو زيادتها ومن المحتمل أن يؤدي ذلك إلي تأثيرات سوقية سلبية من ناحية الأسعار أو الإنتاج أو جودة المنتج أو تنوع المنتج أو الإبداع. وهو ما يعني إنه من المهم ضمان المحافظة علي المنافسة الفعالة عند تحديد المكاسب التي يمكن تحقيقها عن طريق إتفاقيات التعاون الأفقي.
5. تقدم تلك الإرشادات إطار عمل تحليلي لمعظم أنواع إتفاقيات التعاون الأفقي السائدة؛ تتناول تلك الإرشادات إتفاقيات البحث والتطوير وإتفاقيات الإنتاج التي تشمل إتفاقيات مقاولة الباطن والتخصص وإتفاقيات الشراء وإتفاقيات تقديم السلعة تجاريا وإتفاقيات توحيد المقاييس التي تشمل العقود الموحدة وتبادل المعلومات. ويقوم إطار العمل هذا بشكل أساسي علي معايير قانونية وإقتصادية تساعد علي تحليل إتفاقيات التعاون الأفقي والسياق الذي تقع به. و لا تشكل تلك المعايير، بالرغم من ذلك، لائحة يمكن تطبيقها بدون تفكير. ونظراً إلي العدد الكبير المحتمل من أنواع ومجموعات التعاون الأفقي وظروف السوق التي تعمل بها، من الصعب تقديم إجابات محددة لكل تصور محتمل. ويجب تقييم كل حالة بناء علي وقائعها الخاصة التي يجوز أن تتطلب تطبيق مرن لهذه الإرشادات.
