We have audited the accompanying balance sheets of the Audit Limited ( the "Company" ) as of December 31, 2002 and 2001 and the consolidated balance sheets of the Company and its subsidiaries as at such dates and the income statement , statement of changes in equity ( capital deficit ) and cash flows the three years ended 31 December 2002. these financial statements are the responsibility of the management of the company. responsibility is to express an opinion on these financial statements based on our audit.
We conducted our audit in accordance with auditing standards generally accepted Israeli , including those prescribed by the Auditors Regulations ( Manner of Auditor ) , 1973 . Standards require that we plan and perform the audit to obtain reasonable assurance that the financial statements are free material. audit includes examining basis, evidence supporting the amounts and disclosures in the financial statements . audit also includes assessing the accounting principles used and significant estimates made by management, and evaluating the overall financial statement presentation . we believe that our audit provides a reasonable basis for our opinion.
In our opinion , the financial statements referred to above present fairly, in all material respects, the financial position of the Company and the consolidated financial condition of the Company and its subsidiaries as of December 31, 2002 and 2001 , the results of operations, changes in equity and cash flows of the Company and the Group Kingdom of the three years ended December 31, 2002 , in accordance with GAAP .
As explained in Note 2 A, financial statements are presented in U.S. dollars.

רוב החברות הבינלאומיות שפעילות בישראל צומחות באמצעות רכישות. הן מגייסות עובדים במהלך הפעילות השוטפת, אבל זינוק בסדר הגודל של כוח האדם מתבצע לרוב בעזרת רכישה. אין חברות היי-טק בינלאומיות רבות שפעילות כאן ומציגות צמיחה אורגנית חזקה. בחברת KLA, שביצעה מעט מאוד רכישות בהיסטוריה, מציגים בשנים האחרונות צמיחה בישראל בעקבות גיוסי כוח אדם אינטנסיביים.

Most multinationals active in Israel grow through acquisitions. They hire workers during routine operations, but a leap in the scale of employment usually occurs as a result of an acquisition. Not many hi-tech companies active locally demonstrate strong organic growth. KLA, having historically made very few acquisitions, demonstrates in recent years growth in Israel through intensive recruiting efforts.
The company recently commenced operations at an additional branch in Yokneam, in addition to its center that provides development, production and marketing that the company operates in Migdal Haemek. Dr. Ami Appelbaum, president of its Israeli operations, explains the move: "We are not successful in find the quantity of people we need in the north, so we wanted to open at a location closer to the center of the country." The new center, in Yokneam, is near Highway 6. This location, in the Company’s view, will enable it to also attract workers from the center of the country, and yet the new location is not too far from its center in Migdal Haemek.
KLA, which trades on NASDAQ with a market capitalization of $7.5 billion, is a world leader in the supplying semiconductor plants with production equipment. The company was founded by Ken Levy in 1976 and it focuses on testing and diagnostics required throughout along production lines for electronic components in order to increase efficiency in plants’ production. In Israel, where it began operating in 1986, specialization is in the area of metrology – i.e., checking physical parameters of silicon layers of integrated circuits, a process that is performed in plants by automated system.
In recent years, the semiconductors fabrication sector is experiencing a quantum leap in terms of technology and in the nature of its activities. Costs of ramping up production lines are reaching astronomical levels of 4-6 billion dollars per plant. Thus, the employees developing the new generation of fabrication require high level of knowledge and capabilities. According to Appelbaum, the company is not looking for newly-minted graduates from academia, but for "individuals experienced in semiconductors and relatively senior in years, around the age of forty", the likes of which the company estimates more abundant in the center of the country.
