I am a graduate electrical engineer with an MBA in international business and have significant experience working in electrical power systems, mining companies, financial projects, geophysical surveys, and the commercial sale of technical equipment to the industries of mining, electrical energy, oil and gas, cement, sugar, etc. Most of my work was conducted in Spanish, and I have traveled extensively all over South America to conduct my business. Dear sir:
We greatly appreciate your approaching us regarding the possibility of negotiating final payment of the outstanding debts of our company with XXX, and we are pleased to express our complete disposition to arrive at a mutually agreeable amount for the debt, as well as terms of repayment of said debt. We received your letter of May 28, and I apologize for delaying my response since the Xxx directors and executives were travelling internationally, out of contact for approval of the negotiations. However, hereafter follows our basic considerations of the debt to XXX, and your comments will be appreciated at your convenience, please.
We understand that there are only two amounts under discussion, with documentary reference to previous Invoices No. 2855 and No. 2865, for $us 336,875.00 ($col 673,750,000.00) and $col 27,404,911.27. This latter amount, calculated at the exchange rate of $col 1,778/$us = $us 15,413.34, leaving a total amount of $us 352,288.34 that XXX claims is owed by XXX per your letter of May 19, 2008.
The above amounts are calculated as follows:
a) 192.5 hours x $us 1,750 = $us 336,875.00
b) 2,750 gals x $col. 8,638.1496 = $col 23,754,911.27
c) Transport of fuel = $col 3,650,000.00
While we recognize that XXX owes money to XXX, we find discrepancies in the amounts that we owe, and would like to present these differences for your consideration.
Unfortunately, there does not appear to exist a formal contract between XXX and XXX concerning the conditions of rental of your helicopters for our geophysical services. Nor is there any formal agreement regarding the quantity of minimum hours for each helicopter, nor the accepted rate for such hours. One of our technicians might have suggested some arrangements in this regard, but without any authority to undertake such agreements which he had been specifically unauthorized to discuss with xxx. Nevertheless, we are willing to discuss with xxx payment for reasonable minimum hours per month at justifiable rates, for which reason we would like to present the following arguments for your consideration, please.
A) The quantity of 192.5 hours is derived from the following summary, per your letter of May 19, 2008.
• HK4412 during the month of December, 2007: 70 hours minimum, of which 47.5 were paid up, leaving 22.5 hours unpaid
• HK4412 during 12 days of January, 2008, 2.5 hours/day minimum =30 hours payable
• HK4412 and HK2679 were used for one month from Jan. 21 to Feb. 24, at 70 hours minimum each, for a total of 140 hours.
While we are disposed to accept the indicated minimum of 70 or 75 hours per month, we would like to present the following arguments for consideration:
1. We accept the 22.5 hours to be charged for HK4412 during Dec, 2007
2. Work with HK4412 was completed at the end of December, 2007, since our contract with our client ended at that time. We instructed xxx at that time to return the helicopter back to its base in xxx, which instruction was ignored during these 12 days. Therefore, we do not consider ourselves liable for this period of 30 hours.
3. For the work period of Jan. 21 to Feb. 24 (one month) we accept the 70 hours minimum for HK4412 and for HK2679. However, the hourly rate for HK2679, an MD-500, was much less than for HK4412, a Bell 206 Long Ranger, since it is a much smaller aircraft.
4. Even more important, the HK2679 was working on a project at La Pintada, for which project we paid, in advance, approximately $us 74,500 which was agreed by xxx executives () to have covered all the expenses for that project. Therefore, these 70 hours, for this aircraft, should be removed from the list of time payable.
5. The above arguments leave us with a total of 22.5 + 70 = 92.5 hours.
B) We received your kind letter of May 28 regarding a reduction in the stand-by cost of the aircraft, and agree that the complete rental rate for the HK4412 was $us 1,750/hour, net of taxes, less costs related exclusively to flying. We would like to point out that this rate not only included fuel (160 lt/hr @ cost of $us 235), but also includes maintenance, pilot’s flying bonus, and depreciation for replacement parts, none of which are applicable when not flown. This point was discussed with Mr. xxxxxxx during our visit to Bogotá in February, 2008, when he agreed to this argument and accepted a “stand by rate” of $us 1,300/hour when the aircraft was not flown, considered to be fair and equitable for all parts.
C) Therefore, we calculate the total amount of money owing to xxx, for the concept of minimal hours, to be the following:
• 92.5 x 1,300 = $us 120,250.00
D) Ref. the 2,750 gals of Jet A-1 fuel that was purchased from xxx, delivered on Feb. 09, 2008, we have two observations:
a. The cost of fuel is included in the rental of each helicopter, except as above, so that this cost should not be charged to us twice.
b. We noted at the end of the job that considerable fuel remained in the storage bladders at the work sites, which xxx was recovering to take back to its base in xxxx.
Therefore, we feel that this cost for fuel and transport should not be charged to us, as it is not our responsibility.
E) Therefore, we feel that the final total amount owing to xxx Ltd. by xxx is
$us 120,250.00
We would hope to pay this sum as soon as possible, but suggest that we discuss a progressive payment plan over the next three months, that would be acceptable to your company, please.
We have attempted to present a fair summary of our concept of the money that we owe to xxx, and invite you to analyze these points and to present your counter-arguments at your convenience. We will be pleased to discuss your points of view in order to reach a mutually agreeable amount that fairly represents the work and reasonable stand-by times.

De nuestra mayor consideración:
Apreciamos mucho la gentileza de su interés en negociar el pago de la deuda pendiente de nuestra empresa para con XXXX, y nos complace expresar nuestra disposición de convenir un monto de acuerdo mutuo para la deuda, junto con los términos de cancelar dicha deuda. Hemos recibido su carta del 28 de Mayo, y le pido disculpas por la demora en responder debido al viaje internacional de nuestros ejecutivos, fuera de contacto para aprobar las negociaciones. Sin embargo, le presento a continuación nuestras consideraciones básicas respecto a la deuda con XXXX, y se agradecería sus comentarios respectivos, por favor.
Entendemos que existen solamente dos montos bajo discusión, con referencia documentaria (no específica) a las facturas No. 2855 y 2865, o sea $us 336,875.00 ($col 673,750,000.00), y $col 27,404,911.27. Este último monto, calculado al cambio actual de $col 1,778/$us = $us 15,413.34, dejando un monto total de $us 352,288.34 que XXXX considerara que XXXX les debe según entendido de su carta del 19 Mayo, 2008.
Los montos mencionados son calculados de la siguiente manera:
a) 192.5 horas x $us 1,750 = $us 336,875.00
b) 2,750 gals x $col. 8,638.1496 = $col 23,754,911.27
c) Transporte de combustible = $col 3,650,000.00
Reconocemos que XXXX debe dinero a XXXX, pero encontramos ciertas discrepancias en los montos de referencia, y deseamos presentarles estas diferencias para su consideración.
Desafortunadamente, no existe un contrato formal entre XXXX y XXXX referente las condiciones de alquiler de sus helicópteros para nuestro servicio geofísico. Tampoco existe un acuerdo referente la cantidad de horas mínimas aplicable a cada helicóptero por mes, ni la tasa aceptada para tales horas. Uno de nuestros técnicos posiblemente conversó referente alguna posibilidad al respecto, pero sin autoridad alguna ya que había sido específicamente desautorizado hablar de tales asuntos por nuestra gerencia. Sin embargo, estamos dispuestos conversar con XXXX referente el pago por una cantidad razonable de horas mínimas cada mes a tasas justificables, con cual motivo deseamos presentar los siguientes argumentos para su consideración, por favor.
A) Se deriva la cantidad de 192.5 horas de la siguiente resumen, según su carta del 19 de Mayo, 2008.
• HK4412 durante el mes de Diciembre, 2007: 70 horas mínimo, de cuales 47.5 han sido pagado, dejando 22.5 horas por pagar
• HK4412 durante 12 días de Enero, 2008, 2.5 horas/día mínimo = 30 horas por pagar
• HK4412 y HK2679 han sido utilizado por un mes desde 21 Enero hasta 24 Febrero, a 70 horas mínimo c/u, por un total de 140 horas..
Estamos dispuestos aceptar el mínimo indicado de 70 o 75 horas por mes, pero deseamos presentar los siguientes argumentos para su consideración:
1. Aceptamos los 22.5 horas cargados por HK4412 durante Dic, 2007
2. Trabajo con HK4412 ha sido completado al fin del mes de Diciembre, 2007, en vista que nuestro contrato con el cliente ha finalizado en ese momento, con cual motivo hemos instruido a XXXX suspender sus servicios a XXXX y llevar su helicóptero. Lamentablemente ignoraron la instrucción durante estos 12 días, por lo tanto, no nos consideramos responsables por este período de 30 horas.
3. Aceptamos las 70 horas mínimos para el HK4412 y HK2679 por el período de trabajo de 21 Enero al 24 de Febrero (un mes). Empero, la tasa por hora para HK2679, un equipo MD-500, ha sido mucho menor que para HK4412, un Bell 206 Long Ranger, por ser una aeronave más pequeña.
4. Aún más importante, el equipo HK2679 estaba trabajando con un proyecto en La Pintada, para cual proyecto habíamos cancelado, en forma anticipada, el monto de aproximadamente $us 74,500 el cual ha sido aceptado por el entonces ejecutivo de XXXX (Sr.) en pago completo por dicho proyecto. Por lo tanto, los 70 horas, referente a esta aeronave, deberían ser eliminados de la lista de tiempo a cancelar.
5. Estos argumentos nos deja con un total de 22.5 + 70 = 92.5 horas.
B) Hemos recibido su amable carta del 28 Mayo referente a una reducción en el costo stand-by de la aeronave, y concordamos que la tasa completa de alquiler para la HK4412 ha sido $us 1,750/hora, neto de impuestos, menos costos relacionados exclusivamente a vuelos. Desearíamos señalar que esta tasa no solamente incluye combustible (que calculamos a 160 lt/hr por un costo total de $us 235/hr), pero también incluye mantenimiento, bono de vuelo del piloto, y depreciación de las partes y piezas de reemplazo, ninguno de los cuales se aplica cuando el helicóptero no vuele. Este aspecto ha sido conversado con el Sr. Xxxxx durante nuestra visita a Bogotá en el mes de Febrero, 2008, cuando él aceptó este argumento y se acordó una tasa “stand-by” de $us 1,300/hora cuando el helicóptero no volara, tasa considerado justa y equitativa para todas las partes.
C) Por lo tanto, nosotros calculamos que el monto total de dinero debido a XXXX, por concepto de horas mínimas pagaderas, debe ser el siguiente:
• 92.5 x 1,300 = $us 120,250.00
D) Con respecto a los 2,750 gals. de combustible Jet A-1 comprado de xxx, entregado el día 09 de Febrero, 2008, tenemos dos observaciones:
a. El costo del combustible está incluido en el costo de alquiler de cada helicóptero, salvo según lo indicado líneas arriba, por lo tanto no se nos debe cobrar este costo dos veces durante horas de vuelo, y menos cuando no ha volado.
b. Hemos notado al final del trabajo que se quedó considerable cantidad de combustible en las vejigas de almacenaje en los sitios de trabajo, que XXXX estaba recuperando para devolver a su base en Xxxx.
Por lo tanto, consideramos que este costo para combustible y transporte no nos corresponde por no ser de nuestra responsabilidad.
E) En consideración de los argumentos presentado, consideramos que el monto total que XXXX debe a XXXX LTDA. es de:
$us 120,250.00
Tendríamos la esperanza de cancelar este monto lo antes posible, pero se sugiere que conversamos sobre un plan progresivo de pagos durante los próximos tres meses, que sería aceptable a su empresa, por favor.
Hemos intentado presentarles un resumen breve de nuestro concepto de la deuda con XXXX, y les invitamos analizar estos puntos para respondernos oportunamente. Tendríamos mucho gusto conversar en más detalle con ustedes, fin de llegar a un acuerdo mutuo que resuelve equitativamente esta situación. Agradecemos mucho su amable atención.

CAPÍTULO I
INFORMACIÓN GENERAL A LOS PROPONENTES
1.1 OBJETO DE LA LICITACION PÚBLICA
SELECCIONAR EN IGUALDAD DE OPORTUNIDADES AL PROPONENTE QUE OFREZCA LAS MEJORES CONDICIONES PARA CONTRATAR EL LEVANTAMIENTO AEROGEOFISICO EN UN SECTOR DEL ORIENTE COLOMBIANO - LLANOS ORIENTALES COLOMBIA-
1.2 PRESUPUESTO OFICIAL
El presupuesto oficial para desarrollar el objeto de la presente Licitación publica es de TRES MIL MILLONES DE PESOS MONEDA LEGAL ($3.000.000.000.oo) soportado por el Certificado de Disponibilidad presupuestal No. 673 del 15 de marzo de 2006.
La(s) propuesta(s) que sobrepase(n) el presupuesto disponible, será(n) objeto de RECHAZO.
De acuerdo con los Estudios de Mercado realizados por la Entidad, para adelantar la presente contratación, el presupuesto estimado es el siguiente:
A - PRESUPUESTO OFICIAL TOTAL PARA LA ADQUISICIÓN:

1.3 ACLARACIONES A LA OFERTA
Dentro del más estricto respeto por el tratamiento igualitario a los proponentes, el INGEOMINAS podrá solicitar a todos o a cualquiera de ellos las aclaraciones o informaciones que estime pertinentes, a fin de despejar cualquier punto dudoso, oscuro o equívoco de las ofertas. En estos casos, tales respuestas de ninguna manera podrán constituir adición o complemento de la oferta presentada, en cuyo caso serán inadmisibles.
Si el proponente no envía las aclaraciones, explicaciones o soportes solicitados dentro del término concedido para ello, y sí de lo consignado en la oferta no es posible aclarar lo solicitado, ni se localiza un documento que permita suplir la falencia del soporte faltante, la oferta será rechazada.
1.4 AMPLIACIÓN DE LA INFORMACION
El INGEOMINAS únicamente recibirá solicitudes de aclaración al Pliego de Condiciones de la presente Licitación Pública que se reciban por escrito hasta las 4:00 p.m. del 18 de mayo de 2006 en el Grupo de Contratos, ubicado en la Diagonal 53 No. 34-53; de la ciudad de Bogotá, así como vía e-mail o fax, y así mismo, éstos serán los medios oficiales, para dar respuesta a las mismas.
1.5 RÉGIMEN LEGAL DE LA PRESENTE LICITACION
El marco legal de la presente Licitación Publica, y del contrato que se derive de su adjudicación, está conformado por la Constitución Política, las Leyes de la República de Colombia y en especial por las siguientes disposiciones:
a) Ley 80 de 1993, Decreto 2170 de 2002 y demás Decretos Reglamentarios.
b) Decreto 856 de 1994.
c) Disposiciones de los Códigos Civil y de Comercio que le sean aplicables.
d) El Pliego de Condiciones de la presente Licitación Pública, Adendos y Anexos.
e) Demás normas concordantes con la materia que rijan o lleguen a regir los aspectos de la presente Licitación Pública.
f) Las normas vigentes que resulten pertinentes de acuerdo con la Ley Colombiana se presumen conocidas por todos los Proponentes.
1.6 VEEDURIAS CIUDADANAS
Las Veedurías Ciudadanas, establecidas de conformidad con la ley, podrán desarrollar su actividad durante las Etapas Precontractual, Contractual y Postcontractual en el presente Proceso de Selección, de conformidad con lo consagrado en el Artículo 9º del Decreto 2170 de 2002 y la Ley 850 de 2003.
1.7 PROPUESTA
La propuesta deberá presentarse escrita, en idioma castellano, en cualquier medio mecánico, debidamente firmada por el Oferente o Representante Legal del Oferente, de acuerdo con el orden y requisitos establecidos en el Pliego de Condiciones, con todos sus formatos y anexos, debidamente foliada en la parte frontal de cada hoja, en estricto orden consecutivo ascendente. En caso de no presentarse así, en la Audiencia de Cierre, se le solicitará al Proponente que no cumpla este requisito, proceder a la foliación respectiva.
La propuesta debe ser presentada sin tachones, enmendaduras o raspaduras que hagan dudar del ofrecimiento, a menos que se efectúe la salvedad, la cual se entiende cumplida con la firma del Proponente al pie de la corrección.
Las Ofertas deberán presentarse en original y dos (2) copias, en sobres separados y cerrados, adicionalmente para facilitar el proceso de revisión y evaluación en medio magnético. Tanto el original como las copias deberán contener la totalidad de los documentos exigidos. Así mismo, los precios establecidos en la Oferta deben ser en PESOS COLOMBIANOS.
Las Propuestas se presentarán, cada una, en sobre cerrado y rotulado de la siguiente forma:

El INSTITUTO COLOMBIANO DE GEOLOGIA Y MINERIA –INGEOMINAS- no exigirá sellos, autenticaciones, documentos originales o autenticados, reconocimiento de firmas, traducciones oficiales, ni cualquier otra clase de formalidades o exigencias rituales, salvo cuando en forma perentoria y expresa lo exijan leyes especiales (Numeral 15, Art. 25, Ley 80 de 1993.)
No se aceptarán propuestas enviadas por correo, fax o cualquier otro medio telemático.
1.8 VIGENCIA DE LAS CONDICIONES DE LA PROPUESTA
Las condiciones ofrecidas en la Propuesta deberán mantenerse vigentes desde la entrega de la Propuesta y hasta el término de tres (3) meses más, contados a partir de la fecha y hora de cierre de la Licitación Pública.
1.9 PLAZO DEL CONTRATO
El contrato tendrá un plazo de ejecución máximo de doce (12) meses contados a partir de la fecha del cumplimiento de los requisitos establecidos por la Ley para la ejecución del contrato.
1.10 FECHA DE INICIO DEL PROCESO
El proceso de selección iniciará de acuerdo con el cronograma establecido en el presente documento.
1.11 PUBLICACION CONSULTA Y OBSERVACIONES A LOS PREPLIEGOS
El proyecto de pliego de condiciones será publicado en la página web de la Entidad www.ingeominas.gov.co y estará a disposición de los interesados a partir del 2 de mayo de 2006 y hasta el 11 de mayo de 2006, con el fin de que los posibles oferentes realicen las observaciones a los mismos durante el plazo establecido en el cronograma, las cuales serán recibidas directamente en el Grupo de Contratos y Convenios de INGEOMINAS, vía fax o correo electrónico.
1.12 PUBLICACION PLIEGOS DEL PRESENTE PROCESO LICITATORIO
El pliego definitivo, será publicado por el término de once (11) días calendario contados a partir del día 12 de mayo de 2006 en la pagina Web del INGEOMINAS www.ingeominas.gov.co sección Licitaciones y/o contratación, o podrán ser consultados en la Oficina del Grupo de Contratos y Convenios del INGEOMINAS, Sede Central (Diagonal 53 No. 34-53), con el objeto de que los interesados tengan conocimiento de los mismos, formulen sugerencias o aclaraciones y presenten las propuestas correspondientes.
Así mismo, para que la ciudadanía y/o las veedurías ciudadanas ejerzan su derecho de participación ciudadana del presente proceso contractual Artículo 9 Decreto 2170 de 2002.
1.13 OBSERVACIONES A LOS PLIEGOS DEFINITIVOS DEL PROCESO LICITATORIO
Las observaciones a los pliegos de condiciones se recibirán directamente en la Oficina del Grupo de Contratos y Convenios del INGEOMINAS, Sede Central (Diagonal 53 No. 34-53), de la ciudad de Bogotá D. C., vía fax o correo electrónico, hasta las 4:00 p.m. del día 18 de mayo de 2006, y serán resueltas por el INGEOMINAS hasta el 19 de mayo de 2006
Precluído el anterior término, la Entidad no aceptará más inquietudes, sobre el contenido y alcance de las estipulaciones y exigencias contenidas en el presente documento.
Las consultas, preguntas y las correspondientes respuestas, serán resueltas por la página Web del INGEOMINAS (www.ingeominas.gov.co), pero no se considerará modificación del pliego, a menos que sean adoptadas como Adendo.
Cualquier modificación o adición a los documentos que se deben presentar en este proceso de contratación, será comunicada a través de la página Web del INGEOMINAS (www.ingeominas.gov.co).

General Information to Proponents
1.1 Purpose of Tender
Select in equality of opportunities the proposal that offers the best conditions to contract for the aerogeophysical survey in one sector of the Colombian Orient – Eastern Llanos Colombia
1.2 Official budget
The official budget for this survey is $col 3.000.000.000 [aprox. $us 1.27 mn at $col 2362/$us], supported by Budget Cert No. 673 of March 15, 2006
1.3 Clarifications of offer
INGEOMINAS may request clarifications or additional info that it considers necessary, in order to clarify whatever doubtful points, etc. The replies may not constitute additions to the offer, which will be refused.
If the proponent does not send the required explanations in the fixed period, or is unable to clarify the doubtful point, the offer will be refused.
1.4 Amplifying information
INGEOMINAS will only receive requests for clarification of the TOR received in writing at the Contract Group, until May 18, at 16:00 hours, at the office on Diag. 53, No. 34-53 in Bogota, or by e-mail or fax, which will also be the official means of reply. 1.5 Legal frame for this tender
The legal framework is derived from the Political Constitution, the Laws of Colombia, and particularly the following:
a) Law No. 80, Decree 2170 of 2002
b) Decree 856 of 1994
c) Applicable disposition of the Civil and Commercial Codes
d) The present TOR
e) Other standards that affect this tender
f) It is assumed that these standards and laws are known by the proponent
1.6 Citizen Oversight
Citizen Oversight committees, legally established, may oversee this process per Art. 9 of Decree 2170, and Law 850
1.7 Proposal
The proposal must be presented in writing, in Spanish, be whatever mechanical method, duly signed by the Offerer or the Legal Rep. of same, in accordance with the order and requirements established in the TOR, in all its formats and annexes, duly numbered by pages in consecutive order. If not presented thus, the proponent will be required to comply.
The proposal must be presented without erasures, amendments etc. that make the offer doubtful, unless duly signed by the Proponent beside such corrections
The offers must be presented in Original and two copies, in separate closed envelopes, plus a copy in magnetic format. Both the original and the copies must include all the required documents. The prices quoted in the Offer must be in Colombian Pesos.
The Proposals must be presented, each in a separate envelope, closed and titles in the following manner: [See Page 7]
INGEOMINAS will not be responsible for non-opening of any proposal that is not correctly directed and marked as specified
In case of differences between copies, the Original will prevail. Proposals presented after the hour and day indicated will not be accepted.
INGEOMINAS will not require seals, authentications, original or authenticated documents, recognition of signatures, official translations, nor any class of formalities or ritual requirements, except when required by Law (Law 80, No. 15, Art. 25).
No proposals will be accepted that are sent by mail, fax or whatever other telegraphic method.
1.8 Validity of Proposal Conditions
The conditions offered in the proposal must be valid for three months after the presentation date.
1.9 Duration of Contract
The contract must be executed within one year from the date of complying with the requirements established in the TOR
1.10 Date of Initiation of Process
Process of selection will begin in accordance with the chronogram established herein
1.11 Publication of Consultation and observations
The TOR will be published on the web-site of INGEOMINAS and will be at the disposition of the interested parties from May 02 until May 11, 2006, with the purpose that Possible Offerers may present observations to same during the established period, which will be received directly by the Contract Group via fax or e-mail.
1.12 Publication of TOR
The Definitive TOR will be published for 11 calendar days from May 12 on the web-site of INGEOMINAS, such that interested parties may present suggestions, or request clarifications, or present offers, etc.
1.13 Observations to TOR
Observations to the TOR will be received directly at the office of Contract Group or via fax or e-mail until 16:00 hours of May 18, and will be resolved by May 19 at 16:00 hours
Precluded the previous term, the entity will not accept further questions regarding the contents of the TOR
Consultations, questions and the corresponding replies will be published on the web-site but will not be considered to modify the TOR unless adopted by the corresponding Addendum.
Whatever modification or addition to the documents required by this process will be published on the web-site of INGEOMINAS (www.ingeominas.gov.co).
