Il 23 novembre scorso si sono chiuse due operazioni, una in via anticipata, con una forte richiesta ben superiore agli importi di emissione. Il bond di A2A, la utility energetica di Milano, secondo produttore di energia a livello nazionale Rating bbb di XXX e XXX di XXX), ha segnato una domanda di 4,25x rispetto ai XXX a 7 anni che alla fine hanno spuntato uno spread sul midswap pari a 325 bps. XXX, la società che gestisce gran parte della rete autostradale italiana, ha alzato a 1 bn, l’emissione iniziale di XXX mn destinata al retail e ha chiuso il book building con ordini per 2 bn. I bond a 6 anni pagano 265 bps sul midswap, 30 bp on meno dei titoli emessi dalla stessa XXX in settembre scorso solo per investitori istituzionali.

لا تزال سندات الشركات الايطالية تمثل فئة من الأصول المفضلة لدى المستثمر الأوروبى،جاء ذلك بحسب ما أعلنه البنك المركزى الأوروبى، داعياً فيه مصدرى هذه السندات الى الاستمرار فى اللجوء اليها كأحدى أهم أدوات التمويل.ففى 23 نوفمبر تم اغلاق طرحين هامين ، أغلق أحدهما مبكرا عن موعده، بسبب ازدياد الطلب عن معدلات الطرح العام ، فقد سجل سند A2A ، و الخاص بشركة انتاج الطاقة– ميلانو، و هى ثانى أكبر مقدم لخدمات الطاقة على المستوى المحلى، و المصنفة ماليا BBB من قبل ----- و ------، فقد تم تغطية هذا الطرح بمعدل 4,25 ضعف ، بالمقارنة ب -----(استثمار 7 سنوات)، و التى حققت فى النهاية متوسط سعر مبادلة قدره 325 نقطة أساس . فى نفس الوقت قامت شركة -------، والتى تدير القسم الاكبر من شبكة الطرق السريعة فى ايطاليا، برفع طرحها الأول ، و المخصص لصغار المسنثمرين ، و الذى كانت قيمته المبدئية -----مليون، بما قيمته مليار، و أغلقت الحجز بعد وصول الطلب عليها الى 2 مليار. بينما وصل عائد السندات الادخاريه (استثمار 6 سنوات) الى سعر مبادلة قدره 265 نقطة اساس ، أى مايقل ب30 نقطة أساس عن سندات ------ التى طرحتها الشركة نفسها فى سبتمبر الماضى لصالح المستثمريين من قطاع المؤسسات.

4- Personal Jurisdiction. Personal jurisdiction refers to which court or administrative body has jurisdiction over an individual person bringing a claim. Typically this is determined by residence in a territorial jurisdiction such as a county or state, but in customary law it pertains more to an individual’s tribal membership. Personal jurisdiction in many legal systems, including the US, is determined by “minimum contacts” with an administrative area, ensuring that a court has the requisite authority over a person. Personal jurisdiction in the customary court system only exists for internal disputes between members of the same tribe. Cross-tribal disputes would have no clear jurisdiction and be removed for diversity. Methods for determining tribal membership (and thus customary “minimum contacts”) are set by customary law

الولاية القضائيىة على النفس تعنى تحديد المحكمة أو الهيكل الادارى الذى يتم منحه سلطة على الأفراد المتقاضين.و بالطبع فان هذا يتحدد بمقتضى الاقامة فى محل سلطة الولاية القضائية مثل المقاطعة أو الولاية، و اما فى القانون العرفى فانها تتبع الانتماء الى القبيلة. ان نظام الولاية القضائية ، فى كثير من الأنظمة القانونية، و من بينها الولايات المتحدة، يتحدد بناء على الحد الأدنى من روابط الانتماء الى المنطقة الادارية مما يعطى المحكمة السلطة المطلوبة للولاية القضائية على النفس.بينما فى القضاء العرفى تبقى الولاية القضائية مقصورة على حل النزاعات الداخلية بين أفراد نفس القبيلة أما الخلافات بين القبائل المختلفة فيمكن استبعادها للتعارض.ان طرق تحديد مفهوم الانتماء الى القبيلة ( وبالتالى المفهوم العرفى ل "الحد الادنى من الانتماء " )يخضع كلية الى القانون العرفى.
